Wellborn Special Utility District's cost estimate of $35,579.00 to relocate approximately 3,440 ft. of 4 -inch PVC waterline to a new private easement, at the County's request, on Royder Road to accommodate a road widening project. PUE width (located on both sides of the street) to 15 ft. PUE in Creek Meadows Subdivision (ETJ /City of College Station). Site is located in Precinct 1. 38. Final Plat of J. COMMISSIONERS' COURT REGULAR MEETING APRIL 24, 2007 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Tuesday, April 24, 2007 with the following members of the Court present: Randy Sims, County Judge, Presiding; Lloyd Wassermann, Commissioner of Precinct 1; Duane Peters, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. Commissioner Wassermann gave the invocation and led the pledge of allegiance. Under citizen input /and or concerns the following spoke: Commissioner Mallard a) He traveled to Austin to visit a combined EOC. It was a good comparison as they plan for a joint EOC here in Bryan. County Judge a) The Road and Bridge Department is in the process of placing a bridge over Thompson Creek on Leonard Road. The State match with TxDOT should be $90,000.00 but that was waived thanks to the work by our Road and Bridge Department and Senator Nichols. Vol Page 10 Commissioners Court meeting April 24, 2007 Commissioner Cauley r. a) He attended a Brazos Valley Housing Board meeting on land banking. A study determined that housing was needed. They are working on legislation for a land bank in this region to give counties the same ability to establish one like some larger cities. Sheriff a) Last night there were 574 inmates in jail. 105 were females. They have never had that high a population of women before. The Court next considered Budget Amendment #06/07 -24.1 through 24.8 that would reallocate funds for the Sheriff's Department, Brazos Center (2), Elections, TEEX -State Homeland Security; transfer funds from Road and Bridge Department Contingency to the Road and Bridge Department; transfer funds from Contingency to County Attorney and increase both revenue and expenditure budget in the D.A. Crime Fund. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. Commissioner Cauley moved to approve the requests. Commissioner Wassermann seconded the motion. Then after some discussion in which the County Judge asked questions on the 2 step increase for Patrick Munoz in Juvenile Services and asked Vol q 3 Page 10 Commissioners Court meeting April 24, 2007 3 that the request be withdrawn, Commissioners Cauley and Wassermann withdrew their motion and second. Then on motion by Commissioner Cauley, seconded by Commissioner Wassermann, the Court voted unanimously to approve the changes with the exception of Patrick Munoz. The Court next considered the following Claims as submitted by the County Treasurer for payment: 7030198 through 7030576 On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to approve the Claims as submitted. The next matter for the Court's consideration was an Interlocal Agreement between Brazos County and the City of Bryan for participation in a reinvestment zone to be created by the City pursuant to Chapter 311 of the Texas Tax Code. This reinvestment zone is bordered by State Highway 6 on the west side and Briarcrest Drive on the north side. On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to enter into an Interlocal Agreement with the City of Bryan for participation in reinvestment zone 22. The Court next considered a contract for Residential Services with Glen Mills Residential Treatment Center to Vol q3 Page I Aa Commissioners Court meeting April 24, 2007 4 provide services limited to alleged or adjudicated juvenile offenders. The cost is as follows: Basic - $37.00 per day per juvenile Moderate - $82.22 per day per juvenile Specialized - $118.20 per day per juvenile On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the contract. A copy is attached. The Court next considered a contract for Residential Services with Azleway, Inc. The next matter before the Court was approval of a Contractual Agreement between Brazos County and the Brazos Valley Council of Governments to outline the responsibilities of each of the parties in the operation of the Indigent Health Care and Treatment Act, created by House bill 1398 during the Special Session of'the 76th Texas State Legislature. The cost to Brazos County will be $96,700.00 through September 30, Vol 3 Page 197 Commissioners Court meeting April 24, 2007 5 2007. On motion by the County Judge, seconded by Commissioner Cauley, the Court voted unanimously to enter into contractual agreement with the Brazos Valley Council of Governments. A copy of the contractual agreement is attached. The Court next considered entering into agreement with the Brazos Animal Shelter, Inc. to house animals, other than livestock that it takes possession of throughout the county. Cost to Brazos County will be an annual fee of $37,405.00 or $3,117.08 per month. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to enter into agreement with the Brazos Animal Shelter, Inc. and authorized the County Judge to execute the Agreement on behalf of Brazos County. A copy of the Agreement is attached. The next matter before the Court was the cash incentive payment of $100,000.00 to Mellon Investor Services as required in their economic development agreement. On motion by the County Judge, seconded by Commissioner Mallard, the Court voted unanimously to approve the payment. The Court next considered an amendment to the Administrative Services Agreement with Blue Cross Blue Shield of Texas. On motion by Commissioner Mallard, seconded by Commissioner Cauley, the Court voted unanimously to approve the amendment. A copy is attached. Vol q-3 - Page 1 $ K Commissioners Court meeting April 24, 2007 6 The next matter before the Court was consideration of the 2007 Performance Agreement with Blue Cross Blue Shield of Texas for Brazos County's group health plan. Commissioner Mallard noted that the County is starting the bid process on group health insurance. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the agreement. A copy is attached. The Court next considered the Blue Cross Blue Shield of Texas 2007 Fee Schedule for Brazos County's group health plan. On motion by Commissioner Mallard, seconded by Commissioner Cauley, the Court voted unanimously to approve the fee schedule. A copy is attached. The next matter before the Court was consideration of a Federal Emergency Management Agency (FEMA) Community Partner memorandum of agreement between Brazos County and (FEMA) to produce an updated, digital flood map for Brazos County and the incorporated areas. On motion by Commissioner Cauley, seconded by Commissioner Wassermann, the Court voted unanimously to approve the agreement and authorize the County Judge to execute the document. A copy is attached. The Court next considered a request from Constable Precinct 1, Archie Clark, to appoint Philip W. Crowell and John T. Wolf, as non -paid Deputy Constables. On motion by Vol / Page�I Commissioners Court meeting April 24, 2007 7 Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to approve the request from Constable Clark to appoint Philip W. Crowell and John T. Wolf as non -paid Deputy Constables subject to appointments being within the allotted number of deputies. The next matter before the Court was consideration of an application to the Family Land Heritage Program for the Bob and Joy Davidson Ranch in Brazos County. This program honors farms and ranches that have been in continuous agricultural production by the same family for 100, 150, and 200 years. Mr. and Mrs. Bob Davidson have submitted the documentation to the Court for certification in compliance with the terms stipulated in the application from the Texas Department of Agriculture. On motion by the County Judge, seconded by Commissioner Peters, the Court voted unanimously to certify the documents received. The next matter for consideration by the Court was a request submitted by Linda LaSut, Metropolitan Planning Officer for out of state travel for Bart Benthul to attend the TRB National Transportation Planning Applications Conference in Daytona Beach, Florida, May 6 -10, 2007. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to grant the request from the Metropolitan Planning Officer and approved payment of out of state travel Vol X3 Page I °1) Commissioners Court meeting April 24, 2007 g expense for Mr. Bart Benthul. The Court next considered revised job descriptions for the following positions in the Collections Department: a. Director of Collections b. Assistant Director of Collections c. Collections Clerk Due to the passage of Senate Bill 1863, the Collections Department has taken on more responsibilities from the County Clerk's office, the five Justice of the Peace Courts and Adult Probation. The job descriptions need to reflect those changes. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the request to revise the job descriptions. The next matter before the Court was a request from the director of the Brazos Center for approval to purchase an Auto Scrubber for the floors. The Auto Scrubber is $5,082.06. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. The Court next considered a request from Justice of the Peace, Precinct 1 for approval to purchase a new HP Laser Jet 2605 DN Printer with funds from the JP Technology fund. Cost of the printer is $374.00. On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to approve the request. Vol 93 Page 19/ Commissioners Court meeting April 24, 2007 0' The next matter for consideration was approval of tax refund applications from the following individuals and /or companies: a) John Scott Austin & Gene M. Austin, over payment $394.98 b) Catherine Beard, over payment $136.23 c) Steven W. & Heather M. Carr, over payment $4,630.66 d) KJMC, Inc. (dba Southern Comfort Homes), over payment $1,358.80 e) Marianne E. McIver, over payment $28.91 f) Wendy & Andy Yabarra Ramos, over payment $396.69 g) Vera F. Wyatt, over payment $386.57 On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to approve the tax refund applications. On motion by the County Judge, seconded by Commissioner Cauley, the Court voted unanimously to receive, approve and order filed as submitted the Treasurer's report for February 2007. A copy is attached to and made a part of these minutes. The next matter before the Court was a request for approval of requisition 00013648 in the amount of $460.00 to the City of Bryan for a building permit for the construction of a metal building at the Exposition Center site. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the requisition. The Court next considered approval of requisition 00013690 in the amount of $39,148.85 to Mity -Lite, Inc. for the purchase Vol 9 3 Page ( %R Commissioners Court meeting April 24, 2007 10 of a dance floor for the Exposition Center. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the requisition. The next matter before the Court was consideration of requisition 00013693 in the amount of $3,400.00 to Darrell Parker (American Trailer) for the purchase of a 20 foot Trailer for use at the Exposition Center. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the requisition. The Court next considered requisition 00013694 in the amount of $109,270.00 to CLM Construction for the construction of a metal building at the Exposition Center. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the requisition. The next matter before the Court was consideration of requisition 00013695 in the amount of $21,553.00 to Stage Right Corporation for the purchase of Indoor Risers for the Exposition Center. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the requisition. The Court next considered a requisition to Philpott Motor Company from the County Attorney's Office for the purchase of a 2007 Ford F150 Pickup Truck. On motion by Commissioner Peters, Vol 93 Page 1 �3 Commissioners Court meeting April 24, 2007 11 seconded by Commissioner Cauley, the Court voted unanimously to approve the requisition. The Court next considered awarding the annual contract to supply poly jute. Marcia Mann, Senior Buyer recommended acceptance of the bid submitted by Dewitt Company. On motion by Commissioner Wassermann, seconded by Commissioner Cauley, the Court voted unanimously to accept the recommendation of the Senior Buyer and award the contract to DeWitt Company. A copy of the bid tabulation is attached. The Court next considered acceptance of a Special Warranty Deed for right -of -way on Hopes Creek Road in Precinct 1. On motion by Commissioner Wassermann, seconded by Commissioner Cauley, the Court voted unanimously to authorize the County Judge to accept on behalf of Brazos County a Special Warranty Deed from David L. Parsons, Trustee for the expansion and improvements to Hopes Creek Road. The Court next considered authorizing work outside of county rights -of -way for the health, safety and welfare of the general public. The Road and Bridge Department requested permission to enter the private property of Mr. and Mrs. Bobby Hudson on Macey Road in Precinct 2 to repair erosion in the county right -of -way which extends from the roadway culvert end past the fence line. On motion by Commissioner Peters, seconded Vol 13 ( `{ Page Commissioners Court meeting April 24, 2007 12 by Commissioner Cauley, the Court voted unanimously to authorize the work. The Court next considered authorizing work outside of county rights -of -way for the health, safety and welfare of the general public. The Road and Bridge Department requested permission to enter the private property of Don Cain on I &GN Road in Precinct 1 to cut and remove approximately 4 feet by 4 feet of mesh fencing from the creek channel to open the flow of water in the creek and remove a short section of fence to cut approximately a 20 foot channel to drain water off of I &GN Road. On motion by Commissioner Wassermann, seconded by Commissioner Mallard, the Court voted unanimously to authorize the work. The next matter before the Court was acceptance of the Hunter's Creek Subdivison roads, Hunter's Cove, Hunter's Hollow, Hunter's Run and Hunter's Way, and drainage structures into the Brazos County road maintenance system. The subdivision is located in Precinct 3. On motion by Commissioner Mallard, seconded by Commissioner Peters, the Court voted unanimously to accept the Hunter's Creek Subdivision roads and drainage structures into the Brazos County road maintenance system. Vol 93 - Page 115 Commissioners Court meeting April 24, 2007 13 The Court next considered acceptance of the Wellborn Special Utility District's cost estimate of $35,579.00 for relocation of approximately 3,440 feet of 4 inch PVC waterline to a new private easement (at the County's request) on Royder Road to accommodate a road widening project in Precinct 1. On motion by Commissioner Wassermann, seconded by Commissioner Cauley, the Court voted unanimously to accept the Wellborn Special Utility District's cost estimate of $35,579.00 for relocation of a water line on Royder Road. The Court next considered the request from Wellborn Special Utility District to construct approximately 4,500 feet of 10 inch water line installations in the right -of -way of Hopes Creek Road. The site is located in Precinct 1. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to approve the request from Wellborn Special Utility District and authorized the installation. A copy of the request is attached hereto. The next matter before the Court was a request for variance to the Brazos County Subdivision and Development Regulations to reduce the side yard easements, abutting a street from the standard 16 feet PUE width to a 15 foot PUE in Vol '33 Page (q � Commissioners Court meeting April 24, 2007 14 Creek Meadows Subdivision. On motion by Commissioner Wassermann, seconded by Commissioner Cauley, the Court voted unanimously to approve the variance request. The Court next considered approval of the Final Plat of J. McNichols Addition, 2.12 Acres located in Precinct 4. Richard Vance, County Engineer, stated that he had reviewed the plat and all appeared to be in order. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the final plat of the J. McNichols Addition, 2.12 Acres as submitted. The Court next considered approval of the Final Plat of Bradley Estates 48.34 Acres, City of College Station ETJ located in Precinct 1. Richard Vance, County Engineer, stated that he had reviewed the plat and all appeared to be in order. On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to approve the final plat of Bradley Estates 48.34 Acres as submitted. The next matter before the Court was consideration of a payment authorization in the amount of $360.00 to TRW Modernfold Company, Inc. for the repair of a partition panel between Assembly Room 2 and 3. A purchase order was not obtained in advance. On motion by Commissioner Peters, Vol O.3 Page 07 Commissioners Court meeting April 24, 2007 15 seconded by Commissioner Cauley, the Court voted unanimously to approve the payment authorization. At 9:44 a.m. the County Judge announced the meeting closed to the public so that the Court could meet in Closed Executive Session to discuss real property and contract for rental space as allowed under Section 551.072 of the Texas Government Code. The following were asked to stay: David Storrie, City of Bryan Kevin Russell, City of Bryan Gary Arnold, Road and Bridge Department Bill Ballard, Court Counsel Katie Conner, County Auditor Ruth McLeod, Administrative Assistant Debbie Lockledge, Administrative Assistant Candy Gallego, Executive Assistant Admitted later for discussion on rental space Buddy Winn, Tax Assessor /Collector Kristy Roe, Chief Deputy At 11:17 a.m. the County Judge announced the meeting open to the public and that no action would be taken on the rental of space. Then on motion by the County Judge, seconded by Commissioner Peters, the Court voted unanimously to provide a boundary survey and make available for sale approximately 10 acres of land as presented to the Commissioners Court, on the southeast side of the Brazos Center not exceed $100,000.00. New Hire Approved in Commissioners' Court: April 24, 2007 County Judge's or Commissioner's Signature: (This copy to be attached to minutes) a3 C2 t a� THE STATE OF TEXAS COUNTY OF BRAZOS INTERLOCAL AGREEMENT THIS INTERLOCAL AGREEMENT ( "Agreement ") is made by and between the CITY OF BRYAN, TEXAS (the "City "), a municipal corporation and home -rule city of the State of Texas, acting by and through its governing body, the City Council, and BRAZOS COUNTY, TEXAS ( "Brazos County"), acting by and through its governing body, the Commissioners Court. This Agreement is made pursuant to Chapter 791 of the Texas Government Code and Chapter 311 of the Texas Tax Code for the participation of Brazos County in REINVESTMENT ZONE NUMBER TWENTY TWO, CITY OF BRYAN, TEXAS ( "Bryan Reinvestment Zone Number Twenty Two "), a reinvestment zone to be created by the City pursuant to Chapter 311 of the Texas Tax Code. Section 1. DEFINITIONS. As used in this Agreement, the following terms shall have the meanings set out below: "Agreement" means this agreement between the City and Brazos County. "Agreement Tenn" is defined in Section 5. "Brazos County" is defined in the preamble of this Agreement and includes its successors and assigns. "Brazos County Ad Valorem Tax Rate" means the then current ad valorem tax rate of Brazos County, Texas. "Brazos County Tax Increment Partici ation" means the amount of the Brazos County ad valorem tax levy on the Captured Appraised Value, which Brazos County agrees to contribute to the Bryan Reinvestment Zone Number Twenty Two pursuant to Sections 3 and 5 of this Agreement. "Bryan Reinvestment Zone Number Twenty Two" means Reinvestment Zone Number Twenty Two, City of Bryan, Texas, to be created by the City over the Bryan Reinvestment Zone Number Twenty Two Area. "Bryan Reinvestment Zone Number Twenty Two Area" shall mean the area of the City to be included in Bryan Reinvestment Zone Number Twenty Two, being substantially as described in Exhibit "A" attached hereto. "Captured Appraised Value" means the captured appraised value of the Bryan Reinvestment Zone Number Twenty Two, as defined by Chapter 311, Texas Tax Code. Thy" is defined in the preamble of this Agreement and includes its successors and assigns. "City's Tax Increment Participation" shall mean an amount equal to one hundred percent (100 %) of the ad valorem taxes collected by the City each year during the duration of Bryan Reinvestment Zone Number Twenty Two on the Captured Appraised Value of real property within the Bryan Reinvestment Zone Number Twenty Two. "Plan" means the project plan and reinvestment zone financing plan for the Bryan Reinvestment Zone Number Twenty Two which shall be adopted by the board of directors of the Bryan Reinvestment Zone Number Twenty Two and approved by the City Council of the City. "Tax Increment Fund" means the tax increment fund created by the City in the City Treasury for the Bryan Reinvestment Zone Number Twenty Two. Terms used herein and not otherwise defined shall have the meanings ascribed to them in Chapter 311, Texas Tax Code. Section 2. PURPOSE FOR CREATING THE ZONE. The City proposes to create the Bryan Reinvestment Zone Number Twenty Two for the purposes of development in the Bryan Reinvestment Zone Number Twenty Two Area as more specifically described in the Plan. Brazos County desires to participate in the Bryan Reinvestment Zone Number Twenty Two in consideration for the agreements set forth below. Section 3. OBLIGATIONS OF BRAZOS COUNTY. (a) Tax Increment Participation. For and in consideration of the agreements of the parties set forth herein, Brazos County agrees to participate in the Bryan Reinvestment Zone Number Twenty Two by contributing one hundred percent (100 %) of the ad valorem taxes collected by Brazos County each year during the term of this Agreement on the Captured Appraised Value of real property within the Bryan Reinvestment Zone Number Twenty Two less that portion of the ad valorem taxes pledged by Brazos County to debt service. Currently, the tax rate upon which the Brazos County Tax Increment Participation would be determined is based upon a tax rate equal to thirty-nine and 30/100 (39.30¢) per one hundred dollars valuation. However, the tax rate and the portion of the tax rate pledged directly to debt service are subject to change and the Brazos County Tax Increment Participation herein pledged shall change as both Brazos County's tax rate and tax rate pledged to debt service changes. (b) Payment Dates. Brazos County's Tax Increment Participation and obligation to participate in the Bryan Reinvestment Zone Number Twenty Two shall be restricted to its tax increment collected on the Captured Appraised Value in the Bryan Reinvestment Zone Number Twenty Two. Brazos County shall not be obligated to pay its Brazos County Tax Increment Participation from other Brazos County taxes or revenues or until the Brazos County Tax Increment Participation in the Bryan Reinvestment Zone Number Twenty Two is actually collected. The obligation to pay the Brazos County Tax Increment Participation shall commence as taxes representing the Brazos County tax increment are collected by Brazos County and payment shall be due fifteen (15) days after collection. (c) Expansion of the Zone. The obligation of Brazos County to participate in the Bryan Reinvestment Zone Number Twenty Two is limited to (i) the area described in Exhibit "A" attached hereto and (ii) the projects set forth in the Plan. Brazos County's participation shall not extend to the tax increment on any additional property added to the Bryan Reinvestment Zone Number Twenty Two by the City unless Brazos County approves the participation. (d) Representation on Board of Directors. Brazos County shall have the unequivocal right to appoint to and maintain one (1) member on the Bryan Reinvestment Zone Number Twenty Two Board of Directors. Failure of Brazos County to appoint a person to the Board of Directors of the Bryan Reinvestment Zone Number Twenty Two by April 1, 2007 shall not be deemed a waiver of Brazos County's right to make an appointment by a later date. �3 - a14 (e) Reimbursement of Creation Expenses. Brazos County shall be entitled to reimbursement for its actual costs associated with the creation of the Bryan Reinvestment Zone Number Twenty Two, in accordance with the Plan. Section 4. FINANCING ISSUES. (a) Approval of Plan. The parties agree that Brazos County, acting through its County Commissioners Court, shall be permitted to review and approve the Plan and any amendment to the Plan including, without limitation, the elimination of projects described in the Plan as originally approved, before the Plan, or any amendment to the Plan, is submitted to the City Council for City approval. Failure to approve the Plan or any amendments or changes thereto shall permit the County to terminate its participation in Bryan Reinvestment Zone Number Twenty Two. (b) Financins of Project Costs. Brazos County shall participate in the payment of project costs only to the extent and in the priority described in the Plan. The City and the Board of Directors of Bryan Reinvestment Zone Number Twenty Two shall be entitled to enter into any other agreements to pay the principal and interest on bonds or other obligations issued by the City as described in the Plan, from the tax increments paid into the Tax Increment Fund by the City without the consent of Brazos County. The City and the Bryan Reinvestment Zone Number Twenty Two reserve the right to impose yield restrictions and enter into covenants with the holders of bonds and notes of the City and/or the Bryan Reinvestment Zone Number Twenty Two with respect to the investment and reinvestment of funds received from Brazos County's participation if, in the opinion of nationally recognized bond counsel, such action is necessary to avoid being classified as "arbitrage bonds" under the provisions of the Internal Revenue Code of 1986. Section 5. TERM OF AGREEMENT. This Agreement shall become effective as of the date of the final signature hereto, and shall remain in effect until the earlier of (i) April 1, 2027, (ii) the date on which the Plan has been fully implemented and all Project Costs (as defined in Texas Tax Code §311.002, and as may be further limited in the Plan), tax increment bonds, interest on such tax increment bonds payable from tax increment collected on the Captured Appraised Value of the real property within the Bryan Reinvestment Zone Number Twenty Two have been paid in full. The first payment of increment taxes by Brazos County under this Agreement shall be for those taxes as levied by Brazos County in the year 2008 and, notwithstanding the preceding paragraph, the last payment by Brazos County under this Agreement is for those taxes levied by Brazos County in the year 2023. Section 6. OBLIGATIONS OF THE CITY. (a) Tax Increment Partici ation. For and in consideration of the agreements of the parties set forth herein, the City agrees to participate in the Bryan Reinvestment Zone Number Twenty Two by contributing the City's Tax Increment Participation. The City's participation is subject to changes in its tax rate. (b) Payment Dates. The obligation to pay the City Tax Increment Participation shall commence as taxes representing the City tax increment are collected by the City and payment shall be due fifteen (15) days after collection. Section 7. MISCELLANEOUS. (a) Severability. In the event any term, covenant or condition herein contained shall be held to be invalid by any court of competent jurisdiction, such invalidity shall not affect any other term, covenant or condition herein contained, provided that such invalidity does not materially prejudice either Brazos County or the City in their respective rights and obligations contained in the valid terns, covenants or conditions hereof. In the event any term, covenant or condition shall be held invalid and affects in any manner the limitations on Brazos County's a3 a i� contributions or participation, then this Agreement shall be void as to Brazos County and Brazos County shall have no liability for any incremental or other payments as may otherwise be provided for in this Agreement. (b) Entire Agreement. This Agreement merges the prior negotiations and understandings of the parties hereto and embodies the entire agreement of the parties, and there are no other agreements, assurances, conditions, covenants (express or implied) or other terms with respect to the covenants, whether written or verbal, antecedent or contemporaneous, with the execution hereof. (c) Written Amendment. Unless otherwise provided herein, this Agreement may be amended only by written instrument duly executed on behalf of each party. (d) Notices. All notices required or permitted hereunder shall be in writing and shall be deemed delivered when actually received or, if earlier, on the third (3rd) day following deposit in a United States Postal Service post office or receptacle with proper postage affixed (certified mail, return receipt requested) addressed to the respective other party at the address prescribed below, or at such other address as the receiving party may have theretofore prescribed by notice to the sending party. Failure of any party hereto to insist on the strict performance of any of the agreements herein or to exercise any rights or remedies accruing hereunder upon default or failure of performance shall not be considered a waiver of the right to insist on, and to enforce by any appropriate remedy, strict compliance with any other obligation hereunder or to exercise any right or remedy occurring as a result of any future default or failure of performance. (f) Assi nmgent. Except for the City's right to assign and delegate this Agreement and the performance of obligations to the Board of Directors of Bryan Reinvestment Zone Number Twenty Two, no party shall assign this Agreement by operation of law or otherwise without the prior written consent of the other parties and no party shall delegate any portion of its performance under this Agreement without the written consent of the other parties. (g) Successors. This Agreement shall bind and benefit the parties and their legal successors. This Agreement does not create any personal liability on the part of any officer or agent of the City or Bryan Reinvestment Zone Number Twenty Two or any trustee, officer, agent or employee of Brazos County. (h) No Waiver of Immunity. No party hereto waives or relinquishes any immunity or defense on behalf of itself, its trustees, officers, employees, and agents as a result of its execution of this Agreement and performance of the covenants contained herein. (i) Waiver of Sixth (60 ) Day Notice Requirement. Brazos County hereby acknowledges and represents that it waived the notice requirements with respect to the January 23rd, 2007 public hearing held by the City in accordance with the provision of Section 311.003(e) of the Texas Tax Code. Specialized- $118.20; A. For and in consideration of the above described services, Brazos County agrees to pay the Service Agency an amount not to exceed Basic - $37.00, Moderate - $82.22, Specialized $118.20. This fee does not exceed the actual cost of child care in the Service Agency, which is the same as above, and does not exceed the amount allowed in the current Criminal Justice Division /Health and Human Services Maximum Rate Schedule. Total reimbursement under this contract shall not exceed awarded grant amount. B. If a child is certified to be eligible for the Title IV -E Reimbursement Program and the rate stated in Section I.A. above is different that the Level of Care rate assigned to that child as per the Health and Human Services Code, that child will be billed at the actual Level of Care rate. C. Recognizing that a part of a client's rehabilitation program may include time away from the residential setting of the Service Agency such as weekends, holidays, etc., and that the Service Agency must retain space for this client until his return, Brazos County will pay the Service Agency the above agreed upon amount for such regularly scheduled days away from the Service Agency or its program providing they do not exceed ten (10) days' payment. D. If a client makes an unauthorized departure from the Service Agency, Brazos County shall be notified immediately. If the client returns to the Service Agency within ten (10) days or prior to the last billing day of the month, whichever shall occur first, the Service Agency shall receive payment for those days the client was absent from the Service Agency, but not to exceed ten (10) days' payment. E. The Service Agency is under no obligation to retain space for the client in unauthorized departure situations. f. Payment is to be made monthly. Claim for payment will be submitted no later than ten (10) days from the last day of the month for which payment is being requested. G. Each billing should contain the name of the client or clients for whom payment is being requested, along with the number of days (stated consecutively) for which payment is requested. H. The Service Agency is under no obligation to accept a client who is deemed inappropriate for placement in the program by the Service Agency. The Service Agency shall be licensed by the Department of Family and Protective Services or an equally equivalent agency for their programs. If a child in placement at the Service Agency makes an unauthorized departure, becomes seriously ill, or is involved in an incident of a serious nature, the Service Agency shall notify the Brazos County Placement Officer immediately and ensure that parents and proper authorities, including the Department of Family and Protective Services, are notified. L. Brazos County reserves the right to terminate the child's placement at the Service Agency at its discretion. The Service Agency must not release the child to any person or agency other than Brazos County without the express consent of Brazos County. M. Brazos County must approve the child's participation in any furloughs, home visits, or extended agency trips. N. Unless otherwise stipulated by Brazos County, the child may visit freely with parents and relatives at the home in accordance with established Service Agency policies. O. Suspected or alleged cases of child abuse must be immediately reported to the Brazos County Placement Officer and the Department of Family and Protective Services. II. INDIVIDUAL CASE PLAN AND FAMILY INVOLVEMENT A. Each client placed with the Service Agency shall have a written Case Plan developed in concert with the client and mutually agreed upon by the appropriate Service Agency staff and appropriate Brazos County personnel prior to placement. B. The Case Plan shall be reviewed jointly by the appropriate Service Agency staff, the child, and appropriate Brazos County personnel at reasonable intervals, not to exceed ninety (90) days, to assess the client's progress with modification of the Case Plan being made when indicated. C. The Case Plan shall contain the reasons why the placement will benefit the client; shall specify behavioral goals and objectives being sought for each client; shall state how the goals and objectives are to be achieved in the Service Agency placement; and shall state how the parent(s), guardian(s), and where possible, grandparents or other extended family members will be involved in the Case Plan to assist in preventing or controlling the client's alleged delinquent behavior or conduct indicating a need for supervision as defined in the Texas Family Code. D. Copies of the original Case Plan and the periodic review are to be maintained by the Service Agency and the Brazos County Placement Officer. E. Goals, Outputs, and Measurable Outcomes: l . The Service Agency agrees to pursue the goals and values of the Brazos County Juvenile Probation Department through providing services to clients which enable client growth and development to the client's fullest potential. This development will be through the provision of a safe, drug -free environment in which counseling services are utilized as tools for educational, emotional, and behavioral catharsis. 2. The Service Agency shall provide the Brazos County Juvenile Probation Department, within ten (10) working days, information which outlines the services provided to clients. These output measures might include, but are not limited to: a. Average length of stay of clients. Glen Mills - Contract Period 03/05/07 - 08/31 /07 Page 2 of 6 b. Specific type of milieu implemented by the Service Agency. C. Average number of counseling hours provided each client daily, weekly, or monthly. d. Number and types of reporting measures. 3. The Service Agency agrees to furnish the Brazos County Juvenile Probation Department the annual indicators which express the effectiveness of the Service Agency in providing Public benefit. These measurable outcomes will be submitted annually and may include: a. The percentage of clients successfully completing the program. b. The percentage of clients who are reunified with family or guardians. C. The percentage of youth who remain drug -free, do not re- offend, and /or remain in school for a designated aftercare period. III. EXAMINATION OF PROGRAM AND RECORDS A. The Service Agency agrees that it will permit Brazos County to examine and evaluate its program of services provided under the terms of this Contract and to review Brazos County client records. This examination and evaluation of the program will include unscheduled site visitations, observation of programs in operation, interviews, and the administration of questionnaires to the staff of the Service Agency and the client. B. The Service Agency shall provide Brazos County such descriptive information on contracted clients as requested on forms provided by Brazos County. C. The Service Agency shall provide Brazos County their annual TJPC /DFPS Facility Monitoring Report, facility Registry information, and child abuse and neglect investigation statistics. These shall be provided annually prior to contract execution. D. The Service Agency agrees to maintain and make available for inspection, audit, or reproduc- tion by an authorized representative of Brazos County, books, documents, and other evidence pertaining to the cost and expenses of this Contract, hereinafter called the Records. This includes profit and loss statement, annual financial statements, and outside, independent audits. These documents will be provided to Brazos County prior to entering into or renewing contract. E. The Service Agency agrees to maintain these Records for three (3) years after final payment or until the State- approved audit has been made and all questions therefrom are resolved. F. The Service Agency shall adhere to all applicable state and federal laws and Regulations pertinent to the Service Agency's provision of services to Brazos County, G. Under Section 231.006, Family Code, the Service Agency certifies that it is not ineligible to receive the specified grant, loan, or payment and acknowledges that this contract may be terminated and payment may be withheld if this certification is inaccurate. IV. FEE ASSESSMENT A. Clients or their families shall not be assessed fees for services by the Service Agency unless arrangements are specified by the Court. This does not preclude reasonable attempts to seek voluntary contribution from families of County clients for donations of clothing, personal articles, Glen Mills - Contract Period 03/05/07 - 08/31/07 Page 3 of 6 and funds to assist in supporting a youth's rehabilitation. B. Any and all medical treatments required to meet the needs of the child shall be the sole responsibility of the said child's parent (s), guardion(s), or court - ordered appointed conservator, by either personal payment, health insurance, or Medicaid coverage, as well as clothing, or other expenses not provided for in the Service Agency's program. It is the Service Agency's responsibility to ensure the child's eligibility for Medicaid. Brazos County will not be responsible for medical expenses for a child who is Medicaid eligible. In the event that the parent or guardian is unable to assume this financial responsibility, the Brazos County Juvenile Probation Department will assume such to a limited extent provided funds are available and prior authorization by the Chief Executive Officer has been secured, accepting only genuine medical emergencies. C. If a client is eligible for fiscal support from another state agency or organization, the Service Agency shall ensure that Brazos County is not charged for such fiscal support for which the client is otherwise eligible. D. The Service Agency agrees to account separately for the receipt and expenditure of any and all state funds received from Brazos County. These state funds are dispersed through the Texas Juvenile Probation Commission to fund residential care. These records will be included in the information provided to Brazos County at the time of contract renewal or execution of an initial contract. V. EQUAL OPPORTUNITY Services shall be provided by the Service Agency in compliance with the Civil Rights Act of 1964. OFFICIALS NOT TO BENEFIT No officer, member, or employee of Brazos County and no member of its governing body, and no other public officials of the governing body of the locality or localities in which the project is situated or being carried out who exercise any functions or responsibilities in the review or approval of the under- taking or carrying out of this project, shall participate in any decision relating to this Contract which affects his personal interest or have any personal or pecuniary interest, direct or indirect, in this Contract or the proceeds thereof. VII. INDEMNIFICATION It is further agreed that the Service Agency will indemnify and hold harmless Brazos County against any and all negligence, liability, loss, costs, claims, or expenses arising out of wrongful and negligent act(s) of commission or omission of the Service Agency, its agents, servants, or employees arising from activities under this Contract. The Service Agency shall have no obligations to indemnify and hold harmless Brazos County for any act(s) of commission or omission of Brazos County or Brazos County's agents, servants, or employees arising from or related to this Contract from which a claim or other action is made. VIII. DANGEROUS CHILDREN The Service Agency may be working with violent and potentially dangerous persons. Therefore, it is the Service Agency's duty to alert and inform the Brazos County Placement Officer and the Chief Executive Officer or his designee of any threatened or potentially dangerous situation which may arise from or in conjunction with any services the Service Agency provides hereunder. The Service Agency further agrees that Brazos County is not responsible for such violent or dangerous conduct, or liable for any damages arising therefrom, on the part of any persons with whom the Service Agency works or comes into contact with pursuant to this Agreement. X. TERMINATION A. This contract may be terminated by either party by giving ten (10) days written notice to the other party hereto of the intention to terminate. B. Termination of the clients residence with or receipt of services from the Service Agency shall occur only after notifying the Brazos County Placement Officer of the causes and with sufficient lead time of at least ten (10) days to allow alternate placement or referral for service. XI. LAW AND VENUE In any legal action arising under this Contract, the laws of Texas shall apply and venue shall be in Brazos County. XII. Recognizing that a part of a client's rehabilitation program may include time away from the residential setting of the Service Agency such as weekends, holidays, etc., and that the Service Agency must retain space for this client until his return, Brazos County will pay the Service Agency the above agreed upon amount for such regularly scheduled days away from the Service Agency or its program providing they do not exceed ten (10) days' payment. D. If a client makes an unauthorized departure from the Service Agency, Brazos County shall be notified immediately. If the client returns to the Service Agency within ten (10) days or prior to the last billing day of the month, whichever shall occur first, the Service Agency shall receive payment for those days the client was absent from the Service Agency, but not to exceed ten (10) days' payment. E. The Service Agency is under no obligation to retain space for the client in unauthorized departure situations. F. Payment is to be made monthly. Claim for payment will be submitted no later than ten (I o) days from the last day of the month for which payment Is being requested. G. If a child in placement at the Service Agency makes an unauthorized departure, becomes seriously ill, or is involved in an Incident of a serious nature, the Service Agency shall notify the Brazos County Placement Officer immediately and ensure that parents and proper authorities, including the Texas Department of Public and Regulatory Services, are notified. L. Brazos County reserves the right to terminate the child's placement at the Service Agency at its discretion. The Service Agency must not release the child to any person or agency other than Brazos County without the express consent of Brazos County. M. Brazos County must approve the child's participation in any furloughs, home visits, or extended agency trips. N. Unless otherwise stipulated by Brazos County, the child may visit freely with parents and relatives at the home in accordance with established Service Agency policies. O. Suspected or alleged cases of child abuse must be Immediately reported to the Brazos County Placement Officer and the Department of Family and Protective Services. INDIVIDUAL CASE PLAN AND FAMILY INVOLVEMENT A. Each client placed with the Service Agency shall have a written Case Plan developed in concert with the client and mutually agreed upon by the appropriate Service Agency staff and appropriate Brazos County personnel prior to placement. B. The Case Plan shall be reviewed jointly by the appropriate Service Agency staff, the child, and appropriate Brazos County personnel at reasonable intervals, not to exceed ninety (90) days, to assess the client's progress with modification of the Case Plan being made when indicated. C. The Case Plan shall contain the reasons why the placement will benefit the client; shall specify behavioral goals and objectives being sought for each client; shall state how the goals and objectives are to be achieved in the Service Agency placement; and shall state how the parent(s), guardian(s), and where possible, grandparents or other extended family members will be involved in the Case Plan to assist in preventing or controlling the client's alleged delinquent behavior or conduct indicating a need for supervision as defined in the Texas Family Code. D. Copies of the original Case Plan and the periodic review are to be maintained by the Service Agency and the Brazos County Placement Officer. E. Goals, Outputs, and Measurable Outcomes: The Service Agency agrees to pursue the goals and values of the Brazos County Juvenile Probation Department through providing services to clients which enable client growth and development to the client's fullest potential. This development will be through the provision of a safe, drug -free environment in which counseling services are utilized as tools for educational, emotional, and behavioral catharsis. 2. The Service Agency shall provide the Brazos County Juvenile Probation Department, within ten (10) working days, information which outlines the services provided to clients. Specific type of milieu implemented by the Service Agency. c. Average number of counseling hours provided each client daily, weekly, or monthly. d. Number and types of reporting measures. 3. The Service Agency agrees to furnish the Brazos County Juvenile Probation Department the annual indicators which express the effectiveness of the Service Agency in providing public benefit. These measurable outcomes will be submitted annually and may include: The percentage of clients successfully completing the program. b. The percentage of clients who are reunified with family or guardians. The percentage of youth who remain drug -free, do not re- offend, and /or remain in school for a designated aftercare period. III. EXAMINATION OF PROGRAM AND RECORDS A. The Service Agency agrees that it will permit Brazos County to examine and evaluate its program of services provided under the terms of this Contract and to review Brazos County client records. This examination and evaluation of the program will include unscheduled site visitations, observation of programs in operation, interviews, and the administration of questionnaires to the staff of the Service Agency and the client. B. The Service Agency shall provide Brazos County such descriptive information on contracted clients as requested on forms provided by Brazos County. C. The Service Agency shall provide Brazos County their annual TJPC /DFPS Facility Monitoring Report, facility Registry information, and child abuse and neglect investigation statistics. These shall be provided annually prior to contract execution. D. The Service Agency agrees to maintain and make available for inspection, audit, or reproduc- tion by an authorized representative of Brazos County, books, documents, and other evidence pertaining to the cost and expenses of this Contract, hereinafter called the Records. This includes profit and loss statement, annual financial statements, and outside, independent audits. These documents will be provided to Brazos County prior to entering into or renewing contract. E. The Service Agency agrees to maintain these Records for three (3) years after final payment or until the Stare- approved audit has been made and all questions therefrom are resolved. F. The Service Agency shall adhere to all applicable state and federal laws and Regulations pertinent to the Service Agency's provision of services to Brazos County, G. IV. FEE ASSESSMENT A. Clients or their families shall not be assessed fees for services by the Service Agency unless arrangements care specified by the Court. This does not preclude reasonable attempts to seek voluntary contribution from families of County clients for donations of clothing, personal articles, and funds to assist in supporting a youth's rehabilitation. It is the Service Agency's responsibility to ensure the child's eligibility for Medicaid. Brazos County will not be responsible for medical expenses for a child who Is Medicaid eligible. In the event that the parent or guardian is unable to assume this financial responsibility, the Brazos County Juvenile Probation Department will assume such to a limited extent provided funds are available and prior authorization by the Chief Executive Officer has been secured, accepting only genuine medical emergencies. C. The purpose of the Contract is to outline the responsibilities of each of the parties in the operation of the Indigent Health Care and Treatment Act, created by House Bill 1398 during the Special Session of the 76thTexas State Legislature. The parties mutually agree as follows: In compliance with the Indigent Health Care and Treatment Act and the Texas Constitution, the County agrees to provide the financial resources for the mandatory, Inpatient, Outpatient, Physician, Prescription, X -Ray, Laboratory, Rural Health Clinic and Family Planning Services to Eligible household members that meet the requirements of the Act, the Texas Department of Health (TDH) Handbook, and the BVCOG. RATES FOR REIMBURSEMENT The County agrees to join other counties in the region and provide a pro -rata share of funds for the Administration of the County Indigent Health Care (CIHC) Program by BVCOG for the State Dept. of Health, Region 7. The amount payable by BRAZOS COUNTY to BVCOG is $96,700.00 through September 30, 2007. Payment will be made to the BVCOG, quarterly. RESPONSIBILITIES OF BVCOG For and in consideration of the funding provided by the County, the BVCOG will be responsible for providing the following services pursuant to this Contract: 1. Providing all necessary application forms to potentially Eligible Individuals. 2. Provide intake services in the County at least once a month. 3. Assist applicants in completing all necessary forms. 4. Determine the Eligibility of each applicant with regard to residency and qualifications defined in the Act, including but not limited to Sections 1.01 and 1.04. The COUNTY agrees that every animal delivered to the SHELTER in accordance with this agreement, shall become the sole and exclusive property of the SHELTER (subject to reclamation by the owner), so that neither the COUNTY not any agency nor agent of the COUNTY, nor of the State of Texas, nor any institution, corporation nor individual shall have any claim or right to any animal not so claimed and redeemed. The COUNTY agrees, that the SHELTER shall have the undisputed right, consistent with the orders of the COUNTY, to humanely dispose of every animal given into its custody in accordance with the SHELTER's principles as follows: a. To place animals in the care, custody and control of new owners; and b. To humanely destroy animals which are not claimed by owners and which are not suitable for placement in the care, custody and control of new owners. 6. The SHELTER agrees to accept each and every animal delivered to the Facility located in Brazos County, Texas, by the agents of the COUNTY and to provide each and every such animal with shelter, food, water and all other humane treatment of the same degree and kind that the SHELTER provides for all other animals which may come into its care, custody and control. The COUNTY shall not acceptor surrender of ownership of an animal by its owner in the Feld. 7. The SHELTER agrees that it will make its Facility available to the COUNTY during its open hours and during periods of closure for the purpose of delivering animals to the SHELTER. 8. The SHELTER agrees to provide to the COUNTY on or before the 15th day of each month during the term of this contract a statement of the number of dogs, cats and miscellaneous animals received by the SHELTER from the COUNTY or otherwise retrieved from Brazos County, the number of days held and the number of dogs and cats issued County tags during the preceding 30 day period. 9. The COUNTY reserves the right to require an audit of the records of the SHELTER at any time deemed necessary for the limited purpose of verifying the number of animals registered and the number of animals. attributable to the COUNTY and the length of stay of each such animal. 10. It is mutually agreed that the SHELTER shall provide facilities for rabies observation for at least six (6) dogs and eight (8) cats. Animals delivered to the SHELTER by the COUNTY for rabies observation shall be isolated for a period of time in accordance with State law. In the event animals are being held by the SHELTER as a result of a cruelty seizure or a legal hold has been placed upon the animals as a result of a criminal prosecution, the COUNTY shall reimburse the SHELTER for any veterinarian invoices and medical bills incurred by the SHELTER. 12. SHELTER shall at all times relevant to the fulfillment of this Agreement have, keep, and maintain. insurance covering general. liability, worker's compensation if.required by State law, and automobile liability. Workers Compensation insurance shall be at statutory limits, including employers' liability coverage at minimum limits of $500,000.00 each accident. The General Liability insurance shall have a minimum combined single limit for bodily injury, personal injury, and property damage of $1,000,000.00 per occurrence. Automobile Liability insurance shall be continuously held with limits for bodily injury and for property damage of not less than $1,000,000.00 on all self - propelled vehicles used in connection with the animal control operation, whether owned, non -owned or hired Copies of certificates evidencing such insurance as herein required shall be sent to the COUNTY for its records. The SHELTER agrees, to the extent allowed by law, to indemnify and hold harmless the COUNTY from any claims, .damages, or causes of .action which might _arise from any obligations of SHELTER as outlined herein; and SHELTER specifically agrees to indemnify the COUNTY against all claims, damages or causes of action which might arise as a result of acts, omissions or negligence of SHELTER or its agents arising out of SHELTER's obligations under this Agreement. The COUNTY agrees, to the extent allowed by law, to indemnify and hold harmless the SHELTER from any and all claims, damages, or causes of action which arise as a result of acts, omissions or negligence of the COUNTY or its agents arising of the COUNTY's obligations under this Agreement. 14. In the event the COUNTY fails to remit to the SHELTER the fees due hereunder, the COUNTY shall be in default. The SHELTER shall terminate the agreement for non- payment of fees if the COUNTY has not cured its default after 30 days written notice. 15. Th is. Agreement is not.assignable by either party. 16.
