To make arrangements, call (979) 361 -4102. vIl d0 COMMISSIONERS' COURT REGULAR MEETING FEBRUARY 27, 2007 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Tuesday, February 27, 2007 with the following members of the Court present: Randy Sims, County Judge, Absent; Lloyd Wassermann, Commissioner of Precinct 1; Duane Peters, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4 Presiding; Karen McQueen, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. Commissioner Peters gave the invocation and led the pledge of allegiance. There was no citizen input /and or concerns. The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. On motion by Commissioner Mallard, seconded by Commissioner Peters, the Court voted unanimously to approve the changes as submitted. Vol Cl I Page d SV Commissioners Court meeting February 27, 2006 2 The County Judge read aloud Proclamation #07 -024 designating the week of March 4 through 10, 2007 as "Severe Weather Awareness Week ". The Court joins with the Governor's Division of Emergency Management, the National Weather Service and the Federal Emergency Management Agency to urge all citizens to prepare for severe weather events and to educate themselves on safety strategies. On motion by Commissioner Cauley, seconded by Commissioner Peters the Court moved to proclaim the week of March 4 through 10, 2007 as "Severe Weather Awareness Week" throughout Brazos County. The County Judge then presented the signed Proclamation to Mr. Chuck Frasier, Emergency Management Coordinator. The County Judge read aloud Proclamation #07 -025 designating the week of February 24 through March 3, 2007 as "Entrepreneurship Week ". The Court joins with the mayors of the cities of Bryan and College Station to encourage entrepreneurship because it is indispensable to the Texas economy. On motion by Commissioner Cauley, seconded by Commissioner Peters the Court moved to proclaim the week of February 24 through March 3, 2007 as "Entrepreneurship Week" throughout Brazos County. The County Judge then presented the signed Proclamation to Mr. Chuck Martinez, representing the Research Valley Partnership. Vol CA ( Page a 51 Commissioners Court meeting February 27, 2006 3 The next matter before the Court was consideration of a contract with Milliman, Inc. for acturarial services required to meet GASB 45 requirements. Commissioner Peters asked what projection period was covered. The Auditor said at least twenty years. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the contract and authorized the County Judge to execute the document. A copy is attached. The Court next considered a cooperative work agreement with the Rape Crisis Center, Brazos Valley to provide referral services to anyone expressing need for sexual assault resources and /or counseling. On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to approve the cooperative agreement and authorized the County Judge to execute the document. A copy is attached. The Court next considered a request from Constable Precinct 2, Donald Lampo, to appoint Robert A. McFarland, as a non -paid Deputy Constable. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the request from Constable Lampo to appoint Robert A. McFarland, as a non -paid Deputy Constable subject to appointment being within the allotted number of Vol oil Page a 5;�- Commissioners Court meeting February 27, 2006 deputies. 4 The next matter before the Court was consideration of a Waiver of the 60 day requirement for a public hearing on the proposed amendment to TIF #8, Park Hudson. On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to approve the request for waiver of the 60 day requirement. The Court next considered setting the date and time for a Public Hearing on the posting of speed limits from the intersection FM974 and North Country Drive to Vaquero, and from Vaquero to Blazing Trail in North County Subdivision located in Precinct 2. On motion by Commissioner Peters, seconded by Commissioner Mallard and Wassermann, the Court voted unanimously to set Tuesday, March 13, 2007 at 10:00 a.m. in the Commissioners Courtroom as the date and time for the Public Hearing on the posting of speed limits in North Country Subdivision. The next matter for consideration was approval of a tax refund application from the following individual and /or company: a) First American Title Insurance, Payment in error $3,095.98 On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to approve the tax refund Vol q1 Page 15-15 Commissioners Court meeting February 27, 2006 application. 5 The next matter before the Court was the adoption of Resolution No.07 -002 in support of the two percent (2 %) county occupancy tax for any county with a population of more than 150,000 and borders the Brazos and Navasota rivers. On motion by Commissioner Mallard, seconded by Commissioner Peters, the Court voted unanimously to adopt the resolution and forward a copy to our representatives in the Texas State Legislature. The Court next considered an amendment to the Blanket Maintenance Agreement with Ikon for copier maintenance. This amendment is to lower the copy volume. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the amendment to the Blanket Maintenance Agreement with Ikon. A copy is attached. The Court next considered the declaration of surplus property as salvage. This property was advertised for sale in accordance with Local Government Code §263.152 and received no bids. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to declare the property as salvage and authorized its destruction or other disposal. The next matter for consideration was approval for the Purchasing Agent to advertise Bid 2007 -031, Purchase of Two 6- al � Vol Page � Commissioners Court meeting February 27, 2006 6 8 Yard Dump Trucks. On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to authorize the Purchasing Agent to advertise for bids for the Purchase of Two 6 -8 Yard Dump Trucks. The next matter for consideration was approval for the Purchasing Agent to advertise Bid 2007 -032, a Telecommunication System for the Sheriff's Administration Building, the Exposition Center and the County Administration Building. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to authorize the Purchasing Agent to advertise for bids for a telecommunications system. The next matter for consideration was approval for the Purchasing Agent to advertise RFQ 2007 -033, a Construction Manager at Risk for the Jail Addition. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to authorize the Purchasing Agent to advertise for bids for a Construction Manager at Risk for the Jail Addition. The Sheriff commented that the jail population last night was at 556 so this is very timely. The Court next considered a Letter of Request for Waiver and Resolution for Federal Off- System Bridge Replacement or Rehabilitation Program with the Texas Department of Vol cl ( Page J 55 Commissioners Court meeting February 27, 2006 7 Transportation for the replacement of the bridge on Leonard Road at Thompson Creek. On motion by Commissioner Cauley, seconded by Commissioner Wassermann, the Court voted unanimously to authorize the County Judge to execute the Letter of Waiver and to adopt Resolution 07 -003 for Federal Off- System Bridge Replacement or Rehabilitation Program. The next matter before the Court was consideration of a payment authorization from the County Clerk's Office in the amount of $490.00 to American Bank Note Company for bank note security paper. The requisition was issued to the wrong company. On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to approve the payment authorization. The Court next considered a payment authorization from the office of Justice of the Peace, Precinct 2, Place 2 to Wilton's Office Works in the amount of $184.90 for ink cartridges. Commissioner Cauley asked if there was a standardized form because the form submitted by the Sheriff has much more information. The Sheriff said there is not. Project Steps Initial Valuation The initial phase of the analysis is expected to accomplish the following objectives: (a) Data collection — We will gather requested information from Brazos County related to other post - employment benefits (OPEBs) offered to retirees. (b) Valuation — We will perform calculations in accordance with GASB guidance and current actuarial standards of practice. Key computations will include the initial OPEB liability, the annual required contribution, and projected future benefit payments. (c) Sensitivity analysis — We will provide sensitivity analysis to demonstrate the impact of variation in the assumed discount rate and other key assumptions. This information will be valuable in identifying the key drivers of expected cost associated with providing OPEBs to retirees. Key considerations may include: • The effect of potential plan design changes on GASB cost • The impact of changes in employee cost - sharing provisions • Whether advance funding of benefits in a trust is appropriate 3. Ongoing Valuation After completion of the initial valuation and additional analysis, as needed, we will be well- positioned to provide OPEB valuations on an ongoing basis as required under GASB 45. The steps involved in performing ongoing valuations will be similar to the steps described above for the initial valuation. Following completion of the valuation, we will meet with you to discuss results and follow with issuance of a formal valuation report. Requested Information To complete the initial valuation, we will need certain census and plan information. The enclosed Exhibit B provides a list of this information. Timing for Completion of the Initial Valuation From the time we receive the requested information (listed in Exhibit B) and a completed service agreement (included as Exhibit C), we expect to complete the initial valuation within four weeks and schedule a meeting to discuss the results with you. ( "Milliman ") and Brazos County (the of actuarial services required to meet GASB 43/45 requirements as described in ( "Services "). In consideration for Milliman agreeing to perform these services, the Limitation of Liability. Milliman will perform all Services in accordance with applicable professional standards. The parties agree that Milliman, its officers, directors, agents and employees, shall not be liable to the County, under any theory of law including negligence, tort, breach of contract or otherwise, for any damages which exceed 5 times the total professional fees paid in the previous 12- month period. In no event shall Milliman be liable for lost profits of the County or any other type of incidental or consequential damages. The foregoing limitations shall not apply in the event of the intentional fraud or willful misconduct of Milliman. Disputes. In the event of any dispute arising out of or relating to the engagement of Milliman by the County, the parties agree that the dispute will be resolved by final and binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place before a panel of three arbitrators. Within 30 days of the commencement of the arbitration, each party shall designate in writing a single neutral and independent arbitrator. The two arbitrators designated by the parties shall then select a third arbitrator. The arbitrators shall have a background in either insurance, actuarial science or law. The arbitrators shall have the authority to permit limited discovery, including depositions, prior to the arbitration hearing, and such discovery shall be conducted consistent with the Federal Rules of Civil Procedure. The arbitrators shall have no power or authority to award punitive or exemplary damages. The arbitrators may, in their discretion, award the cost of the arbitration, including reasonable attorney fees, to the prevailing party. Any award made may be confirmed in any court having jurisdiction. Any arbitration shall be confidential, and except as required by law, neither party may disclose the content or results of any arbitration hereunder without the prior written consent of the other parties, except that disclosure is permitted to a party's auditors and legal advisors. 3. Choice of Law. The construction, interpretation, and enforcement of this Agreement shall be governed by the substantive contract law of the State of Texas without regard to its conflict of laws provisions. In the event any provision of this agreement is unenforceable as a matter of law, the remaining provisions shall stay in full force and effect. 4. No Third Party Distribution. The deliverables first developed by Milliman hereunder will become the sole property of the County, subject to the provisions set forth herein. Milliman shall retain all rights, title and interest (including, without limitation, all copyrights, patents, service marks, trademarks, trade secret and other intellectual property rights) in and to all technical or internal designs, methods, ideas, concepts, know -how, techniques, generic documents and templates that have been previously developed by Milliman. Milliman's work is prepared solely for the use and benefit of the County in accordance with its statutory and regulatory requirements. Milliman recognizes that materials it delivers to the County may be public records subject to disclosure to third parties, however, Milliman does not intend to benefit and assumes no duty or liability to any third parties who receive Milliman's work and may include disclaimer language on its work product so stating. The County agrees not to remove any such disclaimer language from Milliman's work. To the extent that Milliman's work is not subject to disclosure under applicable public records laws, the County agrees that it shall not disclose Milliman's work product to third parties without Milliman's prior written consent; provided, however, that the County may distribute Milliman's work to (i) its professional service providers who are subject to a duty of confidentiality and who agree to not use Milliman's work product for any purpose other than to provide services to theCounty, or (ii) any applicable regulatory or governmental agency, as required 5. Payment Terms. County acknowledges the obligation to pay Milliman for services rendered, whether arising from the County's request or otherwise necessary as a result of this engagement, at Milliman's standard hourly billing rates for the personnel utilized plus all out -of- pocket expenses incurred. Milliman will bill the County periodically for Services rendered and expenses incurred. All invoices are payable upon receipt. The staff /volunteers of the Rape Crisis Center, Brazos Valley will provide accompaniment to law enforcement, the hospital, and court, when applicable. B. The staff /volunteers of the Rape Crisis Center, Brazos Valley will actively pursue public service presentation opportunities in Brazos County (in schools, community organizations, business groups, agencies, hospitals, etc.) C. The staff of the Rape Crisis Center, Brazos Valley will recruit, train, and supervise volunteers. Their duties will be to provide crisis intervention support, escorts, and speeches when staff is unavailable or has previous engagements. They will be trained and will serve according to the Policies and Procedures of Brazos Countv Rape Crisis Center. 11 a75 D. The Brazos Judge will: This Cooperative Working Agreement serves as a statement of agreement with the External Agency to work with the Brazos County Rape Crisis Center, Inc. to assist the center in accomplishing its stated objectives. The External Agency will also assist the center by referring clients to the center to utilize its many. Without the Brazos County Rape Crisis Center, Inc., the majority of sexual assault victims within a one hundred mile radius would not receive support counseling for this traumatic crime. Also, their legal and medical needs would not be explained and options given, therefore, they would suffer additional unnecessary trauma.
