L~l'AG COMMISSIONERS' COURT REGULAR MEETING NOVEMBER 8, 2005 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Tuesday, November 8, 2005 with the following members of the Court present: Randy Sims, County Judge, Presiding; Lloyd Wassermann, Commissioner of Precinct 1; Duane Peters, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 9; Karen McQueen, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. Commissioner Peters gave the invocation and led the pledge of allegiance. Under citizen input/and or concerns, the following spoke: Greg Rodriquez, 310 McCullough Street, Bryan Thanked the Court for naming Patricia Bonilla- Harrison as the Juvenile Referee and discussed all her community service efforts in helping Brazos County. He thinks she will be a fine asset to the criminal justice system. Daniel Hernandez Said he was proud of Patricia being named Juvenile Referee. He was glad that Hispanics Vol -74 Page q5 Commissioners Court meeting November 8, 2005 2 are finally being recognized and commended the Court for its decision. The Court next considered Budget Amendment #04/05-52.1, which would transfer funds from contingency to Emergency Management. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court next considered Budget Amendment #05/06-6.1 through 6.4, which would transfer funds from Non Departmental to for various departments and Information Technology Department; and reallocate funds for Constable, Precinct 2. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the changes as submitted. The next matter before the Court was consideration of the fiscal year 2005-2006 contract with the Retired & Senior Volunteer Program (RSVP). RSVP will provide services to the citizens of Brazos County. In exchange for their services, Vol 11 Page 'I (a Commissioners Court meeting November 8, 2005 3 the county will pay RSVP $3,500.00 in a single payment. The term of the contract is from October 1, 2005 through September 30, 2006. On motion by Commissioner Wassermann, seconded by Commissioner Mallard, the Court voted unanimously to enter into contract with RSVP. A copy is attached. The Court next considered the following Claims as submitted by the County Treasurer for payment: 7012834 through 7013078 On motion by Commissioner Mallard, seconded by Commissioner Peters, the Court voted unanimously to approve the Claims as submitted. The next matter before the Court was adopting a resolution appointing an individual as part time Magistrate, Associate Judge and Juvenile Referee. Commissioner Wassermann stated he fully respects the Juvenile Board's decision on the appointment of a Juvenile Referee but because he worked with youth for so many years prior to becoming a Commissioner, he had personal convictions that he could not waiver on. He holds this position with youth on a very high plain. 85th District Judge, J. D. Langley explained the process for selecting a Juvenile Referee. It was a unanimous decision not based on her community service or that she is Hispanic but because she was the best qualified choice. County Court at Law # 1 Judge, Randy Michel, also spoke on behalf of and in support of Patricia Bonilla-Harrison. He detailed other reasons for selection that differentiate her from the others. She has more juvenile law experience, prepared, conscientious, managed a local law office, expressed to the Board very creative ideas for juveniles, she's bilingual, she's overcome obstacles to get where she is today, and shown an investment in the life of youth. He asked the Court to ratify the actions of the Juvenile Board. Commissioner Cauley said that he has a problem appointing judges. He feels they aren't accountable to anyone but the judges. They also start off part time and end up full time. He feels we need to move away from this. He'll accept the recommendation of the Juvenile Board but there were other things circulated about Mrs. Harrison that he is concerned about. Commissioner Peters said that in weighing the decision, he keeps going back to the unanimous decision of the judges who know her and who she has practiced before. Commissioner Peters moved to adopt Resolution 15-015, approving Patricia Bonilla Harrison as a part time Magistrate, Associate Judge and Juvenile Referee effective January 1, 2006. Commissioner Wassermann abstained. The motion carried. On motion by the County Judge, seconded by Commissioner Cauley, the Court voted unanimously to adopt Resolution #05- 016 setting the guidelines and criteria for granting tax abatement in Brazos County, Texas. A copy is attached. The next matter before the Court was approval of a service agreement with Certifion Corporation for access to Entersect Online for the benefit of law enforcement. The cost to Brazos County will be $79.00 per person per month for unlimited access to the EPO (Entersect Police Online) product or annual cost of $75.00 per user, per month for unlimited access to the EPO product for 12 months. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to enter into contractual agreement with Certifion Corporation. A copy of the contractual agreement is attached. The Court next considered approval of an Interim Contract with the Brazos Animal Shelter to reduce animal control problems in Brazos County. Cost to Brazos County will be $900.00 monthly and payment rate of time and a half while responding to a Sheriff's request for assistance. The term of the contract is from the execution date through December 31, Vol 7t Page qq Commissioners Court meeting November 8, 2005 6 2005 or earlier upon completion of the duties under the contract. On motion by the County Judge, seconded by Commissioner Peters, the Court voted unanimously to approve the Interim Contract with the Brazos Animal Shelter. A copy is attached. The Court next considered approval of a Maintenance Agreement with Affiliated Communications, Inc. for service on county telephone equipment. The term of the contract is for a period of 12 months commencing on August 1, 2005 and continuing through July 31, 2006. The cost to Brazos County is $26,004.00. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the agreement. A copy is attached. The next matter for consideration was approval of tax refund applications from the following individuals and/or companies: a) James J. and Sharon H. Dent, Over Payment $32.17 b) W. J. Properties, Over Payment $38.25 c) Diana Gill, Over Payment $84.21 d) Frank, Elmore, Lievens & Van, Over Payment $211.92 On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to approve the tax refund applications. The next matter before the Court was a request from the Vol Page /00 Commissioners Court meeting November 8, 2005 7 Sheriff's office to transfer $1,352.00 from Class 1423 Position 5 to Class 1422 position 1 in their Personnel Budget. On motion by the County Judge, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. The Court next considered a proposed Brazos Center cleanup pay rate for part time temporary staff. On motion by Commissioner Mallard, seconded by the County Judge, the Court voted unanimously to table consideration. The next matter for consideration was a request from the Information Technology Department to reclassify class 1214, Position 1, PC Support/Info Specialist, currently at Group 18, Step 8 to Class 1215, Position 3, PC Specialist, Pay Group 17, Step 2 in their Personnel Budget. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the request. The Court next considered approval of requisition #00006703 for the purchase of equipment for a Sheriff's Department vehicle. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the requisition in the amount of $1,377.50. The next matter before the Court was approval of two requisitions. The first requisition being #0006744 in the amount of $105,093.00 for the purchase of vehicles for Vol -7-4 Page /01 Commissioners Court meeting November 8, 2005 8 Building Maintenance, Brazos Center, and Road and Bridge Department. The second requisition being #00006748 in the amount of $144,752.85 for the purchase of vehicles for the Sheriff's Office, County Attorney, and all four Constables. On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to approve both requisitions. The next matter for consideration was approval for the Purchasing Agent to advertise Bid 2006-010, Wireless Public Internet Support and Monitoring for Courthouse. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to authorize the Purchasing Agent to advertise for bids for Wireless Public Internet Support and Monitoring for Courthouse. The Court next considered the request from Verizon Communications to construct lower/relocate 200 feet of buried cable in the new right-of-way of Rabbit Lane to accommodate a roadway improvements project. The site is located in Precinct 2. This work is at the County's request. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the request from Verizon and authorized the Vol It Page 10 a Commissioners Court meeting November 8, 2005 installation. A copy of the request is attached hereto. 9 The Court next considered approval of the minutes of the Commissioners, Court meetings held in August and September 2005 on the following dates: Regular Meetings August - 2nd, th 9th 16th 23rd 30th th th th September - 6 , th , 20 , 27 13 Special Meetings August - 30 September - 20th Workshops August - 15th September - 8th Public Hearings August - 30th (2) September - 7th, 12th On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the minutes as submitted. The next matter before the Court was approval of a payment authorization in the amount of $281.85 for an expert witness to testify in a lawsuit filed against the Brazos County Bail Bond Board. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the payment authorization. The Court next considered a payment authorization in the amount of $899.95 to Sears for the purchase of five (5) push mowers for the jail. This is necessitated because Sears will not accept a purchase order. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the payment authorization. Under announcement of interest items and possible future agenda topics the following spoke: County Judge a) Asked Ruth McLeod or Loraine Nichols to check with the Texas Association of Counties concerning the request submitted by the Brazos Center. Commissioner Mallard a) Told the Court that the City of Bryan has prepared a Resolution to TxDOT for their February 27, 2006 meeting. A trip has been planned for a group to travel to Austin to discuss the overpass on SH 6. b) The IGC will be discussing Wayfinding and the Joint EOC at the meeting to be held on November 14, 2005 in the Howell Building. Under citizen input and/or concerns the following spoke: Demetrios Basdekas a) Relating to items 26 and 28 of the agenda (keeping the public informed) has noticed that Commissioner Mallard is the only one, with rare exception, that takes time to give reports and updates. Commissioner Mallard should be commended. One item in particular that has interest from the community is the Expo Center. A committee that includes Commissioner Peters and the Vol I7 Page / o 4 Commissioners Court meeting November 8, 2005 11 County Judge has been meeting and he would like to hear a progress report under agenda item number 28 (Agency/Board/Committee reports by court members). Under Agency/Board/Committee reports by Court members, the following spoke: Commissioner Peters a) In reference to the Expo Center, we have discussed several times and one way or another we will build something within the budget. We have a construction manager at risk and will bring design when we have this finished. The original location of the building added $2 million in dirt work and we can't afford that so hence the delay. There being no further business to come before the Court, the meeting was adjourned. Brazos County, Texas agrees to pay the total sum of $3,500 to RSVP in a single payment on or before March 31, 2006. All payments will be payable to the Retired and Senior Volunteer Program and mailed to their current address: PO Drawer 4128, Bryan Texas 77805-4128. II. RSVP agrees to provide the service of its program to the citizens of Brazos County. There is not established any definite program of assignments; but, the number of volunteers and assignments can be changed throughout the term of this contract by agreement of all parties. RSVP does agree to address the mutual goals of RSVP and Brazos County, Texas by assisting with volunteer recruitment for: • Volunteer tax preparation for residents o'Brazos County. • Senior volunteers serving in programs sponsored by Texas Coop. Extension • Senior volunteers assisting with library programs. • Senior volunteers assisting with area youth activities. • Senior volunteers assisting with county health department and clinics. • Senior volunteers providing clerical support to county and city offices. • Senior volunteers assisting Brazos County Emergency Management with a Volunteer Center for Annex T Donations Management • Senior volunteers providing support as CERT team volunteers • Senior volunteers graduating from the Disaster Volunteer Academy The terms of this contract will be October 1, 2005 to September 30, 2006. III. Volunteer placements will be made as appropriate at volunteer workstations throughout the community. All workstations will have a signed Memorandum of Understanding on file with RSVP. IV. VOL `C FAGE~ Any invention of literacy or artistic production arising out of an assignment shall be the exclusive property of the Volunteer Station and the Volunteer shall have the right to produce additional copies and distribute to the general public. Volunteer Station my consent to other uses by the Volunteer. V. Volunteers shall comply with all the rules and standards exercised by the employees in the department to which she or he is assigned. VI. The County Judge or his delegate shall have the authority to represent Brazos County and make whatever further agreements necessary to administer and effectuate the terms and conditions set forth herein. VII. The Volunteers will not receive any pay from a Volunteer Station for their services, they will not be considered an employee and this service will be considered as voluntary contribution to the betterment of the community and the public purpose of Brazos County. VIII. Since the Volunteer is not a party to this agreement, the Volunteer Station may require Volunteers who accept service to sign other instruments setting forth other terms and conditions between the Volunteer Station to amend or rescind this contract by mutual agreement. INTRODUCTION 44 4110 WHEREAS, the attraction of long-term investment and the establishment of new jobs in the County would enhance the economic base of the Country; and WHEREAS, Brazos County has certain governmental powers that enable it to take affirmative and effective action to stimulate such growth; and WHEREAS, tax abatement is one of the principal means by which the public sector and the private sector can forge a partnership to promote real economic growth within the community; and WHEREAS, tax incentives offered must be strictly limited in application to those new or existing industries that bring new wealth into the community in order to avoid reducing the needed tax revenues of the County; and WHEREAS, in addition to keeping the protection of the environment and other natural resources as high priority, any attempts to stimulate the economy should be relatively assured of eventual positive economic effects on Brazos County, Texas revenue raising capabilities; and WHEREAS, the Property Redevelopment and Tax Abatement Act (the "Act") Chapter 312 of the Texas Tax Code authorizes the County to provide property tax abatement for limited periods of time as an inducement for the development or redevelopment of a property; and WHEREAS, effective September 1, 1987, the Act requires eligible taxing jurisdictions to establish Guidelines and Criteria as to eligibility for tax abatement agreements prior to granting any future tax abatement, said Guidelines to be unchanged for a two (2) year period unless amended or repealed by a three-fourths vote of the Court; and WHEREAS, this document states guidelines and criteria that the County will utilize in attempts to assert positive economic development, but should not be read to 1 Ll R Olutiua NO 16 imply or suggest that Brazos County, Texas is under an obligation to afford these opportunities to any applicant; and WHEREAS, these Guidelines and Criteria are designed to allow maximum flexibility in addressing the unique concerns of each applicant while enabling the County to respond to the changing needs of the community. NOW, THEREFORE, BE IT RESOLVED, that Brazos County, Texas, acting by and through its duly elected Commissioners Court, that these Guidelines and Criteria for granting tax abatement in Brazos County, be and are hereby adopted. II. DEFINITIONS A. "Abatement" means the full or partial exemption from ad valorem taxes of certain real and/or personal property in a Reinvestment Zone designated for economic development purposes pursuant to Chapter 312 of the Texas Tax Code. B. "Agreement" means a contractual agreement between a property owner and/or lessee and an eligible jurisdiction for the purposes of tax abatement. C. "Base Year Value" means the assessed value of eligible property January 1 preceding the execution of the agreement plus the agreed upon value of eligible property improvements made after January 1 but before the execution of the Agreement. D. "County" means Brazos County, Texas. E. "Deferred Maintenance" means improvements necessary for continued operations which do not improve the productivity or alter the process technology. F. "Distribution Center Facility" means buildings and structures, fixed machinery, or equipment for purposes of increasing production capacity. G. "Expansion" means the addition of buildings, structures, fixed machinery, or equipment for purposes of increasing production capacity. H. "Facility" means property improvements completed or in the process of construction which together comprise an integral whole. 1. "Manufacturing Facility" means buildings and structures including machinery and equipment, the primary purpose of which is or will be the manufacture of tangible goods or materials or the processing of such goods or materials by physical or chemical change, including the assembly of goods and materials from multiple sources in order to create a finished or semi-finished product. 2 -1 LL VOL _PAGE 12~ wSolu,iun#01016 "Modernization means the replacement and upgrading of existing facilities which increases the productivity input or output, updates the technology or substantially lowers the unit cost of the operation. Modernization may result from the construction, alteration, or installation of buildings, structures, fixed machinery or equipment. It shall not be for the purpose of reconditioning, refurbishing, or repairing except as may be integral to or in direct connection with an existing expansion. K. "New Facility" means a property previously undeveloped which is placed into service by means other than or in conjunction with expansion or modernization. L. "Other Basic Industry" means buildings or structures including fixed machinery and equipment not elsewhere described, used or to be used for the production of products or services which serve a market primarily outside the County and result in the creation of new permanent jobs and create new wealth in the County. M. "Personal Property" means tangible personal property located on the real property, excluding that personal property located on the real property prior to the period covered by the abatement with the County, and other than inventory or supplies. N. "Productive Life" means the number of years a property improvement is expected to be in service. 0. "Project" means any property improvement including expansion, modernizations, and new facilities; but excluding any deferred maintenance. P. "Reinvestment Zone" means any area of the County which has been designated a reinvestment zone for tax abatement purposes and which is located within the taxing jurisdiction of the County. It is the intent of the County to designate reinvestment zones on a case-by-case basis in order to maximize the potential incentives for eligible enterprises to locate or expand within the County. Q. "Regional Entertainment Facility" means buildings and structures, including machinery and equipment, used or to be used to provide entertainment through the admission of the general public where the majority of the users reside at least fifty (50) miles from its location in the County. R. "Regional Service Facility" means buildings and structures, including machinery and equipment, used to provide services to the general public. S. "Research Facility" means buildings and structures, including machinery and equipment, used or to be used primarily for research or experimentation to improve or develop new tangible goods or materials or to improve or develop the production processes thereto. "Targeted Enterprise" means the following facilities - distribution center facility, manufacturing facility, regional entertainment facility, research facility, regional service facility, or any other basic industry. III. CRITERIA FOR TAX ABATEMENT A. General Criteria. All applications must meet the following general criteria before being considered for tax abatement: The project expands the local tax base. 2. The project creates permanent full time em. ployment opportunities. The project would not otherwise be developed. 4. The project makes a contribution to enhancing further economic development. 5. The project must remain in good standing with all governmental and environmental regulations. 6. The project has not been started and no construction by the applicant has commenced at the time the application is approved. 7. The project must not have any of the following objections: a. there would be substantial adverse affect on the provision of government services on tax base; b. the applicant has insufficient financial capacity; c. planned or potential use of the property would constitute a hazard to public safety; d. planned or potential use of the property would create adverse impacts to adjacent properties; e. any violation of laws of the United States or State of Texas or ordinances of the City of Bryan or City of College Station, Texas or orders of Brazos County, Texas would occur; or f. it is in an improvement project financed with tax increment bonds. 4 L -7 LL AG E B. Specific Criteria. If the project in the application meets the general criteria, is a facility of a Targeted Enterprise and has a capital cost that exceeds One Million and No/100 Dollars ($1,000,000.00) then abatement of any or all of the increased value will be considered. In no case would tax abatement exceed the maximum allowed by state law, presently 100% for ten (10) years. Factors to be considered in determining the portion of the increased value to be abated and the duration of the abatement agreement include, but are not limited to: Total amount of the increased value; 2. Total number of jobs created; 3. Type of jobs created; 4. Dollar Value of payroll created; Other costs and revenues associated with the application. IV. APPLICATIONS FOR REINVESTMENT ZONES AND TAX ABATEMENTS A. All requests for reinvestment zones and tax abatement in the jurisdiction of Brazos County, Texas shall be made by filing a written application with the County Commissioners court after addressing all criteria questions contained in this document. An application for designation of a reinvestment zone and for tax abatement may be combined and submitted jointly. Such applications may be filed with an agent or representative of the County hired to administer the County's program of tax abatement. All applications shall include the following unless the County has waived a requirement that it has deemed unnecessary to properly evaluate the request; a general description of the project including purpose and explanation of the kind, number and location of all proposed improvements as well as how the project will meet the criteria established by this document. 2. a plat showing the precise location of the property and all improvements thereon, all roadways within 500 feet of the site and all existing zoning and land uses within 500 feet of the site, (a complete legal description shall be provided if the property is described by metes and bounds). 3. a complete estimated cost of the project by land, building, equipment, inventory and personalty categories. 4. a description of the methods of financing all estimated costs and the time when related costs or monetary obligations are to be incurred. ~~r,~ 7 P'11 lag RwnlmlunNOS016 5. estimated number of employment opportunities the project creates over the period of the abatement including gross annual payroll of permanent full time and part time employees remaining after construction is complete. 6. a detailed time schedule for undertaking and completing the project. 7. a fee in the amount of One Thousand and No/100 Dollars ($1,000.00). B. After reviewing the application, if the County staff, its agent or representative finds the application to be complete and accurate and meets the criteria established by this document, the County staff, its agent or representative will then do or cause to have done an impact study, which the applicant may be required to pay or participate in paying for, setting forth the impact of the proposed reinvestment zone and tax abatement agreement. This study shall include, but not be limited to, a cost benefit analysis of the creation of the reinvestment zone and the abatement of taxes. C. After establishing the benefits of the proposal, the County staff, its agent or representative may propose that the County offer a tax abatement agreement. The County will then meet with representatives of each governing body of every taxing unit that the proposed reinvestment zone involves; this is to determine each taxing unit's intentions of entering into a tax abatement. D. The County staff, its agent or representative will then inform the applicant of the potential tax abatement agreement, the intentions of the other taxing units on tax abatement agreements, and what other incentives will be offered for the proposed project. E. Having completed all the required steps in the process, and having been assured by the applicant that it wishes to proceed, the County may then follow procedures in accordance with Texas Tax Code Chapter 12 (Vernon 1989), as amended, and establish a reinvestment zone and tax abatement agreement. V. DESIGNATION OF A REINVESTMENT ZONE AND TAX ABATEMENT A. Prior to granting tax abatement, Brazos County by Order must designate an area as a reinvestment zone unless such zone has been previously established by a municipality within the County. Prior to adopting such an Order the County Commissioners Court must conduct a public hearing on the designation that entitles all interested persons to speak and present evidence for or against the designation. Delivered in writing to the presiding officer of the governing body of each taxing unit that includes in its boundaries real property that is to be included in the proposed reinvestment zone. B. The County by resolution may enter into a tax abatement agreement. At least seven (7) days before entering into the agreement, the County will deliver written notice of its intent to each taxing unit that is included in the reinvestment zone. 1. Any Agreement will include, but not limited to, the following specific terms: a. all appropriate stipulations included in the application, as outlined by this document, for a reinvestment zone and tax abatement agreement. b. the amount and duration of the tax abatement. c. a method for determining the qualifications of meeting the criteria and a warranty and guarantee to meet and maintain these qualifications over the term of the agreement; the County will be allowed, upon written request and reasonable notice, to inspect and audit such records of the applicant as are necessary to substantiate that the applicant is meeting criteria agreed upon during the term of the abatement. d. a provision that in the event the agreement is terminated for whatever reason or the applicant fails to fulfill the terms and provisions thereof, the tax abatement agreement will be determined null and void and all or some portion of abated taxes, as may be determined by the Commissioners Court in its sole discretion, shall be paid immediately to the County. e. access to and authorized inspection of the property by County employees, agents or representatives to ensure that the improvements or construction are made according to specifications and conditions of the agreement. C. County: "County" shall mean County of Brazos with its offices located at 300 South Texas Avenue, Brazos, Brazos County, Texas. D. Corporation: "Corporation" shall mean the Texas non-profit corporation legally titled the Brazos Animal Shelter Inc., with its primary business office at 2207 Finfeather Road in Bryan, Brazos County, Texas. E. Any words or phrases not specifically defined herein shall have as their meaning the ordinary and commonly understood meaning except for specific animal control or veterinary terns. F. Sheriff. "Sheriff' or "BCSO" shall mean the Brazos County Sheriffs Office or its Deputies. II. EXPRESS PROVISIONS A: Assets. The County shall transfer existing animal control equipment assets to the Corporation. Assets to be transferred shall be inventoried and a monetary value established for each item. The Corporation shall be responsible for the operation, maintenance, to include insurance against losses or damage, and security of all inventoried items so transferred. These assets shall be transferred back to the County within 30 days of the termination of this agreement. B. Term. This contract shall commence upon execution and shall continue in full force and effect until 12:00 a.m. on December 31, 2005, or earlier upon completion of the Corporation's duties under this Contract. The completion of Corporation's duties shall occur upon the acceptance, by all interested parties, of agreements for animal control services between the County and the City of Bryan, Texas and the City of College Station, Texas. Additionally, County or Corporation may terminate this contract at any time by 7 calendar days' written notice to the non-terminating parry. 1) VOL-7* PAGE 3-7 C. Duties. Corporation shall perform services that are necessary to effectively carry out an animal rabies control program for the County. These services shall consist of and be limited to, responding to calls from the Sheriffs Office regarding the investigation of reports filed under Subchapter E, Chapter 826 of the Texas Health and Safety Code. Corporation's duties shall include response, assistance, capture of suspect animals, preparation of the State required rabies report and transportation of suspect animals to the Brazos Animal Shelter. Corporation shall respond to calls made to it by the Sheriffs Office within sixty minutes. Sheriff shall remain at the caller's location until the arrival of the Corporation representative, or the expiration of sixty minutes following the Sheriffs call for Corporation assistance. The Sheriff may remain at the location if, in the Sheriff's opinion, a breach of the peace may occur. In the event the Sheriff must leave the location prior to Corporation's representative's arrival, the Sheriff shall make contact with the Corporation's representative by cell phone as soon as possible thereafter to discuss the situation. D. Compensation. Corporation shall be paid a monthly fee of $1200.00. . Corporation shall submit an invoice to the County and the County shall pay the full amount due within thirty days of invoice from the Corporation. All payments shall be subject to the Texas Prompt Payment Act. Should there arise any dispute, disputed amounts shall be deposited in a mutually agreed upon escrow account until a resolution is reached. E. Termination. Either party may terminate this Agreement at any time by seven calendar days' written notice to the non-terminating party. F. Corporation shall, in addition to its other duties, be responsible for the hiring, training, and firing of all employees associated with the provision of animal control services for County. In this regard, it is hereby fully agreed that all Corporation employees and the Corporation itself are independent contractors of the County. No employee, trustee, or manager of the Corporation shall at any time be considered a County employee. G. Insurance: Corporation shall at all times relevant to the fulfillment of this Agreement have, keep, and maintain insurance protecting itself; with County as an additional insured, and covering general liability, worker's compensation if required by State law, and automobile liability. Workers Compensation insurance shall be at statutory limits, including employer's liability coverage at minimum limits of $500,000.00 each accident. A waiver of subrogation in favor of the Brazos County shall be included. The General Liability insurance shall have a minimum combined single limit for bodily injury, personal injury, and property damage of $1,000,000.00 per occurrence. Automobile Liability insurance shall be continuously held with limits for bodily injury and for property damage of not less than $1,000,000.00 on all self-propelled vehicles used in connection with the animal control operation, whether owned, non-owned or hired. VOLE PAGE 136 Copies of certificates evidencing such insurance as herein required shall be sent to the County for its records. All certificates shall reflect that no change in policy amounts or coverages shall occur until at least 30 days prior written notice has been given to County. Corporation agrees, to the extent allowed by law, to indemnify and hold harmless the County from any claims, damages, or causes of action which arise from any activities of Corporation as outlined herein, and Corporation specifically agrees to indemnify the County against all claims, damages or causes of action which might arise as a result of acts, omissions or negligence of Corporation or its agents arising out of Corporation's efforts under this Agreement. The County agrees, to the extent allowed by law, to indemnify and hold harmless the Corporation from any claims, damages or causes of action which arise from any activities of the County as outlined herein and County specifically agrees to indemnify the Corporation from any and all claims, damages, or causes of action which arise as a result of acts, omissions or negligence of the County or its agents arising of the County's efforts under this Agreement. H. This Agreement is in replacement and in substitution of that certain Field Services Agreement dated October 31, 2000 between the parties, which by the terms hereof is expressly terminated In Connection with the termination of such prior Agreement, the Animal Shelter and its Executive Director, Kelley Durham shall no longer serve in the capacity of the rabies control authority for Brazos County, Texas pursuant to Health and Safety Code §826.017. III. GENERAL PROVISIONS A. Severability Clause: The parties intend for the various provisions of this agreement to be severable so that the invalidity, if any, of any one section (or more) shall not affect the validity of the remaining provisions or sections. B. This document may be executed in any number of original signature counterparts, each of which shall for all purposes be deemed an original, and all such counterparts shall constitute one and the same document. C. Each of the parties hereto expressly warrants that in the execution hereof, it has obtained the full authority of any required governing authority and, by its execution hereof, intends to bind same. D. Corporation agrees to retain any records it makes in compliance with this Agreement for a period of three (3) years after the ultimate termination of the contract. E. This Agreement shall be interpreted in accordance with the law of the state of Texas and in Brazos County, Texas. F. "ACI" shall not be liable for failure to perform due strikes, lockout, civil disturbances, or Acts of God beyond "ACI's" control. Cable and pedestals to be moved so County can repair erosion to the area. The location and description of this line and associated appurtenances is more fully shown by three (3) copies of drawings attached to this notice. The line will be constructed and maintained on the County Road right-of-way in accordance with governing laws. Notwithstanding any other provision contained herein, it is expressly understood that the tender of this notice by the Verizon Southwest Incorporated does not constitute a waiver, surrender, abandonment or impairment of any property rights, franchise, easement, license, authority, permission, privilege or right now granted by law or may be granted in the future and any provision or provisions so construed shall be null and void.
