Permission to enter Jane Moore's property located off FM 2776 for the purpose of disposing (burying) a dead cow for the health, safety and welfare of the general public. VOL 7 µ PAGE 3 COMMISSIONERS' COURT REGULAR MEETING NOVEMBER 1, 2005 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Tuesday, November 1, 2005 with the following members of the Court present: Randy Sims, County Judge, Presiding; Lloyd Wassermann, Commissioner of Precinct 1; Duane Peters, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. The County Judge gave the invocation and led the pledge of allegiance. There was no citizen input/and or concerns. The Court next considered Budget Amendment #04/05-51.1 through 51.2, which would transfer funds to the Health Department Support from Contingency, and reallocate funds for Juvenile Title IV -E. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. Vol 11-t Page U. Commissioners Court meeting November 1, 2005 2 The Court next considered Budget Amendment #05/06-5.1 through 5.3, which would reallocate funds for the 272nd District Court, Juvenile Department and move funds to appropriate accounts and set up a budget for the US Department of Justice expected revenue. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the changes as submitted. The Court next considered the following Claims as submitted by the County Treasurer for payment: 7012259 through 7012817 On motion by Commissioner Cauley, seconded by Commissioner Mallard, the Court voted unanimously to approve the Claims as submitted. The County Judge read aloud Proclamation #05-012 designating November 2005 as "Hospice Month". The Court urges all citizens to learn more about hospice care and recognize the countless volunteers and professional who extend Vol 7 Li Page 5 Commissioners Court meeting November 1, 2005 3 invaluable support to patients and their families in their hours of greatest need. On motion by the County Judge, seconded by Commissioners Wassermann, Peters, Mallard and Cauley, the Court moved to proclaim the month of November 2005 as "Hospice Month" throughout Brazos County. The Court next considered entering into agreement with the City of Bryan for animal control services necessary to effectively carry out an animal control program. Demetrios Basdekas stated that he was not totally familiar with the agreement and wanted to know who to call with an animal control problem. He was told to call the Sheriff's Office with any problem. He then asked if he sees a rabid skunk is there anything under contract to take care of this or is he to act on his own. Again, he was told to contact the Sheriff's Office. He then went on to say after talking to Commissioner Peters earlier he was told that the cost was higher but service would be better. The County Judge said yes it would be because in the past there was only one officer available now there would be more than one available at all times. Mr. Basdekas pointed out that they will also have a larger area to cover. He continued by saying this came up after the incident with the horses that Commissioners Peters and Mallard had a problem with the way it was handled. There will be professionals at the cities and it just made sense to enter into agreement with them and have more officers. The county judge also pointed out that the Animal Shelter will still provide shelter for animals. Mr. Basdekas replied that he certainly hoped the cost is not three (3) times more than it was in the past. The County will pay $22.00 per each hour of service provided plus a $15.00 charge per animal impounded with a minimum of one billing hour of service. All calls for service must be initiated by the County. The Agreement shall be effective for a period of one (1) year from and after the date of execution by both parties or on October 1, 2006. On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to enter into agreement with the City of Bryan and authorized the County Judge to execute the Agreement on behalf of Brazos County. A copy of the Agreement is attached. The Court next considered a Temporary Animal Control Services Agreement between the cities of Bryan and College Station and Brazos County. The independent contractor asked that liability insurance coverage be waived for financial reasons stating that the county was not paying enough to warrant them paying for insurance. Commissioner Cauley asked Vol 7 4 Page �7 Commissioners Court meeting November 1, 2005 5 where the liability lies if not insured. Court Counsel, Bill Ballard answered with the county. Bill Jeanes, Risk Manager, stated that he had just learned of this and would like some time to check into the liability issue. The County Judge asked how much time would be needed. He then suggested approving the contract contingent upon Mr. Jeanes' report. Kelly Durham, Director of the Animal Shelter stated that the County was open to a great deal of liability at this point if someone is exposed to rabies and not treated. The person will not survive. Demetrios Basdekas asked why the Court was going through interim arrangements instead of using the Animal Shelter for the interim basis. It seems much simpler. The County Judge stated the Sheriff would be in charge until something is approved. On motion by Commissioner Cauley, seconded by the County Judge, the Court voted unanimously to approve the contract pending finding of the Risk Manager. A copy is attached. The next matter for consideration by the Court was a request submitted by the County Clerk seeking approval for out of state travel for herself and Jaime Hines to travel to Anaheim, California to attend the 4th annual Hart Intercivic Voting Systems Users Group Workshop November 29, 2005 through December 2, 2005. On motion by Commissioner Cauley, seconded Vol 7 4 Page Commissioners Court meeting November 1, 2005 6 by Commissioner Mallard, the Court voted unanimously to grant the request from the County Clerk and approved payment of out of state travel expense for Mrs. Karen McQueen and Ms. Jaime Hines. The next matter before the Court was a request for approval of unpaid leave of absence for an employee in the County Clerk's office. The requested leave period is for 45 days, beginning November 1, 2005. On motion by the County Judge, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. The Court next considered approval of fiscal year 2005- 2006 contracts with the following organizations: a) Brazos County Rape Crisis Center, Inc. b) Keep Brazos Beautiful, Inc. c) Brazos Family Medicine Residency d) Brazos County Emergency Communications District (revised) e) Brazos Maternal & Child Health Clinic f) Brazos Valley Community Action Agency g) Brazos Valley Council of Governments (Indigent Health Care) On motion by Commissioner Cauley, seconded by Commissioner Wassermann, the Court voted unanimously to approve the previously named contracts. A copy of each is attached. The Court next considered awarding Bid No. 2005-045, Road Signs and Sign Posts. Becky Stephens Senior Buyer, made the following recommendation: Vol -7 4 Page 9 Commissioners Court meeting November 1, 2005 7 Primary Vendor: Vulcan, Inc. Secondary Vendor: Custom Products On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to accept the recommendation of the Senior Buyer and awarded the contract as previously noted. A copy of the bid tabulation is attached. The next matter before the Court was approval of requisition #00006670 in the amount of $8,975.00 to G. T. Distributors, Inc. for the purchase of vehicle equipment for the Sheriff's Office patrol vehicles. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the requisition. The Court next considered next considered a copier lease agreement with Brazos Valley Office Solutions and separate maintenance agreement for the District Clerk's Office. The cost per month for the maintenance agreement is $212.50 for one copier and the other is $22.00. The term of the lease is for 60 months at t cost of $329.57 per month and will renew annually. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the lease agreement. The next matter before the Court was the purchase of body armor for the Sheriff's Office. Requisition #00006550 in the amount of $22,042.00 reflects 100% county funding but will be Vol 7 Page 10 Commissioners Court meeting November 1, 2005 8 reduced by $6,846.75 in grant reimbursement. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the purchase and authorized the payment of the requisition. The next matter before the Court was award of Bid 2006- 008, Transportation of Deceased to Medical Examiner. Justice of the Peace, Precinct 4, Ramiro Quintero asked that this matter be tabled. There are factors, he said that need to be taken into consideration. He has reviewed the facilities of Brazos Valley Mortuary and they do not have an awning or a refrigerator unit. There needs to be respect for bodies. The bottom line is always money, but this is different. Dignity and respect for deceased says no comparison with facilities. Kenneth Robinson, owner of Daniel and Son stated his concerns. He did not know everything was made public and competitor came in with the same figures as he had except one hundred dollars ($100) cheaper. Augustine Trevino, owner of Brazos Valley Mortuary stated that Daniel and Son did not have a cooler when they started on the bid either and he plans to invest in one very soon. Charles Ellis, Justice of the Peace, Precinct 1 explained the process. The family has the opportunity on paperwork to mark funeral home of choice. He sees no problem in the cooler. Commissioner Peters asked how Mr. Trevino would handle no cooler in the middle of the night. Mr. Trevino said he would check the body into the medical examiner and then go back for it. Commissioner Peters asked if the county would be charged for two (2) trips. Mr. Trevino replied that they would not be charged for the two (2) trips. Joe Wilbert, Daniel and Son transport employee spoke on refrigeration issue. He also stated you can drop off a body twenty four (24) hours a day but have to make arrangements to pick up. The County Judge moved to accept the recommendation of the Purchasing Agent and award Bid 2006-008 to Brazos County Mortuary. Commissioners Wassermann and Mallard and the County Judge voted "Aye". Commissioners Peters and Cauley abstained. The motion carried. The Court next considered awarding RFQ No. 2005-030, Planning for Relocation for the IT Department and Data Center. Pat Howard, Purchasing Agent, recommended acceptance of the quote submitted by UNYSIS. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to accept the recommendation of the Purchasing Agent and award the contract to UNYSIS. A copy of the bid tabulation is attached. The next matter before the Court was the approval of a Vol 7q Page i a Commissioners Court meeting November 1, 2005 10 requisition in the amount of $391,899.00 to Hunton Distribution Group for the replacement of Trane Centrifugal Chillers. On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to approve the requisition. The Court next considered the request from JHW, Inc. to construct a road bore in the right-of-way of F&B Road approximately 1,000 feet from its intersection with Turkey Creek Road for waterline installation. The site is located in Precinct 4. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the request from JHW, Inc. and authorized the installation. The Court next considered the request from Wellborn Special Utility District to construct five (5) road bores in the right-of-way of Koppe Bridge Road, I&GN Road, Burhalter Lane, Royder Road and Greens Prairie Road. The site is located in Precinct 1. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Wassermann, seconded by Commissioner Peters, the Court voted unanimously to approve the request from Vol 7Lis Page :3 Commissioners Court meeting November 1, 2005 11 Wellborn Special Utility District and authorized the installations. The Court next considered the request from Wickson Creek Special Utility District to construct a road bore for waterline installation in the right-of-way of Hearne Lane approximately 1.1 miles from its intersection with Democrat Road for waterline installation. The site is located in Precinct 2. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to approve the request from Wickson Creek Special Utility District and authorized the installation. A copy of the request is attached hereto. The Court next considered authorizing work outside of county rights -of -way for the health, safety and welfare of the general public. The Road and Bridge Department requested permission to enter the private property of Jane Moore on FM 2776 in Precinct 2 to bury dead livestock. Demetrios Basdekas asked the Court if there was a charge for this whereupon the County Judge state that there was. The County Judge moved to authorize the work. Commissioners Wassermann, Mallard, Cauley and the County Judge voted "Aye". Commissioner Peters abstained because Mrs. Moore is his aunt. The motion carried. Vol 7 Page 1y- Commissioners Court meeting November 1, 2005 12 The Court next considered acceptance of a Special Warranty Deed for right-of-way on Pine Tree Road in Precinct 2. On motion by Commissioner Peters, seconded by Commissioner Wassermann, the Court voted unanimously to authorize the County Judge to accept on behalf of Brazos County a Special Warranty Deed from Bobby N. Johnson for the expansion and improvements to Pine Tree Road. The Court next considered a payment authorization in the amount of $2,600.05 to Sears for the purchase of a riding mower for the jail. This is necessitated because Sears will not accept a purchase order. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the payment authorization. Under announcement of interest items and possible future agenda topics the following spoke: Commissioner Mallard a) Said there will be a Chamber banquet next Tuesday. b) IGC meeting on November 24th at the top of the Howell Building at 6:00 p.m. County Judge a) Asked the County Auditor if they were meeting with FEMA today for reimbursement of $668,000.00 expended to aid hurricane evacuees. The Auditor replied yes at 11:30 a.m. Jim Mann, Chief Deputy a) Said there will be a review of the hurricane events at 1:30 p.m. today at the Brazos Center. Under citizen input and/or concerns the following spoke: Ramiro Quintero, Justice of the Peace, Precinct 4 a) Asked who he calls now concerning the transport of bodies. I. RECITALS WHEREAS, the Brazos County Sheriffs Department, Brazos County, Texas, is duly organized and functioning in accordance with the laws of the State of Texas; and WHEREAS, the Bryan Police Department, Brazos County, Texas, is duly organized and functioning in accordance with the laws of the State of Texas; and WHEREAS, the City, through its police department, operates Animal Control Services that strive to reduce general animal control problems in Bryan; and WHEREAS, the Client and the City agree that the City is better trained and equipped to handle Animal Control duties and responsibilities than is the Client; and NOW, THEREFORE in consideration of the mutual benefits and promises each to the other made herein, the parties named above do hereby agree as follows: II. DEFINITIONS A. Animal: As used in this agreement, "animal" shall mean domesticated dogs and cats. B. Animal Control Services: "Animal Control Services" shall mean the services provided by the City necessary to effectively carry out an animal control program for the Client. These services shall include the humane capture of stray, unrestrained, homeless, abandoned, or unwanted animals and the humane transportation of captured animals to the Animal Shelter. These services also include responding to Client —initiated calls regarding wild animals that have entered a person's residence. These services do not include trapping nuisance animals, wild animals, horses, or livestock or removal of °8eP1 AGE VOL 7gAGE 30 deceased animals. The City shall also not be responsible for conducting cruelty investigations. C. Animal Shelter: "Animal Shelter" shall mean the facility known as the Brazos Animal Shelter, Inc. currently located at 2207 Finfeather Road in Bryan, Brazos County, Texas that keeps or legally impounds stray, homeless, abandoned, or unwanted animals. D. City: "City" shall mean the City of Bryan, Brazos County, Texas, acting by and through its Police Department, with its offices located at 301 South Texas Avenue, Bryan, Brazos County, Texas. E. Client: "Client" shall mean Brazos County, acting by and through its Sheriffs Department; with its offices located at 300 East 26�' Street, Bryan, Brazos County, Texas. F. Any word or phrases not specifically defined herein shall have as its meaning the ordinary and commonly understood meaning except for specific animal control or veterinary terms. III. CITY'S OBLIGATIONS A. City agrees to provide Animal Control Services to Client for all Client -reported animal calls occurring in areas located in Brazos County defined by the geographical area North of University Drive/FM 60 to the North Brazos County limits and being further defined by the east boundary of FM 158/STHWY 30 to the Navasota River. City will provide animal control officers and dispatch them when one is "on -duty" for routine, non - emergency calls. 24 -hour dispatching will be provided only when an emergency situation arises as defined by the Client. B. City agrees to respond to all Client -reported animal bites and scratches occurring in areas located in Brazos County defined by the geographical area North of University Drive to the North Brazos County limits and being further defined by the east boundary of FM 158/STHWY 30 to the Navasota River. City will provide animal control officers and dispatch them on a 24 -hour basis for initial bite investigation, or for the capture of a biting animal for state -mandated rabies quarantine observation conducted by the Local Rabies Control Authority. C. City agrees to respond only to calls initiated by the Client, and agrees to refer all other requests for service directly to the Client. D. City agrees to transport all captured animals to the Animal Shelter. Exceptions may be made for certain types of animals that are routinely released back into their natural habitat (wildlife). City shall at all times relevant to the fulfillment of this Agreement have, keep, and maintain insurance protecting itself, including general public liability, worker's compensation if required by State Law, and automobile public liability. F. City agrees to keep confidential any rabies Vaccination Certificate information provided by the Client. IV. CLIENT'S OBLIGATIONS A. Client agrees to be the first responder to all calls for Animal Control Services, and to initiate the City's response once they determine that said response is needed. Client shall not direct or advise residents to call the City for Animal Control Services. • B. Client shall fully cooperate with City in the providing of Animal Control Services, including but not limited to, the furnishing of any and all information in its possession about the ownership of a suspected rabid animal, including rabies Vaccination Certificates maintained by any department of the Client; any history of the animal; the name and address of any person reporting an animal bite or scratch; the name and address of any possible victims of an animal bite or scratch; and the name and address of any person believed to own an animal which the Client has called the City to capture or remove. C. Client agrees to furnish information to City in a timely and expeditious manner. D. Client agrees to assist with the apprehension of any animal in appropriate situations. E. Client agrees to file all criminal or civil charges, in the appropriate court, for any violations of Client's rules and regulations or for any violations of State Statutes, at the sole discretion of the Client. F. Client agrees to pay all fees associated with the impoundment, testing, medical treatment or final disposition of any animal; for any product or service provided by the Animal Shelter; and for any product or service provided by any person other than the City. V. FINANCIAL TERMS A. Client shall pay to City for the providing of Animal Control Services hereunder, the sum of $22.00 per each hour of service provide plus a $15.00 charge per animal impounded, with a minimum of one billing hour of service. City will accept, and respond to, only those calls for service that are initiated by Client. Calls -for -service requests received by the City from any other source shall be referred directly to the Client. Page 3 oj6 VOL 74_PAGE 3a B. City will invoice Client no later than the 10th of each month, for all calls incurred for the previous calendar month. All invoices shall be due and payable in full to the City no more than 30 days after the date of the invoice. VI. REPORTS A. City shall submit a brief report with each monthly invoice, detailing the Computer Aided Dispatch (CAD) sequence number for the event, amount of time billed, and the number of animals impounded. B. City shall submit a comprehensive annual report of all Animal Control Services to Client within thirty (30) days of the close of each fiscal year, currently being September 30th. City shall provide to Client, upon request, a copy of any other report not confidential by law or contract, which it may be required to prepare and submit to any federal, state, or other jurisdiction in the course of its animal and rabies control activities. City shall also render to Client at reasonable intervals, such reports and accounting as Client from time to time may require; provided however, if such request becomes burdensome, City may invoice for the cost of preparation of such reports. C. City agrees to retain any records it makes in compliance with this Agreement for a period of three (3) years after the ultimate termination of the Contract. VII. DEFAULT A. In the event Client fails to (i) pay all costs set forth in Article V above, or (ii) perform its obligations set forth herein, the City shall give Client written notice of default with an opportunity to cure such default within 10 days. If Client fails to cure such default during the 10 -day cure period, the Agreement shall terminate and Client shall assume responsibility for its own animal control operation. VIII. TERMINATION A. This Agreement shall be effective for a period of one (1) year from and after the date of execution by both parties, or on October 1, 2006, whichever comes last. The Agreement is entered as a temporary provision of service and shall require full review before any renewal. B. This Agreement may be terminated by mutual written consent of the parties. All costs and liabilities incurred by the City on behalf of the Client prior to the termination shall be the responsibility of the Client. Page 4 of 6 VIOL 7.4 PAGE >3 IX. INDEMNITY A. The parties hereto understand that the City performs the same or other additional animal control functions within the corporate city limits of the City of Bryan, Brazos County, Texas. In that light, each of the parties hereto does hereby agree to indemnify and hold harmless the other for any and all claims or causes of action of whatsoever nature or kind by any third party or political subdivision, which may arise out of the actions or omissions of the parties, their respective agents, officers, trustees, or employees in the fulfillment of that party's duties under this Agreement. Such claims or causes of action shall be the sole responsibility of the party incurring the same. Brazos County and the Brazos County Sheriff's Department acknowledge the preceding indemnification to the extent authorized by the Constitution and laws of the State of Texas. X. INDEPENDENT CONTRACTOR A. The City shall be responsible for the Animal Control Services contemplated under this Agreement. The City shall supply all materials, equipment, tools, transportation, and labor required for or reasonably incidental to the performance of Animal Control Services. The City shall have ultimate control over the execution of the work under this Agreement. The City shall have the sole obligation to employ, direct, control, supervise, manage, discharge and compensate all of its employees. B. The City shall retain personal control and shall give its personal attention to the faithful prosecution and completion of its services and fulfillment of this Agreement. XI. GENERAL PROVISIONS A. Severability Clause: The parties intend for the various provisions of this Agreement to be severable so that the invalidity, if any, of any one section (or more) shall not affect the validity of the remaining provisions or sections. B. This document may be executed in any number of original signature counterparts, each of which shall for all purposes be deemed an original, and all such counterparts shall constitute one and the same document. C. Each party has the full power and authority to enter into and perform this Agreement, and the person signing this Agreement on behalf of each party has been properly authorized and empowered to enter into this Agreement. The persons executing this Agreement hereby represent that they have authorization to sign on behalf of their respective entity. D. This Agreement shall be interpreted in accordance with the laws of the State of Texas and in Brazos County, Texas. Page 5 of 6 VOL 72/ PAGE 3 '1 E. RECITALS: WHEREAS, the County has the objective of providing support services to the victims of sexual assault; and WHEREAS, the Provider shares this common goal with the County; and WHEREAS, the County desires to assist the Provider in providing support services to victims of sexual assault through funds provided by the County. NOW THEREFORE, the parties above stated agree to the following terms and conditions to provide such support services. TERM This contract shall continue in force and effect for a term of twelve (12) months commencing on the 1" day of October, 2005, and terminating 30th day of September, 2006. CANCELLATION This contract may be canceled by any parties hereto upon sixty (60) days written notice as provided herein. SERVICES TO BE PERFORMED BY PROVIDER The Provider will provide services to victims of sexual assault and their families. These services will include: a 24 -hour hotline and 24 -hour escort service; one-to-one counseling; group counseling; community awareness programs; Speaker's Bureau; training and supervision of volunteers; training for law enforcement agency personnel, the medical community, clergy, staff of the District Attomey's office and psychologists. USE OF COUNTY FUNDS Funds to be furnished to Provider as stated herein below shall be used to pay operational expenses of the Provider, including rent, telephone expenses, and office supplies, as described in Exhibit A — Budget, attached hereto and made a part hereof for all purposes. VOL % PAGE 3Cp COUNTY'S LIABILITY FOR PAYMENT The County agrees to reimburse the Provider a maximum amount of money totaling $ j7(cno for the term of this Contract. This sum shall be paid upon the following date and in the following amount: October 15, 2005 $ 17 36 Ci RESPONSIBILITIES OF PROVIDER Provider will be responsible for providing the following services pursuant to this Contract: 1. Maintaining this Contract; 2. Providing of the Provider's Services; 3. Maintaining data files on client's and the Services provided thereto; 4. Respond to all and any inquiries by the County regarding the Center and its Services; 5. Assist the County with information needed for audit purposes; 6. Provide the County with quarterly financial statements; 7. Provide the County with any and all certified audits of Provider and the management letter prepared in connection therewith; 8. Provide the Court with statistics evidencing the number of Brazos County residents using the Provider's Services and the percentage Brazos County residents comprise of the total population using Provider's Services. RESPONSIBILITY OF COUNTY The County shall be responsible for the following duties and requirements: 1. Provide County funds for the payment of the consideration stated herein. 2. Conduct a review of the Provider's performance in providing the Services to be provided hereunder in order to assess County's continued participation in the funding of the Provider. 2 VOL -4 PAGE 37 RECORD RETENTION The Provider shall be responsible for record keeping on all Services provided to those individuals using its services and all financial records of the Center. The Provider agrees to maintain and make available for inspection by the County upon request consistent with personal privacy and subject to the limitation of state law, any and all records the County determines, in its sole discretion, to be necessary for the Court to justify its continued participation in supporting the Provider with funding. Such records shall be retained for at least four (4) years from the date the service was provided. These records shall be made available for inspection and audit by the County, if it so desires. DISCRIMINATION The Provider shall not discriminate against any employee or applicant for employment because of race, color, sex, or national origin. The Provider shall take affirmative action to ensure that applicants who are employed are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not limited to, the following: employment, upgrading, demotion, or transfer, recruitment or recruitment advertising; layoff or termination; rate of pay or other forms of compensation; and selection for training, including apprenticeship. The Provider agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause. INDEMNITY The parties hereto agree to indemnify one another for and hold one another harmless from and against all suits, claims, demands, liabilities or actions resulting or alleged to result from the breach, violation or non-performance of the services stated herein and for any damage to any person resulting from any action or omission or negligence on the part of each party hereto. INSURANCE The parties hereto agree that the Provider shall be an independent contractor and not any employee or agent of the County and that each shall maintain at its own expense, adequate liability insurance to insure against damages and liabilities which may arise due to the duties and obligations contracted for herein. 3 VOL 74 PAGE 3 COUNTY INVOLVEMENT The County and Provider state that to the best of their knowledge, no officer, agent or employee of the County who exercises any function or responsibility in connection with the carrying out of this Contract or the services to which it relates has personal interest direct or indirect, in this Contract. GOVERNING LAW This Agreement shall be executed in and shall be governed by the laws of the State of Texas. STATE OF TEXAS § COUNTY OF BRAZOS § This is an Agreement by and between the COUNTY OF BRAZOS (hereinafter referred to as "COUNTY") and KEEP BRAZOS BEAUTIFUL, (hereinafter referred to as ("Keep Brazos Beautiful, Inc.") a non-profit organization for the improvement of Brazos County. WHEREAS, Keep Brazos Beautiful, Inc. is a volunteer environmental educational organization dedicated to contributing to the economic vitality, safety, health and quality of life in Brazos County through programs that educate and engage Brazos County citizens to keep our community clean and beautiful, by preventing and eliminating litter and illegal dumps, recycling, minimizing waste, beautifying and improving their surroundings; and NOW, THEREFORE, FOR AND IN CONSIDERATION of mutual promises recited herein, the parties agree as follows: Keep Brazos Beautiful, Inc. shall provide services to the COUNTY as follows: A. Assist in the coordination and publicity for the yearly Christmas tree recycling, telephone book recycling events, and Household Hazardous Waste Collection Events, act as a clearinghouse for information from area residents on recycling, and provide information concerning Citizen Collection Stations in rural Brazos County, on their website and as requested. B. Educate the community on the need to recycle and to buy recycled products through the use displays, public speaking engagements, and "Texas Recycles Day" events. C. Assist in training area teachers and students on the importance of litter prevention, recycling, re -use, and buying recycled products, provide presentations in area schools, museums and civic clubs, maintain a lending library to assist teachers in teaching with these environmental issues. Provide positive environmental leadership and volunteer opportunities to Brazos County Youth. D. The Executive Director shall serve on the Solid Waste Advisory Committee (SWAC) of the Brazos Valley Council of Governments (BVCOG) to promote environmentally sound waste management practices in the Brazos Valley. E. Promote all "Adopt -a -Road Programs in the county through public outreach in printed materials and website. F. Perform an annual "Litter Index" survey of the Brazos County and provide the scores to the Commissioners Court. G. Organize volunteers to assist in cleaning illegal dumps in Brazos County. Act as an information resource to citizens, law enforcement officials, prosecutors, and the Commissioners Court about issues relating to illegal dumping in Brazos County. VOL 7% PAGE 42 H. Promote a "Memorial TREES Program" to plant trees in Brazos County. I. Plant wildflower seed along public roadways in Brazos County. J. Provide positive reinforcement through a variety of award programs such as the Business and Residential Beautification Awards, Miller Youth Award, and Annual Environmental Awards. Keep Brazos Beautiful, Inc., Inc. will be funded by the COUNTY in the amount of Seventeen Thousand Dollars ($17,000) from the COUNTY 2005-2006 Fiscal Year funds to be used for salaries and operating expenses. Keep Brazos Beautiful, Inc. shall maintain fiscal records and supporting documentation in the form of canceled checks, payroll records, invoices, and/or other documentation required for all expenditures of funds made under this agreement. 2. Keep Brazos Beautiful, Inc. shall submit a financial statement to the COUNTY annually. 3. USE OF COUNTY FUNDS Funds to be furnished to Provider as stated herein below shall be used to pay the partial salary of a faculty physician for supervisory purposes and the partial salary of three (3) resident physicians, and the partial salary of a social worker. The County and Provider acknowledge that VOL 741 PAGE 4* the County's purpose in providing funds hereunder is to provide medical assistance to qualified applicants and that the funding of salaries for the trained personnel of Provider is designed to accomplish that goal. COUNTY'S LIABILITY FOR PAYMENT The County agrees to reimburse the Provider for actual cost of the parts of the salaries up to a maximum of One Hundred Thousand and No/100 Dollars ($100,000) for the term of this Contract. This sum shall be paid quarterly as in the previous year. RESPONSIBILITIES OF PROVIDER Provider will be responsible for providing the following Services pursuant to this Contract: 1. Completing all necessary application forms to potentially eligible individuals. 2. Obtaining and compiling information on each applicant for Provider's Services with regard to residency and financial qualifications. 3. Maintaining this Contract. 4. Provision of the Provider's Services as defined herein. 5. Maintaining data files on clients/patients and the Services provided thereto. 6. Responding to all and any inquiries by the County regarding the Clinic and its Services. 7. Assisting the County with information needed for audit purposes. 8. Providing the County with quarterly financial statements. 9. Providing the County with any and all certified audits of Provider and the management letter prepared in connection therewith. 10. Providing financial statements evidencing how County funds are spent. Such statements to be submitted to County one week prior to the funding dates set forth herein above. 11. Providing the County with statistics evidencing the number of Brazos County residents using the Provider's Services and the percentage Brazos County residents comprise of the total population using Provider's services. VOL 11 PAGE 4-5 RESPONSIBILITY OF COUNTY The County shall be responsible for the following duties and requirements. 1. Provide County funds for the payment of the consideration stated herein. 2. Conduct a review of the Provider's performance in providing the Services to be provided hereunder in order to assess County's continued participation in the funding of the Provider. RECORD RETENTION The Provider shall be responsible for record keeping on all Services provided to those individuals using its services and all financial records of the Clinic. The Provider agrees to maintain and make available for inspection by the County upon request consistent with personal privacy and subject to the limitation of state law, any and all records the County determines, in its sole discretion, to be necessary for the County to justify its continued participation in supporting the provider with funding. Such records shall be retained for at least four (4) years from the date the service was provided. These records shall be made available for inspection and audit by the County, if it so desires. DISCRIMINATION The Provider shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. The Provider shall take affirmative action to ensure that applicants who are employed are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not be limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rated of pay or other forms of compensation; and selection for training, including apprenticeship. The Provider agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause. INDEMNITY The parties hereto agree to indemnify one another for and hold one another harmless from and against all suits, claims, demands, liabilities or actions resulting or alleged to result from the breach, violation or non-performance of the Services stated herein and for any damage to any person resulting from any act or omission or negligence on the part of each party hereto. INSURANCE The parties hereto agree that the Provider shall be an independent contractor and not any employee or agent of the County and that each shall maintain at its own expense, adequate liability insurance to insure against damages and liabilities which may arise due to the duties and obligations contracted for herein. not?VOI:n PAGE COUNTY INVOLVEMENT The County and Provider state that to the best of their knowledge, no officer, agent or employee of the County who exercises any function or responsibility in connection with the carrying out of this Contract or the Services to which it relates has personal interest, direct or indirect, in this Contract. WHEREAS, pursuant to Texas Emergency Telephone Number Act, Section 722.301 et seq., Texas Health and Safety Code, the District has been formed and is a political subdivision of the State of Texas; and, WHEREAS, Brazos County is also a political subdivision of the State of Texas authorized to enter into interlocal cooperative governmental agreements; and, WHEREAS, the Brazos County Commissioners in public meeting find that it is mutually beneficial for the County and the District to enter into an agreement for the District to perform for the County, Emergency Communications Services Dispatching; NOW THEREFORE; IN CONSIDERATION of the mutual promises to each other made hereinafter, the undersigned parties agree as follows: Effective October 1, 2005, the District is hereby appointed the emergency communications dispatching authority for the Brazos County Sheriff's Office, Volunteer Fire Departments and Constables for the period October 1, 2005, through and including September 30, 2006. The County will provide the District access to the County's Law Enforcement Computer System to facilitate Law Enforcement Officers requests for warrant information. 1 VOL '4/ PAGE 51 5 The County agrees to pay and the District agrees to accept as compensation for the services provided a flat fee of three hundred sixty four thousand two hundred seventy and NO/100 DOLLARS ($364,270.00), payable in twelve monthly installments. The County shall pay the full amount due within thirty days of invoice from the District. All payments shall be subject to the Texas Prompt Payment Act. Should there arise any dispute, disputed amounts shall be deposited in a mutually agreed upon escrow account until a resolution. At no time shall the County's portion of the District's reserve fund exceed a three (3) month operating reserve. The District shall report this reserve balance each year as a part of the budget approval process. The District shall furnish to the County Auditor, at a minimum, documentation indicating the use of funds received from the County. The County's Auditor may require the District to provide information necessary for the Auditor to properly account for all funds expended or received by the District. District employees shall not be considered as County employees. The County and the District understand and agree to be subject to all the laws, ordinances and regulations which govern and affect Emergency Communications Dispatching and National Crime Information Computer network telecommunications as promulgated by the State of Texas or the United States Government or any of its appropriate Agencies, such as the Texas Department of Public Safety or the Federal Bureau of Investigation. (hereinafter "Provider"), located at 3370 South Texas Avenue, Suite G, Bryan, Texas 77802, RECITALS: WHEREAS, the medical care of the County's poor and indigent has become a growing problem; and WHEREAS, the County recognizes that good medical care of pregnant women results in healthier babies and less costly medical expenses incurred for the child in the future by the parents and the Community; and WHEREAS, the Court is interested in promoting such care through the Provider, NOW THEREFORE the parties above stated agree to the following terms and conditions to provide such indigent health care. By: etty Ste m. j, Executive Director Page 5 of 5 VOL 'V PAGE 63 INDIGENT HEALTH CARE CONTRACT This Contract is Subiect to Arbitration Under the Texas General Arbitration Act This Contract is entered into by and between BRAZOS COUNTY acting by and through its duly elected Board (hereinafter "County") and the BRAZOS VALLEY COUNCIL OF GOVERNMENTS (hereinafter "BVCOG"). The purpose of the Contract is to outline the responsibilities of each of the parties in the operation of the Indigent Health Care and Treatment Act, created by House Bill 1398 during the Special Session of the 76thTexas State Legislature. The parties mutually agree as follows: In compliance with the Indigent Health Care and Treatment Act and the Texas Constitution, the County agrees to provide the financial resources for the mandatory, Inpatient, Outpatient, Physician, Prescription, X -Ray, Laboratory, Rural Health Clinic and Family Planning Services to Eligible household members that meet the requirements of the Act, the Texas Department of Health (TDH) Handbook, and the BVCOG. RATES FOR REIMBURSEMENT The County agrees to join other counties in the region and provide a pro -rata share of funds for the Administration of the County Indigent Health Care (CIHC) Program by BVCOG for the State Dept. of Health, Region 7. The amount payable by BRAZOS COUNTY to BVCOG is $92,693.00 through September 30, 2006. Payment will be made to the BVCOG, quarterly. RESPONSIBILITIES OF BVCOG For and in consideration of the funding provided by the County, the BVCOG will be responsible for providing the following services pursuant to this Contract: 1. Providing all necessary application forms to potentially Eligible Individuals. 2. Provide intake services in the County at least once a month. 3. Assist applicants in completing all necessary forms. 4. Determine the Eligibility of each applicant with regard to residency and qualifications defined in the Act, including but not limited to Sections 1.01 and 1.04. In this capacity the BVCOG shall also be responsible for mailing all necessary forms and following all procedures defined in the handbook with regard to notifications and appeals on the issue of household eligibility. Monitor the Program on a periodic basis to review overall Program management and operation 11. Assist the County with all of its responsibilities under the Act and the Constitution. 12. Perform all other duties and functions necessary to fulfill the requirements as outlined in the Act and TDH Handbook. 13. Review the Eligibility of each household every six (6) months. 14. Prepare and distribute to the Provider no less than once every six (6) months a computer list of Eligible Residents. 15. Determine Eligibility not later than the fourteenth (14) day after receiving a completed application from an applicant including all necessary documentation and verifications. 16. Receive all Bills submitted by the Provider for payment of Services and review the same to verify that the Services and the patient qualify in all respects. 17. Send all Bills for payment to the County for payment. RESPONSIBILITIES FOR THE COUNTY The County shall be responsible for the following duties and requirements: 1. Provide County funds for the payment of mandated services. 2. Provide County funds for the Administration of the Program to the BVCOG on a quarterly basis. 3. Develop a system for the payment of Indigent Health Care Services bills or incorporate this billing into the County's established system for paying like bills. 4. Provide an audit of the Program as required by State law. 5. Accept ultimate responsibility for payment of services, which may be determined through an audit to have been an Ineligible expense. 6. Provide for and assist with the procurement of and payment for legal services as necessary. 7. Provide for and assist with the procurement of and payment for additional audit services. FURTHER ASSURANCES Each party hereto agrees to perform any further acts and to execute and deliver any further documents, which may be necessary to carry out the provisions of this Contract.
