VOL 65 PAGE I / $ COMMISSIONERS' COURT REGULAR MEETING JANUARY 11, 2005 A regular meeting of the Commissioners' Court of Brazos C#nty, Texas was held in the Brazos County Commissioners C#rtroom in the Courthouse in Bryan, Brazos County, Texas, bioinning at 9:00 a.m. on Tuesday, January 11, 2005 with the f4~lowing members of the Court present: Randy Sims, County Judge, Presiding; Eric Caldwell, Commissioner of Precinct l; Duane Peters, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. Commissioner Peters gave the invocation and led the p4odge of allegiance. Under citizen input/and or concerns the following spoke: Melissa Jarret, Brazos Animal Shelter Operations Director a) Requested to change dispatch services. They can save money, but this is a two-year contract. The current monthly fees are $267.00 whereas if they were to get a new provider, the cost would go down to $159.99 per month. The Court next considered Budget Amendment #04/05-13.1 tifough 13.3 that would reallocate funds for the Road and E )l Department and the Brazos Center, and transfer funds 1 (95 Page I I 9 Cc n issioners Court meeting January 11, 2005 2 from Expo Center to the County Attorney. On motion by C issioner Cauley, seconded by Commissioner Mallard, the C curt voted unanimously to approve the budget amendment as s mitted, a copy of which is attached. The next matter before the Court was a request from the S I office to reclassify Class 1405, Position 1 from A' inistrative Assistant to Administrative Secretary. On m ion by Commissioner Cauley, seconded by Commissioner P ers, the Court voted unanimously to approve the request. The Court proceeded to consider the change of status of erfibloyees as submitted on the attached Personnel Action R uests. The County Judge noted that the correct salary for t Administrative Secretary position is $33,509.00. On motion b Commissioner Cauley, seconded by Commissioner Peters, the C rt voted unanimously to approve the changes with the c4trected salary. The Court next considered the following Claims as s#mitted by the County Treasurer for payment: 7002758 through 7002931 0 motion by Commissioner Peters, seconded by Commissioner C ley, the Court voted unanimously to approve the Claims as s mitted. 1 (95 Page /aD Cc n issioners Court meeting January 11, 2005 3 The next matter before the Court was the Brazos Animal S lter Termination Agreement, terminating the I ergovernmental Agreement between Brazos County and the c ies of Bryan and College Station dated October 22, 1991. 0 motion by Commissioner Peters, seconded by Commissioner C ley, the Court voted unanimously to table consideration to a ow Court Counsel time to review all the information. The Court next considered a new Agreement between the B zos Animal Shelter, Brazos County and the cities of Bryan a College Station. On motion by Commissioner Peters, s onded by Commissioner Wassermann, the Court voted u nimously to table consideration to allow Court Counsel time t review all the information. The next matter before the Court was a request from the Information Technology Department for SunGuard Pentamation to proceed with analysis, detailed specifications, and p gramming for electronic signatures on requisitions and purchase orders. The cost for service is between $2,400.00 a $3,600.00. On motion by Commissioner Cauley, seconded by C issioner Peters, the Court voted unanimously to approve t request. The Court next considered a request from the Information T hnology Department to renew the hardware/software agreement Page I v2-' C issioners Court meeting January 11, 2005 4 ( AZOSN4000) with Hewlett Packard. Cost of the agreement is $ ,824.00 and the term is from January 1, 2005 through D ember 31, 2005. On motion by Commissioner Cauley, seconded b Commissioner Mallard, the Court voted unanimously to a rove the request to renew the agreement. A copy is a ached. Cost o service is $8,500.00. On motion by Commissioner Cauley, s onded by Commissioner Peters, the Court voted unanimously t authorize Aporia Solutions to proceed with the analysis. The term begins J uary 1, 2005 through December 31, 2006. The Court next considered approval of a requisition for a s nd system upgrade at the Brazos Center. The requisition is i the amount of $7,380.00. On motion by Commissioner Peters, s onded by Commissioner Wassermann, the Court voted u nimously to approve the requisition and authorized the County Judge to sign the document. The next matter before the Court was the approval of a r uisition in the amount of $4,743.00 for the replacement of t rolling steel service door for the jail sallyport e rance. On motion by Commissioner Peters, seconded by C issioner Wassermann, the Court voted unanimously to a rove the requisition and authorized the County Judge to sign the document. Buchanan Associates, Inc. for e ineering services and construction materials testing. Term o the contract is from January 1, 2005 through December 31, 2()S. On motion by Commissioner Cauley, seconded by C issioner Peters, the Court voted unanimously to approve t contract and authorized the County Judge to execute the d ument. A copy is attached. Becky Stephens, Senior Buyer recommended renewal of the bid for an additional year at the s e prices with Red River Specialties, Inc. Previously, the b was awarded to Red River Specialties, Inc. as Primary V dor and to Producers Co-op as Secondary Vendor. Producers C op chooses not to renew. On motion by Commissioner Peters, s onded by Commissioner Cauley, the Court voted unanimously t accept the recommendation of the Senior Buyer and renew the c tract with Red River Specialties, Inc. The next matter before the Court was a request by the B#zos County Bail Bond Board to retain an attorney to represent the Brazos County Bail Bond Board in pending 1 igation. On motion by Commissioner Peters, seconded by C issioner Cauley, the Court voted unanimously to retain an a orney to represent the Brazos County Bail Bond Board and w k with Bill Ballard, the legal counsel to the Commissioners Curt. On motion by Commissioner Cauley, seconded by C issioner Wassermann, the Court voted unanimously to r eive, approve and order filed as submitted the Treasurer's r ort for November 2004. Buchan Associates, Inc., a corporation organized under the laws of the State of Texas with principal offices located at 206 North Sims Street, Bryan, Texas, 77803 (hereinafter called "ENGIN ER"). ENGINEER and CLIENT hereby agree as follows with respect to Engineering Servicesjt~ be performed by ENGINEER: 1.0 GINEERING SERVICES 1.1 El, GINEER shall act for Client in a professional manner, using that degree of care and skill ordinarily e rcised by and consistent with the standards of competent engineers practicing in the same or similar 1 lity of the PROJECT site. 1.2 E ineer shall provide services that, in the opinion of the ENGINEER, lie within the technical or p fessional areas of expertise of ENGINEER and which ENGINEER is adequately staffed and equipped 1.3 ENGINEER shall perform all technical services under the general direction of a Registered Professional veer and in a substantial accordance with the basic requirements of the appropriate Standards of the rican Society for Testing and Materials, where applicable, The Texas Engineering Practices Act, or standards designated by ENGINEER. 1.4 Ze INEER shall consider all reports the confidential property of CLIENT, and distribute reports only to t persons, organizations or agencies specifically designated in writing by CLIENT or his authorized 1.5 E INEER shall retain samples of soil or rock for a period of sixty (60) days following submission of the r tort, unless requested otherwise by CLIENT, after which time, samples will be discarded. ENGINEER s 1 discard concrete cylinders after testing unless requested otherwise by CLIENT. 1.6 E INEER shall retain all pertinent records relating to the services performed for a period of ten years f 1 owing submission of a report, during which period the records will be made available to CLIENT at r onable times. Duplicates shall be made at reasonable fees. 1.7 A itten definition of the Services (Exhibit A) to be performed by ENGINEER is incorporated in this 2 2.0 IENT RESPONSIBILITIES 2.1 IENT shall provide ENGINEER full information regarding the structure(s) to be contemplated on the P JECT including location and elevation of structure(s) on the PROJECT site, locations of existing u erground utilities on the PROJECT site, magnitudes and configurations of loads, permissible s lements, planned cuts and fill, proximity of adjacent structures, and design loadings for paving areas a railways, and other information required for the proper performance of ENGINEER. 2.2 C ENT shall furnish right of entry into the PROJECT site for ENGINEER to make the necessary field s ies. ENGINEER will endeavor to minimize damage to the land but makes no guarantee to restore the six to its original conditions unless a separate Agreement is made for such restoration, in which case E WEER shall add the cost of restoration to the fee for the PROJECT. 2.3 C ENT shall designate in writing those persons, organizations or agencies to be contacted in the event c ditions are revealed during execution of ENGINEER's study or testing that would require possible al ration of the study or would potentially influence design that is proceeding in parallel with the study. 2.4 I he absence of an express designation from the CLIENT to the contrary, services requested by C ENT's representative will be deemed as requested by CLIENT. 3.0 GENERAL CONDITIONS 3.1 El 4 WEER, by the performance of services covered hereunder, does not in any way assume, abridge or a gate any of those duties, responsibilities or authorities with regard to the PROJECT customarily vested in e PROJECT architects, design engineers, or any other design agencies or authorities. 3.2 El 4 INEER shall not be responsible or liable for errors, omissions or deficiencies of any other party(s) in lved in the design of the PROJECT, or the failure of any architect, design engineer, contractor, su ontractor or any other design agency or authority to design and/or construct any aspect of the P JECT in accordance with recommendations contained in any correspondence or verbal re mmendation issued by ENGINEER. 3.3 T i Agreement may be terminated by either party on receipt of written notice or by mutual agreement. If this Agreement is terminated by either party, ENGINEER shall be immediately paid in full for all services per' brined through the termination date, and the CLIENT shall be provided with a complete report of the re Its of tests and analysis conducted prior to termination. 3.4 N 'i her CLIENT nor ENGINEER may delegate, assign, sublet or transfer his duties or interest in this without the written consent of the other party. 3.5 T only warranty made by ENGINEER in connection with its services performed hereunder is that it will us that degree of care and skill as set forth in Article L I above. No other warranty, expressed or implied, is iiade or intended for services provided hereunder or furnishing oral or written reports of findings made. 3 vo &S F'G . 3.6 I the event that CLIENT issues its Standard Purchase Order for engineering services, which shall be prepared and executed for each specified Project assignment requested by CLIENT, the terms and c ditions of this AGREEMENT shall be incorporated as terms and conditions of the CLIENT's Standard chase Agreement unless expressly noted to the contrary. 3.7 IENT may make changes in the Services of the ENGINEER by notifying the ENGINEER to perform a Iflitional Services or to omit part(s) of the Services. ENGINEER reserves the right not to comply with IENT directed changes in the event such changes are contradictory to the basic requirements of the TeKas Engineering Practices Act or appropriate Standards of the American Society for Testing and Nlaterials, where applicable, or other standards designated by ENGINEER. The provisions of this Agreement shall apply to such additions and omissions. 4.0 INSURANCE 4.1 GINEER shall secure and maintain throughout the full period of this Agreement sufficient insurance to p tect it adequately from claims under applicable Workmen's Compensation Acts and from claims for Wily injury, death or property damage as may arise from the performance of services under this reement. ENGINEER will, upon request, file certification of such insurance coverage with CLEINT or h authorized representative. 4.2 insurance of whatever kind or type which may be carried by ENGINEER, is to be considered as in any limiting the architect, design engineer, contractor, subcontractor or any other design agency or a hority's responsibility for damages resulting from its operations or for furnishing work and materials to t PROJECT. CLIENT agrees therefore, to include or cause to be included in the PROJECT's design and c struction contracts, such requirements for insurance coverage and performance bonds to be secured and intained by the PROJECT's designers and contractors as CLIENT deems adequate to indemnify WENT, LABORATORY, and other concerned parties, against claims for damages and to insure c pliance of work performance and materials with PROJECT requirements. 4.3 rker's Compensation ($500,000 per incident limit), Comprehensive General Liability ($1,000,000 limit p occurrence), and Comprehensive Automobile Liability ($1,000,000 combined single limit, per a ident), Insurance coverage(s) will be provided. Any additional insurance requirements will be n' otiated and reimbursed to ENGINEER. 4.4 GINE,ER agrees to indemnify and save harmless CLIENT, its agents and employees from and against a I:' loss or expense (including court costs and attorneys fees) for personal injury including death at any time r ulting therefrom sustained by any person or persons or on account of damage to property (other than p perty of CLIENT or construction work in progress, for which CLIENT assumes responsibility) if and to t extent arising out of the negligence of ENGINEER. The parties hereby waive and shall require their ii o urers to waive subrogation against the other under any applicable policies of insurance. 4 I1 11L &5 PAGE /(00 5.0 5.1 IENT will pay ENGINEER for services and expenses in accordance with the attached fee schedule ( ibit B). ENGINEER's invoices will be presented monthly and will be paid by CLIENT within thirty (30) days of receipt by CLIENT or his authorized representative. 5.2 GINEER shall be paid in full for all services under the Agreement, including any overruns of CLIENT's c tract or any unforeseen need for ENGINEER's services exceeding original contract requirement. LENT shall make payment for such services irrespective of any claim for compensation for additional -k conducted. Any such claim shall in no respect delay payment of fees for services performed by GINEER. Failure of CLIENT to pay ENGINEER shall entitle ENGINEER to file a Mechanic's and 's Lien on Project property. 6.0 6.1 Is Agreement, including these terms and conditions, represents the entire agreement between CLIENT a .ENGINEER and supersedes all prior negotiations, representations or agreements, written or oral. The eement may be amended only by written instrument signed by CLIENT and ENGINEER. 7.0 7.1 T s Agreement shall be governed by the laws of the State of Texas. Any disputes that arise from this A eement shall be resolved in a Texas venue. 8.0 RRANTY 8.1 ENGINEER shall perform its Services hereunder on a best professional effort basis, consistent with g rally accepted industry standards, or in the absence of generally accepted industry standards, consistent w reasonable engineering practice. ENGINEER's liability in the event of defect, error, omission, or fa re (collectively called "defect") in any of Engineer's Services under this AGREEMENT shall be hinted to defects arising out of its sole negligence and further limited to the correction of defects in 4NEER's original Services, by ENGINEER reperforming the defective portion of the Services without ional costs to the CLIENT, provided Engineer is notified by Client in writing of such defect within (1) year after completion of ENGINEER's Services under this AGREEMENT, and such notice fically includes a request for reperformance. However, ENGINEER shall not be liable for any other , including but not limited to, replacement materials, equipment, or labor incurred by CLIENT in ection with the correction of any such defects. 5 OL.65 FADE / 14.0 RM OF AGREEMENT 14.1 T Agreement will remain in effect for Services provided through December 31, 2005. After that date, thii! Agreement will be subject to review and as a result of this review may be modified or revised with the m ual consent of both parties.
