Adjourn -2- Vol, z JJ46 claw-, i • COMMISSIONERS' COURT SPECIAL MEETING OCTOBER 5, 1992 A special meeting of the Commissioners' Court of Brazos County, Texas was held in the Commissioners' Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Monday, October 5, 1992, with the following members of the Court present: R. J. Holmgreen, County Judge, Presiding; Gary Norton, Commissioner of Precinct 1; Walter Wilcox, Commissioner of Precinct 2; Randy Sims, Commissioner of Precinct 3; Milton Turner, Commissioner of Precinct 4; Mary Ann Ward, County Clerk. The Court next considered Budget Amendment 1191/92-32, which would reallocate funds budgeted for the Adult Probation Department and the District Attorney's Department. On motion by Commissioner Wilcox, seconded by Commissioner Turner, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. On motion by the County Judge, seconded by Commissioner Norton, the Court voted unanimously to appoint Commissioner Randy Sims and the County Judge as Brazos County's represen- tatives to the Economic Development Board. The Court next considered a contract to secure unclaimed funds for Brazos County. The County Judge informed the _ -9,7 -l Commissioners' Court meeting October 5, 1992 members of the Court that he had been contacted by Full Circle Services, Inc., regarding an unclaimed cash asset being held by a governmental subdivision for Brazos County Commissioners Court. In the letter from Full Circle Services, Inc. it indicated that an uncashed check in excess of $10,000.00 was being held for Brazos County Commissioners Court. The cost to the County would be 25% of any funds received and collected. Commissioner Wilcox recommended setting a specific contract period. On motion by Commissioner Norton, seconded by Commissioner Turner, the Court voted unanimously to enter into contract with Full Circle Services, Inc. for the collection of an unclaimed cash asset. Cancellation of the contract will be with a thirty (30) day written notice. The next matter for consideration was an application from James Diehl for military service credit. The employee has met all the requirements for military service credit as set forth by the Texas County & District Retirement System and included a check in the amount of $540.00. On motion by Commissioner Wilcox, seconded by Commissioner Sims, the Court voted unanimously to approve the application from James Diehl for military service credit and will forward the necessary documents to the Texas County & District Retirement System. On motion by Commissioner Turner, seconded by Commis- sioner Wilcox, the Court voted unanimously to accept the proposal submitted by the firm of Durst, Wood, Milberger & Associates, L.L.P. to audit the general purpose financial statement of Brazos County and the Brazos County Health Department for the year ended September 30, 1992. Estimated fee for the audit will be $33,000.00. On motion by the County Judge, seconded by Commissioner Wilcox, the Court voted unanimously to accept the proposal submitted by the firm of Durst, Wood, Milberger & Associates, L.L.P. to audit the financial statements. Bid No. 92-646 - Annual culvert contract Cheryl Turney, Purchasing Agent, recommended acceptance of the low submitted by Wilson Culverts for galvanized steel corrugated culverts and the low bid submitted by Bernath Concrete for reinforced concrete pipe culverts. On motion by Commissioner Turner, seconded by Commissioner Norton, the Court voted unanimously to accept the recommendation of the Purchasing Agent and award the contracts to Wilson Culverts and Bernath Concrete. R E C I T A L S: A. Full Circle has determined that Client may be the owner of an interest in certain funds which are collectable, yet uncollected by Client as of the date hereof (the *Funds*); and B. Client desires Full Circle to disclose the information it has obtained with regard to the Funds and to recover and/or assist Client in the recovery of the Funds. Now, Therefore, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the parties hereto agree as follows: 1. Disclosure of Information, Full Circle shall disclose the information it has obtained concerning the Funds to Client, in writing, within thirty (30) days of the date of Full Circle's execution of this Agreement. In the event the information disclosed by Full Circle to Client indicates that the funds are payable jointly to Client and another payee, Client will contact such 'additional payee for the purpose of obtaining the consent to the release of the Funds, if necessary, to Client. Notwithstanding that such Funds are payable jointly to Client and an additional payee, upon receipt of the Funds by Client, the Commission due and payable to Full Circle under the terms of this Agreement shall be paid as set forth herein. 2. Excluded Funds. The Funds which are the subject of this Agreement shall not include any amounts (i) which bear an original issue date by the holder thereof of less than four months prior to the date of this Agreement, or (ii) for which a written request for payment has been made by Client to the holder of the Funds, subsequent to the original issue date of such funds and not more than four months prior to the date of this Agreement (the •tccluded Funds•). 1 In the event Client believes from the information disclosed by Full Circle that the Funds are Excluded Funds, Client shall, within thirty (30) days from the date it receives the written disclosure from Full Circle, deliver to Full Circle satisfactory evidence verifying that such Funds are Excluded Funds, in a form acceptable to Full Circle. Failure of Client to provide Full Circle with such evidence within the time frame set forth above shall be deemed a covenant and agreement of Client that the Funds are not Excluded Funds and are subject to this Agreement. Should Client thereafter recover or benefit from the Funds, Full Circle shall be entitled to, and Client agrees to pay to Full Circle, the Commission (as defined in paragraph 4 below). It is specifically acknowledged by Client that the intent of this Agreement is to pay the Commission to Full Circle for its services in identifying Funds which are not actively being pursued for recovery by Client and which are thereafter recovered by Client, notwithstanding the fact that such amounts may be reflected in the books and records of Client. 3. Authorization of Action. Upon the expiration of the time period within which Client must identify any Excluded Funds, Full Circle shall commence and thereafter diligently pursue recovery of the Funds or, if Client shall so direct, assist Client in its direct effort to recover the Funds. In connection therewith and unless Client determines to seek recovery of the Funds directly, Client shall evidence the authority granted to Full Circle hereunder to pursue recovery of the Funds by executing and delivering to Full Circle a limited power of attorney containing terms mutually acceptable to Full Circle and Client. 4. Compensation of Full Circle. Full Circle's sole compensation for the services rendered to Client hereunder shall be twenty-five percent (25%) of the Funds (the 'Commission'), payable as follows: (i) In the event Full Circle receives the Funds on behalf of Client, Client hereby authorizes Full Circle to withhold the Commission from such Funds and remit the remaining balance thereof to Client within forty (40) days of receipt of the same, (ii) In the event Client receives or otherwise benefits from the Funds, Client shall pay the Commission to Full Circle within forty (40) days of receipt of the Funds. All amounts not paid when due shall bear an interest rate of 18% per annum until paid. Client shall have no liability to Full Circle unless and until Client receives or benefits from the Funds. 5. Release - Termination. Full Circle may, at any time upon ten (10) days prior written notice to Client, terminate this Agreement and its efforts to recover any Funds on behalf of Client. Upon such termination, Full Circle shall be released from all liability which might otherwise be claimed to have resulted from such discontinuance and Client is thereafter free to pursue the Funds with no obligation to Full Circle for the Commission. Client shall likewise have the right to i terminate this Agreement at any time upon ten (10) days prior written notice to Full Circle, provided that Full Circle shall continue to be entitled to and Client agrees to pay the Commission upon recovery by Client of the Funds disclosed by Full Circle notwithstanding such termination. This Agreement shall automatically terminate upon the recovery of the Funds and the payment of the Commission, or two years from the date this Agreement is signed by Full Circle. 6. Limitation of Full Circle's Authority. Full Circle shall at all times be deemed an independent contractor and not an employee or agent of Client. Nothing contained herein shall be construed to give Full Circle any right of access to the books or records of Client, or to use the name of Client, without the written consent of Client in each instance. 7. Further Assurances. Client shall provide Full Circle with true and correct copies of all documents, instruments and/or correspondence received or originated by it with regard to the Funds and shall disclose to Full Circle any other information received or originated by it in connection with the Funds within twenty (20) days of the receipt or origination of the same. In the event the holder of the Funds requires any additional information or documentation with regard to the authority of Full Circle to pursue recovery of the Funds; the identity and/or claims of Client, or other relevant matters, Client shall reasonably cooperate with Full Circle and shall execute and deliver such further documents and assurances as may be reasonably required by such holder. Full Circle shall forward copies of all documents, instruments and/or correspondence received by it in connection with the Funds to Client within twenty (20) days of receipt of the same. 8. Indemnity. in the event Full Circle or Client receives any Funds which are determined by the holder thereof to have been issued in error, each party hereto agrees to immediately return the amounts received by it to the holder thereof and to indemnify and hold the other harmless from any and all claims and/or liabilities in connection with their respective portion of the funds. 9. General Provisions. A. Binding Effect. This Agreement shall be binding upon and inure to the benefit of each of the parties hereto, their respective successors and assigns. 8. Confidentiality. Client and Full Circle, or any subsequent assignee of either party hereto, each agree not to disclose any of the information contained in this Agreement or obtained as a result of the services provided by Full Circle hereunder with regard to the Funds, to any third party other than the holder involved in a particular transaction. C. Entirety. Amendment. and Waiver- This Agreement 3 T7-4 9-~ constitutes the entire understanding and agreement by and between the parties hereto relative to the subject matters set forth herein. No prior negotiations, statements, warranties, representations, or agreements, whether oral or written, not specifically set forth or incorporated herein shall be permitted to alter, vary, or add to the written terms of this Agreement nor shall the same be binding upon any party hereto. No amendment, modification or waiver of the terms of this Agreement shall be deemed valid or binding upon any party hereto unless first reduced to writing and signed by all parties hereto. For purposes of construction hereof, this Agreement shall be deemed to have been prepared jointly by both parties hereto. D. severability. If any part of this Agreement is deemed void or unenforceable by a court of law having competent jurisdiction hereof or by legislative enactment, the remaining provisions of this Agreement shall remain in full force and effect. E. Notices and Communications. All notices or other communications required or which may be given hereunder to a party, shall be in writing and shall be hand delivered, sent by overnight courier service, by facsimile or mailed by express, registered or certified mail, return receipt requested, postage prepaid, addressed as set forth below. Except as otherwise expressly provided for herein, each such notice or communication shall be effective when delivered at the address specified in this Section. Any party hereto may, by prior written notice to the other party, change any address or facsimile number to which any notice or communication hereunder shall be sent. I F. Jurisdiction. This Agreement has been prepared in accordance with the laws of the State of Oklahoma and is to be construed and enforced in accordance with the laws of such state. In the event of any dispute arising concerning the terms, provisions or performance of this Agreement, the parties specifically agree that the exclusive venue for the judicial resolution thereof shall be vested in the District Court of Tulsa County, State of Oklahoma. G. Time of the Essence. It is agreed by the parties hereto that time is of the essence in the performance by them of each and every term, covenant and condition imposed by the terms of this Agreement. H. Authority. The individual executing this Agreement on behalf of Client has been duly authorized and empowered by Client to do so, and is authorized to deliver this Agreement on behalf of Client. Such signature shall bind Client to the terms, conditions and obligations of this Agreement. 1. Attorney Fees. In the event litigation is maintained or initiated by any party to this Agreement against any other party to enforce any terms of this Agreement or'seek any remedy for breach hereof, then and in such event, the prevailing party to such litigation shall be entitled to recover from the non-prevailing party reasonable attorney fees and the costs of the suit as shall be determined by the judge of the court having jurisdiction thereof. J. Survival. All of a party's rights and privileges, to the extent they are reasonably attributable to events or conditions occurring or existing on or prior to the termination of this Agreement, shall survive such termination and be enforceable by the party and its successors and assigns.
