J. Holmgreen, County Judge, Absent;- Gary Norton, Commission er of Precinct 1; Walter Wilcox, Commissi oner of Precinct 2, Presiding; Randy Sims, Commissione r of Precinct 3; Milton Turner, Commissi oner of Precinct 4; Frank Boriskie, County Clerk. I VO PAGO d • • • The members of the Court tabled consideration on an order to include District Judicial Officials in the County Retirement Program. It was moved by Commissioner Sims and seconded by Commissioner Norton duly put and carried, and that the following resolution be adopted: WHEREAS public convenience and necessity requires the widening and construction of Farm-to-market Highway 60 owned and maintained by the State of Texas, such widening and construction to be located in part in the Oak Hills Subdivision, Stephen Jones Survey, Abstract No. 27, in Brazos County, Texas, and being more particularly described in Exhibits "A", "B", "C" and "D" attached to this Resolution and incorporated herein by reference, with such widening and construction being part of the State Department of Highways and Public Transportation and Brazos County established roadway improvement project identified as FM 60 Expansion Project; and WHEREAS the FM 60 Expansion Project requires the taking of a portion of privately owned land in the location described above and the acquisition and taking of said property are necessary and appropriate for the public use described above; and WHEREAS it is necessary and that Brazos County, Texas appropriate and acquire the land and rights-of-way and appurtenances, including without limitation making and causing to be made final offers therefor and instituting and causing to be instituted and condemnation proceedings that may be necessary for the acquisition of the land, right-of-way, or appurtenances; and WHEREAS Hubert Nelson, Inc. has made the following offers to property owners for the right-of-way necessary for the widening and construction of Farm-to-Market Highway 60 in Brazos County, Texas: Parcel No. Owners #1 Arthur Wayne and Ella Ruth Corley #7 Neil and Faye,C. Hoadly 0.16 acres, $2,959.00 Exhibit C #28 Gene and Martha Hix 0.66 acres, $5,628.00 Exhibit D NOW THEREFORE., BE IT ORDERED that Vance, Bruchez & Goss, P.C. be authorized and empowered to bring on behalf of Brazos County, Texas, condemnation proceedings to obtain the necessary land for the FM 60 Expansion Project in accordance with the powers and rights conferred upon Brazos County, Texas, by the Constitution and laws of the State of Texas. Exhibits 'A', 'B', 'C' and 'D' as mentioned above are attached hereto and made a part of these minutes. The Court next considered the request by General Telephone Company to install a communication line w ithin the right-of-way of Kemp Road in Precinct 1. On motion by Commissioner Turner, seconded by Commissioner Sims, the Court voted unanimously to approve the request of General Telephone Company and authorized the installation. A copy of the request is attached hereto. The Court received, approved and orde red filed as submitted the Treasurer's report for December 1989. Commissioner Norton advised the journalism students from A&M that the claims are posted on the wall in the courtroom for all to see. The Court next considered entering into agreement with Atochem, North America, Inc. to grant Atochem a non-exclusive agreement over a 1.62 acre tract of land located on South Texas Avenue, Bryan, Texas for pedestrian and vehicular ingress, egress and regress to the work tract on the Atochem property. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the contract and authorize the County Judge to execute it on behalf of the County. WHEREAS, ATOCHEM has agreed to perform certain work (the "Work') pursuant to a Final Action Plan dated January 23, 1989, as supplemented on February 8, 1989, on property located adjacent to or near ATOCHEM's facility in Bryan, Texas (the "Work Tract"); and WHEREAS, ATOCHEM (or its contractors) will need to cross the parcel of land owned by the COUNTY and described in Exhibit "A", (the "County Tract") to gain access to such land to perform such work; and WHEREAS, COUNTY is desirous of permitting ATOCHEM to cross the County Tract; NOW, THEREFORE, in consideration of the mutual covenants herein contained and intending to be legally bound hereby, the parties do hereby covenant and agree as follows: 1. COUNTY hereby grants ATOCHEM a non-exclusive license over the County Tract for use as a roadway for pedestrian and vehicular ingress, egress and regress to the Work Tract. ATOCHEM shall have the right to grant temporary rights over the County Tract to it agents and sub-contractors including construction companies, contractors, public n• utility companies and other,persons as may be required for access to the Work. 2. Upon completion of the Work, ATOCHEM shall restore the surface of the County Tract to its current state, including the planting of grass or other ground cover, if - 111 - l ' i • i I Atochem, North America, Inc. 201 West Dodge Bryan, TX 77801 the same shall have been disturbed or excavated in connection with ATOCHEM's access • 3. Indemnification. a. ATOCHEM shall and does hereby agree to indemnify, protect, defend and hold harmless the County for, from and against all claims, demands, liabilities, damages, costs, suits, losses, liens, expenses, causes of action, suits, judgments and fees (including court costs and attorneys' fees), of any nature, kind, or description, including but not limited to property damage and injury to any person including death, resulting from the acts and/or omissions of ATOCHEM, its directors, employees, agents, sub- contractors, contractors, and representatives, arising out of, in whole or part the use of the County Tract by ATOCHEM, its directors, employees, agents, sub-contractors, contractors and representatives as contracted for in this Agreement. 0I under this Agreement. Any construction on or improvements to the County Tract, shall remain unaltered at the termination of this Agreement, at the COUNTY's discretion. b. Within seven (7) days of receipt of any claim referred to in Paragraph 3 (a), COUNTY shall give notice in writing to ATOCHEM of such claim and shall provide copies of any pleading or complaint filed before any court or agency. COUNTY shall i cooperate with ATOCHEM in the defense of any claims, lawsuits or proceeding. i ATOCHEM shall retain the right to select counsel and to make all decisions relating to the defense of any such claim. i 4. Any notice required to be given to either party hereto shall be given in writing i by the United Stated mails or by hand delivery to the following representatives: a. For ATOCHEM: 2 1 Y FT II k b. This Agreement shall terminate upon the completion of the Work by ATOCHEM or on June 30, 1990, whichever comes first. 6. This Agreement expresses the entire agreement between the parties and all the rights, privileges, covenants and obligations hereunder shall. extend unto and inure to the benefit of and be binding upon the parties hereto and their respective successors and lessees.
