REGULAR MEETING
NOVEMBER 6, 2001
A regular meeting of the Commissioners' Court of Brazos
County, Texas was held in the Commissioners' Courtroom in the
Courthouse in Bryan, Brazos County, Texas, beginning at 9:00
a.m. on Tuesday, November 6, 2001, with the following members
of the Court present:
Alvin W. Jones, County Judge, Presiding;
Tony Jones, Commissioner of Precinct 1;
Wm.S. Thornton, Commissioner of Precinct 2;
Randy Sims, Commissioner of Precinct 3;
Carey Cauley, Jr., Commissioner of Precinct 4;
• Karen McQueen, County Clerk.
The attached sheet contains the names of the citizens and
officials that were in attendance.
The County Judge gave the invocation and led the pledge
of allegiance.
There was no citizen input/and or concerns.
The Court next considered Budget Amendment #01/02-4.1
which would transfer funds to the District Attorney's Office
from Contingency. On motion by Commissioner Sims, seconded by
Commissioner Jones, the Court voted unanimously to approve the
budget amendment as submitted, a copy of which is attached
hereto.
The Court proceeded to consider the change of status of
employees as submitted on the attached Personnel Action
• Requests. On motion by Commissioner Cauley, seconded by
Commissioner Sims, the Court voted unanimously to approve the
changes as submitted.
The Court next considered the following Claims as
submitted by the County Treasurer for payment:

On motion by Commissioner Jones, seconded by Commissioner
Thornton, the Court voted unanimously to approve the Claims as
submitted.

The Court next considered the appointment of a member of
the Appraisal District Board of Directors. On motion by the
County Judge, seconded by Commissioners Jones, Thornton, Sims
and Cauley, the Court voted unanimously to appoint Carol
McFadden to the Board.
The next matter before the Court was consideration of
changes to the Group Medical Co-Pay and Deductible Plans. On
motion by Commissioner Sims, seconded by Commissioner Cauley,
the Court voted unanimously to approve the changes to the
Group Medical Co-Pay and Deductible Plans. A copy is
attached.
The next matter before the Court was approval of a
Contractual Agreement between Brazos County and the College
Station Medical Center (The Med) for healthcare services to
Brazos County employees and their dependents. Attachment "A"
of the plan states that The Med will provide a 45k discount on
all In-patient Services and a 40% discount on all Out-patient
services. Commissioner Cauley asked why there was no contract
with the Physician's Center. He continued by asking which
hospital was actually cheaper since even though they may offer
the same discounts, they may charge different prices.
Commissioner Jones informed the Court that the consultant
indicated there was very little difference in prices between
the two hospitals. Commissioner Sims stated that they were
working on a time line and hoped to add the Physicians Center
to the plan next year. On motion by Commissioner Sims,
seconded by Commissioner Jones, the Court voted unanimously to
enter into contractual agreement with the College Station
Medical Center. The Agreement is to include attachment "A".
A copy of the contractual agreement is attached hereto.
The Court continued with consideration of an Agreement
with Alliance Health Providers of Brazos Valley, Inc. and the

St. Joseph Health System. In Exhibit "A", St. Joseph will
provide a 308 discount on all in-patient Services and a 108
discount on all out-patient services. Included in Exhibit "B"
are the following fees:
Network Access - $1 per member per month
Full U/R - $1 per member per month
Repricing - N/A
Commissioner Sims moved to approve the Agreement inclusive of
attachments "A" and "B". Commissioner Jones seconded the
motion. Commissioners Jones, Thornton, Sims and Cauley voted
"Aye". The County Judge voted "No". The motion carried. A
•
copy of the Agreement is attached.
The next matter for consideration by the Court was a
request submitted by the 361" District Court Judge, Steve
Smith, seeking approval for out of state travel for himself.
Judge Smith would be traveling to Philadelphia, Pennsylvania
to attend the National Conference of Special Court Judges
January 30 through February 3, 2002. On motion by
Commissioner Sims, seconded by Commissioner Cauley, the Court
voted unanimously to grant the request from the 361" District
Court Judge and approved payment of out of state travel
expense for Judge Steve Smith.
The Court next considered an Order Adopting County
Election Precincts. On motion by Commissioner Cauley,
seconded by Commissioner Thornton, the Court voted unanimously
•
to adopt the County Election Precincts Order. A copy of the
order is attached.
On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to appoint the following
persons as presiding judge and alternate judge for the current
voting year at the following voting precincts:

The Court proceeded with consideration of continued use
of the County Rodeo Arena located on Tabor Road. On motion by
Commissioner Thornton, seconded by Commissioner Cauley, the
Court voted unanimously to close the Rodeo Arena and dismantle
the bleachers immediately, and to have the Purchasing
Department solicit bids for the demolition and removal of the
bleachers. This does not include Arena Hall nor the Pavilion.
The Court next considered entering into an Interlocal
Agreement with the Grimes County Regional Crime Lab. In a
memo the Court, the Chief Deputy stated that the DPS labs are
overwhelmed and unable to process requests in a timely manner.
Also that the District Attorney has committed $2,500 annually
for Brazos County to be able to utilize those services. On
motion by Commissioner Jones, seconded by Commissioner
Thornton, the Court voted unanimously to enter into an
Interlocal•Agreement with the Grimes County Regional Crime
Lab. A copy is attached.
The Court next considered adopting an Order Authorizing
the Use of an Electronic Signature by the County Judge and a
designee within the County Auditors Office for the conduct of

On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to approve the Blanket
Purchase Orders as submitted.
The next matter for consideration was approval for the
Purchasing Agent to advertise the following bids:

On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to authorize the
Purchasing Agent to advertise for the previously noted bids.
The Court next considered approval of a Second Year of
Two-Year Pest Control Contract. On motion by Commissioner
Sims, seconded by Commissioner Cauley, the Court voted
unanimously to approve the second year of the two-year
contract with Ace Pest Control.
The next matter before the Court was the awarding of Bid
#2002-005, Addendum #1 - Culverts, Various (Plastic Pipe).
The Senior buyer recommended awarding the bid for Plastic
Pipe, ADS N-12, Smooth Interior, Corrugated Polyethelene to
•
Woodson Lumber as Primary Vendor and Hughes Supply as
Secondary Vendor. On motion by Commissioner Thornton,
seconded by Commissioner Cauley, the Court voted unanimously
to accept the recommendation of the Senior Buyer and award the
bid as recommended. A copy of the bid tabulation is attached.
The Court next considered approval of RFP #2002-019
Environmental Study on tract of land in Brazos County. The
Purchasing Agent recommended selecting CSC Engineering &

Environmental, Inc., to do the Phase I Environmental Site
Assessment and Phase II Biological Habitat Environmental Study
on the 158.52 acres located on the southeast corner of the
intersection of State Highway 47 and F.M. 1688. On motion by
Commissioner Jones, seconded by Commissioner Sims, the Court
voted unanimously to accept the recommendation of the
Purchasing Agent and select the RFP submitted by CSC
Engineering & Environmental, Inc. A copy is attached.
The Court next considered authorizing work outside of
county rights-of-way for the health, safety and welfare of the
general public. The Road and Bridge Department requested
permission to enter the private property of Michael and
Marianne Welch located off Welch Road to fill in ditch on left
side of Welch Road with excess excavated dirt from roadway
ditch work as requested by land owner. The site is in
Precinct 2. On motion by Commissioner Thornton, seconded by
Commissioner Cauley, the Court voted unanimously to authorize
the work.
The Court next considered the request from verizon to
construct a road bore for buried cable installation in the
right-of-way of Wheelock Hall Road in Precinct 2. The County
Engineer stated that all appeared to be in order and
recommended approval. On motion by Commissioner Thornton,
seconded by Commissioner Cauley, the Court voted unanimously
to approve the request from verizon and authorized the
installation. A copy of the request is attached hereto.
The Court next considered the request from Wickson Creek
Special Utility District to construct 0.4 mile of water line
installation in the right-of-way of Dilly Shaw Tap Road in
Precinct 2. The County Engineer stated that all appeared to
be in order and recommended approval. On motion by

Court voted unanimously to approve the request from Wickson

The Court next considered the request from Wickson Creek
Special Utility District to construct a road bore and install
approximately 5,280 feet of water line in the right-of-way of
Bird Pond Road in Precinct 3. The County Engineer stated that
all appeared to be in order and recommended approval. On
motion by Commissioner Sims, seconded by Commissioner Cauley,
the Court voted unanimously to approve the request from

Wickson Creek Special Utility District and authorized the
installation. A copy of the request is attached hereto.
On motion by Commissioner Cauley, seconded by
Commissioner Jones, the Court voted unanimously to receive,
approve and order filed as submitted the Treasurer's report
for September 2001 and the Quarter Ending Report September 30,
2001. A copy of each is attached to and made a part of these
minutes.
The County Judge deviated from the agenda to item 28,
Announcement of interest items and possible future agenda
topics.
The County Judge made the following comments:
a)
He visited with Allen Steen, Area
Supervisor, for the State Juvenile
Commission.
b)
A workshop may need to be scheduled to
discuss Subdivision Regulations with
•
other entities.
C)
There will be a meeting at 5:15 p.m. on
November 15, 2001 to discuss the topic of
a Magistrate.
d)
He has discussed the possibility of a
contract for legal representation for
misdemeanor offenders much like that for
juvenile offenders.
e)
He announced that he was pleased with the
report from the Sheriff on the number of
inmates in jail

f) There is the possibility of getting a
three year grant for a Gun Violence
Prosecutor.
g) There is a meeting scheduled by Judge
Morgan in Washington County concerning
terrorist activities. It will be
November 26, 2001 at 7:00 p.m.
h) He received letters from the Varisco
Estate concerning the property that is
leased for the Juvenile Boot Camp and
Adult Probation.
i) He received an E-Mail from the Council of
Urban Counties indicating the House will
be looking into some studies he asked
them to do. He will circulate the E-
Mail.
j) The Commissioners Court will meet Friday,
November 9 at 11:00 a.m. to canvas votes.
At 9:56 a.m. the County Judge announced the meeting
closed to the public so that the Court could meet in Closed
Executive Session to discuss the settlement on a lawsuit,
Cause #52-816-272 as allowed under Section 551.071 of the
Texas Government Code.
At 10:06 a.m. the County Judge announced the meeting open
to the public. On motion by Commissioner Sims, seconded by
Commissioner Thornton, the Court voted unanimously to take no
action on the lawsuit, Cause #52-816-272.
There was no citizen input and/or concerns.
There being no further business to come before the Court,
the meeting was adjourned.

Hospital
Services Agreement
This agreement is made and entered into as of the 13t day of January, 2002 by
and between Brazos County (hereinafter Employer") and College Station
Hospital, LP d/b/a College Station Medical Center and Brazos Valley of Texas,
LP d/b/a The Surgical Center (hereinafter "HOSPITAL").
WITNESSETH
Whereas, Employer desires to arrange for the delivery of health care services to
individuals who are entitled to receive health benefits under Employers Health
Benefits Plan; and
Whereas, HOSPITAL is a health care facility that is duly licensed and authorized to
provide health care services in the state of its location; and
Whereas, HOSPITAL desires to be engaged by Employer to provide services and shall
furnish services in accordance with the terms of this Agreement; and
Whereas, Employer wishes to contract with HOSPITAL for the utilization of HOSPITAL's
services by Members of Employers Health Benefits Plan and HOSPITAL wishes to
contract with Employer to provide services to the Members of Employers Health Benefits
Plan; and
Now themforer in consideration of the premises and mutual agreements herein contained,
HOSPITAL and Employer agree as follows:
ARTICLE 1
DEFINITIONS
As used in this Agreement, the following definitions will apply:
1.1 Ancillary Provider means any provider of ancillary health services with which HOSPITAL
has directly or indirectly contracted or established arrangements to provide Covered
Services to Members.
1.2 Charges means, with respect to HOSPITAL, the usual and customary rate or price the
HOSPITAL Provider determines and charges for services.

1.3 Coordination of Benefits means a method of sequentially assigning responsibility for the
payment for heath care services rendered to a Member among two or more insurers (at
least one of whom is Employer).
1.4 Co-p yments means deductibles, co-insuranoe, co-payments, or other amounts for which
members are responsible for paying to HOSPITAL under the terms and conditions of
Employers Health Benefits Plan.
1.5 Covered Services means those medical and health care services and benefits which
Members are entitled to receive under Employers Health Benefits Plan.
1.6 Dependant means any member of a Subscribers family who meets all applicable eligibility
requirements of the Health Benefits Plan and who has been enrolled in accordance with
the requirements thereof.
• 1.7 Designated Representative means any person or organization appointed by Employer
pursuant to Section 2.4 of the Agreement to administer or perform certain managed care,
utilization management, claims processing or other programs or functions in connection
with Employers Health Benefits Plan.
1.8 Emergency means, as mutually decided by the HOSPITAL and Employer or its
Designated Representative, the sudden severe and unexpected onset of a condition or
changes in existing conditions requiring immediate medical or surgical diagnosis or care
to avoid possible permanent disability or death.
1.9 Health Benefits Plan means each health benefit plan Employer offers for Covered
Services for Members, and which describes the benefits, conditions, limitation, exclusions
and other obligations to which Members are subject thereunder, whether such plan is
offered on a group or individual basis, to Employers own employees and their
dependent.
1.10 Medica& Necessary or Medical Necessity means, as mutually decided by the HOSPITAL
and by Employer or its Designated Representative, those services as- mutually
• determined by Employers Health Benefits Plan to be (1) preventive, diagnostic and/o;
therapeutic in nature, (ii) specifically related to the conditions being treated/evaluated, (iii)
rendered in the least costly medically appropriate setting (e.g., inpatient, outpatient,
office) based on the severity of illness and intensity of service required and (iv) not
primarily for the Member's or his/her family's or physician's convenience.
1.11 Member means a Subscriber or a Dependent who is entitled to benefits under the terms
and conditions of a Health Benefits Plan.

1.12 Non-Covered Services means those medical and health care services, supplies, products
and accommodations provided to Members that are not designated as Covered Services
to Members under the terms of he applicable Health Benefits Plan.
1. 13 Participating Physician means any duly licensed physician with whom HOSPITAL has
directly contracted or established arrangements to provide Covered Services to Members.
1.14 Reimbcirsement Rates means the payment arrangements described in Attachment A as
mutually agreed upon between Employer and HOSPITAL.
1.15 Subscriber means a person who meets all applicable eligibility requirements of the
applicable Health Benefits Plan and who enrolls in accordance with the requirements
thereof.
ARTICLE II
DUTIES OF EMPLOYER
2.1 Scope of Agreement Employer hereby retains HOSPITAL to provide Covered
services to Members for each of the Health Benefits Plans now or hereafter offered or
serviced by Employer or its Designated Representative.
2.2 Description of Benefits. Employer shall provide HOSPITAL with a description of
the benefits design for each Health Benefits Plan that it offers or services.
2.3 Appointment of _Designated Representatives Employer hereby appoints the
following person(s) or organization(s) as its Designated Representative(s) to act as its
agent(s) in administering or performing the described programs of functions under this
Agreement:

2.4 Verification of Member Eligibility and Coverage. Employer agrees to provide a
process for HOSPITAL to use to verify Members eligibility and coverage.
2.5 Change in Circumstances Employer shall notify HOSPITAL promptly of any change
in Employers financial situation or of other developments that could materially effect
• Employers ability to perform its obligations under this Agreement.
ARTICLE III
DUTIES OF HOSPITAL
3.1 Agreements with HOSPITAL HOSPITAL shall provide Covered Services to Members in
accordance with and subject to the following terms and conditions:
a. Provision of Covered Services. HOSPITAL shall provide to Members those
Covered Services which HOSPITAL is qualified by law to provide and customarily
provides, subject to the limitations and availability of sdch HOSPITAL and their personnel
and equipment. HOSPITAL shall (1) provide Covered Services in the same manner and
in accordance with the same standards offered to all patients thereof and (ii) not
discriminate in the treatment of or the quality of the services delivered to Members on the
basis of race, creed, color, national origin, sex, age religion, sexual orientation, veteran
status, handicap, place of residence, health status, source of paymeflt, or credit history.
• HOSPITAL shall be obligated to observe, protect and promote the rights of Members as
patients.
b. Coverage Determinations. Except as otherwise provided in this Agreement, the
obligation of Employer to pay HOSPITAL pursuant to this Agreement may be
conditioned upon the determination that the person receiving services, supplies, products
or accommodations from the HOSPITAL is a Member and that such services, supplies,
products and accommodations are Covered Services. The Employer, its Designated
Representative, and the HOSPITAL shall jointly determine what is a Covered Service;

and the Employer and its Designated Representative shall determine who is a Member.
The foregoing determinations shall be subject to HOSPITAL's reliance on Member
representations and the verification process referred to in Section 2.5.
c. Medical Necessity. The obligations of Employer to pay HOSPITAL for the provision
of Covered Services to a Member may be conditioned upon a determination by Employer,
its Designated Representative, and the HOSPITAL that the provision of Covered Services
were Medically necessary, as determined by physician, whether such determination is
made before, on or after the provision of Covered Services to such Member. HOSPITAL
agrees that neither the Employer nor the Member shall be billed or ultimately held
responsible for payment for Covered Services deemed to be medically unnecessary by
Employers Designated Representative, unless the Member has received written notice
of such determination that Employer will not pay for such services and the Member
voluntarily agrees before the services are rendered, in writing, to receive and pay for such
services. HOSPITAL shall have the right to appeal Medical Necessity determinations
to an impartial, qualified physician appeals committee established jointly by Employer, its
Health Plan and the HOSPITAL as referenced in the preceding article 2.4. The
committee shall snake a good faith and final decision regarding any Medical Necessity
appeals. The decision of such committee shall be binding upon the HOSPITAL, the
Employer, its Health Plan and the Member.
d. Medical Records. HOSPITAL shall maintain standard medical reccrds relating to
Covered Services rendered to Members in accordance with accepted principles of
practice and in compliance with all applicable state and federal laws. HOSPITAL shall
maintain all information contained in the medical records of Members in confidence and
refrain from disclosing such information, except with the valid consent of the Member, or
pursuant to a valid order of a court of competent jurisdiction, or as otherwise permitted
by law or this Agreement.
e. Audits. HOSPITAL shall, upon reasonable request by the Employer or its
Designated Representative and subject to all applicable federal and state laws affecting
the release of the same, make available to Employer or its Designated Representative
for inspection and copying at all reasonable times any and all financial or medical records
reasonably pertaining to Covered Services rendered to Members, records relating to the
charges therefor, and records relating to payments received by the HOSPITAL from
Members. Such records shall be and remain the property of the HOSPITAL . The
Employer agrees to reimburse the HOSPITAL five (5) cents per page for costs related to
the copying and provision of the HOSPITAL's financial and medical records.
f. Qualifications of HOSPITAL HOSPITAL warrants that it is accredited by the Joint
Commission on Accreditation of Healthcare Organizations, is certified as a provider under
Title XVII (Medicare) and Title XIX (Medicaid) of the Social Security Act and is licensed,

to the extent required by law, to provide the Covered Services that it offers to Members.
g. Limited Recourse Against Members. HOSPITAL shall seek payments from the
Employer or its Designated Representative for Covered Services provided to Members,
and agree not to seek additional payment or compensation from Members or persons
acting on their behalf unless expressly required or permitted by Member, the Employers
Health Benefits Plan or this Agreement. As permitted under applicable law, HOSPITAL
may seek payment from the Member or persons acting on his or her behalf in the event
that the Employer defaults in payment of an undisputed claim for Covered Services.
h. Grievance Procedures. HOSPITAL shall cooperate with the HOSPITAL's programs
and procedures for the expeditious resolution of any Member grievances or complaints.
i. Noncompliance. HOSPITAL agrees that the failure by a HOSPITAL Provider to
comply with any of the requirements imposed on him/her/it pursuant to the foregoing
• sections may result in corrective action by HOSPITAL.
3.2 trisurance. HOSPITAL, at its sole cost and expense, shall provide and maintain such
commercially available policies of Directors and Officers; Errors and Omissions coverage
to insure HOSPITAL against claims for damages occasioned directly or indirectly in
connection with the performance by HOSPITAL of its obligations under this Agreement.
The amounts and extent of such insurance coverage or self-insurance programs shall
be at least one million dollars ($1,000,000) per incident and three million dollars
($3,000,000) umbrella over each. HOSPITAL shall, upon the request of the Employer
provide evidence of such insurance coverage of self-insurance programs meeting the
foregoing requirements and shall notify the Employer in writing at least thirty (30) days
in advance of any material adverse change to, or cancellation of, such coverage.
HOSPITAL's obligations under this Section shall survive the termination of this
Agreement,
ARTICLE IV
• CLAIMS' SUBMISSION AND PAYMENT
4.1 Claims Submission HOSPITAL shall use best efforts to submit claims for Covered
Services rendered to Members to Employers Health Benefits Plan or Designated
Representative within one hundred twenty (120) days from the date that such services
were provided. Claims must be submitted on accurately completed HCF-1500 or UB-92
claim forms. HOSPITAL Providers may submit interim bills in the event that any
Member's stay exceeds twenty (20) calendar days or in the event Member is receiving

serial outpatient care. All claims shall include the Members' Health Benefits Plan
identification number, and an itemized record of services and charges.
4.2 Compensation of HOSPITAL. The Employer shall pay HOSPITAL in accordance with the
Reimbursement Rates, reflected on applicable Attachments to this Agreement. The
Employer shall pay HOSPITAL the Reimbursement Rates, less the amount of any Co-
payments payable by the Member under the Employer's Health Benefits Plan. HOSPITAL
shall agree that payment in accordance with the Reimbursement Rates constitutes
payment in full for such Covered Services provided by HOSPITAL .
4.3 Payment. For undisputed clean claims as defined below, other than those requiring
coordination of benefits as noted in Section 4.4 below, Employer agrees to obligate its
third party administrator to reimburse HOSPITAL according to the negotiated fee
schedule within forty-five (45) calendar days of date of service . Failure to do so shall
waive Employers right to the negotiated discount and the claim will be paid at billed
charges. A clean claim is one that contains the following information: Providers name,
Providers identification number (business ID or social security number), plan name,
benefit program, Members group name, Members group' number, Members name,
Members insurance ID number or social security number, Member date of birth, patients
name and relationship to Member, patients date of birth, patients sex, ICD (Diagnosis
Code) and description, date of service, CPT Code and modifier, charges per procedure,
amounts paid by Member, and other insurance if applicable.
4.4 Coordination of Benefits. HOSPITAL shall agree to cooperate with Employer or its
Designated representative in implementing the provisions of the Health Benefits Plan
relating to coordination of benefits and other third party claims including Medicare.
4.5 Erroneous Payments Except as otherwise provided in this Agreement, in the event that
the Employeror its Designated Representative (i) pays HOSPITAL, for services, supplies,
products or accommodations that the Employer or its Designated Representative and the
HOSPITAL determine, in good faith, are not Covered Services, (ii) has made a payment
to HOSPITAL for the provision for the same Covered Services more than once, (iii)
Employer made an overpayment to HOSPITAL, or (iv) incurrectly made payments due
to coding or billing errors, the Employer or its Designated Representative may demand
the return of such payment or overpayment from HOSPITAL to the Employer but only if
such demand is made within six (6) months from the date that the erroneous payment
was made.
4.6 Medicare Beneficiaries HOSPITAL acknowledges that Employer may have Members for
whom Medicare is the primary carrier and Employer may provide Medicare supplement
insurance. HOSPITAL shall agree to submit claims for Covered Services rendered to
such Members to Medicare. Employer and its Health Plan shall pay HOSPITAL any other

amounts due for Covered Services in accordance with the terms of Employer's Health
Benefits Plan. HOSPITAL shall agree not seek payment for Medicare deductibles or
coinsurance from the Member, but to look solely to Employer and its Health Plan for
payment of Covered Services unless otherwise required by law.
ARTICLE V
CONFIDENTIALITY
5.1 Medical Records. Neither the Employer, its Designated Representatives nor HOSPITAL
shall disseminate information in a Member's medical records to any third party without the
consent of the Member in compliance with all applicable state and federal laws and
regulations and subject to legal process. HOSPITAL shall agree to attempt to obtain
from each Member receiving Covered Services therefrom a valid consent to the release
of his or her medical records to Employer and Is Designated Representative. The
Employer warrants that it has obtained all authorization and/or consents from the Member
or persons responsible for the Member that are legally required for HOSPITAL Providers
to release Member patient information to the Employer or its Designated Representative
as required by this Agreement. The Employer and its Designated Representative and
HOSPITAL shall follow appropriate procedures to ensure that Member confidentiality
rights are not abridged. The Employer and HOSPITAL's obligations under this Section
shall survive the termination of this Agreement.
ARTICLE VI
TERM AND TERMINATION
6.1 Term. The term of this agreement shall be for five (5) years commencing on the
date set forth above unless terminated earlier by either party by one-hundred
twenty (120) days written notice to the other party.
• 6.2 Termination for Cause. Either party shall have the right to terminate this Agreement
upon thirty (30) days' prior written notice to the other party if the party to whom such
notice is given is in breach of any material provision of this Agreement. Such notice
shall set forth the facts underlying the alleged breach. If such breach is cured within
such notice period, then this Agreement shall continue in effect for its remaining
term, subject to any other provision of this Agreement. Neither the waiver by either
of the parties hereto of a breach of or default under any of the provisions of this
Agreement nor the failure of either of the parties, on one or more occasions, to
enforce any of the provisions of this Agreement, or to exercise any right or privilege

hereunder, shall be construed as a waiver of any subsequent breach or default of
a similar nature, or as a waiver of such rights or privileges hereunder.
6.3 Insolvency. The Employer or HOSPITAL (as the case may be) may terminate this
Agreement immediately upon the giving of notice to the other party (i) in the event
of the filing or a petition for relief under federal bankruptcy law by or against the
other party; or (ii) in the event of any liquidation, rehabilitation, conservation, or
similar proceeding, or upon any other fiscal insolvency of the other party.
HOSPITAL may terminate its obligations arising as a result of this Agreement
immediately upon the giving of notice to the Employer (a) in the event of the filing
of a petition for relief under federal bankruptcy law by or against the Employer; or
(b) in the event of any liquidation, rehabilitation, conservation or similar proceeding,
or upon any other fiscal insolvency of Employer. Employer and HOSPITAL each
represents and warrants that it is currently not insolvent. Employer and HOSPITAL
each agree to give the other party notice in the event that it becomes insolvent. For
purposes hereof, "insolvent" shall mean that the party's liabilities exceed its assets
or it is unable to pay its obligations as they become due in the usual course of its
affairs.
6.4 Unforeseen Events. In the event that either party's ability to perform its obligations
under this Agreement is substantially interrupted by war, fire, insurrections, riots, the
elements, earthquakes, acts of God, or, without limiting the foregoing, any other
similar cause beyond the control of either party, the party shall be relieved of its
obligations only to affected portions of this Agreement for the duration of such
interruption. In the event that such interruption of performance by one party is likely
to continue for a substantial period of time, the other party shall have the right to
terminate this Agreement upon ten (10) days prior written notice.
6.5 Coverage for Members in. Course of Treatment. In the event that a Member is in
a course of treatment as of the date of any termination of this Agreement other than
a termination by HOSPITAL pursuant to Section 7.2 or 7.3. the. Employer shall
honor its obligations to pay or arrange for payment for Covered Services until such
course of treatment is completed, until the Employer makes reasonably and
medically appropriate provisions for the assumption of such treatment by another
participating provider, or for three additional months, whichever is shorter, and
HOSPITAL shall continue to honor the terms of this Agreement with -respect to
arranging, to provide,such Covered Services to such Members.
6.6 Member Notification.. Upon the termination of this Agreement, HOSPITAL shall
cooperate with Employer in regards to Member notification of such termination.
6.7 Effect of Termination. Termination shall have no effect upon the rights and

obligations of the parties arising out of any transaction occurring prior to the
effective date of such termination.
ARTICLE VII
MISCELLANEOUS PROVISIONS
7.0 Duty to Act Reasonably . With regard to any provision of this Agreement wherein
one party is given the discretion to make a determination or take an action (other
than the exercise of a right of termination), such party shall be bound to make such
determination or take such action acting reasonable and in good faith with respect
~ , to the other party.
• 7.1 Conflicting Agreements. To the extent that HOSPITAL .presently or in the future
has an agreement in effect with Employer, which conflicts with this Agreement with
respect to the relationship or obligations between HOSPITAL Provider and the
Employer, this Agreement shall govern.
7.2 Notices. Any notice required to be given pursuant to the terms and provisions of
this Agreement shall be in writing and shall be sent by certified or registered mail,
.return receipt requested, postage prepaid, or by personal hand delivery, at the
following addresses:

7.3 Independent Contractors. Wone of the provisions of this Agreement is intended
to create nor shall be deemed or construed to create any relationship between the
parties hereto other than that of independent entities contracting with each other
hereunder solely for the proposes of effecting the provisions of this Agreement.
Neither of the parties hereto, nor any of their respective offices, directors or
employees, shall be construed to be the agent, the employee, the representative
or the partner of, or a joint venture with, the other.
7.4 Assignment. HOSPITAL shall not assign, subcontract or transfer this Agreement

or any of its obligations or rights under this Agreement without the prior written
consent of the Employer. The Employer shall not assign, or transfer this Agreement
by operation of law, agreement or otherwise, or any of its obligations or rights under
this Agreement without the prior written consent of HOSPITAL.
7.5 Modifications. This Agreement may be amended or modified in a writing mutually
agreed upon by the parties. The parties agree that this Agreement shall be
subject to (1) amendments in any applicable federal, state or local laws and
regulations and (ii) new legislation or regulations. Any provision of law or
regulation that invalidates or otherwise is inconsistent with the terms of this
Agreement or that would cause one or both of the parties to be in violation of the
law, shall be deemed to have superseded the terms of this Agreement, provided
that the parties shall exercise their best efforts to accommodate the terms and
intent of this Agreement to the greatest extent possible consistent with the
requirements of such law or regulation.
7.03 lnvalidfir or UnenforceabilitX. The invalidity or unenforceability of any terms or
provisions of this Agreement shall in no way affect the validity or enforceability of
any other term or provision.
7.7 Applicable Law., This Agreement shall be governed by and construed in
accordance with the law of the State of Texas.
7.8 Entire Qreement. This Agreement and all attachments, schedules and exhibits
hereto shall constitute the entire agreement between the parties regarding the
subject matter hereto. Each party acknowledges that no representation,
inducement, promise, or agreement has been made, orally or otherwise, by the
other party or by anyone acting on behalf of the other party, unless such
representation, inducement, promise, or agreement is embodied in this
Agreement.
7.9 Third Party Beneficiaries. there are no third party beneficiaries of this Agreement.
7.10 Captions. The captions and headings contained in this Agreement are for /00ft-
reference purposes only and shall not affect in any way the meaning or
interpretation of this Agreement.
7.11 Comorate Authority. Each party warrants that the execution of this authorized and
that the representatives executing of each party are duly authorized to do so.
7.12 Arbitration. Should any dispute arise between the parties in connection with this
Agreement, and if such dispute cannot be resolved by discussion between the

Alliance Health Providers of the Brazos Valley, Inc. appreciates the interest and the
confidence that the County has exhibited to our organization for the past several years.
Attached to this letter, is a newly executed participating payor agreement between
Alliance and the Brazos County Group Health Insurance Program.
Included in this agreement is the option the commissioners have chosen from
my prior communication dated October 29, 2001.
Please feel free to contact me about any of the contents of this particular agreement
I would also like the county to consider adding a secondary wrap around network
to the Alliance network. For services that cannot provided by the Alliance network,
the county employees would be able to access the secondary network. This would be
beneficial in those instances where employees need to seek particular specialty care
outside our service area or while traveling. I would encourage you to speak with
Mr. Mark Grierson in more detail about this particular option.
Additionally, St. Joseph Health System had entered into a special program with
MD Anderson Cancer Center in Houston, Texas. The program name is MD
Anderson/St. Joseph Cancer Center Manager. This program would be very
beneficial to the county in managing oncology care for its covered employees and
dependents under its group health insurance program. It is a systematic approach
to rendering care to the patient that is appropriate in giving them the access and care
they would need with the renown MD Anderson Cancer Center as a partner in that
episode of care. I would be more than happy to discuss that in more detail at your
convenience.

PARTICIPATING PAYOR AGREEMENT
This Participating Pavoes Agreement is by and between Alliance Health Providers of
Brazos Valley. Inc. (hereinafter "Alliance"), a Texas corporation, and Brazos County
Group Health Insurance Program as "Payor").
1.
GENERAL
1.1 Payor and Alliance agree that patients and Preferred Providers shall not be third
party beneficiaries of the rights and obligations assumed by either party hereto.
1.2 Nothing in this Agreement is intended to create (nor shall it be construed to create)
any right in Alliance or Payor to intervene in any manner with the method by which
Preferred Providers render health care services to a patient
1.3 Neither party shall disclose the terms of this Agreement to a third party without the
prior consent of the other.
II.
ALLIANCE PERFORMANCE PROVISIONS
2.1 Alliance shall cause Preferred Providers to accept the lesser of billed charges or the
amounts specified in Exhibit "A" as full payment for all health care services provided
to a patient in accordance with an applicable benefit agreement, except where
Preferred Providers are permitted by the applicable benefit agreement to bill and
collect deductible and coinsurance amounts, usual charges for the provision of non-
covered and not medically necessary services, and coordination of benefit
payments. Alliance may, from time to time, change Exhibit "A" as Alliance
renegotiates fees with Preferred Providers. Alliance may also add or omit provider
from its Preferred Provider network from time to time. Alliance shall periodically
provide Payor with changes to Exhibit "A" and provider lists before the effective date
of the changes.
2.2 Coinsurance and deductible amounts will be based on the lesser of billed charges or
the negotiated rates of Exhibit "A".

2.3 If beneficiaries request or receive services from Preferred Providers that are not
covered or not medically necessary under benefit agreements, they shall be entitled
to enter into agreements with Preferred Providers to provide such services at the
Preferred Provider's then usual charges so long as such agreements are entered
into prior to the rendition of the service.
2.4 All Preferred Providers that are facilities must obtain a valid assignment of benefits
as a condition precedent to Payor's payment. If a beneficiary refuses to assign a
benefit claim upon the facility's request and facility has reason to believe the bene-
ficiary will not honor the facility s bill, the facility may collect the amounts otherwise
due from Payor from the beneficiary at the time of service.
Preferred Providers that are not facilities may accept or refuse assignment on a
claim-by-claim basis. Irrespective of whether assignment is accepted or refused, all
Preferred Providers may collect at the time of service the applicable coinsurance
and deductible amounts and amounts for the provision of non-covered and not
medically necessary services.
2.5 Alliance does not guarantee and in no manner assumes any direct or indirect
liability for Payor's or a patient's failure to pay Preferred Providers.

PAYOR PERFORMANCE PROVISIONS
3.1 In consideration for Alliance's execution of this Agreement, Payor agrees to create
the following incentives for patients to utilize Preferred Providers contracting with
Alliance:
a. Reduction or elimination of individual deductibles providing at least ( N/A) per
year incentive.
b. Reduction or elimination of family deductibles providing at least ( N/A) per year
incentive.
• c. Reduction or elimination of coinsurance payments to provide at least a 20%
difference in patients coinsurance responsibility.
d. Promotional Activities to encourage covered employees and dependents to use
the network providers.

3.2 Payor shall provide Alliance with a copy of all applicable benefit agreements and a
summary statement for each benefit agreement. A summary statement shall list and
identify those services covered by benefit agreements, all coinsurance, deductibles,
or other charges or payments to be collected from patients in connection with the
rendition of health care services, the party that is entitled or expected to collect such
charges or payments, and any and all exclusions, limitations or conditions applicable
to the listed services.
Summary statements and benefit agreements shall be provided to Alliance and shall
be promptly replaced or updated with any and all amendments, modifications, and
revisions made thereto that materially affect this Agreement prior to the date such
amendment, modifications, and revisions become effective. In the event of a
contradiction between a benefit agreement and a summary statement provided by
the Payor and applicable thereto, the latter shall be controlling with respect to the
rights and duties of the parties thereunder.
3.3 In the event utilization management services are to be provided by Alliance, Payor
shall provide periodically updated lists of beneficiaries. In the event Payor uses its
own utilization management services, Payor shall notify Alliance and Preferred
Provider of the features of that program and shall notify Alliance and Providers in
advance of any modifications to that program.
3.4 If Payor is a secondary payor under the benefit agreement, then Payor's liability
established by the rates of this Agreement will be reduced in accordance with the
benefit agreement. It shall be the responsibility of the Preferred Provider to attempt
to collect payment from the primary payor, following the Preferred Provider's
customary collection procedures with respect thereto and being free to bill the
Preferred Provider's usual charges to the primary payor without being limited in such
collection by the rates agreed to under this Agreement.
On the other hand, if Payor is the primary payor and there is a secondary payor,
the Preferred Provider may collect its usual charges from the secondary payor
without being limited in such collection by the rates agreed to under this Agree-
ment.
3.5 Payor shall require Payor's claims administrator to forward to Alliance mutually
acceptable reports that will reflect at a minimum total claims paid to preferred
providers, total claims paid to all providers, and reports or information that can
provide PPO savings. These reports will be generated on a minimum of a quarterly
(three months) basis.
3.6 Within fifteen 4&days of Payor's receipt of a Preferred Provider's completed bill
and evidence of assignment, Payor or Payor's claims administrator shall pay the
Preferred Provider.

3.7 Payor shall supply beneficiaries with an identification card or other means of
indicating coverage under their particular benefit agreement. Payor shall also
supply with the card or other method a phone number where eligibility and coverage
questions will be answered. Payor shall conduct educational programs with
beneficiaries to inform them about the Alliance Preferred Provider System. Alliance
staff shall be available to assist in these programs.
3.8 Payor will indemnify, defend and hold harmless Alliance from any claims, losses,
damages, liabilities, costs, expenses, or obligations, including but not limited to
attorney's fees, court costs and punitive damages, arising out of or resulting
from any actions, omissions or activities of Payor under this Agreement, or arising
from negligent, fraudulent or dishonest acts of Payor.
3.9 Payor will in good faith promote the terms of this contract while in effect. Waiving of
deductibles or coinsurance by other providers other than Alliance will not be allowed
during the tens of this agreement. Participation by payor in another PPO
arrangement that conflicts with the Alliance network unless approved by the Alliance
Executive Director will not be allowed.
N.
INDEPENDENT RELATIONSHIP
4.1 No provision of this Agreement is intended to create nor shall be deemed or
construed to create any relationship between Alliance and Payor other than that of
independent entities contracting with each other thereunder solely for the purpose
of effecting the provisions of this Agreement. Neither of the parties hereto, nor
any other of their respective participants, shall be construed to be the joint venture,
partner, agent, employee, or representative of the other.
V.
TERM OF AGREEMENT
• 5.1 This Agreement shall be in full force and effect for a period of one year commencing
on the effective date stated below. Alliance will give payor written notice of the
terms of its intent to renew no later than 60 days prior to the end of term of this
agreement
5.2 Either party shall have the option of terminating this Agreement, effective on the
anniversary, referenced in Section 5.1. without cause, upon providing at least
ninety (90) days prior written notice to the other party.

5.3 Except as provided otherwise in this Agreement, either party shall have the right to
terminate this Agreement upon providing thirty (30) days prior written notice if the
party to whom such notice is given materially breaches any provision of this
Agreement. The party claiming the right to terminate thereunder shall set forth in
the notice of intended termination required hereby the facts underlying its claim
that the other party is in breach of this Agreement. Remedy of such breach within
twenty (20) days of the receipt of such notice shall revive the Agreement in effect for
the remaining term, subject to any other rights of termination contained in
this paragraph or in any other provision of this Agreement.
5.4 As of the date of termination of this Agreement, this Agreement shall be considered
of no further force or effect whatsoever and each of the parties shall be relieved and
discharged here from, except that:
a. Termination shall have no effect upon the rights and obligations of the parties
arising out of any transactions occurring prior to the effective date of such
termination.
b. Payor and Alliance shall remain liable for any obligations or liabilities arising from
activities carried on by such party or its agents, servants, or employees during the
period this Agreement shall have been in effect.
c. In the event a patient is admitted inpatient of a Preferred Provider as of the date
of termination of this Agreement, reimbursement for services rendered during the
period the patient remains as an admitted inpatient will continue to be governed by
the applicable terms of this Agreement. Payor shall compensate Preferred
Providers in accordance with this Agreement for all health care services
rendered to such an inpatient on the date of termination of this Agreement and until
such time as appropriate transfer or discharge (or other medical acceptable
disposition) of such patient receiving inpatient services on the date of termination is
completed.
VI.
OPTIONAL PROVISIONS
6.1 Payor shall pay Alliance a fee for Alliance's services, if applicable. If Alliance is
to be paid a fee, the amount and schedule of payment shall be as set forth in Exhibit
B attached hereto and incorporated herein.
6.2 Payor's claim administrator is not signing this Agreement as Payor's agent and
attomey-in fad.

THIS AGREEMENT is effective for health care services rendered on or after January 1,
2002.

WHEREAS, the Commissioners Court of Brazos County is charged by Section 42.001
of the Texas Election Code to divide the County into convenient election precincts; and
WHEREAS, it is necessary to change boundaries of county election precincts in Brazos
County to conform with new county commissioner precincts; and
WHEREAS, the Commissioners Court of Brazos County, through a public meeting and
Commissioners Court meetings, has received and considered testimony in evidence regarding the
need for the alteration of certain commissioner precincts and the resulting change in election
precincts;
THEREFORE, BE IT ORDERED by the Commissioners Court of Brazos County that
Brazos County, Texas shall be divided into county election precincts in accordance with Exhibit
"A" to this Order, which is a map and census block description of the boundaries of each and
every county election precinct in Brazos County, Texas, and which is incorporated into and is

INTERI.OCAL AGREEMENT
FOR PARTICIPATION IN THE
GRIMES COUNTY REGIONAL CRIME LAB
WHEREAS, the Grimes County Sheriff s Department has established the Grimes County
Regional Crime Lab, hereinafter referred to as "The Lab", a forensic crime lab and mobile crime
scene unit to assist law enforcement in the investigation of crime in the region, and;
• WHEREAS, the Grimes County Sheriffs Department has funded the lab through either
county funds, grants, or donations and;
WHEREAS, the Grimes County Sheriff s Department has offered to assist agencies outside
of the jurisdiction of the Grimes County Sheriff s Department in the forensic investigation of
criminal cases, and;
WHEREAS, Brazos County Sheriff s Department has been invited to utilize the services of
the lab, and;
WHEREAS, Brazos County Sheriff's Department currently is utilizing the services of the
Texas Department of Public Safety and other agencies, and;
WHEREAS, the Texas Department of Public Safety and other agencies currently utilized by
Brazos County Sheriff s Department have significant delays in processing crime scene evidence or
responding to crime scenes for assistance, and;
WHEREAS, these delays significantly effect the efficient administration of justice, the
• ability of law enforcement to protect the citizenry and to solve crime,
WHEREAS, The joining of resources on a regional level to expedite the investigation of
crime in the Brazos Valley will significantly aid in the fair and swift administration of justice and
prosecution of crime
BE IT THEREFORE RESOLVED, that the Commissioner's Court of Brazos County and Brazos
County Sheriff s Department do hereby enter into the following agreement for participation in and
the use of the Grimes County Regional Crime Lab:

SERVICES
1. The Grimes County Regional Crime Lab through the Grimes County Sheriff's Department agrees
to provide available forensic services to Brazos County Sheriff's Department including, but not
limited to, mobile crimes scene services, fingerprint comparison, tool mark comparison, firearms
examination, forensic photography and qualified personnel to provide these services as well as other
services that may be developed.
2. The lab will provide available forensic services to Brazos County Sheriff's Department on an as
needed basis including the personal services of any Lab employee required
ADMIlVISTRATION
3. The Grimes County Sheriff s Department will maintain the cost of operation of the lab and
personnel.
4. The Grimes County Sheriff will administer the operation of the lab in accordance with all State
and Federal laws and Constitutions and in accordance with proper administrative procedure for such
a lab.
5. All funds received by the Grimes County Sheriff's Department pursuant to this agreement shall be
deposited in an account within the treasury of Grimes County. The account shall be administered by
the Sheriff of Grimes County for the use of the lab. All monies may be used for equipment,
supplies, payment of contract personnel salary, training and services. Any money may be used for
the payment or supplementation of the salaries of full time lab personnel only with the approval ofa
majority of the agencies to this agreement.
6. Ownership of all equipment, hardware or supplies shall at all times remain in the Grimes County
Sheriffs Department.
TERM OF THE AGREEMENT
7. The term of this agreement is to commence upon the execution of the agreement by all parties
concerned and to end one year from execution. This agreement shall automatically renew annually
unless one of the parties to this agreement give written notice of their intent to terminate the
agreement.
CONSIDERATION '
8. Brazos County Sheriff Department agrees to make an annual payment of Two Thousand Five
Hundred and No/100 Dollars ($2,500.00) in consideration of the above mentioned services.
AMENDMENTS
9. This agreement may be amended in writing by the mutual agreement of the parties hereto in
writing to be attached to and incorporated into this agreement.

10. In the case that any provision of this agreement is found to be invalid, illegal or unenforceable in
any respect, such invalidity, illegality or unenforceability shall not affect any other provision herein
and this agreement shall be construed as if such invalid illegal or unenforceable provision had never
been contained herein.
11. This agreement shall supercede any other agreements, oral or written, between the parties hereto
with respect to the subject matter contained herein, and no other agreement, statement, promise or
writing relating to the subject matter of this agreement which is not contained herein shall be valid
or binding.

In conjunction with the contract which the Commissioners Court of BRAZOS COUNTY, TEXAS
has entered into with VERTEX CORPORATION to assist withobtaining maximum compensation
with regards to the federal alien inmate assistance program, the Court is now aware that the program
requires that all reporting to the federal government and all funding from the federal government will
take place via electronic media. The Court is now aware that such filing and receipt will require the
electronic signature of the "CEO" (Chief Elected Officer) for the County. The CEO for the County
is recognized by the Criminal Justice Department to be Alvin W. Jones, County Judge.
WHEREAS, the Commissioners Court, recognizing the need for the County to have the
flexibility to communicate electronically with the Federal Department of the Criminal Justice, does
hereby authorize the County Judge to do so through the use of providing electronic signatures for
the Alien Assistance Program; and
WHEREAS, the Commissioners Court does further acknowledge that timely filing of
information with the Federal Department of the Criminal Justice will require the CEO to delegate
responsibility for the use of the application of the accepted electronic signature;
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS, the Commissioners
Court does hereby grant the County Judge the ability to delegate such authority to the Brazos County
Auditor provided that, subsequent to such use of the electronic signature of the County Judge, the
County Auditor's Office will submit to the County Judge for review and examination a recap
summarizing the purpose of the information transmitted and the funding anticipated.

right of way of Wheelock Hall Road. Site is located in Precinct 2.

REQUIREMENTS:
1) No work will be permitted between front slope and/or back slope.
2) All installation(s) shall be constructed in designated utility easements, if applicable. If no utility
easement exists, the installation(s) shall be 1) within 3-5 of and parallel to the right-of-way line
and/or 2) in the case of a road bore, perpendicular to the right-of-way line.
3) If clearing of brush, trees and other obstruction is necessary, it shall be the Applicant's
responsibility to do so and to remove all cleaned brush, trees etc. from county right-of-way.
4) Ditch line shall be compacted to 90% standard density ASTM-Test Method No. D-698; test shall
be conducted by an independent geotechnical testing firm; copies of all test results shall be
furnished to the office of the Brazos County Engineer.
5) Construction shall be in strict conformance to the latest Texas Manual of Uniform Traffic Control
Devices for Streets and Highways, published by the Texas Department of Transportation, and all
other State and Federal laws governing utility construction.

Line Installation
October 15, 2001
Formal notice is hereby given that VERIZON COMMUNICATIONS will
construct a communication line within the right-of-way of a County Road in
Brazos County, Texas as follows:
Beginning at Bee Creek on Wheelock Hall Road, buried cable will
be placed northeast for 20' from an existing Verizon pole over to
the subdivision easement. At a point 1294' further northwest of
Wheelock Hall Road, a bore will be made across Wheelock Hall
Road.
The location and description of this line and associated appurtenances is
more fully shown by two (2) copies of drawings attached to this notice. The line
will be constructed and maintained on the County Road right-of-way in
accordance with governing laws.
Notwithstanding any other provision contained herein, it is expressly
understood that the tender of this notice by the Verizon Southwest Incorporated
does not constitute a waiver, surrender, abandonment or impairment of any
property rights, franchise, easement, license, authority, permission, privilege or
right now granted by law or may be granted in the future and any provision or
provisions so construed shall be null and void.
Construction of this line will begin on or after October, 2001.

ITEM: Request from Wickson Creek Special Utility District to construct 0.4 mile of
water line installation in the right of way of Dilly Shaw Tap Road. Site is located in
Precinct 2.
SOURCE OF FUNDS: NIA
PRESENTATION:
A) No work will be permitted between front slope and/or back slope.
B) All installations shall be constructed in designated utility easements, if applicable. If no utility
easement exists, the installation(s) shall be 1) within 3-5' of and parallel to the right-of-way line
and/or 2) in the case of a road bore, perpendicular to the right-of-way line.
C) If clearing of brush, trees and other obstruction is necessary, it shall be the Applicant's
responsibility to do so and to remove all cleared brush, trees etc. from county right-0f--way.
D) Ditch line shall be compacted to 90% standard density ASTM-Test Method No. D-698; test
shall be conducted by an independent geotechnical testing firm; copies of all test results shall be
furnished to the office of the Brazos County Engineer.
E) Construction shall be in strict conformance to the latest Texas Manual of Uniform Traffic
Control Devices for Streets and Highways, published bythe Texas Department of Transportation,
and all other State and Federal laws governing utility construction.

I understand and agree that:
1. The County Engineer must by notified 72 hours prior to the beginning of
construction in order that he or his designated Inspector may inspect the
actual Insulation.
2. That all damage to the roadways and rights-of-way will be repaired to
their original condition to the satisfaction of the County Engineer.
3. That Brazos County reserves the right to require Applicant to relocate or
lower any such line at no cost to Brazos County, should same become
necessary due to widening or lowering, or other alteration of the
roadway or right-of-way.
4. That Brazos County will in no way be responsible for any damage which
might occur to any eAsting utility lines in the right-of-way.
5. That the line will be constructed and maintained on the County right-of-way in
accordance with the Utility Accommodation Policy which was adopted by the
Texas Department of Transportation on May 29, 1989.
6. That the line or lines will be constructed no less than twenty-four inches (2#
lower than the lowest part of the drainage or bar ditch and the drainage is to
be considered at least two feet (2) below the center of the roadway.

7. That all sites will be barricaded during the construction period.
