V~ r~~ COMMISSIONERS' COURT REGULAR MEETING SEPTEMBER 18, 2001 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Commissioners' Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Tuesday, September 18, 2001, with the following members of the Court present: Alvin W. Jones, County Judge, Presiding; Tony Jones, Commissioner of Precinct 1; Wm.S. Thornton, Commissioner of Precinct 2; Randy Sims, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. Commissioner Cauley gave the invocation and led the pledge of allegiance. There was no citizen input/and or concerns. The first matter before the Court was the approval of a requisition from Capital Expenditures for a Digital Document Recorder for the Purchasing Department and Risk Management. Commissioner Cauley voiced concern over the ability to integrate into the global system and asked the Auditor when the deadline for was purchasing the item. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to approve the requisition subject to approval by the Information Technology Department. The Court next considered Budget Amendment #00/01-44.1 through 44.9, which would transfer funds to Jail Administration and Court Support Costs from Road & Bridge Contingency, transfer funds to Commissioners Court from Contingency and reallocate funds for the District Attorney, Tax Assessor/Collector, 361'` District Court, 272d District Court, Risk Management, District Attorney and Purchasing. On motion by Commissioner Cauley, seconded by Commissioner Jones, Vol a S Page gID • Commissioners' Court meeting September 18, 2001 2 the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the changes as submitted. The Court next considered the following Claims as • submitted by the County Treasurer for payment: 20022804 through 20023091 On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to approve the Claims as submitted. The next matter for consideration was the Fixed Asset Policy for FY 2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to adopt the Fixed Asset Policy as submitted. A copy is attached. The Court next considered the Budget Adjustment and Amendment Policy and Procedures for FY 2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to adopt the Budget Adjustment and Amendment Policy and Procedures for FY 2002 as submitted. A copy is • attached. The Court proceeded to consider the Personnel Merit Pay Policy for FY 2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to adopt the Personnel Policy for Merit Pay increases for FY 2002 as submitted. A copy is attached. The Court next considered the appointment of committee members to the Brazos County Steering Committee for Justice Systems. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to appoint the following people to the steering committee with the Vol 0,5- Page a • Commissioners' Court meeting September 18, 2001 3 condition that the chairman be selected from this group: 1. Voter Registrar's Office, Kristy Roe The next matter before the Court was approval of a Contractual Agreement between Brazos County and Brazos Beautiful, Inc. Brazos Beautiful is an educational volunteer organization dedicated to improving waste handling practices and improving litter control in Brazos County. The County will fund Brazos Beautiful $15,000 annually. The term of the contract will be fiscal year 2001-2002. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to enter into contractual agreement with the Brazos Beautiful, Inc. A copy of the contractual agreement is attached. The next matter before the Court was approval of a Contractual Agreement between Brazos County and the Brazos County Soil and Water Conservation District #450. The District will provide soil and water conservation services to the residents of Brazos County and to the County proper such as erosion control, water management and rural development. The cost to Brazos County will be $5,500.00 annually. The term of the contract will be fiscal year 2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to enter into contractual agreement with the Brazos County Soil and Water Conservation District #450. A copy of the contractual agreement is attached hereto. The next matter before the Court was approval of a Contractual Agreement between Brazos County and the Arts Council of Brazos Valley. The Arts Council will provide Vol 97 Page a l a- Commissioners' Court meeting September 18, 2001 4 assistance to local arts organizations through funding and support for programs involving substance abuse prevention and education for Brazos County children through arts programs. The cost to Brazos County will be $18,500.00 annually. The term of the contract will be fiscal year 2001-2002. On motion by Commissioner Thornton, seconded by Commissioner Cauley, the Court voted unanimously to enter into contractual agreement with the Arts Council of Brazos Valley. A copy of the contractual agreement is attached hereto. • The next matter before the Court was approval of a Contractual Agreement between Brazos County and the Brazos Maternal & Child Health Clinic, Inc. The Clinic will provide pre-natal care to indigent females and children of Brazos County. The cost to Brazos County will be $70,000.00 annually. The term of the contract will be fiscal year 2001- 2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to enter into contractual agreement with the Brazos Maternal & Child Health Clinic, Inc. A copy of the contractual agreement is attached hereto. The next matter before the Court was approval of a Contractual Agreement between Brazos County and the Family • Practice Residency of the Brazos Valley. The Residency program will provide medical care to poor and indigent individuals and families of Brazos County. The cost to Brazos County will be $75,000.00 annually. The term of the contract will be fiscal year 2001-2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to enter into contractual agreement with the Family Practice Residency of the Brazos Valley. A copy of the contractual agreement is attached hereto. • Vol a Page a► Commissioners' Court meeting September 18, 2001 5 The next matter before the Court was approval of a Contractual Agreement between Brazos County and the Retired & Senior Volunteer Program (RSVP). RSVP will provide volunteer services to the residents of Brazos County. The cost to Brazos County will be $2,500.00 annually. The term of the contract will be fiscal year 2001-2001. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to enter into contractual agreement with the Retired & Senior Volunteer Program (RSVP). A copy of the contractual agreement is attached hereto. The next matter for the Court's consideration was an Interlocal Agreement and Contract for the provision of on-site sewage disposal system inspection and licensing services for the City of Kurten, Texas. This is authorized by the Interlocal Cooperation Act, V.T.C.A. Government Code Chapter 791.011 On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to enter into an Interlocal Agreement with the City of Kurten for on-site sewage disposal system inspection and licensing services. A copy of the Agreement is attached. The next matter for consideration was the cancellation of the October 16, 2001 Commissioners Court meeting. The members of the Court will be in Waco to attend a conference during that week. On motion by the County Judge, seconded by Commissioner Sims, the Court voted unanimously to cancel the October 16, 2001 Commissioners Court meeting. The Court next considered a request from Constable Precinct 2, James Marrow, to appoint R. Frank Huet, Shawn Christopher Darling and D. Elliott O'Bryan as unpaid Reserve Deputy Constables. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to approve the request from Constable Marrow to appoint the Vol aS Page a14 • Commissioners' Court meeting September 18, 2001 6 previously named individuals as unpaid Reserve Deputy Constables. This is subject to appointments being within the allotted number of deputies. The Court next considered the request from Verizon to relocate the existing buried cable from the old right-of-way of Rabbit Lane to the new right-of-way beginning approximately 1600 feet north of its intersection with Woodville Road and extending for a distance of 670 feet. The site is located in Precinct 2. The County Engineer stated that all appeared to • be in order and recommended approval. On motion by Commissioner Thornton, seconded by Commissioner Jones, the Court voted unanimously to approve the request from Verizon and authorized the installation. A copy of the request is attached hereto. The Court next considered acceptance of Barrow Court in Big Cedar Estates Subdivision in Precinct 3 for Brazos County maintenance. Commissioner Sims moved to approve. Commissioner Cauley seconded the motion. Commissioners Thornton, Sims, CaUley and the County Judge voted "Aye". Commissioner Jones abstained. The motion carried. The next matter to be considered was the reclassification of two positions in the Department of Information Technology. • Commissioner Cauley moved to approve the reclassification of Ernie Laney and Patricia Tijerina from Interim Director and Assistant Director to Director and Assistant Director. Commissioner Jones seconded the motion. Commissioner Thornton voted "Aye". Commissioners Sims, Jones and the County Judge voted "No". Commissioner Cauley abstained. The motion failed. Commissioner Cauley indicated that a letter to be written to The Software Group was necessary so that they would know that the Interim Director has the authority to make decisions. Vol 'PS- Page q):5 0 Commissioners' Court meeting September 18, 2001 7 The Court next considered a request by the Tax Assessor/Collector to expend $1,500 from the County Records Preservation Fund for the destruction of old records. There are 108 boxes of motor vehicle records and 10 boxes of voter registration records that have exceeded the retention period. On motion by Commissioner Thornton, seconded by Commissioner Jones, the Court voted unanimously to approve the expenditure of $1,500 from the County Records Preservation Fund for the destruction of old records. The Court continued with consideration of a requisition from the 361" District Court's minor equipment fund for a paper shredder. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve payment of the requisition in the amount of $450.00. The Court proceeded to consider a request by the Department of Information Technology for professional services to be provided by Multi Information Systems, Inc. for entity relationship and data dictionary documentation on the OASys JP System. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the use of professional services provided by Multi Information Systems, Inc. The cost to the county will be $12,687.50. The next matter for consideration by the Court was a written request submitted by the Interim Director of the Information Technology Department seeking approval for out of state travel for Linda Fulton, Anna Sifuentez and Tony Kutiper. They will be traveling to Nashville, Tennessee to attend a Zortec Developer's conference October 1" through the 4tn, 2001. On motion by Commission Cauley, seconded by Commissioner Sims, the Court voted unanimously to grant the request from the Interim Director and approved payment of out of state travel expense for Linda Fulton, Anna Sifuentez and Tony Kutiper. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the requisition in the amount of $758.90. • The next matter for consideration was approval for the Purchasing Agent to advertise for the following bids: a. Bid No. 2002-015, Rebid of Asphalt, Oil & Emulsion b. Bid No. 2002-016, Transportation of Deceased to Medical Examiner Commissioner Sims asked about rebidding Bid No. 2002-015. The Purchasing Agent state that it was due to an error in the department. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to authorize the Purchasing Agent to advertise for the previously noted bids. The Court next considered a request for approval to renew Bid #2001-012 with Texcon for the Rental of Equipment with Operator. The contract period would run from November 15, 2001 until November 15, 2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to renew the bid with Texcon. • The Court next considered authorizing the Auditor's office to process recurring payment requests for the following: a) Mike Hensarling for property rental for office of Justice of the Peace, Precinct 2 and Constable Precinct 2. $460 per month and $140 per month. b) KBTX-TV for space on tower, for $500.00 per month. c) Brazos County Emergency (9-1-1) for emergency dispatching services $20,606.26 per month. d) Indigent Juvenile Operating Account for representation of indigent juveniles $10,000 per month. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to authorize the Auditor's office to process all the previously noted recurring payments with the exception of item "f". The County Judge announced that he waived the requirement to have his signature on requisitions that have previously been exempted from competitive bids for electric power, natural gas, water or other utility services from the following vendors: a. Brushy Water Supply b. Bryan Utilities C. College Station Utilities d. Fairview/Smetana WSC e. Verizon Southwest f. Lufkin Communications Corp. (formerly TCA Communications g. Lone Star Gas Company h. Wellborn Water Supply i. United Telephone j. Wickson Creek Special Utility District on motion by Commissioner Sims, seconded by Commissioner Jones, the Court voted unanimously to approve the waiver. The Court next considered vendor exemptions for the Budget Year ending September 30, 2002. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the attached list of vendor exemptions. The Court next considered approval of the minutes of the Commissioners' Court meetings held in June and July, 2001 on Vol a 5' Page -119 • Commissioners' Court meeting September 18, 2001 10 the following dates: June 5, 12, 19, 26, July 3, 17 and 24; Workshops held on June 12, 19 at 10:30 a.m. and 2:00 p.m. and a Public Hearing on June 19. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the minutes as submitted. The County Judge thanked everyone for attending the memorial event held last Friday. There was no announcement of interest items nor possible future agenda topics. • There was no citizen input and/or concerns. At 9:36 a.m. the County Judge announced the meeting closed to the public so that the Court could meet in Closed Executive Session to discuss the acquisition of real property for the Exposition Center as allowed under Section 551.072 of the Texas Government Code. At 9:50 a.m. the County Judge announced the meeting open to the public and that no action would be taken. It is therefore the County's responsibility to insure that the property is maintained in a usable condition, safeguarded and assigned to users to be held accountable. This comprehensive fixed asset control policy shall include, but shall not be limited to the following: • Establish responsibility and accountability for the property, plant and equipment owned by Brazos County; • Establish capitalization thresholds for property, plant and equipment; • Establish policy for reporting junked, stolen or missing property; • Establish policy for receiving donated property; and, • Establish policy for transfer of assets within County departments; All property, plant and equipment owned by the County will only be used for County business. -1 \ Elected officials, department heads and employees are responsible for ensuring accountability, maintenance and proper use of County property. For the purposes of this policy, assets (both fixed and accountable) will be defined as follows- 1. Real Estate (land, buildings, and building improvements); 2. Tangible personal property (equipment, tools, machinery, vehicles, furniture, computers, etc); 3. Computer software (externally purchased and internally developed); 4. Infrastructure (roads, bridges, right-of-way, dams, etc.). GENERAL POLICY All property, plant and equipment purchased by the County will be recorded at original cost. All assets received by the County through donation and/or escheat will be recorded at estimated fair market value at the time of donation or when escheat occurs. Any property obtained by the County through eminent domain procedures will be valued at the appraised fair market value at the time title passes to the County. All property, plant and equipment which can be identified as being County assets, and for which historical original cost can not be obtained, will be valued at estimated original cost. The importance of developing and maintaining a complete and accurate accounting for property, plant and equipment cannot be over emphasized. Adequate accounting procedures and records for property, plant and equipment are essential for the protective custody of County property. The Commissioner's Court is responsible for insuring that once property, plant and equipment are acquired, that the asset is properly accounted for until disposed. The County Auditor for Brazos County is responsible for ensuring that a fully integrated fund accounting system is maintained within the existing financial software to insure the proper accountability, capitalization and recording of the Page 1 of 5 o °Z'r • property, plant and equipment as defined within this policy. It is the responsibility of the County Auditor's office to reconcile the County's General Ledger with the detailed Property, Plant and Equipment Ledger. All acquisitions, disposals and transfers will be properly accounted for, and a report made to the Commissioners' Court within ninety days after the end of the County's fiscal year. All overhead allocations (indirect costs) as required by this policy are the responsibility of the department to develop. The department will be required to obtain support from the County Auditor's office to ensure that integrity and accuracy is well documented during the development stage. An integral part of the fixed asset policy regarding accountability requires that all departments communicate with the County Auditor with regards to any changes that affect property, plant, and equipment within the department. All elected officials and/or department heads shall follow the procedures established by the County Auditor. CAPITALIZATION POLICY All property, plant and equipment purchased by the County with an original cost or estimated fair value of less than or equal to $5,000 will be accounted for as a minor purchase (operating expense) and recorded on the property, plant and equipment ledger without any value assigned to the asset. • All property, plant and equipment purchased by the County with an original cost of more than $5,000 will be accounted for as a fixed asset with the original cost and/or estimated cost recorded in the property, plant and equipment ledger, using generally accepted accounting procedures. Land and right-of-way purchased by the County shall be recorded at full cost regardless of the amount of cash actually paid. Right-of-way shall be valued at the full price the County actually pays for title; to include cash, land improvements paid for by the County on behalf of the land owner, legal fees, and an overhead allocation. Software purchased by the County will be the property of Commissioners' Court and shall be recorded in the property, plant and equipment accounting system in accordance with the established capitalization guidelines and governmental accounting standards. All software generated internally by the County will be recorded at the developmental cost incurred by the County (to include salary and benefits, supplies and an indirect overhead allocation). All internally developed software will be assigned a project accounting number during the developmental stage. After completion the total cost of development shall be transferred to the general property, plant and equipment accounting system. All expenditures for the construction of infrastructure will be recorded at original cost. All costs associated with the maintenance and upkeep of existing infrastructure will be accounted for as repairs and maintenance (an operating expense). When existing infrastructure is completely replaced the county engineer will be responsible for developing the procedures for establishing costs to be • capitalized. All new construction will be assigned a project accounting number and all direct costs will be charged to the project as well as an indirect overhead allocation. Upon completion the project will be closed into the general property, plant and equipment accounting system. Page 2 of 5 0 Changes/additions to existing property, plant and equipment will be individually evaluated to determine if the changes/additions should be considered an improvement or repair/maintenance. Improvements are changes/additions that substantially increase the useful life of the asset and the cost or a portion thereof may be added to the value of the asset. Repairs and maintenance are changes/additions that allow the asset to complete its normal useful life and are considered an operating expense in the year incurred. DEPRECIATION POLICY Depreciation consists of the systematic allocation of the cost of an asset over the anticipated useful life of the asset. All property, plant, equipment and infrastructure assets with an original cost of more than $5,000 will be capitalized for reporting purposes and eventually depreciated. All qualifying assets will be depreciated using the straight line depreciation method. This method provides that depreciation for one year is equal to the cost of the asset less any anticipated salvage value, divided by the years of anticipated useful life. It will be the depreciation policy of Brazos County that a full year's depreciation will be allocated in the year of retirement of the asset and zero depreciation will be allocated in the year of acquisition. The County depreciation policy will also be calculated based on an anticipated zero salvage value. Depreciation will be allocated to the organizational unit that uses the asset. Depreciation of general use assets will be allocated to general government activities. It should be noted that depreciation is an estimate and may require adjustment in the event an asset is modified or improved. The inventory as filed will be by department. The inventory will clearly represent the property, plant and equipment each department is to be held accountable for. At the beginning of each fiscal year, the elected official and/or department head will be presented with a copy of the property, plant and equipment assigned to their control. Elected officials and/or department heads are required to examine the listing to insure the accuracy of the asset record. The elected official and/or department head has thirty days from receipt of the listing to notify the County Auditor of any changes. Once the listing is corrected and validated the elected official and or department head will be required to sign and date acceptance of responsibility. Each will be held accountable for the assets entrusted to their control. A copy of the inventory will be retained by the elected official / department head, the Purchasing Agent and the County Auditor. When an elected official and/or department head terminates employment with the County it is the responsibility of the elected official / department head to coordinate a date and time with the County Auditor to complete a physical inventory of the assets assigned to the elected official/department head. Commissioners' Court will not release the elected official / department from liability until all assets assigned for responsibility have been accounted for and turned over to the Commissioner's Court. The elected official / department head will be personally responsible for replacing all assets that are found missing at current replacement cost. All elected officials / department heads which have been issued software purchased and/or developed by the County and it is no longer being used are required to return the software to the Information Technology Department. Each elected official / department head is responsible for insuring that the software is returned and that the County Auditor is properly notified. Commissioners' Court does not permit nor does it allowed any elected official, department head or employee of Brazos County and/or anyone who may have occasional access to a department in Brazos County buildings, to make a copy of any software that has been licensed to the County or developed by the County. TRANSFER OF PROPERTY When property as defined in this policy is transferred from one department to another; when property is found to be missing from an office; and/or, when an office decides that property is no longer of use; it will be the responsibility of the elected official / department head of the office with accountability to immediately notify the County Auditor and to follow the established procedures. Accountability for all property owned by the County will be maintained DISPOSITION OF PROPERTY When property as defined in this policy is determined to be lost or stolen the elected official / department head has the responsibility of notifying the County Auditor as soon as the property is determined to be missing. In the event it is suspected that the property was stolen the department is responsible for contacting the appropriate law enforcement officials. Property that is determined to be surplus or salvage is to be reported to the Purchasing Agent for disposition. The Purchasing Agent is responsible for following the statutory requirements of Local Government Code §263.150-263.158 with regards to the disposition of property. The Purchasing Agent is responsible for notifying the County Auditor of property dispositions. DONATED/ESCHEAT or EMINENT DOMAIN PROPERTY All property, plant and equipment received by the County through donation, escheat or the eminent domain process is required to be formally presented to Commissioners' Court for approval and acceptance. No elected official and/or department head is authorized to accept property donated to the County on behalf of the Commissioners' Court. The Commissioners' Court will require the approval of the elected official and/or department head of any property that is specifically donated to their department. Once approved, Commissioner's Court will consider acceptance. The County will not accept donated property with a value in excess of $5,000 without an independent appraisal being provided by the donor. Once the fixed asset has been officially accepted by the County the property will be added to the County's asset ledger and assigned to a department for accountability. All donations to the County will be evaluated under the guidelines established by Local Government Code Sections §81.032. OTHER All acquisitions made by any department through the State surplus property procedures are required to be reported to the Commissioners' Court and the County Auditor (Texas Administrative Code. Vol. 1, §113.73). All such purchases are required to be accounted for regardless of value. All departments that maintain weapons/firearms or small tools must maintain an inventory of all such items regardless of the value. Assets that are purchased in a large quantity, but their individual price is below the capitalization threshold, are to be inventoried by location as a quantity total (example: 200 metal folding chairs, 30 folding 8 foot tables, etc). It will be the responsibility of the County Auditor to develop procedures (requisitions, ordering, tagging, transfers, etc.) and related reports to ensure that this policy is followed and that accountability is properly documented. It will be the responsibility of the individual departments that are accountable for property, plant and equipment and responsible for their custody to ensure that the property, plant and equipment are properly cared for while entrusted to their care. The classifications are as follows: 5100 5200 5300 6100 6500 6700 7100 7200 Salary and Wages Employment Services Benefits Departmental Support Repairs and Maintenance Minor Acquisitions Contract Services Professional Services 8000 Capital Outlay Adjustments to accounts within the same classifications are considered budget adjustments. Budget adjustments are simply the rearranging of funds between line items within a department's classification. No additional funding is being requested, and no classification line is being crossed. Elected officials and department heads can request a budget adjustment at any time, however Commissioner's Court has restricted the use of budget adjustments to classifications other that Salary and Wages (5100) and Benefits (5300). By statute Commissioners' Court is required to establish position control for the majority of the County's employees. Any changes to the budgets to these classifications are considered budget amendments (see next category) and require Court approval Budget adjustments do not require Commissioner's Court approval and can be requested by email, memo or by completing the attached budget adjustment form. The request is to be forwarded to the Auditor's office for processing. Beginning October 1, 2001, requisitions, purchase orders and payment authorizations that require the use of more funds than are currently available within a LINE ITEM will be rejected. The department will be required to submit a budget adjustment request to reallocate funds before the purchase will be processed. Budget amendments require Commissioner's Court approval and must be approved before a requisition or purchase order may be processed. All requests will be prepared following generally accepted accounting and budgeting precepts. The merit pay pool for each department provides the elected official and/or department head the opportunity to reward those employees within their department for outstanding performance. The following policy guidelines are to be followed by all elected officials and/or department heads when implementing the use of merit pay increases: 1) All merit pay authorizations must be requested on a personnel action form, 2) All merit pay requests must be made using the current group and step chart (e.g.. all requests must be based on the step increases provided for the group to which the employee is currently classified); 3) All merit pay requests which represent more than a one step increase must be accompanied by departmental employee evaluation; 4) All merit pay increases must be requested by the time determined annually by the Commissioners Court; 5) The elected official and/or department head may at any time during a fiscal year cancel a previously requested merit pay increase for an employee; 6) The merit increase given to an employee identifies with the employee as long as the employee is employ in the department in which the merit pay was awarded; 7) Should an employee change employment within the county any previous awarded merit pay will not transfer between departments. 8) All canceled or forfeited merit pay increases will automatically be returned to the department's merit pay pool to be reallocated by the elected official and or department head (reminder: no requests may be made after the date determined annually by the Commissioners Court for the fiscal year.); 9) At no time during the year may the elected official and/or department head request, nor may Commissioners' Court approve merit pay allowances, which in the aggregate, would provide funding in excess of the amount approved by the Commissioners' Court for merit pay for the department during the budget cycle for the fiscal year; 10) At no time during the year may the elected official and/or department head use funds available in the merit pool for the department to increase their salary. STATE OF TEXAS § COUNTY OF BRAZOS § This is an Agreement by and between the COUNTY OF BRAZOS (hereinafter referred to as "COUNTY") and BRAZOS BEAUTIFUL, INC. (hereinafter referred to as "BRAZOS BEAUTIFUL"), a non-profit association for the improvement of Brazos County. WHEREAS, BRAZOS BEAUTIFUL is an educational volunteer organization dedicated to improving waste handling practices (i.e., recycling and the buying of recycled products) and • improving litter control in Brazos County; and NOW, THEREFORE, FOR AND IN CONSIDERATION of mutual promises recited herein, the parties agree as follows. 1. BRAZOS BEAUTIFUL shall provide services to the COUNTY as follows: a. Assist in coordination of Christmas tree recycling, telephone book recycling two times a year, distribution of the recycling directory to include the Citizen Collection Stations in rural Brazos County. b. Educate the community on the need for buying recycled products through the use of displays in the local schools, libraries, shopping malls, and wherever else requested. C. Organize and train area teachers on the importance of litter abatement, recycling, buying of recycled products, maintain recycling boxes in area schools used as teaching aids and maintain a lending library to assist area teachers in teaching litter control and reuse practices. d. Promote all "Adopt Road Programs" in the county through a newsletter. 2. BRAZOS BEAUTIFUL will be funded by the COUNTY in the amount of Fifteen Thousand Dollars ($15,000.00) from the COUNTY 2001-2002 Fiscal Year funds to be used for salanes, rent, telephone and other operating expenses. B 'r A trator Chairman of the Board BRAZOSCOUNTY By' r Co ty Judge ren McQueen, County Clerk -2- • Contractual Agreement Brazos County Soil & Water Conservation District And Brazos County Commissioners Court Brazos County Soil and Water Conservation District #450, hereinafter called the District, and Brazos County Commissioners Court, hereinafter called the County, does hereby enter into a contractual agreement for the District to provide soil and water conservation services to the residents of Brazos County and to the County proper. Those services will include, but not be limited to, erosion control, water management, and rural development. This will be carried out by planning and application through informal agreements with land users, or, as required by Federal or State law. An information and recognition program will be used to inform the public. Technical assistance is utilized through a Memo of Understanding between the District and the USDA - Natiual Resources Conservation Service. • Erosion control will keep the land productive for its various uses for many generations. Sediment resulting from erosion clogs our local streams reducing water carrying capacity and resulting in local flooding. Excessive siltation ruins our local wetlands, and; therefore, reduces a dwindling wildlife habitat. Silt from erosion carries many pollutants directly into our local streams and rivers. Conservation practices consist of erosion control structures, erosion control ponds, gully shaping, diversions, vegetating old fields, proper management of grazing resources. Water management includes recommendations for proper irrigation, flood control, and water quality. Irrigated crops account for 75% of all water used. Proper irrigation saves that resource for tomorrow's uses including domestic consumption. Proper irrigation helps to keep agriculture pollutants from entering underground water supplies Conservation practices include total evaluation of irrigation systems and application procedures, precision land leveling, and underground pipelines. Water management includes floodplain management. The District's role in Rural Development in Brazos County is in providing fire protection utilizing dry hydrants. Insurance rates outside the city limits can be lowered a great deal, as well as provide a reliable source of water to fight rural fires. Farm ponds provide the water and we plan the dry hydrant system. The District is evaluating the use of artificial wetlands to replace septic tank filter fields. The prospects are very promising, but, much work remains to be done before this technology can be implemented Water quality in is rural Brazos County will be greatly inhanced if this method can be used. 0 The District and the County have interacted ever since the inception of the District in 1942 Many conservation problems affect not only the individual landowner but the County itself. WITNESSETH WHEREAS, Article 3, Section 52-a of the Constitution, Section 381 of the Local Government Code of the State of Texas and V.A.T.S. §5190.6 provide for COUNTY to engage in economic development activities; and WHEREAS, a primary focus of economic development inquiries is the quality of arts programs in a community; and WHEREAS, ACBV provides assistance to local arts organizations ofthe COUNTY through • funding and support for programs involving substance abuse prevention and education for Brazos County children through arts programs and continues to provide arts-related programs and scholarships for young people which foster positive self-image and thereby assists in prevention of drug and alcohol use and abuse; and WHEREAS, Article 152m, V.A.T.S. recognizes that the health, education, and general welfare of the citizens of the State of Texas require promotion and education about the performing, dramatic, visual, and literary arts; and is WHEREAS, said Article permits COUNTY to provide funding for cultural education facilities, and is to be liberally construed; and WHEREAS, ACBV provides funding to member organizations, in part, for facilities acquisition and upkeep, and WHEREAS, Article 5190.7, V.A T S. permits COUNTY to assist with urban enterprise zones, and, WHEREAS, ACBV through its funding programs has provided benefit to Brazos County, Texas through programs attracting over 25,000 participants, and resulting in significant purchases of goods from Brazos County merchants; and WHEREAS, ACBV has provided funding to assist local performing arts groups; and WHEREAS, Chapter 318 of the Local Government Code of the State of Texas provides for historic preservation; and WHEREAS, other programs provided by COUNTY art directly benefited by ACBV and its member organizations. Completing all necessary application forms to potentially eligible individuals. • 2. Obtaining and compiling information on each applicant for Provider's Services with regard to residency and financial qualifications. 3. Maintaining this Contract. 4. Provision of the Provider's Services as defined herein. 5. Maintaining data files on clients/patients and the Services provided thereto. 6. Responding to all and any inquiries by the County regarding the Clinic and its Services. Assisting the County with information needed for audit purposes. Providing the County with quarterly financial statements. 9. Providing the County with any and all certified audits of Provider and the management letter prepared in connection therewith. 10. Providing financial statements evidencing how County funds are spent. Such • statements to be submitted to County one week prior to the funding dates set forth herein above. 11. These records shall be made available for inspection and audit by the County, if it so desires DISCRIMINATION The Provider shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. The Provider shall take affirmative action to ensure that applicants who are employed are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not be limited to, the following employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination, rated of pay or other forms of compensation, and selection for training, including apprenticeship. WHEREAS, CITY desires to provide on-site sewage disposal system inspection and licensing services within its corporate boundaries by contracting with the COUNTY; and WHEREAS, the parties hereto are authorized to enter into such an arrangement pursuant to Government Code §791.011; and WHEREAS, COUNTY is the local governmental entity appointed by the Texas Natural Resource Conservation Commission to be the Authorized Agent under law for the promulgation and enforcement of on-site sewage regulations; and NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties hereby agree as follows: 1. DEFINITIONS Authorized Agent means a local government entity authorized by the Texas Natural Resources Conservation Commission to implement and enforce rues under CHAPTER 366 OF TEXAS HEALTH AND SAFETY CODE (VERNON SUPP. 1996) and in this agreement is Brazos County, Texas. CITY means City of Kurten, Texas. County OSSF Order means that certain Order passed by the County Commissioners Court of Brazos County, Texas as it may be amended from time to time, to regulate the installation and maintenance of on-site sewage disposal systems within Brazos County, Texas. Designated Representative means an entity authorized by law to conduct inspections of on-site sewage disposal systems and to generally carry out the services described in this Agreement on behalf of the Authorized Agent. DIS77UICT, means the Brazos County Health District, the Designated Representative of Brazos County, Texas. Oe- • day; and are used for disposal of sewage produced on the site where the system is located as defined in CHAPTER 366 of the TEXAS HEALTH AND SAFETY CODE. TNRCC is the Texas Natural Resource Conservation Commission. 2. OBLIGATIONS OF THE COUNTY AND DISTRICT 2.1 COUNTY agrees to and shall inspect and license any on-site sewage systems within the corporate limits of CITY. COUNTY shall further comply with all present or future federal or state laws pertaining to the inspection and approval of on-site sewage disposal systems within the State of Texas, including but not limited to minimum state standards. COUNTY shall carry out its obligation to inspect and license through its designated representative, the DISTRICT. 2.2 The CITY, by execution of this agreement, agrees that the County OSSF Order, as it may be amended, is applicable and enforceable within the corporate limits of the CITY. The COUNTY shall be responsible for the enforcement of the County OSSF Order within the CITY's corporate limits. The COUNTY shall prosecute all criminal violations of this Order through the County Attorney's office. All civil litigation to enforce this • Order shall be handled by private attorneys hired by the COUNTY. All costs of civil litigation to enforce the County Order inside the CITY's corporate limits shall be at CITY's expense. The COUNTY, in its sole discretion, shall determine the level of enforcement and prosecution of violation(s) of the County OSSF Order. COUNTY's decision not to prosecute a violation(s) of the County OSSF Order shall not subject COUNTY to liability to the CITY. 2.3 COUNTY will make available at DISTRICT's office, information packets and other printed materials in packet form to the citizens of the CITY who wish to install an on-site sewage disposal system on their property. All applications for licenses, transfers, renewals and any other permits that may be required relative to on-site sewage systems must be obtained from and submitted to the COUNTY through the DISTRICT at DISTRICT's office in Bryan, Texas. 2.4 The COUNTY, through the DISTRICT, will be responsible for the collection of all costs and fees associated with the issuance of licenses for on-site sewage disposal systems including but not limited to a State administrative fee to license a system that meets all current or future TNRCC regulations. 2.5 Except as provided in paragraph eight (8) hereof, CITY shall not be liable to COUNTY for any fees or costs arising out of or in connection with the provision of on- site sewage disposal system services. COUNTY agrees and understands that it is the is COUNTY's sole responsibility to collect all fees for its services as set by the County OSSF Order without claim for payment by CITY. 2.6 COUNTY agrees to be responsible for the collection and remittance of all fees owing and payable to the State for administrative costs relating to the licensing function 07.7035 Lveloul Apemiml d Cavr.a G Sne Serge (3J3 01) Patc 2 of t 0 that are not covered by the license fees collected. COUNTY further agrees and shall be responsible for any charge-back fees to CITY by the TNRCC as a result of the COUNTY's failure to collect for and recut same to the TNRCC. 2.7 CONTROL OF WORK The COUNTY shall be responsible for the services contemplated under this Agreement. The COUNTY shall supply all materials, equipment and labor required for the inspection, and licensing of on-site sewage disposal systems within the Kurten city limits. The COUNTY shall have ultimate control over the execution of the work under this Agreement. The COUNTY shall have the sole obligation to employ, direct, control, supervise, manage, discharge and compensate all of its employees and subcontractors, and CITY shall not have control of or supervision over the employees of the COUNTY or any of the COUNTY's subcontractors except to the limited extent provided for in this Agreement. The services to be provided pursuant to this agreement shall include the famishing of all labor, materials, equipment, and drawings, including engineering and other services necessary or reasonably incidental to the performance of the services by the COUNTY. It shall be the responsibility of the COUNTY to fumish all services as stated herein. The COUNTY shall retain personal control and shall give its personal attention to the faithful prosecution and completion of its services and fulfillment of this Agreement. The subletting of any portion or feature of the work or the materials required in the performance of this Agreement shall not relieve the COUNTY from its obligations to the CITY under this Agreement. Unless otherwise stipulated, the COUNTY shall provide and pay for all materials, labor, tools, equipment, transportation, and other facilities necessary for the performance and completion of its services. CITY acknowledges that the services described above shall be delegated by the COUNTY to the DISTRICT. 2.8 REPORTING COUNTY shall maintain a current listing of all on-site sewage disposal systems it has licensed within the corporate city limits of CITY. A copy of this list shall be submitted on computer diskette and in printed format to the Office of City Mayor annually each January detailing the following information: License Holder, License Number, Property address on which system is located, and date of Issuance of License. 0146" Inmbet AVq !Cm 0nSb&wq.(82301) ►g,3 ort • 2.9 COMPLAINT NOTIFICATION Neither COUNTY nor DISTRICT shall have a contractual obligation to notify the office of City Mayor of (i) failure of any system owner to comply with the permitting or re- permitting requirements of the COUNTY's OSSF Order, (ii) the discovery of any deficient on-site sewage disposal system and failure to correct such deficiencies by the system's owner; or (iii) any complaint received from third parties relative to deficient or nonexistent systems within the Kurten City limits, but may do so as a courtesy, in its sole discretion. 2.10 COMPLIANCE Within two hundred fifty (250) days of the date of execution of this agreement, the COUNTY agrees to and shall review its existing records of on-site sewage disposal systems within the City of Kurten's existing city limits. 2.11 INSURANCE The COUNTY shall procure and maintain at its sole cost and expense for the duration of • this Agreement insurance against claims for injuries to persons or damages to property that may arise from or in connection with the performance of the work hereunder by the COUNTY, its agents, representatives, volunteers, employees or subcontractors. The COUNTY's insurance coverage shall be primary insurance with respect to CITY, its officials, employees and volunteers. Any insurance or self-insurance maintained by CITY, its officials, employees or volunteers shall be considered in excess of the COUNTY's insurance and shall not contribute to it. 3. RENEWAL It is expressly agreed and understood that the term of this contract shall be one year and may be renewed annually on the same terms and conditions as stated herein upon mutual agreement of the parties upon thirty (30) days prior written notice. 4. TERMINATION This contract may be terminated at will upon one hundred eighty (180) days advance written notice by either party. Upon termination COUNTY shall transfer to CITY, a duplicate of all files and records of all on-site sewage disposal system licensed by COUNTY within the city limits of Kurten, at CITY's sole cost and expense. 5. In the event property is damaged due to the act, omission, mistake, fault or default of COUNTY, acting through the DISTRICT, then the COUNTY shall indemnify and hold harmless and defend CITY for such damage. B. The COUNTY shall indemnify and hold harmless and defend CITY from any and all injuries to or claims of adjacent property owners caused by the COUNTY, acting through the DISTRICT, its agents, employees, and representatives. Such indemnity shall not apply to any claims, losses, damages, causes of action, suits for injury or death of any person or property damage arising out of the COUNTY's (i) failure to enforce the County OSSF Order; (ii) failure to prosecute violations thereof identified by the COUNTY; or (iii) approval of the installation and operation of an on-site sewage disposal system. 6. INVALIDITY If any provision of this Agreement shall be held to be invalid, illegal or unenforceable by a court or other tribunal of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. The parties shall use their best efforts to replace the respective provision or provisions of this Agreement with legal terns and conditions approximating the original intent of the parties. 7. FEE The CITY agrees to pay to COUNTY an annual fee of $1,200.00 on October 1 of each year of the Contract Term to help defray the costs to the COUNTY for administration expenses not included in or covered by the license permit fees to be charged to Kurten property owners hereunder. The monthly fee shall be payable out of currently available funds. CITY shall cover all cost of civil litigation, including but not limited to personnel costs to the COUNTY or the DISTRICT as applicable, for COUNTY or DISTRICT employees devoting time to such litigation. 9. ENTIRE AGREEMENT It is understood that this Agreement contains the entire agreement between the parties and supersedes any and all prior agreements, arrangements, or understandings between the parties relating to the subject matter. No oral understandings, statements, promises or inducements contrary to the terms of this Agreement exist. This Agreement cannot be changed or terminated orally. No verbal agreement or conversation with any officer, agent or employee of CITY or COUNTY either before or after the execution of this Agreement, shall affect or modify any of the terms or obligations hereunder. 10. AMENDMENT No amendment to this Agreement shall be effective and binding unless and until it is reduced to writing and signed by duly authorized representatives of all parties. 11. TEXAS LAW This Agreement has been made under and shall be governed by the laws of the State of Texas. 12. PLACE OF PERFORMANCE Performance and all matters related thereto shall be in Brazos County, Texas, United States of America. 13. AUTHORITY TO ENTER CONTRACT • Each party has the full power and authority to enter into and perform this Agreement, and the person signing this Agreement on behalf of each party has been properly authorized and empowered to enter into this Agreement. WAIVER Failure of any party, at any time, to enforce a provision of this Agreement, shall in no way constitute a waiver of that provision, nor in any way affect the validity of this Agreement, any part hereof, or the right of either party to this agreement thereafter to enforce each and every provision hereof. No term of this Agreement shall be deemed waived, breached or excused unless the waiver shall be in writing and signed by the party claimed to have waived. Furthermore, any consent to or waiver of a breach will not constitute consent to or waiver of excuse of any other different or subsequent breach. 15. HEADINGS The article headings are used in this Agreement for convenience and reference purposes only and are not intended to define, limit, or describe the scope or intent of any provision of this Agreement and shall have no meaning or effect upon its interpretation. 16. GENDER REFERENCES AND NUMBER Words of any gender used in this Agreement shall be held and construed to include any other gender, and words in the singular number shall be held to include the plural, and vice versa, unless the context requires otherwise. 17. AGREEMENT READ The parties acknowledge that they have read, understand and intend to be bound by the terms and conditions of this Agreement. 18. ASSIGNMENT This Agreement and the rights and obligations contained herein may not be assigned by the CITY. 19. MULTIPLE ORIGINALS It is understood and agreed that this Agreement may be executed in a number of identical counterparts, each of which shall be deemed an original for all purposes. The cable will then extend north by northwest 3' in the east R.O.W. for a distance of 670 feet. The cable will then cross Rabbit Lane from the east to the west R.O.W. The cable will be placed at a depth of 30" in the R.O.W. and 48" at the road crossing. The location and description of this line and associated appurtenances is more fully shown by two (2) copies of drawings attached to this notice. The line will be constructed and maintained on the County Road right-of-way in accordance with governing laws. Notwithstanding any other provision contained herein, it is expressly understood that the bender of this notice by the Verizon Southwest Incorporated does not constitute a waiver, surrender, abandonment or impairment of any property rights, franchise, easement, license, authority, permission, privilege or right now granted by law or may be granted in the future and any provision or provisions so construed shall be null and void.
