To make arrangements, call (979) 361-4102. •i is f COMMISSIONERS' COURT REGULAR MEETING JULY 31, 2001 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Commissioners' Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Tuesday, July 31, 2001, with the following members of the Court present: Alvin W. Jones, County Judge, Presiding; Tony Jones, Commissioner of Precinct 1; Wm.S. Thornton, Commissioner of Precinct 2; Randy Sims, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. Commissioner Jones gave the invocation and led the pledge of allegiance. Under citizen input/and or concerns, Dexter Hodge bemoaned the fact that the Law Library was not available for use by the public and asked that the committee take up the topic again. Commissioner Thornton asked to visit with Mr. Hodge after the meeting. The Court next considered a request by the District Attorney's office for reclassification of a part time clerk position. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the request. The Court next considered Budget Amendment #00/01-37.1 through 37.3, which would transfer funds to Constable Precinct 5 from Contingency, and two requests to reallocate funds for the Brazos Center. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the budget amendment as submitted. A copy of which is attached hereto- Vol 23 Page , Commissioners' Court meeting July 31, 2001 2 The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the changes as submitted. The Court next considered the following Claims as submitted by the County Treasurer for payment: 20021194 through 20021470 On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to approve the Claims as submitted. The Court next considered adopting an Order redrawing Brazos County Commissioner Precinct Boundaries based on the 2000 census. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to adopt an Order that effective January 1, 2002, Brazos County Texas shall be divided into four (4) County Commissioner Precincts as depicted in "Exhibit A" based on the 2000 census. A copy of the Order is attached. The Court next considered adopting an Order Abolishing Brazos County Justice Precincts 2 through 6 and Creating New Justice Precincts- numbered 1 through 4 as depicted in "Exhibit A". Commissioner Jones moved to approve. Commissioner Sims seconded the motion. Commissioners Jones, Thornton, Sims and the County Judge voted "Aye". Commissioner Cauley voted "No". A copy of the Order is attached. The next matter for consideration by the Court was adopting an Order Banning Out Door Burning. The Emergency Coordinator recommended tabling consideration because the drought index was down at the moment. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court Vol o;2-3 Page -55 8 4 t 1 1 y - s 91 • Commissioners' Court meeting July 31, 2001 3 voted unanimously to table consideration of adopting the outdoor burning ban. The next matter before the Court was renewal of a Contractual Agreement for Physician Services for the jail and t i juvenile service departments. This contract is between Brazos County and Dr. Rany Cherian. Doctor Cherian will provide medical treat for adult and juvenile inmates. The cost to Brazos County will be $3,000.00 annually plus $3,500.00 for administrative services and liability insurance coverage. The term of the contract will be fiscal year 2001-2002. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to enter into contractual agreement i t with Dr. Rany Cherian for medical services for adult and i juvenile inmates A copy of the contractual agreement is attached hereto. ' The next matter for consideration by the Court was a request submitted by the 361" District Judge, Steve Smith seeking approval for out of state travel for himself. Judge 4 Smith would be traveling to Chicago, Illinois to attend the P "National Conference of Special Court Judges" during the week of August 2 through the 7, 2001. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to grant the request from the 361" District Jrudge and approved payment of out of state travel expense for him. The Court next considered a requisition from the District c Clerk's Minor Acquisition Funds for a file cabinet. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the requisition in the amount of $212.00. The Court proceeded to consider a requisition from the Brazos Center's Minor Acquisition Funds for a truck tool box. On motion by Commissioner Thornton, seconded by Commissioner Vol a Page 6- 9 Commissioners' Court meeting July 31, 2001 i i I. i 4 Jones, the Court voted unanimously to approve the requisition in the amount of $436.00. The Court considered a requisition from the Brazos Center's Capital Acquisition, Other Equipment, Funds for a floor buffer. On motion by Commissioner Thornton, seconded by Commissioner Sims, the Court voted unanimously to approve the requisition in the amount of $1,125.00. The Court next considered an Automated Teller Machine Location Agreement with First American Bank for placement of ATM machines in the Courthouse lobby and in the Tax Office. The only cost to Brazos County will be $100.00 a month for two telephone lines. On motion by Commissioners Jones and Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the Automated Teller Machine Location Agreement with First American Bank. A copy is attached. The next matter for consideration was an Agreement with Kone, Inc. for removal of a Courthouse elevator. Cost to Brazos County will be $6,300.00 per elevator which includes all applicable labor, materials and permit fees. On motion by Commissioner Cauley, seconded by Commissioner Thornton, the Court voted unanimously to enter into Agreement with Kone, Inc. for the removal of an elevator. The Court proceeded to consider a requisition from the Purchasing Department's Minor Equipment funds for a digital camera. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the requisition in the amount of $249.00. The Court next considered a requisition from Law Enforcement Grant Funds, Computer Software, for software and licenses for the Sheriff's Office patrol car computers. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the requisition in the amount of $16,882.00. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to authorize the Purchasing Agent to advertise for quotes for rental car i service. The Court next considered 'acceptance of Bryan Texas Utilities cost estimate of $1,465.07 for relocation of electrical distribution poles for improvements on Straub Road in Precinct 1. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to accept t i the City of Bryan's cost estimate of $1,465.07 for relocation ; F of an electrical distribution pole on Straub Road. The Court next considered the request from Verizon to construct parallel cable installations in the right-of-way of . River Road. The site is located in Precinct 1. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to approve the request from Verizon and authorized the installation. A copy of the request is attached hereto. The Court next considered the request from David P. Under announcement of interest items and possible future agenda topics the County Judge made the following comments: a) He received a letter on a nation wide survey claiming Bryan/College Station has the second lowest cost of living in the nation and the lowest in the state. b) There is a bill allowing a $4.00 fee to be used for technology purposes to be attached to Justice of the Peace services. Approval for the collection of this fee will be on the next Commissioners Court agenda. c) He asked the members of the Court to be available to meet tomorrow at 1:30 p.m. for budget preparation. d) He is planning workshops on several items. e) He received a letter about a machine that helps locate missing children. He will try to get more information on this. Under citizen input and/or concerns, the County Engineer asked when the new commissioners precinct lines would take effect. He was informed that January 1, 2002 assuming the Justice Department approves the submission. Should approval be delayed it will take effect upon approval. THE STATE OF TEXAS § THE COUNTY OF BRAZOS § ORDER ABOLISHING BRAZOS COUNTY JUSTICE PRECINCTS 2 THROUGH 6 AND CREATING NEW JUSTICE PRECINCTS NUMBERED I THROUGH 4 WHEREAS, the Commissioners Court of Brazos County has undertaken to reconfigure the justice precincts for the convenience of the people and to assure compliance with applicable requirements of state and federal law; and WHEREAS, Brazos County has a population of over 150,000 according to the 2000 decennial federal census and is currently divided into five (5) justice precincts; is WHEREAS, through a series of public meetings, the Commissioners Court of Brazos County has received and has considered oral testimony and written evidence regarding the need to reconfigure justice precincts by abolishing the five (5) existing justice precincts and creating four (4) new justice precincts; and WHEREAS, the Commissioners Court of Brazos County finds that a reduction in the number of justice precincts from five (5) to four (4) in accordance with this Order will improve economic efficiencies in the operation of the justice precincts, reduce costs to the County, more equitably distribute the workload amongst the justice precincts, and allow the County to better serve its citizens; and WHEREAS, the Commissioners Court of Brazos County believes that, in the best interest of the County and for the convenience of the people, the number of justice precincts should be decreased from five (5) to four (4); and WHEREAS, the Commissioners Court of Brazos County finds that the attached descriptions of the new justice precincts for the election of Justices of the Peace and Constables reflects a division of Brazos County into four (4) such precincts for the convenience of the people; and WHEREAS, the Commissioners Court of Brazos County wishes to enact this change as efficiently as possible; • THEREFORE BE IT ORDERED, by the Commissioners Court of Brazos County, pursuant to Article V, Section 18 of the Texas Constitution, that the five (5) existing Justice Precincts numbered 2 through 6 be abolished, and that Brazos County, Texas, thereafter be divided into four (4) new justice precincts for the election of Justices of the Peace and Constables in accordance with Exhibit "A" to this Order, which contains a map depicting the boundaries and territory of the four (4) new Justice Precincts numbered 1 through 4, and which map is incorporated by reference into and made a part of this Order; and Exhibit "B" to this Order, which is a list of the 2000 Census voting tabulation districts ("VTDs"•) assigned to each i i u i= r~ i i respective justice precinct, or, where VTDs have been divided between precincts, a list of the 2000 Census blocks assigned to each respective justice precinct, and which list is incorporated by reference into and made a part of this Order. Treatment may occur both within and without the physical confines of the Jail facilities. Treatment shall include, but not be limited to, on-site emergency treatment. The Service Provider agrees to adopt and implement workplace guidance concerning persons with AIDS and HIV infection and to develop and implement guidelines regarding confidentiality of AIDS and HIV related medical information with regards to inmates being treated for any complaint. ' 1.02 Reporting Responsibilities The Service Provider, once treatment has been provided, will also be responsible for indicating any necessary therapy, additional follow-up medical treatment or additional medical referral needed to a medical specialist to cover any inmate problem the Service Provider believes would require such therapy or referral. The Service Provider will be responsible for communicating therapy or referral needs to the Brazos County Jail Administrator, or the designated agent. The Service Provider will document all treatment, need for follow-up treatment, I any diagnostic tests needed, therapy suggestions and referral needs in note form and file the same in the inmate's medical file. 1.03 Additional Services Services to be provided pursuant to this Contract, but at an additional fee as set forth in Article III herein, include diagnostic testing, whether routine or otherwise, extended long-term medical treatment programs requiring more than a few treatments for a given malady, treatment outside the Jail for medical services provided at clinics operated by the Service Provider. ARTICLE U JUVENILE SERVICES 2.01 Scope of Services The Service Provider upon referral from the Brazos County Juvenile Services (hereinafter refen-ed to as "Juvenile Services") shall treat juvenile inmates, (hereinafter referred to as "Detainees"), that are located in the Brazos County Juvenile Detention Center (hereinafter referred to as "Detention"). Services are to include consultation with detention licensed vocational nurse (herein after referred to as "LVN) and juvenile probation officers (herein after referred to as "JPO") on duty in Detention. Consultation may be by phone or on site. Consultation is to be diagnostic in nature to determine possible medical malady and appropriate medical course of action. Also, the Service Provider will provide physical examinations, as requested, Page 1 of 5 r. Page 2~of 5 to be conducted at the Juvenile Detention Center, for children being placed in the Juvenile Boot Camp or contract placement facilities. 2.02 Procedure JPO and LVN will routinely on a daily basis handle medical sick call in Detention except when it is beyond their expertise. When medical concerns of Detainees is beyond the ability of LVN, phone consultation with Service Provider will be initiated. If phone consultation is inadequate in both, the JPO in charge and LVN's opinion, on site medical consultation will be requested of Service Provider. 2.03 Additional Services Services to be provided pursuant to this Contract, but at an additional fee as set forth in Article III herein, include diagnostic testing, extended long term medical treatment programs requiring more than minor intervention, testing at the Service Provider's clinics, x-rays, physical examinations in excess of the fifty annual exams as provided in section 2.01 above, lab work or emergency medical treatment in an emergency room 2.04 Reporting Responsibilities phone consultation will be documented by JPO/LVN in Detainees' medical file. On site consultation will require Service Provider to provide case notes in Detainees' medical file. The Service Provider will inform JPO or LVN during consultation of the need for testing, x-rays, lab work or emergency treatment. The Service Provider will communicate in writing with Juvenile Services, the Detainee's need for follow-up treatment or referral to a medical specialist or relocation for medical treatment, which communication shall be made part of the Detainee's medical file. ARTICLE III FEES 3.01 Professional Fees For the services outlined in Paragraph 1.01, the County will pay the Service Provider Three Thousand Dollars ($3,000.00), each month services are provided, consisting of an arbitrary apportionment of $2500 representing ordinary care and $500 representing additional detailed care and record maintenance. For the services outline in paragraph 2.01, the County will pay the Provider an additional $500.00 for each month services are provided. An annual fee of Two Thousand and No/100 Dollars ($2,000.00), shall be paid to the Service Provider for administration services. Additionally, an annual payment of One Thousand Five Hundred and No/ 100 Dollars (1,500.00) shall be paid to provider for addition Liability insurance which names Brazos County as addition insured. The administrative fee of Two Thousand and No/100 Dollars ($2,000.00) and the additional insurance fee of One Thousand Five Hundred and No/100 Dollars ($1,500.00) shall be paid on December 15' of the contract year. This Contract shall be from October 1, 2001 through September 30, 2002. Charges for any outside-the-Jail or outside-of-Detention treatment of inmates or Detainees, as appropriate, at any clinic operated by the Service Provider, or a physician's certificate related to a mental health commitment, or treatment of an inmate or Detainee at a hospital emergency room or for any unusual diagnostic charge, laboratory charge or physical exams of Detainees, or extended treatment program made under this contract will be either billed by the Service Provider as provided below, or by the independent laboratory or facility that provides such service. For services not covered by the Service Provider's flat fee, the Service Provider will invoice the County using her standard Invoice for Services, showing Date of Service, Inmate Number, Test or Service Performed with itemized costs for each, and Extended Total, at her standard prevailing prices, which shall also be stated on the bill. The County shall pay for services monthly. The Service Provider will not be responsible for invoicing nor handling any but the related paperwork needed for the orders for such independent laboratory or diagnostic tests as part of this agreement. ARTICLE IV ADMINISTRATION OF CONTRACT 4.01 Transportat ion If the Service Provider has assessed that an inmate or Detainee needs to be relocated from the Jail or Detention for medical service of any kind or for any reason, this assessment will be relayed at the earliest possible time to the Sheriff Jail Administrator or his agent, or the Superintended ofDetention or Director ofJuvenile Services, as appropriate, so that immediate action can be taken. The Sheriffs Department, or Juvenile Services, as appropriate shall be • " , responsible for initiating any paperwork which may be needed to re-locate or transport the inmate for such treatment and for the transportation to an appropriate facility. • 4.02 Access to Files Once an inmate or Detainee has been referred to the Service Provider, the Service Provider will be allowed to have access to that inmate's or Detainee's personnel and medical file. Additionally, the Service Provider will have access to the medical screening documents used by JPO and LVN to access a Detainee's medical history and potential medical concerns, if such records are not part of a Detainee's personal or medical file. A written request for such access is not required to be filed with the Sheriffs Department or Juvenile Services, as appropriate. Under ordinary circumstances, presenting an inmate or Detainee for medical treatment will be evidence of the authority for access of such records by the Service Provider. i 4.03 Support While on-site, the Sheriffs Department or the JPO or LVN shall be responsible for providing the Service Provider with arty reasonable support, assistance or security that may be requested. I • 4.04 Patient Acceptance The Service Provider is under no obligation to accept for medical treatment an inmate that the Service Provider deems inappropriate for treatment, however, it is not anticipated that this would ever be likely in the course of this contract. ARTICLE V INSURANCE 5.01 Each party to this agreement is responsible for maintaining theirown liability insurance and worker's compensation insurance, and each party will provide proof of same to the other party • on request. The Service Provider shall maintain during the term of this contract a $1,000,000.00 malpractice insurance policy and a General Liability Policy of $1,000.000.00 naming Brazos County, Page 3 of 5 l 3 ~ X053' ~ . as an additional insured. Service Provider shall provide a Certificate of Insurance for both policies which shall provide for a fifteen (15) days advance notice to County of the cancellation of such policy. ARTICLE VI INDEMNITY 6.01 The Service Provider agrees to and shall indemnify and hold harmless and defend the County, its officers, agents, and employees from and against any and all claims, losses, damages, causes of action, suits, and liability of any kind, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person or any breach of contract arising out of or in connection with any work done by the Service Provider pursuant to this Agreement. ARTICLE VII INDEPENDENT CONTRACTOR 7.01 In all activities or services performed hereunder, the Service Provider is an independent contractor, and not an agent or employee of the County. The Service Provider, as an independent contractor, shall be responsible for all medical services provided and medical decisions made pursuant to the terms of this Contract. The Service Provider shall supply all materials, equipment and labor required for providing of medical services as required herein. The Service Provider shall have ultimate control over the execution of the work under this Agreement. County shall have no control over any decision, recommendation, or action taken by the Service Provider pursuant to this Contract. 7.02 The Service Provider shall retain personal control and shall give her personal attention to the faithful prosecution and completion ofthe services contracted for herein and fulfillment of this Agreement. i ARTICLE VIII LICENSING 8.01 The Service Provider is required to maintain all applicable licensing permits to practice medicine. Further, all permits to or certification necessary to operate the Provider's clinics shall be maintained. Copies of any applicable licenses are to be filed with Brazos County. ARTICLE IX DEFAULT 9.01 Events of Default The following occurrences shall be considered events of default: I a Failure to maintain license to practice medicine or any restrictions being placed upon such license by the State Board of Medicine making the providing of services hereunder impossible or difficult. Page 4 of S t • ~p.rrr b. Failure to maintain all permits and licenses necessary to keep Service Provider's clinics in operation. c. Cancellation of Service Provider's medical malpractice insurance. Upon an event of default, the County may terminate this Contract on three (3) days written notice mailed by certified mail return receipt requested to the address listed below. ARTICLE X GENERAL PROVISIONS •I 10.01 Venue The venue of this contract is Brazos County, Texas, and this contract shall be governed by and in accordance with the laws of the State of Texas. 10.02 Termination This contract may be terminated by either party upon thirty (30) days written notice. Such notice shall be mailed return receipt requested to the non-terminating party at the addresses listed below. 10.03 Term The term of this contract will be for twelve (12) months beginning October 1, 2001 and shall terminate on September 30, 2002. The parties are hereby given one (1) option to renew this contract for a period of one (1) year, to follow consecutively upon expiration of the term hereofand of any renewal period, upon the same terms and conditions contained herein. The only financial obligation on the county's part is one dedicated phone line to each machine. This cost will be approximately $100.00 per month for both machines. Attached is a contract that needs to be signed for First American Bank. Thank you for your assistance is this matter. 1 Brazos County Purchasing Department C~ J Automated Teller Machine (ATM) Location Agreement This Location Agreement (hereinafter referred to as the Lease) is made this July 25 2001,('ubaiw Date") by and between Brazos County (Lessor), a Texas, Corporation and ATM Ventures/First American Bank hereinafter known as ATMV/FAB. In consideration of the terms, covenant and conditions hereinafter set forth, Lessor hereby leases to ATMV/FAB certain floor space in Lessor's premises identified in Exhibit 1 of this Lease (each separate premises a Building), to have and hold the same unto ATMV/FAB during the term of this Lease in accordance with the following terms and provisions. ATMV/FAB may install ATMs in the locations identified in Exhibit l as soon as practical after the signing of this Lease. ATMV/FAB will operate and maintain the ATM during the term of this Lease. ATMV/FAB shall use and occupy each Building for the sole purpose of operating therein an automated teller machine ("ATM") ATMV/FAB shall install the ATM at its own expense. Lessor shall not have any other ATM device in any Building during the term of this Lease without written consent from ATMV/FAB. C7 Lessor shall make available to ATMV/FAB space within each Building in which ATMV/FAB operates ATM as is necessary to enable customers to have access to the ATM and for the maintenance and servicing of the ATM. For the term or the Lease, Lessor grants to ATMV/FAB and third party servicing agents' access to the ATMs and/or related property within its facilities during hours of operation. ATMV/FAB shall supply to Lessor, paper for transaction receipts at no charge. Lessor shall supply custodial service, including the cleaning of the exterior of the ATM. Lessor, at its expense, shall be responsible for: (1) electrical services for each ATM by providing a dedicated 110 volt line to each ATM, (2) a dedicated dial-up phone line for use by the ATM. Connections shall be within 3 ft. of ATM ATMV/FAB shall be responsible for the cost of calls made by the ATM to the processor should the calls be other than local calls. ATMV/FAB shall provide all cash and cash replenishment services. Lessor shall provide first line maintenance (paper misfeeds, and rebooting or resetting ATM as required). At no time shall Lessor have access to cash in the ATM. The ATM shall remain the property of ATMV/FAB. First American Bank shall at all time be the sole owner of all cash in the ATM. No other person or entity shall have any right, title, claim, or interest in such cash. First American Bank's ownership o1; and right to access or remove such cash, shall not be subject to any claim, set of , arbitration, or lien by Lessor or others under any circumstance. Lessor shall provide sufficient Building Security to protect the ATM. Except for the rent payments provided for herein, for the period during which the ATM is installed and operational, ATMV/FAB shall have no liability to Lessor of any nature whatsoever, including any special, incidental, exemplary or consequential liabilities. Lessor acknowledges that ATMV/FAB, its affiliates, representatives, agents, assigns, distributors and independent contractors have not made any representations or warranties in connection with the ATM or any projected revenues or expenses in connection with the operation of the ATM. ATMV/FAB agrees to pay Lessor rent during the term of this Lease as set forth in Exhibit 2. Lessor will permit ATMV/FAB, at ATMV/FAB's expense, to place signage on the interior and or exterior of each Building in which an ATM is operated which prominently advertises the ATM. Lessor will permit ATMV/FAB to place any advertising or signage it chooses on any ATM or that might be displayed by any ATM or on any customer receipts printed by the ATM. The term of this Lease shall commence on the date first above written and shall continue for five (5) years. This Lease shall automatically renew for an additional period of five (5) years upon expiration unless terminated by either party providing either party advises the other party of notice not to renew. Non-renewal notice must be served upon the other party ninety (90) days prior to the termination date of the original term or any renewal thereof ATMV/FAB may terminate this Lease during the original term or any renewal term for any reason and without any penalty or liability (other than accrued rent) by giving Lessor written notice at lease 30 days prior to such termination. ATMV/FAB may terminate this Lease immediately in the event less than 500 transactions have occurred per month in any two consecutive calendar months during any term of this Lease or in the event Lessor has failed to fulfill any of its obligations under the terms hereof. Upon expiration of this Agreement, Lessor grants to ATMV/FAB the first right of refusal to match any bona fide third party ATM placement or location agreement for ATM's covered under this Agreement. In the event that Lessor shall become insolvent, ATMV/FAB has the right to immediately remove ATM from the premises. Additionally, should Lessor file and or seek protection under any form of bankruptcy, this Lease may be terminated and Lessor agrees to an automatic Gft of stay so that, at the discretion of ATMV/FAB, the ATM and its contents can be immediately removed from Lessor's Location. This Agreement and the exhibits attached hereto constitute the entire Agreement between ATMV/FAB and Lessor with respect to the subject matter hereof and shall supercede all previous negotiations, commitments and writings. This Agreement may not be released, discharged, abandoned, changed or modified in any manner except by an instrument in writing signed by a duly authorized officer or representative of both ATMV/FAB and Lessor. The failure of either Party to enforce at any time any provision of this Agreement or to exercise any right herein provided shall not in any way be construed to be a waiver of such provision or right in connection with any subsequent breach or default, and shall not in any way affect the validity of this Agreement or any part hereof, or limit, prevent or impair the right of such Party subsequently to enforce such provision or exercise such right. Any notice required or permitted hereunder shall be in writing and may be given by personal service or by depositing same in the United States mail, first class postage prepaid, to the address of the Party receiving notice as it appears on the signature page of this Lease or as changed through written notice to the other party. This Agreement shall be construed in accordance with the laws of the State of Texas and venue for any causes of action pertaining to this Agreement shall be in Harris County Texas.
