COMMISSIONERS' COURT
REGULAR MEETING
SEPTEMBER 19, 2000
A regular meeting of the Commissioners' Court of Brazos
County, Texas was held in the Commissioners' Courtroom in the
Courthouse in Bryan, Brazos County, Texas, beginning at 9:00
a.m. on Tuesday, September 19, 2000, with the following
members of the Court present:
Alvin W. Jones, County Judge, Presiding;
Tony Jones, Commissioner of Precinct 1;
Wm.S. Thornton, Commissioner of Precinct 2;
Randy Sims, Commissioner of Precinct 3;
Carey Cauley, Jr., Commissioner of Precinct 4;
Mary Ann Ward, County Clerk.
The attached sheet contains the names of the citizens and
officials that were in attendance.
Commissioner Sims gave the invocation and led the pledge
of allegiance.
There was no citizen input and/or concerns.
The Court next considered Budget Amendment #99/00-42.1
through 42.5 which would reallocate funds for Commissioners
Court, Ag Extension Service, Narcotics Trafficking Task Force
and Grant Fund for STEP Grant and Sale to Intoxicated Persons
Grant and set up a budget for Sheriff's Department Grant.
Commissioner Sims moved to approve the budget amendments.
Commissioner Cauley seconded the motion. The County Judge
moved to amend the motion to include budget amendment 42.6
which would reallocate funds for Building Maintenance,
Sheriff's Office, and Juvenile Services; transfer funds from
Contingency to Sheriff's office, Constable Precinct 2,
Constable Precinct 4 and District Attorney. Commissioner
Thornton seconded the motion. The Court voted unanimously to
approve the budget amendment as submitted and amendment 42.6.

The Court proceeded to consider the change of status of
employees as submitted on the attached Personnel Action
Requests. On motion by Commissioner Sims, seconded by
Commissioner Cauley, the Court voted unanimously to approve
the changes as submitted.
The Court next considered the following Claims as
submitted by the County Treasurer for payment:

On motion by Commissioner Jones, seconded by Commissioner
Thornton, the Court voted unanimously to approve the Claims as
submitted.
On motion by Commissioner Cauley, seconded by
Commissioner Sims Court voted unanimously to adopt an Order
of Election to be held on November 7, 2000 for the purpose of
electing county and precinct offices as required by Article
XVI, Section 65 of the Texas Constitution.
The Court next considered adopting an Order of Election
to Abolish the offices of County Surveyor and County Public
Weigher. The next uniform election date is November 7, 2000.
On motion by Commissioner Thornton, seconded by Commissioner
Sims, the Court voted unanimously to adopt an Order of
Election to Abolish the offices of County Surveyor and County
Public Weigher. A copy of the Order is attached.
On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to appoint the following
persons as presiding judge and alternate judge for the current
voting year at the following voting precincts:

The next matter before the Court was approval of a
Contractual Agreement between Brazos County and Dr. Rany
Cherian M.D. for Jail and Juvenile Services Department
Physician. The only change to the contract will an increase
in service fees by $500 per month due to the increased number
of inmates as a result of the expansion of the Minimum
Security Jail. The term of the contract will be fiscal year
2001. On motion by Commissioner Jones, seconded by
Commissioner Cauley, the Court voted unanimously to enter into
contractual agreement with Dr. Rany Cherian. A copy of the
contractual agreement is attached hereto.
The Court next considered participating for the second
year in the Texas Highway Traffic Safety Program Grant
agreement for the "Sale to Intoxicated Persons Program"
conducted by the County Attorney's office and authorization
for the County Judge to execute Agreement documents. This is
at no cost to the County. On motion by Commissioner Jones,
seconded by Commissioner Thornton, the Court voted unanimously
to adopt a Resolution authorizing the application for the
grant.
The Court next considered a request by the Sheriff's
office to apply for a Local Law Enforcement Block Grant.

Brazos County is eligible for a portion of the grant funds
allocated to the City of Bryan and the City of College
Station. On motion by Commissioner Cauley, seconded by
Commissioner Jones, the Court voted unanimously to approve the
request by the Sheriff's Office to apply for a Local Law
Enforcement Block Grant.

The Court next considered approval of a Usage Agreement
with the Sovereign Grace Church of Wellborn, Texas for use as
a courtroom by the Justice of the Peace, Precinct 2. Cost the
Brazos County would be $25.00 per session. On motion by
Commissioner Jones, seconded by Commissioner Cauley, the Court
voted unanimously to approve the Usage Agreement. A copy is
attached.
The next matter for consideration was a Letter of
Engagement with Akin, Gump, Strauss, Hauer & Feld, L.L.P. for

seconded by Commissioner Thornton, the Court voted unanimously

to approve the Letter of Engagement with Akin, Gump, Strauss,
Hauer & Feld, L.L.P. A copy is attached.
The Court next considered adopting an Order calling for
[ a Bond Election; setting the time, place and manner for
holding the election; establishing polling places and

authorizing other matters in relation thereto. Demetrios

Basdekas, concerned citizen, stated that it appeared that the
cost had increased from $5 million to $18.5 million. He said fri
that this gives the impression that the employees did not get
appropriate 5% salaries so that the money could go for a
coliseum bond issue that will probably be defeated. On motion
by Commissioner Sims, seconded by Commissioners Jones,
Thornton and Cauley, the Court voted unanimously to adopt an
Order calling for a Bond Election.
The Court next considered entering into agreement with
Government Payment Services, Inc. to provide credit card
service to individuals to pay cash bonds, fines and fees using
a credit card. There will be no cost to Brazos County. On
motion by Commissioner Sims, seconded by Commissioner
Thornton, the Court voted unanimously to enter into agreement
with Government Payment Services, Inc. and authorized the

The Court next considered Tax resale deeds and
authorization for the County Judge to execute tax resale deeds
for the following:
a. Walter Martin and Tina Allen - 87 Feet by 100
Feet, being part of Block 4, Bryan's 2nd Addition,
City of Bryan, Brazos County, Texas. On motion by
Commissioner Sims, seconded by Commissioner Cauley,
the Court voted unanimously to authorize the County
Judge to execute a Tax Resale Deed to Walter Martin
and Tina Allen.
b. Geraldine Tates - Part of Lots 6 thru 8, Block
234, City of Bryan, Brazos County, Texas.
Commissioner Thornton questioned the fact that the
instrument did not have an exact amount of sale.
Commissioner Jones moved to table consideration.
Commissioner Cauley seconded the motion. After
some discussion Commissioners Jones and Cauley
withdrew their motion and second. Then on motion
by Commissioner Sims, seconded by Commissioner
Cauley the Court voted unanimously to authorize the
County Judge to execute a Tax Resale Deed to
Geraldine Tates.
The Court next considered entering into Agreement with
the Brazos County Emergency Communications District for
emergency communications services dispatching. Cost to Brazos
County will be $230,747.00. The term of the agreement is for
the period of October 1, 2000 through and including September
30, 2001. On motion by Commissioner Cauley, seconded by
Commissioner Sims, the Court voted unanimously to enter into
agreement with the Brazos County Emergency Communications
District and authorized the County Judge to execute the
Agreement on behalf of Brazos County. A copy of the Agreement
is attached.
On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to adopt a resolution
approving the budget of the Brazos County Emergency
Communications District and providing an effective date of
October 1, 2000.

The Court next considered authorizing the Auditor's
office to process recurring payment requests for the

on motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to authorize the Auditor's
office to process all the previously noted recurring payments.
The Court next considered acceptance of a Warranty Deed
for right-of-way on Straub Road in Precinct 1. On motion by
Commissioner Jones, seconded by Commissioner Thornton, the
Court voted unanimously to authorize the County Judge to
accept on behalf of Brazos County a Warranty Deed from James
T. Willingham for the expansion and improvements to Straub
Road.
The Court next considered acceptance of a Warranty Deed
for right-of-way on Straub Road in Precinct 1.

On motion by Commissioner Jones, seconded by Commissioner
Thornton, the Court voted unanimously to authorize the County
Judge to accept on behalf of Brazos County a Warranty Deed
from Gary A. Shell and wife Claire Shell for the expansion and
improvements to Straub Road.
The Court next considered approval of the Amending Plat
of Deer Park Subdivision in Precinct 1. Richard Vance, County
Engineer, stated that he had reviewed the plat and offered the
following comments:
1) Along north lot line of Lot 17, add "AND
DRAINAGE EASEMENT" notation to 10 ft Public Utility
Easement on amending plat.
2) Along existing Deer Park Drive, show existing
right of way to be 55 ft. and move north right-of-
way line to current location to reflect the
additional 15 ft right-of-way dedication per the
recorded plat of Nantucket Cove Subdivision.
On motion by Commissioner Jones, seconded by Commissioner
Thornton, the Court voted unanimously to approve the amending
plat of Deer Park Subdivision subject to the developer
complying with the exceptions noted by the County Engineer.
The Court next considered approval of a maintenance
agreement renewal with IKON Office Solutions for County Canon
copiers. On motion by Commissioner Sims, seconded by
Commissioner Cauley, the Court voted unanimously to approve
the maintenance agreement renewal and the payment of
$23,364.00.
The next matter before the Court was the approval of a
requisition for a color printer for the Metropolitan Planning
organization. On motion by Commissioner Sims, seconded by
Commissioner Cauley, the Court voted unanimously to approve
the requisition in the amount of $4,212.44.

The Court next considered approval of a requisition from
the Certificate of Obligation Funds for the following
purchase:
a) Self-Contained breathing apparatus for
the Minimum Security Jail, $1,707.00.
On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to approve the requisition
to be paid from Certificate of Obligation Funds.
The next matter for consideration was approval for the
Purchasing Agent to advertise RFP 2001-013, Construction of a
Retention Pond for the Brazos County Detention Center. On
motion by Commissioner Sims, seconded by Commissioner Cauley,
the Court voted unanimously to authorize the Purchasing Agent
to advertise for RFP's for the Construction of a Retention
Pond.
The Court next considered awarding the following RFQ's:
1. Armored Car Service Agreement for 2000-2001
Kay Wettemann, Senior Buyer, recommended
acceptance of the RFQ submitted by Triple
D Security. A copy of the bid tabulation
is attached
2. Rental Car Service Agreement for County
Kay Wettemann, Senior Buyer, recommended
acceptance of -the RFQ submitted by
Advantage. A copy of the bid tabulation
is attached.
On motion by Commissioner Jones, seconded by Commissioner
Cauley, the Court voted unanimously to accept the
recommendations of the Senior Buyer and award the contracts to

various purchases. On motion by Commissioner Sims, seconded
• by Commissioner Cauley, the Court voted unanimously to approve
the Exemptions of Competitive Bidding Requirements and
authorized the payment for said costs for fiscal year 2000-
2001. The list of vendors is attached.

The Court next considered contracts with Texas Voting
Systems for the following:
a. For services for the Special Election to elect
a Mayor, Aldermen and Town Marshal for the Town of
Kurten. Cost to Brazos County will be Two Thousand
Twenty Two Dollars and No Cents ($2,022.00).
b. For services for the Brazos County General
Election, Special Bond Election, Special Election
for Abolishing the Office County Surveyor and
County Public Weigher to be held November 7, 2000.
Cost to Brazos County will be Twenty Eight Thousand
Seven Hundred Eighty Dollars and No Cents
($28,780.00).
On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to approve the contracts
with Texas Voting Systems and authorized the County Judge to
execute them on behalf of Brazos County.
The Court acknowledged receipt of the Extension Service
reports for August 2000 and acknowledged receipt of reports
from the following County and Precinct Offices showing
revenues collected and remitted to the County Treasurer:

the Commissioners' Court, the following members were present:

THAT WHEREAS, on September 22, 2000 the Court heard and
approved a budget amendment for the 1999-2000 budget year for
Brazos County, Texas.
WHEREAS, an expenditure is necessary due to the necessity to
meet unusual and unforeseen conditions which could not be
reasonably included in the original budget adopted September 9,
1999 the following amendment(s) to the original are hereby
authorized, as described on the attached page(s).

TO ABOLISH OFFICES OF COUNTY SURVEYOR
AND COUNTY PUBLIC WEIGHER
WHEREAS the elected position of County Surveyor has been vacant for over ten (10) years;
and

WHEREAS Section 44 (h) of the Texas Constitution authorizes the Commissioners Court to
adopt an Order calling an election to abolish the office of elected County Surveyor; and
WHEREAS the elected position of County Public Weigher has been vacant for over (20) years;
and
WHEREAS Section 13.2535 (a) of the Agriculture Code authorizes the Commissioners Court to
adopt an Order For Local Option Election to abolish the office of elected County Public Weigher; and
WHEREAS it is the desire of the Brazos County Commissioners Court to abolish the elected
positions of County Surveyor and County Public Weigher; and
WHEREAS the next uniform election date is November 7, 2000; and
WHEREAS the Brazos County Commissioners Court finds that a Special Election should be
held for the purpose of abolishing the elected positions of County Surveyor and County Public Weigher.
NOW THEREFORE IT IS ACCORDINGLY ORDERED THAT on November 7, 2000, such
date being not less that forty-five (45) days from the date hereof, a Special Election be held at all Brazos
County polling places and early voting locations for the purpose of enabling the voters within the county
to determine whether they wish to abolish the elected positions of County Surveyor and County Public
Weigher.
IT IS FURTHER ORDERED THAT the ballot shall be printed to provide for voting for or
against the proposition: "Abolishing the office of County Surveyor of this county".
IT IS FURTHER ORDERED THAT the ballot shall be printed to provide for voting for or
against the proposition: "Abolishing the office of elected County Public Weigher".
IT IS FURTHER ORDERED THAT Mary Ann Ward, County Clerk of Brazos County, Texas
act as the Early Voting Clerk for this Special Election and that early voting by personal appearance be
conducted beginning on October 23, 2000 and continuing through November 3, 2000 at all early voting
locations.
IT IS FURTHER ORDERED THAT in person voting on November 7, 2000 be conducted at
all Brazos County polling places between the hours of 7:00am and 7:00pm.
IT IS FURTHER ORDERED THAT a public notice of such special election be published no
later than ten (10) days prior to the date of the election in accordance with Section 4.003 Texas Election
Code and that such election be held and conducted and the returns thereof made in accordance with state
laws regulating special elections insofar as the same are applicable.

WHEREAS the elected position of County Surveyor has been vacant for over ten (10) years;

WHEREAS Section 44 (h) of the Texas Constitution authorizes the Commissioners Court to
adopt an Order calling an election to abolish the office of elected County Surveyor; and
WHEREAS the elected position of County Public Weigher has been vacant for over (20) years;
and
WHEREAS Section 13.2535 (a) of the Agriculture Code authorizes the Commissioners Court to
adopt an Order For Local Option Election to abolish the office of elected County Public Weigher; and
WHEREAS it is the desire of the Brazos County Commissioners Court to abolish the elected
positions of County Surveyor and County Public Weigher; and
WHEREAS the next uniform electron date is November 7, 2000; and
WHEREAS the Brazos County Commissioners Court finds that a Special Election should be
held for the purpose of abolishing the elected positions of County Surveyor and County Public Weigher.
NOW THEREFORE IT IS ACCORDINGLY ORDERED THAT on November 7.2000, such
,date being not less that forty-five (45) days from the date hereof, a Special Election be held at all Brazos
County polling places and early voting locations for the purpose of enabling the voters within the county
to determine whether they wish to abolish the elected positions of County Surveyor and County Public
Weigher.
IT IS FURTHER ORDERED THAT the ballot shall be printed to provide for voting for or
against the proposition: "Abolishing the office of County Surveyor of this county".
IT IS FURTHER ORDERED THAT the ballot shall be printed to provide for voting for or
against the proposition: "Abolishing the office of elected County Public Weigher".
IT IS FURTHER ORDERED THAT Mary Ann Ward, County Clerk of Brazos County, Texas
act as the Early Voting Clerk for this Special Election and that early voting by personal appearance be
conducted beginning on October 23, 2000 and continuing through November 3, 2000 at all early voting
locations.
IT IS FURTHER ORDERED THAT in person voting on November 7, 2000 be conducted at
all Brazos County polling places between the hours of 7:00am and 7:00pm.
IT IS FURTHER ORDERED THAT a public notice of such special election be published no
later than ten (10) days prior to the date of the election in accordance with Section 4.003 Texas Election
i Code and that such election be held and conducted and the returns thereof made in accordance with state

CONTRACT FOR MEDICAL SERVICES
Brazos County, a political subdivision of the State of Texas, (herein the "County") and Dr. Rany
i Cherian, M.D., a Licensed Medical practitioner in the State of Texas, practicing in Brazos County,
Texas, (hereinafter the "Service Provider"), by this agreement and in consideration of mutual
promises set forth below have agreed as follows:
ARTICLE I
JAIL SERVICES

1.01 Scope of Services The Service Provider will, upon referral from the Sheriffs
Department (hereinafter referred to as "Jail") treat inmates located in the Brazos County Jail facilities
operated by the Sheriffs Department. Treatment may occur both within and without the physical
confines of the Jail facilities. Treatment shall include, but not be limited to, on-site emergency
treatment. The Service Provider agrees to adopt and implement workplace guidance concerning
persons with AIDS and HIV infection and to develop and implement guidelines regarding
confidentiality of AIDS and HIV related medical information with regards to inmates being treated
for any complaint.
1.02 Reporting Responsibilities The Service Provider, once treatment has been provided,
will also be responsible for indicating any necessary therapy, additional follow-up medical treatment
or additional medical referral needed to a medical specialist to cover any inmate problem the Service
Provider believes would require such therapy or referral. The Service Provider will be responsible
for communicating therapy or referral needs to the Brazos County Jail Administrator, or the
designated agent. The Service Provider will document all treatment, need for follow-up treatment,
any diagnostic tests needed, therapy suggestions and referral needs in note form and file the same in
the inmate's medical file.
1.03 Additional Services Services to be provided pursuant to this Contract, but at an
additional fee as set forth in Article III herein, include diagnostic testing, whether routine or
otherwise, extended long-term medical treatment programs requiring more than a few treatments for
a given malady, treatment outside the Jail for medical services provided at clinics operated by the
Service Provider.
ARTICLE II
JUVENILE SERVICES
2.01 Scope of Services The Service Provider upon referral from the Brazos County
Juvenile Services (hereinafter referred to as "Juvenile Services") shall treat juvenile inmates,
(hereinafter referred to as "Detainees"), that are located in the Brazos County Juvenile Detention
Center (hereinafter referred to as "Detention"). Services are to include consultation with detention
licensed vocational nurse (herein after referred to as "LVN") and juvenile probation officers (herein
after referred to as "JPO") on duty in Detention. Consultation may be by phone or on site.
Consultation is to be diagnostic in nature to determine possible medical malady and appropriate
medical course ofaction. Also, the Service Provider will provide physical examinations, as requested,

to be conducted at the Juvenile Detention Center, for children being placed in the Juvenile Boot Camp
or contract placement facilities.
t 2.02 Procedure JPO and LVN will routinely on a daily basis handle medical sick call in
Detention except when it is beyond their expertise. When medical concerns of Detainees is beyond
the ability of LVN, phone consultation with Service Provider will be initiated. If phone consultation
is inadequate in both, the JPO in charge and LVN's opinion, on site medical consultation will be
requested of Service Provider.
E 2.03 Additional Services Services to be provided pursuant to this Contract, but at an
additional fee as set forth in Article III herein, include diagnostic testing, extended long term medical
treatment programs requiring more than minor intervention, testing at the Service Provider's clinics,
x-rays, physical examinations in excess of the fifty annual exams as provided in section 2.01 above,
lab work or emergency medical treatment in an emergency room.
` 2.04 Reporting Responsibilities Phone consultation will be documented by JPO/LVN in
Detainees' medical file. On site consultation will require Service Provider to provide case notes in
i Detainees' medical file. The Service Provider will inform JPO or LVN during consultation of the
need for testing, x-rays, lab work or emergency treatment. The Service Provider will communicate
in writing with Juvenile Services, the Detainee's need for follow-up treatment or referral to a medical
specialist or relocation for medical treatment, which communication shall be made part of the

Detainee's medical file.
ARTICLE III
it FEES
3.01 Professional Fees For the services outlined in Paragraph 1.01, the County will pay
the Service Provider Three Thousand Dollars ($3,000.00), each month services are provided,
consisting of an arbitrary apportionment of $2500 representing ordinary care and $500 representing
additional detailed care and record maintenance. For the services outline in paragraph 2.01, the
County will pay the Provider an additional $500.00 for each month services are provided. An annual
f fee of Two Thousand and No/100 Dollars ($2,000.00), shall be paid to the Service Provider for
administration services. Additionally, an annual payment ofOne Thousand Five Hundred and No/100
Dollars (1,500.00) shall be paid to provider for addition Liability insurance which names Brazos
County as addition insured. The administrative fee of Two Thousand and No/100 Dollars
' ($2,000.00) and the additional insurance fee of One Thousand Five Hundred and No/100 Dollars
F ($1,500.00) shall be paid on December 15' of the contract year. This Contract shall be from October
C 1, 2000 through September 30, 2001. Charges for any outside-the-Jail or outside-of-Detention
f treatment of inmates or Detainees, as appropriate, at any clinic operated by the Service Provider, or
a physician's certificate related to a mental health commitment, or treatment of an inmate or Detainee
at a hospital emergency room or for any unusual diagnostic charge, laboratory charge or physical
'exams of Detainees, or extended treatment program made under this contract will be either billed by
the Service Provider as provided below, or by the independent laboratory or facility that provides
such service.

3.02 Billing The Service Provider will submit an invoice monthly, within 15 days ofthe end
of each contract month. The Service Provider will bill the County using her standard Invoice for
Services for the monthly flat rate fee. For services not covered by the Service Provider's flat fee, the
Service Provider will invoice the County using her standard Invoice for Services, showing Date of
Service, Inmate Number, Test or Service Performed with itemized costs for each, and Extended
Total, at her standard prevailing prices, which shall also be stated on the bill. The County shall pay
for services monthly. The Service Provider will not be responsible for invoicing nor handling any but
the related paperwork needed for the orders for such independent laboratory or diagnostic tests as
part of this agreement.
ARTICLE IV
ADMINISTRATION OF CONTRACT
4.01 Transportation If the Service Provider has assessed that an inmate or Detainee needs
to be relocated from the Jail or Detention for medical service of any kind or for any reason, this
assessment will be relayed at the earliest possible time to the SherilT Jail Administrator or his agent,
or the Superintended of Detention or Director ofJuvenile Services, as appropriate, so that immediate
action can be taken. The Sheriff's Department, or Juvenile Services, as appropriate, shall be
responsible for initiating any paperwork which may be needed to re-locate or transport the inmate for
such treatment and for the transportation to an appropriate facility.
4.02 Access to Files Once an inmate or Detainee has been referred to the Service Provider,
the Service Provider will be allowed to have access to that inmate's or Detainee's personnel and
medical file. Additionally, the Service Provider will have access to the medical screening documents
used by JPO and LVN to access a Detainee's medical history and potential medical concerns, if such
records are not part of a Detainee's personal or medical file. A written request for such access is not
required to be filed with the Sheriffs Department or Juvenile Services, as appropriate. Under
ordinary circumstances, presenting an inmate or Detainee for medical treatment will be evidence of
the authority for access of such records by the Service Provider.
4.03 Support While on-site, the Sheriffs Department or the JPO or LVN shall be
responsible for providing the Service Provider with any reasonable support, assistance or security that
may be requested.
4.04 Patient Acceptance The Service Provider is under no obligation to accept for medical
treatment an innate that the Service Provider deems inappropriate for treatment, however, it is not
' anticipated that this would ever be likely in the course of this contract.
ARTICLE V
INSURANCE
5.01 Each party to this agreement is responsible for maintaining their own liability insurance
and worker's compensation insurance, and each party will provide proof of same to the other party
on request. The Service Provider shall maintain during the term of this contract a $1,000,000.00
malpractice insurance policy and a General Liability Policy of $1,000.000.00 naming Brazos County,

as an additional insured. Service Provider shall provide a Certificate of Insurance for both policies
which shall provide for a fifteen (15) days advance notice to County of the cancellation of such
policy.

ARTICLE VI
INDEMNITY
6.01 The Service Provider agrees to and shall indemnify and hold harmless and defend the
County, its officers, agents, and employees from and against any and all claims, losses, damages,
causes of action, suits, and liability of any kind, including all expenses of litigation, court costs, and
attorney's fees, for injury to or death of any person or any breach of contract arising out of or in
connection with any work done by the Service Provider pursuant to this Agreement.
ARTICLE VII
INDEPENDENT CONTRACTOR
7.01 In all activities or services performed hereunder, the Service Provider is an
independent contractor, and not an agent or employee of the County. The Service Provider, as an
independent contractor, shall be responsible for all medical services provided and medical decisions
made pursuant to the terms of this Contract. The Service Provider shall supply all materials, .
equipment and labor required for providing of medical services as required herein The Service
Provider shall have ultimate control over the execution of the work under this Agreement. County
shall have no control over any decision, recommendation, or action taken by the Service Provider
pursuant to this Contract.
7.02 The Service Provider shall retain personal control and shall give her personal attention
to the faithful prosecution and completion of the services contracted for herein and fulfillment of this
Agreement.
ARTICLE VIII
LICENSING

8.01 The Service Provider is required to maintain all applicable licensing permits to practice
medicine. Further, all permits to or certification necessary to operate the Provider's clinics shall be
maintained. Copies of any applicable licenses are to be filed with Brazos County.
ARTICLE IX
DEFAULT
9.01 Events of Default The following occurrences shall be considered events of
default:
a. Failure to maintain license to practice medicine or any restrictions being placed
upon such license by the State Board of Medicine making the providing of services
hereunder impossible or difficult.

c. Cancellation of Service Provider's medical malpractice insurance.
Upon an event of default, the County may terminate this Contract on three (3) days written
notice mailed by certified mail return receipt requested to the address listed below.
ARTICLE X
GENERAL PROVISIONS
10.01 Venue The venue of this contract is Brazos County, Texas, and this contract shall be
governed by and in accordance with the laws of the State of Texas.
10.02 Termination This contract may be terminated by either party upon thirty (30) days
written notice. Such notice shall be mailed return receipt requested to the non-terminating party at
the addresses listed below.
10.03 Term The term of this contract will be for twelve (12) months beginning October 1,
2000 and shall terminate on September 30, 2001. The parties are hereby given two (2) options to
renew this contract for a period of one (1) year in each instance, to follow consecutively upon
expiration of the term hereof and of any renewal period, upon the same terms and conditions
contained herein Any changes in the terms or conditions will necessitate the initiation of a new
contract.

WHEREAS, the Department of Transportation is seeking to make the roads of the State of Texas
safer, by reducing drunk driving crashes; and
WHEREAS, The State of Texas will receive federal grant funding for the Texas Department of
Transportation toward this purpose; and
WHEREAS, The State of Texas has designated the Texas Department of Transportation to
administer the grants to state and local agencies of government; and
WHEREAS, Brazos County has a continuing need for aid to local law enforcement in reducing
alcohol related crashes;
NOW THEREFORE, BE IT RESOLVED BY THE COMMISSIONERS COURT OF BRAZOS
COUNTY at its meeting on the 9'4- day of ~EPr~.nBER 2000 that.
1. The County Judge of Brazos County, acting on behalf of the Brazos County be

the Justice of the Peace, Precinct 2, as a courtroom based upon the following stipulations:
1. Usage Fees: $25.00 per session.
2. This court agrees to return the arrangement of the room to its original condition
upon completion of any trials or hearings held in the sanctuary.
3. It is further agreed that should the utility bills for the Sovereign Grace Church
increase by an amount greater than the usage fee after the above indicated date,
that the usage fee would be revisited after a review of the before and after utility
charges.

This letter sets forth our proposal to act as Bond Counsel for Brazos County. Texas (the
"County").
Bond Counsel Services. We propose to perform all usual and necessary legal services as Bond
Counsel. Specifically, we will prepare and perform legal proceedings and perform other necessary legal
services with reference to the authorization, sale, and delivery of bonds (including tax or revenue
supported), bonds, contractual obligations, or other forms evidencing indebtedness, including the
following:
1. Prepare documents calling any election, giving notice thereof, and canvassing the results.
2. Prepare all resolutions, orders, and other instruments pursuant to which bonds will be
authorized, sold, and delivered in consultation with the governing body and other representatives of the
County, the Financial Advisor. and any other person as directed by the County.
3. Prepare any agreements authorizing or securing the bonds, including any trust indentures if
necessary.
4. Attend meetings of the governing body of the County to the extent required or requested with
reference to the issuance of the bonds.
5. Attend meetings with prospective purchasers and meetings with rating agencies to the extent
required or requested.
6. Assist in obtaining loans, credit enhancement, or other related services from federal or state
agencies or private institutions.

7. Cooperate with the County and its consultants in the preparation of official statements or other
securities laws disclosure documents, including review of the information therein describing the bonds,
the security therefor, and the federal income tax status thereof.
8. Obtain approval of the bonds and the project to be financed from the Attorney General of the
State of Texas and registration of the bonds by the Comptroller of Public Accounts of the State of Texas,
to the extent required by law.
9. Supervise the execution of the bonds and delivery thereof to the original purchasers.
10. When so delivered, render our opinion covering the validity of the bonds and the tax exempt
status of the interest thereon under federal income tax laws.
11. Follow-up advice concerning various subjects such as the application of bond proceeds, new
developments in the law concerning bond issues, and changes in industry practices.
Compensation. Specifically, our fee in connection with the issuance of the bonds would be $1.25
per $1,000 in principal amount of bonds issued.
The above fee does not include any special services or significant projects outside the scope of
traditional legal services performed by Bond Counsel, such as litigation. If specifically requested in
M writing by a duly authorized representative of the County, and approved by the Commissioners Court to
so act, we are willing to act as special counsel to the County within our fields of experience and to
` provide legal services not normally included in the legal services performed by Bond Counsel. Our fees
for such services would be on a time charge basis.
The fee for additional series of bonds, "advance refunding bonds", unusually large issues, or
issues containing unusual security provisions will be negotiated between representatives of the County
s and the undersigned at the inception of the issue.
Our fees as Bond Counsel will be payable at the time of the delivery of, and payment for, bonds.
} We will ask for reimbursement of our actual expenses and disbursements reasonably and
5 necessarily incurred in connection with the performance of our duties hereunder, including the Attorney
General examination fee, estimated to be $2,000. We will not bill for any significant or unusual expense
unless an authorized representative of the County has previously authorized such expense.
Our compensation or reimbursement under this agreement shall be due and payable only out of
the proceeds of the sale of bonds or other funds of the County available for such payment; there shall not
be individual liability on any member of the Commissioners Court, or other official of the County, for the
payment of any amounts due hereunder. Our agreement may be terminated either by you or by us at any
time, in which event, of course, we expect to be paid any compensation earned and expenses incurred to
a the date of such termination.
You are advised that we represent other counties and public entities as Bond Counsel and that we
represent other participants in the public finance industry (e.g., underwriters, credit enhancers, and
trustees) in transactions not involving the County. By acceptance of this agreement, the County agrees

COURT, FOR THE PURPOSE OF PURCHASING OR CONSTRUCTING A BUILDING OR

Section 2. The official ballots for said election shall be prepared in accordance with the Texas Election
Code, so as to permit the electors to vote "For" or "Against" the aforesaid proposition, which shall be set forth
substantially as follows:
PROPOSITION 1
THE ISSUANCE OF 518,500,000 COLISEUM BONDS.
Section . Voting shall take place on election day between the hours of 7:00 A.M and 7:00 P.M. at the
regular voting precincts and at the polling places, as set forth in Exhibit "A" attached hereto and made a part hereof
as if copied in full.
Section 4. The Commissioners Court shall appoint a Presiding Judge for each precinct who shall appoint
not less than two qualified election clerks to serve and assist in conducting said election; provided, however, that if
the Presiding Judge actually serves as expected, the Alternate Presiding Judge shall be one of such clerks.
Section 5. Early voting shall be conducted by personal appearance and by mail or other lawful means.
There shall be five early voting places, to-wit: Brazos County Courthouse at 300 E. 26th Street, Bryan, Texas;
Memorial Student Center, Texas A&M Campus, Rooms 145 and 147, College Station, Texas; College Station
Independent School District Administration Building, 1812 Welch Street, College Station, Texas; Galilee Baptist
Church, 804 N. Logan Street, Bryan, Texas; and Brazos County Arena Hall, East Bypass and Tabor Road, Bryan,
Texas. The early voting clerks shall be appointed and designated by the Brazos County Cleric. The hours

designated for early voting by personal appearance shall be on Monday, October 23, 2000 through Friday, October
27, 2000, 8:00 am. to 5:00 p.m.; Saturday, October 28, 2000, 8:00 am. to 8:00 p.m.; Sunday. October 29, 2000,
10:00 am. to 3:00 p.m.; and Monday October 30, 2000 through Friday, November 3, 2000, 8:00 am. to 8:00 p.m.
The early voting clerk for said election shall be Mary Ann Ward, Brazos County Clerk. Early voting by mail shall
be to Brazos County Courthouse, Attn: Mary Ann Ward, 300 East 26th, Bryan, TX 77803.
Section 6. An early ballot board is hereby created to process early voting results. Barbara Petty is hereby
appointed the presiding judge and she shall appoint an alternate and clerks to assist her.
Section 7. The Brazos Center, Bryan, Texas, 3232 Briarcrest Drive, Bryan, Texas is hereby established as
the Central Counting Station to receive ballots for said election, the ballots to be tabulated and returned to the Office
of the County Clerk.
Section 8. All resident, qualified electors of the County shall be entitled to vote at said election.
Section 9. In all respects said election shall be conducted in accordance with the Texas Election Code.
Section 10. Notice of said election shall be given by posting a notice containing a substantial copy of this
Order at the County Courthouse and at least three other public places in the County not less than 21 days prior to the
date upon which said election is to be held, and by publication of said notice in the Bryan-College Station Eagle, a
newspaper of general circulation published in the County, on the same day in each of two successive weeks, the date
of the first publication to be not later than October 24, 2000, which date is not less than 14 days prior to the date set
for election. A substantial copy of this Order shall serve as proper notice of the election. Additionally, this notice
shall be posted on the bulletin board used for posting notices of County meetings not later than 21 days prior to
election day.
Section 11. If for any reason any section, paragraph, subdivision, clause, phrase, word, or provision of this
Order shall be held invalid or unconstitutional by final judgment of a court of competent jurisdiction it shall not
affect any other section, paragraph, subdivision, clause, phrase, word, or provision of this Order, for it is the definite
intent of the Commissioners Court that every section, paragraph, subdivision, clause, phrase, word, or provision
hereof be given full force and effect for its purpose.

THIS AGREEMENT is made by and between the BRAZOS COUNTY, TEXAS (Hereinafter THE AGENCY) and
GOVERNMENT PAYMENT SERVICE, INC. (Hereinafter GPS) Wherein CPS and THE AGENCY agree as
follows:
I. SYSTEM DESCRIPTIONS. CPS has developed an e-commerce service for the purpose of collecting funds
including Cash Bail, Fines and other Fees for THE AGENCY. CPS is a cash facilitator and not a bail bond
company. The GPS System will provide the service from a remote location 24 hours per day/seven days per
week. The person wanting to pay a Cash Bail, Fines, or other Fees to THE AGENCY by credit card may do
so by calling the GPS office for instructions or by accessing the GPS web site, www.GPSEZPAY.com.
CPS will charge the cardholder a convenience fee for the service as outlined in Attachment "A" and/or "B".
CPS agrees to provide the service described herein, pay all operations costs, pay the necessary telephone
service costs and all training costs in accordance with the terns and conditions of this Agreement.
'2. AUTHORIZATION TO BEGIN. THE AGENCY grants GPS authorization to begin a remote pay service,
as outlined in this agreement for a minimum period of one (1) year. This agreement will be automatically
extended for additional one (1) year periods for up to rive (S) years. THE AGENCY further agrees to inform
anyone wishing to pay Cash Bail, Fines, or other Fees by credit card, of the CPS telephone number and/or
worldwide web (www) address. THE AGENCY shall have the right to contract with other providers to
furnish similar services as those described herein. If other providers contract with THE AGENCY, THE
AGENCY shall express no preference as to the provider to be used but shall make available to any person
seeking such services information on all providers. CPS shall be permitted to place reasonable signage
approved by THE AGENCY at the Brazos County Sheriffs Office.
3. REPRESENTATION OF THE PARTIES. CPS represents that it is qualified by training and experience
to perform the services as outlined in this agreement.
4. COMPENSATION FOR CPS. GPS shall not be entitled to any compensation with respect to the service
other than that set forth in Attachments "A" and/or "B" which is paid by the cardholder processing the
payment and not THE AGENCY. It is hereby agreed and understood that there are no costs to THE
AGENCY.
5. STATE AND FEDERAL TAXES. THE AGENCY shall not be responsible for paying any state or federal
taxes on CPS's behalf.
6. INDEPENDENT CONTRACTOR. CPS shall perform all the services under this Agreement as an
independent contractor and not as an employee of THE AGENCY. CPS understands and acknowledges that
it shall not be entitled to any of the benefits of an AGENCY employee. THE AGENCY has the right to rely
and does rely upon the expertise of GPS to perform the services in a skillful and professional manner. CPS
agrees to perform the services in such a manner.
7. THE AGENCY. This Agreement shall not be construed as creating a principal agency relationship between
GPS and THE AGENCY and such relationship is hereby expressly disclaimed.
8. RESPONSIBILITIES OF THE AGENCY. THE AGENCY shall provide a fax number and the equipment
to receive transaction documents. THE AGENCY will follow the CPS procedures for all transactions,
which are attached hereto as Attachment "C" and made a part hereof for all purposes.
9. CONFIDENTIALITY AND NONDISCLOSURE. CPS agrees that any information or data obtained,
documents produced, or any other material which is required by law or regulation, will be kept confidential
and shall not be disclosed without the prior written approval of THE AGENCY or as required by law or
regulation.

10. INDEMNIFICATION. CPS shall defend, indemnify, and save harmless THE AGENCY, its agents,
officers, and employees from any and all claims, demands, damages, costs, chargebacks, fees, expenses
(including attorneys fees), judgments or liabilities arising out of this Agreement or occasioned by the
performance or attempted performance of the provisions hereof, including, but not limited to, any act or
omission to act on the pan of CPS or its agents, officers, employees, and/or contractors, except those claims,
demands, damages, costs, expenses (including attorneys' fees), judgments or liabilities resulting from the
negligence or willful misconduct of THE AGENCY.
11. NOTICES. Any notice or consent required or permitted to be given under this Agreement shall be given
to the respective parties in writing, by first class mail or otherwise delivered to:

12. TERMINATION. THE AGENCY may terminate this Agreement at any time if THE AGENCY
determines that CPS is unable or unwilling to provide the services described in this Agreement or CPS fails
to promptly correct any problems with the remote pay program after notice from THE AGENCY. THE
AGENCY may also terminate this Agreement without cause if THE AGENCY discontinues this type of
program
13. TEXAS LAW. This Agreement shall be governed by the laws of the State of Texas. Any litigation
regarding this Agreement or its content shall be filed in Brazos County, Texas, if in State Court, or in the
appropriate District, if in Federal Court.

After our operator concludes the transaction, the Transaction Document will be
faxed to the jail immediately. This will notify you that payment has been made.
NOTE: After you receive the Transaction Document from us, positively identify the Card Owner
by requiring a government issued photo I.D. and the credit card used. After the photo,
name and credit card are matched to the transaction document, allow the Card Owner '
to read, fill in and sign the bottom of the Transaction Document. The officer must then
sign the Transaction Document as a witness. To complete this transaction, the officer
must fax the Signed Transaction Document to our Operations Center at: 888.590.7888

Financial Department will fax your agency a Reconciliation Report with a list of

This will authorize the payment from GPS to your agency. The agreed amount due

THIS AGREEMENT is entered into this 16th day of August, 2000 A.D., by and between
BRAZOS COUNTY, Texas (County) and the Brazos County Emergency Communications
District (District) pursuant to the authority of the Texas Interlocal Government Cooperation Act,
Article 4413(32c), V.T.C.S.
WHEREAS, pursuant to Texas Emergency Telephone Number Act, Section 722.301 et
seq., Texas Health and Safety Code, the District has been formed and is a political subdivision of
the State of Texas; and,
V.
WHEREAS, Brazos County is also a political subdivision of the State of Texas
authorized to enter into interlocal cooperative governmental agreements; and,

WHEREAS, the Brazos County Commissioners in public meeting find that it is mutually
beneficial for the County and the District to enter into an agreement for the District to perform

The District shall be responsible for providing a functioning computer aided dispatch
system to the County.
The County agrees to pay and the District agrees to accept as compensation for the scrvices
provided a flat fee of two hundred thirty thousand seven hundred forty seven and
NO/100 DOLLARS ($230.747.00). payable in twelve monthly installments. The County shall
pay the full amount due within ten days of invoice from the District. All payments shall be
subject to the Texas Prompt Payment Act. Should there arise any dispute, disputed amounts
` shall be deposited in a mutually agreed upon escrow account until a resolution.
' At no time shall the County's portion of the District's reserve fund exceed a three (3)
month operating reserve. The District shall report this reserve balance each year as a part of the
budget approval process.
District employees shall not be considered as County employees.
The County and the District understand and agree to be subject to all the laws, ordinances
and regulations which govern and affect Emergency Communications Dispatching and National
Crime Information Computer network telecommunications as promulgated by the State of Texas

or the United States Government or any of its appropriate Agencies, such as the Texas

i Department of Public Safety or the Federal Bureau of Investigation.

Act, Section 772.301 et seq., Texas Health and Safety Code.

Each of the parties to this agreement agrees to hold the other harmless for any and all

Each party hereby empowers and authorizes its Chief Administrative Officer to be
signatory agents for any required documentation to implement the intent of this Agreement.
This agreement contains all of the commitments and covenants of the parties and any oral
or written promises not contained herein shall have no force or effect to alter any term or
condition of this agreement.
This agreement may only be modified or amended in writing by the mutual consent of the
parties with said modification being attached to and incorporated into this agreement by this
reference for all purposes.

A RESOLUTION APPROVING THE BUDGET OF THE BRAZOS COUNTY EMERGENCY
COMMUNICATIONS DISTRICT; AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the laws of the State of Texas provided for interlocal governmental agreements to
benefit the citizens of the State; and,
WHEREAS, the voters of Eirazos County have approved the establishment of the Brazos County
Emergency Communications District in accordance with State law; and,
WHEREAS, the Board of Managers of the District have approved and adopted the Budget for
fiscal year 2000-2001; and,
WHEREAS, Section 772.309 of the Health and Safety Code requires the approval of the
District's budget by the Commissioners Court of the County located in the District and a majority
of the participating jurisdictions in the District; and,
WHEREAS, the undersigned authorities have, in public meeting, approved the annual budget of
the District as submitted to thf.m; NOW THEREFORE,
BE IT RESOLVED BY THE COMMISSIONER`$ COURT OF BRAZOS COUNTY, TEXAS
THAT:
1. The Commissioner's Court of Brazos County, Texas hereby approves the annual budget
of the District as submitted to them and as provided for by law.
2. A copy of the budget is attached hereto as Exhibit "A" and incorporated herein by this
reference for all purposes.
3. This Resolution shall be effective immediately upon its adoption and passage.

Please find attached a copy of the approved 2000-2001 budget for the Brazos County Emergency
Communications District. This budget does include an increase for both Brazos County and the
City of Bryan to bring dispatch salaries up to competitive levels, the addition of three new call-
taker/dispatchers, and the replacement of dispatch consoles & voice logging equipment. Every
effort has been made to keep all other spending increases to a minimum. At the request of both
Emergency Management Coordinators, all EOC expenses (lease and telephone costs) are
included in this budget, for their respective entity. The County Auditor has requested a separate
lease contract for the County Emergency Management office space. I have enclosed suggested
resolutions and contracts specific to each entity, as needed. Please execute these documents at
your earliest convenience.
I am confident that this budget will meet the needs of the District and provide the County and the
City of Bryan the level of dispatch services that they expect and deserve. As always, if you

Introduction
The Brazos County Emergency Communications District was created in 1988 to provide
Enhanced 9-1-1 (E911) emergency communications to the citizens of Brazos County.
During the planning stage of the neutral Public Safety Answering Point (PSAP),
discussions were held concerning a combined dispatch center. Even before the District
was created, local leaders had entertained the idea of a combined dispatch center.
Various proposals for this combined operation were presented to City and County
staffs. Bryan and Brazos County elected to participate in one of the first combined
dispatch centers in Texas. College Station however, elected to remain with a separate
Police dispatch center and Fire dispatch center. At that time the dispatchers were also
jailers. College Station felt that it would not be feasible for them to move their dispatch
center. It should be noted that they have now combined the police and fire dispatch
centers and hired additional staff as jailers.

Current Dispatch Operations
Currently the District maintains a 24 hour dispatch operation for the City of Bryan
(Police, Fire and EMS) and Brazos County (Sheriff, 5 Volunteer Fire Departments and
First Responders). In 1999 a total of 96,993 calls for service were processed through
center. These calls for service have been broken down by jurisdiction and included as
Attachment 1. Currently 10% of call-taker activity involves routing 9-1-1 calls and is
funded with 9-1-1 service fee revenue. No other 9-1-1 service fee revenue is used for
personnel operations of the Dispatch center. Current operating budgets are split
between 3 cost centers; 911, Bryan, and Brazos County. Dispatch operations are
currently split with an 82/18 split. Bryan's share of dispatch operations, based on call
volume is 82%. Bryan internally splits their share 80/20 with the Police Department
share being 80% and the Fire Department share being 20%. Brazos County's share of
dispatch operations is 18%.
Current salaries range from a starting trainee rate of $9.00 to a top supervisor rate of
$15.12. Total Dispatch personnel costs were $755,557 in the FY2000 budget.
Administrative and Systems management salaries represent only $19,927 of the
dispatch portion of the budget.
There are many advantages to a combined center. I have listed a few of them below.
1. Liability By virtue of the legislation, which allowed for the creation of the District,
extensive liability protection exists. By contracting with the District, the City and
County enjoy this liability protection.
2. Personnel By having a larger pool of "dispatch" employees, time off is much easier
to cover. Also, direct personnel costs and problems are buffered from the
contracting agencies.
3. Higher level of expertise By having primarily one function, communications, we are
able to concentrate on providing the highest level of service.
4. Facility Being housed in the GTE building offers the district and our contracting
agencies one of the best-built and maintained facilities in town. Some of the
advantages are:
A. Controlled access with no windows
B. Redundant air conditioning units with backup portable unit available.
C. The building is built with "honeycomb" construction. It is designed to withstand
natural disasters.
D. UPS system and generator with 6000 gallons of fuel. GTE also can provide a
portable unit if needed.
E. No possibility of being isolated from the telephone network.
F. EOC (Emergency Operations Center) adjoining dispatch providing a very
important communications link during an EOC activation.

Proposed Dispatch Operations
In 1991, the first full year statistics are available, total call volume for the dispatch
center was 55,163 calls for service. That call volume now (1999) is in excess of 96,993
calls for service. Over 72,520 9-1-1 calls were answered in 1999. In addition, over
231,169 "non-emergency" calls were answered in the center. Also, over 43,347
outgoing calls were placed from the dispatch center. Calls for service, one of the most
readily available benchmarks that represent work load, indicates a 75.83% increase in
call volume from 1991 to 1999 (see Attachment 2.) Also, during this same time frame,
the number of officers on the street has increased by at least 30%. The population has
also increased by almost 20%.
Dispatch has changed significantly since we began operations in 1990. Not only has
call volume increased, total demand on personnel has escalated significantly. We, as
administrators, continually add responsibilities without adding personnel or increasing
compensation.
In 1990, 18 personnel were assigned to dispatch operations. This represents 3.6
positions. Assuming that this was the correct number of dispatch positions, current
staffing should be 32 or 6.4 positions, based on calls for service. According to
information contained in the Department of Justice publication, "The Design and
Costing of 9-1-1 Systems," based on "flat-line" projections, the dispatch center should
be staffed with 3 call-takers. The dispatch center also maintains 3 separate "dispatch"
positions. One for Bryan Police Primary, one for Bryan Fire/EMS and Volunteer Fire
and a position for Bryan Police 2nd channel and Brazos County Sheriffs Department.
At the request of both the Police Department and the Sheriffs Department measures
have been taken this year to split this position by adding 3 additional personnel. In this
configuration, four radio positions are required. With both the radio and call-taker
positions, this represents 7 positions to be filled. To cover vacation, holidays, sick leave
and training it would require 35 dispatch personnel. Additionally, no consideration has
been made for "wild cards" such as bonfire, ice storms, power outages or other major
events.
While neither the City of Bryan nor Brazos County could tolerate a one-year increase of
50% or more in their dispatch budget, measures must be taken to increase available
dispatch personnel. Last year, after several years of delays, our new 9-1-1 system
came on line. When this new 9-1-1 system cut-over, the 9-1-1 personnel were
transferred from 9-1-1 to dispatch. This resulted in no net growth in district personnel.
. It was presumed that 9-1-1 call volume would decline. However, we have not seen any
decrease in 9-1-1 call volume resulting from the new system.

I am also proposing, over the next five years, to continue evaluating staffing levels to
meet the ever-increasing needs of the community. 1 have outlined the five-year
personnel plan below.

Telecommunications personnel can no longer be considered clerks. They are
electronic detectives, which are the field personnel's lifeline. To maintain and increase
the level of professionalism within any dispatch operation, positions and compensation
must be increased as workload increases. Currently our salaries are approximately
$3.00 per hour below our biggest competitor for personnel, College Station. Also, in
comparing similar positions within the City of Bryan, dispatch salaries are almost $5.00
per hour below electric dispatch. To secure and maintain valuable personnel we must
pay a competitive wage and provide a good working environment. This budget also
includes increasing compensation for our dispatch personnel to levels indicated in a
recent study completed by the City of College Station. Our beginning call-
taker/dispatcher salary will be $11.00 per hour.
For comparison purposes, the College Station Communications Center handles
approximately 40,000 calls each year. Their minimum staffing level is three
calltaker/dispatcher and a public safety officer (PSO.) This PSO handles walk in
complaints and jail activities. Additionally the PSO acts as a back-up calltaker. To
extrapolate this call volume to dispatcher ratio to the Bryan-Brazos County operation
would result in 7 calltaker/dispatch positions.

WITNESSETH: For and in consideration of the mutual covenants and agreen and of the payments
hereinafter mentioned, the parties hereto agree as follows:
1. Triple 0 agrees to call for and to receive from CUSTOMER, or its designated agent, and to recelpt therefore.
sealed or locked shipments containing currency, coin, checks, securities. and other valuables except cash letters
(hereinafter called *Property'). and to transport and deliver same in like condition, to the consignee designated by
CUSTOMER, between points in, and in accordance with, the following sera and compensation Schedule, Me
cha es In which are based on the liabaity assumed by Triple D pursuant to Paragraph 7 hereof:
2 The CUSTOMER and Triple D agree that all service performed for the CUSTOMER by Triple Din addWn to
service specified In this agreement and its e0bits, unless such service Is performed pursuant to a separats
written agreement between CUSTOMER and Triple D. shall be performed pursuant to the provisions, terns and
conditions of this agreement and that the provisions, terms and conditions of this agreement shalt detcrmne the
tights and obliptions of the parties with respect to any such additional service In the same manner and to the

of which are Incorporated herein as if fully set out Insofar as special provisions contained in said

The above-schedule shall be performed on Triple D's regular routes unless otherwise stlpulstsd in ExOtd
attached hereto.
3. The CUSTOMER agrees it will cause all Property delivered into the care of Triple D to be securely sealed or
locked and dearly labeled with the consignor's and consignee's name and address, and that it will not conceal or
misrepresent any material fact or circumstances concerning the Property delivered to Triple D pursuant to this
agreement Triple D expressly prohbb the transport of any illegal materials or substances via Its couriers or
vehicle
PosgitM Identification of any illegal material or substance in CUSTOMER'S property will result in
thermnallon of this agreement
4. The CUSTOMER agrees to pay Triple D within thirty (30) days of presentation of periodic Invoices, the
changes stated in the above schedule for the services stipulated therein and federal, state and local taxies, where
applicable, shall be added to said charges. CUSTOMER agrees that CUSTOMER shalt have no right of otfset
against Triple D's charges for services rendered. Triple D reserves the right to re-negotnte the service Charges
slated In this agreement, if, during the eftectnre period of the oontract as defined by Paragraph 6, Triple ti's
tnsur nce costs increase by more than 11 percent Should the parties fail to reach an agreement after thirty (30)
days, Triple D or CUSTOMER shall have the right to terminate the agreement upon wrden notice.
6. SUBJECT TO THE TERMS ARID CONDMONS ABOVE AND ON THE REVERSE SIDE HEREOF, service
under this agreement shall commence on 1 October. 2000. and will be effective for a period of one calendar year
with an option to renew for one additional year.
8. No waiver by Triple D of any breach of any provision herein shall eonstihrte a wairnr any bnaadt or of such
provbion. All prior agman onto between Ow parties or nhelr prodeeaaaor. poftining to the ee r ms spewwd in
the schedule on page 1 hered are superseded by this agreement

7. Triple D agrees to assume liability, as hereinafter limited, for any loss, damage or destrudbn of Property
(hereirtaffer called gloss) from the time it Is received by Triple D until such tame as it is delivered to the consignee
deVanated by the CUSTOMER to receive same or in the event of non-delnrery, until its return to the CUSTOMER
but Triple D does not assume liability for Property while in safe(s) on the CUSTOMER'S premises. The sole
Ilabiilty of Triple D In the event of loss from whatever cause, except as hereinafter further limited, shall be payment
to the CUSTOMER of the declared value as appears on the shtppiny document, which sum shall not exceed the
maximum amount set forth in the schedule on page I of this contractfor the designated shipment
I The CUSTOMER agrees with Triple D that in the event of loss, Q will cooperate to the fullest extent to which 4
is capable In reconstructing checks eonstitutlng a part of said loss and as to said checks, Triple D's liability exoept
as limited herein above shall be the payment to the CUSTOMER of:
(a) Reasonable costs necessary to reconstruct the checks plus where the checks are reconstructed, any
necessary costs because of stop-payment procedures:
(b) The face value of checks which cannot be reconstructed.
it is understood and agreed by the parties to this agreement that the words'reoonstnxt,' 'reconstructed; and
'reconstruction' shall mean to identify the only to the extent of detennining the face amount of said checks and the
Identity of the meeker or the endorser of each. It Is further understood and agreed that the word 'shipment-
wherever used in this agreement shall mean a single consignment of one or more items of property from one
shipper at one time at one address to one consignee at one destination address.
S. The CUSTOMER agrees to notify Triple 0 In writing of any claim for loss within twenty-four (24) hours after
loss is discovered or, should have been discovered in the exercise of due care and. In any event, within forty-five
(45)) days after delivery to Triple D of the property in connection with which the claim Is asserted, and unless such
notice shall have been given, such claim shall be deemed waived. Tnple D shall not be liable in any action
brought to enforce a clatm unless such action is commenced within two (2) years after the data written notice Is
given to the claimant that Triple D has disallowed the claim In whole or in part The CUSTOMER further agrees to
furnish proof of loss in a form satisfactory to Triple D or its insurer and promptly assist Triple D or its insurer in all
ways pertaining to recovery of said loss. Upon payment of loss hereunder, Triple D or its insurance company shall
be subrogated to all the CUSTOMER'S rights and remedies of recovery therefore.
8. Triple D agrees to cover with Insurance the liability assumed in Paragraph 7 and a certificate of such
insurance wW be fumished to the CUSTOMER upon written request For the protection of CUSTOMER In view of
the liability assumed In Paragraph 7, CUSTOMER or Triple D may cartel and terminate this agreement upon
thirty (30)days written notice in the event Triple D's cargo Insurance shall be either canceled or substantially
altered or Trle 0% insuranoe underwriter shall notify Triple D of its intention to cancel or eubstantiWy after Tnple
0's cargo insurance.
10. Notwithstanding the stated term of this contract it is understood and agreed that this Is a personal service
contract and the continuation of this agreement for the services to be performed by Triple D hereunder is
contingent upon the Satisfactory performance of such services. CUSTOMER shall have the right from time to
time to review and evaluate the performance of Triple D in the furnishing of services required by this contact and
shall notify Triple 0 In writing of any deficiencies In the performance of such serVices. In the event Triple D shall
fall to correct such deficiencies to the satisfaction of CUSTOMER within thirty (30) days of receipt by Triple D of
such notice, CUSTOMER shall have the right without further notice to terminate this agreement.
11. Not*WwtwWbq any other provw ns of this agreement, tt Is agreed Triple D shall not be liable for any less
caused by or resultrng from:
(a) (1) Hosft or warlike action in time of peace or war, including action in hindering, combating, or
defending against an actual, impending or expected attack, (a) by any Govemment or sovereign
power (de jure or de facto), or by any authority maintaining or using military, naval or air force, or
(b) by Military, Naval and Air Forces: or by any agent of any such Government, power, authority or
arses.

(2) Any weapon of war employing an atomic fission or radioactive force whether inn time of pesos or war.
(3) Insurrection, rebellion, revolutim cW war, usurped power, or action taken by governmental authority
in hindering, combating or defending against such an occurrence, setrure or destruction tinder

exempted from competitive bids for the following services:

INC., a Texas Corporation, and the COUNTY OF BRAZOS. State of Texas.
i WITNESSETH:
Whereas, Texas Voting Systems, Inc. is the business of selling election services: and

Whereas. the BRAZOS COUNTY is desirous of employing the services of Texas Voting Systems, Inc. in
connection with the SPECIAL ELECTION to elect a Mayor, Aldermen and Town Marshal for the Town of Kurten
to be held on November 7. 2000 in Brazos County, Texas;

r; Now, Therefore, in consideration of the premises and mutual promises and obligations herein set forth, it is

TEXAS VOTING SYSTEMS. INC. will provide the following soanlles:
(a) 300 numbered and printed Official Ballot Cards (Green).
(b) All required hinged ballot pages and punched masks. (One ballot group)
i•~ (c) 100 sample ballots
• (d) Five (S) election sets to include the early voting canvassing board set and one central counting

-1 (e) All required seals for the voting equipment.
(f) Custom ballot layout for each voting precinct for chocking correct ballot pages.
' (g) Precinct polling place supplies (pens - tape - extra stylus) as required.
(h) Polyurethane mail out backers as required.

TEXAS VOTING SYSTEMS, INC. will provide the following services:
(a) Assemble six (6) voting devices, and check each unit.
(b) Deliver the voting devices to the Brazos County Voting precincts before the election and return the
voting devices to the Brazos County Warehouse after the election.
(c) Provide complete ballot layout and design.
(d) Conduct one (1) class for election judges and clerks of election procedures.
(e) Conduct one (1) class for all central counting personnel if required.
a ; (f) Assist with Early Voting as required.
k (g) Assist with assembling all supplies for use in the individual precincts.
4 - (h) Assist in the preparation of the computer test deck and holding of the Official Test of the vote cotntt

(i) Assistance on election day, as required, to include the central counting station.

The COUNTY OF BRAZOS, State of Texas. will be responsible for, and hereby assumes the following
duties and obligations in regard to the BRAZOS COUNTY SPECIAL ELECTION to be held on November 7, 2000:
(a) Payment of all invoices, Election Judges, Alternate Judges, and Clerks of Election, to include the central
counting station.
(c) Furnish Texas Voting Systems, Inc. a complete list of all candidates and issues to be conducted in the
above mentioned election.
(d) All reports, expense accounts, canvass of the election, conduct of the election at the individual polling
places, and any other statutory requirements as required by the Texas Election Code and/or the Federal
Voting Rights Act.
IV
The consideration to be paid by the BRAZOS COUNTY to TEXAS VOTING SYSTEMS, INC. for the
services and supplies to be rendered by said corporation in the BRAZOS COUNTY SPECIAL ELECTION to be held
on November 7, 2000 is TWO THOUSAND TWENTY TWO DOLLARS AND NO CENTS ($2,022.00)

the office of County Surveyor and County Public Weigher to be held on November 7, 2000 in Brazos County. Texas;

TEXAS VOTING SYSTEMS, INC. will provide the following supplies:
(a) 70,000 numbered and printed Official Ballot Cards
(b) All required hinged ballot pages and punched masks. (Twenty two ballot groups)
(c) 4,000 sample ballots.
(d) Fifty-eight custom gathered election sets to include the early voting canvassing board set and
one central counting set.
(e) All required seals for the voting equipment.
(f) Custom ballot layout for each voting precinct for checking correct ballot pages.
(g) Precinct polling place supplies (pens - tape - extra stylus) as required >
(h) Polyurethane mail out backers as required. i
(1) 4,000 Early Vote absentee mail-out official ballot labels as required for the twenty two (22) plus ballot layouts.

TEXAS VOTING SYSTEMS, INC. will provide the following services:

(a) Assemble four hundred fifty (450) voting devices (more if required), and check each unit. F
(b) Check each unit for proper ballot pages, label each unit by precinct and stack units by precinct (and E
Commissioner Precinct) for delivery by the County.
(c) Deliver voting devices to the five Early Voting locations and pick up the equipment at the close of the early voting
period. New ballot labels will be inserted, labeled, and stacked for delivery on Monday, November 6, 2000.
(d) Provide complete ballot layout and design.
(e) Conduct one (1) class for early voting election fudges and clerks.
(f) Conduct one (1) class for election judges and clerks on election procedures.
(g) Conduct one (1) class for all central counting personnel if required.
(h) Assist with Early Voting as required.
(i) Assist with assembling all supplies for use in the individual precincts.
6) Assist in the preparation of the computer test deck and holding of the Official Test of the vote count computer.
(k) Assistance on election day, as required, to include the central counting station.
(1) Provide any consulting services before and after the above mentioned election.
