I II . i r• r COMMISSIONERS' COURT REGULAR MEETING JANUARY 11, 2000 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Commissioners' Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 0 a.m. on Tuesday, January 11, 2000, with the following members of the Court present: Alvin W. Jones, County Judge, Presiding; Tony Jones, Commissioner of Precinct 1; Wm.S. Thornton, Commissioner of Precinct 2; Randy Sims, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Mary Ann Ward, County Clerk. The attached sheet contains the names of the citizens and officials that were in attendance. Commissioner Thornton gave the invocation and led the pledge of allegiance. There was no citizen input and/or concerns. The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the changes as submitted. The Court next considered the following Claims as submitted by the County Treasurer for payment: 20002824 through 20003030 On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to approve the Claims as submitted. The-Court next considered appointing a County Court at Law #2 Judge. On'motion by the County Judge, seconded by Commissioner Sims, the Court voted unanimously to table consideration and recess the meeting until Wednesday, January 13, 2000. The next matter before the Court was approval of a Project AWAKE Cooperative Working Agreement with the Twin City Mission/Phoebe's Home. Jack Pharris, representative of t Commissioners' Court mating January 11, 2000 2 the County Attorney's office presented an overview of the program which has to do with providing information and training to prevent family violence. On motion by the County Judge, seconded by Commissioner Cauley, the Court voted unanimously to enter into a Working Agreement with Twin City Mission/Phoebe's Home subject to the term "Our Agency" being changed to Brazos County. A copy of the Agreement is attached. The next matter before the Court was approval of a Contractual Agreement between Brazos County and United Roofing for repair of hail damage to roofs. On motion by Commissioner Sims, seconded by Commissioner Jones, the Court voted unanimously to enter into agreement with United Roofing for the roof repair. A copy of the contractual agreement is attached hereto. The Court next considered adopting Resolutions authorizing grant applications to the Criminal Justice Division of the Governor's office for funding for the following grants: a) Narcotics Trafficking Task Force i r i { i On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to authorize the County Judge to make application to the Criminal Justice Division, Office of the Governor, for grant funds for the Narcotics Trafficking Task Force and that the Judge also be authorized to accept such grant funds should they be tendered. b) Brazos Valley Narcotics Task Force Training Project On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to authorize the County Judge to make application to the Criminal Justice Division, Office of the Governor, for grant funds for the Brazos Valley Narcotics Task Force Training Project and that the Judge also be authorized to accept such grant funds should I they be tendered. 11 V 0 L -..I-q P A U E-it ? O~, % I - 9 7 Commissioners' Court meeting January 11, 2000 ; c) Brazos Valley Narcotics Task Force Special Training Project •i On motion by Commissioner Cauley, seconded by Commissioner Jones, the Court voted unanimously to authorize the County Judge to make application to the Criminal Justice Division, Office of the Governor, for grant funds for the Brazos Valley Narcotics Task Force Special Training Project and that the Judge also be authorized to accept such grant funds should they be tendered. The Court next considered a Construction and Maintenance Agreement for Bridge Replacement or Rehabilitation Off the State System with the State of Texas Department of Transportation and Resolution authorizing the County Judge to execute the required agreement. The project is funded 80 percent federal, 10 percent state and 10 percent local monies. Brazos County will be responsible for 10 percent of the engineering and construction costs. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to enter into a Construction and Maintenance Agreement with the State of Texas Department of Transportation and adopted a Resolution authorizing the County Judge to execute the required agreement. A copy of the Contract is attached. The next item for consideration was adopting a vehicle Use Policy. There was some discussion and it was determined that this policy requires each department that uses county vehicles to have a "Plan" that becomes part of the policy. On motion by Commissioner Thornton, seconded by Commissioner Jones, the Court voted unanimously to approve the policy subject to the inclusion of the changes noted. A copy is attached. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to accept the recommendation of the Purchasing Agent and award the contract to Austin White Lime. A copy of the bid tabulation is attached. Bid No. 2000-024, Concrete Contract John Hachmann, Purchasing Agent, recommended acceptance of the bid submitted by Transit Mix Concrete. On motion by Commissioner Jones, seconded by Commissioner Cauley, the Court voted unanimously to accept the recommendation of the Purchasing Agent and award the contract to Transit Mix Concrete. A copy of the bid tabulation is attached. Bid No. 2000-025, Materials Hauling - Annual Contract 6I John Hachmann, Purchasing Agent, recommended acceptance of the bid submitted by Aggregate Haulers as primary on the 58,420#, Brazos Dozer Service as secondary and Young Contractors as alternate. On the 80,000# the Primary is Brazos Dozer Service, Aggregate Haulers is secondary and Young Contractors is the alternate. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to accept the recommendations of the Purchasing Agent and award the contracts as noted. Bid No. 2000-027, Herbicides and Surfactants - Annual Contract John Hachmann, Purchasing Agent, recommended acceptance of the bid submitted by Brazos Bottom Crop Care for herbicide:l, Surfactant: 1 and the bid submitted by Producers Co-Op for Herbicide: 2,3 and Surfactant:2. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to accept the recommendations of the Purchasing Agent and award the contracts as noted. The Court next considered approval of a requisition from the Capital Expenditures Fund for the following purchase: a) Computer Replacement Purchases for a laptop computer for the Risk Management Department $3,567.00. The motion was seconded by Commissioner Sims, Commissioners Jones, Thornton, Sims and Cauley voted "Aye". The County Judge abstained. The motion carried to approve the requisition to be paid from Capital Expenditures Fund. The Court next considered the request from GTE for a road bore and parallel cable installation in the right-of- way of Jones Road beginning at its intersection with FM 60 for an approximate distance of 5,241 feet. The site is in Precinct 4. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Jones, seconded by Commissioner Thornton, the Court voted unanimously to approve the request of GTE and authorized the installation. Richard Vance, County Engineer, stated that he had reviewed the plat and stated that all appeared to be in order. Under announcement of interest items and possible future agenda topics the County Judge made the following comments: a) The Delinquent Tax Attorney contract expires June 30, 2000. The County can opt for a two year renewal. Consideration of this will be on a future agenda. b) The Court will have to adopt a document pertaining to flood plan management by February to comply with federal requirements. c) He received information from the Coalition of Urban Counties indicating that the County would need to file a submission on the distribution of tobacco settlement funds by March. The Sheriff made the following comment: a) The Sheriff's office is now processing all papers for service from the Attorney General's office. The County Judge recessed the meeting until 9:00 a.m. on Wednesday so the Court could appoint a judge for County Court at Law #2. 7 The County Judge reconvened the meeting of the Commissioners' Court of Brazos County, Texas at 9:00 a.m. on January 12, 2000 in room 108 in the Courthouse in Bryan, Brazos County, Texas, with the following members of the Court present: Alvin W. Jones, County Judge, Presiding; Tony Jones, Commissioner of Precinct 1; Wm. S. Thornton, Commissioner of Precinct 2 Randy Sims, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Mary Ann Ward, County Clerk. BRAZOS COUNTY, TEXAS CONTRACT FOR SERVICES Hail Damage Roof Repair PART ONE A THE STATE OF TEXAS § COUNTY OF BRAZOS § This agreement made and entered into by and between Brazos County, a local subdivision of the State of Texas, Party of the First Part, and for brevity herein referred to as "County", and United Roofing & Sheet Metal, Inc., Party of the Second Part, and herein referred to as Contractor. AGREEMENT 1. That for and in consideration of the sum of money agreed to be paid by Chubb Insurance Co., as described below, the receipt and sufficiency of which is hereby acknowledged, the Contractor undertakes, covenants, and agrees to perform the work herein contracted to be done, in every detail conforming to the estimate of repairs, proposal, specifications, including special provisions, plans or working drawings, and special agreements, on a certain public works described in the following document: Revised Estimate of Repairs provided by ABJ Adjusters, Inc., dated October 4, 1999, attached as Exhibit "A" hereto and made a part hereof for all purposes. 01 2. It is agreed that in consideration of the Contractor fully and faithfully complying with all the terms, provisions, and stipulations contained in Parts One and Two of this Contract, the County undertakes, covenants and agrees to authorize payment by Chubb Insurance Company to the Contractor, for the furnishing of all material and labor, and the performance of the work herein contracted, for, in the sum of money estimated as the cost of repairs in Exhibit "A". The said sum shall be the full compensation to be received by the said Contractor under the terms of this contract, which is performable and enforceable in Brazos County, Texas. Contractor shall have no claim against the County for any cost overruns or errors in estimate of cost of the work. The Contractor herein agrees and acknowledges that no County funds are being expended for the work herein described. 3. It is agreed by both parties that the Contractor is not an employee of the County for the purposes of this contract, nor is the Contractor to be construed to be an employee of the County. The Contractor is independent and therefore responsible for all federal taxes that may accrue as a result of this contract, responsible for payroll related costs that may accrue as a result of this contract, is responsible for carrying all workman's compensation insurance, and is responsible for carrying all necessary liability insurance. SCOPE OF CONTRACT The repair and cover of the existing foam roofs as described in Exhibit "A" and according to the specifications set forth in paragraph K herein and issue a 15 year warranty to include leaks and reversion. Also to include flashing of all penetrations, as set forth in this Contract B. CONDITIONS OF CONTRACT The following instructions apply and become a part of terms and conditions, unless otherwise specified elsewhere in this Contract. The Contractor is required to be informed of these Terms and Conditions and will be held responsible for having done so: 1. DEFINITIONS: In order to simplify the language throughout this bid, the following definitions shall apply: a. BRAZOS COUNTY - Same as County. b. COMMISSIONERS' COURT - The elected officials of Brazos County, Texas given the authority to exercise such powers and jurisdiction of all county business as conferred by the State Constitution and Laws. c. Further technical information regarding this contract may be obtained by contacting Mr. Ed Dobbins, Brazos County Maintenance Department at 409/361-4460. 2. Performance Standards: a. All services contracted herein shall be done in a courteous and orderly manner with a minimum of inconvenience to the adjoining businesses. All Contractors personnel shall be appropriately and neatly dressed at all times while on the property. b. The Contractor shall provide a qualified supervisor or foreman on the site(s) at all times during any roofing activity to be responsible for the progress of the work and the conduct of the contractor personnel. This supervision shall also apply to any work sub-contracted. c. The personnel performing the services contracted herein shall be under the sole direction and supervision of the Contractor and shall be constantly supervised and shall be competent, experienced, skilled roofing oriented people. d. The Contractor shall at all times enforce strict discipline and good order among its employees, agents and representative(s). The Contractor shall only utilize personnel who are, satisfactorily and sufficiently skilled for the efficient performance of all work herein contracted to be done. 3. All materials and equipment brought to the site are the sole responsibility and liability of the Contractor until removed from the site as required. 4. Unless otherwise specifically noted, the Contractor shall provide and pay for all labor, materials, equipment, tools, transportation, supervision, and other facilities and services necessary for the proper execution and completion of the work herein contracted to be done. 5. The Contractor shall give all notices and comply with all laws, ordinances, rules, regulations, and order of any public authority in connection with the performance of the work herein to be done. 6. The Contractor shall be responsible for initiating, maintaining and supervising appropriate safety precautions and programs in connection with the work herein contracted to be done. The Contractor shall procure and maintain at its sole cost and expense for the duration of this Agreement insurance against claims for injuries to persons or damages to property that may arise from or in connection with the performance of the work hereunder by the Contractor, its agents, representatives, volunteers, employees or subcontractors. The Contractor's insurance coverage shall be primary insurance with respect to the County, its officials, employees and volunteers. Any insurance or self-insurance maintained by the County, its officials, employees or volunteers shall be considered in excess of the Contractor's insurance and shall not contribute to it. Further, the Contractor shall include all subcontractors as additional insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverage for subcontractors shall be subject to all of the requirements stated herein. The Contractor must provide a certificate of coverage to the governmental entity prior to being awarded the contract. 4 S. The Contractor shall notify the govcmmental entity in writing by certified mail or personal delivery, within 10 calendar days after the Contractor knew or should have known, or any change that materially affects the provision of coverage of any person providing services on the project. 12. The Contractor shall post on each project site a notice, in the text, form and manner prescnbed by the Texas Workers' Compensation commission, informing all persons providing services on the project that they are required to be covered, and stating how a person may verify coverage and report lack of coverage. 13. Providing false or misleading information may subject the Contractor to administrative penalties, criminal penalties, civil penalties, or other civil actions. E. COMPLIANCE WITH LAW The Contractor's work and materials shall comply with all state and federal laws, municipal ordinances, regulations, and directions of inspectors appointed by proper authorities having jurisdiction. The Contractor shall perform and require all subcontractors to perform the work in accordance with applicable laws, codes, ordinances, and regulations of the State of Texas and the United States and in compliance with OSHA and other laws as they apply to its employees. In the event any of the conditions of the specifications violate the code for any industry, then such code conditions shall prevail. The Contractor shall follow all applicable state and federal laws, municipal ordinances, and guidelines concerning soil erosion and sediment control throughout the Project and warranty term. G. SAFETY PRECAUTIONS Safety precautions at the site are a part of the construction techniques and processes for which the Contractor shall be solely responsible. The Contractor is solely responsible for handling and use of hazardous materials or waste, and informing employees of any such hazardous materials or waste. The Contractor shall provide copies of all hazardous materials and waste data sheets to the Bryan Fire Department marked "Attn.: Assistant Chief'. The Contractor has the sole obligation to protect or warn any individual of potential hazards created by the performance of the work set forth herein. The Contractor shall, at its own expense, take such precautionary measures for the protection of persons, property, and the work as may be necessary. The Contractor shall be held responsible for all damages to property, personal injuries and/or death due to failure of safety devices of any type or nature that may be required to protect or warn any individual of potential hazards created by the performance of the work set forth herein; and when any property damage is incurred, the damaged portion shall immediately be replaced or compensated for by the Contractor at its own cost and expense. H. ' r AGREEMENT NOW, THEREFORE, in consideration of the premises and of the mutual covenants and agreements contained herein, the State and the Local Government do agree as follows. 491 Article 1. Contract Period This agreement becomes effective upon the date of execution by the party whose signing constitutes final and full execution and shall terminate when the work has been completed or as provided in Article 10. "Termination". Article 2. Right of Entry The Local Government hereby authorizes the State, its consultant, contractor, or other designated representative to enter the site of said bridge and adjacent right of way or relocation right of way to perform surveys, inspections, construction and other activities necessary to replace or rehabilitate said bridge and approaches. Article 3. Utility Adjustments and Right of way The Local Government shall provide or cause to be provided, at no cost to the State or Federal government, the necessary adjustment of any and all utilities and services, whether publicly or privately held, as may be necessary to permit the work authorized herein. The adjustment, removal, or relocation of such utilities shall be accomplished pursuant to the Local Government's usual and customary policies and procedures regarding utilities, provided, however, that these activities shall be coordinated with and carried out in a manner that does not conflict with the requirements of the State. The Local Government further agrees to acquire, to the extent permitted by law, at no cost to the State or Federal Government, any additional right of way, if required. If for any reason the Local Government determines it is unable to acquire the required right of way, all pertinent provisions of this agreement shall remain applicable, including Article 10. "Termination" and Article 4. F. "Costs at Termination". Article 4. Project Funding Subject to Article 3. and other provisions as follows, the general funding formula for these projects involves funding by the Federal Government (80% of the cost), the State (10%), and the Local Government (10%). The State assumes no liability for any costs except as authorized herein. All payment obligations of the Local government shall be subject to the requirements of governing Texas law and, if applicable, Article 11, Section 5 of the Texas Constitution. Page 2 of 6 Design Division 9-97 # 0 L, ~A ra B= k.5., I *A 5 I t i t - i I( r. . . 4 T The Local Government agrees to pay the State (1) 10% of the direct costs for preliminary engineering incurred by the State, (2) 10% of the direct cost of construction. construction engineering and contingency, and (3) 100% of the direct cost of any project cost item or portion of a cost item that is not eligible for federal or state participation. A. Preliminary Engineering Costs - The State will document its costs incurred for preliminary engineering and shall notify the Local Government of its share of these costs when submitting notice pursuant to Article 4(D) and/or 4(E) below. i i t i k B. Construction Costs - The direct construction cost includes the amount of the contract awarded to a contractor based upon the low bid, any supplements made thereto during the duration of the project, and construction engineering and contingencies. C. Payments - Thirty calendar days after signing this agreement and thirty calendar days before beginning the preliminary engineering work, the State shall notify the Local Government of payment due in an amount equal to 10% of the estimated direct cost of project preliminary engineering. Forty-five calendar days prior to the State's scheduled date for the contract letting, the Local Government agrees to pay to the State an amount equal to the remainder of the Local Government's agreed upon participation in the project. The Local Government shall promptly and faithfully provide payment of the required funds. The department will not pay interest on the funds provided by the Local Government. Funds provided by the Local Government will be deposited into, and retained in, the state treasury. D. Interim and Final Accounting - If during the course, at termination or at the completion of the project it is found that the amount received is insufficient to pay the Local_ Government's agreed upon participation, the State shall immediately notify the Local Government who shall promptly transmit the required amount to the State. At the completion of the project, the State shall use generally accepted accounting procedures to determine the actual direct cost of the project. Excess funds paid by the Local Government will be returned. Accounting records will be available at reasonable times at the office of the State for inspection by the Local Government. The State will provide not more than four copies of any records requested by the Local Government. E. Costs at Termination - If after full execution of this agreement the project is terminated at the request of the Local Government, the Local Government shall be responsible for all (100%) expenses incurred for the project, including all direct and indirect costs. The indirect costs shall be calculated based on prevailing rates as determined through the Texas Department of Transportation's Indirect Cost Recovery Program. F. Estimate of Pro ject Direct Cost - An estimate of the direct cost of the project that may be very tentative and made prior to the usual preliminary engineering phase of a project is provided in Exhibit A of this agreement. Neither the estimate provided in Exhibit A or any Page 3 of 6 VOL.-.1 ~7AGM,.. i - 1 Design Division 9-97 a r 01 other estimate of cost provided by the State, shall limit the Local Government's obligations set out in provisions of this agreement. Article S. Project Administration and Accomplishment of Work The State shall use its own forces to provide or shall contract for the following: A. Prepare the construction plans, specifications and estimates (PS&E). At the beginning of the construction stage, the construction plans shall be attached hereto, labeled Exhibit B, Project Plans, and made a part hereof. B. Coordinate with the Local Government during plan preparation and have the Local Government indicate approval of the project plans by signing the title sheet. C. Advertise for bids and award the contract. D. Supervise the work as required by the construction plans and specifications. E. Final inspection and acceptance of the completed project. Article 6. Review of Plans by the Local Government The Local Government shall provide prompt review of the construction plans when requested by the State. No review shall unduly delay the progress of the project. Article 7. Local Government Acknowledgment The Local Government acknowledges that it is not an agent, servant, or employee of the State and further acknowledges full and complete responsibility for its own acts and deeds and for those of its agents or employees during the performance of the work authorized in this contract. Article S. Maintenance 1 After the project has been completed, the Local Government shall accept full ownership and operate and maintain the facility authorized by the agreement for the benefit of and at no charge of toll to the public. This covenant shall survive the completion of construction and termination of this i agreement. Article 9. Sole Agreement This agreement constitutes the sole agreement between the State and the Local Government concerning this project. Termination This agreement may be terminated before the project is completed by mutual written consent of both parties with financial responsibilities carried out as assigned in Article 4, Project Funding. Article 11. Notices All notices to either party under this agreement shall be delivered personally one to the other or sent by mail or courier, postage pre-paid. to the addresses shown on the signature page of this agreement. Article 12. Ownership of Documents Upon completion of. the project, all, documents prepared by the State shall remain the State's property. The Local Government shall have unlimited and unrestricted use of the documents. Article 13. Successors and Assigns The State and the Local Government each binds itself, its successors, executors, assigns. and administrators to the other party to this agreement and to the successors, executors, assigns and administrators of such other party in respect to all covenants of this agreement. Article 14. Legal Construction In the event that one or more of the provisions of this agreement shall for any reason be held invalid. illegal or unenforceable, such invalidity, illegality or unenforceability shall not affect any other provision herein. and this agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. Article 15.
