THE COMMISSIONERS' COURT WILL MEET IN SPECIAL SESSION ON MONDAY,
FEBRUARY 6, 1995 AT 9:00 A.M. IN THE COMMISSIONERS' COURTROOM OF THE
BRAZOS COUNTY COURTHOUSE, 300 EAST 26TH STREET, SUITE 115, BRYAN,

FEBRUARY 6, 1995
A special meeting of the Commissioners' Court of Brazos
County, Texas was held in the Commissioners' Courtroom in the
Courthouse in Bryan, Brazos County, Texas, beginning at 9:00
a.m. on Monday, February 6, 1995, with the following members
of the Court present:

Commissioner Cauley gave the invocation and led the
pledge of allegiance.
The first matter before the Court was to consider
authorization for Juvenile Services to use Aerofit Fitness
Club for Physical Restraint Training. Dan German, Assistant
Director of Juvenile Services, explained to the Court that
five to seven people are trained every three months in
physical restraint techniques. After considerable discussion,
and on motion by Commissioner Sims, seconded by Commissioner
Walker, the Court voted unanimously to authorize the County
Judge to enter into a long term contract with Areofit for use

of its facility for the Physical Restraint Training for the

Juvenile Services personnel. The contract will expire on
December 31, 1995 and can be renewed on an annual basis.
The next matter before the Court was to consider
authorizing the Juvenile Services Department to utilize the
AM/PM Clinic on an as needed basis for treatment of juveniles.
The County Auditor noted that various departments were using
the clinic, such as the Sheriff's Department and the Health
Department. The Court discussed various options and then on
motion by Commissioner Sims, seconded by Commissioner Cauley,
the Court voted unanimously to issue an exemption for
competitive bidding services to AM/PM Clinic and to enter into
contract with AM/PM Clinic for medical treatment on an as
needed basis for County as a whole.
The court next considered entering into Agreement with
the City of College Station for the use of the Lincoln Center
`
by-Juvenile Services and Brazos County Community Supervision
and Corrections two days a week for satellite offices. Ernie
Wentrcek explained that this would give the officers a place
to meet the families of the offenders in that part of the
community without making them come all the way to the
Courthouse. There would be no cost to the County. The only
stipulation would be that the county be responsible for
insurance for incidents that might occur at the facility. Mr.

Wentrcek was informed that liability coverage would extend to
the facility. On motion by Commissioner Sims, seconded by
Commissioner Walker, the Court voted unanimously to enter into
Agreement with the City of College Station for the use of
space in the Lincoln Center and to authorize Commissioner
Norton to sign the Agreement in the County Judge's absence.
The Court next considered an Exemption from Competitive
Bidding Requirements of Local Government Code, Section
262.024(a)(7)(A). This is for the purchase of Engineering
Services from McCord Engineering Services for the Brazos
Center Parking Lot Lighting. On motion by Commissioner Sims,

seconded by Commissioner Cauley, the Court voted unanimously
to approve the Exemption of Competitive Bidding Requirements.
The next matter before the Court was approval of a
Contract between Brazos County and McCord Engineering Services
for the Brazos Center Parking and Area Lighting Additions.
Estimated cost to Brazos County for furnishing of engineering
and construction supervision services will be from $11,000.00
to $13,000.00. On motion by Commissioner Sims, seconded by
Commissioner Walker, the Court voted unanimously to enter into
contractual agreement with McCord Engineering Services and
authorized Commissioner Norton to sign the contract. A copy
of the contract is attached hereto.
The Court next considered a request from the District

Clerk for additional funds for training and to reallocated
funds for temporary part-time help and regular part-time help.
Marc Hamlin, District Clerk explained that the $300.00
budgeted for training was an inadequate amount considering the
amount of training needed for records management.
Commissioner Sims asked the District Clerk to consult with the
County Auditor to see if the funds are available within the

budget. On motion by Commissioner Sims, seconded by
Commissioner Walker, the Court voted unanimously to approve
the request for additional funds for training subject to there
being funds within the District Clerk's budget that can be
reallocated to the training line item. In the event funds are

not available, then the District Clerk will have to return to
Court with his request. The District Clerk continued with his
request to reallocate funds for Temporary part-time help and

Regular part-time help. He stated that this was merely a

motion by Commissioner Sims, seconded by Commissioner Cauley,
the Court voted unanimously to approve the request of the

On motion by Commissioner Sims, seconded by Commissioner
Walker, the Court voted unanimously to authorize payment of
$3,619.00 to City of Bryan as Brazos County's portion of the
total cost for aerial photographing of Brazos County and the
City of Bryan. Weather permitting, the aerial photos will be
taken at the end of February. This is part of the GIS mapping
of the county.
The next matter for consideration was a tax refund to
N.O.B.I. Partners LTD. In a Court settlement it was agreed
that the appraised value for 1993 be lowered from
$1,300,000.00 to $1,100,000.00. On motion by Commissioner
Norton, seconded by Commissioner Walker, the Court voted
unanimously to refund $868.40 in county taxes for 1993 to
N.O.B.I. Partners LTD.
The Court next considered the request from GTE Southwest
to place a buried cable in the right-of-way of Mancuso Road
beginning at its intersection with FM 2223 and extending east
for a distance of approximately 829.0 feet. The site is
located in Precinct 2. The County Engineer stated that all
appeared to be in order and recommended approval. On motion

by Commissioner Walker, seconded by Commissioner Sims, the
Court voted unanimously to approve the request of GTE
Southwest and authorized the installation. A copy of the
request is attached hereto.
The next matter for consideration was a request from the
Road and Bridge Department for the City of Bryan to relocate
a guy wire in the right-of-way of Pate Road in Precinct 3 for
future improvements to said roadway. Estimated project cost
is $1,742.11. This was tabled from the last Commissioners
Court meeting to allow the County to discuss with the City of
Bryan the charges. These are inflated charges as the City is
trying to cover all expenses that might incur. The amount of
$900 was discussed with City personnel. Commissioner Sims
moved to approve the payment with the stipulation that the
price be renegotiated. Commissioner Cauley seconded the
motion and it passed unanimously.
On motion by the Commissioner Walker, seconded by
Commissioner Norton, the Court voted unanimously to authorize
the Road and Bridge Department to be issued three (3) First
American Visa Credit Cards to be used for refueling county
vehicles/equipment for out of town material pickups.
The Court next considered Change Order $3 for the
Cawthorn Water Project in Precinct 1. Commissioner Norton
informed the court that this Change Order will not cost the
County any additional funds. Wellborn Water will contribute
the additional cost by agreeing to waive the $750.00 expansion
reserve fee and the $100.00 membership fee for each of the
twenty seven (27) customers participating in the community
development grant. on motion by Commissioner Norton, seconded
by Commissioner Walker, the Court voted unanimously to approve
the change order and authorized Commissioner Norton the sign
the Change Order in the Judge's absence.
The next matter before the Court was payment of towing
charges and storage for seized property. The property, a
Dyna-Trak Boat and Shoreline Trailer, was ordered seized by

Justice of the Peace Precinct 4 Place 2 Carolyn Hensarling. It
was towed to and stored at the Phil Thweatt yard. Cost of
towing and storage was $547.50. On motion by Commissioner
Sims, seconded by Commissioner Walker, the Court voted
unanimously to pay the $547.50 out of Non-Departmental funds.
The next matter for consideration was Exemptions from
Competitive Bidding Requirements for the following services:

Cauley, the Court voted unanimously to authorize the
Exemptions from Competitive Bidding Requirements for all of
the previously listed entities.
The Court next considered the purchase of a computer from
Sam's Club for the 272nd District Court. This purchase is
necessary because the computer of the court reporter can no
longer make effective use of what little memory it has and
Sam's Club has the computer in stock. On motion by

voted unanimously to approve the purchase of a computer from
` Sam's Club and authorized Commissioner Norton to sign the

Walker, the Court voted unanimously to appoint former County
Commissioner, Walter Wilcox, as the County's representative on

informing them of the appointment and letter to Mr.
Wilcox asking that he report to the Court and keep them
informed.
The Court next considered entering into agreement with
the City of Bryan relating to the egret problem. Commissioner
Cauley explained the health problem and the need to remove the
rookery conditions. The city will clean up thirty five (35)
acres and is asking the county to clean up twenty three (23)
to twenty four (24) acres. The City of Bryan will take care
of transportation and disposal of clippings. Commissioner
Sims stated that hauling to a compost site is a major expense.
City requested bids per acre on transportation and disposal of
limbs and brush. Commissioners Sims asked to review the bids
to see if the county can use city's contract or do the work
ourselves. On motion by Commissioner Norton, seconded by
Commissioner Sims, the Court voted unanimously to enter into
agreement with the City of Bryan relative to the egret problem
with the stipulation that the county be allowed to see the
bids for disposal to see if the county will participate with
the city using the same contractor or do the work ourselves.
On motion by Commissioner Cauley, seconded by
Commissioner Walker, the Court voted unanimously to renew the
contract for pest control services with Ace Pest Control for
one year at no increase in cost to the county.
On motion by Commissioner Sims, seconded by Commissioner
Walker, the Court voted unanimously to table consideration of
naming the Brazos Valley Community Action Agency as the
contractor for Emergency Nutrition /Temporary Relief Program
for Brazos County until more information is made available to
the Court.
It was the consensus of the Court to table consideration
of an agreement with Manpower for temporary employment
services for the County Judge's office.

Cauley, the Court voted unanimously to approve the changes as
submitted and stipulated that those entering above the entry
level would get no six (6) month increase.
The Court next discussed a request from Mr. Jack Crump,
Executive Director, Commission on Jail Standards, for
contracting with counties to house state inmates rather than
build additional state facilities beyond those presently
planned. It was the consensus of the Court to table
consideration until more information could be gathered.

FACILITY USERS AGREEMENT
STATE OF TEXAS )
COUNTY OF BRAZOS
This is an Agreement by and between the CITY OF COLLEGE STATION, a
Texas Municipal corporation (hereinafter referred to as "CITY"), and the BRAZOS
COUNTY JUVENILE SERVICES DEPARTMENT AND BRAZOS COUNTY
COMMUNITY SUPERVISION AND CORRECTIONS DEPARTMENT, a non-profit
association (hereinafter referred to as "AGENCY").
WHEREAS, AGENCY has been created to provide a form of structure for the
citizens of the City of College Station, Brazos County, Texas, area; and

WHEREAS, the CITY desires to assist AGENCY in providing such form of
service to the citizens of the City of College Station, Brazos County, Texas, area;
NOW, THEREFORE, for and in consideration of the mutual promises recited
herein, the parties agree as follows:
BRAZOS COUNTY JUVENILE SERVICES DEPARTMENT AND BRAZOS
COUNTY COMMUNITY SUPERVISION AND CORRECTIONS DEPARTMENT, will be
permitted to use the following facility: Lincoln Center, located at 1000 Eleanor, College
Station, on the following day(s): Tuesday and Thursday of each week, 1994.
1.
TERMS OF CONTRACT
Said AGENCY will have access to the above referenced facility from the 1 st day
of January, 1995, through the 31 day of January, 1996, at the designated hours of 1:00
p.ln. to 5:00 p.m.
The said AGENCY agrees that it will be solely responsible for the following
items:
1. To occupy the Lincoln Center Tuesday and Thursday, from 1:00 p.m.-5:00
p.m. (agency holiday list attached);
2. To provide well-trained personnel to continually supervise programs and
activities daily and to meet the needs of the participants of the program.
3. To provide on-going supervision of personnel and program by the director of
the program.

The CITY will be responsible for the following items during the said TERM of the
Contract:
1. Providing monthly physical space and utilities;
2. Providing daily maintenance of Lincoln Center, i.e., vacuuming, mopping,
emptying trash cans, cleaning restrooms, etc;
3. Providing monthly pest control;
4. Assisting, when possible, with special transportation needs if coordinated
ahead of time.
II.
AGENCY'S INSURANCE REQUIREMENTS

AGENCY shall procure and maintain insurance at its sole cost and expense for
the duration of the above-referenced term of Contract against claims for injuries to
persons or damages to property which may arise from or in connection with the per-
mitted use of the above-referenced facility and the activities associated with the permit-
ted use of the above-referenced facility, by AGENCY, its agents, representatives,
volunteers, and employees. AGENCY's insurance coverage shall be primary insurance
with respect to the CITY, its officials, employees and volunteers. Any insurance or self-
insurance maintained by CITY its officials, employeeg or volunteers, shall be
considered in excess of AGENCY's insurance and shall not contribute to it. Certificate
of Insurance and endorsements shall be furnished to the CITY and approved by the
CITY before use of the above-referenced facility commences.
The following standard insurance policies shall be required:

A. Minimum combined single limit of $600,000 per occurrence for bodily
injury and property damage.

NON-DISCRIMINATION CLAUSE
The above named AGENCY hereby will refrain from any activity in relation to
and use of the above-referenced facility that discriminates against any person or
persons based upon race, color, creed, national origin, religion, sex, or communicable
disease, in accordance with present federal and state laws.

IV.
RESPONSIBILITIES OF KEYS
CITY will issue 0 keys to AGENCY for and during the use of above-referenced
facility. Such keys may not be reproduced or duplicated by AGENCY during use of
facility. AGENCY agrees to return these keys to CITY within 3 days after the
conclusion of the term of this contract. Upon failure to return any of said keys issued
by the CITY to said AGENCY, AGENCY agrees to replace unretumed key(s) by
purchase of new key(s) and lock(s) for each unretumed key.
V.
DAMAGES/REPAIRS
AGENCY agrees to be solely responsible for any and all damages related to and
arising out of the use of the said facility during the term of the Contract when the facility
is being- used by AGENCY. This is subject, but not limited to, any and all persons
associatpd'with said AGENCY who use said facility during the term of the Contract.
AGENCY agrees to be solely responsible for all repairs and costs of said repairs to
said facility for any and all said damages.
VI.
OFFICERS' NAMES/SCHEDULE OF ACTIVITIES
AGENCY agrees to provide a list of all officers and all other persons who will be
in charge of the activities engaged by AGENCY during the use of said facility.
AGENCY also agrees to provide addresses and phone numbers of the above-refer-
enced persons. This list of names, addresses and phone numbers must be provided to
CITY prior to the beginning of the term of the Contract.
VII.
SAFETY PROCEDURES
AGENCY hereby agrees to abide by the minimum standards of safety
regulations and procedures as provided by attached Exhibit A. League officials,
players, and employees of AGENCY are required to abide by City of College Station
park rules.
VIII.
HOLD HARMLESS CLAUSE

Each party assumes risks of personal injury and property damage attributable to
the negligence of that party and the officers, trustees, and agents thereof.
AGENCY shall indemnify and hold harmless the CITY against claims, costs or
liabilities for loss, damage, injury, or loss of life, other than that portion attributable to
CITY's fault or negligence, caused by the actions or inactions of AGENCY or its
officers, trustees, agents or third .parties acting on behalf of, as participants in
AGENCY's programs, or under the auspices of AGENCY.

associate in adjudication of any claim or related settlement.
IX
RELEASE
AGENCY hereby releases, relinquishes and discharges CITY, its officers,
agents and employees from all claims, demands, and causes of action of every kind
and character, including the cost of defense thereof, for any injury to, including death
of, any person (whether they be third persons, contractor, or employees of either of the
parties hereto) and any loss of or damage to property (whether the same be that of
either of the parties hereto or of third parties) caused by or alleged to be caused by,
arising out of, or in connection with this agreement, whether or not said claims,
demands and causes of action in whole or in part are covered by insurance.
X.
PERFORMANCE
This contract has been made under and shall be governed by the laws of the
State of Texas. The parties agree that performance and all matters related thereto
shall be in Brazos County, Texas.

I am pleased to submit herewith for your review and consideration three (3) original
copies of our firm's proposal to furnish engineering and construction supervision services for
the design and installation of proposed parking and area lighting additions at the Brazos Center.
I note that this proposal is submitted as requested resulting from a recent meeting on this
project between Commissioner Randy Sims, Ms. Phyllis Dozier, Events Facility Director, Mr.
Richard Vance, County Engineer, and myself. I note also that a copy of our proposed
'Specific Project Engineering Services Agreement" for this project is included for each of the
County Commissioners.
Our engineering services proposal included herewith assumes the furnishing of the
following services for this project:

4. Provide construction supervision and inspection services as required during the
course of construction of the project. Included also in this phase of engineering
services will be a final inspection of the project once all work is completed and
assistance as required in the closeout of the contract with the successful Contrac-
tor.
Based on the preliminary discussion held to date with representatives of the Brazos
Center and Brazos County, I estimate that the desired walkway entrances and parking lot
lighting additions can be added for approximately the following costs:

The Agreement is entered into on this day of , 19_, by and
between Brazos County, a Texas Local County Government, hereinafter referred to as County,
and McCord Engineering, Inc., a corporation (Texas Professional Corporation), hereinafter
referred to as Engineer, whereby Engineer agrees to perform and County agrees to pay for the
services provided herein;
ARTICLE I
1.01. The Project is for the planning, engineering design, bid solicitation and award, and
construction, supervision, and inspection of the parking and area lighting additions
proposed for the Brazos Center.

ARTICLE II
2.01. The County shall direct the Engineer to commence work on the project by sending to
the Engineer a "letter of authorization" to begin work on the implementation of the
Agreement and Project design pursuant to this Agreement.
2.02. Upon receipt of authorization to commence work, the Engineer shall meet with the
County for the purpose of determining the nature and extent of the Project. The County
shall designate a representative to act as the contact person on behalf of the County.
2.03. The Engineer shall determine the County's needs with regard to the Project including,
but not limited to, site evaluation, needs surveys, comparisons with other similar
projects, review of budgetary constraints, and other preliminary investigations necessary
for the Project.
2.04. The Engineer shall inquire in writing as to the information he believes the County may
have in its possession that is necessary for the Engineer's performance. The County
shall provide the information within its possession that it can make available to the
Engineer.
2.06. The Engineer shall design the Project providing the initial design of the Project includ-
ing, but not limited to, the preliminary drawings and specifications. The Engineer shall
submit to the County a detailed estimate of construction cost of the Project based on

current area, volume, or other unit costs and which indicates the cost of each category
of work involved in constructing the Project and establishing an elapsed time factor for
the period of time from the commencement to the completion of construction. The
Engineer shall submit preliminary design and cost determination for the County's review
as expeditiously as is consistent with the highest degree of professional skill and care
and the orderly progress of the work, but no later than within thirty (30) calendar days
following receipt of the "letter of authorization" to commence work.
2.06. Upon completion of the preliminary design of the Project, the Engineer shall so notify
the County. Upon request, the Engineer shall meet with the County staff and the
County Commissioner's Court to make a presentation of his preliminary design of the

Project. The Engineer shall provide an explanation of the cost estimate.

ARTICLE III
3.01. The County shall direct the Engineer to commence work on the final design of the
Project by sending to the Engineer a "letter of authorization" to begin work on the final

design phase of the Contract.

3.02. Upon receipt of authorization to proceed with final design of the Project, the Engineer
shall immediately prepare the final design including, but not limited to, the bid docu-
ments, contract, drawings, and specifications, to fix and describe the size and character
of the Project as to structural, mechanical, and electrical systems, materials and such
other elements as may be appropriate. The final design of the Project shall comply with
all applicable laws, statutes, ordinances, codes, and regulations. Notwithstanding the
County's approval of the final design, the Engineer warrants that the final design will
be sufficient and adequate to fulfill the purposes of the Project. The Engineer shall
assemble the Contract documents using suitable contract forms to the County. The
Contract documents shall include the design and specifications and other changes as
' •
required to fulfill the purpose of the Project. The County shall designate a representa-
tive to act as the contact person on behalf of the County.
3.03 The Engineer shall provide the County with complete contract documents sufficient to

be advertised for bids. Upon completion of the final design of the Project with the
submission of the complete contract documents, the Engineer, upon request of the
County, shall meet with the County Staff and the County Commissioner's Court to make

presentation of its final design of the Project. The Engineer shall provide an explana-
tion of the final cost estimate. The Engineer shall submit the final design to the County
as expeditiously as is consistent with the highest degree of professional skill and care

ARTICLE IV
4.01. Should the County elect to perform the work or any portion thereof, the Engineer shall

construction of the Project. Upon request, the Engineer shall meet with the County
Staff and the County Commissioner's Court make a presentation and recommendation
with regard to the bids submitted for the construction of the Project.
4.02. The Engineer shall review the Contractors' bids including subcontractors, suppliers, and
other persons required for the completion of the contract and make recommendations as
to the acceptability of each.
4.03. The Engineer shall review the bids submitted with the County, assist in the preparation
of the bid tabulation sheet, and make recommendations to the County with regard to the
Contractors, bids, or proposals submitted.
4.04. Where substitutions are requested by a Contractor, the Engineer shall review the
substitution requested and approve or disapprove such substitutions.
ARTICLE V
5.01. The Engineer shall be a representative of and shall advise and consult with the County
during construction, and at the County's direction, from time to time during the
correction, or warranty period described in the Contract for construction. The Engineer
shall have authority to act on behalf of the County only to the extent provided in this
Agreement unless modified by written instrument.
The-Engineer shall make visits to the site to inspect as an experienced and qualified
design professional, the progress and quality of the executed work of the Contractor and
his subcontractors, and to determine if such work is proceeding in accordance with the
Contract documents.
The Engineer shall keep the County informed of the progress and quality of the work,
and shall exercise the utmost care and diligence in discovering and promptly reporting
to the County defects or deficiencies in such work, and shall disapprove or reject work
failing to conform with the Contract documents.
The Engineer shall review and approve shop drawings and samples, the results of tests
and inspections, and other data which each Contractor is required to provide for the
purpose of determining compliance with applicable laws, statutes, ordinances, and codes
and determining whether or not the work, when completed, will be in compliance with
the requirements of the Contract documents.
The Engineer shall determine the acceptability of substitute materials and equipment
proposed by the Contractor, and receive and review maintenance and operating instruc-
tion manuals, schedules, guarantees, and certificates of inspection, which are to be
assembled by the Contractor in accordance with the Contract documents.
The Engineer shall issue all instructions of the County to the Contractor as well as
interpretations and clarifications of the Contract documents pertaining to the performance
of the work.

5.02. Based upon the Engineer's on-site inspections as an experienced and qualified design
professional, and upon his review of applications of payment and the accompanying data
and schedules, the Engineer shall determine the amounts owing to the Contractor and
recommend in writing payments to the Contractor in such amounts. The recommenda-
tion of payment by the Engineer shall constitute a recommendation by the Engineer to
the County based upon the Engineer's review of the progress of the work and that
quality of such work is in accordance with the Contract documents as the Engineer has
observed.

5.03. Upon notification from the Contractor that the Project is substantially complete, the
Engineer shall conduct an inspection of the site to determine if the Project is substantial-
ly complete. The Engineer shall prepare a checklist of items which shall be completed
prior to final acceptance.

' 5.04. Upon notification by the Contractor that the items designated for completion have been
completed, the Engineer shall inspect the Project to verify final completion.
5.05. The Engineer shall not be responsible for the work of the Contractor or any of his
subcontractors, except that the Engineer shall be responsible for the Contractor's
schedules or failures to carry out the work in accordance with the Contract documents
if such results from the Engineer's negligent acts or omissions. This provision shall not
alter the Engineer's duties to the County arising from the performance of the Engineer's
obligations.
5.06. The Engineer shall conduct at least one (1) inspection during the warranty period and
shall report to the County as to the continued acceptability of the work.
5.07. The Engineer shall not execute change orders on behalf of the County or otherwise alter
. , the financial scope of the Project without authorization of the County.
ARTICLE VI
t 6.01. The Engineer shall furnish to the County copies of the plans and specifications as
required. It is understood by the parties that copies shall be provided to the County at
the County's expense. The Engineer shall provide the County two (2) final sets of
reproducible, as-constructed record drawings showing the changes made during the
construction process, based upon the marked-up prints, drawings, and other data
furnished by the Contractor to the Engineer. The Engineer shall provide copies of
documents, computer files if available, surveys, notes, and tracings used or prepared by
the Engineer. The Engineer's work product shall be the property of the County.
ARTICLE VII
7.01. The Engineer warrants the information provided, as an experienced and qualified
professional engineer, reflects the highest professional standards, procedures, and
performances of the industry for this project. The Engineer warrants the design,

preparation of drawings, the designation or selection of materials and equipment, the
selection and supervision of personnel, and the performance of other services under this
Contract, pursuant to the highest standard of performance in the profession.
7.02. The Engineer agrees to indemnify and hold harmless the County, its officers, agents,
representatives, and employees from liability, suits, claims, and causes of action on
account of any damages, including court costs and all reasonable attorney fees, incurred
by any person(s) or property proximately caused by the intentional or negligent acts or
omissions of the Engineer or its officer, agents, or employees that results from the
execution, operation, or performance of the activities and duties under the Agreement
or damage to the County, its officers, agents, representatives and employees, incurred
from the reliance upon documentation supplied by Engineer for services requested under
this Agreement.
To the extent allowed by law or where no governmental immunity exists, the County
shall indemnify and hold harmless the Engineer, its officers, agents, and employees from
the liability on account of any injuries or damages received or sustained by any person
or persons or property, including court costs and reasonable attorney fees, incurred by
the Engineer proximately caused by the negligent acts or omissions of the County or its
officer, agents, or employees in the performance of this Agreement.
In the event of liability from suits, actions or claims arising out of or occasioned by the
negligence of both the Engineer and the County, their agents or employees, in the
performance of this Agreement, each party shall contribute toward the satisfaction of the
liability its proportionate share, which share shall be equal to the percentage of negli-
gence found to be attributable to the party.
Each party shall give the other prompt and timely notice, in writing, of all claims filed
against them arising out of the performance of activities under this Agreement.
7.03. The Engineer shall procure and maintain at his sole cost and expense for the duration
of the Contract insurance against claims for injuries to persons or damages to property
which may arise from or in connection with the performance of the work hereunder by
the Engineer, his agents, representatives, volunteers, employees, or subcontractors.
The Engineer's insurance coverage shall be the primary insurance with respect to the
County, its officials, employees, and volunteers. Any insurance or self-insurance
maintained by the County, its officials, employees, or volunteers, shall be considered
in excess of the Engineer's insurance and shall not contribute to it.
The Engineer shall include all subcontractors as additional insureds under his policies
or shall furnish separate certificates and endorsements for each subcontractor. All
coverages for subcontractors shall be subject to all of the requirements stated herein.
Certificates of Insurance and endorsements shall be furnished to the County and ap-
proved by the County before work commences.

a) Employer's liability limits of $100,000 for each accident is required.

a) Minimum of $500,000 per occurrence and $500,000 aggregate.
• Copies of all insurance policy certificates of the Engineer are furnished herein in
Appendix A.

ARTICLE Vlll
8.01. The compensation and terms for the furnishing of engineering and construction supervi-
sion services hereunder shall be in accordance with the Engineer's current standard Cost-
Plus Hourly Fee Schedule, a copy of which is included herewith in Appendix "A".
Statements will be rendered monthly for time and expenses expended during the prior
calendar month, and will be due on a net thirty (30) day basis.
'j 8.02. For the purpose of review and consideration, the anticipated costs for the furnishing of
engineering and construction supervision services for this Project are estimated in the
range of $11,000 - $13,000.
- + 8.03. Notwithstanding the above referenced cost estimate, the Engineer agrees that the total
billing to the County for providing the above enumerated scope of engineering and
construction supervision services shall not exceed a maximum of 12.0'0 of the actual
construction cost, or prior approval of the Brazos County Commissioner's Court shall
be required for any payment in excess thereof.
j 8.04. A five (5) percent retainage shall be withheld monthly from the Engineer's billing for
serfices rendered until the completion and acceptance of the project by the County, at
which time said retainage shall be paid in full.

E 9.01. The County may at any time terminate the Project for convenience. At such time the
County shall notify the Engineer who shall cease work immediately. The Engineer shall

ATTENTION COUNTY JUDGE: Al Jones
Formal notice is hereby given that GTE will construct a
communication line within the right-of-way of a County Road
in Brazos County, Texas as follows:
At the intersection of FM 2223 and Mancuso Road, a
buried cable will be placed in north ROW of Mancuso
Road, extending east for a distance of 829' at a
depth of 30".
The location and description of this line and associated
appurtenances is more fully shown by two copies of drawings
attached to this notice. The line will be constructed and
maintained on the County Road right-of-way in accordance with
governing laws.
Notwithstanding any other provision contained herein, it is
expressly understood that tender of this notice by GTE does
not constitute a waiver, surrender, abandonment or impairment
of any property rights, franchise, easement, license, authority,
permission, privilege or right now granted by law or may be
granted in the future and any provision or provisions so con-
strued shall be null and void.
Construction of this line will begin in March, 1995.
