Adjourn. -2- Y 0 0 COMMISSIONERS' COURT SPECIAL MEETING FEBRUARY 15, 1993 A special meeting of the Commissioners' Court of Brazos County, Texas was held in the Commissioners' Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Monday, February 15, 1993, with the following members of the Court present: R. J. Holmgreen, County Judge, Presiding; Gary Norton, Commissioner of Precinct 1; Walter Wilcox, Commissioner of Precinct 2; Randy Sims, Commissioner of Precinct 3; Milton Turner, Commissioner of Precinct 4; Mary Ann Ward, County Clerk. Pratt Brazos County Resident Laura Hampton Junior League Commissioner Sims gave the invocation and led the pledge of allegiance. The Court next considered approval of the minutes of the Commissioners' Court meetings held October 19, 1992 and October 26, 1992. Commissioner Sims moved to approve the minutes as submitted. Commissioner Norton seconded the motion. Commissioners Norton, Sims and Turner voted to approve both sets of minutes. Commissioner Wilcox abstained from votinq for approval on the minutes of October 19, 1992 because he was not present at the meeting. The Court next considered Budget Amendment #92/93 -08, which would reallocate funds budgeted for Environmental Protection and transfer funds from the Non - Departmental 61 Commissioners' Court meeting February 15, 1993 Department to the Brazos Center. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court next heard from Raymond Newman. representative of Southwest Securities in Dallas, who proposed a way to refinance the General Obligation Refunding Bonds Series of 1985. The current bonds will be recallable March 1, 1993. Mr. Newman explained the options available to the county. Judge Holmgreen recommended the Court proceed with the refinancing of the bonds. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the refunding schedule as outlined on page three (3) of the proposal for the General Obligation Refunding Bonds, Series 1993 (Taxable). The next matter for consideration was the County depository bid for the 1993 -1994 biennium. Sharon Fairchild, County Auditor, told the Court that two (2) bids were received, one from First American Bank and the other from Nations Bank. She then recommended the depository bid be awarded to First American Bank. On motion by Commissioner Norton, seconded by Commissioner Sims, the Court voted unanimously to accept the recommendation of the County Auditor and to award the depository contract for the 1993 -1994 biennium to First American Bank. A copy of the bid tabulation analysis is attached hereto. The program will be administered by the District Attorney's office. On motion by the County Judge, seconded by Commissioner Wilcox, the Court voted unanimously to authorize the County Judge to make application on behalf of Brazos County to the Criminal Justice Division and accept on behalf of Brazos County such grant funds as may be tendered. A copy of the resolution is attached hereto. The next matter before the Court was approval of a Contractual Agreement between Brazos County and the Bryan /College Station Joint Economic Development Corporation. For the amount of $100,000 paid annually by Brazos County, the services the Economic Development Corporation will provide will include but not be limited to marketing and promoting the County in accordance with its program of work. Term of the contract will be fiscal year 1993. On motion by Commissioner Turner, seconded by Commissioner Sims, the Court voted unanimously to enter into contractual agreement with the Bryan /College Station Joint Economic Development Corporation. On motion by Commissioner Wilcox, seconded by Commissioner Turner, the Court voted unanimously to accept the recommendation of the Purchasing Agent and award the contract to Varsity Ford. The Court next considered two requests from GTE Southwest. The first to place a buried cable parallel to the south right -of -way of Harper's Ferry Road beginning 303 feet from its intersection with Scrimshaw Road for a distance of 578 feet and crossing Mariners Cove at its intersection with Harper's Ferry Road. The site is located in Precinct 1. The second to place a road bore for a buried cable in the west right -of -way of Silver Hill Road approximately 0.5 mile north of Leonard Road extending for a distance of 30.0 feet. The • M w Commissioners' Court meeting February 15, 1993 site is located in Precinct 4. The County Engineer stated that all appeared to be in order and recommended approval of both requests. On motion by Commissioner Wilcox, seconded by Commissioner Norton, the Court voted unanimously to approve the request of GTE Southwest and authorized the installation. A copy of each request is attached hereto. The Court next considered the request fom Lone Star Gas Company to place a road bore in the right -of -way of Wallis Road approximately 0.5 mile southeast of SH 21 East for a cathodic protection insulation line. The site is in Precinct 3. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the request of Lone Star Gas and authorized the installation. A copy of the request is attached hereto. The Court next considered the request from Wickson Creek Special Utility District to place a road bore in the right -of- way of Deer Run Drive /Deerfield Estates for the purpose of installing a 2 inch water line. The site is located in Precinct 3. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the request of Wickson Creek Special Utility District and authorized the installation. A copy of the request is attached hereto. The Court next considered the request from Aquila Southwest Pipeline Corporation for two (2) road bores in the right -of -way of Tonkaway Lake Road approximately 16,400 feet from its intersection with Bird Pond Road for the purpose of installing two (2) natural gas pipe lines. The site is located in Precinct 3. Included with the request is company check no. 016653 in the amount of $1,000.00. The County Engineer stated that all appeared to be in order and recommended approval. Holland Winder, County Engineer, stated that he had reviewed the plat and it appeared to be in order. He recommended approval pending receipt of Bond for the construction of the road. On motion by Commis- sioner Norton, seconded by Commissioner Turner, the Court unanimously approved the final plat of Nantucket Phase III. Preparation of monthly statements showing debits, credits and balances for each separate fund; h preparation of all accounts, reports and records which may, from time to time, be required by the Court in order to properly discharge its duties as provided by law; C. daily maintenance, as necessary, of all accounts deposited with Bank; d. the furnishing on a monthly basis an analysis of accounts, including but not limited to, the average ledger balances and average collected balances of all accounts and activity analysis of banking services provided; C. the sorting in numerical order of all cancelled checks for the (i) Brazos County Clearing Account, (ii) Brazos County Payroll Account (iii) Brazos County General Fund, (iv) County Attorney Restitution Account and (v) the Brazos County Tax Assessor- Collector Regular Account. All County interest bearing and non - interest bearing checking accounts will be placed on a Combined Account Analysis, an example of which appears on Exhibit "B" attached hereto and made a part hereof for all purposes. The County may pay for services it receives through either dollar fees or by maintaining sufficient investable balances to offset the cost of services provided. COUNTY may conduct a performance review on a semi - annual basis or as deemed necessary by COUNTY to evaluate compliance with the provisions of this Agreement. COUNTY may provide assistance to EDC as requested and as mutually agreed upon. 12. EDC Shall submit its proposed annual budget to the COUNTY for review not later than April 30th of each budget year. • f r 13. It is understood and agreed that the participation of COUNTY is limited to the contribution of funds. COUNTY at no time shall be liable for the acts of EDC, its agents, or employees. 14. EDC shall procure and maintain, at its sole cost and expense for the duration of the contract, insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by EDC, its agents, representatives, volunteers, employees or subcontractors. 15. The EDC's insurance coverage shall be primary insurance with respect to the COUNTY, its officials, employees and volunteers. Any insurance or self - insurance maintained by COUNTY, its officials, employees or volunteers, shall be considered in excess of the EDC's insurance and it shall not contribute to it. 16. Certificates of Insurance and endorsements shall be furnished to COUNTY. The following standard insurance policies shall be required: a. General Liability Policy b. Automobile Liability Policy c. Workers' Compensation Policy The following general requirements are applicable to all policies: a. General Liability and, Automobile Liability shall be written by a carrier with an A:VIII or better rating in accordance with the current Best Key Rating Guide. b. Deductibles shall be listed on the Certificate of Insurance and -are acceptable only on a per occurrence basis for property damage. A deductible is acceptable for Professional Liability. d. Claims Made Policies will not be accepted, except for Professional Liability Insurance. e. The COUNTY, its officials, employees, and volunteers, are to be added as "Additional Insured" to the General Liability and the Automobile Liability policies. The coverage shall contain no special limitations on the scope of protection afforded to the COUNTIES, its officials, employees, or volunteers. f. A Waiver of Subrogation in favor of COUNTY with respect to Workers' Compensation insurance must be included. g. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, or reduced in coverage or in limits except after thirty (30) days' prior written notice by certified mail, return receipt requested, has been given to the COUNTY. h. Upon request, certified copies of all insurance policies shall be furnished to the COUNTY. The following Commercial General Liability will be required: a. Minimum Combined Single Limit of $500,000 per occurrence for Bodily Injury and Property Damage. b. Coverage shall be at least as broad as Insurance Service's Office form number CG 00 01. C. No coverage shall be deleted from the standard policy without notification of individual exclusions being attached for review and acceptance. The following Automobile Liability will be required: a. Minimum Combined Single Limit of $500,000 per occurrence for Bodily Injury and Property Damage. b. The Business Auto Policy must show Symbol 1 in the Covered Autos Portion of the liability section in Item 2 of the declarations page. The following Workers' Compensation will be required: a. Employer's Liability limits of $100,000 for each accident is required. 4 c A I , rte' 0 It c b. Texas Waiver of Our Right To Recover From Others Endorsements, WC 42 03 04 shall be included in this policy. C. Texas must appear in Item 2A of the Workers" Compensation Coverage or Item 3C must contain the following: All States except those listed in Item 3A and the States of NV, DN, OH, WA, WV, WY. 17. Certificates of Insurance shall be prepared and executed by the insurance company or its authorized agent, and shall contain provisions and warranting the following: a. The company is licensed and admitted to do business in the State of Texas. b. The insurance set forth by the insurance company are underwritten on forms which have been approved by the Texas State Board of Insurance or ISO. C. Sets forth all endorsements and insurance coverages according to requirements and instructions contained herein. i d. Shall specifically set forth the notice of cancellation, termination, or change in coverage provisions to the COUNTY. e. Original endorsements affecting coverage required by this section shall be furnished with the certificates of insurance. 18. This Agreement shall renew automatically on an annual basis unless on (1) years' written notice is given by COUNTY. 19. COUNTY shall have the right to terminate this Agreement in whole or in part any time whenever COUNTY determines that EDC has failed to comply with any terms of this Agreement. COUNTY shall notify all parties in writing thirty (30) days prior to the date of termination. The notice shall include the reasons for such termination, the effective date of the termination, and in the case 5 VOL__ • w of a partial termination, the portion of the Agreement to be terminated. Either of the parties to this Agreement have the right to terminate this contract when all parties agree that the continuation of the activities funded under this Agreement do not produce beneficial results commensurate with the expenditure of funds, provided that both parties agree in writing upon termination conditions, including the effective date of the termination. 20. Any substantial change in the Program of Work, Strategic Plan, or Budget shall be reviewable by the COUNTY at their discretion. 23. It is agreed and understood that the EDC shall meet at least monthly to conduct business. The EDC shall adopt an attendance requirement for its Board members which shall be at least equal in requirements to the COUNTY attendance requirements for their boards and commissions. 24. COUNTY and EDC state that to the best of their knowledge, no member of the Commissioners Court and no officer, employee, or agent of the COUNTY who exercises any function or responsibility in connection with the carrying out of the provisions of this agreement has any personal financial interest, direct or indirect, in this agreement. 25. EDC agrees to hold harmless the COUNTY from any and all loss, cost, or damages of any kind, nature or description which may arise from the operation of this agreement. 26. Notwithstanding anything in this agreement to the contrary, this agreement is contingent upon the appropriation of the funding by the Brazos County'Commissioner • s Court. 27. This program shall be funded by COUNTY in the amount of One Hundred Thousand Dollars ($100,000) from the Brazos County 1993 Fiscal Year Budget. 28. This agreement shall be interpreted in accordance with 7 t I 1 s a the laws of the State of Texas and shall be enforced in Brazos County. 29. This agreement shall not be assigned without the prior written consent of the county. 30. Should any word, part, or paragraph of this document be declared invalid for any reason, then, in that event, all other words, parts or paragraphs of this document shall remain effective. 31. This agreement represents the entire agreement of the parties and supersedes any prior written or verbal understanding or representations. Road: Tonkawav Road Precinct No.: Formal notice Is hereby given that (Applicant) Aquila Southwest Pipeline Corporation proposes to place a (type) natural gas (2 lings) pipeline within the right -of -way (road) Tonkaway Road _ in Brazos County, Texas as follows: The location or description of the proposed Installation is more fully shown by 3 oples of the drawings attached to this notice. 1. The County Engineer must be notified prior to the beginning of construction in order that they might be on hand to designate the actual location of the installation. 2. That all damage to the roadways and right -of -ways will be repaired to their original condition to the satisfaction of the County Engineer. 3. That Brazos County reserves the right to require Applicant to relocate or lower any such line at no cost to Brazos County, should same become necessary due to widening or lowering, or other alteration of the roadway or right -of -way. 4. That Brazos County Is In no way responsible for any damage that might occur to any existing utility lines In the right -of -way. 5. That the line will be constructed and maintained on the County right -of -way in accordance with governing laws. 6. That the line or Ilnos will be constructed no less than forty -elght Inches (48') lower than the lowest part of the drainage or bar ditch and the drainage Is to be considered at least two feet (2) below the center of the roadway. 7. That all roads shall be bored and cased for such distance, from toe of slope to toe of slope and In no case shall an open pit be allowed within tour feet of the shoulder of the road. 8. That all sites will be barricaded during the construction period. 9. That the normal charge is $500.00 per crossing and /or $40.00 per rod when paralleling the roadway established by the Commissioners' Court on January 28, 1985. 10. Ditch line shall be compacted to 90% standard density ASTM -Test method No. D -698; test shall be conducted by an independent Geotechnical testing firm; copies of all test results shall be furnished to the office of the Brazos County Engineer. 11. Construction shall be in strict conformance to the latest Texas Manual on Uniform Traffic Control D vvlces for Streets and Highways, published by the Texas Department of Transportation, and all other State and Federal laws governing utility construction.
