Adjourn. -2- VO L PAG E,-6:-;__._ COMMISSIONERS' COURT SPECIAL MEETING • • NOVEMBER 16, 1992 A special meeting of the Commissioners' Court of Brazos County, Texas was held in the Commissioners' Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Monday, November 16, 1992, with the following members of the Court present: R. J. Holmgreen, County Judge, Presiding; Gary Norton, Commissioner of Precinct 1; Walter Wilcox, Commissioner of Precinct 2; Randy Sims, Commissioner of Precinct 3; Milton Turner, Commissioner of Precinct 4; Mary Ann ward, County Clerk. The Court next considered approval of the minutes of the Commissioners' Court meetings held July 27, 1992 and August 3, 1992. On motion )y Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the minutes as submitted. The Court next considered Budget Amendment $91/92-38, which would reallocate funds budgeted for the County Judge, Jury Services, County Ittorney, Justice of the Peace Precinct 4 Place 2, Justice of the Peace Precinct 1 and transfer funds budgeted for the Non-Departmental Department to Buildings and Yards and Constable Precinct 4 to offset costs. On motion by Commissioner Norton, seconded by Commissioner Turner, the Court voted unanimously to approve the budget amendment as submitted, a copy of winch is attached hereto. VOI.^ / P P. f%,` E __57Z V Commissioners' Court meeting November 16, 1992 The next matter before the Court was the sale of various County surplus vehicles in the A&M Auction on December 5, 1992. The County Attorney requested that vehicle VINN 1GIBL5166JR133397 be taken out of the sale and transferred to the County Attorney's department and offered to substitute vehicle VINA lGlBL5167JR133389 for the sale. The first vehicle, he explained has only 81,592 miles on it while the other has 118,000 miles on it. On motion by Commissioner Sims, seconded by Commissioner Wilcox, the Court voted unanimously to approve the request of the County Attorney to take one vehicle out of the auction and transfer it to his department and substitute a second vehicle with high mileage for the sale. The Court next considered entering into an Independent Contractor Agreement with Junction Five-0-Five to supervise and manage the citizen collection stations in various locations throughout the County. The County agrees to pay Junction Five-0-Five the sum of $1,130.00 per month for the services to be rendered at each site. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to enter into agreement with Junction Five- 0-Five with the stipulation that the County Judge will not execute the agreement until the County has in place all of the facilities which it will need in order to open the recycling center. A copy of the contract to be executed is attached. The Court next considered an Exemption from Competitive Bidding Requirements of Local Government Code, Section 262.024(x)(10). This is to promote and stimulate small and disadvantaged business development. The Court will grant an exemption from the competitive bidding requirement for any work performed under a contract for community and economic development made by a county under Section 381.004 from Junction Five-O-Five. The next matter for consideration was approval to advertise for bids for fencing at the rural recycling stations. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to authorize the Purchasing Agent to advertise for bids for fencing at the rural recycling stations. The Court next considered the request by Aquila Southwest Pipeline Corporation to place two (2) road bores in the right- of-way of Greens Prairie Road for the purpose of installing natural gas pipe lines. Included with the request is company check #016258 in the amount of $1,000.00. The site is in Precinct 1. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Norton, seconded by Commissioner Sims, the Court voted unanimously to approve the request of Aquila Southwest Pipeline Corporation and authorized the installation as long as the installation met State Highway Department requirements. A copy of the request is attached hereto. The Court next considered the request by Wellborn Water Supply Corporation to place a road bore in the right-of-way of Ball Circle Road (Peach Creek Estates) for the purpose of installing a water line to provide service to County residents. The site is located in Precinct 1. The County Engineer stated tha•: all appeared to be in order and recommended approval, on motion by Commissioner Norton, seconded by Commissioner Turner, the Court voted unanimously to approve the request of Wellborn Water Supply Corporation and authorized the installation. A copy of the request is attached hereto. The Court next considered the request by McClure Engineering, Inc. to construct utilities in the right-of-way of Barron Road for= (1) installation of an 18" water line= (2) VOL__Z PAGE.:5:-,2__ Commissioners' Court meeting November 16, 1992 open cut the road to install two (2) 8" water lines (connecting to a 18" line) to provide service to Springbrook- Oakgrove Addition, College Station, Texas. The site is located in Precinct 1. The County Engineer recommended a variance to the local Subdivision Regulations and a road bore rather than an open cut across Barron Road. Commissioner Norton moved to approve the request subject to the road bore being parallel to the road. The motion was seconded by Commissioner Sims. Commissioners Norton, Sims and Turner voted "Aye", Commissioner Wilcox voted "No". The Court approved the request and authorized the installation. A copy of the request is attached hereto. The Court next considered approval of two final plats. The first was a plat of the Elliott Subdivision in Precinct 1. Holland Winder, County Engineer, stated that this had been platted a long time ago and had been considered by the Court sometime in 1989. Apparently the final plat had never been filed. Commissioner Wilcox asked if a variance had been granted originally. Holland Winder, County Engineer, stated that the plat met with all of the City of College Station regulations. It was then noted that some of the lots were smaller than the one (1) acre required for a septic system. On motion by Commissioner Norton, seconded by commissioner Wilcox, the Court unanimously approved the final plat of the Elliott Subdivision and granted a variance to the Subdivision Regulations on lots that were smaller than one (1) acre in size. The second final plat discussed was of the Crossroad Woods Subdivi®lon in Precinct 1. Holland Winder, County Engineer, stated that he had reviewed the plat and it appeared to be in order. On motion by Commissioner Norton, seconded by Commissioner Turner, the Court unanimously approved the final plat of the Crossroad Woods Subdivision. The Court next considered authorizing work outside of county rights-of;way for the enhancement of county road projects. The Road and Bridge Department requested permission VO I.- PA G E: -A 6 Commissioners' Court meeting November 16, 1992 • to enter the private property of H. W. Owens on Ward Road to remove a tree from the right-of-way for the safety and welfare of the general public. On motion by Commissioner Norton, seconded by Commissioner Turner, the Court voted unanimously to authorize the work. The Court next considered the request by GTE Southwest to place a road bore in the right-of-way of Grassbur Road approximately 0.7 miles southwest of its intersection with Vicks Lane to install a buried cable to provide service to county residents. The site is located in Precinct 3. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the request of GTE Southwest and authorized the installation. A copy of the request is attached hereto. The Court next considered the request by Bexco Operating, Inc. to place a road tore in the right-of-way of Steep Hollow Road for the purpose c-f installing a 3.5" high pressure water line. The site is located in Precinct 3. Included with the request is company check no. 6171 in the amount of $500.00. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Sims, seconded by Commissioler Wilcox, the Court voted unanimously to approve the request of Bexco Operating, Inc. and authorized the installation. The Court next considered the request by Merit Energy Company to place a road bore in the right-of-way of Lloyd Lane approximately 22 feet. from its intersection with Forsthoff Road for the purpose of installing a 3.0" low pressure gas line. Included with the request is company check #0148 in the amount of $500.00. She site is located in Precinct 3. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to approve the reques•: of Merit Energy Company and authorized Commissioners' Court meeting November 16, 1992 the installation. He asked the Auditor's office to give him a list of departments with credit cards. Commis- sioner Sims then referenced check number 92371 which was for two (2) work orders on a vehicle in the Sheriff's Department. He said he could not find one of the work orders for $115.00. On motion by Commissioner Norton, seconded by Commissioner Turner, the Court voted unanimously to approve the Claims as submitted. Pct4 •i • INDEPENDENT CONTRACTOR AGREEMENT THIS AGREEMENT, is made and entered this &7 day of 7?10ci2.4,.,k.4j 1992, by and between BRAZOS COUNTY, TEXAS acting by and through its duly elected Commissioners Court (hereinafter "COUNTY") and JUNCTION FIVE-0-FIVE, a Texas non- profit corporation (hereinafter "JUNCTION"). WHEREAS COUNTY wishes to establish citizen collection stations in various locations through the County for the deposit, disposal and recycling of plastic, metal, cans, glass, yard waste and other non-biodegradable items; and WHEREAS, JUNCTION is in the business of promoting such recycling and has sufficient staff to supervise and manage such recycling facilities; and • WHEREAS, COUNTY and JUNCTION wish to work together to promote their common purpose. IN CONSIDERATION of tht:ir mutual promises made herein, and for other good and valuable consideration, the part es hereby agree as follows: 1. Scope of Work. COUr TY engages JUNCTION to manage and supervise the collection and proper storage of rraterials, including but not limited to, glass, plastic, aluminum, yard waste, and abandoneJ consumer appliances at such recycling centers as are established by COUNTY and being more particularly described on Exhibit "A" attached hereto and made a part hereof for al purposes. Additional recycle facilities may be added over time in which case JUNCTION shall operate and supervise such centers on the same conditions and terms as herein stated. JUNCTION agrees to establish proper procedures, including but not limited to a permits ing procedure, to effectively handle the collection and receipt of waste, as described hereir, from the public; to provide for its organization and storage in a neat and clean manner ind to work with other county agents to facilitate the orderly transfer of the waste to othe - sites for ultimate disposal. 2. COUNTY agrees to pay to JUNCTION the sum of $1,130.00 per month for the services to be rendered hereunde -by JUNCTION on the first of each month, and unless otherwise agreed to in writing, all payments due to JUNCTION shall be paid in Brazos County, Texas, at 4410 College Main, Bryan, Texas, 77801. All sums remaining unpaid after the expiration of thirty (30) days from the first day of each month will bear interest as provided by Vernon's Revised Civil Statutes, Article 601(f). • 3. Schedule of Work Thu. hours of operation will be established after the peak use times of such facilities by the ge feral public can be determined, but in no event shall COUNTY keep such facilities open l(ss than forty (40) hours per week. Such times will be established with the aid of oral eomrwnications from the Director of JUNCTION relative to the high and low volume periods of usage. Such schedule of work hours may change based upon changes in seasons an J circumstances. JUNCTION agrees to employ a VO L--1-PAC E ._1.-,7 I A. ti•- sufficient number of employees to keep the stations adequately staffed forty (40) hours a week. 4. Supervision. JUNCTION shall maintain a regular, systematic inspection routine of each recycling facility by its supervisory employees to the end that the services contracted for herein shall be performed in a good and workmanlike manner. 5. Independent Contractor Relationship. JUNCTION is an independent contractor and is not an employee, servant, agent, partner or joint venturer of COUNTY. COUNTY shall determine the work to be done by JUNCTION, but JUNCTION shall determine the legal means by which it accomplishes the work specified by COUNTY. COUNTY is not responsible for withholding, and shall not withhold, FICA or taxes of any kind from any payments which it owes JUNCTION. Neither JUNCTION nor its employees shall be entitled to receive any benefits which employees of COUNTY are entitled to receive and shall not be entitled to worker's compensation, unemployment compensation, medical insurance, life insurance, paid vacations, paid holidays, pension, or Social Security on account of their work for COUNTY. 6. Employees of Contractor. JUNCTION shall be solely responsible for paying its employees and withholding FICA and any and all taxes, workers' compensation, unemployment compensation, medical insurance, life insurance, paid vacations, paid holidays, pension, profit sharing and other benefits for JUNCTION and its employees, servants and agents. 7. Minimum Wage Rate Requirements. JUNCTION hereby covenants and agrees that it shall pay to each of its employees and contract labor engaged in any way in work hereunder, a wage not less than what is generally known as the "Federal Minimum Wage" as set out in 29 U.S.C., paragraph 206, and any amendments hereto. Furthermore, JUNCTION shall produce proof of compliance with this provision to COUNTY upon request. COUNTY may withhold payments due to JUNCTION hereunder until JUNCTION has complied with this provision. 8. Insurance. JUNCTION shall furnish the COUNTY with current certificates of coverage of JUNCTION, and proof of payment by JUNCTION, for workers' compensation insurance, general liability insurance, motor vehicle insurance and other insurance as COUNTY may require from time to time. If JUNCTION is not required by the Texas Workers' Compensation Law to provide workers' compensation to its employees, JUNCTION shall waive its exemption or exclusion from that law and shall purchase workers' compensation insurance and furnish COUNTY with a current certificate of coverage and proof of payment. JUNCTION shall maintain all such insurance coverage and ,shall furnish COUN'IY with certificates of rcncwul coverage and proofs of premium payments. If JUNCTION fails to pay a premium for insurance required by this paragraph before it becomes due, COUNTY may pay the premium and deduct the amount paid from any payments due JUNCTION or recover the balance from JUNCTION directly. w n~ . • 9. Compliance With Laws. JUNCTION shall act as an independent contractor insofar as the performance of services hereunder is concerned. To that end, JUNCTION shall employ and direct such personnel as it requires to perform said services, shall secure any and all permits that may be required in order to perform the services herein contemplated, shall exercise full and complete authority over it-, personnel, shall comply with all workmen's compensation, employer's liability and other federal, state, county and municipal laws, ordinances, rules and regulations required of an employer performing services as herein contemplated, and shall make all reports and remit all withholdings or other deductions from the compensation paid its personnel as may be required by any federal, state, county or municipal law, ordinance, rule or regulation. 10. Release and Indemnity. JUNCTION agrees to assume all risk of loss and to indemnify and hold COUNTY, its officers, agents and employees, harmless from and against any and all liabilities, demands, claims, suits, losses, damages, causes of action, fines or judgments, including costs, attorneys' and witnesses' fees and expenses incident thereto, for injuries to persons (including death) and for loss of, damage to, or destruction of property (including property of COUNTY) arising out of or in connection with this agreement unless caused by the gross negligence or willful misconduct of COUNTY, its officers, agents or employees. In the event that any demand or claim is made or suit is commenced against COUNTY, COUNTY shall give written notice thereof to JUNCTION within five (5) days of such demand, claim or suit becoming known to the County utilizing the procedure for notice set forth in paragraph 16 below. JUNCTION shall have the right to compromise or defend the same to the extent of its own interest. 11, Payment. COUNTY shall remit to JUNCTION payment for services rendered within fourteen (14) days after receipt and approval of JUNCTION'S invoices. 12. Assignment. COUNTY may assign any or all of its rights and duties under this Agreement at any time and from time to time without the consent of JUNCTION. JUNCTION may not assign any of i•s rights or duties under this Agreement without the prior written consent of COUNTY. 13. Term. This Agreemer t is effective on the date specified in paragraph 26 below and shall continue in effect t ntil canceled by either parry upon thirty (30) days' written notice to the other party. ; uch termination shall relieve neither party from its respective obligations and liabilities incurred up to the date of such termination, including but not limited to all accrued and ur paid fees. 14. Law. This Agreement shall be governed and construed in accordance with Texas law. 15. Attorneys' Fees. In t1 a event that legal action is necessary to enforce or interpret any of the provisions of this Agreement, the prevailing party shall be paid all costs and reasonable attorneys' fees incuned in connection therewith. This Agreement is to be deemed to have been prepared jointly by the parties hereto and shall not be interpreted against the party by reason of such parry, or its counsel, being the drafter. 19. Binding Agreement. This Agreement shall inure to the benefit and be binding upon the parties hereto and their respective successors and assignees. Nothing in this Agreement, expressed or implied, is intended to confer on any person, other than the parties and their respective successors and assignees, any rights or remedies under or by reason of this Agreement. 20. Further Assurances. Each parry hereto agrees to execute any and all documents and take such other action as may be necessary or expedient to further the purposes hereof. 21. Counterparts. This Agreement may be executed in any number of counterparts, each of which so executed shall be deemed to be an original. Such counterparts shall together constitute one and the same Agreement. 22. This Agreement represents the entire agreement between the parties pertaining to the subject n atter hereof. Said document supersedes any and all prior agreements and conversations I etwcen the parties pertaining to the subject matter hereof. The parties to this Agreement warrant and represent to one another that they have the power and authority to enter into and perform their respective obligations under this Agreement in i he names, titles and capacities herein stated and on behalf of any entities, persons, estates or firms represented or purported to be represented by such person, and that all formal requirements necessary or required by any state and/or federal law or private agreement in order for the parties to enter into and perform their respective obligations under this Agmement have been fully complied with. JUr CTION and COUNTY hereby acknowledge that they have read all of the provisions of the .Agreement, and that they have signed this Agreement with full knowledge and understandii g of the same. 26. Effective Date of Agreement. The "Effective Date" of this Agreement shall mean the later of the two dates on which this Agreement is signed by JUNCTION and COUNTY, as indicated by the dates accompanying their respective signatures below; provided, however, that if either or both parties fail to date their signatures below (or if having dated a signature, fail to bring the date current upon any updated signature, initialling or similar confirmation of s ny change to the form or content of the Agreement), then the parties shall use the best extrinsic evidence practicable in order to determine the date of final agreement by the parties and, accordingly, the "Effective Date" of this Agreement.
