THE COMMISSIONERS COURT WILL MEET IN REGULAR SESSION ON TUESDAY,
MARCH 10, 1998 AT 9:00 A.M. IN THE COMMISSIONERS COURTROOM OF THE
BRAZOS COUNTY COURTHOUSE, 300 EAST 26TH STREET, SUITE 115, BRYAN,
TEXAS.
1. Invocation - Commissioner Jones.
2. Pledge of Allegiance - Commissioner Jones.
3. Citizens input and/or concerns. At this time, the Judge will open the floor to citizens
wishing to address the Court on county- related issues not scheduled on the agenda. Please
limit subject matter to five minutes. The Commissioners will receive the information,
conduct research into the matter, and/or place the matter on a future agenda for
discussion. (A record is made of the meeting; therefore, please give your name and
address for the record.)

REGULAR MEETING
MARCH 10, 1998
A regular meeting of the Commissioners' Court of Brazos
County, Texas was held in the Commissioners' Courtroom in the
Courthouse in Bryan, Brazos County, Texas, beginning at 9:00
a.m. on Tuesday, March 10, 1998, with the following members of
the Court present:
Alvin W. Jones, County Judge, Presiding;
Tony Jones, Commissioner of Precinct 1;
Wm. S. Thornton, Commissioner of Precinct 2;
Randy Sims, Commissioner of Precinct 3;
Carey Cauley, Jr., Commissioner of Precinct 4;
Mary Ann Ward, County Clerk.
Attached is a list of the citizens and officials in
attendance.
Commissioner Sims gave the invocation and led the pledge
of allegiance.
There was no citizen input and /or concerns.
The Court next considered Budget Amendment #97/98 -20.1
through 20.4, which would reallocate funds budgeted for Risk
Management and Sheriff's Office /Administration, and transfer
funds to Community Support from Contingency. On motion by
Commissioner Sims, seconded by Commissioner Cauley, the Court
voted unanimously to approve the budget amendment as
submitted, a copy of which is attached hereto.

Commissioner Cauley moved to approve the changes. Commis-
sioner Sims seconded the motion. Commissioner Sims asked that
the motion be amended to exclude June Smith from a six month
pay increase. Commissioner Cauley amended his motion and
Commissioner Sims amended his second. The Court then voted
unanimously to approve the changes with the stipulation.
The Court next considered the following Claims as
submitted by the County Treasurer for payment:

On motion by Commissioner Cauley, seconded by Commissioner
Sims, the Court voted unanimously to approve the Claims as
submitted.
The next matter for consideration by the Court was a
proposal to offer deferred compensation to County employees
through Valic. The County Judge
moved to approve the
proposal. Commissioner Sims seconded the motion. commis-
sioner Sims then asked how many more providers the County was
going to add. Commissioner Thornton questioned the contract.
The Court then voted unanimously to offer the Valic deferred
compensation plan to the employees.
The Court next considered Brazos County's participation
in the joint review project concerning the State's tobacco

lawsuit and subsequent settlement agreement. The counties are
studying whether to take action collectively or independently
in the tobacco lawsuits. On motion by Commissioner Sims,
seconded by Commissioner Cauley, the Court voted unanimously
to join in the law suits.
The Court next considered authorizing the Auditor's
office to process recurring payment requests for the

fauction scheduled for May 16, 1998. On

unanimously to accept the recommendation
of the Purchasing Agent and award the
contract to Swico Auctions. A copy of
the recommendation and the Agreement is
attached hereto.

RFP No. 98 -035 Consultant for Liability Insurance
Cheryl Turney, Purchasing Agent,
recommended acceptance of the proposal
submitted by Risk Management Group. On
motion by Commissioner Sims, seconded by
Commissioner Cauley, the Court voted

unanimously to accept the recommendation
of the Purchasing Agent and award the
contract to the Risk Management Group. A
copy of the recommendation and the
proposal is attached hereto.
Bid No. 98 -042 Seal Coat Project
Cheryl Turney, Purchasing Agent,
recommended acceptance of the bid
submitted by Ploch Construction. On
motion by Commissioner Cauley, seconded
by Commissioner Sims, the Court voted
unanimously to accept the recommendation
of the Purchasing Agent and award the
contract to Ploch Construction. A copy
of the bid tabulation is attached hereto.
The next matter before the Court was a request from the
Purchasing Agent to reject Bid No. 98 -036 Refinishing the
Floors at the Brazos Center in Assembly 1 and 2 and approval
to advertise again. The Purchasing Agent stated in a memo
that the bids exceeded the budget limit. On motion by
Commissioner Thornton, seconded by Commissioner Cauley, the
Court voted unanimously to reject all bids received and
authorize the Purchasing Agent to advertise again.
The Court next considered authorizing work outside of
county rights -of -way for the health, safety and welfare of the
general public. The Road and Bridge Department requested
permission to enter the private property of Merrill Bonarrigo
on Old Reliance Road in Precinct 3 to remove a tree from the
right -of -way. On motion by Commissioner Sims, seconded by
Commissioner Cauley, the Court voted unanimously to authorize
the work.
The Court next considered acceptance of a Warranty Deed
for right -of -way on Blue Ridge Drive in Precinct 1.
Commissioner Thornton asked about the lack of a notary seal on
the Acknowledgement. He was shown the original which had an
embossed notary seal. On motion by Commissioner Jones,
seconded by Commissioner Cauley, the Court voted unanimously
to authorize the County Judge to accept on behalf of Brazos
County a Warranty Deed from Sharon S. Long for the expansion
and improvements to Blue Ridge Drive.

The Court next considered acceptance of a Warranty Deed
for right -of -way on Blue Ridge Drive in Precinct 1. On motion
by Commissioner Jones, seconded by Commissioner Cauley, the
Court voted unanimously to authorize the County Judge to
accept on behalf of Brazos County a Warranty Deed from Charles
R. Chui and Margaret Chui for the expansion and improvements
to Blue Ridge Drive.

department would do everything possible
to save the cedar tree in front of the
Courthouse.
2) Buck Buchanan, local auctioneer, thanked
the Court for bidding auctioning
services.
The County Judge made the following comments:
1) There will be no Commissioners Court
meeting March 17, 1998.
2) He commended the District Clerk for
trying to intercept funds due to the
County.
3) He spoke with the District Clerk stating
that the Collections Department had
collected on behalf of the County,
$400,000 with Probation and $183,000
without probation since November 17,
1997.
4) He read aloud the list of committee
members for the Blue Ribbon Exposition
Center Committee. A copy of the listing
is attached hereto.
John Delaney, Judge of the 272nd District Court made the

1) He commended the District Clerk for
i undertaking the job of collecting fees
and fines.
2) He invited everyone to come see his new
court recording equipment.
Ed Dobbins, Director of Building Maintenance made the
following comment:
1) He requested removing the old elevator in
the lobby.

On this the 10th day of March 1998 at a regular meeting of the
Commissioners' Court, the following members were present:

After thorough evaluation of the proposals received, the Brazos County Purchasing
Department in conjunction with the City of College Station and City of Bryan Purchasing
Departments unanimously recommend that we enter into contract with Swico Auctions for
the joint auction scheduled for May 16, 1998.
This recommendation is based on the following factors:
a) Turnkey services provided by Swico Auctions offset the minimal difference in proposed
commission rates;

AGREEMENT TO SELL' BY PUBLIC AUCTION
1, Alvin W.Jones _ hereinafter referred to as SELLER, or the autiorized agent
for Brazos County , warrants by signature that he has full authority to sell
the property described herein and hereafter, and does hereby request that SWIC D Auctions sell by
public auction to be held on May 16, 1998 and
conducted at Brazos County Road b Bridge Facility , for the
following items briefly described as: government su=lus. obsolete • and /or
seized property
and further described in the schedule of property presented prior to the sale and s incorporated into am ,
made a part of this agreement.
1. SELLER warrants the items to be free and clear of all liens, or the lien holder: are here listed for
notification and joint payment by SWICO Auctions:

and SELLER will provide all required titles clear and transferable, fully executed, to all buyers within ter
days of the sale.
2. SELLER agrees this AUCTION WILL BE HELD ABSOLUTE, without prices reserves cr "buy backs'.
and all items are to be sold to the highest bidder.
3. SELLER agrees that SWICO Auctions will provide advertising as determined solely by SWICO
Auctions, will collect all funds and make payment of all sales taxes, will direct or F rovide 'or arranging
and accounting of all sale items.
4. SELLER agrees to pay SWICO Auctions for the service rendered, a commission fee of 5 % of the ;
gross proceeds plus $ 1500.00 for advertising (to be prorated for multiple consignor sales) or a

5. Additional services and expenses for which the cost will be added to the above commi ;sion will
include:

6. SWICO Auctions will make payment to tie SELLER and /or jointly to any lien t older for goods sold

7. Should SELLER elect to terminate or broach any terms of this agreement, SELLER will pay SWICO
Auctions all costs and expenses incurred plus 1� •000.00 as liquidated damages, and any reasonable
attorney fees arising from such termination. The removal of any item from this sal a by the SELLER after
advertising has been placed shall be subject to the commission payment listed above at an appraised
value determined by SWICO Auctions.
8. SELLER understands SWICO Auctions will take all reasonable steps to protec the sale items, but wil
not be liable for theft or damage to the items at any time or for any reason.
9. SELLER assumes ALL risk and liability which may arise from the failure to con ply with any Federal,
State or regulatory agency requirements, including environmental pollutants and shall pay all costs for
the clean up of such pollutants and any fines or legal action arising from any such liability
10. SELLER warrants that there are no hidden defects the items being sold, or w-ll provide a written
listing of any exceptions to SWICO Auctions at least three days prior to the sale i or public disclosure,
and agrees to hold SWICO Auctions harmless should any legal action come fortt from such hidden
defect.

Re: Risk & Insurance Management Consulting Contract
Dear Judge Jones,

This letter and the attached proposal dated February 26, 1998 will serve as the basis of
the relationship between the Brazos County (hereinafter referred to as Client) and Risk
Management Group of Texas, Inc. (RMG) effective on the date accepted.
Client will pay to RMG for services rendered the fees and expenses described in the
portion of the Proposal titled 'Services Requested By Brazos County'. RMG will maintain
time records of all personnel which provide billable services to Client, and those time
records will be attached to each invoice.
Client will pay RMG's fee and expense billings without deduction of any kind within fifteen
(15) days from the date of invoice unless otherwise agreed to in writing by RMG. RMG
may terminate this agreement without notice for non - payment. RMG may charge interest
on past due amounts at an annualized rate not exceeding 1 1/2% per month.

Confidential information obtained by RMG concerning Client will be treated as confidential
and will not be released to outside parties without prior approval by an appropriate
representative of Client. The foregoing shall not apply to the extent that disclosure is
required by law or order of a court or governmental body or if the information is in the
¢. public domain.
Client will promptly provide RMG accurate and complete information as requested by RMG
ii from time to time with regard to Client's loss experience, risk exposures, or current or
anticipated changes in Client's business operations that may affect the service areas
selected above which Client requests RMG to provide or which may affect coverages
which are provided under insurance policies in force as of the date of RMG's engagement

Client will promptly review all policies and other coverage documents in connection with
insurance purchased by Client. Client will promptly advise RMG of any errors or changes
desired by Client in such policies or coverage documents.

Client is to be responsible for making final decisions with respect to the accuracy and
completeness of any underwriting submissions which Client requests RMG to submit to
insurance agents, insurance brokers, or insurance companies on Client's behalf.
t Client is responsible for making the final decisions concerning whether to purchase or to
decline insurance coverages. If insurance coverage is recommended by RMG and
declined by Client, Client agrees to confirm its decision in writing for RMG's files to avoid
misunderstanding should an uninsured loss occur.
RMG will not be responsible for any financial loss sustained by Client as a result of the
insolvency of any insurance carrier that currently, previously or in the future provides
f insurance for Client.

In the event that RMG makes suggestions or recommendations which are outside the
scope the service areas selected by Client and Consultant does not charge a fee in
: connection therewith, RMG shall have no responsibility therefore. Client recognized that
any such suggestions or recommendations, while meant to be informative, are necessarily
incomplete without engaging RMG to perform the services related to the service area.
Unless otherwise stated in this Agreement, RMG's relationship will terminate upon
completion of the proposal project provided that this Agreement may be terminated by the
Client with 30 day written notice.

If this Agreement is terminated by Client, it is agreed that Client will be responsible for
payment of all fees and expenses due RMG through the thirty (30) day notification period.
This Agreement shall be governed by and construed in accordance with the laws of the
State of Texas (except those relating to the conflict of laws) and shall be performable in
Brazos County, Texas. Each party hereto submits to the jurisdiction of the courts of the
State of Texas and the federal courts in and for the Southern District of Texas in
connection with any dispute arising under this Agreement or any document or instrument
entered into in connection herewith.
If any provision of this Agreement is unenforceable, the enforceability of the remaining
provision shall not be affected thereby. This instrument contains the entire agreement of
the parties. No modification, discharge, or waiver of any term of this Agreement shall be
valid unless in writing and signed by the parties to this Agreement.
This Agreement supersedes all prior agreements or representations, whether oral or
written, between the parties hereto relating to the subject matter hereof, and all such prior
agreements or representations are terminated. This Agreement shall be binding upon and
shall insure to the benefit of the legal successors, heirs, and permitted assigns of the
parties hereto. Nothing contained in this Agreement creates any rights or benefits in any
third party.
No arbitration or action, regardless of form (in contract, in tort, statutory, or common law),
arising between the parties in any way out of, pertaining to, or in connection with this
Agreement may be brought by either party more than one year and one day after the date
the claim accrues; or, in the case of non - payment, more than one year and one day from
the due date.
This Agreement may not be assigned by RMG without the Client's consent.
If Client is in agreement with the terms and conditions of this Agreement, please indicate
acceptance by signing both the original and the copy, keeping the original for your files
and returning the copy to us.
