THE COMMISSIONERS COURT WILL MEET IN REGULAR SESSION ON TUESDAY,
MAY 13, 1997 AT 3:00 P.M. IN THE COMMISSIONERS COURTROOM OF THE
BRAZOS COUNTY COURTHOUSE, 300 EAST 26TH STREET, SUITE 115, BRYAN,
TEXAS.

A regular meeting of the Commissioners' Court of Brazos
F County, Texas was held in the Commissioners' Courtroom in the
Courthouse in Bryan, Brazos County, Texas, beginning at 3:00
p.m. on Tuesday, May 13, 1997, with the following members of
the Court present:
1 Alvin W. Jones, County Judge, Presiding;
Tony Jones, Commissioner of Precinct 1, Absent;
Wm. S. Thornton, Commissioner of Precinct 2;
I Randy Sims, Commissioner of Precinct 3;
Carey Cauley, Jr., Commissioner of Precinct 4;
i Mary Ann Ward, County Clerk.
Attached is a list of the citizens and officials in
f attendance.
Commissioner Cauley gave the invocation and led the

pledge of allegiance.
} There was no citizen input and/or concerns.

The Court next considered Budget Amendment #96/97-25.1
through 25.3, which would reallocate funds budgeted for the
office of Constable Precinct 7, County Clerk Records
Preservation and Management Fund, and transfer funds from
Contingency to the Sheriff's Department. On motion by
Commissioner Sims, seconded by Commissioner Cauley, the Court

voted unanimously to approve the budget amendment as
submitted, a copy of which is attached hereto.
The Court proceeded to consider the change of status of

On motion by Commissioner Cauley, seconded by Commissioner
Sims, the Court voted unanimously to approve the changes as
submitted.
The Court next considered the following Claims as
submitted by the County Treasurer for payment:

On motion by Commissioner Cauley, seconded by Commissioner
Sims, the Court voted unanimously to approve the Claims as
submitted.
The next matter for consideration was the change of
meeting time and frequency for Commissioners Court. On motion
by Commissioner Sims, seconded by Commissioner Cauley, the
Court voted unanimously to move the time from 3:00 p.m to 9:00
a.m.. The Court then began discussing a change in the
frequency of meetings. There was considerable discussion
about a change in frequency with Commissioner Sims, the County
Treasurer and Auditor all expressing concern about meeting
less frequently than once a week. The County Judge then moved
to hold Commissioners Court meetings on the first and third
Tuesdays of the month. Commissioner Thornton seconded the
motion. Commissioner Thornton and the County Judge voted
"Aye". Commissioners Sims and Cauley voted "No". The motion
failed. Demetrios Basdekas, Brazos County resident, stated
that the Court should meet each week to keep the citizens
involved and reduce the length of the meetings.
The County Judge read aloud a Proclamation designating
May 15, 1997 as the 115th Annual Law Enforcement Appreciation
Day". The Court joins with the Bryan Citizen Police Academy
Alumni Association, Bryan/College Station Apartment
Association and VFW Post #4692 to honor the dedication and
bravery of our local law enforcement professionals who deserve

our praise and appreciation for the outstanding service they
provide our community. On motion by the County Judge,
seconded by Commissioner Cauley the Court moved to proclaim
May 15, 1997 as the 115th Annual Law Enforcement Appreciation

Day" throughout Brazos County. The County Judge directed
Susan Gandy to prepare a separate Resolution for the Court's
signature that would include the Constables of Brazos County
The next matter for consideration by the Court was a
written request submitted by Joe LaBarbera, Big 8 RC&D
Coordinator requesting approval for out of state travel funds
in the amount of $1,366.00 for Walter Wilcox, Chairman of Big
8. Mr. Wilcox would be traveling to St. Paul, Minnesota to
attend the "National Association Annual Meeting" during the
week of June 15 through 18, 1997. Commissioner Sims moved to
table consideration. Commissioner Cauley seconded the motion.
The Court continued discussing the request. Commissioner Sims
then withdrew his motion and Commissioner Cauley withdrew his
second. On motion by Commissioner Sims, seconded by the
County Judge, the Court voted unanimously to grant the request
from Joe LaBarbera, Big 8 RC&D Coordinator and approved
payment of out of state travel expenses in the amount of $977
for Walter Wilcox.
The Court proceeded to consider the following blanket

On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to approve the Blanket
Purchase orders as submitted.
The Court next considered approval of a requisition from
Capital Expenditures for the purchase of a 16 foot utility
trailer for the Road & Bridge Department. Cost of the trailer
is $1,320.00. On motion by Commissioner Cauley, seconded by
Commissioner Sims, the Court voted unanimously to approve the
requisition in the amount of $1,320.00 to be paid from Capital

Commissioners Court meeting May 13, 1997
Expenditures for the purchase of a 16 foot utility trailer for
the Road & Bridge Department.
The next matter before the Court was approval of a
Contractual Agreement between Ray and Associates and Brazos
County for a comprehensive review and revision of the Brazos
County classification and compensation plan. The cost to
Brazos County will be $45,195.00 to be divided into five equal
installments beginning June 16, 1997. On motion by
Commissioner Sims, seconded by Commissioner Cauley, the Court
voted unanimously to enter into contractual agreement with Ray
and Associates for the review and revision of the County
classification and compensation plan. A copy of the
contractual agreement is attached hereto.
The Court next considered approval of the Final Plat of
a 10.00 acre tract, proposed 9.45 acres, Emino Subdivision
located in Precinct 3. Richard Vance, County Engineer, stated
that he had reviewed the plat and offered the following
comments:
1) Show a 20 feet utility easement along Arnold
Lane.
2) Show 25 feet building line along Arnold Lane.
On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court vote unanimously to approve the final plat
of a 10.00 acre tract, proposed 9.45 acres, Emino Subdivision
subject to the developer complying with the exceptions noted
by the County Engineer.
The Court next considered approval of the Final Plat of
Macy-Bundick Subdivision located in Precinct 2. Richard
Vance, County Engineer, stated that he had reviewed the plat
and offered the following comment:
1) All utility easements along Macy Road and Old
1k Bundick Road shall be 20 feet wide.

The Court next considered the request from Wickson Creek

installation. A copy of the request is attached hereto.
The Court next considered approval of the Preliminary
Plat of High Country Subdivision Phase I located in Precinct
2. Richard Vance, County Engineer, stated that he had
reviewed the plat and offered the following comments:
1) Sundown Drive as shown per 911 will be "Sunup"
Drive
2) Show a 20 feet utility easement along FM 2223
rather than the shown 10 feet easement.

On motion by Commissioner Thornton, seconded by Commissioner
Cauley, the Court voted unanimously to approve the Preliminary
Plat of the High Country Subdivision Phase I subject to the
developer complying with the exceptions noted by the County
Engineer.
The Court next considered authorizing work outside of
county rights-of-way for the health, safety and welfare of the
general public. The Road and Bridge Department requested
permission to enter the private property of Michael A. Lampe
on Nichols Road in Precinct 2 to install two (2) 24" x 30'
culverts under a private driveway and construct a drainage
ditch across private property to allow water to drain from
Nichols Road. On motion by Commissioner Thornton, seconded by
Commissioner Cauley, the Court voted unanimously to authorize
the work.
The Court next considered adopting a Resolution
authorizing a grant application to the Texas Department of
Health, Hazard Communication Branch Computer Grant Program.
The grant, for $5,000, is to assist Local Emergency Planning

Commissioners Court meeting May 13, 1997
Committees in the State of Texas in their efforts to conduct
chemical hazards analyses and emergency planning and
preparedness activities. On motion by Commissioner Sims,
seconded by Commissioner Cauley, the Court voted unanimously
to authorize the County Judge to make application on behalf of
Brazos County to the Texas Department of Health and accept on
behalf of Brazos County such grant funds as may be tendered.
A copy of the resolution is attached hereto.
The Court next considered adopting a Resolution
authorizing a grant application to the Texas Department of
Public Safety, Department of Emergency Management Facilities
and Equipment Program. Grant funds are available to qualified
local governments to assist in the design, construction, and
implementation of direction and control facilities and/or
systems based on the program emphasis. This is a 50%
reimbursing Grant'. On motion by Commissioner Sims, seconded
by Commissioner Cauley, the Court voted unanimously to
authorize the County Judge to make application on behalf of
Brazos County to the Texas Department of Public Safety,
Department of Emergency Management Facilities and Equipment
Program and accept on behalf of Bra-zos County such grant funds
as may be tendered. A copy of the resolution Ls attached
hereto.
The Court next considered two Agreements with Star
Armored, Inc. for armored car service. The first Agreement
is for the transport of currency, coin, negotiable instruments

and other documents from the Brazos County Treasurer's office
and the Adult Probation Office and delivery to Norwest Bank.
This will be done for a total of five (5) times per week and
at a cost of $300.00 per month. The term of the Agreement is
for the remainder of the 96/97 fiscal year. This amends the

current Agreement by adding the location of the second pickup.
On motion by the County Judge, seconded by Commissioner Sims,
the Court voted unanimously to enter into Agreement with Star
Armored Inc. for the remainder of the 96/97 fiscal year for

Commissioners Court meeting May 13, 1997
armored car service and authorized the County Judge to execute
the Agreement on behalf of Brazos County. A copy of the
Agreement is attached hereto. The Court took no action on the
97/98 Agreement.
The next matter for consideration was a Claim Service
Agreement with ITT Specialty Risk Services, Inc. on motion by
the County Judge, seconded by Commissioner Sims, the Court
voted unanimously to table consideration to allow further
study. The County Judge asked Commissioners Thornton and
Cauley to work with the Risk Manager, Bill Jeanes, and review
the document.
The Court acknowledged receipt of the Investment Report
for Quarter Ending 03-31-97 from the County Treasurer.
There was no citizen input and/or concerns.
The County Judge made the following comments:
a) He received a letter for a budget
amendment for CDL drug testing. There
will be a $5,000.00 maximum.
b) He received a request from Constable
Precinct 4, Duane Peters, to provide
collection services for the county. The
County Auditor said he did not think
Constables have the Constitutional
authority to collect fees and fines.
From the literature he read, he
determined that the Constable's
"responsibility is to serve at the
discretion of the Justice of the Peace"
to act as a court bailiff and to serve
civil papers.
c) He received a copy of the preliminary tax
roll recap that showed the tax value at
$4,151,440,091.00.
d) He informed the Court that legislation
allows the County to increase license
plate fees by $2.00.
There being no further business to come before the Court,
the meeting was adjourned.

2. The Contractor agrees to perform the services set forth below:
a. Phase 1 - Questionnaires, Job Descriptions, Interviews
Contractor will begin the project by conducting orientation sessions for all
i county employees to explain the process and answer questions. During these
sessions, Contractor will provide each county employee with a job description
questionnaire. Each employee will complete the questionnaire, which will be
reviewed by his/her supervisor and submitted to the Contractor for review. The

heads, and employees. In addition, the Contractor will perform a detailed review

b. Phase 2 - Salary Survey and Analysis
The Contractor will conduct a written salary survey of 12 employers (selected
counties, cities, and private employers chosen by the Commissioners' Court in '
consultation with Contractor). The survey will include 45 county "benchmark" job
titles, briefly summarizing each job being surveyed to ensure comparability of
positions. The Contractor will review the survey results and prepare a report
containing an individual chart for each job title, as well as a narrative analysis of
findings and conclusions.

c. Phase 3 - Point Factor Job Analysis, Pay Schedule, and Placements
The Contractor will perform point factor job analyses on all county jobs. (This
process involves scoring each job using the following 10 factors: required
knowledge, skills, and abilities; education and training; independence and
judgment; initiative and ingenuity; supervisory responsibility; financial responsi-
bility; level and frequency of outside contacts; physical demands; responsibility for
equipment and property; and working conditions).
The Contractor will prepare a new pay schedule for the county, and will also
compare point factor scores with the market data obtained in the salary survey
to determine proper placement of each job on the new pay schedule, taking into
consideration both internal equity and market factors.

d. Phase 4 - Procedures for Administration and Maintenance; Transition Cost
' Schedule. The Contractor will prepare Procedures for Administration and
Maintenance of the Classification and Pay Plan, ensuring consistency with
current governmental and business practices. Contractor also will prepare a
Transition Cost Schedule showing each employee's name; current job title;
recommended new job title, if appropriate; current salary; recommended pay
group, step, and salary on the new pay schedule; and any resulting cost to the
county.
e. Phase 5 - Final Report and Presentation of Results
The Contractor will prepare a Final Report detailing the methodology used in, '
and the findings and recommendations resulting from, the comprehensive review
and revision of the county's classification and pay system. Contractor will make
a formal presentation of findings and recommendations to the Commissioners

Possible Additional Phases
5. The Contractor and Brazos County may agree to proceed with the following Phases
6 and 7 after Contractor has completed Phases 1-5. Contractor agrees to honor the
costs listed below for Phases 6 and 7 through December 31, 1997.
a. Phase 6 - Employee Performance Planning, Counseling, and Appraisal
System. The Contractor will develop, in consultation with county department
heads and elected officials, a performance planning, counseling, and appraisal
system.
To develop the system, Contractor will conduct an initial decision-making
workshop for department heads and elected officials to determine objectives and
design specifications for the system. Contractor will then develop forms,
handbooks, and other materials for the system in accordance with the
agreements reached at the decision-making workshop. Upon completion of the
documentation and training materials, Contractor will conduct a full-day of training
far department heads and elected officials, instructing them in all aspects of the
system. If Brazos County desires, Contractor will also conduct brief orientation
sessions for all county employees.

Period of Contract
6. This contract period begins May 14, 1997, and concludes December 31, 1997. The
products will be spaced at different intervals, with financial information relating to
Brazos County's 1998 budget provided first, by the end of August 1997. Revised
job descriptions will be submitted by October 31, 1997.
The remainder of the contract term is provided should Contractor and Brazos
County mutually agree to proceed with Phases 6, 7, and/or 8.

c. Reasonable and documented project expenses including long distance
telephone, travel expenses, and expenses for printing multiple copies of reports
or materials for distribution, if requested, will be submitted as they are incurred

d. The final invoice and payment will be submitted and paid upon satisfactory
completion of the Contractor's obligations under this contract.
8. Brazos County agrees to pay the Contractor each installment identified in paragraph
7 upon submission of a progress report or other documentation of work completed,
together with a signed invoice for each installment.
General Provisions
9. The Contractor assumes, responsibility for furnishing normal items necessary to
perform these services, including, but not limited to, office space and furniture,
equipment, supplies, and local telephone service.
10. The Contractor may not assign the contract.
Assurances
11. Accessibility of Records. The Contractor shall give Brazos County through its
authorized representative, the access to and the right to examine records, books,
papers, or documents relating to this contract.
12. Reports. Reports produced as a result of this contract shall be the property of
Brazos County to publish, otherwise use, and to authorize others to use for public
purposes. Reports shall be presented to Brazos County in one (1) bound copy and
one (1) camera-ready copy of each report.
13. Non-Discrimination and Equal Opportunity. The Contractor is an Equal Opportunity
Employer (EOE).
14. An individual signing this contract for Brazos County is not personally liable under
it, and the Contractor agrees to seek recourse solely against Brazos County in case
of breach.
15. This contract contains the entire agreement of the parties.

Dear LEPC Chairperson:
The Texas Department of Health (TDH), Hazard Communication Branch would like to announce the
availability of grants under the Local Emergency Planning Committee (LEPC) Computer Grant Program.
The purpose of the grants is to assist LEPCs in the State of Texas in their efforts to conduct chemical
hazards analyses and emergency planning and preparedness activities. The LEPC Computer Grant Program
is administered by the Hazard Communication Branch (Branch) of TDH and provides reimbursement for
approved costs incurred for specific projects completed during a specified contract period.
TDH has developed a Request for Proposals (RFP) package to assist LEPCs in applying for a grant under
LEPC Computer Grant Program. To be eligible for a computer grant, the LEPC must follow the guidelines
set in the RFP to develop a proposal for an LEPC project which involves the use of a computer software
package called the Computer Aided Management of Emergency Operations (CAMEO) for Windows. The
proposal should demonstrate how the project will have a positive impact on the LEPC's ability to develop
emergency response plans and to respond to citizen requests for information on chemical hazards in their
community. The proposal must be submitted to TDH by 5:00 p.m. on May 23, 1997.
TDH will award computer grants to successful applicants to enable LEPCs (or the counties or cities
governing the LEPCs) to purchase the computer equipment necessary in utilizing the CAMEO software
for the proposed projects. The grants will have a total funding of $80,000 (one time only) from state fee
funds. Proposals will be capped at $5,000 each, unless multiple LEPCs in separate counties join in a
grant proposal which will be capped at $5,000 for county covered. In counties where there are multiple
LEPCs, each LEPC can submit separate proposals or joint proposals, which will be capped at $5,000.
Approximately 16 grants may be funded, depending on the merits of the proposals submitted.

Applications to fund eligible emergency management projects, at a 50% level, within the Facilities
and Equipment Program are now being accepted by the Division of Emergency Management
through June 30, 1997. Projects submitted for consideration under this program must be eligible in
one or more of the following F&E program elements: EOC Development (Direction & Control),
Maintenance and Services, Alert and Warning, Communications, or RACES.
Applications submitted for consideration must include, at a minimum, the following information:
1. Name of your jurisdiction including County and Disaster District;
2. Official name of the applicant emergency management organization;
3. The specific program element from which funding is sought;
4. The total cost of the project;
5. The amount of State share requested;
6. Have funds been appropriated for the jurisdiction's share of the project?;
7. Have Federal funds been used for any part of this project? If yes, indicate when used and the
amount;
S. Describe the project in detail, to include a timetable for project completion, and
9. Identify the ability to maintain the completed project or equipment for the approved intent.
Only $50,000 has been allocated for eligible F&E projects for the current federal fiscal year
(FY'97). Applications for eligible projects should be coordinated with your Regional Liaison Officer
prior to submission to the State Office of the Division of Emergency Management. In this transition
year, applications which were submitted for in any of the three (3) previous years (FY'94-'96) will
be considered for funding and need not be resubmitted. All we need is written notice that you
want to have your previously submitted application considered. These applications will receive
priority in the allocation process.

A. The intent of this summary is to provide eligibility requirements, application instructions and
selection criteria to local governments interested in applying for assistance under this

requirement on a reimbursable basis to qualified local governments to assist in the design,

11. BASIC ELIGTBELrff
All FdtE Program applicants must meet basic eligibility requirements when submitting application for
funding assistance under this program. The requirements are:
A. Be an emergency management agency established by law.
B. Have fifty percent or more of time as Emergency Program Coordinator.
C. Be in eompGaace with Tide VI of the Civil Rights Act of 1964.
D. Have an approved personnel merit system.
E. Have a current and State approved Emergency Management Flan.

III F & E PROGRAM
Local jurisdictions must satisfy the basic eligibility requirement to be considered in the F&E Program.
Jurisdictions desiring to paiticipate in the F&E program, must submit an application by June 30. 1997.
A board will mbet at the call of the Chairperson to determine if applicants meet eligibility requirements.
An application selection process will be established by the board based on the urgency of need giving
priority to those programs that meet the program emphasis. Applicants will be selected in accordance
with established criteria within the limits of available funds Jurisdictions not selected willbe informed
and may submit applications the following year based on the program emphasis for that year. F&E
funding under the SLA/50 is limited and not all jurisdictions making application will be granted funds.

A. The dcadliae for receipt of F&E applications is June 30, 1997. Facsimile applications will not
be accepted as original signatures must accompany the application. DEM will review the
applications to evaluate the applicant's eligibility and determine priority. If the application is
not received on time, is incomplete, or the documentation is insufficient to determine eligibility
or priority, the application will be returned to the submitting jurisdiction without further
action. Projects previously submitted for FY 1995 and 1996 will be included in the pool of
projects considered for FY 1997. In subsequent years projects will not be held over until the
next year.
B. The project coat must be obligated not later than September 30, 1997 and paid invoices
submitted to DEM by November 1S, M.
C. The applicant should first ensure that the basic eligibility requirements as described in Section
II of this document are met. Contact your Regional Liaison Officer (RLO) for clarification or
at the RLO's recommendation, contact the Techaial Operations Supervisor (512) 424-2208 or
the Operations Section Administrator at DEM at (512) 424-2271.
D. Submit a letter of application from the jurisdiction with appropriate approvals to the DEM with
an information copy to your RLO using the following format:
1. Identify your jurisdiction to include the County and Disaster District in which you are
loatcd
2. Identify the official name of the Emergency Management Organization.
3. Identify the specific F&E program element to be funded.
4. Identify the total cost of the project
5. Identify the State share requested
6. Indicate whether or not funds have been appropriated for the jurisdiction's share of
the projecL
7. Submit a time table for project completion.
Indicate whether or not Federal or State funds have been used in the initial
construction or procurement of the facility or system. If foderal funds were used •
indicate when they were granted and the amount.
8. Describe the project in as much detail as is required to explain how the project will
benefit the jurisdiction and support the current program emphasis. Attach any
supporting documents available such as a needs analysis, consultant studies, vendor
bids` risk assessment or after action reports etc. The project description is important.
Evaluation of this application will depend heavily on how well and successfully you
present your project

ARMORED CAR SERVICE AGREEMENT

This Agreement made and entered into by and between STAR ARMORED INC,
hereinafter referred to as "Company', and BRAZOS COUNTY hereinafter referred to as

In consideration of the mutual covenants and agreements contained herein, the parties
intending to legally bind themselves, their successors and assigns, hereby agree as follows:
(1) PERFORMANCE.
(a) Scope of Operation. The Company agrees to transport for and on behalf
of the Customer, currency, coin, negotiable instruments and other documents from
and deliver to NORWEST BANK, in accordance with the following schedule:
Each Monday one time per day Each Tuesday one time per day
Each Wednesday one time per day Each Thursday one time per day
Each Friday one time per day '
For a total of FIVE times per week.
Any extra trips, additions to or changes from this schedule requested by the Customer
shall be subject to adjustment of charge agreeable to the Company and the Customer.
SPECIAL PROVISIONS (Insert here)
(b) Terms of Payment. In consideration of the above specified
deliveries and services to be rendered by the Company, the Customer agrees to pay the
Company the sum of 5300,00 per month payable within ten (10) days after billing for such
services. Past due accounts shall be subject to an Interest charge at the rate of 18% per year.
The regular billing above stated does not Include the following holidays: New Year's Day,
Memorial Day, July 4th, Labor Day, Thanksgiving Day, Christmas Day, President's Day,
Columbus Day, Veteran's Day, and M. L. King Day, which are subject to an extra charge of
$25.00 per trip.
Special trips are defined as follows:
1. Any trip other than the Companys regular schedule or holiday pick-ups.
it. Any service rendered because of earlier than usual Customer dosing time.
111. The need to return to Customer's bank to pick up change orders not called in
on time.
IV. When asked to return later because of a Customers unflnlshed deposit.
V. Any service after 6:00 P.M. New Years Eve and Christmas Eve, regardless
of whether or not Customer Is scheduled for that night of the week.
The charge for "special trip' service will be the Customers daily average rate plus
$45.00 per trip.

Each time the Company's messenger is delayed by the Customer for a period of more
than seven (07) minutes to a maximum premise time of fifteen (15) minutes while attempting to
pick up a deposit or deliver a change order, an extra charge of $10.00 will be added.
(2) EFFECTIVE DATE. Subject to the terms and conditions of this Agreement,
Company service shall commence on OCTOBER 1.1996 and shall continue for a period of
twelve (12) months. At the expiration of the term provided herein, the service shall be
automatically extended from month to month until either terminated by the Company or the
Customer on thirty (30) days written notice or until superseded by a new written agreement.
(3) CONDITIONS OF ACCEPTANCE. The Company's acceptance of any
shipments shall be conditioned upon the shipments being sealed and packed in containers made
of materials of strength, durability and quality sufficient to withstand handling, stacking, strapping
and rubbing incident to transportation by the vehicle, loading, unloading and transfer, and must
be Identified in detail sufficient to enable the Company to determine that the commodity being
transported Is authorized to be shipped by the Company. The Company shall not be obligated to
receive any bag or package not property locked or sealed to its satisfaction and, in the event that
any bag or package is delivered to the Company not property locked or sealed to its satisfaction,
the Company shall under no circumstances be liable or responsible for any shortage claimed
with respect to the contents of such bag or package, Company assumes full responsibility for the
condition of the bag or package. The shipments shall be clearly labeled with the consignors and
consignee's name and address and the stated value of each parcel or container.
(4) RESPONSIBILITY OF COMPANY. The Company shall be responsible for the
safekeeping of the commodities transported and/or warehoused for the Customer. Such
responsibility shall commence when the commodities have been received, accepted and
r, receipted for by the Company and shall terminate when the commodities have been delivered to
and receipted for by the consignee thereof designated by the Customer.
(5) COMPANY LIABILITY. Liability of the Company in the event of shortage or loss
for whatever cause, including its own negligence, shall not exceed the sum of $1,500,000.00 or
the declared value signed and receipted for at the time of shipment, whichever Is less, on any
one shipment. Company or Customer may cancel or terminate this Agreement upon one (1)
y days prior written notice in the event the Insurance required to be carried by Company under
paragraph 7 shall be either canceled or substantially altered or Companys Insurance underwriter
shall notify Company of its intentions to cancel or substantially alter Companys cargo insurance.
Company shall not be Iiabie for loss or delay caused by ads of God, riot, war, or
insurrection, or cause or event beyond the control of the Company. Notwithstanding anything
herein contained, the liability of Company hereunder shall not extend to, and Company shall not
be liable for, loss or damage hereunder arising directly or Indirectly from risks as described In the
following terms: (a) Hostile or war like action in time of peace or war, including, without
limitation, action in hindering combating or defending against an actual, impending or expected
attack, (1) by any government or sovereign power or by any authority or power maintaining or
using military, naval or air forces, or (2) by military, naval or air forces, or (3) by an agent or
agents of any such government, power, authority or forces; (b) Any weapon of war employing
atomic fission or radioactive force whether In time of peace or war, (c) Insurrection, rebellion,
revolution, civil war, usurped power, seizure or destruction under quarantine or customs
regulations, or confiscation by order of any government or public authority, or risks of contraband
or illegal transportation or trade; (d) Nuclear reaction or nuclear radiation or radioactive
contamination; (e) Shortages claimed In the contents of sealed or locked shipments not caused
by Company or its employees; (f) Loss Incurred In safe(s) on the Customers premises, (g)
Breakage of statuary, marble, glassware, bric-a-brac, porcelains or similar fragile articles or
erasure of magnetic date from computer media; (h) Any act or default of Customer that Is the
direct and proximate cause of a loss or damage.

The Company shall not be liable for non-performance or delay caused by road, street or
weather conditions. The Company is not a guarantor of any pickup or delivery times and such
times are approximations or estimates.
(8) INDEMNIFICATION BY COMPANY Not withstanding any provision herein to the
contrary, the Company does hereby agree to Indemnify and hold harmless Customer from all
losses, claims of losses, damages, and expenses (including without limitation attorneys fees)
asserted against Customer by third parties directly and proximately arising out of or occurring by
reason of the negligence or misconduct of the Company, its officers, agents, employees or
authorized representatives.
(7) INSURANCE. The Company shall at all times maintain cargo and liability Insurance
In an amount sufficient to Insure the value of all commodities receipted for by the Company for
Customer and any other shippers sharing such transportation and all commodities receipted for
and warehoused by the Company at its facilities. The Company shall fumish Customer with a
certificate of insurance upon written request.
(8) CLAIMS. As a condition precedent to recovery, Customer must notify the Company
In writing of any claim or loss within twenty-four (24) hours after a loss Is discovered or should
have been discovered in the exercise of due care, and in any event within thirty (30) days after
the occurrence of any such loss and, unless notice shall have been given, any such claim shall
be deemed to have been waived. No action, suit or other proceeding to recover for any such
loss shall be maintained against the Company unless written notice shall have been given to the
Company as aforesaid, and unless such action, suit or proceeding shall have been commenced
within twelve months of the discovery of such loss by Customer with respect to which suit, action
or proceeding shall be brought. Within thirty (30) days after giving of written notice of any claim
or loss, Customer shall fumish the Company detailed written proof of loss including date of
shipment, name and address of 'consignee and consignor, and notice and description of the
shipment and the loss alleged. Customer agrees to cooperate with and assist the Company or its
insurer in the investigation and recovery of such loss. Upon payment of a loss hereunder, the
Company or its Insurance company shall be subrogated to all the Customer's rights and
remedies of recovery therefore.
(9) This Company Is regulated by the Texas Board of Private Investigators and
Private Security Agencies, P.O. Box 13509, Austin, Texas 78711. (512) 463.5545
(10) SHIPMENT AND RETURN. When delivery of a shipment cannot be made for any
reason, the Company shall notify Customer and return the shipment to the Customer or to the
Company's vault for storage. Shipments that are refused by the consignee for any reason will be
returned to the Customer or to the Company's vault for storage and notification of such return
shall be given to Customer.
(11) RECONSTRUCTIQN OF CHECKS. Customer agrees to cooperate to the fullest
extent to which it is capable in reconstructing checks constituting a part of a loss and as to said
checks, the Company's liability shall be the payment to the Customer of: (a) Reasonable costs
necessary to reconstruct the checks plus any necessary costs because of stop-payment
procedures; (b) The face value of checks that cannot be reconstructed, provided proof of the
value thereof is presented to the Company.
It is understood and agreed by the parties to this Agreement that the words "reconstruct",
'reconstructed' and 'reconstruction' shall mean to Identify the checks only to the extent of
determining the face amount of said checks and the identity of the maker or the endorser of
each. Customer agrees, in case of loss, to promptly and diligently cooperate with the Company
In the Identification and replacement of lost, destroyed or stolen checks that had been contained
in any such shipment. Complete cooperation shall Include but be limited to requests by
Customer to makers of stolen checks to issue duplicates and, in the event the makers refuse to

do so, then assert all its legal and equitable rights against said makers or to subrogate such
rights to Company and its assigns.
(12) CHANGES IN WRITING. This Agreement may not be changed or modified in any
way by oral statements or actions of any representative, messenger or agent of the Company or
Customer. Any change or modification of the Agreement must be reduced to writing and signed
by an officer of the Company and Customer.
(13) COST INCREASES. The Company reserves the nght to adjust the fees hereunder
proportionately for fuel or insurance cost increases; provided, however, that the Company shall
notify the Customer thirty (30) days in advance of any such increases and Customer shall have
the right to terminate service hereunder with thirty (30) days written notice to the Company as
the results of such increase.
