Consider and take action on rescinding Commissioners Court action rejecting proposals . • for review and revisions of the Classification and Compensation Plan. i • VOL Z2 PAU E ~I COMMISSIONERS' COURT REGULAR MEETING APRIL 22, 1997 r' A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Commissioners' Courtroom in the Courthouse in Bryan, Brazos County, Texas, beginning at 3:00 p.m. on Tuesday, April 22, 1997, with the following members of the Court present: Alvin W. Jones, County Judge, Presiding; Tony Jones, Commissioner of Precinct 1; Wm. S. Thornton, Commissioner of Precinct 2; Randy Sims, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Mary Ann Ward, County Clerk. Attached is a list of the citizens and officials in attendance. Commissioner Jones gave the invocation and led the pledge of allegiance. , There was no citizen input and/or concerns. The next matter was a presentation regarding a proposed Federal Divisional Court in Bryan-College Station. Local attorneys Gaines West and Jim James presented a proposal for a Federal Divisional Court in Bryan/College station consisting of either four (4) or six (6) counties. Commissioner Sims recommended that a Resolution be prepared for the Court's approval in support of the proposal and asked that Mr. West help with the wording. The Court next considered Budget Amendment #96/97-22.1 through 22.5, which would reallocate funds budgeted for the Constable Precinct 7 Department; set up revenue and expenditure line items and make a grant adjustment for Juvenile services; and to increase funding in all departments to accommodate the increase in the amount the County pays for eacl) employee's group health insurance premium. On motion by commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court next considered the following Claims as submitted by the County Treasurer for payment: 97-005659 through 97-006013 On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the Claims as submitted. On motion by the County Judge, seconded by Commissioner Sims, the Court voted unanimously to approve the County payroll in the amount of $543,000.00 for the April 24, 1997 payroll. The next matter before the Court was approval of the Brazos County Depository Bank Contract with Norwest Bank for the 1998 biennium. Commissioner Sims moved to approve the contract with Norwest Bank. Commissioner Cauley, seconded motion. Commissioners Jones, Thornton, Sims and Cauley voted "Aye". The County Judge abstained. A copy of the contract is attached hereto. • The next matter for consideration was a request from the District Attorney to reinstate the juvenile attorney position to a full time position. This was originally a full time position and at the request of the District Attorney the Court VO L---&~ P.A.fa Commissioners Court meeting April 22, 1997 agreed to make two (2) part time positions. As stated in his letter to the Court the District Attorney said that both Keli Lindelien and Beth Ann Thibodeaux had terminated their employment with the county and a new assistant district attorney will be filling the position. On motion by Commissioner Cauley, seconded by Commissioner Jones, the Court voted unanimously to approve the request of the District Attorney and reinstate the juvenile attorney position as a full time position. The Court next considered a request for a personal computer for the office of Constable Precinct 5. On motion by Commissioner Cauley, seconded by Commissioner Jones, the Court voted unanimously to authorize the purchase of a personal computer plus copy of Microsoft Office software. This can be done for an approximate cost of $2,000.00. The funds for the purchase will come from computer replacement funds. The next matter considered was the appointment of a county representative to serve on the Board of Directors of the Brazos Valley Museum of Natural History. On motion by Commissioner Sims, seconded by Commissioner Jones, the Court voted unanimously to appoint Commissioner Thornton to serve on the Board of Directors of the Brazos Valley Museum of Natural History. This was necessary due to the resignation of Commissioner Sandie Walker. The Court next considered approval of the following requisitions from Capital Expenditures: a) GIS Intergraph I/PLOT Server for R&B $8,025.00 On motion by Commissioner Cauley, seconded by commissioner Sims, the Court voted unanimously to approve the requisition in the amount of $8,025.00 to be paid from Capital Expenditures for the purchase of GIS Server for Road & Bridge. b) Computer Replacements for County Attorney & Computer/Network Services $2,236.00 On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the requisition in the amount of $2,236.00 to be paid from Capital Expenditures for the purchase of Computer replacements for the County Attorney and Computer/Network Services.. The Court next considered approval of the following requisitions from the General Fund: ` a) Monitor for Metropolitan Planning Organization $677.00 On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to approve the requisition in the amount of $677.00 to be paid from the General Fund for the purchase of a Monitor for the Metropolitan Planning Organization. b) Computer Hardware for Brazos Valley Narcotics Trafficking Task Force $351.00 c) Computer Software for Brazos Valley Narcotics Trafficking Task Force $2,821.00 On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve both requisitions in the total amount of $3,172.00 to be paid from the General Fund for the purchase of computer hardware and software for the Brazos Valley Narcotics Trafficking Task Force. The Court next considered awarding the following bid: Bid No. 97-034 Annual Contract for Elevator Maintenance • Dover Montgomery Elevators Kone Labor per hour $ 89.75 $ 78.50* Initial Safety Inspection $ 500.00 $275.00** Monthly Charge for Elevator maint $1,100.00 $554.00 * Straight time for mechanic $275 per elevator Cheryl Turney, Purchasing Agent, recommended acceptance of the bid submitted by Montgomery Kone. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to accept the recommendation of the Purchasing Agent and award the contract to Montgomery Kone. i/OL..~.~L.,-.,.PAUE, 142V. . Commissioners Court meeting April 22, 1997 The Court next considered a Pre-Contractual Agreement with MISI for Justice of the Peace Criminal and Civil Court Software. This Pre-Contractual Agreement authorizes MISI to proceed with installation, design and implementation of the software, pending legal review of mutually agreed terms and conditions. The base amount of the contract is $15,000.00 with an additional $10,000.00 for continued support. On motion by Commissioner Cauley, seconded by Commissioner Jones, the Court voted unanimously to approve the pre-contractual agreement and to fund the purchase from Capital Projects. A copy of the Agreement is attached hereto. The Court next considered authorizing work outside of county rights-of-way for the health, safety and welfare of the general public. The Road and Bridge Department requested permission to enter the private property of Harold Williamson on Riley Road in Precinct 3 to dispose of dead livestock. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to authorize the work. The Court next considered authorizing work outside of county rights-of-way for the health, safety and welfare of the general public. The Road and Bridge Department requested permission to enter the private property of Ellen Pullen on OSR in Precinct 4 to install a sound device (electronic bird repeller) to help control the egret problem in the area. On motion by Commissioner Cauley, seconded by Commissioner Sims, the Court voted unanimously to authorize the work. The Court next considered acceptance of a Warranty Deed for right-of-way on Elmo Weedon Road in Precinct 3. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to authorize the County Judge to accept on behalf of Brazos County a Warranty Deed from Mildred P. Murphy for the expansion and improvements to Elmo Weedon Road. The Court next considered approval of the Preliminary Plat of Blue Bird Subdivision in Precinct 3. Richard Vance, County Engineer, stated that he had reviewed the plat and offered the following comments: 1) Several road names need correctiing in both sets of field notes. 2) Show existing right-of-way on both existing roads (South Oakland Lane right-of-way varies). 3) Show proposed right-of-way on both existing roads at 70 feet. • 4) The 20 foot dirt road indicated on South Oakland Lane should be gravel instead of dirt. 5) Show all lot line dimensions on all lots. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the final plat 'IDt.._~....~..~~1t~, - - Commissioners Court meeting April 22, 1997 y I of the Blue Bird Subdivision subject to the developer complying with the exceptions noted by the County Engineer. The Court next considered approval of the Preliminary Plat of a 10.00 acre tract known as the Emino Subdivision in Precinct 3. Richard Vance, County Engineer, stated that he had reviewed the plat and offered the following comment: 1) Field Note for Right-of-Way Dedication should be 0.55 "Acres". On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the Preliminary Plat of a 10.00 acre tract known as the Emino Subdivision subject to the developer complying with the exception noted by the County Engineer. The next matter for consideration was an Intergovern- mental Agreement between Brazos County and Wixon Valley in Precinct 2, for road maintenance services. This Agreement is in compliance with Article 4413 (32c), Texas Vernon's Annotated Civil Statutes, Intergovernmental Cooperative Act that allows agreements to provide services between governmental units. On motion by Commissioner Thornton, seconded by Commissioner Cauley, the Court voted unanimously to approve the Intergovernmental Agreement between Brazos County and Wixon Valley in Precinct 2, for road maintenance services. A copy of the Agreement is attached hereto. The Court next considered the request from United Telephone Company to place approximately 5,280 feet of buried cable in the right-of-way of Old Highway 6 in Precinct 1. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Jones, seconded by Commissioner Cauley, the Court voted unanimously to approve the request from United Telephone and authorized the installation. The Court next considered the addendum to the ~r7 Commissioners Court agenda that called for rescinding the action of Commissioners Court at the meeting held April 8, 1997, rejecting proposals for review and revisions of the Classification and Compensation Plan for County Employees. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to rescind the Commissioners Court action to reject proposals for review and revisions of the Classification and Compensation Plan. There was no citizen input and/or concerns. Commissioner Sims made the following comment: a) He announced that there have been several delays in the energy savings plan and that the project is about 30 days behind schedule. The County Judge made the following comments: a) He receive a request for additional funds for the Juvenile Center. It will require a Change order. b) The architect will get bids on the addition of a perimeter fence with concertina wire along the ` top to go around the play area plus connections to the building. • c) The current Juvenile Services budget may be under funded in the following areas: 1. Psychological Testing d) He is considering rescheduling meetings to morning time and reducing the frequency of meetings to every other week. e) He received a letter from the Chamber of commerce praising Sheila Walker and her staff for their help during Trade Fest. Commissioner Jones made the following comment: a) He asked about the progress on the Courthouse Security project. I. DEPOSITOR through action of its Commissioners Court, hereby designates BANK as a depository for the period beginning March 1, 1997 for a term of two years (herein the Initial Term) with an option to renew for another two years, not to extend beyond May 31, 2001, on the same terms and conditions as set forth herein for the Initial Term. This contract is to cover all accounts owned by the County and all funds held in trust by the DEPOSITOR and placed on deposit with BANK II. During the term of this depository contract, the DEPOSITOR will, through appropriate • action of its Commissioners Court, designate the officer, or officers, who singly or jointly will be authorized to represent and act on behalf of the DEPOSITOR in any and all matters of every kind arising under this Depository Contract and to (1) execute and deliver to the BANK funds or fund transfer agreements (and any addenda thereto), (2) appoint and designate, from time to time, a person or persons who may request withdrawals, orders for payment or transfers on behalf of the DEPOSITOR in accordance with the electronic funds or fund transfer agreement and addenda and (3) make withdrawals or transfers by written instrument. III. BANK's application for Depository Contract is incorporated and made part of this contract for all purposes; however, to the extent that any provision therein conflicts with any provision herein, this Depository Contract will control. IV. • DEPOSITOR may arrange for time deposits, and BANK may accept and hold such deposits subject to payment in accordance with the terms of the deposit. In the event funds for a time deposit are withdrawn from a transaction or savings account, at maturity, BANK will deposit the principal amount of the time deposit and any accrued interest in the DEPOSTTOWs account from which funds were withdrawn to establish the time deposit. Interest shall be calculated at the rate which BANK has bid for the particular denomination and l°mo period of said deposit at competitive public bidding for said dept.-its as set forth on Exhibits B" and "B-1" attached hereto and made a part hereof for all purposes. Tune VC) BANK DEPOSITORY CONTRACT • . — deposit maturities will not extend beyond the termination of this Agreement without the expressed consent of the BANK V. BANK will be compensated for any and all services rendered to DEPOSITOR under this Depository Contract as set forth on Exhibit "C" attached hereto and made a part hereof for all purposes. BANK agrees to offset monthly service fees (as established and set out in the BANK's Application) against its customary earnings credit for balances in DEPOSITOR's transaction accounts; provided, however, that if there is insufficient earnings credit against which such fees may be offset, DEPOSITOR will be charged for such services monthly. BANK's Application and Bid For Depository Services, including all exhibits and addenda therdto, is incorporated herein by reference. VI. All funds on deposit with BANK to the credit of DEPOSITOR shall be secured by collateral as provided for in the Public Fund Collateral Act. Texas Government Code, Chapter 2257. The total of the market value of the collateral (plus accrued interest or income to the extent it is not included in such market value obtained as provided herein) securing such deposits will be in an amount at least equal to the amount of such deposits increased by the amount of any accrued interest and reduced to the extent that such deposits are insured by an agency or instrumentality of the United States government. The market value with respect to any securities (collateral) as of any date and priced on such date will be obtained from a primary dealer. BANK must receive notification of new deposits prior to 10:30 A.K on the day deposits are actually received. Twenty-four (24) hours notice is necessary on deposits totaling in excess of $1,000,000 during any banking business day. However, failure to give such notice does not excuse the BANK from properly securing these deposits in accordance with this agreement and the Public Fund Collateral Act within one (1) business day of the deposit. The Commissioners Court and/or its designated representative has the authority to reject any collateral offered by BANK which is not deemed to be allowed under the Public Fund Collateral Act or which is deemed to be of high security risk. VII. BANK has heretofore or will immediately hereafter deliver to the Federal Reserve Bank of Dallas, Texas (hereinafter "CUSTODIAN"), collateral of the kind and character above mentioned of sufficient amount and market value to provide adequate collateral for the funds of DEPOSITOR deposited with BANK Said collateral or substitute collateral, as herein provided for, will be kept and retained by CUSTODIAN in trust so long as the depository relationship between DEPOSITOR and BANK shall exist hereunder, and thereafter so long as deposits made by DEPOSITOR with BANK hereunder, or any portion thereof, shall have not been properly paid out by BANK to DEPOSITOR or on its order. x+ Z VO > y PACE 601 u.1.~...1.• n1 L. ..r. 4 0 The agreement of the parties to place the collateral with the CUSTODIAN is attached hereto as Exhibit "D" and made a part hereof for all purposes. VIII. 0 Should BANK fail at any time to pay and satisfy, when due,' any check, draft, or voucher lawfully drawn against any deposit and the interest on such deposits, or in case BANK becomes insolvent or in any manner breaches its contract with DEPOSITOR, DEPOSITOR shall give written notice of such failure, insolvency or breach to BANK, and BANK shall have three (3) business days to cure such failure, insolvency or breach. In the event that BANK shall fail to cure such failure, insolvency or breach within three (3) business days, the parties hereto authorize the CUSTODIAN to surrender to the Commissioners Court in and for the DEPOSITOR the collateral being held by the CUSTODIAN upon receipt of a certificate whereby the DEPOSITOR, through its authorized representative, certifies that BANK has failed to perform its obligations under this contract, has otherwise breached this contract or has become insolvent. The BANK agrees and hereby instructs the CUSTODIAN that a copy of this agreement attached to the certificate(s) shall serve as the BANK's consent and approval for the CUSTODIAN to sell and/or convert the collateral to the use of the DEPOSITOR. The BANK agrees and is bound to provide any other approvals.or consents the CUSTODIAN may require in order to release the collateral for DEPOSITOR's use. The parties further agree that the DEPOSITOR may seek an order or declaration or order of a court of lawful jurisdiction in the event that the BANK does not comply with this provision or in the event the CUSTODIAN refuses to surrender the collateral to the Commissioners Court, with all costs and attorney's fees incurred by DEPOSITOR to be reimbursed thereof pay DEPOSITOR all damages and losses sustained by it, together with all expenses of any and every kind incurred by it on account of such failure or insolvency, or sale, accounting to BANK for the remainder, if any, of said proceeds or collateral remaining unsold. IX. Any sale of such collateral, or any part thereof, made by DEPOSITOR or the CUSTODIAN, as appropriate, hereunder may be either at public or private sale; provided, it shall give both the DEPOSITOR, if the sale is made by the CUSTODIAN,,and BANK ten (10) days notice of the time and place where such sale shall take place, and such sale shall be to the highest bidder therefor for cash. DEPOSITOR and BANK shall have the right to bid at such sale. X. 0 If Bank shall desire to sell or otherwise dispose of any one or more of said securities pledged as collateral and deposited with the CUSTODIAN, it may substitute for any one or more of such securities other securities of the same or greater market value and of the character authorized herein and by the Public Funds Collateral Act. If at any time the aggregate market value of such collateral so deposited with CUSTODIAN be less than the total sum of the DEPOSITOR's funds on deposit with said BANK, BANK shall immediately deposit with CUSTODIAN such additional collateral as may be necessary to cause the market value of such collateral to equal the total amount of required collateral. BANK shall be entitled to income on securities held by CUSTODIAN, unless there is insufficient collateral on deposit with the CUSTODIAN to cover the public funds as required by law at the time the request is made. Approval of the DEPOSITOR will be required in all circumstances and if the collateral deficiency is not seasonably cured and the DEPOSITOR's consent is not given (in writing), the income becomes collateral for public funds to the extent of the collateral deficiency. The consent of the DEPOSITOR must be obtained for a security to be released as collateral. Before a security is released from collateral that is to be replaced, the BANK must present to the DEPOSITOR the replacement collateral that is being offered, and the DEPOSITOR must accept such replacement. XI. i I If at any time the collateral in the hands of the CUSTODIAN shall have a market value in excess of the sum of balances due DEPOSITOR by BANK, the DEPOSITOR may authorize the withdrawal of a specified amount of collateral by the BANK based on a written request from the BANK to the Commissioners Court. MI. Either DEPOSITOR or BANK shall have the right to terminate this agreement prior to the expiration date by providing advanced written notice to the other party of its election to do so, and this agreement shall be void from and after the expiration of ninety (90) days after the receipt of such notice, provided all provisions of this agreement have been fulfilled. MI. Ninety (90) days prior to the expiration date of the Laitial Term, either party wishing to exercise its option to renew this contract for an additional two (2) year term (the Option Period), must deliver written notice exercising such option to the non-exercising party as referred in Article XVII herein. XIV. When the relationship of DEPOSITOR and BANK shall have ceased to exist between DEPOSITOR and BANK, and when BANK shall have properly paid out all deposits of DEPOSITOR, it shall be the duty of the County Treasurer to issue a certificate to that effect to the BANK and the Commissioners Court, and, if all obligations under this agreement and applicable law have been fulfilled, Commissioners Court will issue written 4 VOL ;i a authorization to the CUSTODIAN to deliver all collateral being held in the possession of the CUSTODIAN to the BANK XV. s This contract is subject to, and incorporates, the current laws governing the relationships between counties, depositories and custodians/trustees and related entities as established by the Texas Local Government Code and the Texas Government Code and any amendments or revisions thereto. BANK warrants and represents that it shall comply with all applicable laws, rules and regulations which govern or apply to this contract. BANK further warrants that in the event that it is aware of any violation of applicable laws, rules and regulations, it will bring the event to the attention of the CUSTODIAN and the DEPOSITOR immediately and in writing within three (3) business days. XVI. This agreement is entered into and is performable in BRYAN, BRAZOS COUNTY, TEXAS, and the venue of any legal actions or proceedings arising out of or related to this contract, or out of any disputes between the parties concerning the subject matter of this contract or arising out of the violation or application of any law governing the subject matter of this agreement (including but not limited to the Public Funds Collateral Act, Texas Government Code, Chapter 2257) is placed by agreement of the parties in BRYAN, BRAZOS COUNTY, TEXAS. BANK warrants that the collateral (in the form and amount required by law) is held by CUSTODIAN for the benefit of DEPOSITOR and as security for DEPOSITOR's funds. The Commissioners Court shall deliver to BANK within five (S) working days from the date of execution of this agreement, a list of those individuals authorized to act on behalf of the Court, the Clerk's, the Tax Assessor-Collector, and the Law Enforcement Offices in regard to the matters stated herein. The BANK shall deliver to the Commissioners Court on the date of execution hereof a Certified Corporate Resolution of its Board of Directors approving this contract and the execution thereof. The BANK shall deliver to Commissioners Court on the date of execution hereof a Certified Corporate Resolution of its Board of Directors indicating the authority of an individual(s) to pledge collateral on behalf of the BANK This contract, Brazos County Invitation to Bid No. 97-021, and BANK's response to Bid No. 97-021 represents the entire agreement between the parties and supersedes any and all representation or agreement, both oral or written, not therein reflected. If any conflicts or inconsistencies shall arise among the terms of this agreement, Bid No. 97-021, and BANK's response to said Bid, the terms of this Contract shall control, then the terms of Bid No. 97- 021 and then the Response. R EXHIBIT 'D" SECURED DEPOSITORY AGREEMENT I THIS SECURED DEPOSITORY AGREEMENT is made and entered into on March 31st , 1997 by and between BRAZOS COUNTY, TEXAS ("Depositor"), and NORWEST BANK, TEXAS - SOUTH CENTRAL, a state banking corporation ("Depository"). 1. Designation of Depository. Depositor hereby designates Depository as a depository for the period beginning April 24. 1997 , and continuing until this agreement has been cancelled in accordance with its provisions, for certain accounts in the name of the Depositor which accounts shall be opened by Depositor designating the accounts and making deposits herein and Depository accepting said deposits. 2. Deposits. Depositor may from time to time and at its discretion place funds on deposit with Depository as one or more of the deposit types listed on Exhibit A to this agreement, and subject to Depository's acceptance thereof, such deposits shall be held and maintained by Depository in accordance with the terms of the signature cards, certificates, account agreements, the Bank Depository Contract, the Brazos County Invitation to Bid No. 97-021, and the Bank's response to Bid No. 97-021, or other documents evidencing such deposit (the 'Account Agreements"). 3. Account Agreements. Subject to the terms and provisions of the Account Agreements (which by this reference are incorporated herein),-Depository shall, upon presentation of instruments properly issued, pay to or in accordance with the order of Depositor all or any portion of funds deposited with Depository (and, if applicable, any interest thereon) pursuant to this agreement. 4. Security for Deposits. All funds on deposit with Depository to the credit of Depositor other than those which are insured by the Federal Deposit Insurance Corporation (the "Secured Deposits') shall be secured by securities owned by Depository which (a) are authorized by applicable law for use as security for deposits of public funds, and (b) have an aggregate market value at least equal to the dollar amount of the Secured Deposits, as that amount changes from time to time (the "Eligible Collateral"). Duties of Custodian upon Default. Should an Event of Default (as defined in the Security Agreement and the Bank Depository Contract) occur, it shall be the duty of the Custodian upon demand of Depositor (supported by proper evidence of such occurrence), to (a) notify Depository in writing at its address stated below of Custodian's intention to sell the Eligible Collateral at private or public sale, and of the time and place thereof, (b) no fewer than three (3) days after giving such notice, sell the Eligible Collateral, or deliver on order for sale; and (c) distribute and pay the proceeds therefrom in accordance with the Security Agreement. The right of substitution herein provided shall remain in full force and be exercised by Depository as often as it may desire to sell or otherwise dispose of any securities then in the hands of the Custodian. Depositor shall, on request of Depository or the Custodian and without delay, deliver such confirmation or other acknowledgement (however denominated) of such substitution as may be required by Custodian, however it is agreed and acknowledged by Depositor and Depository that Depository's right of substitution is not subject to Depositor's approval or consent. It is agreed that the securities in the hands of the Custodian pursuant to this agreement shall at all times constitute Eligible Collateral. This policy will be reviewed and adopted by resolution at least annually. 1.3 This investment policy applies to all financial assets of all funds of Brazos County at the present time, any funds to be created in the future, and any other funds held in custody by the County Treasurer, unless expressly prohibited by law. 1.4 In accordance with Texas Local Government Code, Sec. 116.112(A), and/or Chapter 2256, Sec. 2256.005 (f) and (g), the County Treasurer, under direction of Commissioner's Court, is authorized to invest County funds that are not immediately required to pay obligations of the County. Funds of the County will be invested in accordance with federal and state laws, this investment policy, and written administrative procedures and strategies that have been adopted by commissioners, Court resolution and revised as needed. 2.2 SAFETY. Brazos County is concerned about the preservation of its principal; therefore, the return of principal and safety of principal are primary objectives in any investment transaction. 2.3 LIQUIDITY. The County's investment portfolio must be structured in conformance with an asset/liability management plan which provides for liquidity necessary to pay obligations as they become due. 2.4 YIELD. It will be the objective of the County to earn a yield higher than that paid on 91-day T-Bills within the policies imposed by its safety and liquidity objectives, investment strategies for each fund, and state and federal law governing investment of public funds. 2.5 DIVERSIFICATION. It will be the policy of Brazos County to diversify its portfolio to eliminate the risk of loss resulting from overconcentration of assets in a specific maturity, a specific issuer, or a specific class of investments. Investments selected by the County shall always provide for stability of income and reasonable liquidity. 2.6 MATURITY. Portfolio maturities will be structured to meet the obligations of the County first and then to achieve the highest return of interest. When the County has funds that will not be needed to meet current-year obligations, maturity restraints will be imposed based upon the investment'strategy for each fund. The maximum allowable stated maturity of any individual investment owned by the county is 2 years. 2.7 QUALITY AND CAPABILITY OF INVESTMENT MANAGEMENT. It is the County's policy to provide the training required by the Public Funds Act, Sec. 2256.008, and additional training in investments for the County Investment Officer through courses and seminars offered by professional organizations and associations. This training will insure the quality, capability and currency of the County Investment Officer in making investment decisions. 0 f 3.0 INVESTMENT TYPES. The Brazos County Investment Officer will make no investments in derivative products. The Public Funds Investment Act specifically prohibits the following investments: 3.8.1 obligations whose payment represents the coupon payments on the outstanding principal balance of the underlying mortgage-backed security collateral and pays no principal; 3.8.2 obligations whose payment represents the principal stream of cash flow from the underlying mortgage- backed security collateral and bears no interest; 3.8.3 collateralized mortgage obligations that have a stated final maturity date of greater than 10 years; and 3.8.4 collateralized mortgage obligations the interest rate of which is determined by an index that adjusts opposite to the changes in a market index. 4.0 INVESTMENT STRATEGIES 4.1 In accordance with the Public Funds Investment Act, a separate written investment strategy will be developed for each of the funds under Brazos County's control. Each strategy will describe the investment objectives for the particular fund using the following priorities of importance : 4.1.1 Understanding of the suitability of the investment to the financial requirements of the-County; 4.1.2 Preservation and safety of principal; 4.1.3 Liquidity; 4.1.4 Marketability of investment if the need arises to liquidate the investment before maturity; 4.1.5 Diversification of the investment portfolio 4.1.6 Yield; and 4.1.7 Maturity restrictions. 4.2 In accordance with the Public Funds Investment Act, investment strategies will be reviewed and adopted by. resolution at least annually. Brazos County funds shall be invested with any or all of the following institutions or groups consistent with federal and state law and the current Depository Bank contract: 5.1.1 Depository bank; 5.1.2 Other state or national banks domiciled in Texas that are insured by FDIC; 5.1.3 Savings and loan associations domiciled in Texas that are insured by FSLIC (or its successor); 5.1.4 Public funds investment pools; or 5.1.5 Government securities brokers and dealers meeting the following qualifications: 5.1.5.1 A written copy of this investment policy shall be presented to any person seeking to sell to the County an authorized investment. This list will be reviewed annually by the Investment Committee. 5.2 STANDARDS OF OPERATION 5.2.1 The County Investment Officer shall develop and maintain written administrative procedures for the operation of the investment program consistent with this investment policy. • 40 5.2.2 It will be the policy of the County that all Treasury Bills, Notes and Bonds and Government Agencies' securities shall be purchased using the "Delivery vs. Payment" (DVP) method through the Federal Reserve System. By so doing, County funds are not released until the County has received, - through the Federal Reserve wire, the securities purchased. 5.2.3 All investment funds will be placed directly with qualified financial institutions. The County will not deposit nor invest through third parties or money brokers. 5.3 PRUDENT STANDARD OF CARE. 5.3.1 Investments shall be made with judgement and care, ' under prevailing circumstances, that a person of prudence, discretion, and intelligence would exercise in the management of the person's own affairs, not for speculation, but for investment, considering the probable safety of capital and the probable income to be derived. Investment of funds shall be governed by the following investment objectives, in order of priority: preservation and safety of principal; liquidity; and yield. 5.3.2 In determining whether an investment officer has exercised prudence with respect to an investment decision, the determination shall be made taking into consideration: ~I 5.3.2.1 the investment of all funds, or funds under the entity's control, over which the officer had responsibility rather than a consideration as to the prudence of a single investment; and 5.3.2.2 whether or not the investment decision was consistent with the written investment policy of the entity. 5.4 AUDIT CONTROL. 5.4.1 The Investment Officer of Brazos County will establish a liaison with the County Auditor in preparing investment forms for accounting and auditing control. The Investment Officer is subject to audit by the Brazos County Auditor. 5.4.2 The Commissioners' Court of Brazos County will have an annual financial audit of all County funds by an independent auditing firm, as well as an annual compliance audit of management controls on investments and adherence to the County's established investment policies. 6.0 INVESTMENT REPORTING AND PERFORMANCE EVALUATION 6.1 QUARTERLY REPORT. At least quarterly, the Investment Officer shall prepare and submit to the Commissioners' Court a written report of investment transactions for all funds for the preceding reporting period within a reasonable time after the end of the period. It shall be the duty of the County Investment Officer of Brazos County, Texas,-to notify the Brazos County Commissioners' Court of any significant changes in current investment methods and procedures prior to their implementation. 7.0 INVESTMENT COLLATERAL AND SAFEKEEPING 7.1 COLLATERAL OR INSURANCE. WHEREAS, Article 4413 (32c), Texas Vernon's Ann. Civ. Stat., Intergovernmental Cooperative Act provides that agreements to provide services between governmental units are permitted: and, WHEREAS, it would be in the best interest of BRAZOS COUNTY and WIXON VALLEY to participate in the maintenance of certain roads lying within the jurisdiction of WIXON VALLEY; and, WHEREAS, it is the intent of the parties that BRAZOS COUNTY, will be responsible for the limited maintenance of the Wixon Road, Welch Road, Creek Shadows Drive and Cedar Oaks Drive, located inside the city limits'of WIXON VALLEY; and, WHEREAS, WIXON VALLEY and BRAZOS COUNTY agree as follows: 1. The afore named roads will be bladed by County graders upon the request of the Mayor of WIXON VALLEY. 2. The timing of maintenance work to be done will be at the discretion of the County. Generally this will be at a time the graders are next in the vicinity of WIXON VALLEY. 3. Specifically excluded in this maintenance agreement are culvert installations, additional gravel, mowing right- of-way, clearing right-of-way and maintaining culverts and channels.' 4. WIXON VALLEY will reimburse BRAZOS COUNTY for the expenses incurred in furnishing said grader services at a rate of EIGHTY-EIGHT DOLLARS ($88.00) per trip. 5. WIXON VALLEY will reimburse BRAZOS COUNTY at a rate-of FORTY DOLLARS ($40.00) per hour for addition motor grader work such as spreading gravel or pulling ditches should this service be required by WIXON VALLEY. 6. BRAZOS COUNTY will submit a bill to WIXON VALLEY each i month that work is performed and WIXON VALLEY shall fray said bill within fifteen (15) days of the date on which the bill is submitted. 7. This agreement may be amended at any time with the approval of both parties. 8. This agreement shall be in full force and effect until such time as terminated with the consent of both parties. Inc. proposes to install buried communications cable upon and along the right-of-way of county roads in Brazos County, Texas, as follows: IMPROVED ROADS (paved) - The contractor will plow cable in backslope with 8' of right-of-way line. Pipe will be bored under all paved county roads extending from ditch line to ditch line with a minimum cover of 30". IMPROVED ROADS (gravel) - The contractor will plow cable in the backslope . of the road, one track of the plow tractor on the backslope the other may come to the shoulder of the road neither whole tractor or plow will be on the road surface. UNIMPROVED ROADS (dirt) - Same as improved, unless because of ditches, trees and other terrain features, it is more practical to plow in the center of the road. In these cases, the cable will be plowed in the center of the road. Not applicable in County. BRUSH DISPOSAL - Any brush, trees, etc., that are cut will be burned or disposed of and not left in the ditch. Rocks brought up by tractor or plow will be disposed of. DEPTH OF CABLE - All cables will be placed at a minimum depth of 30' except where crossing dams or ditches, at which locations the depth of cables will be at a minimum of 36'. The following are requirements which are made on the contractor. 1. The plowing equipment shall be subject to the approval of the Engineer and the Public Authorities having jursidiction over highway and road rights-of-way. 2.- The equipment and construction methods used by the contractor shall be such as to cause minimum displacement of the soil. The slot made In the soil by the cable plow shall be closed immediately by driving a vehicle track or wheel over the slot or by other suitable means. 3. Damage to banks, ditches, driveways, and roads caused by the equipment shall be immedeiately repaired to the satisfaction of the Engineer and Public Authorities having jursidiction over highway and road right-of- way where involved. 4. Trenches shall be promptly back-filled with earth, and mechanically tamped at six (6) inch lifts so that the earth is restored to original grade to assure no hazard to vehicular, animal or pedestrian traffic. No trenches shall be left open overnight. 5.
