The site is in a dangerous curve and line of sight will be obstructed. This is a deadly curve with fast traffic in the area. 2. will greatly reduce property values. 3. will increase traffic in the area. 4. Worry about blowing debris from the site and vehicles travelling to the site. 5. No one ever contacted residents of the area to get their feelings on having a collection station in their neighborhood. 6. Concern about esthetics and smell. The Court next considered the following Claims as submitted by the County Treasurer for payment: 95-04284 through 95-04604 On motion by Commissioner Norton, seconded by Commissioner Cauley, the Court voted unanimously to approve the Claims as submitted. The County Judge read aloud a Proclamation designating the month of October 1995 as "Crime Prevention Month". The court calls upon citizens to increase their participation in crime prevention efforts. On motion by the County Judge, seconded by Commissioner Walker, the Court moved to proclaim the month of October 1995 as "Crime Prevention Month" throughout Brazos County. b VAi, PAGE-i94: Commissioners Court meeting September 26, 1995 The next matter before the Court was consideration of a Cooperative Agreement between Brazos County and the cities of Bryan and College Station for the operation and maintenance of the Brazos County Health District. This is done at the request of the Members of the District to amend the current cooperative agreement to reflect changes in the law that have occurred since the creation of the District in 1984, show a change in the number of representatives on the Board and include language on issues that were not adequately covered in the original agreement such as dissolution and admission of new members. On motion by Commissioner Sims, seconded by commissioner Walker, the Court voted unanimously to approve the amended Cooperative Agreement for the operation and maintenance of the Brazos County Health District. A copy of the Agreement is attached hereto. The Court next considered the renewal of the contract t i P c i between Brazos Valley Development Council and Brazos County for administration of the Brazos County Indigent Health Care Program. The term of the contract is for one year beginning October 1, 1995 through September 30, 1996 at a cost to Brazos County of $40,880. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to renew the contract between Brazos Valley Development Council for the administration of the Brazos County Indigent Health Care Program. Brazos County will purchase the RedBook prescription database software renewal in March 1996. A copy of the contract is attached hereto. The next matter before the Court was approval of a Contract between Brazos County and the Brazos Maternal & Child Health Clinic, Inc.. Term of the contract will be for a twelve month period beginning October 1, 1995 through ` September 30, 1996. Brazos County agrees to reimburse the k Provider for actual cost of the salaries up to a maximum of 6 1 $60,000 for the term of the contract. The Court next considered renewal of a lease agreement )etween Brazos County and the Harvey Community Center for rental of a parcel of land for the purpose of operating a :itizens Collection Station in Bryan, Texas. Term of the Lease is for the period of one year following the expiration of the preceding term of the lease. The County agrees to pay to the Harvey Community Center the amount of One Thousand Two Hundred Dollars ($1,200) per annum. On motion by Commissioner Sims, seconded by Commissioner Walker, the Court voted unanimously to renew the lease agreement between Brazos County and the Harvey Community Center. A copy of the lease agreement is attached. The next matter before the Court was approval of a Contract for Services between Brazos County and the Brazos County Community Supervision and Corrections Department. The county agrees to provide personnel and payroll services. The Department will furnish to the County such information as may be requested which relates to the services described. On motion by Commissioner Norton, seconded by Commissioner Cauley, the Court voted unanimously to enter into a Contract for Services with the Brazos County Community Supervision and Corrections Department. A copy of the contractual agreement is attached hereto. The Court next considered a Contract for the joint E auction between the Cities of Bryan and College Station and Brazos County. This contract is authorized by the Interlocal Cooperation Act, V.T.C.A. Government Code Chapter 791. On motion by Commissioner Norton, seconded by Commissioner Cauley, the Court voted unanimously to approve the contract for the joint auction to be held November 11, 1995. The next matter before the Court was consideration of the Certificate of Substantial Completion and Change Order No. 1 VOIL _ PAG EAUSI i Commissioners Court meeting September 26, 1995 r f Y i f f from Patterson Architects for the interior modifications of the Brazos Center. Change Order No. 1 reduces the contingency allowance by $1,000.00. On motion by Commissioner Sims, seconded by Commissioner Norton, the Court voted unanimously to accept the Certificate of Substantial Completion and approve Change Order No. 1 from Patterson Architects. A copy of which is attached. The Court next considered designating a day of the week for Commissioners Court meeting for fiscal year 1996. The County Judge moved to table consideration and Commissioner Norton seconded the motion. Commissioner Sims stated he favored a Tuesday meeting. Then the County Judge withdrew his motion as did Commissioner Norton his second. Commissioner Sims moved to set Tuesday as the day of the week for Commissioners Court meeting. After some discussion, Commissioner Sims withdrew his motion. The County Judge reinstated his original motion to table discussion until a later date. Commissioner Norton seconded the motion and it carried unanimously. The Court next considered the request from GTE to install a parallel cable installation in the right-of-way of Riley Road beginning approximately 0.5 mile north of its intersection with Grassbur Road extending for a distance of 2,839 feet. The site is located in Precinct 3. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Sims, seconded by Commissioner Cauley, the Court voted unanimously to approve the request from GTE and authorized the installation. A copy of the request is attached hereto. On motion by Commissioner Norton, seconded by Commissioner Cauley, the Court voted unanimously to approve the budget amendment as submitted, a copy of which is attached hereto. The Court acknowledged receipt of the Extension Service reports for August 1995 and acknowledged receipt of reports from County and Precinct Offices showing revenues collected and remitted to the County Treasurer. WHEREAS, by Cooperative Agreement dated August 31, 1984 the Cities of Bryan, Texas, College Station, Texas and the County of Brazos, State of Texas created the Brazos County Health District, commonly known as the Brazos County Health Department, pursuant to the Texas Health and Safety Code §121.041; and WHEREAS, Members of the District desire to amend the current Cooperative Agreement to reflect changes that have occurred since the creation of the District in 1984. NOW THEREFORE KNOW ALL MEN BY THESE PRESENTS that for and in consideration of mutual benefits herein expressed the receipt and sufficiency is hereby acknowledged the Members have agreed to amend and restate the Cooperative Agreement providing for the operation and maintenance of the Brazos County Health District as follows: 1. UFFINTITONS " a. ACT means the Local Public Health Reorganization Act; Texas Health and Safety Code, Chapter 121. Subchapter E. Public Health Districts. b. DIRECTOR means the chief administrative officer of the Brazos County Public Health District. C. HEALTH AUTHORITY means the physician who is to administer state and local laws relating to public health. d. MEMBER means a municipality, a county, or other governmental entity which is a participant in a Public Health District. e. PHYSICIAN means a person licensed to practice medicine by the Texas State Board of Medical Examiners. E PUBLIC HEALTH BOARD (hereinafter sometimes referred to as "Board") means an administrative board of a, Public Health District. & PUBLIC HEALTH DISTRICT (hereinafter sometimes referred to as the "District") means a department of health established under Texas Health Code Section 121.041 et seq. vOL,~PAOE.~..6.4.J i ems,..,.:, c~:.._ ~,.su_.:~.... . . •I , • h. PUBLIC HEALTH SERVICES means those services provided by or performed by the Public Health District, including but not limited to, laboratory services, clerical services, personal health services, environmental health services, educational services and accounting. i. REPRESENTATIVE means a person appointed to serve on a Public Health Board of a Public Health District. 2. The Chairman of the Board shall have authority to make i r expenditures which have been budgeted. Authority for non-budgeted items shall be exercised only upon the approval of the Board. - ' = 1 32 The District shall have and maintain two (2) accounts. The first account shall ~ be designated the Brazos County Public Health Account (hereinafter "Health Account"). All income to the District including user fees, service fees, , medicaid payments, but specifically excluding Member annual contributions shall be deposited into this account. The second account shall be designated the Health District Revenue Account (hereinafter "Revenue Account"). Appropriate records of all income and disbursements from these two (2) accounts will be kept by the District. Such records shall be reviewed and approved by the Board quarterly. No i appropriation of money from the Revenue Account shall be made unless unanimously approved by the Board. 33 The Director shall submit financial and activity reports for the District upon the request of a Representative sitting on the Board, but in no event shall such reports be submitted less frequently than quarterly. The Director shall submit the annual financial and activity report no later than the close of the first quarter of the next fiscal year. E ' 0 I f I 4. ADMISSION EXPULSION AND WfTHD AW I OF MEMBER 4.1 Any governmental entity, including a school district, may apply through written request to become a Member of the District. Such requesting governmental entity must (1) make application in writing, (2) agree to abide by the terms and conditions of this Agreement and (3) agree to make annual contributions to pay for the costs of the District as outlined herein. Such application will be subject to the unanimous consent of all existing Members, with a simple majority of the governing bodies of each Member necessary for a Member to cast a consenting vote. 4.2 Any Member may withdraw from the District upon the unanimous vote of such withdrawing Member's governing body. Withdrawal of a Member, other than at the commencement of a new fiscal year for the District, shall result in the withdrawing Member forfeiting any possible overpayment of contributions in the year of withdrawal. 43 A Member may be expelled upon the unanimous vote of the Board and the governing bodies of all Members (exclusive of the Member to be expelled). DISSOLI ION .s 5.1 The District shall dissolve and its affairs shall be wound up on the first to occur of the following: a. the written consent of all Members; b. the failure of a Member to make its annual contribution unless the remaining Members and the business of the District is continued by the consent of all remaining Members; Vol, 'A'Y I /I J C. failure of District to fulfill its legal requirements in order to maintain its affiliation with the Texas Department of Health, 52 On dissolution of the District, the Director shall act as liquidator. The Director shall proceed diligently to wind up the affairs of the District and make final distributions as provided herein. The costs of liquidation shall be borne as a District expense and shall be paid out of the Revenue Account. Until final distribution, the Director shall continue to operate the District properties with all of the power and authority of the Director. The steps to be accomplished by the Director are as follows: a. as promptly as possible after dissolution and again after final liquidation, the Director shall cause a proper accounting to be made by a recognized firm of certified public accountants of the District's assets, liabilities, and operations through the last day of the calendar month in which the dissolution occurs or the final liquidation is completed, as applicable; b. the Director shall cause the notice of such dissolution to be mailed to each known creditor of the District; • C. the Director shall pay, satisfy or discharge from District funds all of the debts, liabilities and obligations of the District (including, without limitation, all expenses incurred in liquidation) or otherwise make adequate provision for payment and discharge thereof (including, without limitation, the establishment of a cash escrow fund for contingent liabilities in such amount and for such term as the Director may reasonably determine). To the extent the District's liabilities exceed its assets, the Members shall contribute an amount sufficient to discharge such liabilities in accordance with each Member's pro-rata contributions for the year of dissolution; and d. all remaining assets, if any, of the District shall be distributed to the Members as follows: • i • L (1) return to the contributing Member any like-kind contributions still in the possession of the District. (2) the Director may sell any or all District property not distributed as stated in paragraph 1, including to Members, and any resulting gain or'loss from each sale shall be computed and allocated to each Member based upon its pro-rata contribution for the year of dissolution. 4 V U 0 ' I~ i t f f F, i r f ~ i 6. E ~ L (3) District property not sold shall be distributed among the Members in accordance with their pro-rata contributions for the year of dissolution. 5.3 All distributions in kind to the Members shall be made subject to the assumption of liability of each distributee Member for costs, expenses, and liabilities associated with such asset theretofore incurred or for which the District has committed prior to the date of termination. The distribution of cash and/or property to a Member in accordance with the provisions of this section constitutes a complete distribution to the Member of all the District's property and constitutes a compromise to which all Members do hereby consent. 5.4 All actions shall be exercised in accord with existing local, state, and federal law, rules and regulations as they pertain to the termination of personnel, property and the responsibility to provide for services. SELEC 7ON AND REMOVAL- OF DIRECTOR 6.1 The procedure for the selection of the Director shall be as follows: a. The Director of the Brazos County Public Health District shall be appointed by the governing bodies of the Members. b. The Director shall serve as the chief administrative officer of the Brazos County Public Health District. C. If the Director is a licensed Physician he shall also serve as the "Health Authority" for the District and will perform all duties as specified in the Act, and shall be subject to all the requirements and rules thereof. d. If the Director is not a licensed Physician he shall appoint a qualified licensed Physician to serve as the "Health Authority" for the District subject to the approval of the Members and the Texas Board of Health. 62 The Director may be removed from office by the unanimous vote of the Members for lack of satisfactory discharge of duties, alcoholism, drug abuse, conviction of a felony, misappropriation of funds or property, embezzlement, physical or mental impairment (disability) which permanently prevents satisfactory discharge of duties. 5 V M PA0E; r I , 11 1 J I u 01 c 3 7. CREATION OF PUBLIC HEALTH BOARD 7.1 A Public Health Board, in accordance with Section 121.046 of the Act is hereby established subject to the following terms and conditions: a. The Board shall consist of two Representatives from each of the three establishing Member entities and one Representative for each subsequently admitted Mcmber. i?s(ch city council 1111d tile Commissioner's Court will select two of its citizens, who may, but need not be an employee or an elected official of the appointing Member. The two Representatives selected to represent one Member shall have but one vote between them on all issues brought before the Board. In the event one of the two Representatives from one Member is unable to attend a Board meeting, the Representative present may cast that Member's vote without the need of obtaining a proxy from the non- attending Representative. In recognition of Texas A&M University prominence in the Community, Texas A&M University shall be permitted to send a Representative of that institution to sit on and participate in Board meetings. The Texas A&M University Representative shall be a non-voting member of the Board, unless and until Texas A&M University is admitted to the District as a full Member. b. Board Representatives will serve two years except any Representative currently serving shall complete his current term and any consecutive term for which lie is eligible. Each Representative may be reappointed for four consecutive terms. An unexpired term will be filled by the Member body from which the vacancy occurred. C. Each Representative must have resided in the geographical area within the jurisdiction of the governmental entities which are Members of Brazos County Public Health District for a period of three years prior to his appointment. d. Representatives shall serve without compensation. e. Failure to attend four consecutive Board meetings without a valid reason will be grounds for automatic removal of a Representative. Except for automatic removal specified herein any action to remove a Representative shall be undertaken by the Member appointing such Representative. The Board shall advise Members and the Director on matters of public health and additionally shall advise the Director on matters regarding the budget and any other issues which may arise relative to the Public Health Services. The Director will administer the District's programs and shall report to the Texas Board of Health and the Public Health Board as the situation warrants. 8. FUNDING 8.1 The Members of the District shall pay the costs necessary for the operation of the District, including but not limited to, staff salaries, supplies, suitable office space, health and clinic centers, and travel and maintenance. 82 The percentage contribution by each Member to the District's annual budget shall be based in part upon the usage of the facilities and services by the citizens of each city and the county. Payments premised upon such pro-rata usage by citizens of the different Members shall be made prior to the tenth day of each month with each monthly share representing one-twelfth of the respective total annual contribution by each Member. Such money shall be deposited into the District's Revenue Account. If a credit is due any of the Members at the end of the District's fiscal year, Brazos County shall make the necessary reimbursements not later than the end of the first quarter of the next fiscal year. Reimbursement due to overpayment shall be made in the amount over paid by the over paying Member. Should a Member withdraw or be expelled during a District fiscal year, such withdrawing or expelled Member shall be bound and is hereby obligated to pay in full that Member's contribution for the year of withdrawal or expulsion as set forth in the Funding Addendum for such year. 83 Brazos County agrees to procure and maintain public liability insurance in the amount of not less than $ 1,000,000.00, insuring against risks and claims arising out of the operation of the Health District (except for professional liability claims against medical doctors, who shall provide their own professional liability insurance). The cost of liability insurance shall be included in the annual budget of the Brazos County Health District. 8.4 . All unencumbered funds at the close of a fiscal year shall be deposited into the Health Account to be -designated for use for Public Health Services mutually beneficial to each Member or shall be used to reduce local budget contributions in the following fiscal year. All payments made to the District shall be from current revenues of each Member. No appropriation of money for the District shall be made unless unanimously approved by all Members. a 7 VUL-I PAQ~ 1 61 8.5 Each year the Director shall prepare a Funding Addendum to this Agreement which shall set forth the money contribution and in kind contribution requested of each Member for the next succeeding fiscal year. Upon such Funding Addendum's execution by all Members, which may be by multiple counterparts, no further agreement will be necessary to effectuate the Members' annual contributions or continue the District's existence pursuant to the terms and conditions set forth in this Agreement for the next succeeding year. 9. MODIFICATIONS 9.1 Modification of this Cooperative Agreement may be made upon the request of any Member and such modification shall be in writing and effective upon approval of the governing body of each Member. A copy of this Cooperative Agreement and any subsequent modifications thereto shall be included in the minutes of the governing body of each Member and shall be filed with the county and city clerks of all affected governmental entities and with the Texas Department of Health. RESPONSIBILITY OF COUNTY The County shall be responsible for the following duties and requirements: 1. Provide County funds for the payment of the consideration stated herein. 2. Conduct a review of the Providers performance in providing the Services to be provided hereunder in order to assess County's continued participation in the funding of the Provider. RECORD RETENTION The Provider shall be responsible for record keeping on all Services provided to those individuals using its services and all financial records of the Clinic. The Provider agrees to maintain and make available for inspection by the County upon request consistent with personal privacy and subject to the limitation of state law, any and all records the County determines, in its sole discretion, to be necessary for the Court to justify its continued participation in supporting the Provider with funding. Such records shall be retained for at least four (4) years from the date the service was provided. These records shall be made available for inspection and audit by the County, if it so desires. DISCRIMINATION The Provider shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. The Provider shall take affirmative action to ensure that applicants who are employed are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not be limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rated of pay or other forms of compensation; and selection for training, including apprenticeship. The Provider agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause. COUNTY INVOLVEMENT The County and Provider state that to the best of their knowledge, no officer, agent or employee of the County who exercises any function or responsibility in connection with the carrying out of this Contract or the Services to which it relates has personal interest direct or indirect, in this Contract. GOVERNING LAW This Agreement shall be executed in and shall be governed by the laws of the State of Texas. The location and description of this line and associated appurtenances is more fully shown by two copies of drawings attached to this notice. The line will be constructed and maintained on the County Road right-of-way in accordance with governing laws. Notwithstanding any other provision contained herein, it is expressly understood that tender of this notice by GTE does not constitute a waiver, surrender, abandonment or impairment of any property rights, franchise, easement, license, authority, permission, privilege or right now granted by law or may be granted in the future and any provision or provisions so con- strued shall be null and void. The cable will then cross under Macey Rd to the west ROW and continues its northeasterly direction for an additional 4/10 mile south of the north inter- section of Macey Rd and Old Bundick Rd. Another cable will be placed 5' in the east ROW for a distance of 2187'. The cable will then be placed 5' in south ROW of Bundick Rd extending in an east and southeasterly direction for 54801.
