THE COMMISSIONERS' COURT WILL MEET IN REGULAR SESSION ON MONDAY,
APRIL 17, 1995 AT 6:30 P.M. IN THE COMMISSIONERS' COURTROOM OF THE
BRAZOS COUNTY COURTHOUSE, 300 EAST 26TH STREET, SUITE 115, BRYAN,

Trail right-of-way; estimated cost of project is $55,000.00. Site is located in Precinct 1.
12. Request permission to enter Lucille Young's property located off Tyree Road (in
Briarwood Retreat Subdivision) for the purpose of cleaning out drainage channel to
allow water to drain from Tyree Road for the health, safety and welfare of lava general
public. Site is located in Precinct 4.
13. Budget Amendment #94/95-15.
14. Agreement with Junction Five-O-Five to provide clerical workers upon request for County
offices.

SPECIAL MEETING
APRIL 17, 1995
A special meeting of the Commissioners' Court of Brazos
County, Texas was held in the Commissioners' Courtroom in the
Courthouse in Bryan, Brazos County, Texas, beginning at 6:30

p.m. on Monday, April 17, 1995, with the following members of
the Court present:
Alvin W. Jones, County Judge, Presiding;
Gary Norton, Commissioner of Precinct 1, Absent;
Sandie Walker, Commissioner of Precinct 2;
Randy Sims, Commissioner of Precinct 3;
Carey Cauley, Jr., Commissioner of Precinct 4;
Mary Ann Ward, County Clerk.

Commissioner Walker gave the invocation and led the
pledge of allegiance.
There was no citizen input or concerns.
The first matter before the Court was consideration of
the purchase of supplemental insurance for Extra Expense
Coverage. Kenny Mallard explained that this policy was for
the cost of temporary relocation of county offices while the
courthouse was under repairs for a covered loss but does not
cover lost revenue. Cost for this coverage is two hundred
fifty four dollars ($254.00) annually. On motion by
Commissioner Sims, seconded by Commissioner Walker, the court
voted unanimously to approve the payment for Extra Expense
Coverage and set the amount of coverage for the Courthouse at
$1,000,000.00 and the Annex at $500,000.00.
No action was taken on the request submitted by the
Extension Agent requesting approval for out of state travel

The next matter for consideration was a tax refund to
Union Pacific Resources Company. This is a result of a
duplication error. On motion by Commissioner Sims, seconded
by Commissioner Walker, the Court voted unanimously to refund
$712.49 in county taxes for 1994 to Union Pacific Resources
Company.
The Court next considered awarding the following bid:

because the low bidder, Blankenship could
not provide Workers Compensation
insurance as required for the price
quoted. On motion by commissioner Sims,
seconded by Commissioner Cauley, the
Court voted unanimously to accept the
recommendation of the Purchasing Agent
and award the contract to Texcon.
The next matter before the Court was the renewal of the
Elevator Maintenance Contract #94-738 between Brazos- County
and Montgomery Elevator. The cost to Brazos County will be
$6,296.40 annually which remains the same as last year. On
motion by Commissioner Walker, seconded by Commissioner Sims,
the Court voted unanimously to renew the Elevator Maintenance
Contract with Montgomery Elevator. A copy of the contractual
agreement is attached hereto.
The next matter for consideration was approval to
advertise for proposals for Electronic Reporting of Texas

Department of Public Safety Criminal Justice Information. On
motion by Commissioner Walker, seconded by Commissioner
Cauley, the Court voted unanimously to authorize the
Purchasing Agent to advertise for proposals Electronic
Reporting of Texas Department of Public Safety Criminal
Justice Information.
On motion by Commissioner Cauley, seconded by
Commissioner Walker, the Court voted unanimously to purchase
an Okidata ML590 printer for the Brazos County Tax Office.
This is necessary due to a new computer bookkeeping program
requiring a printer that handles a greater volume of material
printed at a more efficient rate. Payment for the printer
will be from the Capitol Projects fund.
The Court next considered a request from the Road
Bridge Department for acceptance of a cost estimate from
Seminole Pipeline Company for pipe line removal and relocation
on Greens Prairie Trail right-of-way in Precinct 1. The
estimated cost of the project is $55,000.00. On motion by

Commissioner Sims, seconded by Commissioner Walker, the Court
voted unanimously to accept the cost estimate from Seminole
Pipeline Company and to authorize the payment thereof from the

Road and Bridge Capitol Projects fund and C.O. funds.

The Court next considered authorizing work outside of
county rights-of-way for the health, safety and welfare of the
general public. The Road and Bridge Department requested

permission to enter the private property of Lucille Young on F
Tyree Road to clear out a drainage channel to allow water to
drain from Tyree Road. On motion by Commissioner Cauley,

services and Justice of the Peace Precinct 3. On motion by
Commissioner Sims, seconded by Commissioner Walker, the Court
voted unanimously to approve the budget amendment as
submitted, a copy of which is attached hereto.
The next matter before the Court was approval of an
Independent Contractor Agreement between Brazos County and
Junction Five-0-Five. Junction Five-0-Five will provide
clerical workers to work in office jobs in the various county
offices. The cost to Brazos County will be $6.50 per hours
worked per worker. The Agreement is effective as of the date
signed by both parties and shall continue in effect until
canceled by either party upon thirty (30) days written notice.

Cauley, the Court voted unanimously to enter into Agreement
with the Junction Five-O-Five. A copy of the contractual
agreement is attached hereto.

On this the 17th day of April 1995 at a special meeting of the
Commissioners' Court, the following members were present:

THAT WHEREAS, on April 17, 1995, the Court heard and approved
a budget amendment for the 1994-1995 budget year for Brazos County,
Texas.

meet unusual and unforeseen conditions which could not be
reasonably included in the original budget adopted September 8,

INDEPENDENT CONTRAMR AGREEMENT
THIS AGREEMENT, is made and entered this L2' day of
1995, by and between BRAZOS COUNTY, TEXAS acting by and through its duly elected
Commissioners Court (hereinafter "County") and JUNCTION FIVFrO-FIVE, a Terri
nonprofit corporation (hereinafter "Junction").
WHEREAS, COUNTY wishes to participate in viable community programs designed
to aid its disadvantaged citizens; and
WHEREAS, JUNCTION is in the business of promoting the employment and
utilization of the community's disabled; and
WHEREAS, COUNTY and JUNCTION wish to work together to promote their
common purpose.
IN CONSIDERATION of their mutual promises made herein, and for other good
and valuable consideration, the parties hereby agree as follows:
1. Scope of Work JUNCTION shall provide to the COUNTY, on request of the
COUNTY, clerical workers to work in office jobs in the various COUNTY offices in the
community. Additionally JUNCTION shall provide a job coach for each worker employed,
whose primary function is to train and monitor the performance of each such clerical
worker(s). Monitoring of the work performance shall be accomplished through two monthly
meetings by the job coach with the clerical worker to check progress and deal with problems
which may arise. Such monthly meetings shall continue for the entire term of employment
of each worker hired pursuant hereto.
2. COUNTY agrees to pay to JUNCTION a sum equal to $6.50 per hours worked
per worker. Such sum shall be based on a gross wage calculation, COUNTY not being
responsible for the withholding of taxes or other salary withholding as provided below.
3. Schedule of Work. The clerical worker(s) shall work during courthouse
regular hours of operation, which are Monday through Friday, 8:00 a.m. to 5:00 pm. Such
workers shall work a forty (40) hour work week, unless otherwise established by mutual
agreemedt of the parties hereto.
4. Independent Contractor Relationship. JUNCTION is an independent
contractor and is not an employee, servant, agent, partner or joint venturer of COUNTY.
COUNTY shall determine the work to be done by JUNCTION, but JUNCTION shall
determine those individuals suitable for performing such work and shall train the clerical
workers in the proper conduct of such work. JUNCTION retains the power to terminate
the employment of such clerical workers, but agrees to rely heavily upon information
supplied to it by COUNTY relative to the work performance of any worker hired hereunder
in making termination decisions. COUNTY is not responsible for withholding. and shall not
withhold, FICA or taxes of any kind from any payments which it owes JUNCTION. Neither

JUNCTION nor its employees shall be entitled to receive any benefits which employees of
COUNTY are entitled to receive and shall not be entitled to worker's compensation,
unemployment compensation, medical insurance,' life insurance, paid vacations, paid
holidays, pension, or Social Security on account of their work for COUNTY.
5. Employees of Contractor. JUNCTION shall be solely responsible for paying
its employees and withholding FICA and any and all taxes, workers' compensation,
unemployment compensation, medical insurance, life insurance, paid vacations, .paid
holidays, pension, profit sharing and other benefits for JUNCTION and its employees,
servants and agents.
6. Minimum Wage Rate Requirements. JUNCTION hereby covenants and
agrees that it shall pay to each of its employees and contract labor engaged in any way in
work hereunder, a wage not less than what is generally known as the "Federal Minimum
Wage" as set out in 29 U.S.C., paragraph 206, and any amendments hereto. Furthermore,
JUNCTION shall produce proof of compliance with this provision to COUNTY upon
request. COUNTY may withhold payments due to JUNCTION hereunder until
JUNCTION has complied with this provision.
7. Insurance. JUNCTION shall furnish the COUNTY with current certificates
of coverage of JUNCTION, and proof of payment by JUNCTION, for workers'
compensation insurance, general liability insurance, motor vehicle insurance and other
insurance as COUNTY may require from time to time. If JUNCTION is not required by
the Texas Workers' Compensation Law to provide workers' compensation to its employees,
JUNCTION shall waive its exemption or exclusion from that law and shall purchase
workers' compensation insurance and furnish COUNTY with a current certificate of
coverage and proof of payment. JUNCTION shall maintain all such insurance coverage and
shall furnish COUNTY with certificates of renewal coverage and proof of premium
payments. If JUNCTION fails to pay a premium for insurance required by this paragraph
before it becomes due, COUNTY may pay the premium and deduct the amount paid from
any payments due JUNCTION or recover the balance from JUNCTION directly.
8. Compliance With Laws. JUNCTION shall act as an independent contractor
insofar as the performance of services hereunder is concerned. To that end, JUNCTION
shall employ and direct such personnel as it requires to perform said services, shall secure
any and all training that may be required in order to perform the services herein
contemplated, shall exercise full and complete authority over its personnel, shall comply with
all workmen's compensation, employer's liability and other federal, state, county and
municipal laws, ordinances, rules and regulations required of an employer performing
services as herein contemplated, and shall make all reports and remit all withholdings or
other deductions from the compensation paid its personnel and may be required by any
federal, state, county or municipal law, ordinance, rule or regulation.
9. Release and Indemnity. JUNCTION agrees to assume all risk of loss and to
indemnify and hold COUNTY, its officers, agents and employees, harmless from and against
any and all liabilities, demands, claims, suits, losses, damages, causes of action, fines or

judgments, including coats, attorneys' and witnesses',fees and expenses incident thereto, for
injuries to persons (including death) and for loss of, damage to, or destruction of property
(including property of COUNTY) arising out of or in connection with this agreement unless
caused by the gross negligence or willful misconduct of COUNTY, its officers, agents or
employees. In the event that any demand or claim is made or suit is commenced against
COUNTY, COUNTY shall give prompt written notice thereof to JUNCTION and
JUNCTION shall have the right to compromise or defend the same to the extent of its own
interest.
10. Payment. COUNTY shall remit to JUNCTION payment for services rendered
within fourteen (14) days after receipt and approval of JUNCTION'S invoices.
11. Assignment. COUNTY may assign any or all of its rights and duties under
this Agreement at any time and from time to time without the consent of JUNCTION.
JUNCTION may not assign any of its rights or duties under this Agreement without the
prior written consent of COUNTY.
12. Term. This Agreement is effective as of the date signed by both parties and
shall continue in effect until canceled by either party upon thirty (30) days' written notice
to the other party.
13. IL.aR. This Agreement shall be governed and construed in accordance with
Texas law. This Agreement is fully performable in Brazos County, Texas.
