FEBRUARY 20, 1995
A special meeting of the Commissioners' Court of Brazos
County, Texas was held in the Commissioners' Courtroom in the
Courthouse in Bryan, Brazos County, Texas, beginning at 9:00
a.m. on Monday, February 20, 1995, with the following members
of the Court present:

Commissioner Norton gave the invocation and led the
pledge of allegiance.
The Court first considered Citizen input and/or concerns:
Paul Hirschler - encouraged the Court to offer a
reasonable plan to lure Sanderson Farms into
choosing Brazos County.
The Court next considered exemption from competitive
bidding for maintenance agreements for the county duplicating
equipment and entering into maintenance agreements with Texas
Copy for the county's duplicating equipment. The Court first

considered granting an exemption from competitive bidding
requirements to Texas Copy. Commissioner Sims asked the
Purchasing Agent if she had recommendations. The Purchasing
Agent enumerated the options then referred the Court to her
recommendation that the County continue with the maintenance
contracts with Texas Copy and to review the contracts in a
years time. On motion by Commissioner Sims, seconded by
Commissioner Walker, the Court voted unanimously to approve an
exemption from competitive bidding requirements to Texas copy
for the maintenance contracts for the duplicating equipment.
Commissioner Norton asked if the number of service calls was
being monitored to compare with the option of being self
insured. The Purchasing Agent replied,"yes they were being
monitored." On motion by Commissioner Sims, seconded by
Commissioner Norton, the Court voted unanimously to enter into
Maintenance Agreements with Texas Copy for the county
duplicating equipment.
The court considered approval of the minutes of the
Commissioners' Court meetings held January 23, 1995 and
January 30, 1995. On motion by Commissioner Sims, seconded by
Commissioner Walker, the Court voted unanimously to approve
the minutes as submitted.
The next matter before the Court was the county
depository contract, Bid Number 95-009.

Cheryl Turner, Purchasing Agent, recommended acceptance of the
bid submitted by First American Bank. On motion by
Commissioner Norton, seconded by Commissioner Walker, the
Court voted unanimously to accept the recommendation of the
Purchasing Agent and award the Depository Contract for the
County to First American Bank and to begin negotiating the

contract.
The Court next considered Budget Amendment #94/95-13,
which would increase funds budgeted for Juvenile Services
Contract Placement, and fund the new investigator's position
in the Sheriff's Department. On motion by Commissioner
Walker, seconded by Commissioner Norton, the Court voted
unanimously to approve the budget amendment as submitted, a
copy of which is attached hereto.
The Court next considered the request from the County
Attorney for Visa Cards for three (3) divisions in his
department. On motion by Commissioner Walker, seconded by
Commissioner Norton, the Court voted unanimously to table
consideration until such time as more information can be
obtained.
The next matter before the Court was approval of a
Contractual Agreement between Brazos County and the Arts
Council of Brazos Valley. The Arts Council will continue to
provide services to the community and to engage in the support
of arts organizations. The term of the contract will be from
October 1, 1994 and ending September 30, 1995. The cost to
the County will be $16,000.00. On motion by Commissioner
Norton, seconded by Commissioner Sims, the Court voted
unanimously to enter into contractual agreement with the Arts
Council Brazos Valley. A copy of the contractual agreement is
attached hereto.
The next matter before the Court was a request from the
District Attorney to reallocate budgeted funds to pay for
investigative services of consumer fraud crimes on a case by
case basis. The District Attorney indicated that no grant had
been found to date and asked if he could use the $6,000.00
approved in 1994 as matching funds to a grant for consumer
fraud investigation. These funds, he said, would be used to
employ a part time investigator on a case by case basis. On
motion by Commissioner Walker, seconded by Commissioner Sims,
the Court voted unanimously to
approve the request of the

District Attorney and allow him to reallocated budgeted funds
to pay for investigative services of consumer fraud crimes.
The next matter before the Court was consideration of the
purchase of a computer (PC) and financial software for the tax
office. On motion by Commissioner Walker, seconded by
Commissioner Norton, the Court voted unanimously to authorize
the purchase of a computer and financial software for the tax
office at a cost not to exceed $1,800.00.
On motion by the Commissioner Norton, seconded by
Commissioner Cauley, the Court voted unanimously to adopt an
order authorizing the County Judge to execute an Agreement for
the use of State of Texas Automation Equipment identified as
the Automated Registration and Title System (RTS) for the
uniform registration and titling of motor vehicles. A full
copy of the Agreement is attached hereto.
The Court next considered the request from GTE Southwest
for a parallel cable installation in the right-of-way of Dick
Elliott Road. The site is located in Precinct 2. The County
Engineer stated that all appeared to be in order and
recommended approval. On motion by Commissioner Walker,
seconded by Commissioner Norton, the Court voted unanimously
to approve the request of GTE Southwest and authorized the
installation. A copy of the request is attached hereto.
The Court next considered authorizing work outside of
county rights-of-way for the health, safety and welfare of the
general public. The Road and Bridge Department requested
permission to enter the private property of Ray Haven on
Treebrook Lane to disposal of dead livestock. On motion by
Commissioner Sims, seconded by Commissioner Cauley, the Court
voted unanimously to authorize the work.
The Court next considered a request from the Road and
Bridge Department for a budget amendment reallocating
$20,000.00 in funds from Major Projects and allotting
$10,000.00 to Right-of-Way Expenses and $10,000.00 to
Professional Services. This is necessary because the line

item Right-of-Way Expenses was added after the new budget year

began and increased expenses for surveying projects. On
motion by Commissioner Norton, seconded by Commissioner
Walker, the Court voted unanimously to approve the request of
the County Engineer for a reallocation of funds in the
departmental budget.
The next matter for consideration by the Court was

acceptance of an easement grant conveyed to Brazos County as
easement for the purpose of expanding and improving Macey Road
in Precinct 2. On motion by Commissioner Walker, seconded by
Commissioner Norton, the Court voted unanimously to authorize
the County Judge to accept the easement grant from Joyce
Williams of 0.604 acre for the expansion of Macey Road located
in Precinct 2.
On motion by Commissioner Sims, seconded by Commissioner
Cauley, the Court voted unanimously to accept the resignation
of Walter Wilcox from the Board of Directors of the Housing
Finance Corporation and the Health Facilities Development
Corporation.
The Court next considered an Exemption from Competitive
Bidding Requirements of Local Government Code, Section
262.024(a)(4). This is for the purchase of personal and/or
professional engineering services from Garrett Engineering.
Commissioner Norton moved to approve the exemption from
competitive bidding requirements. The motion was seconded by
Commissioner Walker. Commissioners Cauley, Norton and Walker
voted "Aye". Commissioner Sims voted "No". The motion
carried.
The Court next considered payment of a statement from
Garrett Engineering for a topo map for the county prison site.
Garrett Engineering submitted a billing for $5,000.00 for the
topo map. Commissioner Norton moved to approve payment.
Commissioner Walker seconded the motion. Commissioners
Cauley, Norton and Walker voted "Aye". Commissioner Sims
voted "No". The motion carried.

Commissioners Court meeting February 20, 1995
On motion by Commissioner Walker, seconded by Commis-
sioner Norton, the Court voted unanimously to accept the
resignation of H. R. Crookshank from the Brazos County
Veterans Land Board effective as of December 31, 1994 and to
appoint Steve Koran to fill the position vacated by Mr.
Crookshank.
The Court acknowledged receipt of the Extension Service
reports for January 1995 and acknowledged receipt of reports
from County and Precinct Offices showing revenues collected
and remitted to the County Treasurer. An excerpt from those
reports is attached hereto.
The Court proceeded to consider the change of status of

Commissioner Sims made comment on the fact that the Juvenile
Board members received $1,200.00 annually and asked why it
could not be reduced by half. The County Judge and
Commissioner Norton both agreed and stated it would be
considered during the budget hearings. On motion by
Commissioner Sims, seconded by Commissioner Cauley, the Court
voted unanimously to approve the changes as submitted.

On motion by Commissioner Walker, seconded by Commis-
sioner Norton, the Court voted unanimously to approve the
Claims as submitted.
The Court next considered the incentive package for
Sanderson Farms, an Economic Development Corporation prospect
for Brazos County. The County Judge and Commissioner Caulev
gave a synopsis of their trip to Laurel, Mississippi to view
the Sanderson Farms facility. The County Judge explained the
tax abatement proposal put together by the EDC. The County
Judge then asked if anyone had any questions or comments.
Bennie Camp - spoke on behalf of the plant but had
questions concerning whether a rendering plant
would be located here and if there would be an
odor.
Mark O'Connar - asked what happens to chicken waste and
if the EPA has studied the sites for
contamination of ground water. He asked if the
Texas EPA would study the project for possible
contamination.
John Reynolds - stated that one of the cheapest ways to
control disease is arsenic in the feed.
Mildred Gandy - was disappointed that there was so little
publicity that citizens can come in with
input.
The County Judge suggested the Court get back to the topic of.t
the abatement issue. Commissioner Norton then moved to
approve the concept of offering a tax abatement as part of an
economic initiative package to Sanderson Farms subject to the
exact language relative to tax recapture on default and
assignability, being negotiated to the County's satisfaction.
The motion was seconded by Commissioner Sims and carried
unanimously. The second part of the EDC package was
considered next. The EDC suggested that Brazos County
Contribute $150,000 cash for the site development for the
project. Commissioner Sims noted that the EDC was asking for
the funds and not Sanderson Farms. The County Judge
enumerated contributions to be given by the two cities, GTE,
• Lone Star Gas. and TCA Cable TV. The Purchasing Agent asked if

Sanderson Farms did not come to Brazos County would the funds
be retained by Brazos County. The County Judge responded that
yes the County would retain the funds. Commissioner Cauley
moved to give the EDC $150,000.00 for site development.
Commissioner Norton asked to amend the motion to include the
statement that should the company leave prior to the end of
the five year period, the full amount of $150,000.00 will be
returned to Brazos County by the EDC. Commissioner Cauley
agreed to include the amendment. Commissioner Norton seconded
the motion and it carried unanimously.
There being no further business to come before the Court,
the meeting was adjourned.

COUNTY DEPOSITORY CONTRACT
ANALYSIS OF EVALUATION
The following worksheets have been prepared to depict the depository proposals in a
financial format for evaluation:
Sheet 1 - represents the proposers charges for specific services that the County has need
for on a contiguous basis. For comparison the current charges for the service are
remunerated.
Sheet 2 - represents the proposals made with regards to investment interest rates to be
provided to the County.
Sheet 3 - represents the proposals made with regards to investment interest rates to be
provided to handle the trust fund account maintained by the County Clerk
and the District Clerk.
Sheet 4 - equates the interest rates offered by the proposers at a point in time. The point
in time selected was the date of the initial receipt of the proposals (January 13,
.1995).
Sheet 5 - represents a cost comparison of the various proposals to equate the cost of
service to the County, based on the fee schedule presented by each proposer and
the average number of transactions that the County has experienced over the past
12 months.
Based on the analysis of Sheet 5, it appears that the basic average monthly cost to the
County for basic services will be less with the First American Bank. Sheet 5 reflects the
average cost the County should expect to incur to service the current 63 accounts being
maintained. The earnings credit whcih the county will receive will offset 15 to 25% of
this cost, but has not been calculated and applied since it will not be known until the
contract is completed.
In the evaluation of interest rates offered by the various institutions, more weight was
given to those that pegged their rate to "T-Bill Discount Rate" (First American and
Victoria). First National Bank related its proposed rates to Texas Commerce Bank, and
NationsBank related its interest rates to internally established rates. The disadvantage of
TCB method is the interest rates always tag at least one week behind the published
Treasury Bill activity and are tied to Federal Fund Rates which have been consistently
lower than the T-Bill. NationsBank's rates are more susceptible to internal change within
the bank and not the economy.

NationsBank's proposal with regards to the direct deposit of payroll has some merit, and
if accepted would reduce the average monthly cost to the County by about $450 in hard
costs.
The system as proposed would in essence do away with payroll checks altogether.
After processing the time sheets the payroll would be calculated. Net check data
would be down-loaded to a tape which would be transferred to NationsBank on
Thursday morning. Thursday night the funds would be transferred to all
employee's bank accounts and would be available for use on Friday. The system
would not require the use of printed payroll checks, and therefore there would be a
reduced cost for the actual printing of the check, there would not be a need for the
bank to post checks to an account, there would not be a need for check sorting, it
would reduce the time requirements in the Treasurer's office and the Auditor's
office, and the bank's FDIC insurance monthly cost would be reduced. The
employee would get a printout on plain white paper which advise them of the net
deposit and all gross payments and withholding activity.
However, for evaluation purposes it was not considered since not every employee of the
County has a bank account, and with the changes the County is currently undergoing with
regards to payroll processing it does not seem appropriate.
It is interesting to note that both Victoria and Nations are working on this payment
process. Nations is a little farther ahead at this time. In the next couple of years it is
anticipated that the need to even create a tape will not be required - a modem will be used
to communicate the information.
Overall, the recommendation Is based on the fact that there is no real econornk
incentive for the County to change depositories at this time.

On this the 20th day of February 1995 at a special meeting of the
Commissioners' Court, the following members were present:

1995, by and between ARTS COUNCIL OF BRAZOS VALLEY, a private non-profit
corporation chartered by the State of Texas, acting by and through its duly authorized
agent and officer, hereinafter referred to as ACBV, and the County of Brazos, State of
Texas acting by and through its County Judge, duly authorized so to act, hereinafter
referred to as County,
WHEREAS, Article 3, Section 52-a of the Constitution, Section 381 of the Local
Government Code of the State of Texas and V.A.T.S. §5190.6 provide for COUNTY to
engage in economic development activities; and,
WHEREAS, a primary focus of economic development inquiries is the quality of
arts programs in a community; and,
WHEREAS, ACBV provides assistance to local arts organizations of the
COUNTY through funding and support which improves the quality of life in COUNTY
and which assists in attracting industry and business to COUNTY; and,
WHEREAS. COUNTY provides various youth-related services; and,
WHEREAS, ACBV has provided funding and support for programs involving
substance abuse prevention and education for Brazos County children through arts
programs and continues to provide arts-related programs and scholarships for young
people which foster positive self-image and thereby assists in prevention of drug and
alcohol use and abuse; and,

WHEREAS, Article 1528m, V.A.T.S., recognizes that the health, education, and
general welfare of the citizens of the State of Texas require promotion and education
about the performing, dramatic, visual, and literary arts; and
WHEREAS, said Article permits COUNTY to provide funding for cultural
education facilities, and is to be liberally construed; and,
WHEREAS, ACBV provides funding to member organizations, in part, for
facilities acquisition and upkeep; and,
WHEREAS, Article 5190.7, V.A.T.S. permits COUNTY to assist with urban
enterprise zones; and,
WHEREAS, ACBV through its funding programs has provided benefit to Brazos
County, Texas, through programs attracting over 25,000 participants, and resulting in
significant purchases of goods from Brazos County merchants; and,
WHEREAS, ACBV has provided funding to assist local performing arts groups;
and,
WHEREAS, Chapter 318 of the Local Government Code of the State of Texas
provides for historic preservation activities by COUNTY; and,
WHEREAS, ACBV provides funding to member organizations for historic
preservation; and,
WHEREAS, other programs provided by COUNTY are directly benefitted by
ACBV and its member organizations.
NOW, THEREFORE, COUNTY and ACBV hereby agree as follows:

ACBV through its funding and support of member organizations agrees to
continue to provide the above enumerated services which it has provided and agrees to,
continue to engage in support of arts organizations.
II.
COUNTY, for and in consideration of the services provided to COUNTY, hereby
agrees to pay to ACBV a lump sum payment of SIXTEEN THOUSAND DOLLARS,
($16,000.00) for the year beginning October 1, 1994 and ending September 30, 1995.
ACBV agrees to provide an accounting of how the $16,000.00 was distributed to
meet the above described services.
ACBV hereby agrees to hold COUNTY, its officers, agents, servants, and
employees harmless from any loss, damage, injury or claim arising from any negligent
act during the course of its operations.

THIS AGREEMENT, is made by and between the State of Texas, acting by and through
the Texas Department of Transportation, hereinafter called the 'State', and the
County of , Texas, acting by and through its
duly author s• officials, ere na ter called the 'County-.
W I T N E S S E T S
WHEREAS, the State is statutorily responsible for administering motor vehicle
titles and registration pursuant to Texas Civil Statutes, Articles 6675&-1 at seq
and 6687-1; and
WHEREAS, the County Tax-Assessor Collector acts as agent for the State in the
processing of motor vehicle titles and registration; and
WHEREAS, the State has designed and will furnish an automated system for the
uniform registration and titling of motor vehicles, hereinafter identified as the
automated registration and title system (RTS); and
WHEREAS, automation equipment is necessary for the processing of motor vehicle
titles and registration; and
WHEREAS, the State and the County desire that automation equipment procured by
the State, hereinafter identified as the 'Equipment", be installed and operated
at location(s) under the jurisdiction of the county; and
WHEREAS, associated policies and procedures for the County use of the Equipment
are codified in Title 43, Texas Administrative Code (TAC), Section 17.53 - 17.55;
and
WHEREAS, the State will furnish the Equipment to the County provided the County
agrees to adhere to and comply with those policies and procedures and the
requirements established in this Agreement; and
WHEREAS, on the 20tlday of February , 19U, the Brazos
County Commissioners Court Or er or Resolution No. , attached ereto and
identified as 'EXHIBIT A•, authorising the County's execntiIon of this Agreement;

NOW, THEMPORE, in consideration of the mutual promises in this Agreement, the
parties agree as followsi
This Agreement shall become effective on the date of final execution by the State
and shall terminate when all Equipment is removed from the County office(s)
unless sooner terminated pursuant to Section 16 of this Agreement.

The Equipment to be furnished by the State to the County is listed in
•Exhibit 8', attached hereto and made a part of this Agreement. The State
retains full and complete title in the Equipment and nothing in this Agreement
shall grant to the County, its officers or employees ownership in the Equipment.
3. EQQIPlM PROZJRM=
The State shall purchase all hardware and software that it determines is
initially needed to support the RTS in approved county tax office locations.
The State shall purchase all telecommunications cable initially needed to attach
the approved County tax office locations to the RTS telecommunications network.
The State shall purchase alk telephone lines and equipment initially needed to
attach the approved County tax office locations to the RTS network.
4. ADDITIONAL WORKSTATIONS
If a County desires additional workstations (in addition to the Equipment
allocated by the State) for the initial implementation of RTS, they may be
procured at Count= expense through the State. The cost of each additional
workstation at a site previously designated by the county for initial RTS
implementation is listed on the attached schedule (EXHIBIT C, Item 1.).
The cost of the first additional workstation for a County site not previously
designated by the county for initial RTS implementation is listed on the attached
schedule (EXHIBIT C, Item 2). After the purchase of the first additional
workstation for a new county site, the cost of any other workstations for the
site is listed on the attached schedule (EXHIBIT C, Item 2.).
There will be an ongoing annual cost to the Couat• for installation, maintenance
support, RTS software and network charges for each additional workstation
purchased by the County and added to the RTS system. The associated costs for
the equipment or services are listed on the attached schedule (EXHIBIT C, Item
3.).
Workstations purchased by the County are the property of the County. However,
the loading of any software other than the RTS application or software expressly
approved by the State on any workstation used for RTS may cause system problems
or workstation processing failure. Service costs incurred for problems resulting
from such software being loaded on the workstations are the responsibility of the
County.
5. EQUIPKM INSTALLATION
The State will pay for the costs incurred for the installation of the Equipment
as listed in EXHIBIT 8, Part 1 in the approved County tax office locations for
the automated registration and title system. This payment does not include, nor
will the State pay for any County employee time expended, any physical
alterations the County may make to its offices to accommodate the Equipment, or
for the installation of additional workstations purchased through the State by
the County.
The State will pay for installation costs of telecommunications cable and lines
as needed to attach to the automated registration and title system network in the
approved county tax office locations.

The State will pay for teleprocessing costs associated with the use of the
telecommunications network for the Equipment.
i . PROGRAMING
The State shall perform all computer programming needed for the development and
continued support of the automated registration and title system.
7. SECQRITZ
The County shall be responsible for the physical security and protection of the
Equipment installed in its office(s).
NAINTZNAHCE
The State will pay maintenance costs required for the automated registration and
title system for at least five (5) years (one year of warranty coverage and four
years of maintenance coverage) from the date of installation. This maintenance
contract will provide for the technical maintenance support of the Equipment
purchased by the State and placed in the approved County tax office locations.
Provision will be made by the State for timely repaiv or replacement of the
Equipment purchased by the State and placed in the approved County tax office
locations. The timeframe for such repair/replacement will be as specified in the
maintenance clause of the hardware equipment contract.
The State will provide the County with ongoing basic maintenance support for the
automated registration and title system Equipment and software.
The County must purchase ongoing basic maintenance support through the State for
the additional workstations purchased by the County. The maintenance support
provided under this purchase will be the same as that provided by the State.
This purchase cost is included in the figure listed in EXHIBIT C, Item 3.
9. rouu mna REPAIR AND R,EPLACLr[~NT
The County shall be responsible for full repair or replacement costs for the
Equipment in the event the Equipment under State contract that is placed under
County control is damaged or lost. The repair cost shall be determined by the
Equipment service vendor under contract to the State to provide maintenance
service for the Equipment. The replacement cost shall be determined by the cost
of equivalent equipment under State contract at the time the damage or loss
occurs. In addition, the County shall be responsible for any service costs
resulting from problems caused by unauthorized software or hardware residing on
the workstations. The Equipment will be monitored electronically. Any
unauthorized software detected on the Equipment will be removed electronically.
The County's payment for repair or replacement costs for damaged or lost
Equipment, or service costs resulting from problems caused by unauthorized
software residing on the workstations, or installation of unauthorized hardware
on the State equipment, shall be remitted to the State by the County within 30
days of written request by the State.
10. EQUIPMENT NOVEt~NT
The County shall notify the State of its intent to add, move, close, or remodel
(it equipment or cabling is affected) any County office in which the Equipment
is currently installed, or will need to be installed or removed.

Notification must be in writing and shall be submitted prior to the anticipated
date the change will occur. Minimum notification periods:
30 days in the case of an office closing or remodelling,
. 90 days in the case of an office location change, or
. 180 days in the case of an additional office location.
The County shall notify the State prior to incidental movement of the workstation
equipment within the office in which it is currently housed. A telephone call
to the State is sufficient notification in this situation. All calls of this
type will be documented by the State avid kept on file.
Failure to notify and receive instructions from the State for such equipment
moves exposes the County to liability if the Equipment is damaged in the move
(see 7. SECVRM). The county shall be liable to the State for all such costs
in the event the county fails to, notify the State and receive instructions
concerning movement of the workstation equipment.
11.
Unauthorized entry into the Equipment for any reason, including but not limited
to attempts to repair the hardware, or to load unapproved. software, is expressly
prohibited.
The County usage of the Equipment to access County automated systems is subject
to prior approval by the State in writing.
The attachment or installation of any unauthorized equipment onto the automated
registration and title system network is expressly prohibited.
12. ELECTRICAL REQVIREKMS
The County shall meet and maintain minimum office electrical requirements as
specified by the State for operation of the Equipment.
The County shall be responsible for the payment of all electrical power costs
resulting from the operation of the Equipment.
Unless otherwise specified by the State, the Equipment shall remain on 24 hours
a day, 7 days a week.
13. INVZI ORT Or EQ0IPMM
The State is authorized access to the Equipment to perform a physical inventory
at the County office locations during regular county business hours.
In order to maintain an accurate inventory of the Equipment, the county shall
notify the State in writing of any equipment replacement.
14. TRAINING
The State shall provide on-site initial training for the County's employees on
the automated registration and title system. The training plan must be reviewed
and agreed to by the County prior to the implementation of the system. Training
of deputies on the RTS after implementation of the automated system in the County
will be the responsibility of the County.

The State will provide the counties with reference manuals for the automated
registration and title system.
The State will provide the County with continuing training/advisory support on
the automated registration and title system.
15. SUPPLIES
The State will provide the County with an adequate supply of continuous fors
paper to be used solely in conjunction with the automated registration and title
system.
16. TEMINATI0lf
This Agreement may be terminated by any of the following conditions:
A. By mutual consent and Agreement of the parties hereto.
8. By either party, upon thirty (30) days written notice to the other party.
C. By the State, should it determine that the County, at any time, has
failed to comply with the requirements of this Agreement.
Should the Agreement be terminated for any of the above conditions, the County
shall allow removal of the Equipment by the State within a period established by
the State.
17. AMEMMMS
Any changes in the terms and conditions of this Agreement must be enacted by a
written amendment executed by State and the County.
18. PRIOR AOREMMITS SUPERSEDED
This Agreement constitutes the sole and only Agreement of the parties hereto and
supersedes any prior understandings and/or written agreements between the State
and the County respecting the subject matter described herein.
