Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court,with both judicial and legislative powers,created under Article V, Section 1 and Section 18 of the Texas Constitution.As a Constitutional Court,the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code.Accordingly,members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court;and in all actions in the presence of the Court.Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting.Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. Call for Citizen input and/or concerns Cathie Viens expressed continued concerns about the election system and the Court's cooperation in addressing those concerns. She reiterated her request for paper ballots. Cynde Wiley discussed her experience working at a voting location on Election Day and the concerns she has regarding accessibility for elderly voters.A copy of Ms. Wiley's comments were submitted for the minutes and are attached hereto. Clayton Watson provided clarification to what he stated is misinformation circulating regarding the County's Reserve Fund balance. Mr. Watson explained the budgeted amounts that have been verified by the Budget Officer and Auditor. He then noted his intent to both clarify the truth and dismantle any misinformation being spread. At this point, the County Judge announced the Court would consider items 23 through 26 and then return to convene into Executive Session. Having considered the previously noted agenda items, at 10:21 a.m. the County Judge stated that the Court would convene into Executive Session to deliberate pursuant to Section 551.074 as stated above. Juvenile Director Linda Ricketson reported there are 31 juveniles in the detention center, 25 are male, 6 are female, and 35 have electronic monitors. 25. Sheriff's report on inmate population. Sheriff Wayne Dicky reported there were 768 inmates in jail, 632 inmates are male, 136 are female, and 32 have electronic monitors. 26. Announcement of interest items and possible future agenda topics. Commissioner Berry informed the community about the College Station I S D Education Foundation awarding Grants to College Station teachers. This is a great way for teachers to get additional funding for their classrooms. Commissioner Konderla thanked all Veterans for their service, and mentioned there • were a number of great ceremonies in the community that honored our Veterans on Veterans Day. 27. Adjourn. We had 4 of us working, including Cathie. • The residents were so excited to be able to come downstairs and vote in person vs mail in ballots. When I worked the Primary, many said they would skip a MIB and were so excited to know we were coming back for Nov. election. • We had 1 handicap accessible BMD !! We had 2 epoll books for check in and 1 of those had issues and eventually we stopped using it all together. • Why am I telling you about this facility and its residents ...because we are all growing older. My mom turns 90 at the end of this month. • Regarding how we vote, I hear the reasoning of the convenience factor. I work on this side of town opposite from where I live. Its convenient to vote by work as opposed to my precinct. By doing so, we sacrificed, the community gathering of going to vote with our neighbors. Just watching our voters greeting their neighbors and talking about voting, formerly known as precinct voting►. • It seems we have pushed our older generation into MIB because it can be very challenging to operate these electronic machines. We watched them struggle with unsteady hands, struggle to insert the paper, struggle to read the screen with fading eyesight, struggle to reach and touch the BMD, confusion over the printing process, reminding them to verify their choices and explaining why they needed to insert that ballot into the scanner. • It was humbling to see them so excited to vote in person with their neighbors. We worked thru some challenging situations. • .... When this county decided to implement countywide voting, what factors drove that decision ? Convenience ? for who, the working person vs the retired person ? ... did you consider how that decision would /could impact our older generation ? How many older persons choose not to participate in in-person voting, because they are intimidate or confused to vote on those machines because they don't understand or don't want to be a bother. Many do not live in a retirement community that offered in person voting. • If you answer, well we have MIB as an alternative ... Clearly, many residents dressed up and showed up to vote in person. They came energized and determined to make it happen. • I had a great team that pulled together to serve our older generation. And boy, did they need a Ibt of help. • But, think about my question, has this Commish Court revisited the pros n cons of countywide voting program ? Have you acknowledged the unintended consequences of a decision to change from precinct voting to countywide voting and bringing on electronic voting machines ? • We now know the secrecy of the ballot is unattainable unless one votes in their Precinct. The redactions now make our ballots unauditable, which is a direct violation of Tx. Const. These terms will be determined at the first meeting in 2025. A governing body may cast all votes for one candidate or distribute them among candidates. At the time of the original ballot,sent on October 29,2024, I had not received a nominee for Brazos County. As the Legislative intent is to have the taxing jurisdictions' involvement in this process, I have prepared a Supplemental Ballot adding the county's nominee. The Texas Property Tax Code,Section 6.03(k-1)states the governing body of each taxing unit entitled to cast at least five percent of the total votes must determine its vote by resolution adopted at the first or second open meeting of the governing body that is held after the date the chief appraiser delivers the ballot to the presiding officer of the governing body.The governing body must submit its vote to the chief appraiser not later than the third day following the date the resolution is adopted. This would apply to all voting jurisdictions except for Navasota ISD,as their percentage of votes is less than 5%. Navasota ISD will need to submit their ballot and resolution not later than December 15, 2024. The candidates receiving the largest cumulative votes will be the appointed members for the Brazos CAD Board of Directors. WITNESSETH. WHEREAS, on May 30,2019 the Texas Transportation Commission adopted Minute Order No. 115491 which authorized the creation of the Brazos County Regional Mobility Authority to directly benefit the State of Texas,Brazos County, and the traveling public through the • improvement of the State's transportation system in and around Brazos County; and WHEREAS,the RMA requests that Brazos County provide fiscal and personnel management assistance including payroll,benefits, accounts payable,financial tracking and the annual financials;and WHEREAS,the County has determined it is in the public interest to assist the RMA in securing and managing funds for transportation planning purposes in the local area; • NOW,THEREFORE,the parties hereby agree as follows: ARTICLE 1 PURPOSE 1.01 The purpose of this Agreement is to provide fiscal and personnel management assistance to the RMA. ARTICLE II TERM 2.01 The term of this Agreement begins on 10/01/2024 and ends 09/30/2025 or sooner by mutual agreement by both parties. This is not to be construed as the term of employment for employees providing the services to the RMA. See Section 4.07 and 4.08 of this contract. • • ARTICLE III DESCRIPTION OF SERVICES 3.01 The County agrees to provide fiscal and personnel management assistance to the RMA by acting as the financial disbursing agent for RMA funds. ARTICLE IV FISCAL MANAGEMENT AND DISBURSEMENT 4.01 The County shall maintain one or more separate trust accounts under the supervision of • the County Auditor to carry out the requirements of this Agreement and is responsible only in the capacity of a trust officer for the funds involved. The County will be responsible for paying all invoices that comply with existing State statutes,County fiscal policy, and the RMA's state approved and adopted procurement procedures on behalf of the RMA. Such invoices must have been properly approved and documented,and the County should have resources on hand to make full payment. The RMA hereby agrees to seek reimbursement from all available sources on a periodic basis,no longer than every thirty(30) days. 4.02 All warrants issued to the county or the RMA by the State of Texas,or federal agencies, for work performed by any agency or consultant under contract to the RMA shall be properly endorsed and deposited in the trust account. 4.03 The RMA shall make contracts and commitments in its own name.The RMA shall forward invoices and payment obligations to the County Auditor's Office for processing and payment. The budget for all activities on behalf of the RMA program will be set by the RMA. 4.04 The disbursement of funds to agencies or consultants under contract to the RMA will be made by the County in the amounts as specified by the RMA,so long as the RMA budget has sufficient funds to accommodate all payment requests. However,the RMA is fully responsible for all such contracts and releases the County from any liability which may arise as a result of the County performing any non-negligent task pursuant to this Agreement. The County is under no obligation to process payment requests unless sufficient funds for such purposes are present in the RMA budget. • 4.05 The RMA is solely responsible for the accuracy of'the records of funds expended by itself and those agencies or consultants who contract with the RMA. 4.06 The RMA assumes responsibilities for the legal and proper expenditures of all locally derived planning monies under the guidance of the RMA Board and Texas Department of Transportation. The RMA adopts its own line item budget which is not subject to approval by the County Court of Commissioners but shall be grouped into expense group/categories.similar • to the County's.Any expenditure over those established amounts and beyond the RMA Director's delegated authority shall be submitted to the Board of Directors for a budget amendment.All monies shall be budgeted and expended according to the guidelines set forth by the RMA Board. 4.07 The County will-ensure that sufficient staff will be available as needed to support those services required by the RMA. 4.08 A.All employees working on RMA matters under the supervision of the RMA Director will be required to follow all personnel policies that have been established by the County.RMA employees that qualify will be afforded all fringe benefits that have been established for County employees,to include retirement,medical and life insurance,vacation,sick leave,holidays, deferred compensation and any other benefits normally extended to County employees. 4.09 The RMA Board of Directors shall select an Executive Director who will have full-time responsibility for administering the work program of the RMA.The Director will also be responsible for hiring and supervising the RMA's staff. The Director is required to follow all personnel policies established by the County for hiring and/or firing employees.Any action taken with regards to hiring and/or firing does not require the County's Commissioners Court approval. 4.10 The Director will take direction on RMA policy and technical matters from the RMA Board of Directors and direction on fiscal administrative matters from Brazos County. 4.11 The RMA shall pay all costs associated with the employees as described in paragraph 4.08. The County Auditor is hereby authorized to make payment•for RMA personnel costs,to be reimbursed from RMA funds, as described in paragraph 4.01. 4.12 The RMA agrees to indemnify the County for any amounts to which the County may become liable because of the action or omission of any employee under immediate supervision of the RMA Director. ARTICLE V TERMINATION 5.01 This Agreement may be terminated in whole or in part by either party hereto whenever such termination is found to be the best interest of either party. Termination shall be effected by the conveyance of a written notification thereof to the other party at least thirty(30)days in advance of the effective date of the termination. Each Youth placed at the Service Agency will have a written Initial Service Plan(1SP)completed by the appropriate Service Agency Staff within(5)days and will be updated every(30)days. A copy of the reviews will be sent to the appointed Probation Officer.The provision does not apply to youths receiving Emergency Care. Service Agency shall: •provide each Youth's Probation Officer with a written report of the Youth's progress on a monthly basis •ensure that the County approves,in writing the Youth's participation in any furloughs,home visits,or extended agency trips. •ensure that unless,otherwise stipulated by the County,the Youth may visit freely with parent(s) and relatives at the Service Agency in accordance with established Service Agency policies. •ensure that suspected or alleged cases of child abuse are immediately reported to the County Placement Officer,proper authorities and the Department of Protective and Regulatory Services. If a Youth in placement at the Service Agency makes an unauthorized departure,becomes seriously ill, is involved in an incident of a serious nature,the Service Agency shall notify the Youth's Probation • Officer and the County Placement Officer immediately and ensure that the parents and proper authorities,including the Texas Department of Protective and Regulatory Services are notified. The County reserves the right to terminate the youth's placement at the Service Agency at its discretion.The Service Agency must not release the youth to any person or agency without the express consent of the County. The Service Agency is under no obligation to accept a youth who is deemed inappropriate for placement in the program by the Service Agency. II.PAYMENT FOR SERVICES For and in consideration of the abovementioned services,the County agrees to pay the Service Agency $250.00 per day per youth for SPECIALIZED.The County agrees to pay the Service Agency based cm the level of care as currently effective or subsequently amended. The Service Agency shall submit a billing statement to the County for services monthly.Each billing statement shall contain the name of the youth(s)along with the number of days(stated consecutively) for which payment is requested. Recognized that a part of the youth's rehabilitation program may include time away from the Service Agency such as weekends,holidays etc.The Service Agency must retain space for the youth until their return.The County will pay the above agreed amount for such regular scheduled days away from the Service Agency or its program providing they do not exceed(10)days at a time.The Service Agency is under no obligation to retain space for the youth in an unauthorized departure situation. The County agrees to provide transportation for the youth(s)to and from Service Agency at the time of admission and discharge.Should the Service Agency provide transportation services,reimbursement for transportation cost must be approved by a member of the County Juvenile Probation Department. The Service Agency is responsible for all transportation incidentals to the care of the youth,including medical and dental visits.Service Agency may request that the parents contribute to transportation cost for furlough from placement. Medical and Dental services shall be reimbursed by the County upon the submission of a billing statement:invoice for said services. III.EXAMINATION OF PROGRAM AND RECORDS The Service Agency agrees to maintain and make available for inspection,audit,or reproduction,by an authorized representative of the County and the State of Texas.books,documents,and other evidence pertaining to the receipt and expenditure of all funds received under this Contract,herein after called the records. The Service Agency agrees that it will permit the County to examine and evaluate its program of services provided under the terms of this Contract and to review the youth's record.The examination and evaluation of the program will include unscheduled site visitations and observations of the program in operation.The Service Agency shall provide the County with such descriptive information on contracted youth as requested. The Service Agency agrees to maintain these Records for(7)years after final payment or until the State approves audit if any,has been made and all questions there from resolved. IV.FEE ASSESSMENT Provide certification eligibility,Under Section 231.006 Family Code,the vendor or applicant certifies that the individual or business entity named in this contract bid,or application is not ineligible to receive the specified grant,loan or payment and acknowledges that this contract may be terminated, and payment may be withheld.if this certificate is inaccurate. Youths and their families shall not be assessed for services by the Service Agency,unless the Court specifies arrangements.This does not prelude reasonable attempts to seek voluntary contribution from families of the County for donations of clothing,personal articles,and funds to assist in supporting youth's rehabilitation. If a youth is eligible for fiscal support from another State Agency or Organization,the Service Agency shall ensure that the County is not charged for such fiscal support for which is otherwise eligible. Service Agency Is hereby notified that state funds are used to pay for services rendered to the County Juvenile Probation Department.For this reason,Service Agency shall account separately for the receipt and expenditure of all funds.Service Agency agrees to make claims for payment or direct any payment disputes to the County Juvenile Probation's Fiscal Officer.Service Agency will not contact other department employees regarding any claims of payment. VI.TERMINATION This Contract may be terminated by either party,upon(10)days written notice to the other party of the intention to terminate upon expenditure of funds.The County may upon(30)calendar days written notice to Service Agency,to terminate the contract in any one of the following circumstances if: Service Agency fails to comply with the County's reporting requirements,the objectives,terms, conditions,or standard of this contract applicable federal,state,of local laws,rules regulations and ordinances,or any other requirements set forth in this contract.If Service Agency fails to perform the work and services required by this contract within the time specified herein or any extension thereof. Service Agency fails to correct its noncompliance with any terms or provisions of this contract within (30)calendar days(or any extensions as authorized by the County in writing)after receiving notice of noncompliance or funds allocated to the County by the State should become reduced,depleted,or unavailable during the Contract term. VII.LAWS AND VENUE In any legal action arising under this contract,the laws shall apply and venue shall be in,San Patricio County,Texas. VIII.CONTRACTED PERIOD The term of this agreement is for twelve months,commencing September 1,2023 and ending August 31,2024. It shall be automatically renewed for one(1)year terms thereafter,commencing September 1"and ending August 3191 of each year,unless one party notifies the other in writing,at least thirty(30) days prior to the expiration of said term,of its intention to not renew this Agreement. IX.INDEMNITY,INSURANCE AND CERTIFICATION Service Provider hereby represents and warrants the following: That it has all necessary right,title,license and authority to enter into this Agreement; Service Agency warrants that it is certified,approved or licensed by all Federal,State,or local Agencies or departments,which have jurisdiction to regulate any activity,performed in or by an adolescent residential treatment center.Proof of such certification,approval or license shall be provided to the County Juvenile Probation Department within(10)days of execution of this document. The Service Agency shall instruct his insurance agent or carrier to furnish to the County a Certificate of Insurance attesting to the issuance of the following parts of this section. Please note that such Certificates of Insurance and must be issued and then approved by Brazos County Risk Management.The Certificate of Insurance must be approved by Risk Management before any services can be rendered. The Service Agency shall furnish and keep in full force the following insurance during the term of this Contract: General Liability with limits for bodily injury and for property damages of not less than $1,000,000 aggregate,with Brazos County named as an additional insured with waiver of subrogation in favor of Brazos County. Professional Liability(Errors and Omissions)Insurance appropriate to the services being provided,with limit no less than$1,000,000 per occurrence or claim,$2,000,000 aggregate. If the Service Agency maintains broader coverage and/or higher limits than the minimums shown above,Brazos County requires and shall be entitled to the broader coverage and/or the higher limits maintained by the Provider.Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to Brazos County. Abuse and molestation insurance as an endorsement to the professional liability policy with coverage for damages arising out of actual or threatened physical abuse,mental injury,sexual molestation,negligent:hiring,employment,supervision,investigation,reporting to proper authorities,and retention of any person for whom the Service Agency is responsible including but not limited to Service Agency and Service Agency's employees and volunteers.Policy endorsement's definition of an insured shall include the Service Agency,and the Service Agency's employees and volunteers.Coverage shall be written on an occurrence basis in an amount of not less than$1,000,000 per occurrence.Any annual aggregate limit shall not be less than$2,000,000.These limits shall be exclusive to this required coverage.Incidents related to or arising out of physical abuse,mental injury,or sexual molestation,whether committed by one or more individuals,and irrespective of the number of incidents or injuries or the time period or area over which the incidents or injuries occur,shall be treated as a separate occurrence for each victim.Coverage shall include the cost of defense and the cost of defense shall be provided outside the coverage limit. Commercial Automotive Liability with$1,000,000 CSL for Bodily Injury and Property Damage Liability with Brazos County named as an additional insured with waiver of subrogation in favor of Brazos County. All of the aforementioned policies and Certificates of Insurance should be issued immediately after the Service Agency receives notification of contract approval. The Service Agency agrees to release and hold harmless Brazos County from any and all claims and liability due to the acts of the Service Agency's employees and the operation of his equipment. The Service Agency also agrees to hold harmless Brazos County from any and all expenses,including attorney fees,incurred by Brazos County in litigation or otherwise resisting such claims or liabilities as a result of the Service Agency's employees'activities. Further,the Service Agency agrees to protect,indemnify and hold harmless Brazos County from and against all claims,demands and causes of action of every kind and character brought by any employees of the.Service Agency against Brazos County due to personal injuries and/or death to such employee resulting from any neglect act,by either commission or omission on the part of the Service Agency or Brazos County. X.PROVISIONS OF SERVICE The County agrees to purchaser 24 hour therapeutic child care from the Service Agency who is licensed by the Texas Commission on Alcohol&Drug Abuse as a Substance Abuse Treatment Facility,herein referred to as Commission,to provide Levels of care of Level I,Level II,Level III,and Level IV,such levels as defined by the Commission's licensing standards. Service Agency agrees to provide room board and supervision and care,24 hours a day. In order to determine the quality of services for the youth's placements,Service Provider agrees to define goal outputs,and measurable outcomes. The progress for each youth is monitored through a Level Point System.The System is designed to help staff assess rewards and assign consequences as part of the behavioral modification modality.The behavioral,emotional,and physical and education statue of each youth is taken into consideration. Assessment of the youth's progress through the level system and successful completion of the Initial Service Plan will carry the following weight(1)Unit Behavioral 40%;(2) Therapy/Treatment Plan Participation 25%;Recreational Therapy Participation 15%;and School Participation 20%in the determination of the discharge prognosis and program completion. XI.PLAN OF SERVICE Service Agency agrees to develop a written Initial Service Plan(ISP)for each youth.Each(ISP) will define goals,outputs,and measurable outcomes that directly relate to the program objectives. XII.THE INITIAL SERVICE PLAN AT MINIMUM Shall have goals for the Youth to learn adequate social skills,refrain from hostile aggressive acts toward others,and learn how to develop positive relationships with the family unit and/or society that will help toward a resolution of the problem(s)for which treatment is purchased and learn how to develop a chemical free lifestyle. Enhance and/or develop and further educational skills for the youth. Successfully complete the program with a minimal number of incidents. Provide at least 150 hours of counseling. Provide individual therapy at least weekly and group therapy at least two times per week and Group counseling three times per week,and family therapy as geographically possible.All therapy and counseling sessions shall be performed by the appropriate Qualified Credentialed Counselor(QCC).The QCC must meet the requirements as determined by the Contractor's Licensing Agency. The(ISP)shall contain the reasons for placement and specific details pertaining to goals and future objectives.It shall provide,at minimum,each youth's Probation Office with written reports of the youth's progress on a monthly basis. Service Agency will not release the youth to any person or agency without the express consent of the County Juvenile Probation Department. Service Agency will obtain approval from the County for Youth's participation in any furloughs, home visits,or extended agency trips. XIII.OUTCOME MEASURES, Evaluation of the contract by the County will be performed by using the following OUTCOME MEASURE:(1)80%of placements remain chemical free and without incident for one year from the time of discharge;(2)80%of placements will successfully complete their transition back into public schools without further incidents;(3)80% of placements will report improved family functioning;and(4) 80%of progress reports will be received in a timely manner. XIV.PRISON RAPE ELIMINATION ACT Service Agency shall adopt and comply with all federal,state,county,and city laws,ordinances, regulations and standard applicable to the provisions of the services described herein and the performances of all the obligations undertaken pursuant to the contract including the Prison Rape Elimination Act of 2003(PREA) which establishes a zero-tolerance standard against sexual assault of incarcerated persons,including juveniles,and addresses the detection,elimination, prevention and reporting of sexual assault in facilities in housing adult and juvenile offenders [PREA§115.312(a)].Under PREA,Service Provider shall make available to the CPO all incident-based aggregated data reports for every allegation of sexual abuse at its facility or facilities,and all such data may be requested by the Department of Justice from the previous calendar year no later than June 30[PREA§115.87E and(f)]. Under PREA,the Service Agency shall be subjected to annual contract monitoring by the County Juvenile Probation Department to ensure that the Service Provider is complying with the PREA Standards IPREA**l 15.312(b)J.To comply with this standard the Service Agency will make available to the CPO all incident-based aggregated sexual abuse data within 24 hours of the allegation. Title and Risk of Loss of the goods shall not pass to Brazos County until the County actually accepts and takes possession of the goods at the point or points of delivery. ADDITION/MODIFICATION OF LOCATIONS OR SERVICES Brazos County reserves the right to add locations as these additional locations may be required. Locations to be added may include, but not limited to, expansions or additions to existing facilities and acquisition or construction of new properties. In the event that Brazos County makes significant structural changes to an existing facility that impacts the contractor's cost in providing the services anticipated by this contract such change may be treated as a new facility and the procedures provided for in this section may be followed in determining an appropriate price. In the event Brazos County wishes to add other locations to a group under the contract, a quotation will be solicited from the incumbent contractor in good standing for the group in which the new location is appropriately situated. INVOICES&PAYMENTS Payments to contractors will not be made if the contractor cannot produce a Brazos County Purchase Order. Contractor shall submit an original invoice on each purchase order or purchase release after each delivery, indicating the purchase order number. Invoices must be itemized. Any invoice, which cannot be verified by the contract price and/or is otherwise incorrect, shall be corrected by the contractor. Brazos County will only be required to pay for materials actually received and/or services actually provided. Brazos County shall not be required to pay for materials or services described in the contract that are not used or provided by the contractor in completion of the contract. This term supersedes any contradicting terms throughout the contract and/or any attachments. PRICING Prices for all goods and/or services shall be firm for the duration of this contract and shall be stated on the Pricing/Delivery Information form. Prices shall be all inclusive: No price changes, additions, or subsequent qualifications will be honored during the course of the contract. All prices must be written in ink or typewritten. Pricing on all transportation, freight, drayage and other charges are to be prepaid by the contractor and included in the bid prices. GOVERNING LAW AND VENUE This bid solicitation is governed by the laws of the State of Texas,specifically, the competitive bidding requirements of the County Purchasing Act, Texas Local Government Code, §262.021 et seq., as amended. Offerors shall comply with all applicable federal, state and local laws and regulations. Offeror is further advised that these requirements shall be fully governed by the laws of the State of Texas and that Brazos County may request and rely on advice, decisions and opinions of the Attorney General of Texas and Brazos County Attorney concerning and portion of these requirements. COMPLIANCE WITH LAW The Contractor's work and materials shall comply with all state and federal laws, municipal ordinances, regulations,and directions of inspectors appointed by proper authorities having jurisdiction. The Contractor shall perform and require all subcontractors to perform the work in accordance with applicable laws, codes, ordinances, and regulations of the State of Texas and the United States and in compliance with OSHA and other laws as they apply to its employees. In the event any of the conditions of the specifications violate the code for any industry,then such code conditions shall prevail. The Contractor shall follow all applicable state and federal laws, municipal ordinances, and guidelines concerning soil erosion and sediment control throughout the Project and warranty term. DISQUALIFICATION OF OFFEROR Upon signing this contract, an offeror offering to sell supplies, materials, services, or equipment to Brazos County certifies that the offeror has not violated the antitrust laws of this state codified in Texas Business and Commerce Code §15.01, et seq., as amended, or the federal antitrust laws, and has not communicated directly or indirectly the bid made to any competitor or any other person engaged in such line of business. Any or all bids may be rejected if Brazos County believes that collusion exists among the offerors. Bids in which the prices are obviously unbalanced may be rejected.Requests to withdraw a submitted bid or proposal are subject to the approval of the Purchasing Agent. SEVERABILITY If any section, subsection, paragraph, sentence, clause, phrase or word of these requirements or the specifications shall be held invalid, such holding shall not affect the remaining portions of these requirements and the specifications and it is hereby declared that such remaining portions would have • Contract No.25-027 BRAZOS COUNTY,TEXAS Page 5 of 8 Pages been included in these requirements and the specifications as though the invalid portion had been omitted. SILENCE OF SPECIFICATIONS The apparent silence of specifications as to any detail, or the apparent omission from it of a detailed description concerning any point, shall be regarded as meaning that only the best commercial practice is to prevail and that only material and workmanship of the finest quality are to be used. All interpretations of specifications shall be made on the basis of this statement. The items furnished under this contract shall be new,unused of the latest product in production to commercial trade and shall be of the highest quality as to materials used and workmanship. Manufacturer furnishing these items shall be experienced in design and construction of such items and shall be an established supplier of the item bid. TERMINATION Brazos County reserves the right to terminate the contract for default if offeror breaches any of the terms therein, including warranties of offeror or if the offeror becomes insolvent or commits acts of bankruptcy. Such right of termination is in addition to and not in lieu of any other remedies which Brazos County may have in law or equity. Default may be construed as, but not limited to, failure to deliver the proper goods and/or services within the proper amount of time, and/or to properly perform any and all services required to Brazos County's satisfaction and/or to meet all other obligations and requirements. Brazos County may terminate the contract without cause upon thirty (30) days written notice POLICY REQUIREMENTS FOR CERTIFICATE OF INSURANCE CONTRACTOR'S INSURANCE The contractor(s) before starting work for Brazos County, must furnish Brazos County a Certificate of Insurance or other acceptable evidence from a reputable insurance company or companies with an A.M. Best Rating of AA (such companies to be acceptable to Brazos County) licensed to write insurance in the state of Texas,showing that the contractor is covered by the insurance as follows: (1) Statutory Workers Compensation Insurance with Employers Liability Insurance in the amount of $1,000,000. In the event any work is sublet, the contractor shall require the subcontractor similarly to provide the same coverage and shall himself acquire evidence of such coverage on behalf of the subcontractor. Waiver of subrogation is required. (TLC Sec. 401.011) (2) Commercial General Liability Insurance with a$ 1,000,000 Combined Single Limit. The policy shall be on the Comprehensive General Liability 1986/90 occurrence form, and shall include coverage for acts of independent contractors, and shall name Brazos County as an additional insured. Waiver of subrogation is required. No claims made policies will be acceptable without prior approval by the Commissioners Court/Risk Management. (3) Automobile Public Liability Insurance with a $1,000,000 Combined Single Limit, in all self- propelled vehicles used in connection with the contract,whether owned,non-owned or hired. Any contract terms and conditions related to the Limitations will not be binding. on Brazos County except to the extent authorized by the laws and Constitution of the State of Texas. COVERAGES/WAGES Nothing in this contract shall be construed as making Brazos County responsible for the payment of compensation and/or any benefits for contractor including health, property, motor vehicle, workers' compensation, disability, death, and dismemberment insurance for the contractor's employees and/or equipment. WAIVERS No waiver by either party hereto of any term or condition of this contract shall be deemed or construed to be a waiver of any other term or condition or subsequent waiver of the same term or condition. ENTIRE CONTRACT This contract represents the entire and integrated agreement between Brazos County and the contractor and supersedes all prior negotiations, representations, or contracts, either written or oral. This contract may only be amended by written instrument approved and executed by the parties. AVAILABILITY AND RETENTION OF RECORDS All records relating to the service provided under this contract and supporting documentation for invoices submitted to Brazos County by the contractor shall be retained and made available by the contractor for audit by Brazos County, it duly authorized representatives,the State of Texas (including, but not limited to the Auditor of the State of Texas, Inspector General or duly appointed law enforcement officials) and agencies of the United States Government. Such records shall be returned by contractor and made available for any time period required by state or federal law. If changes occur in the governing state or federal law, regarding retention records, contractor shall comply with such changes. If an audit is initiated before the expiration of such time periods required by state or federal law regarding retention of records, the contractor shall retain such records until the audit is concluded,and all issues resolved. Contractor shall provide Brazos County with copies of such audits that be conducted with respect to the contract. The requirements of Subchapter J, Chapter 552, Government Code, may apply to this contract and the contractor or vendor agrees that the contract can be terminated if the contractor or vendor knowingly or intentionally fails to comply with a requirement of that subchapter. This provision is mandatory and may not be altered or deleted, as required by Sec. 552.372(b) of the Texas Government Code. AUDIT RESPONSIBILTY The contractor shall be responsible for receiving,replying to and/or complying with any audit exception by appropriate federal,state or local audit directly related to the provision of this contract. CONDITIONS OF RFP The following instructions apply to all proposals and become a part of Terms and Conditions of any proposal submitted to the Brazos County Purchasing Department,unless otherwise specified elsewhere in this Proposal. Definitions: In order to simplify the language throughout this proposal, the following definitions shall apply: a. BRAZOS COUNTY- Same as County. b. If the County chooses, these top scoring firms will be given an opportunity to present potential value engineering or cost saving suggestions to the County. All firms will be accorded fair and equal treatment with respect to any opportunity for discussion and revision of proposals and no pricing will be shared with any of the firms at any time until after an award is made and contract is approved by Commissioners' Court. A best and final offer may be requested including any revisions and allowing for a revision of the completion timeframe for inclusion into the final contract. 3. Contractor will be responsible for immediate notification of all damage to the property by the Contractor or its representative(s) E. TRADE SECRETS, CONFIDENTIAL INFORMATION AND THE TEXAS PUBLIC INFORMATION ACT 1. Brazos County, Texas is subject to the Texas Publication Information Act, Chapter 552, - Texas Government Code. Proposals submitted to Brazos County, Texas in response to this RFP are subject to release by the County as public information. Any changes, additions or clarifications to the RFP will be made by numbered addenda and must be acknowledged in the Proposal. 2. INSURANCE The Contractor shall procure and maintain at its sole cost and expense for the duration of this --Th Agreement insurance against claims for injuries to persons or damages to property that may arise from or in connection with the performance of the work hereunder by the Contractor,its - agents, representatives, volunteers, employees or subcontractors. The Contractor's insurance coverage shall be primary insurance with respect to the County, its officials, employees and volunteers. Any insurance or self-insurance maintained by the County, its officials, employees or volunteers shall be considered in excess of the Contractor's insurance and shall not contribute to it. Further, the Contractor shall include all subcontractors as additional insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverage for subcontractors shall be subject to all of the requirements --� stated herein. WORKER'S COMPENSATION INSURANCE _; Pursuant to the requirements set forth in Title 28, Section 110.110 of the Texas compensation insurance policy; either directly through their employer's policy (the Contractor's or subcontractor's policy) or through an executed coverage agreement on an approved TWCC form. Accordingly, if a subcontractor does not have his or her own policy and a coverage agreement is used, Contractors and subcontractors must use that portion of the form whereby the hiring contractor agrees to provide coverage to the employees of the subcontractor. The portion of the form that would otherwise allow them not to provide coverage for the employees of an independent contractor may not be used. The worker's compensation insurance shall include the following terms: a. Employer's Liability limits of$500,000.00 for each accident is required. b. "Texas Waiver of Our Right to Recover From Others Endorsement" shall be included in this policy. (Waiver of Subrogation) • Pursuant to the explicit terms of Title 28, Section 110.110 ( c ) (7) of the Texas Administrative Code, the bid specifications, this Agreement, and all subcontracts on this Project must include the following terms and conditions in the following language, without any additional words or changes, except those required to accommodate the specific document in which they are contained or to impose stricter standards of documentation: - Y a. Definitions: i. Certificate of coverage ("certificate") - A copy of a certificate of insurance, a certificate of authority to self-insure issued by the Texas Worker's _\<' Compensation Commission, or a coverage agreement)TWCC-81), TWCC-83, `� or TWCC-84), showing statutory worker's compensation insurance coverage for the person's or entity's employees providing services on a project, for the duration of the project. ii. Duration of the project - includes the time from the beginning of the work on the project until the Contractor's/person's work on the project has been completed and accepted by the governmental entity. _:, iii. Persons providing services on the project ("subcontractors" in section 406.096 {of the Texas Labor Code}) - includes all persons or entities performing all or part of the services the Contractor has undertaken to perform on the project, regardless of whether that person has employees. This includes, without 9IPage • e-Th limitation, independent Contractors, subcontractors, leasing companies, motor carriers, owner-operators, employees of any such entity or employees of any entity which furnishes persons to provide services on the project. "Services" t include, without limitation, providing, hauling, or delivering equipment or materials, or providing labor, transportation, or other service related to a project. "Services" does not include activities unrelated to the project, such as food/beverage vendors, office supply deliveries, and delivery of portable toilets. b. The Contractor shall provide coverage, based on the proper reporting of classification codes and payroll amounts and filing of any coverage agreements, that meets the statutory requirements of Texas Labor Code, Section 401.011 (44) : for all employees of the Contractor providing services on the project, for the duration of the project. c. The Contractor must provide a certificate of coverage to the governmental entity prior to being awarded the contract. d. It the coverage period shown on the Contractor's current certificate of coverage ends during the duration of the project, the Contractor must,prior to the end of the coverage period, file a new certificate of coverage with the governmental entity showing that coverage has been extended. e. The Contractor shall obtain from each person providing services on a project, and provide to the governmental entity: i. a certificate of coverage, prior to that person beginning work on the project, so the governmental entity will have on file providing services on the project, and certificates of coverage showing coverage for all person; and ~ ii. no later than seven calendar days after receipt by the Contractor, a new certificate of coverage showing extension of coverage, if the coverage period shown on the current certificate of coverage ends during the duration of the project. f. The Contractor shall retain all required certificates of coverage for the duration of the project and for one year thereafter. g. The Contractor shall notify the governmental entity in writing by certified mail or personal delivery, within 10 calendar days after the Contractor knew or should have known, or any change that materially affects the provision of coverage of any person providing services on the project. h. The Contractor shall post on each project site a notice, in the text, form and manner prescribed by the Texas Workers' Compensation commission, informing 1 all persons providing services on the project that they are required to be covered, and stating how a person may verify coverage and report lack of coverage. i. The Contractor shall contractually require each person with whom it contracts to provide services on a project, to: i. provide coverage, based on proper reporting of classification codes and payroll amounts and filing of any coverage agreement, that meets the statutory requirements of Texas Labor Code, Section 401.011 (44) for all of its employees providing services on the project, for the duration of the project; ii. provide to the Contractor, prior to that person beginning work on the project, a certificate of coverage showing that coverage is being provided for all employees of the person providing services on the project, for the duration of the project; 10IPage i en iii. provide the Contractor, prior to the end of the coverage period, a new certificate of coverage showing extension of coverage, if the coverage period shown on the current certificate of coverage ends during the duration of the project. iv. obtain from each .other person with whom it contracts, and provide to the Contractor: (a) a certificate of coverage, prior to the other person beginning work on the project; and s. (b) a new certificate of coverage showing extension of coverage, prior to the end of the coverage period, if the coverage period shown on the current certificate of coverage ends during the duration of the project; v. retain all required certificates of coverage on file for the duration of the project and for one year thereafter; vi. notify the governmental entity in writing by certified mail or personal delivery, within 10 calendar days after the person know or should have known, of any rn change that materially affects the provision of coverage of any person providing services on the project; and vii. contractually require each person with whom it contracts, to perform as required by paragraphs (a)-(g), with the certificates of coverage to be provided to the person for whom they are providing services. j. By signing this contract, or providing, or causing to be provided a certificate of coverage, the Contractor who will provide services on the project will be covered by workers' compensation coverage for the duration of the project, that the coverage will be based on proper reporting of classification codes and payroll amounts, and that all coverage agreements will be filed with the appropriate insurance carrier, or,in the case of a self-insured, with the commission's Division of Self-Insurance regulation. Providing false or misleading information may subject the Contractor to administrative penalties, criminal penalties, civil penalties,or other civil actions. 4. CERTIFICATES OF INSURANCE Certificates shall be prepared and executed by the insurance company or its authorized agent,and shall contain the following provisions and warranties: a. The company is licensed and admitted to do business in the State of Texas. b. The insurance policies provided by the insurance company are underwritten on forms that have been provided by the Texas State Board of Insurance or ISO. c. All endorsements and insurance coverage according to requirements and instructions contained herein. d. The form of the notice of cancellation, termination, or change in coverage provisions to Brazos County. e. Original endorsements affecting coverage required by the section shall be furnished with the certificates of insurance. �-� K. COMPLIANCE WITH LAW The Contractor's work and materials shall comply with all state and federal laws, municipal ordinances, regulations, and directions of inspectors appointed by proper authorities having jurisdiction. 11 I Page r-, ) The Contractor shall perform and require all subcontractors to perform the work in accordance with applicable laws, codes, ordinances, and regulations of the State of Texas and the United States and in compliance with OSHA and other laws as they apply to its employees. In the event any of the conditions of the specifications violate the code for any industry, then such code ,-� conditions shall prevail. L. SAFETY PRECAUTIONS Safety precautions at the site are a part of the processes for which the Contractor shall be solely responsible. The Contractor shall, at its own expense, take such precautionary measures for the protection of ^? persons, property, and the work as may be necessary. The Contractor shall be held responsible for all damages to property,personal injuries and/or death due to failure of safety devices of any r-h, type or nature that may be required to protect or warn any individual of potential hazards created -` by the performance of the work set forth herein; and when any property damage is incurred, the damaged portion shall immediately be replaced or compensated for by the Contractor at its own cost and expense. f M. INDEMNITY To the fullest extent permitted by law, the Contractor agrees to and shall indemnify, hold ; harmless, and defend the County, its officers, agents, and employees from and against any and all claims, losses, damages, causes of action, suits, and liability of every kind, including all • expenses of litigation, court costs, and attorney's fees for injury to or death of any person, for damage to any property, or for any breach of contract, arising out of or in connection with the work done by the Contractor under this Contract, provided that any such claim, loss, damage, ram, cause of action, suit or liability is caused in whole or in part by an act or omission of the =, Contractor, any subcontractor, or any person, organization directly or indirectly employed by any of them to perform or furnish work on the Project. This indemnity shall apply regardless of .• whether such injuries, death, damages, or breach are caused in part by the negligence or omission of the County, any other party indemnified hereunder,the Contractor, or a third party. • N. RELEASE The Contractor assumes full responsibility for the work to be performed hereunder, and hereby releases, relinquishes, and discharges the County, its officers, agents, and employees from all r , claims, demands, and causes of action of every kind and character, including the cost of defense ;-� thereof, for any injury to or death of any person(whether employees of either party or other third parties) and any loss of or damage to any property (whether property of either of the parties hereto, their employees, or of third parties) that is caused by or alleged to be caused by, arising out of, or in connection with the Contractor's work to be performed hereunder. This release shall apply regardless of whether said claims, demands, and causes of action are covered in whole or in part by insurance, and in the event of injury, death, property damage, or loss suffered by the Contractor, any subcontractor, or any person or organization directly or indirectly employed by any of them to perform or furnish work on the project, this release shall apply regardless of whether such injury, death, loss, or damage was caused in whole or in part by the negligence of the County. 12 ' Page v _ • r-1 r - O. PROPOSAL SUBMITTAL • / 1. The Proposer shall submit the proposal on the forms enclosed on the Brazos County web • i site. All blank spaces in forms shall be correctly filled in by typewriter or manually in ink and the proposer shall state the prices. 2. If a proposal is submitted by an individual, his name must be signed by him or his duly ,1 authorized agent. If the proposal is submitted by a firm, association, or partnership, the name and address of each member must be given, and the proposal must be signed by an official or duly authorized agent. 3. The Proposer shall submit one (1) original of completed RFP with appropriate signature(s). This should include any pricing references (Exhibit B), specified qualifications, etc. The Proposer shall also submit and five (4) copies of the qualification statements in their proposal packet. 4. By signing the certification below, the respondent verifies that all plans and specifications have been reviewed and are considered in the pricing attached. Prior to • award, the respondent also completes the Verification of No Delinquent Taxes or Fees form (V.T.C.A. The work covered by these specifications consist of furnishing all materials, machinery, equipment, personnel, vehicles, tools, and labor necessary to commence and complete normal grounds maintenance at the Brazos Center, Juvenile Justice Center, Brazos County Expo Complex, and the Justice of the Peace Pct. 3 Building. 3. Normal grounds maintenance to include mowing turf maintenance (section 8), edging/trimming (section 9), clean up (section 10), tree protection and maintenance (section 11), general maintenance (section 12-14), security measures (section 15) and irrigation checks (section 4). 4. After servicing a primary area, systems irrigation check should be done to check for - breakage on irrigation systems caused by Contractor error. All breakage caused by the -Th Contractor should be fixed immediately at the expense and by the Contractor and then reported to Brazos County. 5. The Contractor will follow the project timeline for each facility. These could be a need for a shift of cycles if inclement weather does not allow the completion of scheduled monthly operations. 6. The Contractor shall submit an invoice for the previous month's completed maintenance operations by the first day of each following month. (For example, March operations are - ` billed Brazos County on April 1). Invoices should itemize the type of maintenance function and number of completed trips for each location. -- 7. In long linear areas, mower paths should overlap previous cuts, so ruts are not produced. b. Grass height shall be cut and maintained to 3 %". This height could vary depending J on location. Brazos County will monitor and work with Contractor to establish heights at locations if it needs to be adjusted from the required 3 %2". ` c. Use of rotary type mowers is acceptable. All blades are to be always kept sharp. Brazos County may perform periodic inspections for sharpness. d. All turf damaged by the negligence of the Contractor will be repaired(re-sodded or = top dressed) by the Contractor at the sole expense of the Contractor. Method utilized to be determined by the Brazos County. e. Proper equipment selection and maintenance should be done to avoid scalping the turf in low and/or high spots. f. Prior to starting mowing operations, the area is to be walked, any foreign debris removed and ensure that irrigation heads are retracted. All litter must be removed prior to mowing. Excessive little will be brought to the attention of Brazos County. g. Care should be always exercised to avoid grass clippings being deposited in landscape beds. If clippings are deposited in landscape beds cleanup of landscape beds are required. 9. Edging/Trimming a. All turf perimeters along and around walks, curbs, walls, beddings, and all other above ground infrastructure and trees will be edged at each mowing cycle to produce a crisp and neat appearance. T b. Use of string-trimmers in such a fashion to cause bare strips around objects or unsafe crevices behind curbs is unacceptable. Extreme care should be taken so as to not girdle trees. c. The immediate area surrounding the sprinkler heads are to be trimmed as often as needed for proper operation, Irrigation control valve and all other valve boxes to be trimmed around with each mow cycle. 10. Cleanup: a. All drives, parking areas, storm drains, ditches, culverts, valley curbs, and sidewalks are to be kept clean of vegetation, litter, and soil. These cleanup operations should occur with each visit to the site. Litter in turf areas shall be picked up prior to mowing operations. b. After each mow/trim cycle, all hard surfaces are to be swept or cleaned with blowers of any grass clippings, etc... in such a manner as to not leave unsightly clumps in or around the site. c. Debris will not be blown into streets or onto paved/concrete surfaces. Unsightly clumps or large amounts of debris will be accumulated onto grass areas and raked, picked up and disposed of properly. - 18 ! Page • r-, 11. Trees Protection and Maintenance: a. String trimmers should only be used around trees on an occasional basis to keep the rings crisp in appearance. b. The 12-inch ring size should allow ample room for equipment operations on the surrounding turf without tree damage. c. Any variation from these specifications must be indicated on the Bid or on separate attachment to the Bid. The sheet shall be labeled as such. • 12. Performance Standard: a. All services will be on a set schedule meaning certain facilities on certain days. i. Schedule is set as follows: A. Brazos Center—Primary on Wednesday and Secondary every other week on Wednesday B. Justice of the Peace#3 —Wednesday C. Exposition Complex—Monday D. Sheriff Office Admin and Field—Thursday E. Juvenile Justice Center—Thursday F. Medical Field Area—Per Brazos County request Flexibility is required due to inclement weather or other various activities with high occupancy that may be held a different location. b. All services contracted herein shall be done in a courteous and orderly manner with a minimum of inconvenience to the adjoining residents, occupants or public. All maintenance personnel shall be appropriately dressed while performing this contract. Contractor shall provide shirts/uniforms for all employees to wear at all times with a clearly identified company logo and must be worn while performing _� this contract. Any vehicles that are used by the Contractor to perform work should be clearly identifiable with company logo while performing this contract. c. The Contractor shall provide a qualified supervisor or foreman on the site at all times during the performance of this contract and is to be responsible for the progress of the work and the conduct of the Contractor's personnel. The Contractor shall always enforce strict discipline and good order among its representative(s). d. The personnel performing the services contracted herein shall be under the sole responsibility and the employ of the Contractor and shall be constantly supervised and shall be competent, experienced, skilled lawn, and plant maintenance-oriented people. e. All materials and equipment brough to the site are the full responsibility and ;-� liability of the Contractor until removed from the site as required. �1 f. The Contractor shall supervise and direct the work using his/her best skill and attention. The Contractor shall be responsible for all turf maintenance methods, techniques, and procedures; and coordinating all portions of the work contracted to be done. _ g. Unless otherwise specifically noted, the Contractor shall provide and pay for all labor, materials, equipment, tools, transportation, and other facilities and services necessary for the proper execution and completion of the work contracted to be done. l� r 19JPage h. The Contractor shall give all notices and comply with all laws, ordinances, rules, regulations, and order of any public authority in connection with the performance of the work contracted to be done. -T i. The Contractor shall be responsible for initiating, maintaining, and supervising appropriate safety precautions and programs in connection with the work herein contracted to be done. The Contractor shall take all reasonable precautions for safety of and shall provide all reasonable protection to prevent damage, injury, or `D loss to all employees on the project and other persons who may be affected thereby, the project and all materials and equipment to incorporated therein, and other property at the site or adjacent thereto. j. The Contractor will.be responsible for immediate notification of all damage to the property by the Contractor or its representative. k. The Contractor assumes no responsibility for damage or death of trees, shrubs, ground covers, vines, or turf caused by oak wilt, oak decline, or cotton root rot, -' vandalism, vehicular or pedestrian traffic, animals, or excessively severe weather' nor for erosion, poor drainage,, underlying rock and shale; nor for contractors or other workmen or work being performed on the premises not subcontracted by the Contractor. Contractor will, however, be responsible for reporting the above conditions immediately to the County. .-. ' 1. The Contractor shall instruct its employees to use caution while operating mowers, —� edgings, and line trimmers near trees, shrubs, ground cover to prevent possible -�. damage. The Contractor shall be responsible for damage to the base of trees and shrubs caused by the Contractor or its employee(s)through improper use of the line trimmers,mowers, or other grounds/turf equipment. ^-\ m. The Contractor shall provide warning signs and traffic cones at points along all street medians and rights-of-way as may be necessary to protect work and safeguard all traffic. All warning signs cone layout shall be provided and maintained in accordance with the requirements of the Texas manual on Uniform Traffic Control Devices. 13. Project condition: - a. If it is determined by the Brazos County that the project site is too wet to allow acceptable mowing, (tracking or rutting of the site is unacceptable) no mowing operations shall occur, and the Contractor will be notified. If mowing operations are undertaken with slightly wet conditions, care should be taken as to not track • clipping and/or mud onto hard surfaces. If tracking occurs, extra clean-up will be required of the Contractor. If an unsightly number of clippings is generated from the mow cycle on PRIMARY areas, Contractor is responsible for cleanup. (Section 10) --. b. If inclement weather does not allow completion of scheduled monthly activities, these cycles will be shifted. If inclement weather delays scheduled mow cycles, _ and turf height is such that more than 1/3 of the leaf surface would be removed to j re-establish specified mow heights; Contractor shall lower the turf back to the specified height. 14. Related Work: �) a. Brazos County will perform plant material replacement, tree pruning and/or -� removal, seasonal color change outs,top dressing, and irrigation system operational 20 I Page • _.J checks and repairs, unless otherwise noted, Contractor is encouraged to bring any deficiencies in these areas to the attention of the Brazos County. Any bids to improve aspects of the site beyond the scope of these specifications should be submitted to the Brazos County for consideration. Approval will be provided in the form of a Purchase Order. b. Project site will be walked by the Brazos. County to inspect area for completed work,,discrepancies, or damage and to verify charges on invoices. T 15. Security: a. When maintaining areas at the Brazos County Juvenile Justice Center and Brazos County Exposition Complex, Contractor will not interact with detained individuals Th or work crew inmates. Genera!Requirements • I. Adequate drainage shall be maintained in ditches at all times. 2. Permittee will use best management piactices("BMP")(EPA and TCEQ both provide lists of examples of BMPs)to minimize erosion and sedimentation resulting from the proposed installation. 3. The permittee shall take precautions to avoid damage to property. All County Right of Way and property shall be restored to its original condition,as far as practical, in the opinion of the County Engineer or appointed representative. 4. The construction and maintenance of such utility shall not interfere with the property or rights of a prior occupant. 5. Perm ittee shall not interfere with other utilities located in the right of way. In the event damages occur, permittee will be liable to the County or other utilities running through the right of way. 6. County Engineer shall determine whether or not permittee's plans shall inconvenience the public. If it is determined that inconvenience to the public exists,then the County Engineer will decide whether such project will be allowed or if an alternative exists so as not to inconvenience the public. B. Safely Requirements • I. Proper traffic control measures must be put in place prior to beginning work and remain in place during the duration of the job. All traffic control measures must follow the Texas Manual of Uniform Traffic Control Devices(TMUTCD). See Traffic Control Requirements below. 2. During construction,all safety regulations of the Texas Department of Transportation shall be observed. 3. Permittee must take such precautions and measures, including placing and displaying safety devices,as may be necessary, in order to safely conduct the public through the project area.Company shall provide flagmen,signs, signals or devices necessary to provide complete safety to the public. 4. Adequate provisions must be made to cause minimum inconveniences to traffic and adjacent property owners. • 5. No cable,conduit and/or pole line shall be laid,constructed,maintained and/or repaired so as to constitute a danger or hazard of any kind to persons or vehicles using such road.Any poles placed in the Right of Way for future installation shall be,placed at the back of the Right of Way. Exceptions may be approved by the County Engineer. G Traffic Control Plan 1. A traffic control plan,pursuant to the TMUTCD or Engineered Traffic Control Plan must be provided for the following: a. Airy construction(i.e.pit,excavation, hole).left open over night, requires specific nighttime traffic. control measures pursuant to the TMUTCD; b. If construction is within ten(10)feet of the roadway;or • c. Any work performed in the road right-of-way; • • 2. Plan must be attached to the permit and kept at the job site any time work is being performed. 3. Plan must set forth the time of completion for the job. D. Design Standards • I. All overhead installations shall conform to clearance standards of the Texas Department of Transportation and the pole be placed in the designated area for power specified as set forth in the Texas Utilities code, Section 181.045. 2. All pole installation(including lighting)shall be placed at the backside of-the Right of Way to ensure safety to the public.Any pole placed in violation of this requirement will be required to be moved to the appropriate location at the company's expense. Exceptions may be approved by the County Engineer. • 3. All underground installations shall(these are minimum depths—utility may place deeper): a. be placed at a minimum depth of forty-eight(48)inches below the top of the pavement; b. be at least thirty-six(36)inches below ditch flow line when installation is within the area measured from top of bank to top of bank; c. be at least forty-eight(48) inches below ditch flow line if low pressure gas or petroleum lines. For high pressure gas and petroleum lines,see High Pressure Pipelines requirements listed below; d. not be closer than ten (10) feet from the edge of pavement. Exceptions may apply in rights of way of less than 60'. 4. Water Lines:All water lines must be a minimum 36-inches below the ditch flow line and cased. Waterlines shall be cased if crossing under the roadway. 5. Utilities in all new developments that have 60 feet or greater of right of way shall be,installed within designated locations based upon the type of utility.The locations shall be as follows: (measured from back of right-of-ivay). Power—0-2 feet, nominally i' Phone—2-4 feet, nominally 3' Gas—4-6 feet,nominally 5' cable—6-8 feet, nominally 7' 6. Utilities with less than 60 feet right-of-way in all new developments shall install the utility in a similar manner as referenced in No. 3 above,however,the County Engineer or its designated representative will . provide final approval of each utility location. 7. The length of any trench to be opened in advance of the pipe,conduit or ducts may not be longer than 400' if left open over night or unattended. 8. Crossings under a county road shall: a. be bored or jacked. ABSOLUTELY NO OPEN CUTS WITHIN COUNTY ROAD PAVEMENT; b. be pressure grouted for the full length of the crossing 1f the annular space between pipe and casing and soil exceeds one(1) inch. Brazos County must be given 24 hours notice of pressure grouting operations and have the opportunity to have an inspector on site to observe pressure grouting operations; c. TxDOT Standard Specification Item 476 shall be followed for all boring,jacking,tunneling and joints. 9. Bore Pits a. no pits shall remain open longer than 2 days; b. all pits shall have proper traffic control measures in place. See Traffic Control Plan listed above. c. pits shall NOT be located within ten(10) feet from the edge of pavement without prior approval from the County Engineer or his representative; d. when pits are to remain open for more than 8 hours,.due diligence will be used in protecting the spoil pile to prevent drainage problems; O. based upon soil conditions,the County Engineer or his representative may require shoring to protect pavement integrity; f. based upon soil conditions,the County Engineer or his representative may require pits be placed further from the edge of road. 10. Any installation within ten(10)feet of edge of pavement shall meet the following:. a. location must be approved by the County Engineer or his representative b. backfilled with cement stabilized material. c. based upon soil conditions,the County Engineer or his representative may require shoring to protect pavement integrity. d. All excess water and mud shall be removed from the trench prior to backfilling. Any backfill.placed during a rainy period or at other times where excess water cannot be prevented from entering the trench will be considered TEMPORARY and shall be replaced with PERMANENT cement stabilized material as soon as weather permits; e. All disturbed base and pavement materials shall be removed and restored to the.satisfaction of the County.Engineer or his representatives. f. No side or lateral tamping to fill voids under the base and pavement materials is allowed. 11. Company must be careful to not jeopardize the slope or integrity of the shoulder of the road. in the event Company damages the slope,shoulder or any other portion of the right-of-way,Company will be responsible for repairing the damage and replacing the right-of-way to the condition it was prior to commencing construction. 12.Operation of construction and/or maintenance equipment on the traveled surface of any improved County road will not be permitted,except in an instance whereby the laying,construction,maintenance and/or repair of cables,conduits and/or pole lines cannot be accomplished by any other method and in this event all such equipment shall be of the rubber tire variety.Appropriate traffic control shall be provided meeting TMUTCD requirements. l3.In the event said construction and/or maintenance and/or repair requires Company to remove,cut or jeopardize any section of the road(asphalt,cement,road base,etc),Company will be required to provide a performance bond or letter.of credit securing necessary repairs. Said bond amount will be determined by the County Engineer. 14.The applicant shall submit a letter of"No Objection"from the Army Corps of Engineers for all designated wetlands and environmentally sensitive lands. E.Emergency work 1. In the event Company is required to perform emergency services,that requires excavation in a County Right of Way,and unable to notify the County Engineer prior to conducting emergency repahs, Company shall notify County Engineer within 24 hours of beginning construction/repairs.This will allow the County Engineer and Road& Bridge Office an opportunity to inspect the site to ensure the integrity of the County Right of Way and traffic safety controls used. • • F.'Repairs to existing facilities • 1. Maintenance and/or repair to existing cables,conduits,and/or pole lines which require disturbance of the soil,:shall not be performed until plans describing such maintenance and/or repair have been approved by the County Engineer or designated representative and a permit has been obtained. G. Relocation of utilities; 1. When and if the County Engineer determines that it is necessary for the construction, repair, improvement,alteration or relocation of all or any portion of said road,any or all poles,wires,pipes, cables or other facilities and appurtenances authorized hereunder,shalt be removed from said road,or reset or relocated thereon,as required by the County Engineer within a reasonable time as determined by the County Engineer and Utility Company,and at the expense of the Utility Company. H. High Pressure Pipelines 1. Al!utility Permits for high pressure pipelines(generally 60 PSI or greater),whether pertaining to controlled access or non-controlled access installations,should contain the following additional information in the description of the permit. -diameter -wall thickness -material specification -minimum yield strength -maximum operation pressure of the pipeline 2. With the exception of the maximum operation pressure of the pipeline,this information is to be supplied for both the carrier pipe and the casing. 3. Assurance must also be given that the installation material and design meet the minimum Federal Safety Standards for'Liquid and Gas Pipe Lines. Assurance must be provided on company letterhead and signed by an authorized representative of the company. 4. General Requirements 1. Adequate drainage shall be maintained in ditches at all times. 2. Permittee will use best management practices("BMP")(EPA and TCEQ both provide lists of examples of BMPs)to minimize erosion and sedimentation resulting from the proposed installation. 3. The permittee shall take precautions to avoid damage to property.All County Right of Way and property shall be restored to its original condition,as far as practical,in the opinion of the County Engineer or appointed representative. 4. The construction and maintenance of such utility shall not interfere with the property or rights of a prior occupant. 5. Permittee shall not interfere with other utilities located in the right of way.In the event damages occur, permittee will be liable to the County or other utilities running through the right of way. 6. County Engineer shall determine whether or not permittee's plans shall inconvenience the public. If it is determined that inconvenience to the public exists,then the County Engineer will decide whether such project will be allowed or if an alternative exists so as not to inconvenience the public. B. Safety Requirements 1. Proper traffic control measures must be put in place prior to beginning work and remain in place during the duration of the job.All traffic control measures must follow the Texas Manual of Uniform Traffic Control Devices(TMUTCD).See Traffic Control Requirements below. 2. During construction,all safety regulations of the Texas Department of Transportation shall be observed. 3. Permittee must take such precautions and measures,including placing and displaying safety devices,as may be necessary,in order to safely conduct the public through the project area.Company shall provide flagmen, signs,signals or devices necessary to provide complete safety to the public. 4. Adequate provisions must be made to cause minimum inconveniences to traffic and adjacent property owners. 5. No cable,conduit and/or pole line shall be laid,constructed,maintained and/or repaired so as to constitute a danger or hazard of any kind to persons or vehicles using such road.Any poles placed in the Right of Way for future installation shall be placed at the back of the Right of Way. Exceptions may be approved by the County Engineer. C. Traffic Control Plan I. A traffic control plan,pursuant to the TMUTCD or Engineered Traffic Control Plan must be provided for the following: a. Any construction(i.e.pit,excavation,hole)left open over night,requires specific nighttime traffic control measures pursuant to the TMUTCD; b. If construction is within ten(10)feet of the roadway;or c. Any work performed in the road right-of-way; 2. Plan must be attached to the permit and kept at the job site any time work is being performed. 3. Plan must set forth the time of completion for the job. D. Design Standards 1. All overhead installations shall conform to clearance standards of the Texas Department of Transportation and the pole be placed in the designated area for power specified as set forth in the Texas Utilities Code,Section 181.045. 2. All pole installation(including lighting)shall be placed at the backside of the Right of Way to ensure safety to the public.Any pole placed in violation of this requirement will be required to be moved to the appropriate. location at the company's expense. Exceptions may be approved by the County Engineer. 3. All underground installations shall(these are minimum depths-utility may place deeper): a. be placed at a minimum depth of forty-eight(48)inches below the top of the pavement; b. be at least thirty-six(36)inches below ditch flow line when installation is within the area measured from top of bank to top of bank; c. be at least forty-eight(48)inches below ditch flow line if low pressure gas or petroleum lines. For high pressure gas and petroleum lines,see High Pressure Pipelines requirements listed below; d. not be closer than ten(10)feet from the edge of pavement.Exceptions may apply in rights of way of less than 60'. 4. Water Lines:All water lines must be a minimum 36-inches below the ditch flow line and cased. Waterlines shall be cased if crossing under the roadway. 5. Utilities in all new developments that have 60 feet or greater of right of way shall be installed within designated locations based upon the type of utility.The locations shall be as follows:(measured from back of right-of-way). Power-0-2 feet,nominally I' Phone-2-4 feet,nominally 3' Gas—4-6 feet,nominally 5' Cable-6-8 feet,nominally 7' 6. Utilities with less than 60 feet right-of-way in all new developments shall install the utility in a similar manner as referenced in No.3 above,however,the County Engineer or its designated representative will provide final approval of each utility location. 7. The length of any trench to be opened in advance of the pipe,conduit or ducts may not be longer than 400' if left open over night or unattended. 8. Crossings under a county road shall: a. be bored or jacked.ABSOLUTELY NO OPEN CUTS WITHIN COUNTY ROAD PAVEMENT; b. be pressure grouted for the full length of the crossing if the annular space between pipe and casing and soil exceeds one(1)inch. Brazos County must be given 24 hours notice of pressure grouting operations and have the opportunity to have an inspector on site to observe pressure grouting operations; c. TxDOT Standard Specification Item 476 shall be followed for all boring,jacking,tunneling and joints. 9. Bore Pits a. no pits shall remain open longer than 2 days; b. all pits shall have proper traffic control measures in place.See Traffic Control Plan listed above. c. pits shall NOT be located within ten(10)feet from the edge of pavement without prior approval from the County Engineer or his representative; d, when pits are to remain open for more than 8 hours,due diligence will be used in protecting the spoil pile. to prevent drainage problems; e. based upon soil conditions,the County Engineer or his representative may require shoring to protect pavement:integrity; f. based upon soil conditions,the County Engineer or his representative may require pits be placed further from the edge of road. 10. Any installation within ten(10)feet of edge of pavement shall meet the following: a. location must be approved by the County Engineer or his representative b, backfilled with cement stabilized material. c. based upon soil conditions,the County Engineer or his representative may require shoring to protect pavement integrity. d. All excess water and mud shall be removed from the trench prior to backfilling. Any backfill placed during a rainy period or at other times where excess water cannot be prevented from entering the trench will be considered TEMPORARY and shall be replaced with PERMANENT cement stabilized material as soon as weather permits; e. All disturbed base and pavement materials shall be removed and restored to the satisfaction of the County Engineer or his representatives. f. No side or lateral tamping to fill voids under the base and pavement materials is allowed. 11.Company must be careful to not jeopardize the slope or integrity of the shoulder of the road. In the event Company damages the slope,shoulder or any other portion of the right-of-way,Company will be responsible for repairing the damage and replacing the right-of-way to the condition it was prior to commencing construction. 12.Operation of construction and/or maintenance equipment on the traveled surface of any improved County road will not be permitted,except in an instance whereby the laying,construction,maintenance and/or repair of cables,conduits and/or pole lines cannot be accomplished by any other method and in this event all such equipment shall be of the rubber tire variety. Appropriate traffic control shall be provided meeting TMUTCD requirements. 13.In the event said construction and/or maintenance and/or repair requires Company to remove,cut or jeopardize any section of the road(asphalt,cement,road base,etc),Company will be required to provide a performance bond or letter of credit securing necessary repairs. Said bond amount will be determined by the County Engineer. 14.The applicant shall submit a letter of"No Objection"from the Army Corps of Engineers for all designated wetlands and environmentally sensitive lands. E.Emergency work 1. In the event Company is required to perform emergency services,that requires excavation in a County Right of Way,and unable to notify the County Engineer prior to conducting emergency repairs,Company shall notify County Engineer within 24 hours of beginning construction/repairs.This will allow the County Engineer and Road&Bridge Office an opportunity to inspect the site to ensure the integrity of the County Right of Way and traffic safety controls used. F.Repairs to existing facilities I. Maintenance and/or repair to existing cables,conduits,and/or pole lines which require disturbance of the soil, shall not be performed until plans describing such maintenance and/or repair have been approved by the County Engineer or designated representative and a permit has been obtained. G.Relocation of utilities: 1. When and if the County Engineer determines that it is necessary for the construction,repair,improvement, alteration or relocation of all or any portion of said road,any or all poles,wires,pipes,cables or other facilities and appurtenances authorized hereunder,shall be removed from said road,or reset or relocated thereon,as required by the County Engineer within a reasonable time as determined by the County Engineer and Utility Company,and at the expense of the Utility Company. H.High Pressure Pipelines 1. All utility Permits for high pressure pipelines(generally 60 PSI or greater),whether pertaining to controlled access or non-controlled access installations,should contain the following additional information in the description of the permit. -diameter -wall thickness -material specification -minimum yield strength -maximum operation pressure of the pipeline 2. With the exception of the maximum operation pressure of the pipeline,this information is to be supplied for both the carrier pipe and the casing. 3. Assurance must also be given that the installation material and design meet the minimum Federal Safety Standards for Liquid and Gas Pipe Lines.Assurance must be provided on company letterhead and signed by an authorized representative of the company. 4.
