PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters,both on and off the agenda,and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court,with both judicial and legislative powers,created under Article V, Section 1 and Section 18 of the Texas Constitution.As a
Constitutional Court,the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code.Accordingly,members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court;in participating in public discussions before the Court;and in all actions in the presence of the
Court.Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting.Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group. Neither is it the intention of the Court to allow a member(or members)of the public to insult the honesty and/or integrity
of the Court,as a body,or any member or members of the Court,or County employees,individually or collectively.Accordingly,
profane,insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated.Violation of these rules may result in the following sanctions:
1.cancellation of a speaker's time;
2.removal from the Commissioners Court;
3.a Contempt Citation;and/or
4.such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period,speakers may address matters not listed on the published agenda.The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public.To ensure the public has notice of all matters the Commissioners Court will consider,the County Judge
and/or Commissioners may choose not to respond to public comments,except to correct factual inaccuracies,recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda.See Texas Open Meetings Act Section
551.042.

Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court.The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to
attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business
of the Court.

OCTOBER 15, 2024
BRAZOS COUNTY COMMISSIONERS COURT
REGULAR MEETING
A regular meeting of the Commissioners' Court of Brazos County, Texas was held in
the Brazos County Commissioners Courtroom in the Administration Building, 200
South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on
Tuesday, October 15, 2024 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1;
Chuck Konderla, Commissioner of Precinct 2;
Nancy Berry, Commissioner of Precinct 3;
Wanda J. Watson, Commissioner of Precinct 4;
Karen McQueen, County Clerk,Absent.
The attached sheets contain the names of the citizens and officials that were in
attendance.

There was no citizen input.

• Presentation by County staff on election issues.
Chief Information Security Officer Kevin Joyner presented to the Court a rebuttal to the
Updated List of Improvements Needed in Brazos County Elections Systems submitted
by Dr. Walter Daugherity in Commissioners Court on October 8, 2024. Mr. Joyner
specifically addressed each of the items on Dr. Daugherity's list and presented evidence
of Brazos County's compliance with the Election Code and Secretary of State's Office.
General Counsel Bruce Erratt spoke about voter role challenges. He explained the
process for filing a challenge and addressed how the challenges that had been filed in
Brazos County have been handled.
Elections Administrator Trudy Hancock addressed concerns on the voter roll, explaining
the process for voter registration applications, the removal of deceased voters and the
daily tasks to keep the rolls clean in Brazos County. She then shared the existence of an
emergency plan for the election noting, she has attended numerous State and National
exercises in disaster preparedness for elections and has met with all local law
enforcement agencies to ensure an emergency plan is in place.Additionally, Ms.
Hancock discussed the request for a hand-count of the Federal election explaining, the
only circumstances in which that would be authorized under the Election Code. When
addressing concern regarding the hinges on the ballot box she clarified that there are
checks and balances in place throughout the entire voting and tabulating process. Finally,
Ms. Hancock addressed previous allegations regarding bad ballots.
The Court expressed their gratitude to Ms. Hancock and her team for all of their
dedication and hard work in making sure Brazos County has a fair and honest election.
Commissioner Aldrich also thanked the Elections Team for presenting the truth and their
willingness to address citizen's concerns to ensure confidence in the elections process.

4. Resolution 24-020 recognizing Terry Hammond for his outstanding and dedicated service to
Brazos County.
The Court voted unanimously to adopt Resolution 24-020 recognizing Terry Hammond
for his outstanding and dedicated service to Brazos County.
Judge Peters thanked Mr. Hammond for his many years of service noting,that Mr.
Hammond turned Brazos County's Probate and Guardianship program into one that is
highly regarded throughout the State of Texas. He then read the Resolution aloud.
Mr. Hammond thanked the Court for the Resolution.A copy is attached.

At this point, the County Judge announced the Court would consider items 29
through 32 and then return to convene into Executive Session.
Having considered the previously noted agenda items, General Counsel Bruce Erratt
submitted a written determination that deliberation in an open meeting would have a
detrimental effect on the position of the Court in negotiations with a third party. A motion
was offered by Commissioner Berry to.meet in closed Executive Session as per Mr.
Erratt's recommendation. The motion was seconded by Commissioner Konderla and
motion passed unanimously. At 10:58 a.m.the County Judge announced the meeting
closed to the public, so the Court could convene into Executive Session as stated
above. The following individuals were asked to stay for each session.

Sheriff Wayne Dicky reported there were 773 inmates in jail, 651 inmates are male, 132
are female, and 39 have electronic monitors.

Commissioner Berry reminded everyone about the Brazos County Job Fair on October
28, 2024, from 3:30pm -6:30pm, at the Brazos Center.
Commissioner Konderla reminded the community to attend the Brazos Valley Fair and

community to attend the Habitat for Humanity's Candidate Build and stated that more

SUBJECT: Future Agenda Requests—Elections Security
On October 8,2024,Dr. Walter Daugherity made a request to Commissioners Court asking that
six items be added to a future Court agenda.The items were intended to address improvements
believed to be needed in Brazos County election systems.
The Information Technology Department,Elections Administration,and Legal Counsel have
considered these requests, discussed them at length internally,and have consulted with Hart
InterCivic, Inc.,the manufacturer of the voting system solution used by Brazos County.Below,
we have listed the requests made by Dr. Daugherity and have provided our thoughts so that
Commissioners Court can make informed decisions concerning these requests.
The first two requests for future agenda items read:
1. Direct the Elections Administrator to install monthly Microsoft antivirus definition
updates on Verity Count and Verity Central computers, as required by federal
regulations. (Voluntary Voting System Guidelines Version 1.0, § 7.4.2)
2. Direct the Elections Administrator to patch known vulnerabilities in Microsoft SQL
Server on Verity Count and Verity Central computers, as required by state law. (Texas
Election Code§122.001)
In making these two requests, it is asserted that that our Hart voting system is insecure because
certain updates haven't been applied. It has also been implied that this makes our voting
equipment illegal.
This is our response to those assertions:
The entire premise of the argument is that our elections systems are unsafe because we haven't
applied the latest Microsoft updates on our voting equipment. The Texas Election Code says in
Section 122.001"... that a voting system may not be used in an election unless the system" ...
"(3)operates safely, efficiently,and accurately and complies with the voting system standards
adopted by the Election Assistance Commission."'
There are two volumes of voting systems standards available from the U. S.Election Assistance
Commission(EAC). In Volume I, Section 2.2.1 titled Security states:
System security is achieved through a combination of technical capabilities and sound
administrative practices. To ensure security, all systems shall:
a. Provide security access controls that limit or detect access to critical system
components to guard against loss of system integrity, availability, confidentiality,
and accountability.
b. Provide system functions that are executable only in the intended manner and
order, and only under the intended conditions.
c. Use the system's control logic to prevent a system function from executing if
any preconditions to the function have not been met.
d. Provide safeguards to protect against tampering during system repair, or
interventions in system operations, in response to system failure.
e. Provide security provisions that are compatible with the procedures and
administrative tasks involved in equipment preparation, testing, and operation.
f If access to a system function is to be restricted or controlled, the system shall
incorporate a means of implementing this capability.
g. Provide documentation of mandatory administrative procedures for effective
system security.2 •
We meet this requirement for system security using the sound administrative practice of"Air-
gapping."

The EAC and the National Institute of Standards and Technology(NIST),part of the US
Department of Commerce, define an air gap as "An interface between two systems at which (a)
they are not connected physically and(b) any logical connection is not automated(i.e., data is
transferred through the interface only manually, under human control)."3
The NIST standard 800-39,titled"Managing Information Security Risk: Organization,Mission,
and Information System View,"lists air-gaps as a form of Risk Avoidance:
Risk avoidance may be the appropriate risk response when the identified risk exceeds the
organizational risk tolerance. Organizations may conduct certain types of activities or
employ certain types of information technologies that result in risk that is unacceptable.

In such situations, risk avoidance involves taking specific actions to eliminate the
• activities or technologies that are the basis for the risk or to revise or reposition these
activities or technologies in the organizational mission/business processes to avoid the
potential for unacceptable risk For example, organizations planning to employ
networked connections between two'domains, may determine through risk assessments
that there is unacceptable risk in establishing such connections. Organizations may also
determine that implementing effective safeguards and countermeasures (e.g., cross-
domain solutions) is not practical in the given circumstances. Thus, the organizations
decide to avoid the risk by eliminating the electronic or networked connections and
employing an "air gap"with a manual connection processes (e.g., data transfers by
secondary storage devices). [emphasis added]4
The network connections to our voting systems are eliminated in compliance with state law and
federal guidance. We also have the voting systems housed in a controlled-access location to
prevent direct interaction from unauthorized personnel.
These controls, in conjunction with our current election security plan,puts us in compliance with
the EAC guidance on Voting System Security Measures—Section 1:
Best practices election officials use to secure the computer include:
• Keeping it in a location with restricted access(locks with documented entry,key card systems)
and video surveillance
• Never connecting it to the Internet or other external network
• Providing users unique login,strong passwords, and access to the minimum functions needed to
perform their duties
• Routinely reviewing audit logs of all users who log onto the computer and actions they perform
• Validating the computer's software has not been moded5
The third request made to Commissioners Court for a future agenda item-to engage an
independent CPA to investigate the discrepancy in election results from November 2020 -will be
addressed separately.
The fourth request made to Commissioners Court for a future agenda item reads "Direct the
Elections Administrator to stop using computers for Verity Count and Verity Central which the
Texas Secretary of State website says are uncertifiable since they possess the capability to
connect to a network, namely, an integrated Network Interface Controller with an RJ-45 network
jack plainly visible on the back of these computers, similar to the one circled in[an attached]
picture."
This request asserts that our Hart systems are `uncertif able' because they possess an integrated
Network Interface Controller with a RJ45 port on the back of the device.

It is correct that the Verity Count and Verity Central devices have an RJ45 port. However,the
existence of this port does not mean that they are `uncertifiable' by the Texas Secretary of State.
The Secretary of State (SoS)website states that Hart InterCivic is certified by the EAC and
approved by the SoS. Therefore,the system cannot be `uncertifiable' because the system is
explicitly listed as certified. See the below section taken directly from the SoS page on voting
equipment.
1. Certification of Voting Systems
• All voting systems must be certified by the U.S. Election Assistance Commission
(EAC), created by the Help America Vote Act(HA VA) in 2002.
• The Texas Election Code requires all voting systems to be approved by the Secretary
of State before they may be used in any Texas election.
• Currently, only two voting system vendors are certified by the Texas SOS:
o Hart Intercivic-Austin, TX
o Election Systems& Software(ES&S) Omaha, NE6
The point of contention is a section on that same page,again taken directly from the website:
2.Key Facts on Security of Voting Machines
1. Votinz machines in Texas are not connected to the Internet. In order to be certified
in Texas, the machines cannot even have the capability of connecting to the
Internet. Electronic pollbooks certified by the Texas SOS are connected to the
internet, but they are never connected to any device that casts or tabulates votes.
2. Only software certified by the Texas SOS can be loaded on voting equipment.As an
added security measure, Texas law requires software to go through a hash validation
process to verify that the source code of any voting software was not altered in any
way.
3. All voting machines are required to be tested for logic and accuracy three times-
twice before each election, and once immediately after.?
The relevant section to this discussion is item 2, subitem I "... the machines cannot even have
the capability of connection to the Internet" [emphasis added].
The existence of an RJ45 port doesn't mean that a device can connect to the internet. That
requires hardware, software,and network protocols to work together to make that connection
possible. While the hardware exists on the device,the necessary software and network protocols
are disabled,mitigated and/or removed per the vendor,the SoS office,and the EAC certification
process.

The following is a statement from the vendor regarding protections to prevent access to the
Internet.This is in compliance with the EAC certification process and meets the standards for the
Texas SoS.
I. For all standalone products, there are no active network ports. All ports are disabled
during manufacturing.
a. Additionally, the workstation's firewall is configured to block all network
activity.
2. For client/server configurations, Verity workstations are connected to a dedicated,
isolated network switch. With only Verity workstations connected to this stand-alone
network Internet access is impossible.
a. Furthermore, these workstations:are explicitly configured to operate only on
isolated, internet-inaccessible networks.
b. Each workstation's firewall is configured to block all unnecessary protocols
and ports.
c. For necessary communication, certificate-based authentication is required to
establish an encrypted channel.
3. All configurations on each workstation are protected by full-disk encryption, which
denies access to operating system configurations and features.
4. All configurations on each workstation are protected by kiosk mode, which further
denies access to operating system configurations and features.8

The fifth request made to Commissioners Court for a future agenda item reads "Authorize an
independent hash validation which does not use Hart software to check Hart software."We
agree that the validation should use tools that are not produced by Hart, but do not believe action
is required by the Court. We do NOT use Hart provided software to perform hash validation. The
county uses a third-party tool,Hash Compare 3.0,made by SecurityXploded. This tool was
tested and meets the county's needs for doing hash comparisons.
The sixth request made to Commissioners Court for a future agenda item reads "Authorize an
independent cybersecurity inspection of all voting equipment, including checking for network
logins. For example, who is the actual person who logged in as cdr12312? Who is the actual
person who logged in as harttech?"
An independent third-party review was conducted in 2019 by AT&T. However,they did not
review the equipment used to cast or count votes, because a review of the equipment would have
led to changes to the system thereby making the equipment illegal to use in an election according
to state law and the SoS. Lastly, to address the two accounts mentioned: Cdr12312 is a former

employee of the Brazos County Information Technology Department. One of their many job
responsibilities was to administer the Hart systems in support of the Elections Administrator.
They no longer work for Brazos County and their account was disabled after,they left
employment. Actions taken by this account are in line with proper election processes and
procedures. Harttech was an account used for initial setup. It is also disabled, and there is no
evidence of any actions taken by this account once the system was setup.
In conclusion,we appreciate the concerns of Dr. Daugherity regarding the security of elections in
Brazos County, and we hope that this information will help to allay those concerns. We also
hope that this information will help the Court to make informed decisions regarding elections
security,infrastructure, and processes in Brazos County.

guardianship cases to his hometown of Bryan to assist the County Courts at Law of Brazos County in the
administration of guardianship cases;and
WHEREAS,Terry Hammond began his tenure by diligently and thoroughly reviewing all active guardianship
cases on file in Brazos County to not only ensure each case was in compliance with Texas law,but was also
providing the best circumstances for each person under guardianship; and
WHEREAS,Terry Hammond worked to establish policies,procedures and forms to assist the Courts,guardians
and attorneys with their cases;and
WHEREAS,Terry Hammond has annually visited each person under guardianship to ensure everyone under
guardianship is safe and understands the legal process to the best of their ability;and
WHEREAS,Terry Hammond has created meaningful personal connections through his visits with each person
under guardianship;and
WHEREAS,Terry Hammond has always demonstrated the highest level of professionalism and service in
Brazos County;and
WHEREAS,Terry Hammond has tirelessly worked to establish a guardianship system in Brazos County to
protect and assist some of the most vulnerable citizens in Brazos County;and
WHEREAS,Terry Hammond has decided to retire effective December 31,2024 to return to guardianship work
in the private sector in El Paso,Texas;
NOW,THEREFORE,BE IT RESOLVED that the Commissioners Court of Brazos County takes this
opportunity to honor Terry Hammond and thank him for his years of service to Brazos County,and to wish him

GRANT AGREEMENT
Rural Law Enforcement Salary Assistance Program
Award# IA-0000000833
This grant agreement ("Agreement") is entered into by and between the Texas Comptroller of Public
Accounts ("Comptroller") and Brazos ("Grantee") located at
200 S Texas Ave Ste 332 Bryan Texas 77803 . For purposes of this
Agreement,Comptroller and Grantee are sometimes collectively referred to as the"Parties"or individually
as a"Party."
Article I.Recitals
Whereas,the 88th Texas Legislature passed Senate Bill 22(S.B.22)to establish a grant program to provide
financial assistance to qualified sheriff's offices, constable's offices, and prosecutor's offices in rural
counties(the"Program");
Whereas,Comptroller has authority to implement and administer the Program and award grants to eligible
• applicants pursuant to Local Government Code, Chapter 130, Subchapter Z, Sections 130.911, 130.912,
and 130.913;
Whereas,Grantee warrants that it is eligible to participate in the Program;
Whereas,Grantee certifies that it has not and will not reduce the amount of funds provided to its sheriffs
office,constable's office or prosecutor's office,as applicable,because of an award of grant funds under this
Agreement;
Whereas,Grantee timely submitted an application for a grant;
Whereas,Comptroller has reviewed and approved Grantee's application for a grant;
Whereas,the Parties desire to set forth their mutual expectations and obligations for participation in the
Program;and
Now, therefore, in consideration of Grantee's compliance with all requirements of this Agreement,
Comptroller awards this Agreement to the Grantee and the Parties do hereby represent,covenant,and agree
as follows:
Article II.Authority
This Agreement is entered into pursuant to the authority granted and in compliance with the provisions of
Local Government Code, Sections 130.911, 130.912,or 130.913, as applicable. This Agreement is funded
by state funds appropriated by the State Legislature.
Article III.Grant
In consideration of the various obligations to be undertaken by Grantee, Comptroller awards Grantee the
amount of $ 500000.00 , to be disbursed to Grantee for the purposes of funding a
Rural Sheriff's office salary Assistance Grant FY25 ,subject to the following:
1. Grantee shall use grant funds only for the authorized uses set forth in Article V of this
Agreement, and only for the Rural sheriff's office salary Assistance Grant FY25
as indicated on the Grantee's application.
2. Grantee shall fully comply with all terms and conditions of this Agreement;the requirements

of Local Government Code, §§ 130.9.11, 130.912, or 130.913, as applicable; the relevant
provisions of the Texas Grant Management Standards (TxGMS) and the State of Texas
Procurement and Contract Management Guide,or their successors,adopted in accordance with
Texas law;and all applicable state or federal statutes,rules,regulations,or guidance applicable
to the grant award, including 34 Texas Administrative Code (TAC), Part I, Chapter 16,
Subchapter D.
3. Grantee specifically assures compliance with the provisions of Appendix 6 of TxGMS
(Uniform Assurances by Local Governments)that are applicable to this Grant.
Article IV Term
This Agreement is effective from the date signed by Comptroller("Effective Date"),after first having been
signed by Grantee, to and including an expiration date of September 30 , 2025, unless
terminated earlier in accordance with other provisions of this Agreement.
Article V.Authorized Uses of Grant Funds;Limitations
Section 1 of this Article applies only to a Rural Sheriff's Office Salary Assistance Grant,Section 2 of this
Article applies only to a Rural Constable's Office Salary Assistance Grant,Section 3 of this Article applies
only to a Rural Prosecutor's Office Salary Assistance Grant, and Section 4 of this Article applies to all
grants except as otherwise set out in Section 4.
Section 1.Rural Sheriff's Office Salary Assistance Grant(Local Government Code,§ 130.911)
A. Authorized Uses. Grant funds may only be used:
1. to provide a minimum annual salary of at least:
a. $75,000 for the county sheriff(as defined by 34 TAC §16.300(3));
b. $45,000 for each deputy sheriff (as defined by 34 TAC §16.300(4)) who performs motor
vehicle stops in the routine performance of their duties;and
c. $40,000 for each jailer (as defined by 34 TAC §16.300(2)) whose duties include the
safekeeping of prisoners and the security of a jail operated by the county;and
2. provided that each county sheriff that meets the definition in 34 TAC § 16.300(3), each deputy
sheriff that meets the definition in 34 TAC §16.300(4), and each county jailer that meets the
definition in 34 TAC §16.300(2)receives the minimum salary described by paragraph(1) of this
section:
a. to increase the salary of a person described by paragraph(1)of this section;
b. to hire additional deputies or staff for the sheriffs office;or
c. to purchase vehicles,firearms,and safety equipment(as defined by 34 TAC§§ 16.300(13)and
16.300(14))for the sheriffs office.
B. Deficient Grant Funds. If Grantee does not have sufficient grant funding to fund the minimum annual
salaries required by this Section 1, Grantee may use grant funds to increase the salaries of the persons
described in this Section 1 on a pro-rata basis.
Section 2.Rural Constable's Office Salary Assistance Grant(Local Government Code,§ 130.912)
A. Authorized Uses. Grant funds may only be used to provide a minimum annual salary of$45,000 to a
qualified constable(as defined by 34 TAC § 16.300(10)).

B. Contribution Requirement.For each qualified constable whose salary is funded in part by the
Grant,Grantee must contribute at least 75%of the money required to meet the minimum annual
salary requirement.
Section 3.Rural Prosecutor's Office Salary Assistance Grant(Local Government Code,§ 130.913)
A. Authorized Uses. Grant funds may only be used:
1. to increase the salary of an assistant attorney, an investigator, or a victim assistance coordinator
(as defined by 34 TAC§16.300(14))employed at the prosecutor's office; or
2. to hire additional staff for the prosecutor's office.
Section 4.Additional Terms
A. Nonmonetary Benefits and Taxes.A minimum annual salary as described in Sections 1 and 2 of this
Article does not include any overtime compensation.A salary increase includes increases required to
bring a salary to the minimum annual salary as described by Sections 1 and 2 of this Article,and salary
increases described by Sections 1 and 3 of this Article, and will be measured based on the salary
provided on the last day of the entity's fiscal year ending in 2023,excluding any overtime.The cost of
a salary increase as described in this Article includes the increase of legally required nonmonetary
benefits and taxes for that salary. A salary increase does not include overtime and the cost of a salary
increase does not include an increase of legally required nonmonetary benefits and taxes for overtime
compensation. Grantee may only use grant funds for the legally required nonmonetary benefits and
taxes for a salary if Grantee provides the minimum annual salary required by Sections 1 and 2 of this
Article,if applicable. Grantee may not reduce a salary below a minimum salary required by Sections
1 and 2 of this Article to use grant funds for legally required nonmonetary benefits and taxes for that
salary.
B. Minimum Hourly Wage Calculation.If a person described in Sections 1 or 2 of this Article is a part-
time or hourly employee, or holds a dual office or otherwise divides work hours between a position
described in this Article and another position,the minimum annual salary required by Sections 1 or 2
of this Article may be converted to a minimum hourly wage and will apply only to the hours of work
performed for a position described in this Article as follows:
1. for an employee with a 40-hour work week,the minimum hourly wage shall be the product of:
a. the minimum annual salary described in this Article;and
b. a quotient:
i. the numerator of which is equal to the number of hours the employee normally works
performing duties for a position described in this Article each week,not to exceed 40;and
ii. the denominator of which is equal to 40; and
2. for an employee with a county adopted work period as authorized by Section 7(k), Fair Labor
Standards Act,29 U.S.C.A§ 207(k),the minimum hourly wage shall be the product of:
a. the minimum annual salary described in this Article; and
b. a quotient:
i. the numerator of which is equal to the number of hours the employee normally works
performing duties for a position described in this Article each period, not to exceed the

number of hours that are nonovertime as determined under the Fair Labor Standards Act;
and
ii. the denominator of which is equal to the number of hours that are nonovertime as
determined under the Fair Labor Standards Act.
C. A person whose salary increase may be paid with grant funds under Sections 1 and 3 of this Article
may be paid an increase in hourly wages if they are paid an hourly wage rather than an annual salary.
D. Expenditure of Grant Funds. Subject to Article VI, Section D of this Agreement, Grantee•shall
expend the funds during the grant period. Funds for purchases are considered expended when Grantee
is legally obligated to expend the funds.
• Article VI.Reimbursement
A. Advance Payment. Comptroller shall disburse the grant funds as soon as practicable following the
Effective Date.By making advance payment,Comptroller does not waive any requirements for the
reimbursement of costs.Upon Comptroller's request,Grantee shall submit records in support of
reimbursement requests.
B. Deposit of Funds. Whenever possible, grant funds must be deposited and maintained in insured,
interest-bearing accounts.Interest earned on grant funds is not considered program income,and
Grantee must use any accrued interest for grant purposes only and on allowable costs under this
Agreement.
C. Eligibility for Cost Reimbursement.Comptroller will reimburse Grantee for necessary and
reasonable allowable costs paid by Grantee in performance of this Agreement.Allowable costs are
restricted to costs that comply with the Agreement,TxGMS,and state law.The parties agree that all
the requirements of TxGMS apply to this Agreement,including the criteria for allowable costs.
D. Pre-award Costs.Comptroller will reimburse Grantee for pre-award costs provided(a)the costs are
incurred during the portion of Grantee's fiscal year in which this grant period occurs that precedes the
date of award,if any,and(b)the costs would have been allowable under the terms of this Agreement
if incurred during the grant period.

Article VII.Reporting and Compliance
A. Compliance Reports. Grantee shall submit a compliance report certifying compliance and detailing
expenditures of grant funds using Comptroller's electronic form no later than 30 days following the
expiration or termination of this Agreement. Comptroller may request supporting documentation
regarding expenditures and any other information required to substantiate that grant funds are being
used for the intended purpose and that Grantee has complied with the terms, conditions, and
requirements of the applicable statute,the Agreement and 34 Texas Administrative Code,Chapter 16,
Subchapter D. Grantee shall submit any information requested by Comptroller within fourteen (14)
calendar days of the request.
B. Remedies for Non-Compliance.If Comptroller finds that Grantee has failed to comply with terms and
conditions of this Agreement or any other requirement described in Article III, Section 2 of this
Agreement,Comptroller may:
1. require Grantee to return the grant funds or a portion of the grant funds;
2. withhold grant funds from the current grant or future grants to be received by Grantee pending
correction of the deficiency;
3. disallow all or part of the cost of the activity or action that is not in compliance;

4. terminate the Agreement in whole or in part;
5. bar Grantee from future consideration for grant funds under 34 Texas Administrative Code,Chapter
16, Subchapter D;or
6. exercise any other legal remedies available to Comptroller under this Agreement,at law,in equity,
or otherwise.
Article VIII.General
A. Audit Requirements. Funds allocated in connection with this Agreement are considered to be state
financial assistance for the purpose of determining the audit requirements under the Texas Grant
Management Standards. If an audit is required to comply with the requirements of Texas Grant
Management Standards, Grantee shall complete an audit at the end of Grantee's fiscal year. Grantee
agrees that in the event of any audit findings related to state awards provided by Comptroller,Grantee
will inform Comptroller within two(2)business days following Grantee's receipt of any written audit
findings or reports(whether in draft or final form),and thereafter submit any documentation related to
the audit findings upon Comptroller's request (including,but not limited to, a copy of the final audit
report,a response to the current status of the prior year's questioned costs,copies of management letters
written as a result of the audit,and action plans,if any).
B. Texas Public Information Act.Comptroller is bound by the provisions of the Texas Public Information
Act("TPIA"),Chapter 552,Texas Government Code.Information,documentation,and other material
in connection with this Agreement may be subject to public disclosure pursuant to the TPIA. If Grantee
receives a request for information related to this Agreement from a third party, Grantee shall forward
the request to Comptroller within three(3)days of receipt.
C. Records; Right to Audit. Grantee acknowledges that acceptance of funds under this Agreement acts
as acceptance of the authority of the State Auditor(or any successor agency),under the direction of the -
legislative audit committee,to conduct an audit or investigation in connection with those funds.Under
the direction of the legislative audit committee,Grantee or other entity that is the subject of an audit or
investigation by the state auditor shall provide the state auditor with access to any information the state
auditor considers relevant to the investigation or audit.Comptroller further reserves the right to monitor
and audit Grantee's compliance with the requirements of this Agreement.
D. Funding Limitation.The Agreement shall not be construed as creating a debt on behalf of Comptroller
in violation of Article III, Section 49a of the Texas Constitution.All obligations of Comptroller under
the Agreement are subject to the availability of grant funds.The Agreement is subject to termination or
cancellation,either in whole or in part,without penalty to Comptroller if such funds are not,appropriated
or become unavailable:
E. Records Retention. Grantee shall maintain and retain all records relating to the performance of the
Agreement,including supporting fiscal documents adequate to ensure that claims for grant funds are in
accordance with applicable State of Texas requirements.These records will be maintained and retained
by Grantee for a period of five (5)years after the Agreement expiration date or until all audit, claim,
and litigation matters are resolved, whichever is later. Comptroller reserves the right to direct grantee
to retain documents for a longer period of time or transfer certain records to Comptroller custody when
it is determined the records possess longer term retention value.
F. NO INDEMNIFICATION. THE PARTIES AGREE THAT COMPTROLLER WILL NOT
INDEMNIFY GRANTEE FOR ANY LIABILITY, ACTIONS, CLAIMS, DEMANDS, OR '
SUITS, OR ANY RELATED COSTS,ATTORNEY FEES, OR EXPENSES ARISING OUT OF
OR RESULTING FROM ANY ACTS OR OMISSIONS OF GRANTEE IN PERFORMANCE
OF THE AGREEMENT.

G. Force Majeure.Neither Party shall be liable to the other for any delay in,or failure of performance,of
any requirement included in this Agreement caused by force majeure.The existence of such causes of
delay or failure shall extend the period of performance until after the causes of delay or failure have
been removed provided the non performing Party exercises all reasonable due diligence to perform.
Force majeure is deemed as acts of God, war, fires, explosions, hurricanes, floods, failure of
transportation,pandemic/quarantine orders or other causes that are beyond the reasonable control of
either Party and that by exercise of due foresight such Party could not reasonably have been expected
to avoid,and which,by the exercise of all reasonable due diligence,such Party is unable to overcome.
H. Independent Contractor.The Parties agree that each Party is contracting as an independent contractor.
I. Assignment. No assignment of this Agreement or of any right accruing hereunder shall be made, in
whole or part,by either Party without the prior written consent of the other.
J. Headings.The headings contained in this Agreement are for reference purposes only and shall not in
any way affect the meaning or interpretation of the Agreement.
K. No Waiver.This Agreement shall not constitute or be construed as a waiver of any of the privileges,
rights,defenses,remedies,or immunities available to either Party as an agency of the State of Texas or
otherwise available to the Party.The failure to enforce or any delay in the enforcement of any privileges,
rights,defenses,remedies,or immunities available to a Party under this Agreement or under applicable
law shall not constitute a waiver of such privileges, rights, defenses, remedies, or immunities or be
considered as a basis for estoppel.
L. Survival.The expiration or termination of this Agreement shall not affect the rights and obligations of
the Parties accrued prior to the effective date of expiration or termination and such rights and
obligations shall survive and remain enforceable.
M. Severability. If one or more provisions are deemed invalid, illegal, or unenforceable for any reason,
such invalidity, illegality or unenforceability shall not affect any other provision and this Agreement
shall be construed as if the invalid,illegal or unenforceable provision had never been contained herein.
N. Governing Law.This Agreement is governed by and construed under and in accordance with the laws
of the State of Texas, without regard to the conflicts of law provisions.The venue of any suit arising
under this Agreement is fixed in any court of competent jurisdiction of Travis County,Texas,unless the
specific venue is other identified in a statute that directly names or otherwise identifies its applicability
to the contracting state agency.
Article IX.Certifications,Representations,and Warranties
By signing the Agreement, Grantee certifies its compliance with the following and all other provisions of
Appendix 6 (Uniform Assurances by Local Governments) of Texas Grant Management Standards that are
applicable to this Agreement.
A. Compliance with Laws, Rules, and Requirements. Grantee represents and warrants that it will
comply with all applicable laws,rules,and regulations,and all terms and conditions established by CPA
and the State of Texas with respect to the use of Grant funds.
B. Actual or Potential Conflicts of Interest Prohibited. Grantee represents and warrants that
performance under this Agreement will not constitute an actual or potential conflict of interest or
reasonably create an appearance of impropriety. Further, Grantee represents and warrants that in the
administration of the Agreement,it will comply with all conflict-of-interest prohibitions and disclosure
requirements required by applicable law, rules, and policies, including the provisions under Chapters
171 and 176 of the Local Government Code and Chapter 573 of the Texas Government Code.

C. Cybersecurity Training Program(Local Government System).Grantee represents and warrants its
compliance with Section 2054.5191 of the Texas Government Code relating to the cybersecurity
training program for local government employees who have access to a local government computer
system or database.
D. Disclosure Protections for Certain Charitable Organizations, Charitable Trusts, and Private
Foundations.Grantee represents and warrants that it will comply with Section 2252.906 of the Texas
Government Code relating to disclosure protections for certain charitable organizations, charitable
trusts,and private foundations.
E. Executive Head of a State Agency. In accordance with Section 669.003 of the Texas Government
Code,relating to contracting with the executive head of a state agency, Grantee certifies that it is not
(1)the executive head of CPA,(2)a person who at any time during the four years before the date of the
Agreement or grant was the executive head of CPA, or(3) a person who employs a current or former
executive head of CPA.
F. Law Enforcement Agency Grant Restriction. If Grantee is a law enforcement agency regulated by
Chapter 1701 of the Texas Occupations Code, Grantee represents and warrants that it will not use
appropriated money unless the law enforcement agency is in compliance with all rules adopted by the
Texas Commission on Law Enforcement,or the Texas Commission on Law Enforcement certifies that
it is in the process of achieving compliance with such rules.
G. Limitations on Grants. Grantee acknowledges and agrees that funds received under this Agreement
will be expended subject to the limitations and reporting requirements similar to those provided by the
following: Parts 2 and 3 of the Texas General Appropriations Act, Art. IX, except there is no
requirement for increased salaries for local government employees; Sections 556.004, 556.005, and
556.006 of the Texas Government Code;and Sections 2113.012 and 2113.101 of the Texas Government
Code.
H. Lobbying Expenditure Restriction. Grantee represents and warrants that payments to Grantee and
Grantee's receipt of appropriated or other funds under the Agreement are not prohibited by Sections
403.1067 or 556.0055 of the Texas Government Code,which restrict lobbying expenditures.
I. Political Polling Prohibition.Grantee represents and warrants that it does not perform political polling
and acknowledges that appropriated funds may not be granted to, or expended by, any entity which
performs political polling.
J. Public Camping Ban.Grantee certifies that it has not received a final judicial determination finding it
intentionally adopted or enforced a policy that prohibited or discouraged the enforcement of a public
camping ban in an action brought by the Attorney General under Section 364.003 of the Local
Government Code. If Grantee is currently being sued under the provisions of Section 364.003 of the
Local Government Code, or is sued under this Section at any point during the duration of this grant,
Grantee must immediately disclose the lawsuit and its current posture to Comptroller.
Article X.Notices; Liaison
Any notice relating to this Agreement,which is required or permitted to be given under this Agreement by
one party to the other party shall be in writing and shall be addressed to the receiving party at the address
specified below. The notice shall be deemed to have been given immediately if delivered in person to the
recipient's address specified below. It shall be deemed to have been given on the date of certified receipt
if placed in the United States mail, postage prepaid, by registered or certified mail with return receipt
requested,addressed to the receiving party at the address specified below. Registered or certified mail with
return receipt is not required for copies.

AGREEMENT FOR ANIMAL SHELTER SERVICES
Brazos County and Aggieland Humane Society, Inc.
October 1,2024—September 30, 2025
This Agreement for Animal Shelter Services ("Agreement") is made this }
day of (3C1-abet , 2024 by and between The Aggieland Humane Society, Inc., a
Texas non-profit corporation (herein the "Shelter") and Brazos County, Texas, a political
subdivision of the State of Texas acting by and through its duly elected Commissioners
Court(herein"County").
RECITALS
Whereas, the Shelter operates a facility currently located at 5359 Leonard Road,
Bryan, Brazos County to house stray, unwanted or abandoned animals (herein the
"Facility"); and
Whereas,the County has a need of a facility to house animals,other than livestock,
that it takes possession of throughout the County;
For and in consideration of the mutual covenants herein expressed, the receipt
and sufficiency of which is hereby acknowledged,the parties agree as follows:
AGREEMENT
1. The County agrees that all animals, other than livestock, seized within its
jurisdiction by its duly appointed agents, may be delivered to the Facility, there to be
impounded under the exclusive control and custody of the Shelter for periods of time as
required by State law and the applicable County orders except as hereinafter set forth,but
in no circumstances less than three (3) days unless determined by a certified euthanasia
technician that euthanasia is necessary.
2. The County agrees to pay to the Shelter an annual fee of
$209,000.00 based upon the term of the Agreement. The fee shall be divided into
twelve (12) equal monthly payments due on the first of each month and pending
receipt of reports required in section 9.
3. The COUNTY shall and does hereby assign to the SHELTER those fees
collected for the registration of dogs and cats within Brazos County commonly referred to
as "license fees." The SHELTER shall administer the County License program
(Registration of Dogs and Cats,Texas Health and Safety Code§826.031).
4. The County represents to the Shelter that it has in force orders providing
for the vaccination and licensing of animals under appropriate circumstances, providing
for impounding of nuisance animals running at large, and that while this Agreement is in
effect,such orders will be continued in force, provided, however,that such orders may be
modified from time to time as the County deems appropriate.

5. The County agrees that every animal delivered to the Shelter in accordance
with this Agreement, shall become the sole and exclusive property of the Shelter upon its
delivery to the Shelter (subject to reclamation by the owner), so that neither the County
nor any agency nor agent of the County, nor of the State of Texas, nor any institution,
corporation nor individual shall have any claim or right to any animal not so claimed and
redeemed. The County agrees that the Shelter shall have the undisputed right,consistent
with the orders of the County,to humanely dispose of every animal given into its custody
in accordance with the Shelter's principles as follows:
a. To place animals in the care, custody, and control of new owners:and
b. To humanely destroy animals which are not claimed by owners, and which
are not suitable for placement in the care, custody, and control of new
owners.
6. The Shelter agrees to accept each, and every animal delivered to the
Facility located in Brazos County,Texas by the agents of the County and to provide each
and every such animal with shelter, food, water and all other humane treatment of the
same degree and kind that the Shelter provides for all other animals which may come into
its care, custody, and control. The County shall not accept a surrender of ownership of
an animal by its owner in the field.
7. The Shelter agrees to accept each,and every stray animal delivered to the
Facility located in Brazos County, Texas by the residents of the unincorporated areas of
Brazos County and to provide each and every such animal with shelter, food, water and
all other humane treatment of the same degree and kind that the Shelter provides for all
other animals which may come into its care, custody, and control.
8. The Shelter agrees that it will make its Facility available to the County
during its open hours and during periods of closure for the purpose of delivering animals
to the Shelter.
9. The Shelter agrees to provide to the County on or before the 15th of each
month during the term of this Agreement a statement of the number of dogs, cats and
miscellaneous animals received by the Shelter from the County or otherwise retrieved
from Brazos County, and the number of dogs and cats issued County tags since the 15th
of the preceding calendar month.
10. The County reserves the right to require an audit of the records of the
Shelter at any time deemed necessary for the limited purpose of verifying the number of
animals registered or licensed and the number of animals attributable to the County and
the length of stay of each such animal.
11. It is mutually agreed that the Shelter shall provide facilities for rabies
observation for at least six (6) dogs and eight(8) cats. Animals delivered to the Shelter
by the County for rabies observation shall be isolated for a period of time in accordance
with State law.

12. In the event animals are being held by the Shelter as a result of a cruelty,
seizure or a legal hold has been placed upon the animals as a result of a criminal
prosecution, the County shall reimburse the Shelter for any veterinarian invoices and
medical bills incurred by the Shelter until the Court either awards the animal to the Shelter,
orders it destroyed or orders it returned to its owner. The County shall not be liable for
these costs in the event a court of competent jurisdiction orders the animal owner to pay
such costs.
13. Shelter shall at all times relevant to the fulfillment of this Agreement have,
keep,and maintain insurance covering general liability,worker's compensation if required
by State law, and automobile liability.
Worker's Compensation insurance shall be at statutory limits,including employer's
liability coverage at minimum limits of$500,000.00 each accident. Such policy will
contain a waiver of subrogation in favor of the County.
The General Liability insurance shall have a minimum combined single limit for
bodily injury, personal injury, and property damage of $1,000,000.00 per
occurrence and shall name the County as an additional insured.
Automobile Liability insurance shall be continuously held with limits for bodily injury
and for property damage of not less than $1,000,000.00 on all self-propelled
vehicles used in connection with the animal control operation, whether owned,
non-owned or hired.
Copies of certificates evidencing such insurance as herein required shall be sent
to the County for its records.
The Shelter agrees,to the extent allowed by law,to indemnify and hold harmless
the County from all claims, damages, or causes of action which might arise from
any obligations of Shelter as outlined herein, and Shelter specifically agrees to
indemnify the County against all claims,damages or causes of action which might
arise as a result of acts, omissions County for respondent superior or vicarious
liability, arising out of Shelter's obligations under this Agreement.
14. The Shelter shall at all times in performance of its Agreement be
considered as an independent contractor. Such status shall apply to all of the Shelter's
officers, agents, and employees and in no event shall the Shelter's officers, agents or
employees be considered an employee of the County.
15. In the event the County fails to remit to the Shelter the fees due hereunder,
the County shall be in default. The Shelter shall terminate the Agreement for non-payment
of fees if the County has not cured the default after thirty(30)day written notice.
16. TAX EXEMPT STATUS: As a political subdivision of the State of Texas,
Brazos County is tax exempt. Tax exemption certification will be furnished upon request.
17. GOVERNING LAW AND VENUE: This Agreement shall be governed by
the laws of the State of Texas and venue shall lie exclusively in Brazos County,

Texas. The Parties agree that all obligations under this Agreement are performable in
Brazos County, Texas and that this Agreement has been executed in Brazos County,
Texas. Venue shall lie exclusively in Brazos County, Texas, notwithstanding anything to
the contrary.
18. DISPUTE RESOLUTION: The dispute resolution process provided in
Chapter 2009, Texas Government Code, and the related rules adopted by the Attorney
General pursuant Chapter 2009,shall be used by County and Shelter to attempt to resolve
any claim for breach of contract made by Shelter that cannot be resolved in the ordinary
course of business. Shelter shall submit written notice of a claim of breach of contract
under this Chapter to the County Attorney— Civil Division of Brazos County, who shall
examine Shelter's claim and any counterclaim and negotiate with Shelter in an effort to
resolve the claim.
19. LIMITATIONS: The parties are aware that there are constitutional and
statutory limitations on the authority of the County to enter into certain terms and
conditions of the Agreement, including, but not limited to, authorizations of the placement
of liens on County property; disclaimers and limitations of warranties; disclaimers and
limitations of liability for damages; waivers, disclaimers and limitations of legal rights,
remedies, requirements and processes; limitations of periods to bring legal action;
granting control of litigation or settlement to another party; liability or acts or omissions of
third parties; payment of attorneys' fees; dispute resolution; indemnities; and
confidentiality (collectively, the "Limitations"). Any terms and conditions related to the
Limitations will not be binding on the County except to the extent authorized by the laws
and Constitution of the State of Texas.
20. AUDITS: All records relating to the service provided under this Agreement
and supporting documentation for invoices submitted to County by the Shelter shall be
retained and made available by the Shelter for audit by County, its duly authorized
representatives,the State of Texas(including, but not limited to the Auditor of the State of
Texas,Inspector General or duly appointed law enforcement officials)and agencies of the
United States Government. Such records shall be returned by Shelter and made available
for any time period required by state or federal law. If changes occur in the governing
state or federal law, regarding retention records, Shelter shall comply with such changes.
County shall inform the Shelter in writing of the retention periods established by State and
federal law applicable to such records and shall provide written notice if changes occur to
such retention requirements. If an audit is initiated before the expiration of such time
periods required by state or federal law regarding retention of records, the Shelter shall
retain such records until the audit is concluded and all issues resolved. Shelter shall
provide County with copies of such audits that are conducted with respect to the
Agreement.
21. AUDIT RESPONSIBILTY: The Shelter shall be responsible for receiving,
replying to and/or complying with any audit exception by appropriate federal,state or local
audit directly related to the provision of this Agreement. The Shelter shall repay to County
the full amount received for duplicate billings,erroneous billings,false or deceptive claims.
The Shelter recognizes and agrees that County may withhold any money due and recover
through any appropriate method any money erroneously paid under this Agreement if
evidence exists of less than full compliance with this Agreement.

22. This Agreement is not assignable by either party.
23. This Agreement shall be for a term of one year commencing on October 1,
2024 and terminating on September 30, 2025. Either party may cancel this Agreement
upon thirty(30)days written notice to the non-cancelling party.
24. SEVERABILITY: In the event that any provisions or portion of this
Agreement is held to be unenforceable or invalid, the validity and enforceability of
the remaining provisions or portions shall not be affected.
IN WITNESS WHEREOF, the said County and the said Shelter have hereunto
caused their representative corporate names and seals to be hereunto subscribed and
affixed by their representative officers first thereunto duly authorized as of the date
hereinabove first written.

FUNDING AGREEMENT
BETWEEN BRAZOS COUNTY AND BRAZOS VALLEY DISPUTE RESOLUTION
CENTER
THIS AGREEMENT("Agreement")made October 1,2024 by and between the DISPUTE
RESOLUTION CENTER-CENTRAL BRAZOS VALLEY, INC.
hereafter referred to as "DRC" and the BRAZOS COUNTY COMMISSIONERS
COURT, hereafter referred to as the "Commissioners Court," is made on the
following terms and conditions:
1. This Agreement is for one (1)year and shall begin on the first day of October 2024
and continue through the last day of September 2025.
2. For and in consideration of the sum of $50,000.00 to be paid in one single
payment of$50,000.00 paid upon receipt of invoice, the DRC agrees to perform
the following services:
A. The DRC agrees to provide a maximum of four (4) separate mediation
sessions to the Commissioners Court or designated department or offices
of Brazos County during the term of this Agreement. A mediation..session is
defined as a session of not more than three. (3) hours supervised by a
trained mediator. In addition, the DRC agrees to train (1) Brazos County
employee in each regular or family law mediation training offered by the
DRC, without cost to Brazos County or the employee. The DRC shall.
notify the Commissioners'Court each time one of the four mediation sessions
is used.
B. For each mediation session scheduled under the terms of this Agreement,
the DRC will provide a location to hold the mediation, preferably in its offices
located at 1737 Briarcrest Drive, Suite 11, Bryan, TX, or at such other
convenient location which might be available. For any such mediation
session held away from the DRC offices, the DRC shall be reimbursed
for any such costs or rental fees incurred in holding the mediation. The
DRC may, at its discretion, provide additional sessions without charge to _
Brazos County on a limited basis. Except as otherwise stated, any
additional sessions that may be required will be compensated for by the
Commissioners Court at the regular rate for scheduled mediations as
adopted by the DRC.
3. The purpose of this Agreement is to make the services of the DRC available
to the Commissioners. Court and to the employees of Brazos County in such
instances where the services may be of benefit to Brazos County, Texas, or its
employees. This agreement also serves to support public access to the DRC.
4. DRC agrees that.County, or its designated representative, shall have the right to
review and to copy any records and supporting documentation pertaining to the
performance of this Agreement. DRC agrees to maintain such,records for possible

A.AGREEMENT •

same meaning in this order unless otherwise specified herein.
B.DESCRIPTION AND FEES FOR ORDERED SERVICES
All fees on this ordering document are in US Dollars.
1.Terms of Use
All products and services listed on this Ordering Document are provided by Oracle under,and subject to,the terms of this Ordering Document,including
the Agreement and all Oracle documents referenced in this Ordering Document.You Indicate Your agreement to the terms of this Ordering Document,
including the Agreement,by signing this Ordering Document,and You represent that You have the authority to bind the Customer to whom this Ordering
Document is addressed above to the terms of this Ordering Document and the Agreement.As applicable,Oracle processes a customer's order after
receipt of a purchase order.Any terms and conditions on Your purchase order are void and have no legal effect.For Cloud Services,You may not reduce
the quantity of services purchased hereunder(e.g.,user or record counts,storage,etc.),in whole or in part,during the Services Period set forth above. .
The Services Period for the Cloud Services commences on the date stated in the Ordering Document,or,if none is provided in the Ordering Document,
the day that Oracle sends to Your administrator the e-mail welcoming You to the Oracle Cloud that instructs You on how to create Your Cloud login and
configure the Cloud Services(the"Cloud Services Start Date").You must maintain a current subscription to applicable Oracle Cloud Services for the
duration of any Technical Cloud Services ordered under this Ordering Document.
2.Fees:
The Cloud Services Payment Frequency applies to all Cloud Services fees and taxes (if applicable), and the Technical Cloud Services Payment
Frequency applies to all fees and taxes(if applicable)for Technical Cloud Services.All fees payable to Oracle are due in accordance with Appendix A,
Section 8.J of DIR Contract No. DIR-TSO-4158.Once placed,Your order is non-cancelable and the sums paid nonrefundable,except as otherwise
provided herein or in the Agreement. If applicable to You,You will pay any sales,value added or other similar taxes imposed by applicable law that
Oracle must pay based on the Services You ordered,except for taxes based on Oracle's income.Also,You will reimburse Oracle for reasonable pre
-approved expenses related to providing any Technical Cloud Services in accordance with Appendix A, Section 8.F of the Agreement. Unless,
specifically stated otherwise,fees for Services listed in an order are exclusive of taxes(if applicable)and expenses.
Cloud Services Payment Frequency:Your payment frequency is quarterly in arrears.
Technical Cloud Services Payment Frequency:
Unless otherwise specified in services descriptions applicable to the Technical Cloud Services You have ordered,or in an exhibit specifying the Technical
Cloud Services You have ordered, the fees for Technical Cloud Services and any applicable taxes shall be invoiced monthly in arrears. You are
responsible for payment of pre-approved expenses,if any,in accordance with Appendix A,Section 8.F of DIR Contract No.DIR-TSO-4158.Expenses
will be invoiced monthly as they are incurred and are due in accordance with Appendix A,Section 8.J of DIR Contract No.DIR-TSO-4158.
3.Renewal of Cloud Services:
Notwithstanding any statement to the contrary in the Services Specifications,the parties expressly agree that the Cloud Services acquired under this
Ordering Document will not Auto-Renew.
4.Price Hold for Cloud Services:
During the Services Period, You may order additional quantities of the Cloud Services acquired under this Ordering Document at the Unit Net Price
specified above. This price hold does not apply to Eloqua Marketing Platform Cloud Service, to any renewals or extensions of the Cloud Services
ordered under this Ordering Document,to Cloud Services ordered pursuant to a separate Oracle discount or promotion,or to any Cloud Services other
than those listed In the initial purchase under this Ordering Document.
5.Data Center Region:
Oracle agrees that during the Service Period specified in this ordering document,the Cloud Services environment holding Customer data will reside in
data centers located in the continental United States.Oracle may access Customer Data on a global basis to the extent necessary to perform the Cloud
Services,including maintenance and Cloud Services technical support.
6.Offer Validity:
This order Is valid through 28 Oct,2024 and shall become binding upon execution by You and acceptance by Oracle.
7.Additional Fees for Any Increased Usage/Capacity:
As described in the Oracle Government PaaS and IaaS Cloud Services-Service Descriptions available at http://www.oracle.com/contracts,if you in a
given month exceed the quantity specified for any of the Cloud Services listed in the tables above section A with"Government"in the product name
("Government Tech Cloud Services"),then you must pay for such increased usage/capacity at the Unit Net Price specified in your order.
a.You must allocate funds for additional fees for any increased usage/capacity of Government Tech Cloud Services under this order.
b.The increased services shall be equal to the actual number of increased usage/capacity in a given month less the quantity of services ordered for that
given month under this order.
c.You will be invoiced directly for the additional fees applicable to such increase in your usage/capacity,monthly in arrears.
d.Such invoice shall not require a separate ordering document,and your use of such increased usage/capacity of Cloud Services will be pursuant to the
terms and conditions of this order.

Services Period. The terms of the Service Specifications, including any subject matter addressed in the Service Specifications, will replace any
inconsistent term, similar subject matter or scope of service delivery in the Agreement; however, unless expressly stated otherwise in this Ordering
Document,the terms of the Data Processing Agreement shall take precedence over any inconsistent terms in this Ordering Document,Agreement or
Service Specifications but in no event shall any documents take precedence over DIR Contract No.DIR-TSO-4158.For the purposes of this Ordering
Document,references to the term"Customer"in any document within the Service Specifications shall mean"You"as defined in this Ordering Document.

Oracle service descriptions and metrics govern Cloud Services and Technical Cloud Services.You may access the version of these descriptions and
metrics that apply to the Cloud Services and Technical Cloud Services that You have ordered at www.oracle.com/contracts.

Cloud Hosting and Delivery Services Policies describe and govern Cloud Services.You may access the version of these policies that apply to the Cloud
Services that You have ordered at www.oracle.com/contracts.
•Program Documentation
Program Documentation refers to the program user manuals for the Oracle Programs for Cloud Services,as well as any help windows and read me files
for such Oracle Programs that are accessible from within the service.The Program Documentation describes technical and functional aspects of the
Oracle Programs.You may access the documentation online at www.oracle.com/contracts.

1.Terms:
The following terms,as used in this Ordering Document or the Agreement and whether or not capitalized,shall have the same meaning as the applicable
defined term:"Agreement"and"Contract';"Customer","Client"and"You";"Program Documentation"and"Documentation";"Ordering Document"and
"Order Form";"Services Term"and"Services Period";"Your Data and"Your Content".
2.Data Processing Agreement: •
Oracle's Data Processing Agreement for Oracle Cloud Services (the "Data Processing Agreement"), which is available at http:/lwww.oracle.com!
dataprocessingagreement, is incorporated as Appendix N of DIR Contract No. DIR TSO -4158 and describes the parties'respective roles for the
processing and control of Personal Data(as that term is defined in the Data Processing Agreement)that Customer provides to.Oracle as part of the
Cloud Services under this order.Oracle will act as a data processor and will comply with all applicable data protection laws to the extent such laws by
their terms impose obligations directly on Oracle as a data processor in connection with the services specified in this ordering document.Oracle will act
on Customer's instruction concerning the treatment of Customer's Personal Data residing in the Cloud Services Environment, as specified in the
Agreement,the Data Processing Agreement and this order.Customer remains solely responsible for Customer's regulatory compliance in connection
with Customer's use of the Cloud Services and will comply with all applicable laws in connection with the performance of obligations or exercise of rights
under this ordering document and the Agreement.Customer agrees to provide any notices•and obtain any consents related to Customer's use of the
Cloud Services and Oracle's provision of the Cloud Services, including those related to the collection, use, processing, transfer and disclosure of
Personal Data.
3.Assignment of this Ordering Document:
Notwithstanding anything to the contrary in the agreement or this Ordering Document,You may not assign this Ordering Document or give or transfer the
Services,or an interest in them,to another individual or entity.If You desire that Services be acquire d by another entity,such other entity may order
services under a separate contract.You may not grant a security interest in any of the Services. Notwithstanding the foregoing,upon advance written
notice to Oracle,You may assign Your rights to the Services under this Ordering Document to another governmental agency as designated by the Texas
Legislature (i)that is a successor in interest to You that performs Your statutory obligations, or(ii)as necessary to satisfy a regulatory requirement
imposed upon You by a governing body with the appropriate authority; provided that (w) such assignee entity agrees in writing to the terms and
conditions of the agreement and the Ordering Document, (x)You provide Oracle will all consents necessary for the assignee to access Your Content,
Your Applications, and any other of Your materials in Oracle's possession, (y)the assignment does not result in any change in Oracle's rights and
obligations under this Ordering Document(including with respect to the Services),or expand,modify or otherwise alter any use or component of the
Services or Services Environments provided under this Ordering Document,and(z)following the assignment,You shall immediately discontinue use of
the Services acquired under this Ordering Document

4.Option Years
For clarifrcation purposes,you shall have an option to renew your subscription for the same services listed in the table above at the same usage limits for
one(1),additional 12-month renewal periods(each an"Option Year")for the fees specified below.Professional Services are not included in the Option
Years.

Brazos.County
A County Specific Incentive(CSI)is a wellness program that rewards employees and/or spouses for healthy
behaviors such as completing an annual exam,tobacco affidavit,or participating in a physical activity
program in exchange for avoiding a premium contribution,a lower-monthly premium;earn additional days
of PTO,or other rewards decided on by the County or District. Penalties and Rewards are administered at
the county or district level.
Healthy County is available to assist in the process of designing,communicating,and tracking a CSI.

right,title and interest in the land to be entered upon and used by the holder and the holder will at all times assume risk
of and indemnify,defend and save harmless Brazos County from and against any and all loss,damages,cost or
expense arising in any manner on account of the exercise or attempted exercise by said holder of the aforesaid rights
and privileges.
Any deviation from these specifications must be approved by Brazos County Engineer's Office or its designated
representative.
Approval of County Engineer's Office may take as long as two weeks after complete application is received.
Applicant agrees to comply with all rules of the County Commissioners and the County Engineer in construction of
said installation attached hereto as BRAZOS COUNTY DESIGN STANDARDS AND SAFETY PRECAUTION
REQUIREMENTS FOR WORK CONDUCTED IN BRAZOS COUNTY RIGHTS OF WAY and incorporated
herein for reference.
In the event Company fails to obtain a permit prior to the installation or does not install utilities in compliance with
installation requirements set forth herein(Le.depth,location,etc),Company assumes all financial responsibility for
damages and/or destruction of lines,cables,etc.based upon its failure to comply with Brazos County requirements.
Applicant agrees that if Brazos County demonstrates a violation of the terms of this policy,Applicant stipulates that
requisites for injunctive relief exist and that Brazos County is entitled to relief enjoining any conduct by applicant
which is contrary to the policies.
This permit is a revocable permit Brazos County reserves the right to revoke this permit at any time, in the sole
discretion of Brazos County,for interests of public health, safety or welfare, or for failure to repair any damages
upon demand,or for any other reason deemed sufficient by Brazos County.
In the event Company fails to comply with any or all of the requirements as set forth herein,the County,may take
such action as it deems appropriate to compel compliance. The County Engineer further retains the right to revoke
this Permit by verbal notification to the Applicant/Company.

•- BRAZOS COUNTY ROADWAY SAFETY AND.ROAD
PRESERVATION STANDARDS FOR WORK CONDUCTED IN
BRAZOS COUNTY RIGHTS OF WAY
A. General Requirement's
1. Adequate drainage shall be maintained in ditches at all times.
2. Permittee will use best management practices("BMP")(EPA and TCEQ both provide lists of examples
of BMPs)to minimize erosion and sedimentation resulting from the proposed installation.
3. The permittee shall take precautions to avoid damage to property: All County Right of Way and property
Shall be restored to its original condition,as far as practical, in the opinion of the County Engineer or
appointed representative.
4.. The construction and maintenance of such utility shall not interfere with the property or rights of a prior
occupant. ,
S. Perrnittee shall not interfere with other utilities located in the right of way. In the event damages occur,
permittee will be liable to the County or other utilities running through the right of way.
6. County Engineer shall determine whether or not perntittee's plans shall inconvenience the public. If it is
determined that inconvenience to the public exists,then the County Engineer will decide whether such
project will be allowed or if an alternative exists so as not to inconvenience the public.
B. Safety Requirements
1. Proper traffic control measures must be put in place prior to beginning work and,remain in place during
the duration of the job. Ali traffic control measures must follow the Texas Manual of Uniform Traffic
Control Devices(TMUTCD). See Traffic Control Requirements below.
2. During construction,all safety regulations of the Texas Department of Transportation shall be observed.
3. Permittee must take such precautions and measures, including placing and displaying safety devices,as
may'be necessary, in order to safely conduct the public through the project area.Company shall provide
flagmen,signs,signals or devices necessary to provide complete safety to the public.
4. Adequate provisions must be made.to cause minimum inconveniences to traffic and adjacent property
owners.
5. No cable,conduit and/or..pole line shall be laid, constructed, maintained and/or repaired so as to
constitute a danger or hazard of any kind to persons or vehicles using such road.Any poles placed in the
Right of Way for future installation shall be placed at the back of the Right.of Way. Exceptions may be
approved by the County Engineer.
•
C -Traffic Control Plan
I. A traffic control plan,pursuant to the TMUTCD or Engineered'Traffic Control Plan must be provided for
the following:
a. • Any construction(i.e. pit,excavation, hole) left open over night,requires specific nighttime traffic
control measures pursuant to the TMUTCD;
b. If construction is within ten(10) feet of the roadway; or
c. Any work performed in the road right-of-way; •
2. Plan must be attached to the permit and kept at the job site any time work is being performed.
3. Plan must set forth the time of completion for the job.
D. Design Standards
I. All overhead installations shall conform to clearance standards of the Texas Department of Transportation
and the pole be placed in the designated area for power specified as set forth in the Texas Utilities Code,
Section 181.045.
2, All pole installation(including lighting)shall be placed at the backside of the Right of Way to ensure
safety to the public:Any pole placed in violation of this requirement will be required to be moved to the
appropriate location at the company's expense. Exceptions may be approved by the County Engineer.
3. All underground installations shall(these are minimum depths—utility may place deeper):
a, be placed at a minimum depth of forty-eight(48) inches below the top of the pavement;
b. be at least thirty-six(36)inches below ditch flow line when installation is within the area measured
:from"top of bank to top of bank;
c. be at least forty-eight(48) inches below ditch flow line if low pressure gas or petroleum lines. For high
• pressure gas and petroleum lines;.see High Pressure Pipelines requirements listed below;
d. not be closer than ten(10) feet from the edge of pavement. Exceptions may apply in rights of way of
less than 60'.
4. Water Lines:All water lines must be a minimum 36-inches below the ditch flow line and cased.
Waterlines shall be cased if crossing under the roadway.
5.. Utilities in all new developments that have 60 feet or greater of right of way shall be installed within
designated locations based upon the type of utility.The locations shall be as follows: (measured from
back of right-of-way).
Power-0-2 feet, nominally I'
Phone--2-4 feet, nominally 3'
Gas—4-6 feet,nominally 5'
Cable—6-8 feet, nominally 7'
6. Utilities with less than 60 feet right-of-way in all new developments shall install the utility in a similar
manner as referenced in No. 3 above, however,the County Engineer or its designated representative will
provide final approval of each utility location..
7. The length of any trench to be opened in advance of the pipe,conduit or ducts may not be longer than
400' if left open over night or unattended.
•
8. Crossings under a county road shall:
a. be bored or jacked. ABSOLUTELY NO OPEN CUTS WITHIN COUNTY ROAD PAVEMENT;
b. be pressure grouted for the full length of the crossing if the annular space between pipe and casing
and soil exceeds one(1) inch. Brazos County must be given 24 hours notice.of pressure grouting
operations and have the opportunity to have an inspector on site to observe pressure grouting
operations;
c. TxDOT Standard Specification Item 476 shall be followed for all boring,jacking, tunneling and
joints.
9. Bore Pits
a. no pits shall remain open:longer than 2 days;
b. all pits shall have proper traffic control measures in place. See Traffic Control Plan'listed above.
c. pits shall NOT be located within ten(10) feet from the edge of pavement without prior approval
from the County Engineer or his representative;`
d. when pits are to remain open for more than 8 hours,due diligence will be used in protecting the spoil
pile to prevent drainage problems;
e. based upon soil conditions,the County Engineer or his representative may require shoring to protect
pavement integrity;
f. based upon soil conditions,the County Engineer or his representative may require pits be placed
further from the edge of road.
10. Any installation within ten(10)feet of edge of pavement shall meet the following:
a. location must be approved by the County Engineer or his representative
b. backfilled with cement stabilized material.
P. based upon soil conditions,the County Engineer or his representative may requite shoring to protect
pavement integrity.
d. All excess water and mud shall be removed from the trench-prior to backfilling.Any backfill placed
during a rainy period or at other times where excess water cannot be prevented from entering the
trench will be considered TEMPORARY and shall be replaced with PERMANENT cement
stabilized material as soon as weather permits;
e. All disturbed base and pavement materials shall be removed and restored to the satisfaction of the
County Engineer or his representatives.
f. No side or lateral tamping to fill voids under the base and pavement materials is allowed.
11.Company trust be careful to not jeopardize the slope or integrity of the shoulder of the road. In the event
Company damages the slope,shoulder or any other portion of the right-of-way,Company will be
responsible for repairing the damage and replacing the right-of-way to the condition it was prior to
commencing construction.
12. Operation of construction and/or maintenance equipment on the traveled surface of any improved County
road will not be permitted,except in an instance whereby the laying,construction,maintenance and/or
repair of cables,conduits and/or pole lines cannot be accomplished by any other method and in this event
all such equipment shall be of the rubber tire variety. Appropriate traffic control shall be provided
meeting TMUTCD requirements.
13. In the event said construction and/or maintenance and/or repair requires Company to remove,cut or
jeopardize any section of the road(asphalt,cement,road base,etc),Company will be required to provide
a performance bond or letter of credit securing necessary repairs. Said bond amount will be determined
by the County Engineer.
14. The applicant shall submit a letter of"No Objection".frOm the Army Corps of Engineers for all
designated wetlands and environmentally sensitive lands.
E. Emergency work
1. In the event Company is required to perform emergency services,that requires excavation in a County
Right of Way, and unable to notify the County Engineer prior to conducting emergency repairs, Company
shall notify County Engineer within 24 hours of beginning construction/repairs.This will allow the
County Engineer and Road& Bridge Office an opportunity to inspect the site to ensure the integrity of the
County Right of Way and traffic safety controls used.
F. Repairs to existing facilities
I. Maintenance and/or repair to existing cables,conduits,and/or pole lines which require disturbance of the
soil,shall not be performed until plans describing such maintenance and/or repair have been approved by
the County Engineer or designated representative and a permit has been obtained,
G. Relocation of utilities:
l; When and if the County Engineer determines that it is necessary.for the construction, repair,
improvement,alteration or relocation of all or any portion of said road,any or all poles,wires,pipes,
cables or other facilities and appurtenances authorized hereunder, shall be removed from said road,or
reset or relocated thereon,as required by the County Engineer within a reasonable time as determined by
the County Engineer and Utility Company,and at the expense of the Utility Company.
H. High Pressure Pipelines
I. All utility Permits for high pressure pipelines(generally 60 PSI or greater),whether pertaining to
controlled access or non-controlled access installations,should contain the following additional
information in the description of the permit.
-diameter
-wall thickness
-material specification
-minimum yield strength
-maximum operation pressure of the pipeline
2. With the exception of the maximum operation pressure of the pipeline,this information is to be
supplied for both the carrier pipe and the casing.
3. Assurance must also be given that the installation material and design meet the minimum Federal
Safety Standards for Liquid and Gas Pipe Lines. Assurance must be provided on company letterhead and
signed by an authorized representative of the company.
4. Petroleum Pipelines:

The Concrete pad shall be minimum of 3" thick and width shall be pipe diameter plus 18"
minimum.
5. Under no circumstances will a pipeline be-installed parallel to a County Road within the Right-of-
Way.Transmission lines have been determined to be petroleum pipelines(which includes natural
gas lines)and shall not be parallel to a County Road.
6. Natural Gas Distribution is a line that serves the final customer.

We were notified in writing that we had not paid our 2nd installment payment in June. I had paid this(see pictures)and mailed
with USPS. We found out that our check had been stolen at some point and washed. See Bryan PD police report. We made
arrangements to pay this as soon as possible. We were charged a late fee even though it was through no fault of our own as to
why the payment was late. Please assist us in returning the amount of the late fee to us as soon as possible. Please let me
