Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court,with both judicial and legislative powers,created under Article V, Section 1 and Section 18 of the Texas Constitution.As a Constitutional Court,the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code.Accordingly,members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court;and in all actions in the presence of the Court.Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Watson, Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. 1. Invocation and Pledge of Allegiance • U.S. and Texas Flag - Commissioner Watson 2. Call for Citizen input and/or concerns Cynde Wiley expressed concerns regarding county wide voting and requested that the Court consider reverting to precinct voting. 3. Presentations and/or Discussions • Presentation of the 2024 Chamber Day survey results by Glen Brewer, President & CEO of the Bryan/College Station Chamber of Commerce. Chamber of Commerce President/CEO Glen Brewer presented the results of the 2024 Chamber Day survey. Mr. Brewer first thanked Commissioner Aldrich and Commissioner Berry for their involvement with the Chamber and proceeded to thank all the businesses that participated in the survey. Mr. Brewer stated that there were a total of 125 volunteers split into 50 teams that received data from 769 local businesses. Mr. Brewer highlighted the results of the five question survey. He then explained how those survey results compare to previous years. The Court thanked Mr. Brewer for his presentation.A copy of the survey results are attached. • Presentation of the Veteran Status Report by Pam Robertson, Brazos County Veteran Service Officer. Veteran Services Officer Pam Robertson presented the Veteran Status Report for October 1, 2023 through May 31, 2024. Ms. Robertson stated that her office has served a total of 1,783 veterans in Brazos County. 392 total disability claims have been filed, with 16 percent of those claimants receiving 100 percent disability.Additionally, a total of 83 appeals have been filed and 82 appeals have been won, resulting in higher disability benefits received for local veterans. The Court commended Ms. Robertson for the wonderful job that she does serving veterans within the County and thanked her for her presentation. A copy of the presentation is attached. Juvenile Director Linda Ricketson reported there are 31 juveniles in the detention center, 23 are male and 8 are female, and 34 have electronic monitors. 25. Sheriff's report on inmate population. Sheriff Wayne Dicky stated there were 853 inmates in jail, 716 inmates are male, 137 are female and 35 have electronic monitors. 26. Announcement of interest items and possible future agenda topics. The regular meeting for Commissioners Court is cancelled for July 16, 2024. Brazos County is host for North and East Texas Conference July 15-18, 2024. Commissioner Konderla announced the passing of Van Zandt County Commissioner Virgil Melton and asked for prayers for the family. He then thanked Road and Bridge for their efforts in handling several high water incidents resulting in ongoing drainage issues. He asked that the public be patient with Road and Bridge as they prioritize the needs of the County. Commissioner Aldrich announced that he would be present via Zoom for Commissioners Court on June 18, 2024. He then went on to commend the Health District for the numerous services they provide to the community. Judge Peters announced that Commissioners Court will be cancelled on July 16, 2024 due to hosting the North and East Texas Conference. 27. Adjourn. PURPOSE This Basic Plan outlines our approach to emergency operations and is applicable to the county, cities, and Texas A&M University. It provides general guidance for emergency management activities and an overview of our methods of prevention, protection, mitigation, response, and recovery. The plan describes our emergency response organization and assigns Ver 2024 BP-2 03/24 priorities, allocates critical resources according to priorities, ensures that incidents are properly managed, and ensures that objectives are met and strategies followed. Area Command becomes Unified Area Command when incidents are multijurisdictional. 2. Disaster District. Disaster Districts are regional state emergency management organizations mandated by the Executive Order of the Governor relating to Emergency Management whose boundaries parallel those of Highway Patrol Districts and Sub- Districts of the Texas Department of Public Safety. 3. Disaster District Committee. The DDC consists of a Chairperson (the TDEM District Chief), and agency representatives that mirror the membership of the State Emergency Management Council. The DDC Chairperson, supported by committee members, is responsible for identifying, coordinating the use of, committing, and directing state resources within the district to respond to emergencies. 4. Emergency Operations Center. Specially equipped facilities from which government officials exercise direction and control and coordinate necessary resources in an emergency situation. 5. Public Information. Information that is disseminated to the public via the news media before, during, and/or after an emergency or disaster ensuring the needs of the whole community are addressed. 6. Emergency Situations. As used in this plan, this term is intended to describe a range of occurrences, from a minor incident to a catastrophic disaster. It includes the following: a. Incident. An incident is a situation that is limited in scope and potential effects. Characteristics of an incident include: 1) Involves a limited area and/or limited population. 2) Evacuation or in-place sheltering is typically limited to the immediate area of the incident. 3) Warning and public instructions are provided in the immediate area, not community wide. 4) One or two local response agencies or departments acting under an Incident Commander normally handle incidents. Requests for resource support are normally handled through agency and/or departmental channels. 5) May require limited external assistance from other local response agencies or contractors. 6) For the purposes of the NRF, incidents include the full range of occurrences that require an emergency response to protect life or property. b. Emergency. An emergency is a situation that is larger in scope and more severe in terms of actual or potential effects than an incident. Characteristics include: 1) Involves a large area, significant population, or important facilities. 2) May require implementation of large-scale evacuation or in-place sheltering and implementation of temporary shelter and mass care operations. 3) May require community-wide warning and public instructions. Ver 2024 BP-4 03/24 certain infectious agents, radiological materials, and other related materials such as oil, used oil, petroleum products, and industrial solid waste substances). 9. Incident of National Significance. An actual or potential high-impact event that requires a coordinated and effective response by and appropriate combination of federal, state, local, tribal, nongovernmental, and/or private sector entities in order to save lives and minimize damage and provide the basis for long-term communication recovery and mitigation activities. 10. Inter-local agreements. Arrangements between governments and/or organizations, either public or private, for reciprocal aid and assistance during emergency situations where the resources of a single jurisdiction or organization are insufficient or inappropriate for the tasks that must be performed to control the situation. Commonly referred to as mutual aid agreements. 11. Stafford Act. The Robert T. Stafford Disaster Relief and Emergency Assistance Act authorizes federal agencies to undertake special measures designed to assist the efforts of states in expediting the rendering of aid, assistance, emergency services, and reconstruction and rehabilitation of areas devastated by disaster. 12. Standard Operating Guidelines. Approved methods for accomplishing a task or set of tasks. SOGs are typically prepared at the department or agency level. IV. SITUATION AND ASSUMPTIONS A. Situation Brazos County is exposed to many hazards, all of which have the potential for disrupting the community, causing casualties, and damaging or destroying public or private property. A summary of our major hazards is provided in Figure 1. More detailed information is provided in our Hazard Analysis, published separately. CONCEPT OF OPERATIONS A. Objectives The 'objectives of our emergency management program are to protect public health and safety and preserve public and private property. Emergency operations address the entire spectrum of contingencies, ranging from relatively minor incidents such as utility failure, to large-scale disasters such as major flash flooding. Some emergencies will be preceded by a build-up period, which, if recognized, may offer advance warning to potentially affected areas and populations. Other emergencies occur with little or no advanced warning, and therefore require a response characterized by efficient and coordinated mobilization and deployment of local resources. This section of the plan outlines how the plan will be activated and implemented, with the purpose of protecting lives, property, and the environment of Brazos County as a whole. B. General 1. It is our responsibility to protect public health and safety and preserve property from the effects of hazardous events. We have the primary role in identifying and mitigating hazards, preparing for, and responding to, and managing the recovery from emergency situations that affect our community. 2. It is impossible for government to do everything that is required to protect the lives, property, and the environment of our population. Our citizens have the responsibility to prepare themselves and their families to cope with emergency situations and manage their affairs and property in ways that will aid the government in managing emergencies. We will assist our citizens in carrying out these responsibilities by providing public information and instructions prior to and during emergency situations. 3. Local government is responsible for organizing, training, and equipping local emergency responders and emergency management.personnel, providing appropriate emergency facilities, providing suitable warning and communications systems, and for contracting for emergency services. The state and federal governments offer programs that provide some assistance with portions of these responsibilities. 4. To achieve our objectives, we have organized an emergency management program that is both integrated (employs the resources of government, organized volunteer groups, and businesses) and comprehensive (addresses mitigation, prevention, protection, response, and recovery). This plan captures the elements of the National Preparedness Goal. 5. This plan is based on an all-hazard approach to emergency planning. It addresses general functions that may need to be performed during any emergency situation and is not a collection of plans for specific types of incidents. For example, Annex A (Warning) addresses techniques that can be used to warn the public during any emergency situation, whatever the cause. 6. Departments and agencies tasked in this plan are expected to develop and keep current standard operating procedures that describe how emergency tasks will be performed. Ver 2024 BP-8 03/24 b. For some types of emergency situations, a specific incident scene may not exist in the initial response phase and the EOC may accomplish initial response actions, such as mobilizing personnel and equipment and issuing precautionary warnings to the public. As the potential threat becomes more clear and a specific impact site (or sites) identified, an incident command post may be established, and direction and control of the response transitioned to the Incident Commander. 3. Source and Use of Resources. a. We will use our own resources, all of which meet the requirements for resource management in accordance with the NIMS, to respond to emergency situations, purchasing supplies and equipment if necessary, and request assistance if our resources are insufficient or inappropriate. §418.102 of the Government Code provides that the county should be the first channel through which a municipality requests assistance when its resources are exceeded. If additional resources are required, we will: 1) Summon those resources available to us pursuant to inter-local agreements. See Attachment 6 to this plan. 2) Summon emergency service resources that we have contracted for. See Attachment 6. 3) Request assistance from volunteer organizations active in disasters. 4) Request assistance from industry or individuals who have resources needed to deal with the emergency situation. b. When external agencies respond to an emergency situation within our jurisdiction, we expect them to conform to the guidance and direction provided by our Incident Commander, which will be in accordance with the NIMS. D. Incident Command System (ICS) 1. We intend to employ ICS, an integral part of the NIMS, in managing emergencies. ICS is both a strategy and a set of organizational arrangements for directing and controlling field operations. It is designed to effectively integrate resources from different agencies into a temporary emergency organization at an incident site that can expand and contract with the magnitude of the incident and resources on hand. A summary of ICS is provided in Attachment 7. 2. The Incident Commander is responsible for carrying out the ICS function of command — managing the incident. The four other major management activities that form the basis of ICS are operations, planning, logistics, and finance/administration. For small-scale incidents, the Incident Commander and one or two individuals may perform all of these functions. For larger incidents, a number of individuals from different departments or agencies may be assigned to separate staff sections charged with those functions. 3. An Incident Commander using response resources from one or two departments or agencies can handle the majority of emergency situations. Departments or agencies participating in this type of incident response will normally obtain support through their own department or agency. Ver 2024 BP-10 03/24 F. State, Federal &Other Assistance 1. State & Federal Assistance a. If local resources are inadequate to deal with an emergency situation; the EOC will request assistance from the State. State assistance furnished to local governments is intended to supplement local resources and not substitute for such resources, including mutual aid resources, equipment purchases or leases, or resources covered by emergency service contracts. As noted previously, cities must request assistance from their county before requesting state assistance. b. Requests for state assistance should be made to the Disaster District Committee (DDC) Chairperson, who is located at the Texas A&M University System RELLIS Campus in Bryan, Texas. See Appendix 3 to Annex M (Resource Management)for a form that can be used to request state assistance. In essence, state emergency assistance to local governments begins at the DDC level and the key person to validate a request for, obtain, and provide that state assistance and support is the DDC Chairperson. A request for state assistance must be made by the chief elected official (the County Judge/Mayor(s)) or designee and may be made via STAR board in WebEOC, email, or telephone. The DDC Chairperson has the authority to utilize all state resources within the district to respond to a request for assistance, with the exception of the National Guard. Use of National Guard resources requires approval of the Governor. c. The Disaster District staff will forward requests for assistance that cannot be satisfied by state resources within the District to the State Operations Center(SOC) in Austin for action. 2. Other Assistance a. If resources required to control an emergency situation are not available within the State, the Governor may request assistance from other states pursuant to a number of interstate compacts or from the federal government through the Federal Emergency Management Agency (FEMA). b. For major emergencies and disasters for which a Presidential declaration has been issued, federal agencies may be mobilized to provide assistance to states and local governments. The National Response Framework (NRF) describes the policies, planning assumptions, concept of operations, and responsibilities of designated federal agencies for various response and recovery functions. The Nuclear/Radiological Incident Annex of the NRF addresses the federal response to major incidents involving radioactive materials. c. FEMA has the primary responsibility for coordinating federal disaster assistance. No direct federal disaster assistance is authorized prior to a Presidential emergency or disaster declaration, but FEMA has limited authority to stage initial response resources near the disaster site and activate command and control structures prior to a declaration and the Department of Defense has the authority to commit its resources to save lives prior to an emergency or disaster declaration. Ver 2024 BP-12 03/24 1. This plan addresses emergency actions that are conducted during all four phases of emergency management. a. Prevention We will conduct activities that will lead to the prevention and avoidance of an imminent, threatened, or actual act of terrorism. b. Protection We will conduct preparedness activities to develop the response capabilities needed in the event an emergency. Among the preparedness activities included in our emergency management program are: 1) Providing emergency equipment and facilities. 2) Emergency planning, including maintaining this plan, its annexes, and appropriate SOGs. 3) Conducting or arranging appropriate training for emergency responders, emergency management personnel, other local officials, and volunteer groups who assist us during emergencies. 4) Conducting periodic drills and exercises to test our plans and training. c. Mitigation We will conduct mitigation activities as an integral part of our emergency management program. Mitigation is intended to eliminate hazards, reduce the probability of hazards causing an emergency situation, or lessen the consequences of unavoidable hazards. Mitigation should be a pre-disaster activity, although mitigation may also occur in the aftermath of an emergency`situation with the intent of avoiding repetition of the situation. Our mitigation program is outlined in Annex P (Mitigation). d. Response We will respond to emergency situations effectively and efficiently. The focus of most of this plan and its annexes is on planning for the response to emergencies. Response operations are intended to resolve an emergency situation while minimizing casualties, property damage, and impacts to the environment. Response activities include warning, emergency medical services, firefighting, law enforcement operations, evacuation, shelter and mass care, emergency public information, search and rescue, as well as other associated functions. e. Recovery If a disaster occurs, we will carry out a recovery program that involves both short- term and long-term efforts. Short-term operations seek to restore vital services to the community and provide for the basic needs of the public. Long-term recovery focuses on restoring the community to its normal state. The federal government, pursuant to the Stafford Act, provides the vast majority of disaster recovery Ver 2024 BP-14 03/24 For most emergency functions, successful operations require a coordinated effort from a number of departments, agencies, and groups. To facilitate a coordinated effort, elected and appointed officials, departments and agency heads, and other personnel are assigned primary responsibility for planning and coordinating specific emergency functions. Generally, primary responsibility for an emergency function will be assigned to an individual from the department or agency that has legal responsibility for that function or possesses the most appropriate knowledge and skills. Other officials, departments, and agencies may be assigned support responsibilities for specific emergency functions. Attachment 4 summarizes the general emergency responsibilities of local officials, department and agency heads, and other personnel. 2. The individual having primary responsibility for an emergency function is normally responsible for coordinating preparation of and maintaining that portion of the emergency plan that addresses that function. Plan and annex assignments are outlined in Attachment 5. Listed below are general responsibilities assigned to the Executive Group, Emergency Services, Support Services, and other.Support Agencies. Additional specific responsibilities can be found in the functional annexes to this Basic Plan. 3. Executive Group Responsibilities a. The County Judge and/or Mayor(s)and/or University Executives will: 1) Establish objectives and priorities for the emergency management program and provide general policy guidance on the conduct of that program. 2) Monitor the emergency response during disaster situations and provides direction where appropriate. 3) With the assistance of the Public Information Officer (PIO) and the Joint Information Center(JIC), keep the public informed during emergency situations. 4) With the assistance of the legal staff, declare a local state of disaster, request the Governor declare a state of emergency, or invoke the emergency powers of government when necessary (except University Executives). 5) Request assistance from other local governments or the State when necessary. 6) Direct activation of the EOC. b. The County Judge, Mayor(s), City Manager(s), University Assistant VP for Safety and Security and EMC(s)will: 1) Implement the policies and decisions of the governing body relating to emergency management. 2) Organize the emergency management program and identifies personnel, equipment, and facility needs. 3) Assign emergency management program tasks to departments and agencies. Ver 2024 BP-16 03/24 d. Provide current information on emergency resources for inclusion in the Resource List in Appendix 1 to Annex M (Resource Management). e. Report information regarding emergency situations and damage to facilities and equipment to the Incident Commander or the EOC. 5. Emergency Services Responsibilities. a. The Incident Commander will: 1) Manage emergency response resources and operations at the incident site command post to resolve the emergency situation. 2) Determine and implement required protective actions for response personnel and the public at an incident site. b. Warning. 1) Primary responsibility for this function is assigned to the Police Chief(s) and/or County Sheriff who, with assistance from the EMC(s), will prepare and maintain Annex A (Warning)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Receive information on emergency situations. b) Alert key local officials of emergency situations. c) Disseminate warning information and instructions to the public through available warning systems ensuring the needs of the whole community are addressed. d) Disseminate warnings and instructions to special facilities such as schools and hospitals. c. Communications. 1) Primary responsibility for this function is assigned to the Police Chief(s) and/or County Sheriff who, with assistance from the EMCs, will prepare and maintain Annex B (Communications)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Identify the communications systems available within the local area and determine the connectivity of those systems, and ensure their interoperability. b) Develop plans and procedures for coordinated use of the various communications systems available in this jurisdiction during emergencies. c) Determine and implement means of augmenting communications during emergencies, including support by volunteer organizations. d. Radiological Protection. Ver 2024 BP-18 03/24 g. Law Enforcement. 1) Primary responsibility for this function is assigned to the Police Chief(s) and/or Sheriff who, with assistance from the EMCs, will prepare and maintain Annex G (Law Enforcement)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Maintenance of law and order. b) Traffic control. c) Terrorist incident response. d) Provision of security for vital facilities, evacuated areas, and shelters. e) Access control for damaged or contaminated areas. f) Warning support. g) Post-incident reconnaissance and damage assessment. h) Prepare and maintain law enforcement resource inventory. h. Health and Medical Services. 1) Primary responsibility for this function is assigned to the Public Health Office, who with assistance from the EMCs, will prepare and maintain Annex H (Health & Medical Services)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Coordinate health and medical care and EMS support during emergency situations. b) Public health information and education. c) Inspection of food and water supplies. d) Develop emergency public health regulations and orders. e) Coordinate collection, identification, and interment of deceased victims. i. Direction and Control. 1) Primary responsibility for this function is assigned to the County Judge and/or Mayor(s) and/or designated University Executives and EMCs who will prepare and maintain Annex N (Direction & Control)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Direct and control our local operating forces. b) Maintain coordination with neighboring jurisdictions and the Disaster District in Bryan, Texas. c) Maintain the EOC in an operating mode or be able to convert the designated facility space into an operable EOC rapidly. d) Assign representatives, by title, to report to the EOC and develops procedures for crisis training. e) Develop and identify the duties of the staff, use of displays and message forms, and procedures for EOC activation. f) Coordinate the evacuation of areas at risk. Ver 2024 BP-20 03/24 c) Carry out terrorism consequence operations conducted in the aftermath of a terrorist incident to save lives and protect public and private property. d) Ensure required notification of terrorist incidents is made to state and federal authorities. 6. Support Services Responsibilities. a. Shelter and Mass Care. 1) Primary responsibility for this function is assigned to the EMCs who will prepare and maintain Annex C (Shelter and Mass Care) to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Perform emergency shelter and mass care planning. b) Coordinate and conduct shelter and mass care operations with our other departments, relief agencies, and volunteer groups. b. Public Information. 1) Primary responsibility for this function is assigned to the Chief Elected Officials and County, City and/or Texas A&M University Public Information Officers who, with assistance from the EMCs will prepare and maintain Annex I (Public Information)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Establish a Joint Information Center(JIC). b) Conduct on-going hazard awareness and public education programs. c) Pursuant to the Joint Information System (JIS), compile and release information and instructions for the public during emergency situations and respond to questions relating to emergency operations. d) Provide information to the media and the public during emergency situations. e) Arrange for media briefings. f) Compiles print and photo documentation of emergency situations. c. The EMCs will prepare and maintain Annex J (Recovery)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Establish and train a damage assessment team using local personnel. Coordinate the efforts of that team with state and federal damage assessment personnel who may be dispatched to assist us. Ver 2024 BP-22 03/24 Directors, and Purchasing Officials. The EMCs will prepare and maintain Annex M (Resource Management)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Maintain an inventory of emergency resources. b) During emergency operations, locates supplies, equipment, and personnel to meet specific needs. c) Maintain a list of suppliers for supplies and equipment needed immediately in the aftermath of an emergency. d) Establish emergency purchasing procedures and coordinate emergency procurements. e) Establish and maintain a manpower reserve and coordinate assignment of reserve personnel to departments and agencies that require augmentation. f) Coordinate transportation, sorting, temporary storage, and distribution of resources during emergency situations. g) Establish staging areas for resources, if required. h) During emergency operations, identify to the Donations Management Coordinator those goods, services, and personnel that are needed. i) Maintain records of emergency-related expenditures for purchases and personnel. g. Human Services. 1) Primary responsibility for this function is assigned to the EMCs, who will seek guidance and assistance as needed from local volunteer groups and/or organized disaster relief agencies. EMCs will prepare and maintain Annex 0 (Human Services)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: a) Identify emergency feeding sites. b) Identify sources of clothing for disaster victims. c) Secure emergency food supplies. d) Coordinate the operation of shelter facilities, whether operated by local government, local volunteer groups, or organized disaster relief agencies such as the American Red Cross. e) Coordinate special care requirements for disaster victims such as the aged, functional and access needs individuals, and others. f) Coordinate the provision of disaster mental health services to disaster victims, emergency workers, and/or others suffering trauma due to the emergency incident/disaster. h. Hazard Mitigation. 1) The primary responsibility for this function is assigned to the EMCs, who with assistance from the Hazard Mitigation Coordinator, will prepare and maintain Annex P(Hazard Mitigation)to this plan and supporting SOGs. 2) Emergency tasks to be performed include: Ver 2024 BP-24 03/24 a) Advise local officials on emergency powers of local government and procedures for invoking those measures. b) Review and advise our officials on possible legal issues arising from disaster operations. c) Prepare and/or recommend legislation to implement the emergency powers that may be required during an emergency. d) Advise local officials and department heads on record-keeping requirements and other documentation necessary for the exercising of emergency powers. I. Department and agency heads not assigned a specific function in this plan will be prepared to make their resources available for emergency duty at the direction of their chief elected official(s). 7. Volunteer& Other Services. a. Volunteer Groups. The following are local volunteer agencies that can provide disaster relief services and traditionally have coordinated their efforts with our local government: 1) HEART OF TEXAS Chapter of the American Red Cross, office is located in Bryan and Waco, Texas. Provides shelter management, feeding at fixed facilities and through mobile units, first aid, replacement of eyeglasses and medications, provision of basic clothing, and limited financial assistance (if available) to those affected by emergency situations. The Red Cross also provides feeding for emergency workers. 2) The Salvation Army. Provides emergency assistance to include: mass and mobile feeding, temporary shelter, - counseling, missing person services, medical assistance, and the warehousing and distribution of donated goods including food clothing, and household items. Also provides referrals to government and private agencies for special services. 3) Southern Baptist Convention Disaster Relief. Provides mobile feeding units staffed by volunteers. Active in providing disaster childcare, the agency has several mobile childcare units. Can also assist with clean-up activities, temporary repairs, reconstruction, counseling, and bilingual services. 4) ARES/RACES. The Amateur Radio Emergency Service/Radio Amateur Civil Emergency Service provides amateur radio support for emergency operations, including communications support in the EOC. b. Business Support. Ver 2024 BP-26 03/24 2. Emergency Operating Center (EOC). When major emergencies and disasters have occurred or appear imminent, we will activate our EOC, which is located in Bryan, TX near the Brazos County Courthouse. 3. The following individuals are authorized to activate the EOC: a. County Judge and/or EMC b. Mayor(s), City Manager(s) and/or the EMC(s) c. University President, University Chief Operating Officer and/or University EMC 4. The general responsibilities of the EOC are to: a. Assemble accurate information on the emergency situation and current resource data to allow local officials to make informed decisions on courses of action. b. Working with representatives of emergency services, determine and prioritize required response actions and coordinate their implementation. c. Provide resource support for emergency operations. d. Suspend or curtail government services, recommend the closure of schools and businesses, and cancellation of public events. e. Organize and activate large-scale evacuation and mass care operations. f. Provide emergency information to the public. 5. Representatives of those departments and agencies assigned emergency functions in this plan will staff the EOC. EOC operations are addressed in Annex N (Direction and Control). The interface between the EOC and the incident command post is described in paragraph V.E above. 6. Our alternate EOC is located at Kyle Field Command, 756 Houston Street, on the Texas A&M University Campus in College Station, TX. This facility will be used if our primary EOC becomes unusable. 7. We have a mobile command and control vehicle, operated by the City of Bryan Fire Department, which may be used as an incident command post. C. Line of Succession 1. The line of succession for the County Judge is: a. County Judge b. County Judge Pro-Tem c. County Commissioners (in order of their seniority on the Commissioners' Court) 2. The line of succession for the Mayor is: Ver 2024 BP-28 03/24 a. Increased Readiness refers to a situation that presents a greater potential threat than "Level 4" but poses no immediate threat to life and/or property. Increased readiness actions may be appropriate when the situations like the following occur: 1) Tropical Weather Threat. A tropical weather system has developed that has the potential to impact the local area. Readiness actions may include regular situation monitoring, a review of plans and resource status, determining staff availability and placing personnel on-call. 2) Tornado Watch. indicates possibility of tornado development. Readiness actions may include increased situation monitoring and placing selected staff on alert. 3) Flash Flood Watch. indicates flash flooding is possible due to heavy rains occurring or expected to occur. Readiness actions may include increased situation-monitoring, reconnaissance of known trouble spots, deploying warning signs. 4) Wildfire Threat. During periods of extreme wildfire threat, readiness actions may include deploying additional resources to areas most at risk, arranging for standby commercial water tanker support, conducting daily aerial reconnaissance, or initiating burn bans. 5) Mass Gathering. For mass gatherings with or without previous history of problems, readiness actions may include reviewing security, traffic control, fire protection, and first aid planning with organizers and determining additional requirements. b. Declaration of "Level 3" will generally require the initiation of the "Increased Readiness" activities identified in each annex to this plan. 3. Level 2: High Readiness a. High Readiness refers to a situation with a significant potential and probability of causing loss of life and/or property. This condition will normally require some degree of warning to the public. Actions could be triggered by severe weather warning information issued by the National Weather Service such as: 1) Tropical Weather Threat. A tropical weather system may impact the local area within 72 hours. Readiness actions may include continuous storm monitoring, identifying worst-case decision points, increasing preparedness of personnel and equipment, updating evacuation checklists, verifying evacuation route status, and providing the public information for techniques to protect homes and businesses on the evacuation routes. 2) Tornado Warning. Issued when a tornado has actually been sighted in the vicinity or indicated by radar and might strike in the local area. Readiness actions may include activating the EOC, continuous situation monitoring, and notifying the public about the warning. Ver 2024 BP-30 03/24 b. Declaration of "Level 1" will generally require the initiation of the "Maximum Readiness" activities identified in each annex to this plan. IX. ADMINISTRATION AND SUPPORT A. Agreements and Contracts 1. Should our local resources prove to be inadequate during an emergency, requests will be made for assistance from other local jurisdictions, other agencies, and industry in accordance with existing mutual-aid agreements and contracts and those agreements and contracts entered into during the emergency. Such assistance may include equipment, supplies, or personnel. All agreements will be entered into by authorized officials and should be in writing whenever possible. Agreements and contracts should identify the local officials authorized to request assistance pursuant to those documents. 2. In an effort to facilitate assistance pursuant to mutual aid agreements, our available resources are identified. 3. The agreements and contracts pertinent to emergency management (that we are a party to) are summarized in Attachment 6. B. Reports 1. Hazardous Materials Spill Reporting. If we are responsible for a release of hazardous materials of a type or quantity that must be reported to state and federal agencies, the department or agency responsible for the spill shall make the required report. See Annex Q (Hazardous Materials and Oil Spill Response) for more information. If the party responsible for a reportable spill cannot be located, the Incident Commander shall ensure that the required report(s) are made. 2. Initial Emergency Report. This short report should be prepared and transmitted by the EOC when an on-going emergency incident appears likely to worsen and we may need assistance from other local governments or the State. See Annex N (Direction and Control)for the format and instructions for this report. 3. Situation Report. A daily situation report should be prepared and distributed by the EOC during major emergencies or disasters. See Annex N (Direction and Control) for the format of and instructions for this report. 4. Other Reports. Several other reports covering specific functions are described in the annexes to this plan. C. Records 1. Record Keeping for Emergency Operations Our local governments are responsible for establishing the administrative controls necessary to manage the expenditure of funds and to provide reasonable accountability and justification for expenditures made to support emergency operations. This shall be Ver 2024 BP-32 03/24 D. Training It will be the responsibility of each agency director/department head to ensure that agency personnel, in accordance with the NIMS, possess the level of training, experience, credentialing, currency, physical and medical fitness, or capability for any positions they are tasked to fill. E. Consumer Protection Consumer complaints regarding alleged unfair or illegal business practices often occur in the aftermath of a disaster. Such complaints will be referred to the County and/or City Attorney, who will pass such complaints to the Consumer Protection Division of the Office of the Attorney General. F. Post-Incident and Exercise Review The EMCs are responsible for organizing and conducting a critique following the conclusion of a significant emergency event/incident or exercise. The After Action Report (AAR) will entail both written and verbal input from all appropriate participants. An Improvement Plan will be developed based on the,deficiencies identified, and an individual, department, or agency will be assigned responsibility for correcting the deficiency and a due date shall be established for that action. X. PLAN DEVELOPMENT AND MAINTENANCE A. Plan Development The County Judge, Mayors, and TAMU Chief Operating Officer are responsible for approving and promulgating this plan. B. Distribution of Planning Documents 1. The Basic Plan and annexes to the Brazos County Interjurisdictional Plan are updated and then uploaded to bcdem.org/emergency/plans so that any individuals, departments, agencies, and organizations tasked in the Plan can have access readily to those documents. On occasion, certain information in the annexes may be redacted and copies should be distributed accordingly. A hard copy of the plan should be kept on hand at the CEOC in event access to critical infrastructure is lost. 2. The Basic Plan should include a distribution list (See Attachment 1 to this plan) that indicates who should receive notification of updates or changes to the Basic Plan and the various annexes to it. In general, individuals who receive annexes to the basic plan should also receive a copy of this plan, because the Basic Plan describes our emergency management organization and basic operational concepts. In some cases, the plan may be distributed electronically or via the internet. C. Review The Basic Plan and its annexes shall be reviewed annually by local officials. The EMCs will establish a schedule for annual review of planning documents by those tasked in them. BACKGROUND 1. NIMS is a comprehensive, national approach to incident management that is applicable to all jurisdictional levels and across functional disciplines. This system is suitable across a wide range of incidents and hazard scenarios, regardless of size or complexity. It provides a flexible framework for all phases of incident management, as well as requirements for processes, procedures, and systems designed to improve interoperability. 2. NIMS is a multifaceted system that provides a national framework for preparing for, preventing, responding to, and recovering from domestic incidents. B. COMPONENTS 1. Command and Management. The incident management structures employed by NIMS can be used to manage emergency incidents or non-emergency events such as celebrations. The system works equally well for small incidents and large-scale emergency situations. The system has built-in flexibility to grow or shrink depending on current needs. It is a standardized system, so personnel from a variety of agencies and geographic locations can be rapidly incorporated into a common management structure. a. Incident Management System. A system that can be used to manage emergency incidents or non-emergency events such as celebrations. 1) FEATURES OF ICS ICS has a number of features that work together to make it a real management system. Among the primary attributes of ICS are: a) Common Terminology. ICS requires the use of common terminology, such as the use of standard titles for facilities and positions within an organization, to ensure efficient and clear communications. b) Organizational Resources. All resources including personnel, facilities, major equipment, and supply items used to support incident management activities must be "typed"with respect to capability. This typing will minimize confusion and enhance interoperability. c) Manageable Span of Control. Span of control should ideally vary from three to seven. Anything less or more requires expansion or consolidation of the organization. d) Organizational Facilities. Common terminology is used to define incident facilities, the activities conducted at these facilities, and the organizational positions that can be found working there. Ver 2.0 BP-7-1 05/05 4) Multiagency Coordination Systems. Multiagency coordination systems may be required for incidents that require higher level resource management or information management. The components of multiagency coordination systems include facilities, equipment, EOCs, specific multiagency coordination entities, personnel, procedures, and communications; all of which are integrated into a common framework for coordinating and supporting incident management. 5) Public Information. The NIMS system fully integrates the ICS Joint Information System (JIS) and the Joint Information Center (JIC). The JIC is a physical location where public information staff involved in incident management activities can co-locate to perform critical emergency information, crisis communications, and public affairs functions. More information on JICs can be obtained in the DHS National Incident Management System Plan, dated March 2004. 6) Preparedness. Preparedness activities include planning, training, and exercises as well as certification of response personnel, and equipment acquisition and certification. Activities would also include the creation of mutual aid agreements and Emergency Management Assistance Compacts. Any public information activities such as publication management would also be preparedness activities. 7) Resource Management. All resources, such as equipment and personnel, must be identified and typed. Systems for describing, inventorying, requesting, and tracking resources must also be established. 8) Communications and Information Management. Adherence to NIMS specified standards by all agencies ensures interoperability and compatibility in communications and information management. 9) Supporting Technologies. This would include any technologies that enhance the capabilities essential to implementing the NIMS. For instance, voice and data communication systems, resource tracking systems, or data display systems. 10)Ongoing Management and Maintenance. The NIMS Integration Center'provides strategic direction and oversight in support of routine review and continual refinement of both the system and its components over the long term. Allocation of Costs Brazos Valley Council of Governments Workforce Solutions Brazos Valley Provider Agreement 2024-2025 political affiliation or belief,or against beneficiaries on the basis of either citizenship status or participation in any WIOA Title 1-financially assisted program or activity; (B)Title VI of the Civil Rights Act of 1964,as amended,which prohibits discrimination on the bases of race,color and national origin; (C)Section 504 of the Rehabilitation Act of 1973,as amended,which prohibits discrimination against qualified individuals with disabilities; (D)The Age Discrimination Act of 1975,as amended,which prohibits discrimination on the basis of age; and (E)Title IX of the Education Amendments of 1972, as amended,which prohibits discrimination on the basis of sex in educational programs. The grant applicant also assures that,as a recipient of WIOA Title I financial assistance,it will comply with 29 CFR part 38 and all other regulations implementing the laws listed above. Compliance with the Prison Rape Elimination Act The Brazos County Detention Center,as an operation of the Brazos County Sheriff's Office,will comply with the Prison Rape Elimination Act (PREA). The Detention Center has a Zero Tolerance Policy regarding sexual abuse and sexual harassment. The Detention Center will conduct a background investigation on all proposed employees,volunteers,or other contractors that may have contact with inmates. Background checks will be conducted at least every five (5)years for all contractors. The BCDC shall ensure that all volunteers and contractors who have contact with inmates have been trained on their responsibilities under the agency's sexual abuse and sexual harassment Brazos Valley Council of Governments Workforce Solutions Brazos Valley Provider Agreement 2024-2025 The participants in this agreement assume full responsibility for their respective costs associated with the performance of the terms of this Agreement. In no event, except as may be provided in a Supplemental Agreement, shall any party be obligated to pay or reimburse any expense incurred by another party under this Agreement. II. Subcontracts All subcontracts or other agreements entered into by the parties to fulfill the purpose of this Agreement must require subcontractors or other parties to fulfill the respective party's requirements described in the Allocation of Costs section.A copy of any such subcontract(s) or agreement(s)entered into by a party shall be provided to the other party in this agreement. III. General Provisions The parties understand that each party should be able to fulfill its responsibilities under this Agreement per the provisions of the law and regulations governing the party's activities. Nothing in this agreement is intended to negate or otherwise render ineffective any such provisions or operating procedures. The parties assume full responsibility for their cost and performance under the terms of this Agreement. If at any time either party is unable to perform its functions under this Agreement consistent with such party's statutory and regulatory mandates, the affected party shall immediately provide written notice to the other parties to establish a date for resolution of the matter. Comply with the Federal requirements against Prohibition on Trafficking persons found in the Trafficking Victims Protection Act of 2000 (TVPA),as amended(22 U.S.C. 47104(g)). Any dispute between the Brazos County Office of Sheriff and Region 6 ESC Adult Education regarding this MOU will be governed by Alternative Dispute Resolution for Use by Governmental Bodies, Chapter 2009, Texas Government Code, and any applicable Model Rules promulgated by the Office of the Attorney General and/or the State Office of Administrative Hearing of the State of Texas. Any notice of dispute tendered by the Performing Party should be addressed to the President of the Receiving Party. SCOPE OF SERVICES As Transportation Consultants, ITS will specifically conduct the following services for Brazos County: Task 1 -Strategic Planning and Funding Consultation ITS shall provide leadership and management on the County's Transportation Program; assist the County in identifying its transportation needs and continuously seek out funding sources,both conventional and innovative,to achieve those goals. A. Development of Overall Priority and Goals for Transportation Projects • Assist Brazos County in the analysis of pending surface transportation projects resulting in the prioritization by the Commissioners Court of said projects within Brazos County; • Identify key Brazos County transportation projects for policy level focus; • Develop overall program and strategic long-range transportation planning goals and objectives; • Determine an equitable County participation based on benefits to accrue by advancing the project early; and • Determine ability and willingness of other stakeholders to participate, whether in cash or in kind,to advance the project. B. Federal Transportation Policy Development and Implementation • Monitor the following organizations for possible opportunities and impacts to key Brazos County projects: U.S. Congress and appropriate Congressional committees, 1 U.S. Department of Transportation, Federal Highway Administration, Federal Transit Administration,Federal Railroad Administration,Transportation Safety Administration, Federal Aviation Administration, U.S. Army Corps of Engineers, and Environmental Protection Agency; • Continue efforts toward the authorization of funding for key Brazos County projects; • Continue efforts toward the appropriation of funds for key Brazos County projects; • Meet with County Commissioners as needed to update progress and direction; and • Provide reports and briefings to the Commissioners Court as required. D. Regional Transportation Policy Development and Implementation • Monitor the following entities for possible opportunities and impacts to key Brazos County projects: Texas Department of Transportation Bryan District, Bryan/College Station Metropolitan Planning Organization (BCSMPO), Brazos County RMA, Other surrounding counties, and Other entities as directed by Brazos County; • Continue efforts toward the placement of key Brazos County projects on the BCSMPO TIP and UTP programs with appropriate funding commitments; 2 • Continue efforts toward eliminating the barriers to the implementation of key Brazos County projects to include gaining environmental clearance,acquisition of right-of- way, development of PS&E, and letting of construction contracts; • As required and authorized, set up and attend meetings with key policy makers and staff members (agencies and elected officials) in various locations within the Brazos County region to further efforts at the state and regional levels. These meetings would be attended by selected County staff members and Commissioners Court members. To minimize travel costs and schedule impacts,these meetings must be scheduled to maximize the value of the time invested; • FoIlow up with appropriate agency staff members to implement policy program; • Meet with County Commissioners as requested to update progress and direction; and • Provide reports and briefings as required to the Commissioners Court. Task 2—General Program Management and Design Management Assistance ITS will provide general program management of the Transportation Program on behalf of the County and represent the County in all general and professional activities that are required to successfully execute this program. These duties will include as a minimum the following items: General Program Management: • Develop detailed Program Management Plan(PMP) for the implementation of the design,procurement and construction phases of the program. • Attend Commissioners Court meetings and other pertinent County meetings to report on the current status of the Program; • Meetings with Court officials and their staff as needed to discuss the Program; • Attend local, regional, state and federal transportation meetings and events that are of importance to the Transportation Program; • Coordinate with TxDOT; BCSMPO; USDOT; USACE;FEMA;EPA; TCEQ and other regional, state and federal agencies as required to facilitate all aspects of this Program; • Determine which projects may be affected by local events or may impact those events and outline strategies to meet community expectations; • Monitor and update the overall project schedule throughout the program in coordination with utilities, real estate, environmental, design consultants, construction managers, contractors and others that are involved at the program and individual project levels; • Review and provide comments on schedules submitted by consultants, contractors and others for conformance with scheduling requirements and policies, consistency with project/construction plans and phasing, ability to execute,proper resource allocation and other schedule-related requirements; 3 • Provide any additional management services that may be requested by Brazos County officials. Design Management Assistance: • Providing general management over all aspects of the design process, including direct participation in periodic design coordination meetings; • Making recommendations for process improvement; • Evaluating performance of design consultants; • Reviewing milestone submittals by design consultants to assure intent of the project is met, County's best interests are represented and consultant is meeting terms of their contract; • Reviewing periodic and the final Opinion of Probable Construction Cost provided by the design consultants; and • Reviewing and initial approval all pay requests from design and specialty consultants to be submitted to the County. Task 3—Right-of-Way(ROW)Acquisition Management Assistance ITS shall provide management assistance in the acquisition of all real estate required to complete each project within this program unless otherwise stipulated by the County. The Program Manager will: • Review real property and easement acquisition needs as they are identified; • Coordinate with real estate agents and title companies to facilitate the expeditious procurement of the required property or easements; and • Coordinate all required Court approvals for acquisition so that project schedules are maintained. Task 4-Procurement Assistance ITS shall aid the County in procuring all required consultants and contractors for this Program and will include: • Assisting the Purchasing Department in developing scope of services and associated fees for each consulting assignment; • Assisting County staff in the issue and processing of contracts,task orders,and change orders for consulting services; and • Coordinating design consultants' activities during contractor procurement phase. Task 5-Community Outreach/Education Program ITS shall provide information and educational material to the County for engagement and involvement of stakeholders through all stages of the projects associated with the Transportation 4 Program. Services include: • Support of County public outreach efforts with respect to matters associated with the Transportation Program; • Coordination of all public meetings related to the Transportation Program; and • Development of announcements and press releases related to project implementation. Task 6—Monthly Statement of Deliverables ITS shall provide a monthly status report of services requested by Brazos County enumerated by project and task and subsequent services delivered and completed. III. COMPENSATION TERMS In consideration of professional services rendered monthly by ITS, Brazos County agrees to pay ITS a reasonable and customary annual fee of ONE HUNDRED AND TWENTY THOUSAND DOLLARS AND 00/100 DOLLARS ($120,000.00) (the "Annual Fee")per year. Brazos County agrees to pay ITS TEN THOUSAND AND 00/00 DOLLARS ($10,000.00) (the "Monthly Payment") per month towards the County's annual fee obligation. ITS shall submit to Brazos County a monthly statement for professional services rendered. Brazos County shall make the Monthly Payment, processing the statement in its usual and customary fashion, making all reasonable efforts to process the monthly payment within thirty (30) business days from Brazos County's receipt of each monthly payment. All fees paid pursuant to this Agreement shall be from County budgeted and appropriated funds. ITS shall submit its monthly invoices to the Brazos County Auditor, at 200 South Texas Avenue, Suite 218,Bryan, Texas 77803. IV.EXPENSES In addition to payment of the Annual Fees, Brazos County understands and agrees to reimburse ITS for all expenses incurred in connection with the Engagement related to subconsultants and graphic needs. ITS will seek approval from Commissioners Court for any direct expense prior to incurring the expense. ITS agrees to provide Brazos County an invoice detailing all Expenses incurred during the prior period. Brazos County agrees to reimburse ITS for such Expenses in accordance with County's normal billing processes. V. TERM The period of performance under this Agreement shall be for a two year period to commence on August 1, 2020, and continue through July 31, 2022, with an option to renew for three additional one-year terms at the discretion of the County, for a maximum of five years. Unless terminated in accordance with the terms set forth herein,this Agreement shall continue month to month after the initial term period until renewed by the County. Upon County's exercise of its option to renew, 5 both parties shall agree to a budget amount for the new term. COST ESTIMATES Any cost estimates provided by ITS will be on a basis of experience and judgment, but since it has no control over market conditions or bidding procedures ITS cannot warrant that bids or ultimate construction costs will not vary from these cost estimates. 3. PROFESSIONAL STANDARDS ITS shall be responsible, to the level of competency presently maintained by other practicing professional engineers in the same type of work in CLIENT'S community, for the professional and technical soundness, accuracy, and adequacy of all design, drawings, specifications, and other work and materials furnished under this Authorization. ITS makes no other warranty, expressed or implied. 4. LEGAL EXPENSES In the event legal action is brought by CLIENT or ITS against the other to enforce any of the obligations hereunder or arising out of any dispute concerning the terms and conditions hereby created,the losing party shall pay the prevailing party such reasonable amounts for fees,costs, and expenses as may be set by the court. 5. ADDITIONAL SERVICES Services in addition to those specified in the "Scope" above, will be provided by ITS if authorized in a separate addendum signed by both parties. Additional services will be paid for by CLIENT as negotiated. Any agent of the CLIENT who has authorization to request or authorize work or in any way act on behalf of the CLIENT must sign this agreement or be appointed by the CLIENT through written notification to ITS. The CLIENT's signature indicates his/her agreement to pay for changes in the scope of work requested by such an agent acting on behalf of the CLIENT. 6. NON ASSIGNABLE CONTRACT Neither party shall assign this contract, except with written consent of the other party. 6 7. SEVERABILITY CLAUSE In case any one or more of the provisions contained in this Agreement shall be held illegal, the enforceability of the remaining provisions contained herein shall not be impaired thereby. 8. CONFLICT OF INTEREST It is understood that as a consulting firm, ITS works with a variety of clients throughout the region with a broad scope of interests. Should the occasion arise where an ITS client has interests that must be brought before the County, ITS will notify the County so that conflict of interest issues can be resolved. 9. INSURANCE ITS will maintain insurance coverage throughout the term of this contract and any subsequent extensions or renewals,meeting or exceeding the minimum limits published in the RFQ 20-094. These requirements include but are not limited to the following: a. Commercial general liability with a minimum limit of$1,000,000 per occurrence b. Automobile liability, owned/non-owned and hired,minimum limit of$ 1,000,000 c. Worker's compensation coverage, minimum statutory limit required d. WITHDRAWAL Brazos County agrees that ITS shall be entitled to withdraw from the engagement upon failure of Brazos County to make timely payments as required by the Fee Agreement. This Agreement permits only Customer and Customer's Authorized Users to access and use the Services detailed on the Price Quote for Services in accordance with the Documentation. Not available for virtual schools. e) Virtual School - Customer that is (a) a private school where students do not regularly meet physically for learning but where there is a teacher of record available to students enrolled at the institution and much of the learning takes place over the internet with regular assistance or guidance from the teacher of record or(b)a private tutoring provider that makes available personal attention to each student enrolled in a program by faculty or tutoring provider and such services are the primary purpose of enrollment by students;or(c)a public program implemented by a school district where students do not regularly meet physically for learning but where there is a teacher of record available to students enrolled at the institution and much of the learning takes place over the Internet with regular assistance or guidance from the teacher of record; and (d)with respect to (a),(b),and(c),a Virtual School is not a school that sells licenses or access to educational software on a standalone basis or sells licenses or access to educational software to students not actively enrolled in and participating in learning services provided by the private school or tutoring provider. 3.2 Restrictions. Customer agrees that it will not, nor will Customer cause or permit any Authorized User or other party to: (a) allow any third party to access the Services or Documentation, except as expressly allowed herein; (b)modify, adapt, alter or translate the Services or Documentation; (c)sublicense, lease,rent,sell,resell, loan,distribute,transfer or otherwise allow the use of the Services or Documentation for the benefit of any third party; (d) reverse engineer, decompile, disassemble, or otherwise derive or determine or attempt to derive or determine the source code(or the underlying ideas,algorithms, structure or organization) of the Services, except as permitted by law; (e) create derivative works based on the Services or Documentation;(f)use the Services to store or transmit infringing, unsolicited marketing emails, libelous, or otherwise objectionable, unlawful or tortious material, or to store or transmit material in violation of third-party rights; (g) interfere with or disrupt the integrity or performance of the Services; or(g)access the Services to build a competitive service or product, or copy any feature, function or graphic for competitive purposes. 3.3 Ownership. The Open Source Software is not subject to the terms and conditions of Sections 3.1,3.2, or 10. Instead,each item of Open Source Software is licensed under the terms of the end-user license that accompanies such Open Source Software. Nothing in this Agreement limits Customer's rights under, or grants Customer rights that supersede,the terms and conditions of any applicable end user license for the Open Source Software. If and to the extent required by any license for particular Open Source Software, Company makes such Open Source Software and Company modifications to that Open Source Software, available by written request at the notice address specified on the Price Quote for Services. 4. FEES. Company shall invoice Customer for fees on the schedule set forth on the Price Quote for Services ("Fees") and the amounts set forth in such invoices shall be due from Customer net thirty (30) days of receipt. Non-payment or late payment of undisputed fees is a material breach of this Agreement. Company-may terminate the Agreement and/or terminate or suspend Customer's access to Services within ten (10)days after Customer receipt of a notice of non-payment of amounts owed under that Price Quote for Services. Company may change the amount of the Fees for any upcoming Renewal Term, provided that Company provides Customer with written notice of such change at least sixty(60)days prior to the first day of such Renewal Term.All taxes and other governmental charges(except for income taxes),if any,imposed on Customer payments hereunder shall be deemed to be in addition to the Fees charged,and borne solely by Customer except to the extent that Customer provides Company with a valid tax exemption certificate authorized by the appropriate taxing authority. 5. FUNDING-OUT CLAUSE. Customer represents and warrants that (a) prior to using the Services in connection with any Authorized User,Customer shall have obtained any necessary consent to contact such Authorized User via the Services in such form as required to comply with applicable law; (b)that its use of the Services will otherwise comply with all applicable laws; and (c) the Customer Content shall not (i) infringe any copyright, trademark, or patent right; (ii) misappropriate any trade secret; (iii) be deceptive, libelous, obscene, pornographic or unlawful; (iv) contain any viruses, worms or other malicious computer programming codes intended to damage Company's system or data;or(v)otherwise violate any privacy or other right of any third party. 6.3 Authorized User Access. The Receiving Party will limit access to the Disclosing Party's Confidential Information to Authorized Users (with respect to Customer as Receiving Party) or to those employees who have a need to know such Confidential Information to perform the Receiving Party's obligations or exercise the Receiving Party's rights under this Agreement, and who have been informed of the confidential nature of such information. Company's Privacy Policy (as may be updated by Company from time to time),which is incorporated by reference into these terms and conditions, contains additional terms regarding Company's use of Confidential Student Information. Customers and Authorized Users may view Company's privacy policy at https://www.imaginelearninq.com/privacv ("Privacy Policy"). Customer is responsible for providing notice of its own privacy policy to parents of its students and is solely responsible for obtaining any necessary parental consents for students to use the Services. 9.3 Data Security. Company agrees that it will store and process Confidential Information, including Confidential Student Information, in accordance with customary industry standards. Company shall implement and maintain commercially reasonable administrative,technical and physical security measures designed to protect Confidential Information from unauthorized access, disclosure and use. Company will conduct periodic risk assessments and remediate identified material security vulnerabilities in a commercially reasonable manner. Company will have a written data breach response plan and will take commercially reasonable steps to notify the Customer once it becomes aware of a data breach known to involve, or likely involving, Customer Confidential Information. Company will cooperate with the Customer to comply with any applicable data breach notification laws. 9.4 Aggregated and De-Identified Data. Company may use aggregated data and De-Identified Data for those purposes allowed under applicable law and for the following purposes: (1) to demonstrate the effectiveness of the services; (2) research and development of the Company's educational sites,services, or applications; and (3) for adaptive learning purpose and for customized student Learning. Company agrees not to attempt to re-identify aggregated or De-identified Data.Company's use of aggregated data and De-identified data shall survive termination of this Agreement or any request by LEA to return or destroy Data. 9.5 Confidential Student Information Return and Destruction.Upon termination or expiration of this Agreement or thereafter, at the Customer's written request, Company shall, in a reasonable period of time, return all Confidential Student Information to Customer or shall destroy such Confidential Student Information that Company knows it possesses to the extent that destruction is reasonably practicable. Customer acknowledges that some data may remain in archive or other files following Company's commercially reasonable attempt to return or destroy Confidential Student Information. Company may transfer Confidential Student Information and De-Identified Data or aggregated data to its successor pursuant to a merger, consolidation or sale of substantially all of its assets pursuant to Section 13 of this Agreement. 10. INDEMNIFICATION 10.1 By COMPANY. Company shall indemnify, defend and hold harmless Customer against any third- party claims that the use of the Services as permitted hereunder infringes any copyright, US patent or other intellectual property right of a third party,and Company shall pay any losses,damages,costs,liabilities and expenses (including, but not limited to, reasonable attorneys'fees)finally awarded by a court to such third party or otherwise agreed to in settlement of such claim by Company. If any portion of the Services becomes, or in Company's opinion is likely to become, the subject of a claim of infringement, Company may,at Company's option,and as Customer's sole and exclusive remedy therefor: (a)procure for Customer the right to continue using the Services; (b) replace the Services with non-infringing software or services which do not materially impair the functionality of the Services; (c) modify the Services so that the Services become non-infringing; or(d)terminate this Agreement and refund any fees paid by Customer to Company for the remainder of the term then in effect, and upon such termination, Customer will immediately cease all use of the Documentation and Services. Notwithstanding the foregoing, Company shall have no obligation under this Section 10.1 or otherwise with respect to any third-party claim based upon (i)any use of the Services not in accordance with this Agreement or as specified in the Documentation; (ii)any use of the Services in combination with other products; equipment,software or data not supplied by Company;or (iii) any modification of the Services by any person other than Company or its authorized agents. This Section 10.2 states the sole and exclusive remedy of Company and the entire liability of Customer, and any of the officers, directors, employees, shareholders, contractors or representatives of Customer, for the claims and actions described in this Section 10.2. Notwithstanding the foregoing, Company shall not be liable for Customer's insertion or use of any self-created or third party content which violates any applicable laws, rule and regulations. 10.3 Procedure.The indemnifying party's obligations as set forth above are expressly conditioned upon each of the foregoing: (a)the indemnified party shall promptly notify the indemnifying party in writing of any threatened or actual claim or suit, provided, however, that failure to give prompt notice will not relieve the indemnifying party of any liability hereunder(except to the extent the indemnifying party has suffered actual material prejudice by such failure); (b) the indemnifying party shall have sole control of the defense or settlement of any claim or suit; and (c) the indemnified party shall (at the indemnifying party's expense) reasonably cooperate with the indemnifying party to facilitate the settlement or defense of any claim or suit. 11. TERM AND TERMINATION 11.1 Term.This Agreement shall be for the term(the"Initial Term")of any Services purchased pursuant to a Price Quote for Services and shall thereafter renew for one (1)year terms (each a "Renewal Term") upon the mutual written consent of the parties prior to the expiration of the then-current term. The Initial Term and the Renewal Terms (if any) are, collectively, the "Term." Customer only has the right to use the Services during the Term. • 11.2 Termination. Either party may terminate this Agreement immediately upon written notice to the other party if the other party materially breaches this Agreement and fails to cure such breach within thirty (30)days after its receipt of written notice of such breach. 11.3 Effect of Termination. Immediately upon termination of this Agreement, (a)the licenses granted to either party shall immediately terminate; and (b)Company shall cease to make available and Customer shall cease to use the Services. Termination shall not relieve Customer's obligation to pay all charges accrued through the effective date of termination. Sections 3.3, 6.4, 7,8, 9, 10, 11.3, 12 and 13 will survive the expiration or termination of this Agreement. 12. GOVERNING LAW AND VENUE If Customer is a public school or district or other state or municipal governmental agency (a."Public School"), this Agreement and any action related thereto will be governed and interpreted by and under the laws of the state where the Customer resides, excluding any conflict of law principles. Otherwise, this Agreement will be governed by the laws of the state of Arizona. Each party expressly waives any objection that it may have based on improper venue or forum non- conveniens to the conduct of any such suit or action in any state or federal court located in the state where the Customer resides, if Customer is a Public School. If Customer is not a Public School, such venue shall be state or federal court located in Phoenix, Arizona. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. MISCELLANEOUS. 13.1 Press Releases. If requested by Company, Customer agrees to cooperate in good faith with Company on a press release following execution of this Agreement and agrees to allow Company to list (using Customer's name and/or Customer's logo, as determined by Company)Customer as a customer on Company's website or in documentation to be shared electronically or in print. 13.2 Independent Contractors.The parties are independent contractors and nothing in this Agreement shall be deemed to create the relationship of partners,joint venturers,employer-employee, master-servant, or franchisor-franchisee between the parties. Neither party is, or will hold itself out to be, an agent of the other party. Neither party is authorized to enter into any contractual commitment on behalf of the other party. 13.3 No Additional Terms and Order of Precedence.These Terms and Conditions,together with the attached Price Quote for.Services(s),contain the entire agreement of the parties and supersedes any prior or present understanding or communications regarding its subject matter, and may only be amended in a writing signed by both parties. In the event of a conflict between the terms in the Price Quote for Services and the Agreement,the terms contained in this Agreement shall control unless otherwise expressly stated in the Price Quote for Services. 13.4 Severability. In the event any provision of this Agreement is held by a court of law or other governmental agency to be void or unenforceable, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remaining provisions shall remain in full force and effect. 13.5 Assignment. Neither party shall assign this Agreement without the other party's prior written consent,which shall not be unreasonably withheld. Notwithstanding the foregoing, either party may assign this Agreement to its successor pursuant to a merger,consolidation or sale of substantially all of its business or assets related to this Agreement. This Agreement shall be binding upon and inure to the benefit of the parties and their successors and permitted assigns. 13.6 Force Majeure. Neither party shall be deemed to be in breach of this Agreement for any failure or delay in performance (other than payment of Fees due hereunder) caused by reasons beyond its reasonable control, including, but not limited to, acts of God, pandemics, epidemics,war,terrorism,strikes, failure of suppliers,fires, floods or earthquakes. 13.7 Export.The use of the Services is subject to U.S.export control laws and may be subject to similar regulations in other countries. Customer agrees to comply with all such laws. 13.8 Notice.Any notice given under this Agreement shall be in writing and shall be sent via priority mail by a nationally recognized express delivery service addressed to the address and the signatory set forth in the Price Quote for Services set forth above. NO GUARANTY OF OUTCOMES. INSTRUCTIONAL SERVICES. Exceptional Student Services. If Customer is a public entity receiving federal funds, Customer is considered the"Local Educational Agency,"or LEA, as that term is defined by Applicable Law, and Customer is solely responsible for the provision of any special education services.Company's services do not include (i) providing special education services; (ii) creating, implementing or providing Individualized Education Programs ("IEP"); (iii) providing reasonable accommodations or any services to insure compliance with the Individuals with Disabilities Education Act (IDEA), the Americans with Disabilities Act (ADA), section 504 of the Rehabilitation Act, or any other Applicable Law. Reporting and Withdrawal of Students/End Users. Where reporting of student results is required by Applicable Law, Customer shall be responsible for ensuring the accuracy and completeness of student information used, relied upon, or reported by Company in providing the Instructional Services, and shall promptly notify Company if any student information needs to be corrected or updated. Upon notice to Customer, Company reserves the right to withdraw End User access for students who fail to take required tests or maintain adequate progress. 6. PROFESSIONAL DEVELOPMENT/ PROFESSIONAL LEARNING SERVICES. If included in the Quote, Company may also provide Professional Development / Professional Learning Services which may include training and instruction to Customer's instructors and administrators on the implementation and use of the Services,curriculum workshops,use of student information to monitor progress, and other related topics as may be specified in the Quote. Customer shall be solely responsible for providing necessary equipment and secure Internet access to facilitate these Services, and for scheduling these Services at least two (2)weeks in advance. a. Charges for Professional Development/Professional Learning Services. All utility Permits for high pressure pipelines (generally 60 PSI or greater), whether pertaining to controlled access or non-controlled access installations, should contain the following additional information in the description of the permit, -diameter -wall thickness -material specification -minimum yield strength -maximum operation pressure of the pipeline 2.
