Adjourn. ;i PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created.under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special'and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. Duane Peters Steve Aldrich County Judge Chuck Konderla Commissioner, Precinct 2 Attest: G Karen McQueen County Clerk Commissioner, Precinct 1 6��- Nancy Berry Commissioner, Precinct 3 MINUTES J U N E 6, 2023 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue,, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, June 6, 2023 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1, Chuck Konderla, Commissioner of Precinct2; Nancy Berry, Commissioner of Precinct 3; Wanda J. Watson, Commissioner of Precinct 4; Karen McQueen, County Clerk, Absent. The attached sheets contain the names of the citizens and officials that were -in attendance. 1. Invocation and Pledge of Allegiance • U.S. and. Texas Flag - Commissioner Konderla 2. Call for Citizen input and/or concerns Amy Cahill discussed previous statements made by General Counsel Bruce Erratt. She explained to the Court that the County maintenance sign was allegedly moved on Greenleaf Lane on multiple occasions. Ms. Cahill detailed the timeline of when the residents of Greenleaf Lane sought County involvement into the issues. Brian Cahill made statements detailing the center of the creek on Greenleaf Lane. He then read portions of Dr. Lyle's analysis to support his claims. Mr. Cahill asked the Court if they were to deny the opinion of Dr. Lyle, then to provide a second opinion. James Jones reiterated the previous weeks statements. He claimed that the County brought in a load of material that was used on the culvert. He noted a meeting in 2019 between County personnel and residents of Greenleaf Lane where he alleges a County employee acknowledged that the County had maintained the culverts. Mr. Jones also claimed that Dr. Mason, one of the first residents of Greenleaf Lane, remembered the County fixing the road and alleged there were two eyewitness accounts of the County maintaining. He concluded by questioning how the County could refute the eyewitness accounts without documentation due to a five year record retention policy. Ann Jones explained she had been a resident since 1992. She asked the Court if they had any record of the developers installing two sets of culverts. She states that it is the County's responsibility to maintain the accepted portion of the road` and acknowledges it is the resident's responsibility to maintain the private portion. She also reiterates that the culvert is unsafe. Lori Cook refuted the idea that the creek had moved. She provided visual aids and explained why it was immoveable. She alleged that the iron stake was not moved. She then asked why the County would assume the creek moved. Charlotte-Hamiter explained that she was a 23-year resident as -well as a realtor. She ,reiterated statements made by the General Counsel and County Judge about maintenance on the county road being illegal. Ms. Hamiter then referenced information found in records requests made in 2019 to support her assertion that there was no way one county employee could have done maintenance on a road without supervisors and officials being aware. Ms. Hamiter used this claim to conclude that the Road and Bridge Department as a whole worked on the road. She then reiterated the need to read Dr. Lyle's report. Karen VonGonten addressed comments,made by General Counsel from the previous weeks meeting and acknowledged what the County has done to assist the residents of Greenleaf Lane. Ms. VonGonten agrees that the roadway across the creek is private. She continued to explain that the .County is blocking efforts by claiming culverts are on private land, affecting the resident's ability to obtain grant,funding. She concluded by requesting that the Court take time to review the additional information provided. 3. Presentations and/or Discussions • Presentation by Chadd Caperton, County Administrator/County Extension Agent - Ag & Natural Resources, to Commissioner Chuck Konderla on successfully completing Commissioners Court Leadership Academy - Session 1. County Administrator/County Extension Agent - Ag & Natural Resources Chadd Caperton read a short presentation regarding the VG Young Institute's Commissioners Court Leadership Academy (CCLA). He stated that the CCLA provides four sessions over a two year period to Commissioners Court members to discuss complex leadership topics. Mr. Capperton then presented Commission Konderla with his certificate of completion for Session 1 of the -Commissioners Court Leadership Academy. Commissioner Aldrich extended his congratulations to Commissioner Konderla and stated that he is proud to be part of Class 9 and hopes Commissioner Konderla is enjoying being part of Class 10. Commissioner Berry concurred and thanked both the Agrilife Extension Center and the VG Young] nstitute for the program. Commissioner Konderla stated that the VG Young Institute team is top notch and the first session was fantastic. Judge Peters congratulated Commissioner Konderla and discussed how he enjoyed being part of Class 2, also noting that late Commissioner Kenny Mallard was part of the first class. Commissioner Watson then extended her congratulations. Consider and take action on agenda items: 4 - 21 4. Chief Information Officer Eric Caldwell informed the Commissioners Court that by approving the I nterlocal Agreement with the City of Bryan, Bryan Texas Utilities, that covers the initial portion of a much larger project, the County is obligating itself to supporting the project through its completion. Commissioner Berry stated it is a shame that Rock Prairie Behavioral Health Center left town. Commissioner Aldrich added that his understanding is that the entity went out of business and he then questioned whether this item is related to back property taxes. Auditor Katie Conner explained that this is the Local Provider Participation Fund (LPPF) which she considers to be a tax. Ms. Conner added that the LPPF has not been able to collect. Judge. Peters further clarified that this is not tax money but money that Rock Prairie Behavioral Health Center should have paid to the LPPF. At this point, the County Judge announced the Court would consider items 22 through 26 and then return to convene into Executive Session. Having considered the previously noted agenda items, Civil Counsel Bruce Erratt submitted a written determination that deliberation in an open meeting would have a detrimental effect on the position of the Court in negotiations with a third party. A motion was offered by Commissioner Berry to meet in closed Executive Session as per Mr. Erratt's recommendation. The motion was seconded by Commissioner Konderla and motion passed unanimously. At 10:24 a.m. the County Judge announced the meeting closed to the public, so the Court could convene into Executive Session as stated above. The Court acknowledged receipt of the 2022-2023 Budget to Actuals by Fund and Contingency Fund Budget to Actuals as of May 31, 2023. 23. Juvenile director's report on detention population. Juvenile Director Linda Ricketson reported there are 40 juveniles in the detention center, 30 are male and 10 are female, and 28 have electronic monitors. J 24. Sheriff's report on inmate population. Sheriff Wayne Dicky stated there were 724 inmates in jail, 618 inmates are male, 106 are female and 61 have electronic monitors. 25. Announcement of interest items and possible future agenda topics. Commissioner Aldrich congratulated Juvenile Services on the new hires and commended the Sheriff's Office on the job fair. He then congratulated Sgt. Re on receiving the Officer of the Year award. 26. The City will make reasonable efforts to provide an alternative location for relocation upon submission of an application for a Right -of -Way Work Permit in the ordinary course, but County shall comply with the notice to remove its personal property as instructed, regardless of the disposition of its application. 5.2 Cooperation in Relocations., County and the City shall reasonably cooperate to assure continuity of service during any required relocation of the County Facilities. page 3 5.3 Recovery of Relocation Cost from Third Parties. Nothing in this section shall be construed to prevent County from recovering the cost of removal or relocation of the County Facilities from a nongovernmental third party requesting the removal or relocation. 5.4 Consequences of Failure to Remove or Relocate. If County fails to remove or relocate the County Facilities to the satisfaction of the City Engineer or his designee within 120 days after the date of notice or has not diligently commenced such removal as directed by the City, the City may remove the County Facilities at the expense of County. 5.5 Duty of Care When Removing or Relocating. Any damage to the public rights -of -way, improvements, or BTU/City real or personal property, or the real or personal property of third parties that County causes in the removal or relocation of the County Facilities shall be promptly repaired or replaced at County's sole expense. 5.6 City Repair or Relocation; Reimbursement. If County does not complete or diligently pursue adequate repairs within thirty (30) days of receiving written notice or complete relocation within the time required in this Agreement, the City may make all reasonable and necessary repairs or perform any facilities relocation on behalf of County at County's expense. 5.7 No Impact on Other Relocation Obligations. Nothing in this Agreement shall be interpreted to limit the City's rights under City Code or state statutory or common law regarding relocation of any of County's facilities, including the County Facilities. 6. MISCELLANEOUS PROVISIONS 6.1 Governing Law; Jurisdiction and Venue. The validity, performance and all matters relating to the effect of this Agreement and any amendment hereto shall be governed by the laws (without reference to choice of law) of the State of Texas. All obligations of the parties created hereunder shall be performed in Brazos County, Texas. In the event any cause of action is brought directly or indirectly by reason of this Agreement, the courts of Brazos County, Texas, shall have exclusive jurisdiction and venue over the dispute. 6.2 Change of Law. If any legislative, regulatory, judicial or other governmental decision, order, determination or action, or any change in applicable law affects any provision of this Agreement, the rights or obligations of a Party hereunder, or the ability of a Party to perform any provision of this Agreement, the Parties shall promptly renegotiate in good faith and amend in writing this Agreement in order to make such mutually acceptable revisions to this Agreement as may be required in order to conform the Agreement to applicable law. 6.3 Amendments Only in Writing. Notwithstanding other provisions of this Agreement, the terms and conditions of this Agreement shall not be amended, changed, or altered except in writing signed by authorized representatives of both Parties. 6.4 Incorporation of Recitals and Appendices. The recitals stated above are incorporated into and constitute part of this Agreement. 6.5 No Third -Party Beneficiaries. The terms and provisions of this Agreement are intended to be for the benefit of the BTU and County. Except as provided herein, nothing in this Agreement, express or implied, is intended to confer upon any other person or entity, other than the Parties, any benefits, rights, or remedies under or by reason of this Agreement. 7. FORCE MAJEURE If either party hereto is prevented in the performance of any act required hereunder by reason of act of God, fire, flood, or other natural disaster, malicious injury, strikes, lock -outs, or other labor troubles, riots, insurrection, war, terrorism or other reason of like nature not the fault of the party in performing under this page 4 Agreement, then performance of such act shall be excused for the period of the delay and the period of the performance of any such act shall be extended for a period equivalent to the period of such delay. 8. INTEREST ON PAST -DUE AMOUNTS In the event County fails to pay an amount due under the terms of this Agreement within the period of time set forth for payment, interest shall accrue on the unpaid balance at the rate of one and one-half percent (1.50%) per month (or such lesser rate as may be allowed by law) for each month starting from the date the payment is due until such time as payment is received. Any and all costs associated with off -campus visits or furloughs will be paid'by the parent or guardian. C Initiate and documert meetings and attenipted meetings among Service Provider, JuvenileProbation staff and contracted children for the purpose of justifying continued placement. Justification shall be done.at a minimum of every thirty (30) days. A copy of the placement justification shall be submitted to Juvenile Probation within ten (10) working days. D. Ensure that the child's parent(s) or.legal guardian(s) and Juvenile Probation are notified if a. child In placement makes an unauthorized departure, becomes seriously ill, or.s involved in a serious accident. Juvenile Probation and parents will be informed immediately if during working hours. After normal working hours, every effort will be made to notify juvenile Probation and the parents,l'n the event of serious illness or accident and for any required.follow-up care Service Provider shall be responsible for having the child transported to the nearest hospital or emergency care facility. Juvenile Probation, at its discretion, may use other means or additional measures to evaluate the performance of Service Provider in fulfilling the terms and conditions of the Agreement. A., juvenile Probation shall evaluate. Service Provider's performance under this Agreement according to the following specific performance goals for Service Provider: 1. Ensure children complete residential placement. 2. Prevent re=referrals of -children durinmwong.release from residential .placement. 3, Ensure children .move. down in their Level of Care (if applicable) as they progres$ in the, treatment program. These reports will be reviewed by Juvenile Probation in order to monitor Service Provider for programmatic compliance with this Agreement. COMPENSATION 5.01 For, and in consideration of the above -mentioned services, Juvenile Probation agrees to pay the Service Provider not more than the per diem rates based upon the Level of Care provided,.inaccordance with the -schedule of rates set by the Texas Department of Family and Protective: Services. The daily rate shall be paid to the Service Provider for each day a child is in residential treatment. pursuant to billing and paying. procedures agreed upon by Juvenile Probation and Service Provider. 5.02 Psychiatric services will be provided to the child on an as needed .basis and shall be billed to. Juvenile Probation: An initial psychiatric/psychological evaluation that has been conducted within the last 12 months is.required prior to acceptance into the program. 5.03 Service Provider will submit an invoice for payment of services to Juvenile Probation on a monthly basis. Service Provider -has an outside audit completed on a yearly basis which specifies receipt and expenditure of State funds. Service Provider shall forward a copy of the annual outside audit to Juvenile -Probation following the end of the fiscal year. 2 If Service Provider does not obtain an annual outside audit, then Service Provider shall provide a separate accounting of funds received from Juvenile Probation in whole or in, part paid from state funds. The accounting shall clearly list the state funds .received from. Juvenile Probation and account for expenditures of said funds including documentation of appropriate expenditures as well as the year'stax forms and documentation The accounting shall be provided to Juvenile Probation .thirty (30) days prior to the renewal date of the contract. 5.06 It is understood and agreed by Service Provider that this Agreement is funded in whole or in part with grant or state funds and shall be subject to termination without penalty, either in Whole or in part, if funds. are not available or are not appropriated by the Texas Legislature. 5.07 In the event that State Reimbursement Rates are increased during the. duration of terms of this Contract, the new rates will become effective reflecting those of the increase. 5.08 Service Provider agrees to make claims for payment or direct any payment disputes to juvenile Probation's Fiscal Officer. Placement of children by juvenile Probation maybe denied if space limitations require as determined by the Facility. 6.02. A child will onlybe: accepted in the Facility .upon .receipt by the Administrator of a proper order from the juvenile Court of Brazos County and other documentation required by :Service Provider. -6:03 Each child placed in the Facility shall be required -to follow the rules and regulations of -conduct.as fixed and determined by the Administrator and staff of'the Facility. 6.04 if a child is accepted by the -Facility from juvenile Probation and. the child thereafter -is determined to be, in the sole judgment of the Administrator, mentally or physically unfit, dangerous, or unmanageable, unsuitable for .the program or combination .of such conditions or characteristics or whose mental or physical conduct would or might endanger the .other occupants of the Facility, then the Administrator shall notify juvenile Probation. of .Brazos County of this determination. It will be the responsibility of juvenile Probation to provide for'the transportation for the removal of the child and shall be removed as soon as :practicable, .but in no event longer than. seven (7) working days after notification. .6.05 Service Provider, agrees that the Facility will accept any child who .qualifies, without regard to such child's religion, race, creed, sex or national origin. 6:06 It is understood -and agreed.by the parties that children placed in the Facility under proper orders of the appropriate juvenile Court shall not be discharged from the Facility until the Administrator of the Facility receives a written authorization from the juvenile Probation Department .that originally authorized the placement of the child. . 6.07 It is further understood and agreed by the parties that children placed in the Facility may be released to the juvenile Probation or other appropriate authority of Brazos County pursuant to: (a) Section 6,04 of this Contractor, (b) an Order of Release signed by the judge -of the juvenile Court of Brazos County. 6.08 Itis further understood and agreed by the parties that nothing in this contract shall be. .construed to permit Brazos County, its agents, servants, or employees .in any way to manage, :control, director instruct Service Provider, its director,. officers, employees, agents, -shareholders and designees in any manner respecting its work, duties ,or functions pertaining to the maintenance and operation of the Facility. DUTY TO REPORT 9.01 AHegations-Occurring lnside.the.Facility... As required by Texas Family Code Chapter 261 and Title 37 Texas Administrative Code Chapter 358, or successor provisions, Service Provider, and any of its.employees,nterns, volunteers or contractors, shall report any allegation or incident of abuse, neglect, exploitation, death or other serious incident involving a_juvenile in a juvenile justice facility or juvenile justice program in fhe .following manner: A. For all allegations and -incidents except.sexual abuse and serious physical abuse: within uventy-four (24)Iours from the time the allegation is made, to the following: 1. An allegation or incident includes the witnessing, .learning, or receiving an oral or written statement from an. alleged victim or other person with reasonable belief or knowledge as to the occurrence or an alleged abuse, neglect, exploitation, death or other serious incident involving a child in a juvenile justice facility or juvenile justice program B. For the purpose of this .Agreement, the term "criminal history" shall include:. (1) current felony or misdemeanor probation or parole; (2) a felony conviction or deferred adjudication within the past ten years; or (3) a jailable misdemeanor conviction.or deferred adjudication within the -past five years. 11.0.1 Service Provider agrees and understands itltas an affirmative and ongoing duty to ascertain and disclose to juvenile Probation any and all of the foregoing information as to any individual, whether a prospective or existing employee, intern; volunteer, subcontractor, :agent and/or consultant of the Service Provider, prior to placing that.individual in.a position that involves direct unsupervised contact with juveitilos-in a juvenile justice facility or juvenile justice program. That it is qualified to do business in the State of Texas; that it holdall necessary licenses -and staff certifications to provide the type (s) of services being contracted. for; that it is in compliance with.all statutory and regulatory requirements for the operations of its business and that there are no taxes due and owing to the State of Texas, or any political subdivision thereof. C. The Service Agency shall instrucf his insurance agent or carrier to :furnish to the County a Certificate of -Insurance: attesting to the issuance of the following parts of this section. Please note that such Certificates of :insurance and must be issued and then approved by Brazos County Risk Management. Professional Liability (Errors and Omissions) Insurance appropriate to the services being provided, with limit no less than $1,000,000 per occurrence or claim, $2,000,000 aggregate. If the Service Agency maintains broader coverage and/or higher limits than the minimums shown above, Brazos County requires and shall be entitled to the broader coverage and/or the higher limits maintained bythe Provider. Any available insurance proceeds'm excess of the specified minimum limits -of insurance and coverage shall be. available to Brazos County. 3. Abuse and molestation insurance as an endorsement to the pxofessional.Iiability policy with coverage for damages arising out -of actual or threatened physical abuse, mental injury, sexual molestation, negligent: hiring, employment, supervision, investigation, reporting,to proper authorities, and retention of any person for whom the Service Agency is responsible including but not limited to Service Agency and Service Agency's employees and volunteers. Policy endorsement's definition of an insured shall include the Service Agency, and the Service Agency's employees and volunteers. Coverage shall be written on an occurrence basis in an amount of not less than $1,000,000 per occurrence. Any annual aggregate limit shall not be less than $2,000,000. These Iimits shall be exclusive to this required coverage. Incidents related to or arising out of physical abuse, mental injury, or sexual molestation, whether committed by one or more individuals, and irrespective of the number of incidents or injuries or the time period or area over which the incidents or injuries occur, shall be treated as a separate occurrence for each victim. Coverage shall include the cost of defense and the cost of defense shall be provided outside the coverage limit. 4. PAYMENT Customer agrees to pay all undisputed invoices and undisputed portions of a disputed invoice in full within thirty (30) days from the date of each invoice. Once payment has been received, no refunds for Recurring Services are available. 1 JUStFO1A j Order Page 5 of 14 (rev. 5/2212023) SERVICE PACKAGES GENERAL ASSUMPTIONS The following assumptions serve as the basis for the Service Package(s) reflected below. Any service or activity not described below is not included in the scope of services to be provided. Variations to the following may impact the Service Package's cost and/or schedule justifying a change order. JustFOINs completion of a Deliverable to Customer shall constitute that JustFOIA has conducted its own review and believes it meets Customer's requirements. Customer shall then have the right to conduct its own review of the Deliverable as Customer deems necessary. If Customer, in its reasonable discretion, determines that any submitted Deliverable does not meet the agreed upon expectations, Customer shall have five (5) business days after justFOIA`s submission to give written notice to JustFOIA specifying the deficiencies in reasonable detail. JustFOIA shall use reasonable efforts to promptly resolve any such deficiencies. Upon resolution of any such deficiencies, JustFOIA shall resubmit the Deliverable for review as set forth above. Notwithstanding the foregoing, if Customer fails to reject any Deliverable within five (5) business days, such Deliverable shall be deemed accepted. If either party identifies a business issue during the project, JustFOIA and Customer mustjointly establish a plan to resolve the issues with potential impact analysis of timeline and budget within five (5) business days of identification. Any necessary business decision resulting from the identified business issues must be made by Customer within five (5) business days from request. Customer will maintain primary contacts and project staff for the duration of the project, as a change in staff may result in a change order for time spent byJustFOIA on retraining, reeducating, or changes in direction. ■ Customer will ensure that all Customer's personnel who may be necessary or appropriate for the successful performance of the services will, on reasonable notice: (i) be available to assist justFOIA personnel by answering business, technical and operational questions and providing requested documents, guidelines, and procedures in a timely manner, (ii) participate in the services as reasonably necessary for performance under this Order, and (III) be available to assist justF01A with any other activities or tasks required to complete the services in accordance with this Order. ■ Note that all services contracted for, must be done as part of the initial implementation. For the avoidance of doubt, if there are services or portions thereof that the Customer does not elect to implement as part of the initial implementation, such services are forfeited. All services, unless otherwise noted, will be performed remotely. JustFOIA warrants that (i) the Solution shall perform materially in accordance with any specifications or descriptions set forth herein, (ii) subject to exceptions related to non JustF01A software, the functionality of the Solution will not be materially decreased du ring the term of this Order, pii)JustFOIA will use industry standard measures to not transmit malicious code and the like rMalicious Code") to Customer, provided that if Customer or a user uploads a file containing Malicious Code into the Solution Customer shall be liable for the same; and (iv) to JustFOIA's knowledge, Customer's use of the Solution in strict compliance with the Order shall not infringe or violate the intellectual property rights of any third -party. JustFOIA also represents that it uses E-Verify to verify the work authorization of all newly hired employees. The warranties herein are void to the extent of any Customerfailure to perform In accordance with the Order and any licensing terms. JustFOIA shall not be responsible for any decrease in functionality or other issues that are the result of (i) the Solution not being used in accordance with the Order, (ii) the Solution being modified or altered by or on behalf of Customer without JustFOWs written permission, or (iii) Internet or network connections, third -party software, streaming services, computers, equipment and/or devices not supplied by JustFOIA. Customer Warranties. Customer warrants that JustFOIA's use of Customer data and/oranyotheritem provided by Customer, in accordance with the Orderwill not infringe orviolate the intellectual property or other rights of any third -party. Customer warrants that it shall have all rights and licenses of third -parties necessary or appropriate for JustFOIA to access. or use such third -party products and agrees to produce evidence of such rights and licenses upon the reasonable request of JustFOIA. LICENSED SOFTWARE AND SERVICES During the term of the Order and any applicable addenda, JustFOIA grants to Customer and. Customer accepts a non -transferable, revocable, non-exclusive and . . limited license to use the Solution as defined herein subject to the terms, obligations and restrictions set forth in the Order. All rights to the Solution not granted to Customer are reserved bylustFOIA. CUSTOMER RESPONSIBILITIES Files and other content thatJustFOIA may provide to Customer may be protected by intellectual property rights of others. Customerwill not copy, upload, download, or share files unless Customer has the right to do so. Customer, notJustFOIA, will be fully responsible and liable for what is copied, shared, uploaded, downloaded or otherwise used while using the Solution. Customer will not upload malware or any other malicious software to the Solution. Customer is also responsible for the timely and accurate fulfillment of records requests, and ensuringthatno classified, confidential, or illegal Information is provided to or through the Solution. ACCEPTABLE USE POLICY Customer agrees that it will not misuse or attempt to misuse the Solution, and that the Solution will only be used in a manner consistent with the Order. Customer may only upload public and non -confidential data to the Solution. Customer acknowledges and agrees that all use of the Solution hosted on the Azure Government Cloud is subject to the Microsoft terms and conditions surrounding the same. JustFOIA's obligations and liability and Customer's rights are limited by the same. Further, JustFOlA neither accepts liability for, nor warrants the functionality, utility, availability, reliability or accuracy of, third-partysoftware orthird-party, services. )UStFO1A I Order (rev. 5/22/2023) INFORMATION & PRIVACY By using the Solution, Customer will be providing JustFOIA with information. Customer retains full ownership to its information, and JustFOIA does not assert ownership. These Assumptions, Terms & Conditions do not grant JustFOIA any rights to Customer's information or intellectual property except forthe limited rights that are needed to run the Solution, as explained below. JustFOIA may need Customer's permission to handle its information as directed and required for the functioning of the Solution. An example is hosting files or sharing them. Customer hereby grants a license to JustFOIA to use and process such information solely to the extent necessary to fulfill JustFOIA's obligations. This license also extends to trusted third parties justFOIAworks with to do the same. Customer is solely responsible for its conduct; the content of its files, and its communications with others while using the Solution. For example, it is Customer's responsibility to ensure that it has the rights or permission needed to comply with these Assumptions, Terms & Conditions. INFORMATION SHARING AND DISCLOSURE JustFOIA may use certain trusted third -party companies and individuals to help JustFOlA provide, analyze, and improve the Solution (including but not limited to data storage, maintenance services, database management web anaiytics, payment processing, and improvement of the Solution's features). These third parties may have access to Customer's information only for purposes of performing these tasks on JustFOWs behalf, and under obligations similar to those in JustFOlA's privacy policy. The parties acknowledge that in the course of the relationship between Customer and justFOIA, each may receive Confidential Information (as defined below) of the other party. Any and all Confidential Information in any form or media obtained by a Recipient (defined below) shall he held in confidence and shall not be copied, reproduced, or disclosed to third parties for any purpose whatsoever except as necessary in connection with the performance of the applicable partiys obligations. Each Recipient further acknowledges that itshail not use such Confidential Information for any purposes other than in connection with the activities contemplated by the Order. All JustFOIA personnel assigned by JustFOIA to Customer will sign appropriate forms of confidentiality agreements on or prior to their start date. "Confidential Information" means any and all confidential information of a - party disclosed to the other party, including, but not limited to, research, development, proprietary software, technical information, techniques, know- how, trade secrets, processes, customers, employees, consultants, pricing information and financial and business information, plans and systems. Confidential Information shall not include information which: (I) was known to the party receiving the information (the "Recipient9 prior to the time of disclosure by the other party (the "Disclosing Party"); (il at the time of disclosure is generally available to the public or after disclosure becomes generally available to the public through no breach of the Order, these Assumptions, Terms & Conditions or other wrongful act by the Recipient; Oil) was lawfully received by Recipientfrom a third -party without any obligation of confidentiality; or (iv) is required to be disclosed by law or order of a court of competent jurisdiction or regulatory authority. The obligations set forth in this Section shall survive termination of the Order for a period of three (3) years thereafter. INTELLECTUAL PROPERTY The Solution and any services surrounding the same herein are not considered "Works made for Hire" or otherwise a grant of any right title or interest. Except the license grant herein, all rights to the Solution and all services surrounding the same are and remain with JustFOIA. Customer shall retain, a non-exclusive, royalty -free, world-wide, perpetual license to use the outputs generated by Page 9 of 14 Solution and stored external to Solution by Customer during the Subscription Period. i Except for the license grants hereunder, as between Customer and JustFOIA, Customer retains all rights to Customer data and information. ACCOUNT SECURITY Customer is responsible for safeguarding the passwords thatare used to access the Solution and agrees not to disclose passwords to any third -party. Customer is responsible for any activity using its account, whether or notit authorized that activity. Customer will immediately notify JustFOIA of any unauthorized use of Customer's account Customer acknowledges that if it wishes to protect its transmission of data orfiles to the Solution, it is Customer's responsibility to use a secure network to communicate with the Solution. DATA RETENTION & ACCESS JustFOIA will retain Customer's information for as long as its account is active or as needed to provide the Solution. if customer wishes to cancel its account or request that JustFOIA no longer use Customer's information to provide the Solution, Customer may request that justFOIA delete its account. JustFOIA may retain and use Customer's information as necessary to comply with legal obligations, resolve disputes, and enforce mutual agreements. Consistent with these requirements, JustFOIA will try to delete Customer's information quickly upon request. Please note, however, that there might be latency in deleting information from JustFOIA servers and backed -up versions might exist after deletion. in addition, JustFOIA does not delete Customer information from its server's files that Customer has in common withother users. Customer understands and agrees that once the Customer instance of the Solution is decommissioned justFOIA may not be able to provide Customer a copy of the data included therein. Customer agrees that it will back up all Customer information that it requires. JustFOIA may decommission any environment after 45 days of Customer not maintaining an active subscription to the applicable environment, including without limitation, as a result of non -renewal and/or non-payment NON JUSTFOIA APPLICATIONS AND PROVIDERS The Solution may contain links to third -party websites or resources. JustFOIA does not endorse and is not responsible or liable for third -party website, Including, without limitation, availability, accuracy, the related content, products, or services. Customer is solely responsible for its use of any such websites or resources. Acquisition of Non-IustFOIA Products and Services. JustFOIA or third parties may from time to time make available to Customer -third -party products orservices, Including but not limited to non JustFOIA applications and Implementation, customization and other consulting services. Such products and services shall be clearly designated as provided by a third -parry in the applicable Order. Any acquisition by Customer of such non JustFOIA products or services, and any exchange of data between Customer and any non-JustFOIA provider, is solely between Customer and the applicable non JustFOIA provider. JustFOIA does not warrant or support products or services not provided by JustFOIA, whether or notthey are designated byJustFOIA as "Certified" (as thatterm is defined below) or otherwise, except as specified in the Order and/or applicable addenda. No purchase of non JustFOIA products or services is required to use the Solution except a supported computing device, operating system, web browser and Internet connection, all of which Customer is solely responsible for providing in accordance with the specifications that may be provided by JustFOlA from time to time. For purposes of the Order, "Certified" shall describe applications and other products developed and sold by third parties that JustFOiA has verified interoperate with the Solution. Non-IustFOIA Applications and Customer information. if Customer installs or enables non-JustFOIA applications for use with the Solution, Customer acknowledges that JustFOIA may allow providers of those non JustFOIA applications to access Customer information as required for the Interoperation of such non JustFOIA applications with the Solution. JustFOIA shall not be responsible for any disclosure, modification or deletion of Customer information resulting from any such access by non-JustFOIA 1u5tFO1A I Order (rev. 5/222023) application and/or providers. The Solution shall allow Customer to restrict such access by restricting users from installing or enabling such non-JustFOIA applications for use with the Solution. JustFOIA is not responsible for and Customer agrees to hold JustFOIA harmless from and indemnify JustFOIA against any third -party claims or liability owed to third parties resulting from any unauthorized use or disclosure or any damage or loss of Customer information as a result of use of non JustFOIA applications or access to Customer information by non-JustFOIA application and/or providers. Integration with Non-luSYFOIA Services. The Solution may contain features designed to interoperate with non-JustFOIA applications (eg., Laserfiche, Adobe, Authorize .net, or PayPal applications). To use such features, Customer may be required to obtain access to such non-JustFOIA applications from their providers. If the provider of any such non-JustFOIA application ceases to make the non JustFOIA application available for interoperation with the corresponding Solution features on reasonable terms, JustFOIA may cease providing such features without entiding Customer to any refund, credit, or other compensation, unless the provider of such non-JustFOIA application provides for a refund of such fees. INDEMNIFICATION & LIMITATION OF LIABILITY (a) General indemnification. JustFOIA ("Indemnifying Party") shall indemnify, defend and hold the Customer harmless against any loss, damage or costs (including reasonable attorneys' fees) in connection with third -party claims, demands, suits, or proceedings ("Claims') to the extent caused by the Indemnifying Party and related to: • Bodily injury or personal property damage arisingout ofthe Indemnifying Party's performance within the scope of its responsibilities under the Order, • A breach of the Indemnifying Party's obligations with respect to confidentiality, • A breach by the Indemnifying Parry of applicable laws, or • The grossly negligent acts, or willful misconduct of the indemnifying Party. (b) Intellectual Property Indemnification. JustFOIA shall defend, indemnify, and hold Customer harmless against Claims made or brought against Customer by a third -party alleging thatthe use of the Solution, as provided to Customer under the applicable Order hereto and used in accordance with the Order and relevant documentation, infringes any third- partyrs intellectual property rights. Notwithstanding the foregoing, JustFOIA shall not be required to indemnify Customer to the extent the alleged infringement: (x) is based on information or requirements furnished by Customer, (A is the result of a modification made by a party other than JustFOIA, or (z) arises from use of the Solution in combination with any other product or service not provided or approved in writing byJustFOIA. If Customer is enjoined from using the Solution, or JustFOIA reasonably believes that Customer will be so enjoined, JustFOlA shall have the right, at its sole option, to obtain for Customer the right to continue use of the Solution or to replace or modify the same so that it is no longer infringing. If neither of the foregoing options is reasonably available to JustFOIA, then the Order and/or applicable addendum may be terminated at either party's option, and JustFOlKs sole liability shall be subject to the limitation of liability provided in this Section. (c) Limitation of Liability. () IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, EXEMPLARY, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST REVENUES, PROFITS, SAVINGS OR BUSINESS) OR LOSS OF RECORDS OR DATA, WHETHER OR NOT THE POSSIBILITY OF SUCH DAMAGES HAS BEEN DISCLOSED TO SUCH PARTY IN ADVANCE OR COULD HAVE BEEN REASONABLY FORESEEN BY SUCH PARTY, AND WHETHER IN AN ACTION BASED ON CONTRACT, WARRANTY, STRICT LIABILITY, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE) OR OTHERWISE. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS, EACH PARTY'S MAXIMUM AGGREGATE LIABILITY FOR ALL CLAIMS, LOSSES OR OTHER LIABILITY ARISING OUT OF, OR CONNECTED WiTH THE ORDER, THE SERVICES, DELIVERABLES AND/OR SOLUTION PROVIDED, OR CUSTOMER'S USE OF ANY SUCH SERVICES, DELIVERABLES, AND/OR SOLUTION, SHALL IN NO CASE EXCEED THE Page 10 of 14 AGGREGATE AMOUNTS PAID TO JUSTFOIA BY CUSTOMER UNDER THE APPLICABLE ORDER ORADDENDUM, GIVING RISE TO SUCH CLAIM DURINGTHE LAST SiX (6) MONTHS. (ii) INDEMNITOR IS NOT REQUIRED TO SPEND MORE THAN $100,000 PURSUANT TO THIS SECTION, INCLUDING WITHOUT LIMITATION ON ATTORNEYS FEES, COURT COSTS, SETTLEMENTS, JUDGEMENTS, AND REIMBURSEMENT OF COSTS. The parties acknowledge that the limitation of warranties and liabilities as set out in this Order are an essential basis of this Order between the parties and that the prices agreed to be paid by Customer for Solution reflect these limitations. INSURANCE During the term of this Order, justFOIA shall carry, at its sole expense, insurance coverage to include at a minimum the following. • Workers Compensation: State statutory limits and $1,000,000 employers' liability • Comprehensive General Liability. $2,000,000 per occurrence and $4,000,000 in the aggregate • Professional Liability and Errors & Omissions: $1,000,000 per occurrence and $3,000,000 in the aggregate • Cyber and Technical Errors and Omissions: $3,000,000 in the aggregate justFOIA, at Customer's request, will name Customer as an additional insured under the Comprehensive General Liability policy. justFOIA represents that Customer is automatically included as an additional insured under the Errors and Omissions and Cyber and Technical Errors and Omissions policies for vicarious liability but no modified certificate of insurance will be provided. GOVERNMENT PROVISIONS The provisions below are applicable only if Customer is a city, state, or other governmental entity and then only to the extent required by laws rules and regulations applicable to such entity. (a) Compliance with Laws. To the extent applicable to the parties each party shall complywith and give all notices required by all applicable federal, state, and local laws, ordinances, rules, regulations, and lawful orders of any public authority bearing on use of the Solution and the performance of the Order. (b) Equal Opportunity. To the extent applicable to the parties each shall abide by the requirements of 41 CFR 60-1.4(a), 60-3005(a) and 60-7415(a), and the posting requirements of 29 CFR Part 471, appendix A to subpart A, if applicable. These regulations prohibit discrimination against qualified individuals based on their status as protected veterans or individuals with disabilities and prohibit discrimination against all individuals based on their race, color, religion, sex, sexual orientation, gender identity or national origin. (c) Excluded Parties List. To the extent required by law, justFOIA agrees to Immediately report to Customer if a justFOIA employee or contractor is listed by a federal agency as debarred, excluded or otherwise ineligible for participation in federally funded health care programs. MISCELLANEOUS (a) Force Majeure. If either of the parties hereto are delayed or prevented from fulfilling any of its obligations under the Order by force majeure, said parties shall not be liable under the Order for said delay or failure. "Force Majeure" means any cause beyond the reasonable control of a party including, but not limited to, an act of God, an act or omission of civil or military authorities of a state or nation, epidemic, pandemic, fire, strike, flood, riot war, delay of transportation, or JUStFOJA I Order (rev. 5/22/2023) Inability due to the aforementioned causes to obtain necessarylabor, materials or facilities. (b) Audit Rights. With reasonable notice and at a convenient location, Customer will have the right to audit JustFOIKs records to verify that justF-OIAs invoicing to Customer is correct In addition, should any of Customer's regulators legally require access to audit justFOIA records, justFOIA will, to the extent legally required by such regulators, provide access for the same. All results of such audits shall be justFOiA Confidential Information. Customer shall bearall costs associated with audits. (c) Assignment.. Neither party may assign or otherwise transfer any of its rights, duties or obligations under the Order without the prior written consent of the other party. Either parry, however, without any requirement for prior consent by the other, may assign the Order and its rights hereunder to any entity who succeeds (by purchase, merger, operation of law or otherwise) to all or substantially all of the capital stock, assets or business of such party, if the succeeding party or entity agrees in writing to assume and be bound by all of the obligations of such party under the Order. The Order shall be binding upon and accrue to the benefit of the parties hereto and their respective successors and permitted assignees. (d) Publicity. justFOIA may use the name of Customer, the existence of this Order and the nature of the associated services provided herein for marketing purposes, except that such use shall not include any Customer Confidential Information. (e) Provisions Severable. If any provision in the Order is held by a court of competentjurisdiction to be invalid, void, or unenforceable, then such provision shall be severed from the Order and the remaining provisions will continue in full force. (f) Relationship of Parties. Justr--OIAs relationship to the Customer is solely that of an independent contractor and nothing herein expressed or implied is intended, or shall be construed to confer upon or give to any person or entity, other than the parties, any right or remedy under or by reason of this Order. W Payment Once payment has been received, no refunds for Recurring Services (Annual Subscriptions) are available. (h) Notices. (1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls: (i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems). (iii) Limit information system access to the types of transactions and functions that authorized _users are permitted to execute. _ (iii) Verify and control/limit connections to and use of external information systems. (iv) Control information posted or processed on publicly, accessible information systems. (v) Identify information system users, processes acting on behalf of users, or devices. , (vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems. (Wi) Sanitize or destroy information- system media containing Federal Contract Information before disposal or release for reuse. (viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals. (ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices. (x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems. (xiii) Provide protection from malicious code at appropriate locations within organizational information systems. (xiv) Update malicious code protection mechanisms when new releases are available. (xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed. (xvi) All Contractor employees that work with County data will need to take cyber.security training at least yearly. J , (2) Data Breach. The Contractor must notify the County by telephone and email not later than 24 hours after a suspected data breach of the contractor's network. If County data is exposed in the breach, then the Contractor must: (i) Cooperate with the County's request to investigate and resolve the incident in a timely manner. (iii) Promptly implement remedial measures. (iii) Document responsive actions taken related tothe data breach, including post -incident review and actions taken to resolve the source of the breach. (iv) Maintain a notification cadence with the County a minimum of every business day, until both parties agree to less often communications. (3) Contractor Agreement Breach. If a data breach results from Contractor's breach of the Contract or Contractor's negligence, Contractor must:, 1. Bear any costs associated with the investigation and resolution of the data breach. 2. Notify individuals, regulators and all others required by Identity Theft Enforcement and Protection Act in the Texas Business and Commerce Code Chapter 521 Unauthorized Use of Identifying Information. 3. Engage a credit monitoring service or identity protection service for all County employees and citizens that had PII exposed by the breach. 4. Internet Acceptable Use Policy and Security. Customer shall comply, and shall cause aft Service users to comply, with Frontier's Acceptable Use Policy ("AUP"), which Frontier may modify at any time. Customer is responsible for maintaining awareness of the current AUP and adhering to the AUP as it may be amended from time to time. Failure to comply with the AUP is grounds for immediate suspension or termination of Frontier Internet Service, notwithstanding any notice requirement provisions of the FSA. Customer is responsible for the security of its own networks, equipment, hardware, software and software applications. Abuse that occurs as a result of Customer's systems or account being compromised or as a result of activities of third parties permitted by Customer may result in suspension of Customer's accounts or Internet access by Frontier. Customer will defend and indemnify Frontier and its affiliates with respect to claims arising from Customer's or third parties' usage of Frontier Internet access through Customer's hardware or software. 6. Producer Price Index Adjustment. Unless othervrise prohibited by tariff, regulation or applicable law, Frontier shall, once peryear in July, Increase the above MRC for each service by the annual increase in the Producer Price index forTotal Final Demand as published by the U.S. Bureau of Labor Statistics CPPI-FD"). Availability is measured by the number of minutes during a calendar month that the On -Net Service is operational, divided by the total minutes in that calendar month. When EVPUDIA Service is impacted from a Service Outage, Customer must contact Frontier's commercial customer support center (also known as the °NOC") at 1-(888) 637-9620 to identify the Service Outage and initiate an investigation of the cause ("Trouble Ticket'). Responsibility for Trouble Ticket Initiation rests solely with Customer, Once the Trouble Ticket has been opened, the appropriate Frontier departments will initiate diagnostic testing and isolation activities to determine the source. In the event of a Service Outage, Frontier and Customer will cooperate to restore the Service. If the cause of a Service Outage Is a failure of Frontier's equipment or facilities, Frontier will be responsible for the repair. If the degradation is caused by a factor outside the control of Frontier, Frontierwill cooperate with Customer to conduct testing and repair activities at Customer's cost and at Frontier's, then current, standard technician rates. c. A Service Outage begins when a Trouble Ticket is initiated and ends when the affected EVPUDIA Service is Available; provided that Nthe Customer reports a problem with a Service but declines to allow Frontier access for testing and repair, the Service will be considered to be impaired, but will not be deemed a Service Outage subject to these terms. d. If Frontier dispatches a fieldtechnicianto perform diagnostic troubteshooting and the failure was caused by the acts or omissions of Customer or its employees, affiliates, contractors, agents, representatives or invitees; then Customer will pay Frontier for all related time and material costs at Frontier's standard rates. Credit Request and Eligibility. a. in the event of a Service Outage, Customer may be entitled to a credit against the applicable On -Net Service MRC if (I) Customer initiated a Trouble Ticket: (i) the Service Outage was caused by a failure of Frontier's equipment, facilities or personnel; (ii) the Service Outage warrants a credit based on the terms of Section 1; and (iv) Customer requests the credit within thirty (30) days of last day of the calendar month in which the Service Outage occurred. b. Credits do not apply to Service Outages caused, in whole or in part, by one or more of the following: () the acts or omissions of Customer or its employees, affiliates, contractors, agents, representatives or invitees; (i) failure of power, (it) the failure or malfunction of non -Frontier equipment or systems; (iv) circumstances or causes beyond the control of Frontier or its representatives; (v) a Planned Service Interruption; (v) Emergency Maintenance or (vii) interruptions resulting form Force Majeure events as defined in Customer's FSA. In addition, Customer will not be issued credits for a Service Outage during any period in which Frontier is not provided with access to the Service location or any Frontier network element, or while Customer is testing and/or verifying that the problem has been resolved. "Planned Service Interruption" means any Service Outage caused by scheduled maintenance, planned enhancements or upgrades to the Frontier network; provided that Frontier will endeavorto provide at least five (5) business days' notice prior to any such activity if it will impact the Services provided to Customer. "Emergency Maintenance" means maintenance which, if not performed promptly, could result in a serious degradation or loss of service over the Frontier network. c. Except for the On -Time Provisioning credit (if applicable), all credit allowances will be limited to maximum of 50% of the MRC for the Impacted EVPUDIA Service, per month. For cascading failures, only the primary or causal failure is used in determining Service Outage and associated consequences. Only one service level component metric can be used for determining credits for a Service Outage. In the event of the failure of the Service to meet multiple metrics in a one -month period, the highest Service credit will apply, not the sum of multiple Service credits. For example, If Customer's Service Outage triggers both operational objectives (i.e. Circuit Availability and Mean Time to Repair), Customer will receive the highest available Service Credit, but not both. d. This SLA guarantees service performance of Frontiers Ethernet data services only. This SLA does not cover TOM services [DS1, NxDS1, or DS3 services] or other voice or data services provided by Frontier. This SLA does not apply to services provided over third party non - partner facilities, through a carrier hotel, or over Frontier facilities which terminate through a meet point circuit with a third party non -partner carrier. e. The final determination of whether Frontier has or has not met SLA metrics will be based on Frontier's methodology for assessment of compliant performance. Service Outage credits are calculated based on the duration of the Service Outage, regardless of whether such Service Outage is the result of failure of the Service to meet one or more performance metric. f. Credit allowances, if any, will be deducted from the charges payable by Customer hereunder and will be expressly indicated on a subsequent bill to Customer. Credits provided pursuant to this SLA shall be Customer's sole remedy with regard to Service Outages. 4. Chronic Outage: An Individual EVPUDIA Service qualifies for "Chronic Outage" status if such service fails to meet the Availability objectives, and one or more of the following: (a) a single Trouble Ticket extends for longer than 24 hours, (b) more than 3 Trouble Tickets extend for more than 8 hours, during a rolling 6 month period, or (c)15 separate Trouble Tickets of any duration within a calendar month.
