PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation;, and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. MINUTES APRIL 5, 2022 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, April 5, 2022 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Russ Ford, Commissioner of Precinct 2; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. Purchasing Director Charles Wendt informed the Court that selling this equipment as a bundle is of good value to the County and greatly benefits Burleson County. Purchasing Director Charles Wendt stated that the Court should expect to see more of these amended contracts due to the fluctuating fuel costs. Purchasing plans to monitor the contract for 90 days, then determine if it will be necessary to re -bid, as a short term strategy. A copy of the service contract is attached. Judge Peters read Juvenile Director Linda Ricketson's report that there are 31 juveniles in the detention center, 25 are male and 6 are female, and 39 have electronic monitors. There are 9 youth in isolation as per medical protocol for new intakes. 20. Sheriff's report on inmate population. Chief Deputy Kevin Stuart stated there were 604 inmates in jail, 514 inmates are male and 90 are female, 76 have electronic monitors and 12 are pending for processing. 21. The products originate from Martin Marietta (formerly TM Materials) and Great Southern Stabilized is the exclusive licensee to provide the specified material in the Southeast Texas Region through March 14, 2022. We have many roadways in a condition where routine maintenance procedures are ineffective and total roadway reconstruction is necessary. The usual reconstruction operation would involve reclamation of the roadway and stabilization of subgrade with 6% lime or 3 % cement. We have found through previous use of the Super Slurry's that: A. The usual application of lime leads to a substantial amount of lime becoming airborne. Lime is an eye, skin and Iung irritant while our workers are trained in the proper application of lime and take the necessary precautions when working with lime, there may be citizens living in close proximity to the area where lime is being applied who could be exposed to irritants with normal lime stabilization methods. Delivery of stabilization with specified slurry applies the product directly to road materials with no risk of airborne exposure to county residents or county workers. B. A typical lime application requires the introduction of the lime material to the road subgrade and it is then blade mixed and compacted. Moisture is maintained for 3 days by truck watering until such time as the lime mellows and is then re -mixed and final compaction is achieved. The entire Normal" stabilization process for a section of road requires substantially more man hours and equipment hours than the method specified. Application of the slurry to a section of road will require intensive mixing, blading and compaction for 2 hours after initial application of the slurry, but then the subgrade work is complete (other than curing). The roadway is drivable for the adjacent residents near a project on day of application. Substantially less man hours and equipment hours are required using specified slurry. Unless otherwise specified, all items ordered from the successful vendor must be new, unused, and in first class condition. Products usually packaged for commercial sale shall be furnished in proper container so as to facilitate storage and handling. 35. Potential Vendors are advised they may have disclosure requirement pursuant to Texas Local Government Code, Chapter 176. This law requires persons desiring to do business with the County to disclose any gifts that have an aggregate value in excess of $250.00 given to any employee of the County, County Official to the County Official's family members or employment of any employee of the County, County Official or the County Official's family members during the preceding twelve (12) month period. Bidder understands that Brazos County is a government subject to Texas State and Federal public information statutes. The requirements of Subchapter J, Chapter 552, Government Code, may apply to this bid and the contractor or vendor agrees that the contract can be terminated if the contractor or vendor knowingly or intentionally fails to comply with a requirement of that subchapter. Brazos County Road and Bridge Department, during regular working days, and between the hours of 7:30 A.M. and 5:00 P.M. Monday through Thursday, unless otherwise requested by the County and loaded into County trucks by the Supplier; or loaded and hauled and delivered anywhere in the County by the Supplier during the mentioned working days and hours. 2. Vendor will be required to notify the Brazos County Road & Bridge in the event of unforeseen delay arising in the delivery of a specified shipment. In the event a shipment will not arrive at the job site within two (2) hours of designated time Brazos County shall have the right to refuse acceptance of the order. 3. Vendor will be required to deliver to Brazos County Road and Bridge Department or job site in Brazos County when and where requested and remain on the job with truck and operator as long as required to completely place load. 4. Brazos County reserves the right to test any materials delivered at the requested site for compliance with specifications. The Bidder will remove immediately from the job site or right of way any materials that are deemed unsatisfactory, at no cost to the County. 5. The Bidder shall instruct his insurance agent or carrier to furnish to the County a Certificate of Insurance attesting to the issuance of the following parts of this section. Please note that such Certificates of Insurance and any required bonds must be issued and then approved by Brazos County Risk Management. The Certificate of Insurance must be approved by Risk Management before any deliveries can be made. 2. Unless otherwise specified, when order is placed all items in this bid shall meet or exceed Texas State Department of Highways and Public Transportation Standard Specifications for Construction of Highways, Streets and Bridges, 2014 Edition, except line item #1, 3, & 4 2004 Edition shall apply for these line items. Each type and grade may be subject to "Quality" testing and acceptance by Brazos County. 2. Contractor will be required and responsible for maintaining proper permits to operate on Brazos County roads and/or property. 3. Due to rapidly fluctuating costs associated with rail delivery of Aggregate Products, this bid can be reviewed quarterly. Contractor will be responsible for initiating any change in price and providing proof of the increase in cost. If the pricing is still agreeable to the Contractor(s) and/or Brazos County, the bid will continue to be in place for the following quarter. At any given time, a price may be set for the duration of this bid upon agreement between the Primary and Secondary Contractors and Brazos County. 5. All pricing given that does not have rail delivery will remain firm for the tern of this contract. 6. SPECIFICATIONS FOR CEMENT STABILIZED SAND a. CEMENT -Type 1 Portland Cement conforming to ASTM C150. b. SAND - Clean durable sand meeting grading requirements for fine aggregates of ASTM C33, and the following requirements: i. Classified as SW, SP, or SM by the United Soil Classification System of ASTM D2487. ii. Deleterious materials: 1. Clay lumps, ASTM C142; less than 0.5 percent. 2. Lightweight pieces, ASTM C 123; less than 5.0 percent. 3. Organic impurities, ASTM C40; color no darker than standard color. 4. Plasticity index of 4 or less when tested in accordance with ASTM D4318. c. WATER - Potable water, free of oils, acids, alkalis, organic matter, or other deleterious substances, meeting requirements of ASTM C94. d. TESTING REQUIREMENTS i. Random samples of delivered product may be taken in the field at point of delivery for each day of placement in the work area. Specimens will be prepared in accordance with ASTM D 1632 and tested for compressive strength in accordance with ASTM D1633. iii. The cement content may be tested at the discretion of the County. iv., DESIGN REQUIREMENTS: Design sand -cement mixture to produce a minimum unconfined compressive strength of 50 pounds per square inch in 48 hours and 100 pounds per square inch in 7 days when compacted to 95% in accordance to ASTM D558 and when cured in accordance with ASTM D1632, and tested in accordance with ASTM D 1633. Mix for general use shall contain a minimum of 1 '/2 sacks of cement per cubic yard. Compact mix with moisture content between 0% to 2% above optimum. The maximum compressive strength in 7 days shall be 400 psi. Brazos County will not pay for any materials that do not meet the minimum compressive strength requirements or any materials that exceed the maximum compressive strength requirements. e. MIXING: i. Thoroughly mix sand, cement, and water in proportions specified by the Design Requirements using a pugmill-type mixer. The plant shall be equipped with automatic weight controls to ensure correct mix proportions. ii. Stamp batch ticket at plant with time of loading directly after mixing. Material not placed and compacted within 4 hours after mixing shall be rejected. iii. SPECIFICATIONS FOR 1 '/2" BACKFILL AGGREGATE (LIMESTONE) 1. SPECIFICATIONS If it is in the best interest of the County, the County may award this bid to two (2) different Contractors, resulting in two (2) separate contracts (Contract for the Transportation of Deceased to Medical Examiner and Contract for Pauper Cremation Services) SPECIFICATIONS FOR TRANSPORTATION OF DECEASED TO MEDICAL EXAMINER Brazos County has a need for transportation of deceased bodies to the Medical Examiner's Office in either Bexar or Travis County or as directed by the Justice of the Peace. Below are the specifications required: A Justice of the Peace or other authorized County representative will determine if a body requires an autopsy. If an autopsy is required, the Justice of the Peace will notify the Contractor for pick-up and transportation to a designated Medical Examiner's Office 2. Once notified, the Contractor shall be in route to the location of the deceased within 15 minutes of notification. Contractor shall arrive at the scene no later than 30-45 minutes after notification. Contractor is required to provide a new individually packaged body bag each time they transport a body. The body bag shall arrive at the scene in a clean sealed plastic bag (unopened). If body is abandoned or unclaimed by the family or the identity of the family is unknown, the deceased will be considered abandoned. In this case Brazos County will pay for the cremation services of the deceased. 20. CONTRACT OBLIGATION Brazos County Commissioners Court must award the contract and Brazos County Judge, or other person authorized by Brazos County Commissioners Court must sign the contract before it becomes binding on Brazos County or the offerors. Department heads are NOT authorized to sign contracts for Brazos County. Binding contracts shall remain in effect until all products and/or services covered by this purchase have been satisfactorily delivered and accepted. QUANTITIES The quantities specified in this contract are estimates only. Brazos County does not guarantee to purchase any minimum quantities or services other than those listed on a purchase order. HOLD HARMLESS AGREEMENT Contractor, the successful offeror, shall indemnify and hold Brazos County harmless from all claims for personal injury, death and/or property damage resulting directly or indirectly from contractor's performance. Contractor shall procure and maintain, with respect to the subject matter of this bid, appropriate insurance coverage including, as a minimum, public Iiability and property damage with adequate limits to cover contractor's liability as may arise directly or indirectly from work performed under terms of this contract. Certification of such coverage must be provided to Brazos County upon request. INSPECTIONS & TESTING I Acceptance of merchandise, work, and/or equipment provided shall be made by Brazos County at the sole discretion of the Commissioners Court when all terms, and conditions of the contract and specifications have been met to its satisfaction, including the submission to Brazos County of any and all documentation as may be required. Title and Risk of Loss of the goods shall not pass to Brazos County until the County actually accepts and takes possession of the goods at the point or points of delivery. ADDITION/MODIFICATION OF LOCATIONS OR SERVICES Brazos County reserves the right to add locations as these additional locations may be required. Locations to be added may include, but not limited to, expansions or additions to existing facilities and acquisition or construction of new properties. In the event that Brazos County makes significant structural changes to an existing facility that impacts the contractor's cost in providing the services anticipated by this contract such change may be treated as a new facility and the procedures provided for in this section may be followed in determining an appropriate price. In the event Brazos County wishes to add other locations to a group under the contract, a quotation will be solicited from the incumbent contractor in good standing for the group in which the new location is appropriately situated. All remaining portions of the contract will remain intact. Brazos County will endeavor to give the contractor written notice of such termination of locations a minimum of thirty (30) days in advance. SUBCONTRACTING Any subcontracting must be approved prior to commencement of the Contract by Brazos County. INVOICES & PAYMENTS Payments to contractors will not be made if the contractor cannot produce a Brazos County Purchase Order. Contractor shall submit an original invoice on each purchase order or purchase release after each delivery, indicating the purchase order number. Invoices must be itemized. Any invoice, which cannot be verified by the contract price and/or is otherwise incorrect, shall be convected by the contractor. Brazos County will only be required to pay for materials actually received and/or services actually provided. Brazos County shall not be required to pay for materials or services described in the contract that are not used or provided by the contractor in completion of the contract. This term supersedes any contradicting terms throughout the contract and/or any attachments. When multiple deliveries and/or services are required, the contractor may invoice following each delivery or performance of service and Brazos County will pay on invoice with in thirty (30) days upon receipt of invoice. Contracts providing for a monthly charge will be billed and paid on a monthly basis only. The contractor will provide an invoice for each month in which Brazos County is responsible for payment, during the duration of the contract. Prior to any and all payments made for goods and/or services provided under this contract, the contractor should provide their Taxpayer Identification Number or Social Security number as applicable. This information must be on file with Brazos County Auditor's office. Failure to provide this information may result in a delay in payment and/or back-up withholding as required by the Internal Revenue Service. PRICING Prices for all goods and/or services shall be firm for the duration of this contract and shall be stated on the Pricing/Delivery Information form. Prices shall be all inclusive: No price changes, additions, or subsequent qualifications will be honored during the course of the contract. All prices must be written in ink or typewritten. Pricing on all transportation, freight, drayage and other charges are to be prepaid by the contractor and included in the bid prices. If there are any additional charges of any kind, other than those mentioned above, specified or unspecified, offeror MUST indicate the items required and attendant costs or forfeit the right to payment for such items. GOVERNING LAW AND VENUE This bid solicitation is governed by the laws of the State of Texas, specifically, the competitive bidding requirements of the County Purchasing Act, Texas Local Government Code, §262,021 et seq., as amended. Offerors shall comply with all applicable federal, state and local laws and regulations. In the event any of the conditions of the specifications violate the code for any industry, then such code conditions shall prevail. DISQUALIFICATION OF OFFEROR Upon signing this contract, an offeror offering to sell supplies; materials, services, or equipment to Brazos County certifies that the -offeror has not violated the antitrust laws of this state codified in Texas Business and Commerce Code §15.01,.et seq., as amended, or the federal antitrust laws, and has -not communicated directly or indirectly the bid made to any competitor or any other person engaged in such line of business. SILENCE OF SPECIFICATIONS The apparent silence of specifications as to any detail, or the apparent omission from it of a detailed description concerning any point, shall be regarded as meaning that only the best commercial practice is to prevail and that only material and .workmanship of the `finest quality are to be used. All interpretations of specifications shall be made on the basis of this statement. The items furnished under this contract shall be new, -unused of the latest product in production to commercial trade and shall be of the highest quality as to materials used and workmanship. TERMINATION Brazos County reserves the right to terminate the contract for default if offeror breaches any of the terms therein, including warranties of offeror or if the offeror becomes. insolvent.. or commits acts of bankruptcy. Such right of termination is in addition to and not in lieu of any other remedies which Brazos County may have in law or equity. LIMITATIONS The parties are aware that there are constitutional and statutory limitations on the authority of Brazos County to enter into certain terms and conditions- of the contract, including, but not limited to, authorizations of the placement of liens on Brazos County property; disclaimers and limitations of warranties; disclaimers and limitations of liability for damages; waivers, disclaimers and limitations of legal rights, remedies, requirements and processes; limitations ofperiods to bring legal action; granting control of litigation or settlement to another party; liability .for acts or omissions of third parties; payment of attorneys' fees; dispute resolution; indemnities; - and confidentiality (collectively, the "Limitations"). Any contract terms and conditions related to the Limitations will not be binding on Brazos County except to the extent authorized by the laws and Consiitution of the State of Texas. COVERAGES/WAGES Nothing in this contract shall be construed as making Brazos County responsible for the payment of compensation and/or any benefits for contractor including health, property, motor vehicle, workers' compensation, disability, death, and dismemberment insurance for the contractor's employees and/or equipment. A final invoice shall be issued by KONE upon completion of the work and shall include all balances due. Purchaser agrees to pay the amount of any tax imposed by any existing law, or by any law enacted after the date of this proposal, based upon the transfer, use, ownership or possession of the equipment involved In the work provided herein. KONE reserves the right to discontinue our work at anytime until we have assurance, satisfactory to us, that payments will be made as agreed. Final payment shall become due and payable upon completion of the work described in this proposal. Failure to pay any sum due to KONE within thirty (30) days of the invoice will be a material breach. A delinquent payment charge calculated at the rate of 1 Va % per month, or if such rate is usurious then at the maximum rate under applicable law, shall be applied to the delinquent payments. Regardless of the type of delay, KONE shall not be liable for any indirect, consequential, liquidated or special damages including but not limited to fines, penalties, toss of profits, goodwill, business or loss of use of equipment or property. Purchaser agrees to provide safe access to the equipment and machine room areas. Should conditions develop beyond KONE's control, making the building or premises in which KONE's personnel are working unsafe, KONE reserves the right to discontinue work until such unsafe conditions are corrected. Should damage occur to KONE's material or work on the premises, by fire, theft or otherwise, Pur- chaser shall compensate us therefore. Any asbestos removal necessitated by work described in this Proposal will be the Purchaser's responsibility. Purchaser shall provide documentation that the asbestos has been abated from the KONE work area and air clearance reports shall be made available upon request. Purchaser is responsible for all costs of oil disposal should it be determined that oil from Purchaser's equipment is contaminat- ed. KONE undertakes to perform this work in conformity with the usual applied codes and standards in effect at the time of execution of this proposal, however, no guarantee can be made that ail code violations or defects have been found. This work is not intended as a guar- antee against failure or malfunction of equipment at any future time. It is agreed and understood that KONE is not responsible for damages, either to the vertical transportation equipment or to the building, or for any personal injury or death, arising from or resulting from any code required safety tests performed on this equipment. Nothing in this proposal shall be construed to mean that KONE assumes any liability of any nature whatsoever arising out of, relating to or in any way connected with the use or operation of the equipment described above. Purchaser shall be solely responsible for the use, repair and maintenance of the equipment and for taking such steps including but not limited to providing attendant personnel, warning signs and other controls necessary to ensure the safety of the user or We operation of the equipment. Neither KONE nor its affiliates, subsidiaries or divisions shall be responsible or frable for any damages, claims, suits, expenses and payments on account of or resulting from any Injury, death or damage to property arising or resulting from the misuse, abuse or neglect of the equipment herein named or any other device covered by this proposal. REV 06/16 Page Tender#: T-0005390511 l i I� INDIGENT CAREE + ' ILIATION AG IRE+ E MEE, NT This Indigent Care Affiliation Agreement (the "Agreement") is entered into as of G�`' , 2022, to be effective as of , 2022 ("Effective Date"), by acid between Brazos County dba Brazos County LPPF a unit of local government within the State of Texas ("the Governmental Entity") and St. Luke's Health System Corporation on behalf of the Affiliated Hospitals listed on -Exhibit 1. All hospitals listed on Exhibit 1 are organized and licensed under the laws of the State of Texas'and their principal offices are provided. Any reference to an' Affiliated Hospital in this agreement refers to every hospital listed on Exhibit 1. RECITALS WHEREAS, the Affiliated Hospital and the Governmental Entity collectively provide substantial uncompensated care to indigent persons annually; WHEREAS, the State's under-fimding of, and reductions in eligibility for, Medicaid increases the volumes of indigent patients who rely on hospital emergency room services as the source of primary healthcare and shifts the burden for indigent care to the Affiliated Hospital, the Governmental Entity, and local community; WHEREAS, the Governmental Entity and the Affiliated Hospital recognize that the State will continue to under -fund the Texas Medicaid pzI gram and that the indigent numbers in their commuiuty will continue to grow; WHl' REAS, the Governmental. Entity and the Affiliated Hospital desire to ensure that the indigent have access to and,receive health care services; WHEREAS, the Governmental Entity and the Aff listed Hospital recognize that it is in their best interest to increase funding for the Medicaid population and to access federal funding for the indigent to which the Affiliated Hospital will be entitled under the State's Medicaid program; and WHEREAS, the Governmental Entity and the Affiliated Hospital recognize that they need to cooperate to ensure their ability to deliver cost efficient healthcare services to indigent patients in their community; NOW, THEREFORE, in consideration of the promises and covenants contained in this Agreement, and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged and agreed, the parties agree as follows; 1.0 INDIGENT CARE COLLABORATION 1.1 Improving Access to Healthcare for Indigent. I and have been duly authorized and approved by the Affiliated Hospital as and to the extent required by applicable law; h. Neither the Affiliated Hospital, nor any of its representatives are (i) currently excluded, debarred, or otherwise ineligible to participate in the federal health care programs as defined in. 42 U,S,C. Section 1320a-7b(f) (the "federal health care programs"); (1i) convicted of a criminal offense related to the provision of health care items or services but not yet excluded, debarred, or otherwise declared Eligible to participate in the federal health care programs; or (iii) under investigation or otherwise aware of any circumstance which may result in the exclusion of the Affiliated Hospital or any of its representatives from participating in federal health care programs; and r i. This Agreement has been duly and validly executed and delivered by the Affiliated Hospital. 2.2 Governmental Entity Representations and Warranties. The Governmental Entity represents and warrants that: a. It is a unit of local government within the Sfate of Texas, duly established and created with all requisite .power and' authority to enter into this Agreement in all respects; i b. There is no agreement to condition the amount transferred by the Governmental Entity nor the amount of Medicaid supplemental payments on the amount of indigent care the Affiliated Hospital have provided or will provide; c. There is no agreement to condition the amount of the Affiliated Hospital's indigent care obligation on the amount transferred by the Governmental Entity nor the amount of i any Medicaid supplemental payment the Affiliated Hospital might receive; d. No escrow, trust, or other funding mechanism exists, the amount of Which is conditioned a contingent on the amount of indigent care services provided or to be provided by the; Affiliated Hospital; and that any escrow, trust or other funding mechanism utilized in connection with an anticipated IGT Rom tiie Governmentali Entity has been disclosed to HEISC and is not used to effect a quid pro quo for the provision of indigent care services by or on behalf of the!Affiliated Hospital; e. J• The execution, delivery, and performance by the Goverunental Entity of this Agreement are within the Governmental Entity's powers, are not in contravention of any other instruments governing the Goverivnental Entity and have been duly authorized and approved by the Board of Directors of the Governmental Entity as aid to the extent required by applicable law; Thiis Agreement has been duly and validly executed by the Governmental Entity; The Governmental Entity has not received and has no agreement to receive any portion of any Medicaid payments made to Affiliated Hospital; i The Governmental Entity has not entexed into a contingent fee arrangement related to its participation ih the Section 1115 Waiver program; The Governmental Entity is authorized to participate in the Section 1115 Waiver program pursuant to a vote of its; governing body in a public meeting preceded by public notice published in accordance with its usual and customary practices or the Texas OpeniMeetings Act, as applicable; and i k. Notwithstanding anything in this Agreement to the contrary, any decision by the Governmental Entity to provide funding for the Medicaid program is at the sole discretion of the Governmental!Entity. 3.0 OBLIGATIONS CF THL AFFILYATiD HOSP6AL 3.1 Agreement to Collaborate with the Governmental Entity. The Affiliated Hospital agrees to work cooperatively with the Governmental Entity to improve access to health care for indigent persons. 3.2 Documentation, The Affiliated Hospital agreesito provide the Governmental Entity documentation that demonstrates the amount and types of health care (including indigent health care and Medicaid seivices historically provided in its conummity) as requested by the Goverimiental Entity, but no more frequently than quarterly. 3.3 Compliance with State and Federal Law. They Affiliated Hospital agrees to retain qualified professionals to ensure health care is provided in. compliance with state and federal charity care laws, anti-trust laws, and any other applicable laws, and the Medicare and Medicaid'programs, 737809Q 2.DOC Vol. C.P pg. 3.4 Indigent Care Program Participation; At all times -ruing the terin of this Agreement, the Affiliated Hospital shall use their best efforts to maintain its qualifications for participation in the Medicaid and Medicare programs. 3.5 Compliance with HIPAA. To the extent applicable to this Agreement, the Affiliated Hospital agrees to comply with the Health Insurance Portability and Accountability Act of 1996, as codified at 42 U.S.C. Section 1320d, et seq. ("HIPAA"), and any current and firture regulations promi'dgated thereunder, including, without limitation, the federal privacy regulations contained in 45 C.F.R. Parts 160 and 164 (the "Federal Privacy Regulations'), the federal security standards contained in 45 C.F.R. Parts 100,162 and 164 (the "Federal ,Security Regulations"), and the federal standards for electronic transactions contained in 45 C.F.R. Parts 160 and 162 (the "Federal Electronic Transaction Regulations'), all as amended from time to time, and all collectively referred to herein as'U AA Requirements." The Affiliated Hospital agrees not to use or fiuther disclose any Protected Health Information (as defined in the Federal Privacy Regulations) or EPHI (as defined in the Federal Security Regulations), other than as permitted by the HIPAA Regturements and the terms of the Agreement. In addition, the Affiliated Hospital agrees to comply with any state laws and regulations that govern or pertain to the confidentiality, privacy, security of, and eleetroi'iie transactions pertaining to, health care information. ; As and to the extent required by law, upon the written request of die Secretary of Health and Human Services, the Coniptrollet', General or any of their duly authorized representatives, the Affiliated Hospital shall make available those contracts, books, doduments, and records necessary to verify the nature and extent of the costs of providing services tuider this Agreement, Such inspection shall be available for up to four (4) years after rendering of such services, The Affiliated Hospital will alsd indemnify and hold the Goverimnental Entity harmless if any amount of reimbursement is denied or disallowed because of the Affiliated Hospital'b failure to comply with the obligations set ford, in this section. Such hideninity shall include, but not be limited to, the amount of reimbursement denied, plus any interest, penalties, and legal costs. If the Affiliated Hospital carries out any of the duties of this Agreement through a subcontract. with a value of $10,000.00 or more over a twelve (12) month period with a related individual or organization, the Affiliated Hospital agt'ees to include this requirement in any such subcontract. This section is included pursuant to, and is governed by the requirements of, 42. U.S.C. § 1395x(v)(1) and the regulations thereto. 4.0. OBLIGATIONS OF THE; GO'VE, RNMCNTAL Ef NTITX 4.1,Agreement to Cooperate with. the .Affiliated Hospital. The Governmental Entity agrees that it will not condition the amount to which it funds the non-federal share of Medicaid supplemental payments on a specified or required minimum amount of prospective indigent care. 4.3 Retrospective Evaluation of Services. The Governmental Entity may retrospectively evaluate the amount and impact of the Affiliated Hospital's indigent care delivery and can rely on such historical information in determining whether and to what degree it will provide an IGT in the fttture. 4.4 Documents Publicly Available. The Governmental Entity agrees to snake publicly available any documentation utilized in, connection with intergovernmental transfers of fiinds and any documentation executed by the Governmental Entity related to its participation: in the Section 1115 Waiver, including this Agreement. 4.5 Use of Public Funds. To the extent the Goyerunental.Entity decides to provide funding for Medicaid supplemental payments, the Governmental Entity agrees to use public fluids for such funding. 4.6 Compliance with HII'AA. The Governmental'Entity agrees to comply with. the Health Insurance Portability and Accountability Act of 1996, as codified at 42 U.S.C. Sections 1320d, et seq. The Affiliated Hospital understands that the Governmental Entity is a political subdivision of the State of Texas and governed by certain statutes applicable thereto. 5.5 Assignment. No party may assign any light, obligation, or responsibility ender this Agreement except to a successor in interest. 5.6 Third Party Beneficiaries. The parties to this- Agreement do not intend to establish any third party beneficiary relationship by virtue of this Agreement.
