PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a
Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the
Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
it is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity
of the Court, as a body, or any member or members of the Court; or County employees, individually or collectively. Accordingly,
profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions:
1. cancellation of a speaker's time;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas,
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge
and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to
attend or participate in the invocation and such decision will have- no impact on their right to actively participate in the business
of the Court.

REGULAR MEETING
A regular meeting of the Commissioners' Court of Brazos County, Texas was held in
the Brazos County Commissioners Courtroom in the Administration Building, 200
South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on
Tuesday, March 8, 2022 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1;
Russ Ford, Commissioner of Precinct 2;
Nancy Berry, Commissioner of Precinct 3;

At this point, the County Judge announced the Court would consider items 19 through
23 and then return to convene into Executive Session.
Having considered the previously noted agenda items, at 10:12 a.m. the County Judge

stated that the Court would convene into Executive Session to deliberate pursuant to the
following:
a. Section 551.074 as stated above.
The following individuals were asked to stay for the first session:

b. Section 551.0725 to deliberate business and financial issues related to two contracts
being negotiated. Ed Bull, Chief of Staff submitted a written determination that
deliberation in an open meeting would have a detrimental effect on the position of the
Court in negotiations with a third party. A motion was offered by Commissioner Aldrich
to meet in closed Executive Session as per Mr. Bull's recommendation. The motion was
seconded by Commissioner Ford and motion passed unanimously.

At 11:33 a.m. the County Judge announced the meeting open to the public and
announced that no action would be taken on the Closed Executive Session.
19. Acknowledgement of FY2021-2022 Budget to Actuals by Fund as of March 1, 2022.
The Court acknowledged receipt of the 2021-2022 Budget to Actuals by Fund as of
March 1, 2022.
20. Juvenile Director's report on detention population.
Juvenile Director Linda Ricketson reported there are 30 juveniles in the detention center,
28 are male and 2 are female, and 40 have electronic monitors. There are 9 youth in
isolation as per medical protocol for new intakes. There are no positive cases of
COVI D-19 among the youth or staff.
21. Sheriff's report on inmate population.
Sheriff Wayne Dicky stated there were 593 inmates in jail, 510 inmates are male and 83
are female, 49 have electronic monitors and 13 are pending for processing. There are
no positive cases of COVI D-19 among the inmates or staff.
22. Announcement of interest items and possible future agenda topics.

Judge Peters announced that the Brazos Transit District won the Transportation System
of the Year award. The Court congratulated the Transit District on their win.
23. Call for Citizen input and/or concerns
Ed Wren discussed his concerns over the construction of Greens Prairie Road. He
believes the County should have worked with the City of College Station to widen the
road at the same time stating, it causes traffic flow issues and safety concerns for the
four schools along that road. He asked if the County did work with the City on this and
Judge Peters explained that the Court can not comment during Citizen's input as it would
cause a violation of the Open Meetings Act. Mr. Wren then continued voicing his
concerns that funneling four lanes into two lanes is inconveniencing many citizens and
causing traffic to backup.

Serves as judge's personal security officer; and assists the judge in administering courtroom procedure and in maintaining order in the courtroom.
Essential Duties:
Other duties may be assigned. Provides protection to the judge, jury, inmates, and people in the courtroom. Prepares the courtroom
for various legal proceedings including setting up the courtroom for jury trial seating of jurors. During jury trial juror selection, assists
Jury Services personnel In seating jury panel, issues parking passes to the panel, keeps an accurate log of panel and members
being excused, and prepares the final list of chosen jurors. Assists judge in preparing for legal proceedings, including pulling case
files, calling agencies to arrange for court appearances, and scheduling proceedings. Returns files from courtroom to the district
and/or county clerk's offices. Maintains order in the courtroom, including warning, removing, and/or restraining individuals whose
behavior is disruptive to the proceedings. Transports and supervises jail inmates to and from the Courthouse holding cells. Calls
witnesses to give testimony in court. Supervises jury in the course of a jury trial, including providing security for and escorting to
jurors. Performs searches of persons as needed. Prepares affidavits of non-appearance for bond forfeitures. Secures courtroom and
offices of the court at the end of the day. May maintain daily log of court accomplishments. May perform the duties of Administrative
Secretary. May perform the courtroom duties of the Court Coordinator to include setting up the courtroom for ZOOM/SKYPE
testimony and setting up ZOOM/SKYPE participants for testimony. May disinfect courtroom surfaces prior to hearings, between
hearings, and at the end of the day. May dispose of criminal cases and CJIS reporting as needed. Maintains in good working order
all inmate restraining devices such as handcuffs, ankle shackles, and inmate transport chains. Maintains a fresh inventory of soft

jurors. Performs searches of persons as needed. Prepares affidavits of non-appearance for bond forfeitures. Secures courtroom and
offices of the court at the end of the day. May maintain daily log of court accomplishments. May perform the duties of Administrative
Secretary. May perform the courtroom duties of the Court Coordinator to include setting up the courtroom for ZOOM/SKYPE
testimony and setting up ZOOM/SKYPE participants for testimony. May disinfect courtroom surfaces prior to hearings, between
hearings, and at the end of the day. May dispose of criminal cases and CJIS reporting as needed. Maintains in good working order
all inmate restraining devices such as handcuffs, ankle shackles, and inmate transport chains. Maintains a fresh inventory of soft

This Needs Analysis will answer three primary questions:
Why? This involves an analysis of the existing demand and benchmark metrics to justify why an alternative
methodology of providing medicolegal autopsy services may be beneficial.
What Size? The SmithGroup team will, through a consensus process, prepare demand analysis identifying demand
and future growth projections. Site requirements will also be addressed allowing the County and Texas A&M to
understand the property area needed,
How Much? Our task is to determine a probable size for the new facility while being mindful of future impacts of
population and projected autopsy rate.
The SmithGroup team's experience and the participation of key members from the County and the County's partners
will be the key to its success, Through effective communication and graphic materials, our team will reach consensus
and satisfy both internal and external stakeholders. Our planners will convey the result of our research, workshops,
and decisions to enable implementation of the best Ideas for an appropriate facility to support the local and
surrounding communities throughout the region.
PROCESS
The SmithGroup team will use our proven 3-step process as part of our approach to ensure that the design team is
aware of all the important components. This process consists of Data Gathering, Data Synthesis, and
Documentation.

Due to the need for our teams to work together to provide the most comprehensive analysis and recommendations
that will ultimately support the Client's mission, there are some expectations of user responsibilities that should be
completed in advance of initial on -site meeting:
• SmithGroup to prepare information request for the County personnel to gather in support of the building
evaluation meetings and process. The information to be gathered includes:
o Client to identify all User Groups / Section & Leadership including Texas A&M and County
partners.
o Client to provide historical data for each County (staffing counts over time, caseloads, etc.)
o Client to provide expectations of Texas A&M on construction standards,

Brazos County shall compensate SmithGroup for the scope of services outlined above a fixed fee lump sum of
545,000, including direct expenses.
DIRECT EXPENSES
Direct expenses are defined as follows:
1. Vehicular travel expenses related to this project. Reimbursement for car mileage is the standard mileage
allowance determined by the Internal Revenue Service;
2. Printing and/or reproduction of presentation materials, sketches, drawings, specifications, reports and other
project related documents, either digitally or in hard copy for use by SmithGroup;
3. Long distance telephone and facsimile charges, postage, express charges and other similar items.
Direct expenses exclude the following but can be included with additional services agreement:

3. Models, renderings, photography and other special presentation material for other than the Architect's own
use and as outlined in the scope above;
4. Regulatory Agency review fees;
5. Employment of special consultants not outlined above.
ADDITIONAL SERVICES
Requests for additional services or staff will be documented by SmithGroup (if given verbally), and the work will
commence upon Brazos County approval of an estimated fee for that effort or, if not agreed otherwise, Brazos
County shall reimburse SmithGroup on an hourly basis of SmithGroup's project staff actively engaged for all
personnel hours worked on the project.

SMITH&ROUP
Invoices will be prepared monthly on the basis of percentage of completion.
All payments due to SmithGroup shall be made monthly upon presentation of the statement of services rendered. All
payments due SmithGroup under this Agreement shall bear interest at one -and one-half (1 Y2%) percent per month
commencing thirty (30) days after the date of billing.
PREPARATION OF DIGITAL DATA
In the event SmithGroup is requested to prepare digital data for transmission to the Owner's consultants, contractors,
or other Owner authorized recipients ("Digital Data"), the Owner acknowledges that due to the limitations of the digital
data software, not all elements of SmithGroup's services may be represented in the Digital Data, this being in the
sole discretion of SmithGroup. Accordingly, although SmithGroup will endeavor to represent all material elements of
SmithGroup's services in the Digital Data, any use shall not relieve the Owner's consultants, contractors, or other
Owner authorized recipients or their respective obligations. The Owner agrees that it will include this provision in any
agreements with its consultants, contractors, or other Owner authorized recipients, in which Digital Data is provided.
INTELLECTUAL PROPERTY
In rendering its Services, SmithGroup may create and provide to Brazos County documents which include (i) Brazos
County Internal data, analyses, recommendations, and similar items (collectively, "Client Data"), and (ii) data and/or
recommendations that have been created by SmithGroup for the benefit of Brazos County as part of the Services
(collectively, "SmithGroup Data"), In the development of SmithGroup Data, SmithGroup may use algorithms, software
systems, plans, processes, tracking tools, contract assessment/ modeling tools, formulas, or data from thlyd-party
vendors, and other intellectual property owned by SmithGroup or which SmithGroup has the right to use as of or after
the date hereof (including, without limitation, the format of SmithGroup's reports and any improvements or knowledge
SmithGroup develops, whether alone or with others, in the performance of the Services) (collectively, "SmithGroup
Tools"). Brazos County shall own, solely and exclusively, the Client Data delivered pursuant to this Agreement.
Brazos County agrees that SmithGroup shall own, solely and exclusively, all SmithGroup Tools and all intellectual
property rights therein whether or not registerable (including without limitation patents and inventions, trademarks,
service marks, logos and domain names and all associated goodwill, copyrights and copyrightable works and rights
in data and databases, and trade secrets, know-how and other confidential information). Brazos County
acknowledges and agrees that SmithGroup may, and reserves the right to, use the Client Data and any information
and data generated by the SmithGroup Tools solely in an aggregated, non -personally identifiable manner in order to
create and improve the compilations, statistical analyses, or benchmarks provided by SmithGroup in any services
(collectively, "Aggregate Data") as long as the resulting Information does not identify Brazos County and Brazos
County hereby grants to SmithGroup a perpetual, irrevocable, royalty -free license to use the Client Data, solely as
described herein. All right, title and interest in and to the Aggregate Data shall inure to the sole and exclusive benefit
of SmithGroup. With respect to any SmithGroup Data that is contained in any documents delivered by SmithGroup to
Brazos County, SmithGroup grants Brazos County a royalty free, paid up, non-exclusive, perpetual license to use the
SmithGroup Data solely in connection with Brazos County's internal use of the documents and for no other purpose.
Brazos County acknowledges and agrees that all SmithGroup Data (including any advice, recommendations,
information, or work product Incorporated into the SmithGroup Data) provided Brazos County by SmithGroup in
connection with this Agreement is for the sole internal use of Brazos County, including all subsidiaries of Brazos
County, and may not be used or relied upon by any third party; provided that Brazos County may incorporate into
documents that Brazos County intends to disclose externally SmithGroup summaries, calculations or tables based on

retains all rights not expressly granted to Brazos County hereunder.
DELIVERY OF CADD GRAPHIC FILES
Any electronic/data/digital files (Files) from SmithGroup shall be deemed Instruments of Service, and/or Work
Product, as the case may be, for the Project identified above. Brazos County covenants and agrees that:1) the Files
are Instruments of Service of SmithGroup, the author, and/or Work Product of SmithGroup, as the case may be; 2) in
providing the Files, SmithGroup does not transfer common law, statutory law, or other rights, including copyrights; 3)
the Files are not Contract Documents, in whole or in part; and 4) the Files are not As -Built files. Brazos County
agrees to report any defects in the Files to SmithGroup, within 45 days of the initial Files transmittal date (Acceptance
Period). It is understood that SmithGroup will correct such defects, in a timely manner, and retransmit the Files.
Brazos County further agrees to compensate SmithGroup, as Additional Services, for the cost of correcting defects
reported to SmithGroup after the Acceptance Period. Brazos County understands that the Files have been prepared
to SmithGroup's criteria and may not conform to Brazos County drafting or other documentation standards. Brazos
County understands that, due to the translation process of certain CADD formats, and the transmission of such Files
to Brazos County that SmithGroup does not guarantee the accuracy, completeness or integrity of the data, and that
the Brazos County will hold SmithGroup harmless for any data or file clean-up required to make these Files usable.
Brazos County understands that even though SmithGroup may have computer virus scanning software to detect the
presence of computer viruses, there is no guarantee that computer viruses are not present in the Files, and that
Brazos County will hold SmithGroup harmless for such viruses and their consequences, as well as any and all liability
or damage caused by the presence of a computer virus in the Files. Brazos County agrees, to the fullest extent
permitted by law, to indemnify and hold SmithGroup harmless from any and all damage, liability, or cost (including
protection from loss due to attorney's fees and costs of defense), arising from or in any way connected with and
changes made to the Files by Brazos County.
Under no circumstances shall transfer of Files to Brazos County be deemed a sale by SmithGroup. SmithGroup
makes no warranties, express or implied, of merchantability or fitness for any particular purpose.
LIMITATION OF LIABILITY
NOTWITHSTANDING ANYTHING TO THE CONTRARY AND TO THE FULLEST EXTENT PERMITTED BY LAW,
BRAZOS COUNTY AGREES THAT THE TOTAL LIABILITY OF SMITHGROUP IN CONNECTION WITH THIS
AGREEMENT, WHETHER IN CONTRACT, TORT, NEGLIGENCE, BREACH OR OTHERWISE, SHALL NOT
EXCEED AND SHALL BE LIMITED TO THE TOTAL COMPENSATION RECEIVED BY SMITHGROUP UNDER
THIS AGREEMENT.
MISCELLANEOUS PROVISIONS
SmithGroup will use reasonable professional efforts and judgment in responding in the design to applicable federal,
state and local laws, rules, codes, ordinances and regulations. Brazos County acknowledges that certain state and
local laws, rules, codes, ordinances and regulations may reference standards that are outdated and/or contrary with
today's industry requirements. SmithGroup cannot and does not warrant or guarantee that the Project will comply
with all such outdated and/or contrary federal, state and local laws, rules, codes, ordinances and regulations
Notwithstanding anything to the contrary, nothing contained herein shall be construed: i) to constitute a guarantee,
warranty or assurance, either express or implied, that the SmithGroup's Services will yield or accomplish a perfect
outcome for this Project; or 11) to obligate the SmithGroup to exercise professional skill or judgment greater that the

SmithGroup will use reasonable professional efforts and judgment to interpret applicable ADA requirements and
other federal, state and local laws, rules, codes, ordinances and regulations as applicable to this Project. Brazos
County acknowledges that requirements of ADA, as well as other federal, state and local laws, rules, codes,
ordinances and regulations, will be subject to various and possibly contradictory interpretations. SmithGroup cannot
and does not warrant or guarantee that the Project will comply with all interpretations of the ADA requirements and/or
the requirements of other federal, state and local laws, rules, codes, ordinances and regulations
Notwithstanding anything to the contrary in this Agreement, the Parties acknowledge that there may be delays in the
performance of this Agreement for the period that such delay is due to causes beyond a Party's reasonable control,
including but not limited to Acts of God, government regulations, orders or controls (including, but not limited to,
shelter4n-place orders and construction moratoriums), quarantine, epidemic or pandemic. Both parties shall make
reasonable efforts to notify the other Party if a force majeure event will delay performance. In the event of such delay,
neither Party shall be liable to the other Party for delay or damage caused. SmithGroup's fees for the remaining
services and the time schedules shall be equitably adjusted as mutually agreed between the Parties before services
are resumed.

The W-NDOR will maintain the appropriale current licenses and/or certifications

1.3 Ekleh evaluation will include (1) a thorough clinical interview (2) an appropriate global
measure of persortttlfty/psycllosoeial lunctioning, and (3) additional specific nleasure(s)
ol* behavioral style or cognitive itinetioning as indicated by other evaluation measures or
referral questions posed by COUNTY.
1.4 VENDOR shall selledule' evaluations within 10 working days after receiving written or

1.6 VENDOR shall make available the psychological evaluation report generated on persons
served tinder the Agreement for mailing to, or personal pick -tip by, COUNTY within 14
working days alter the scheduled evaluation.
1.7 VENDOR agrees to discuss via phone or entail with COUNTY situations that alter these
scllcduling-testing report expectations as soon as either panty becomes aware of the need
to change expectation for a given reterral.
1.8 VENDOR agrees that payment will be based oil the timely submission of evaluation
reports as stated above.
1.9 VENDOR shall provide COUNTY wilh an invoice by the 10`i' of each month for services
rendered during the previous month.
1.10 VENDOR shall accept, as full compensation, the sum of $250.00 per psychological
evaluation.
1.11 Upon request by the COUNTY. VENDOR shall accept, as frill compensation, the sum of
$250.00 per psychological re-evaluation. VENDOR understands and agrees that the
COUNTY will not he liable for the payment orally re-evaluation ice. VENDOR further
understands that the applicant is liable for the re-evaluation Ice.
1.12 Upon request by the COUNTY, VENDOR shall provide a copy of the current
professional credentials orall individuals involved with the evaluation. VENDOR shall
also provide a current certificate or insurance, reflecting the contractually required
insurance coverage.
1.13 VENDOR ACKNOWLEDGES 'rFIA'T ALL INFORMATION AND RECORDS
RELATED TO THIS AGREEMENT ARE CONFIDENTIAL. VENDOR SHOULD
RELEASE INFORMAN'TION AND RECORDS ONLY TO THE COUNTY. VENDOR
ACKNOWLEDGES Ti-IA'T NO INFORMATION OR RECORDS. MAY BE
RELEASED TO APPLICANTS.
ARTICLE 11

2.1 COUNTY shalt assign a liaison per departnicnt requiring services to VENDOR for
purposes of communication.
2.2 COUNTY shall provide VENDOR a written request for evaluation.
2.3 COUNTY shall provide VENDOR with a completed Release of hlrormation signed by
each person being evaluated prior to the scheduled evaluation.
2.4 COUNTY agrees to discuss via phone of email with VENDOR situations that alter the

TERMINATION, SUSPENSION OR ABANDONMENT
3.1 This Agreement may be terminated by either party upon not less than thirty (30) days
written notice should the other party flail to substantially peribrin in accordance with the
terms of this Agreement through no fault of the party initiating the termination. In the
event that a notice of termination is provided by either party, any COUNII'TY candidates
scheduled for evaluations, prior to the termination (late will be allowed to complete their
evaluation, provided that the cancellation w.rs requested by VENDOR. In the event this
agreenhent is canceled, VENDOR will be paid only fior the evaluation completed.

4.2 Neither the COUNTY nor the VENDOR shall assign this Agreement without the express
written consent of the other party.

4.3 This Agreement represents the entire integrated agreement betwecn the COUNTY and
the VENDOR and supersedes till prior negotiations, representations or agreements, either
written or oral. This Agreement may be amended only by written instrument signed by
both the COUNTY and the VENDOR.
4.4 Nothing contained in this Agreement shall create a contractual relationship with or a
cause of action in Favor of a third party against either the COUNTY or the VENDOR.
4.5 COMPLIANCE AND STANDARDS. The VENDOR agrees to perrorm the work
hereunder in accordance with generally accepted professional standards applicable
thereto and shall use that degree of Bare and skill commensurate with the profession to
comply with all applicable slate, federal and local laws, ordinances, rules and regulations
relating to the work to be performed hereunder and the VENDOR'S performance.
4.6 INDL'•MNIFICATION: VENDOR shall save and hold harmless the COUNTY from and
against tiny and all claims and liability due to activities of the VENDOR, its agents or
employees, performed under this Agreement and which result fironn any negligent act,
error, or omission orthe VENDOR, or of any person employed by the VENDOR. The
VENDOR shall also save harmless the COUNTY from and against any and all expenses,
including attorney's Pecs which might be incurred by the COUNTY in litigation, or
otherwise, resisting said claims or liabilities which might be imposed on the COUNTY as
the result ofsuch activities by the VENDOR, its agents or employees.
4.7 Nothing in this Agreement shall be construed as a waiver of the COUNTY'S
Governmental immunity.
4.8 SEVERABILITY: In the event that any provisions or portion of this Agreement is held
to be unenforceable or invalid, the validity and cul'orceability of the remaining provisions
or portions shall not be affected.
ARTICLE V

5.1 INSURANCE-': The VI NDOR shall instruct his insurance agent or carrier to linrnisll to

any services are rendered.

a. Professional Liability Insurance: VENDOR sllnil obtain and maintain at

Failure to maintain the required insurance shall be deemed to be a material breach or this
