Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court,with both judicial and legislative powers,created under Article V, Section 1 and Section 18 of the Texas Constitution.As a Constitutional Court,the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code.Accordingly,members of the public in attendance at any Regular,Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,and/or addressing the Court;in participating in public discussions before the Court;and in all actions in the presence of the Court.Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Vole Pg.�� p MINUTES NOVEMBER 2, 2021 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, November 2, 2021 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Russ Ford, Commissioner of Precinct 2; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4, Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. 1. Invocation and Pledge of Allegiance -U.S. and Texas Flag -Commissioner Berry 2. Call for Citizen input and/or concerns Roy Flores expressed his concerns over moving voting locations in the underserved communities, making it more difficult for those residents to cast their votes. Consider and take action on agenda items: 3-25 3. Proclamation 21-014 proclaiming November 16, 2021 as Brazos County Crime Stoppers' 40th Anniversary. The County Judge read aloud Proclamation 21-014 designating November 16, 2021 as Brazos County Crime Stoppers 40th Anniversary. The Court commends the program and the many men and women who have made the program a success. Robert Santarsiero thanked the Court for the proclamation. The County J udge then presented the proclamation to the Crime Stoppers Board members. A copy of the proclamation is attached. Noel Valdez, Bond Counsel with McCall, Parkhurst and Horton explained that this Resolution imposes no liability on the County. It is a requirement of Federal Tax Law for Local Elected Officials to approve the bonds on a tax exempt basis.A copy of the Resolution is attached. Commissioner Berry stated that Diego is a valuable member of Precinct 3 and thanked the Ranch Harley Davidson for their donation.A copy of the donation form is attached. Judge Peters explained that the AgriLife Extension has modified some of their regulations but that it would not impact homeowners. He then invited Dr. Don Renchie from the AgriLife Extension Agency up to give further information. Dr.. Renchie stated that his will address crop production in relation to herbicides. Commissioner Berry stated that she feels this is a forward looking project and commended the Court. Commissioner Ford agrees that this purchase makes a lot of sense but would like the County to have an updated needs assessment preformed to determine how best to utilize the building. Discussion of the proposed Redistricting Plan identified as "Illustrative Plan 2" by the Commissioners Court and any amendments necessary to finalize the proposed plan for adoption, and possible adoption of a Redistricting Plan. Commissioner Ford stated that he has received numerous phone calls from citizens that feel their concerns were not addressed after the Public Hearing on October 27, 2021. Commissioner Cauley expressed that the citizen's concerns were heard and that all facts were taken into consideration while developing the new redistricting plan. Susan Laue voiced her opinion in regards to creating easy and understandable boundaries stating, a boundary should not be a creek. John Book, a resident of Precinct 2 asked that the Court set clear boundaries and to not steer away from strong conversations in regards to the redistricting process. Commissioner Aldrich proposed a plan that would eliminate the political implications discussed at last week's redistricting workshop. He suggested that the division of Precinct 2 and 3 should be located at the creek on Elmo Weedon Road. Judge Peters pointed out a couple of issues with Commissioner Aidrich's proposal. First,the redistricting process is under a time crunch and it would be very difficult to organize another public hearing and redrawing session with the remaining time allotted. Second, Judge believes that Highway 30 is a much clearer boundary and makes the most sense. Commissioner Aldrich disagreed and added that he feels his proposal could allow the Court to reach a complete consensus on the matter as it would take away any political concerns. Commissioner Cauley interjected that she feels the topic has been debated enough and that a vote should be taken to settle the issue, as it was obvious the Court would not be in 100 percent agreement. She then made a motion to vote on the redistricting plan and Commissioner Aldrich seconded her motion. By a show of hands the vote yielded 3 ayes from Judge Peters, Commissioner Berry and Commissioner Cauley.As well as 2 nays from Commissioner Aldrich and Commissioner Ford. A copy is attached. Juvenile Director Linda Ricketson reported there are 32 juveniles in the detention center, 24 are male and 8 are female, and 22 have electronic monitors. There are 5 youth in isolation as per medical protocol for new intakes. 27. Sheriff's report on inmate population. Sheriff Wayne Dicky stated there were 648 inmates in jail, 549 inmates are male and 99 are female, 39 have electronic monitors and 11 are pending for processing. There are no inmates positive for COVI D-19 and none are in quarantine. There are 2 staff members positive for COVI D-19. 28. Announcement of interest items and possible future agenda topics. "Title Commitment" means a Commitment for Issuance of an Owner Policy of Title Insurance by Title Company, as agent for Underwriter, stating the condition of title to the Land. The"Effective Date"stated in the Title Commitment must be after the Effective Date of this contract. "Title Policy"means an Owner Policy of Title Insurance issued by Title Company, as agent for Underwriter, in conformity with the last Title Commitment delivered to and approved by Buyer. 3. Survey. "Survey" means an on-the-ground staked plat of survey and metes-and-bounds description of the Land prepared by Surveyor or another surveyor satisfactory to Title Company, engaged by the Buyer, dated after the Effective Date, and certified to comply with the current standards and specifications as published by the Texas Society of Professional Surveyors for the survey, Category 1A. 4. UCC Search. Not applicable. 5. Delivery of Title Commitment and Legible Copies. Seller must deliver the Title Commitment to Buyer by the deadline stated in section A.2.;and legible copies of the instruments referenced in the Title Commitment and Survey by the deadline stated in section A.5. 6. Title Objections. Buyer has until the deadline stated in section A.6. ("Title Objection Deadline") to review the Survey, Title Commitment, and legible copies of the title instruments referenced in them and notify.Seller of Buyer's objections to any of them ("Title Objections"). Seller will deliver to Buyer copies of Seller's records specified in Exhibit C by the deadline stated in section A.7. 2. Entry onto the Property. Buyer may enter the Property before closing to inspect it, subject to the following: a. Buyer may not unreasonably interfere with existing operations or occupants of the Property; b. Buyer must notify Seller in advance of Buyer's plans to conduct tests so that Seller may be present during the tests; C. If the Property is altered because of Buyer's inspections, Buyer must return the Property to its pre-inspection condition promptly after the alteration occurs;and e. Buyer must abide by any other reasonable entry rules imposed by Seller. 3. Buyer's Right to Terminate. Buyer may terminate this contract and receive a full return of the Earnest money for any reason by notifying Seller no later than the end of the Inspection Period as set out in A.S, above. H. Representations The representations stated in Exhibit B are true and correct as of the Effective Date and must be true and correct on the Closing Date. . For the purposes of the representations and warranties contained in Exhibit B,wherever the phrase "to Seller's actual knowledge" or a similar phrase referencing or qualifying a representation by Seller's knowledge is used, Seller's knowledge shall be deemed to be limited solely to the current, actual knowledge of Paul Buckner, in his capacity as Director of Construction and Energy Management, having at least as much (or more) knowledge of the Property as any employee of Seller,without any independent investigation or inquiry having been made. The named individual is acting for and on behalf of Seller and in a capacity as an officer or employee of Seller or one more of Seller's affiliates and is in no manner expressly or impliedly making any representations or warranties in an individual capacity. The continued accuracy of the representations and warranties contained in Exhibit B in all material respects at closing is a condition to the obligation of Buyer to purchase the Property. However, if as a result of any change of conditions with respect to any portion of the Property and/or the acquisition by Seller of information not known to Seller at the time of execution of this contract, Seller is unable to confirm any such representations and warranties as of the Closing Date, Seller shall revise any such representations and warranties to reflect facts or conditions then existing or known to Seller. If Buyer is unwilling to accept any such modification to Seller's representations and warranties, Buyer, as its sole and exclusive remedy, shall have the right to terminate the contract, in which event the Earnest Money shall be returned to Buyer by the Title Company and neither party hereto shall have any further obligations hereunder except for such obligations and indemnities which expressly survive the termination of the contract. Buyer shall not have a right to bring any action against Seller for breach of a representation or warranty in any circumstance where Buyer had actual knowledge prior to closing that such representation or warranty was inaccurate if Buyer failed.to notify Seller of such fact in writing prior to that closing as aforesaid, or if Buyer elects to proceed to closing despite knowing that such representation or warranty was inaccurate. I. Condition of the Property until Closing; Cooperation; No Recording of Contract 1. Maintenance and Operation. Until closing, Seller will (a) maintain the Property as it existed on the Effective Date,except for reasonable wear and tear and casualty damage;(b)operate the Property in the same manner as it was operated on the Effective Date; and(c) comply with all contracts and governmental regulations affecting the Property. Until the end of the Inspection Period, Seller will not enter into, amend, or terminate any contract that affects the Property other than in the ordinary course of operating the Property and will promptly give notice to Buyer of each new, amended, or terminated contract, including a copy of the contract, in sufficient time so that Buyer may consider the new information before the end of the Inspection Period. If Seller's notice is given within three days before the end of the Inspection Period,the Inspection Period will be extended for three days. After the end of the Inspection Period, Buyer may terminate this contract if Seller enters into, amends, or terminates any contract that affects the Property without first obtaining Buyer's written consent. 2. Casualty Damage. Seller will notify Buyer promptly after discovery of any casualty damage to the Property. Buyer may terminate this contract if the casualty damage that occurs before closing would materially affect Buyer's intended use of the Property, by giving notice to Seller within fifteen days after receipt of Seller's notice of the casualty(or before closing if Seller's notice of the casualty is received less than fifteen days before closing). If Buyer does not terminate this contract, Seller will (a) convey the Property to Buyer in its damaged condition, (b) assign to Buyer all of Seller's rights under any property insurance policies covering the Property, and (c) pay to Buyer the amount of the deductibles and coinsurance provisions under any insurance policies covering the Property,but not in excess of the cost to repair the casualty damage and less jany amounts previously paid by Seller to repair the Property. If Seller has not insured the Property and Buyer does not elect to terminate this contract in accordance with this section, the Purchase Price will be reduced by the cost to repair the casualty damage. Seller will notify Buyer promptly after Seller receives notice that any part of the Property has been or is threatened to be condemned or otherwise taken by a governmental or quasi-governmental authority. Buyer may terminate this contract if the condemnation would materially affect Buyer's intended use of the Property by giving notice to Seller within fifteen days after receipt of Seller's notice to Buyer (or before closing if Seller's notice is received less than fifteen days before closing). If Buyer does not terminate this contract, (a) Buyer and Seller will each have the right to appear and defend their respective interests in the Property in the condemnation proceedings, (b) any award in condemnation will be assigned to Buyer, and (c) if the taking occurs before closing,the description of the Property will be revised to delete the portion taken. 4. Claims;Hearings. Seller will notify Buyer promptly of any claim or administrative hearing that is threatened,filed, or initiated before closing that affects the Property. 5. Cooperation. Seller will cooperate with Buyer(a) before and after closing,to transfer the applications,permits, and licenses held by Seller and used in the operation of the Property and to obtain any consents necessary for Buyer to operate the Property after closing and (b) before closing, with any reasonable evaluation, inspection, audit, or study of the Property prepared by, for,or at the request of Buyer. 6. No Recording. Buyer may not file this contract or any memorandum or notice of this contract in the real property records of any county. If, however, Buyer records this contract or a memorandum or notice, Seller may terminate this contract and record a notice of termination. J. Termination I. Disposition of Earnest Money after Termination a. To Buyer. If Buyer terminates this contract in accordance with Buyer's right to terminate due to Seller's default, Seller will,within five days of receipt of Buyer's termination notice,authorize Title Company to deliver the Earnest Money to Buyer with exception. The Earnest Money will be returned to Buyer if it terminates the contract for Seller's failure to secure a release of the restrictive covenant,if any,in the Warranty Deed. b. To Seller. If Seller terminates this contract in accordance with Seller's right to terminate due to Buyer's default,Buyer will,within five days of receipt of Seller's termination notice,authorize Title Company to pay and deliver the Earnest Money to Buyer. K. Closing 1. Closing. This transaction will close at Title Company's offices at the Closing Date and Closing Time.At closing,the following will occur: a. Closing Documents. Title Company will be instructed to disburse the Purchase Price and other funds in accordance with this contract,record the deed and the other Closing Documents directed to be recorded, and distribute documents and copies in accordance with the parties' written instructions. d. Delivery of Originals. Seller will deliver to Buyer the originals of Seller's Records. e. Possession. Seller will deliver possession of the Property to Buyer, subject to the Permitted Exceptions existing at closing and any lien and security interest in favor of Seller if the sale is seller-financed. 2. Transaction Costs a. Seller's Costs. Seller will pay half of the escrow fee charged by the Title Company; the costs to obtain,deliver,and record releases of all liens to be released at closing; the cost to record all documents to cure Title Objections agreed to be cured by Seller; the cost to record the deed; the costs to obtain certificates or reports of ad valorem taxes; and Seller's expenses and attorney's fees. b. Buyer's Costs. Buyer will pay for the Title Policy;half of the escrow fee charged by the Title Company; Title Company's inspection fee to delete from the Title Policy the customary exception for parties in possession;the cost of the survey;the cost to-prepare the deed and Buyer's expenses and attorney's fees. c. Ad Valorem Taxes. Ad valorem taxes for the Property for the calendar year of closing will be prorated between Buyer and Seller as of the Closing Date. Seller's portion of the prorated taxes will be paid to Buyer at closing as an adjustment to the Purchase Price. If the assessment for the calendar year of closing is not known at the Closing Date,the proration will be based on taxes for the previous tax year, and Buyer and Seller will adjust the pro-rations in cash within thirty days of when the actual assessment and taxes are known. Seller will promptly notify Buyer of all notices of proposed or final tax valuations and assessments that Seller receives after the Effective Date and after closing. All taxes due as of closing will be paid at closing by Seller. If errors in the pro-rations made at closing are identified within ninety days after closing, Seller and Buyer will make post-closing adjustments to correct the errors within fifteen days of receipt of notice of the errors. f. Brokers'Commissions. Buyer and Seller represent that neither have engaged a Broker for this property and no Broker commissions are applicable to this contract. 3. Issuance of Title Policy. Seller will cause Title Company to issue the Title Policy to Buyer as soon as practicable after closing. L. Default and Remedies 1. Seller's Default. If Seller fails to perform any of its obligations under this contract or if any of Seller's representations are not true and correct as of the Effective Date or on the Closing Date ("Seller's Default"), Buyer may terminate this contract by giving notice to Seller and have the Earnest Money, as described above,returned to Buyer. 2. Buyer's Default. If Buyer fails to perform any of its obligations under this contract ("Buyer's Default"), Seller may,as its sole and exclusive remedy,terminate this contract by giving notice to Buyer on or before the Closing Date and Closing Time and have the Earnest Money paid to Seller. 3. Liquidated Damages. All traffic control measures must follow the Texas Manual of Uniform Traffic Control Devices(TMUTCD). See Traffic Control Requirements below, 2. During constructiod;:aIl safety regulations of the Teras Department of Transportation shall be observed. 3. Permittee must takesuch precautions and measures,including placing and displaying safety devices,:as may be necessary,in order to safely conduct the public through the project area. All underground installations shall(these are minimum depths.-utility may place deeper): a. be placed at a minimum depth of forty-eight(48)inches below the top of the pavement; b. be at least thirty-six(36)inches below ditch flow line when installation is within the area.measured from top of bank to top-of bank; C. beat least forty-eight(48)inches below ditch flow line if low pressure gas or petroleum lines. For. high pressure gas and petroleum lines,see High Pressure-Pipelines requirements listed below; :... d. .not be closer than ten(10)feet from the edge of pavement.Exceptions may apply in rights of way of. . less than 60 feet. 4. . Water Lines: All water lines must:be a minimum 36-inches below the ditch flow line and cased. Waterlines shall be cased if crossing under the roadway. 5. Any.installation.within ten(10).feet of edge of pavement shall meet the following: a. location must be approved by the County Engineer or his representative b. backfilled with cement stabilized material. . .. c. based upon soil conditions,the County Engineer or his representative may require shoring to protect pavement integrity. d. all excess water and mud shall.be removed from the trench prior to backfilling. Any backfill placed during a rainy period or at other times where excess water cannot be prevented from entering the trench will be considered TEMPORARY and shall be replaced with PERMANENT cement stabilized material as soon as'weather permits; e. all disturbed base and pavement materials shall be removed and restored to the satisfaction of the County Engineer or his representatives. f. no side or lateral tamping to fill voids under the base and pavement materials is allowed. 11. Company must be careful to not jeopardize the slope or integrity of the shoulder of the road. In the event Company damages.the slope,shoulder or any other portion of the right-of-way,Company will be responsible for repairing the damage and replacing the right-of-way to the condition it was prior to commencing construction. 12. Operation of construction and/or maintenance equipment on the traveled surface of any improved County ' road will not be permitted,except in an instance whereby the laying,constniction,'maintenan'ce and/or repair:of cables,conduits and/or pole lines cannot be accomplished by any other method and in this event: all such equipment shall be of the rubber tire variety. Appropriate traffic control shall be provided meeting TMUTCD regWrements. :e. 13.
