BRAZOS COUNTY COMMISSIONERS COURT
REGULAR MEETING
A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South
Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday,
March 2, 2021 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1;
Russ Ford, Commissioner of Precinct 2;
Nancy Berry, Commissioner of Precinct 3;
Irma Cauley, Commissioner of Precinct 4, Present by Teleconference;
Karen McQueen, County Clerk.
The attached sheets.contain the names of the citizens and officials that were in
attendance.

2. Call for Citizen input and/or concerns
Bill Batchelor, owner of a snack food distribution company spoke to the Court about the
mask mandate. Mr. Batchelor stated he is anti-mask and said there is no science
anywhere to prove that it works. Mr. Batchelor said he is frustrated to see businesses
restricted. He feels this is about taking away freedoms. He asked to the Court to allow
businessesthe freedom to open up completely when the Governor ends the mask
mandate.

Uncompensated Care (UC), withheld final payment for the benefit of qualified hospitals

The Court voted unanimously to accept the recommendation of the Purchasing Agent
and awarded IQ #CIP 21-622 Concrete and Electrical Services on Asphalt Tank for
Brazos County Road and Bridge to Collier Construction, LLC. A copy of the bid
tabulation and contract is attached.

20. Convene into Executive Session pursuant to the following:
• a. Texas Government Code §551.071 to consult with attorney about pending or
contemplated litigation and/or a settlement offer.
• b. Texas Government Code §551.0725 to deliberate business and financial issues
related to a contract being negotiated.
At this point, the County Judge announced the Court would consider items 22 through
28 then return to convene into Executive Session.
Having considered the previously noted agenda items, Civil Counsel Bruce Erratt
submitted a written determination that deliberation in an open meeting would have a
detrimental effect on the position of the Court in negotiations with a third party. A motion
was offered by Commissioner Berry to meet in closed Executive Session as per Mr.
Erratt's recommendation. The motion was seconded by Commissioner Ford. The
Court could not hear Commissioner Cauley's vote by teleconference, so she sent a text
message stating her vote was aye. The motion passed unanimously. At 10:24 a.m. the
County Judge announced the meeting closed to the public, so the Court could convene

into Executive Sessions (a) and (b) as stated above. He asked the following people to
stay for the sessions:

At 10:42 a.m. the County Judge announced the meeting open to the public and on
motion by Commissioner Berry, seconded by Commissioner Ford, the Court voted
unanimously to engage West, Webb, Allbritton & Gentry, PC for legal services. A copy
of the contract is attached.

County Sheriffs Office.

25. Juvenile Director's report on detention population.
Juvenile Director Linda Ricketson reported there are 23 juveniles in the detention center,
18 are male and 5 are female, and 17 have electronic monitors. There are 10 youth in
medical isolation as per protocol for new intakes.
26. Sheriff's report on inmate population.
Kevin Stuart, Jail Administrator stated there were 556 inmates in jail, 480 inmates are
male and 76 are female, 33 have electronic monitors and 5 are pending for monitors.
There are no inmates positive for COVID-19 and no inmates are in quarantine. There
are 2 staff members out.
27. Announcement of interest items and possible future agenda topics.

Commissioner Aldrich announced Happy Birthday Texas.
28. Call for Citizen input and/or concerns
Justice of the Peace, Precinct 3 Judge Rick Hill reported that two weeks ago he went to
check the office after the storm and found water damage. He said that work began
immediately to remedy the problem but it was apparent they could not work in the office.
They have temporarily relocated to the vacant Justice of the Peace office in the
Administration Building. The IT Department helped them set up the computers and they
have notifications at both locations. He said they are open and ready for business. They
are working on their truancy dockets after some delays. Judge Hill said he is the
President of the Justice of the Peace and Constables Association of Texas this year.
He said he is very interested in Bail Reform and is looking forward to the Governor's
Bill. He went on to say he is working on a Bail Reform Bill that keeps Texas safe.
Judge Hill said that the only PR bonds being given are in Harris County and that includes
violent offenders. Judge Hill stated another issue is the "Silencing Bill", which is the
anti-tax payer funded lobby. He offered to help with a joint resolution from Brazos
County. He said it would be more powerful if it was from all of the county officials.

PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda,and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting.Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court,with both judicial and legislative powers,created under Article V,Section 1 and Section 18 of the Texas Constitution.As a
Constitutional Court,the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code.Accordingly, members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the
Court.Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting.Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group.Neither is it the intention of the Court to allow a member(or members)of the public to insult the honesty and/or integrity
of the Court,as a body,or any member or members of the Court,or County employees,individually or collectively.Accordingly,
profane,insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated.Violation of these rules may result in the following sanctions:
1.cancellation of a speaker's time;
2.removal from the Commissioners Court;
3.a Contempt Citation;and/or
4.such other and/or criminal sanctions as may be authorized
under the Constitution,Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period,speakers may address matters not listed on the published agenda.The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However,responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public.To ensure the public has notice of all matters the Commissioners Court will consider,the County Judge
and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court.The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to
attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business
of the Court.

Program Services
The ARTS program includes the following services:
• Measurement,Administrative,and Stability Period tracking for 2021 and notification of eligibility
for part-time/variable/seasonal employees(can provide tracking back to beginning of
Measurement Period if 2020 data was provided by countyldistrict),
• Reporting for your county/district regarding the status of potential benefits-eligible employees;
• Production of your county/district's 1095C forms,shipped to you for distribution to employees
(optional direct mail service for additional fee);
• Transmission of your countyldistrict's 1094C and 1095C forms to the IRS.
Program Requirements
1) Participants must provide employer,payroll,employee and unpaid leave of absence
(LOA) files related to the group's Health Benefits Plan in the file format designated by

A. AGREEMENT
1. Agreement:
This order incorporates by reference the terms of the Contract for Products and Related Services between the State of Texas
acting through the Department of Information Resources("DIR")and Oracle America, Inc.(`Oracle"),effective July 30,2018(DIR
Contract No. DIR-TSO-4158; Oracle Contract Igo. US-GMA-1889764) and all amendments and addenda thereto (the
°Agreement°). The defined terms in the Agreement shall have the same meaning in this order unless otherwise specified herein.
B. DESCRIPTION AND FEES FOR ORDERED SERVICES
All fees on this ordering document are in US Dollars.
1. Terms of Use:
All products and services listed on this Ordering Document are provided by Oracle under, and subject to, the terms of this
Ordering Document, including the Agreement and'all Oracle documents referenced in this Ordering Document. You indicate Your
agreement to the terms of this Ordering Document, including the Agreement, by signing this Ordering Document, and You
represent that You have the authority to bind the Customer to whom this Ordering Document is addressed above to the terms of
this Ordering Document and the Agreement. As applicable, Oracle processes a customer's order after receipt of a purchase
order. Any terms and conditions on Your purchase order are void and have no legal effect For Cloud Services, You may not
reduce•the quantity of services purchased hereunder(e.g., user or record counts, storage, etc.), in whole or in part, during the
Services Period set forth above. The Services Period for the Cloud Services commences on the date stated in the Ordering
Document, or, If none is provided in the Ordering Document the day that Oracle sends'to Your administrator the e-mail
welcoming You to the Oracle Cloud that instructs You on how to create Your Cloud login and configure the Cloud Services (the
"Cloud Services Start Date").You must maintain a current subscription to applicable Oracle Cloud Services for the duration of any
Technical Cloud Services ordered under this Ordering Document.
2. Fees:
The Cloud Services Payment Frequency applies to all Cloud Services fees and taxes'(if applicable), and the Technical Cloud
Services Payment Frequency applies to all fees and taxes(if applicable)for Technical Cloud Services. All fees payable to Oracle
are due in accordance with Appendix A, Section 8.J of DIR Contract No. DIR-TSO-4158. Once placed, Your order is non-
cancelable and the sums paid nonrefundable, except as otherwise provided herein or in the Agreement. If applicable to You,You
will pay any sales,value added or other similar taxes imposed by applicable law that Oracle must pay based on the Services You
ordered, except for taxes based on Oracle's income. Also, You will reimburse Oracle for reasonable pre-approved expenses
related to providing any Technical Cloud Services in accordance with Appendix A, Section 8.F of the Agreement Unless,
specifically stated otherwise,fees for Services listed in an order are exclusive of taxes(if applicable)and expenses.
Cloud Services Payment Frequency: Your payment frequency is quarterly in arrears.
Technical Cloud Services Payment Frequency:
Unless otherwise specified in services descriptions applicable to the Technical Cloud Services You have ordered, or-in an exhibit
specifying the Technical Cloud Services You have ordered, the fees for Technical Cloud Services and any applicable taxes shall
be invoiced monthly in arrears. You are responsible for payment of pre-approved expenses,if any,in accordance with Appendix A,
Section 81 of DIR Contract No.DIR-TSO-4158. Expenses will be invoiced monthly as they are incurred and are due in accordance
with Appendix A,Section 8.J of DIR Contract No. DIR-TSO-4158.
3. Renewal of Cloud Services:
Notwithstanding any statement to the contrary in the Services Specifications, the parties expressly agree that the Cloud Services
acquired under this Ordering Document will not Auto-Renew.'At the end of the Services Period,the Cloud Services acquired under
this Ordering Document may be renewed for an additional Services Period, subject to Your placement of a renewal order and
payment of fees for such Cloud Services. For the first two years of the first renewal Services Period of Cloud Services,the annual
fee for each Cloud Service ordered will not increase by more than 4% of the annualized Unit Net Price for such service in the
immediately preceding year. The Cloud Services may not be renewed as described in the preceding sentence if: (1)Oracle is no
longer making such Cloud Services generally available to commercial customers, or(ii)You are seeking to cancel or reduce the
number of user licenses of the Cloud Services set forth in this Ordering Document.
4. Price Hold for Cloud Services:
During the Services Period, You may order additional quantities of the Cloud Services acquired under this Ordering Document at
the Unit Net Price specified above. This price hold does not apply to Eloqua Marketing Platform Cloud Service,to any renewals or
extensions of the Cloud Services ordered under this Ordering Document,to Cloud Services ordered pursuant to a separate Oracle
discount or promotion,or to any Cloud Services other than those listed in the initial purchase under this Ordering Document

Oracle agrees that during the Service Period specified in this ordering document,the Cloud Services environment holding
Customer data will reside in data centers located in the continental United States. Oracle may access Customer Data on a global
basis to the extent necessary to perform the Cloud Services,including maintenance and Cloud Services technical support.
6. Offer Validity: This order is valid through March 31,2021 and shall become binding upon execution by You and acceptance by
Oracle.
C. SERVICE SPECIFICATIONS
1. Service Specifications:
The Service Specifications that govern the Services ordered consist of the documents listed below,which are incorporated into this
Ordering Document. The Service Specifications are subject to change at Oracle's discretion; however, Oracle changes to the
Service Specifications will not result in a material reduction in the level of performance, security, functionality or availability of the
applicable Services provided to You for the duration of the Services Period. The terms of the Service Specifications,including any
subject matter addressed in the Service Specifications,will replace any inconsistent term,similar subject matter or scope of service
delivery in the Agreement; however, unless expressly stated otherwise in this Ordering Document, the terms of the Data
Processing Agreement shall take precedence over any inconsistent terms in this Ordering Document, Agreement or Service
Specifications but in no event shall any documents take precedence over DIR Contract No. DIR-TSO-4158. For the purposes of
this Ordering Document, references to the term"Customer"in any document within the Service Specifications shall mean"You"as
defined in this Ordering Document.
Service Descriptions and Metrics
Oracle service descriptions and metrics govern Cloud Services and Technical Cloud Services. You may access the version of
these descriptions and metrics that apply.to .the Cloud Services and Technical Cloud Services that You have ordered at
www.oracle.com/contracts.
• Cloud Hosting and Delivery Services Policies
Cloud Hosting and Delivery Services Policies describe and govern Cloud Services. You may access the version of these
policies that apply to the Cloud Services that You have ordered at www.oracle.com/contracts.
• Program Documentation
Program Documentation refers to the program user manuals for the Oracle Programs for Cloud Services,as well as any help
windows and read me files for such Oracle Programs that are accessible from within the service. The Program
Documentation-describes technical and functional aspects of the Oracle Programs. You may access the documentation
online atwww.oracle.com/contracts.
D. OTHER
1. Terms:
The following terms,as used In this Ordering Document or the Agreement and whether or not capitalized,shall have the same
meaning as•the applicable defined term: "Agreement" and "Contract"; "Customer", "Client" and "You"; "Program
Documentation" and"Documentation"; "Ordering Document" and"Order Form";"Services Term"and"Services Period";"Your
Data and"Your Content".
2. Data Processing Agreement:
Oracle's Data Processing Agreement for Oracle Cloud Services (the "Data Processing Agreement"), which is available at
htto://www.oracle.corn/datar)rocessingacireement, is incorporated as Appendix N of DIR Contract No. DIR-TSO-4158 and
describes the parties' respective roles for the processing and control of Personal Data (as that term is defined in the Data
Processing Agreement)that Customer provides to Oracle as part of the Cloud Services under this order. Oracle will act as a
data processor and will comply with all applicable data protection laws to the extent such laws by their terms impose
obligations directly on Oracle as a data processor in connection with the services specified in this ordering document Oracle
will act on Customer's instruction concerning the treatment of Customer's Personal Data residing in the Cloud Services
Environment, as specified in the Agreement, the Data Processing Agreement and this order. Customer remains solely
responsible for Customer's regulatory compliance in connection with Customer's use-of the Cloud Services and will comply

with all applicable laws in connection with the performance of obligations or exercise of rights under this ordering document
and the Agreement. Customer agrees to provide any notices and obtain any consents related to Customer's use of the Cloud
Services and Oracle's provision of the Cloud Services, including those related to the collection,use,processing,transfer and
disclosure of Personal Data.
3. Assignment of this Ordering Document
Notwithstanding anything to the contrary in the agreement or this Ordering Document, You may not assign this Ordering
Document or give or transfer the Services,or an interest in them,to another individual or entity. If You desire that Services be
acquired by another entity, such other entity may order services under a separate contract. You may not grant a security
interest in any of the Services. Notwithstanding the foregoing, upon advance written notice to Oracle,You may assign Your
rights to the Services under this Ordering Document to another governmental agency as designated by the Texas Legislature
(i)that is a successor in interest to You that performs Your statutory obligations, or(ii) as necessary to satisfy a regulatory
requirement imposed upon You by a governing body with the appropriate authority; provided that(w) such assignee entity
agrees in writing to the terms and conditions of the agreement and the Ordering Document, (x) You provide Oracle will all
consents necessary for the assignee to access Your Content, Your Applications, and any other of Your materials in Oracle's
possession,(y)the assignment does not result in any change in Oracle's rights and obligations under this Ordering Document
(including with respect to the Services),or expand,modify or otherwise alter any use or component of the Services or Services
Environments provided under this Ordering Document, and (z) following the assignment, You shall immediately discontinue
use of the Services acquired under this Ordering Document.
4. Expansion
For avoidance of doubt, the additional quantities of Cloud Services that are ordered hereunder are subject to the terms of the
initial order between You and Oracle for such Cloud Services.

The following Financial agreement between Brazos County Sheriffs Office Commissary Fund and
Blinn College District outlines each party's role to the Adult Education and Literacy program at
the Brazos County Detention Center during the period of February 16th,2021 through June 30th,
2021. This agreement will be renewed July 1St,2021 for an additional year if mutually agreed by
both parties. The purpose of this agree is to clarify the roles and responsibilities involved in
providing the agreed services.
Blinn College District Agrees to:
■ Invoice Brazos County Sheriff s Office Commissary Fund (BCSOCF) once a month for
reimbursement of AEL position identified in this agreement;
■ Employ full time staff member who will serve as AEL:liaison/aide for the Brazos County
Detention(BCDC);
■ Provide teacher(s)and aide(s)salaries paid directly to employees for hours teaching AEL
at BCDCD in person or via virtual;
■ Provide teacher training and ongoing technical assistance to teachers and aides;
■ Provide curriculum using scientifically researched and proven assessments;
■ Provide required reporting to the Brazos Valley Council of Government;
■ Provide staff member(s)for recruitment of eligible adults;
■ Provide staff member(s)with flexible class times to meet the needs of adult learners;
■ Assess the effectiveness and success of the AEL program;
■ Provide computers and adult software that is scientifically researched and successful;-
Classroom
uccessful;Classroom teaching supplies that follow BCDC guidelines;
■ Refer applicants to enroll in Adult Education and Literacy services and coordinate services
to allow the best service delivery to customers;and
■ Provide employment,training and support services for customers.
Brazos Count Sherriff's Office Commissary Fund agrees to:
■ Provide payments totaling up to $6,250 during the period of this agreement, and up to
$15,000 per calendar year upon automatic renewal of this agreement;
■ Provide classroom and office space for program service delivery at BCDC;
■ Provide periodic janitorial service of spaces;
■ Provide assistance with the initial recruiting process of AEL students; .
■ Assistance locating and choosing effective staff for each.Class;and
■ Pay monthly invoices from Blinn College District within 30 days of receipt.
Both parties agree to:
■ Share the responsibility for student outreach,recruitment, eligibility determination and
assessment testing and promote the utilization of Workforce services to its students;

■ Share information regarding the availability of services, education and training services,
employment opportunities, availability of supportive services and accept eligible
applicants into applicable programs for the provision of appropriate services;
■ Share program and case information to ensure efficient and quality customer service with
customer's written consent;
■ Maintain the confidentiality of records and agree and acknowledge that all information is
confidential by law and will only be used for the purposes set forth in this agreement;
■ Participate in joint planning,as appropriate;
■ Exchange information and coordinate activities and programs for a more streamlined
and efficient workforce development system;
■ Provide cross training between the staff of the parties regarding policies and
procedures,as requested or needed;
■ Identify opportunities for collaboration,coordination,and elimination of barriers for
effective service delivery;
■ Deliver and implement an efficient and effective referral system between the Parties
and any contractors or operators of one-stop centers;and
■ Use consumer data only in the administration of the Parties'programs.
I. ALLOCATION OF COSTS
As compensation for a full-time staff member.at BCDC hired under Blinn College.District,
under this agreement,BCSOCF agrees to pay Blinn College District up to a total of$6,250
for the duration of this contract,and up to$15,000 yearly after the automatic renewal of this
contract.The terms of the automatic renewal are listed in Section V of this agreement. Blinn
College District agrees to submit invoice in writing to the BCSOCF.The participants in this
agreement assume full responsibility for their respective costs associated with the
performance of the terms of this Agreement.

II. SUBCONTRACTS
All subcontracts or other agreements entered into by the parties to fulfill the purpose of this
Agreement must require subcontractors or other parties to fulfill the respective party's
requirements described in the Allocation of Costs section.A copy of any such subcontract(s)
or agreement(s)entered into by a party.shall be provided to the other party in this agreement.
III. GENERAL PROVISIONS
The parties understand that each party should be able to fulfill its responsibilities under this
Agreement in accordance with the provisions of the law and regulations governing the parry's
activities. Nothing in this agreement is intended to negate or otherwise render ineffective any
such provisions or operating procedures. The parties assume full responsibility for their cost and
performance under the terms of this Agreement.
If at any time either party is unable to perform its functions under this Agreement consistent with
such party's statutory and regulatory mandates, the affected party shall immediately provide
written notice to the other parties to establish a date for resolution of the matter.
Comply with the Federal requirements against Prohibition on Trafficking persons found in the
Trafficking Victims Protection Act of 2000 (TVPA),as amended(22 U.S.C.§7104(g)).
Comply with Title VI of the Civil Rights Act of 1964(PL 88.352)and in accordance with Title VI
of that act,no person in the United States shall,on the grounds of race,color,or national origin,
be excluded from participation in, denied the benefits of, or be otherwise subjected to
discrimination of the delivery of services.
Comply with Section 504 of the Rehabilitation Act of 1973,as amended(29 U.S.C.794),which
prohibits discrimination on the basis of disability.
Comply with the requirements of the Americans with Disabilities-Act of 1990,PL 101336,101St
Congress,2nd Session,104 Stat.327(July 26,1990).
Any dispute between the Brazos County Office of Sheriff and Blinn College Adult Education
regarding this agreement will be governed by Alternative Dispute Resolution for Use by
Governmental Bodies,Chapter 2009, Texas Government Code, and any applicable Model Rules
promulgated by the Office of the'Attorney General and/or the State Office of Administrative
Hearing of the State of Texas. Any notice of dispute tendered by Performing Party should be
addressed to the President of the Receiving Party.
In case any provision hereof should be held to be illegal,invalid or unenforceable in any respect,
such illegality, invalidity or unenforceability shall not affect any other provision of this
agreement, and this agreement shall be construed as if such invalid,illegal or unenforceable
provision had never been included in this agreement.
This agreement constitutes the entire agreement hereto with respect to the subject matter

hereof, and supersedes any prior understanding or written or oral agreements between the
parties with respect to the subject matter of this agreement. No amendment or modification
of the terms of the agreement shall be binding on either party unless the same is in writing,
dated subsequent to the date hereof, and is duly executed by the party against whom
enforcement is sought.
Each person signing this agreement on behalf of a party hereby confirms for the benefit of the
other party to this agreement that any requisite approvals from the governing body of such
party have been obtained, and all prerequisites to the execution, delivery and performance
hereof have been obtained by or on behalf of that party. Execution and delivery of the
AGREEMENT by exchange of email or fax copy bearing the signature of a party will constitute
a valid and binding execution and delivery of the agreement by such party.
IV. COMPLIANCE WITH THE PRISON RAPE ELIMINATION ACT -
The Brazos County Detention Center,as an operation of the Brazos County Sheriff's Office,will
comply with the Prison Rape Elimination Act (PREA). The Detention Center has a Zero
Tolerance Policy regarding sexual abuse and sexual harassment. The Detention Center will
conduct a background investigation on all proposed employees,volunteers,or other contractors
that may have contact with inmates. Background checks will be conducted at least every five
(5)years for all contractors.
The BC DC shall ensure that all volunteers and contractors who have contact with inmates have
been trained on their responsibilities under the agency's sexual abuse and sexual harassment
prevention,detection,and response policies and procedures.Any contractor or volunteer who
engages in sexual abuse is prohibited from contact with inmates and shall be reported to law
enforcement agencies and to relevant licensing bodies, unless the activity was clearly not
criminal.The facility will take appropriate remedial measures and prohibit further contact with
inmates in the case of violation of sexual abuse or sexual harassment policies by the contractor.
The contractor has an affirmative duty to disclose any misconduct in violation of the sexual
abuse and sexual harassment policy. Material omissions regarding such misconduct, or the
provision of materially false information,are grounds for termination of this agreement.
V. AMENDMENT OR CANCELLATION OF THE AGREEMENT
The Agreement may be amended at any time in writing and by mutual consent of the parties.
The Agreement may be cancelled by either party upon 30 days written notice to the other party,
unless the cancellation is for cause-i.e.,a material and significant breach of any provisions of this
Agreement-in which case it may be cancelled upon delivery of written notice to the other party.
This agreement is effective on the date of execution,and will remain in effect until either party
cancels the agreement by writing or June 30, 2021. In the event that both parties agree to an
automatic renewal,this agreement shall be renewed each school year beginning July is',2021.The

AMENDMENT#2 TO 21-064 JANITORIAL PAPER PRODUCTS
THIS AMENDMENT TO 21-064 JANITORIAL PAPER PRODUCTS ("Amendment') is entered
into and effective this 2nd day of March 2021 ("Effective Date")by and between Brazos County("Customer"),
and Perry Office Plus. ("Contractor") each of which may alternatively be referred to herein as a "Party" and
collectively as the "Parties". All capitalized terms in this Amendment shall have the same meaning as in the
Agreement(as defined below)unless otherwise stated herein.
RECITALS
WHEREAS, the Parties entered into that certain original contract #21-064 (`'Agreement') for purposes
of Perry Office Plus to provide of the service of supplying Janitorial Paper Products; and
WHEREAS, the Parties desire to amend the product manufacturer number for line Item 913 as set forth
in original contract#21-064.
AGREEMENT
NOW THEREFORE, in consideration of the above premises, and other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged,the Parties hereto agree to amend the Agreement
as follows: f
1. Item#13 is changing from Boardwalk Paper Towels Product Number: BWKV03.OQPW to Boardwalk
Paper Towels Product Number:BWKV030IDW2(DRC Wipers,White). Pricing for line item#13 will
stay the same at 549.99 per carton.The package size will now be: 9 1/3 x 16 1/2, 9 Dispensers of 100,
900/Carton.
2. Conflict/No Other Modifications. In the event of a conflict between the terms of this Amendment and
the terms of the Agreement, this Amendment shall control. All other terms of the Agreement shall
remain unchanged and in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be signed by their
authorized representatives as of the Effective Date. This Amendment may be executed in counterparts,all of
which taken together shall constitute one instrument. Electronic or facsimile signatures are acceptable forms of
execution of this Amendment and shall be binding on all Parties hereto.
