PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a
Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the
Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group. Dither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity
of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly,
profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions:
1. cancellation of a speaker's time;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge
and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required
to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the
business of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave., Suite 106, Bryan, TX 77803 is
wheelchair accessible. Handicap parking spaces are available. Any request for sign interpretive services must be made two

REGULAR MEETING
A regular meeting of the'Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South
Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday,
February 2, 2021 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1;
Russ Ford, Commissioner of Precinct 2;
Nancy Berry, Commissioner of Precinct 3, Present by Teleconference;
I rma Cauley, Commissioner of Precinct 4, Present by Teleconference;
Karen McQueen, County Clerk.
The attached sheets contain the names of the citizens and officials that were in
attendance.

2. Call for Citizen input and/or concerns
Jeff Murski with Congressman Pete Sessions' office stated that their College Station
office is now open in Crystal Park Plaza, Suite 4500 in College Station. Mr. Murski
thanked the Court for their support and introduced Garrett Cocettie as the Area Director.
Consider and take action on agenda items 3-18:
3. Proclamation 21-003 declaring February 13 -April 9, 2021 as Walk Across Texas!
- eight weeks of fun and fitness in Brazos County.
The Court approved as submitted a Proclamation proclaiming February 13, 2021 to
April 9, 2021 as 8 weeks of fun and fitness known as Walk Across Texas. The County
Judge read aloud the proclamation and presented it to Flora Williams with AgriLife
Extension Service. Ms. Williams thanked the Court and said this is the 25th year of
Walk Across Texas and the 24th year for the program in Brazos County. Ms. Williams
said the theme for this year is "Mission Possible" and stated the virtual kickoff event will
be on February 13, 2021. A copy of the proclamation is attached.

4. Approval for Emergency Management to apply for the FY 2021 Homeland Security
Grant Program (HSGP) and approval of Resolution 21-004 for the Regional WebEOC
Project through the Office of the Governor.
The Court voted unanimously to approve a resolution for the submission of a grant
application for the Regional WebEOC Project to the Office of the Governor. A copy of
the resolution is attached.

Nancy Berry. Passed. 5-0. Ayes: Aldrich, Berry, Cauley, Ford, Peters.

19. Juvenile Director's report on detention population.
Assistant Juvenile Director Guadalupe Washington reported there are 22 juveniles in the
detention center, 16 are male and 6 are female, and 24 have electronic monitors and 6
units are available.
20. Sheriffs report on inmate population.
Sheriff Wayne Dicky stated there were 530 inmates in jail, 468 inmates are male and 62
are female, 27 have electronic monitors and 5 are pending for monitors. Sheriff Dicky
said there are 0 inmates positive for COVI D-19 and 1 inmate is in quarantine. There are
10 staff members either positive for COVI D-19 or in quarantine.
21. Announcement of interest items and possible future agenda topics.
Commissioner Aldrich announced the 63rd Annual V. G. Young Academy is going on
this week for County Judges and Commissioners. The conference is being held today
through Thursday at the Exposition Complex.
Commissioner Ford stated he went to the Brazos Center yesterday for the vaccination
distribution and it ran very smoothly. Judge Peters agreed, saying he received several
positive reports. Sheriff Dicky said that Jim Stewart reported 1340 people were
vaccinated yesterday. Commissioner Aldrich thanked all the volunteers that are helping
at the vaccination hub.

Proclamation
WHEREAS it is never too late to start an active lifestyle. No matter how old you are, how
unfit you feel or how long you have been inactive, research shows that starting
a more active lifestyle now through regular, moderate activity can make you
healthier and improve your quality of life.
WHEREAS Regular physical activity reduces the risk of dying of coronary heart disease, the
nation's leading cause of death and decreases the risk of stroke, colon cancer,
diabetes and high blood pressure.
WHEREAS Regular physical activity also helps to control weight; contributes to healthy
bones, muscles and joints; reduces the symptoms of anxiety and depression
and is associated with fewer hospitalizations, physician visits and medications.
WHEREAS People of all ages benefit from participating in regular, moderate -intensity
physical activity, such as 30 minutes of brisk walking five or more times a week.
WHEREAS Walk Across Texas! is an eight-week physical activity program with one goal —to
increase your physical activity level. Walk Across Texas! uses friendly
competition and group support to encourage adults and youth to become
physically active.

A RESOLUTION OF THE BRAZOS COUNTY COMMISSIONER'S COURT OF BRAZOS COUNTY, TEXAS, APPROVING THE GRANT
APPLICATION FOR THE REGIONAL WEBEOC PROJECTTO THE OFFICE OFTHE GOVERNOR.
WHEREAS, The Brazos County Commissioner's Court finds it in the best interest of the citizens of Brazos County, TX that
the Regional WebEOC Project be operated for 2021; and
WHEREAS, The Brazos County Commissioner's Court agrees to provide applicable matching funds for the said project if
required by the Homeland Security Grant Program (HSGP) grant application; and
WHEREAS, The Brazos County Commissioner's Court agrees that in the event of loss or misuse of the Office of the
Governor funds, The Brazos County Commissioner's Court assures that the funds will be returned to the Office of the
Governor in full.
WHEREAS, The Brazos County Commissioner's Court designates the County Judge as the grantee's authorized. official.
The authorized official is given the power to apply for, accept, reject, alter or terminate the grant on behalf of the
applicant agency.
BE IT RESOLVED BY BRAZOS COUNTY COMMISSIONER'S COURT OF BRAZOS COUNTY, TEXAS:
PART 1: That the Brazos County Commissioner's Court hereby hereby approves the Regional WebEOC Project
Grant Application.
PART 2:, That the Brazos County Commissioner's Court hereby agrees to provide applicable matching funds for
the said project if required by the Homeland Security grant application.
PART 3: That the Brazos County Commissioner's Court hereby approves the County Judge as the grantee's
authorized official. The authorized official is given the power to apply for, accept, reject, alter or
terminate the grant on behalf of the applicant agency.
PART 4: That this Resolution shall take effect immediately from and after its passage.

NON -DISCLOSURE AGREEMENT
This Agreement is entered into effective this 7th day of January, 2021" between the following Parties:
Brazos County and The Texas A&M University System Security Operations Center.
WHEREAS, in order to conduct business and commercial undertakings ("Projects") including, but not
limited to, Security Operations Monitoring the Parties propose to exchange certain Confidential
Information (as hereafter defined) that each Party considers proprietary to itself; and
WHEREAS, the Parties seek to set forth the conditions under which such Confidential Information will
be exchanged;
NOW THEREFORE, the Parties agree as follows:
1. Confidential Information Defined. "Confidential Information" shall mean materials or
information furnished by one Party to the other Party which contains, in whole or in part, business,
financial, operations or other information or data, of any kind and in any form, which is considered by the
originating Party to be confidential and/or proprietary. Confidential Information may be disclosed in
writing by properly identifying as such at the time it is furnished by an appropriate legend, marking, or
stamp on its face. Confidential Information may also be disclosed orally by properly identifying as
Confidential Information at the time of disclosure and, within ten (10) days, reducing to written material
containing an appropriate legend, marking, or stamp and furnishing to the other Party with a written
statement referencing the oral disclosure and advising that the information is considered to be
Confidential Information. Such written and oral disclosures shall be deemed the confidential and
proprietary information of the disclosing Party, irrespective of the source or true ownership of such
information (hereinafter "Confidential Information").
2. ConfidentialityUndertaking. Subject to Section 3, the Parties shall:
(a) treat all Confidential Information as secret and confidential;
(b) only disclose the Confidential Information to its professional advisers, attorneys, members,
directors, officers, servants, or employees (hereinafter "Relevant Persons") who strictly need to
receive and consider the Confidential Information for the purposes of the Projects;
(c) not disclose the Confidential Information to anyone, other than the persons referred to in Section
2(b), without prior written -consent from the disclosing Party (which may be given on such terms
the disclosing Party considers appropriate) and a signed Non -Disclosure Agreement from the
person or entity which will receive said Confidential Information; and
(d) not use the Confidential Information for any purpose (including, but not limited to, any
competitive or commercial purpose) other than in relation to the Projects.
A Party making a disclosure in accordance with sections 2(b) and 2(c) shall expressly inform their respective
Relevant Persons or other person or entity of the confidential nature of the Confidential Information and the
Iimited purposes for which it may be used and shall be responsible for procuring compliance with the terms
of this Agreement.
A Party will promptly notify the other Party to this agreement if it becomes aware of any breach of
confidence by any person, firm or corporation to whom the Party divulged all or any part of the
Confidential Information or who became aware of it in an unauthorized way, and shall provide the other
Party to this Agreement all reasonable assistance in connection with any proceed* n sosyvhich may be

instituted against such person, firm or corporation for breach of confidence or otherwise.
3. Exceptions. A Party will be under no obligation to keep confidential any Confidential Information
that it demonstrates:
(a) was known at the time of its disclosure and was not first acquired, in whole or in part, in any
way, directly or indirectly, from the disclosing Party or the disclosing Party's Relevant Persons,
provided that such information is not known to be subject to any other duty of confidentiality
owed to the other Party or any other person or entity; or
(b) is in, or has become after disclosure or acquisition, publicly known or available other than by
reason of a breach of this Agreement or any breach by any other person or entity of any
obligation of confidentiality owed by that person or entity.
For purposes of sections 3 (a) and 3 (b), any combination of Confidential Information disclosed by either
Party to the other Party shall not be deemed to be within the foregoing exclusions merely because individual
portions of such combined Confidential Information are disclosed or separately publicly known or available
or known by the receiving Party free of any confidentiality obligation.
The Parties are entitled to disclose any Confidential Information if, and to the extent, that the Party is required
to do so by law or by any court or regulatory agency or authority (including but not limited to the Texas
Public Information Act), provided that, except to the extent prohibited by law or regulation from so doing,
notice to the other Party is made promptly upon becoming aware of any such requirement and reasonable
assistance is provided to the other Party in connection with any legally available steps which we may be
taken to resist or narrow such requirements. The Party is not required to pursue any claim, defense, cause of
action, or legal process or proceeding on the other Party's behalf.
4. Confidential' Obligations. The Parties to this Agreement hereby agree to hold and maintain
Confidential Information in confidence for a period of two (2) years from the date such Confidential
Information is disclosed to it, using not less than the same degree of care to avoid disclosure as that Party uses
for its own proprietary information of like importance. The Parties further agree not to use, either directly or
indirectly, any Confidential Information to compete with the disclosing Party for a period of two (2) years
from the date such Confidential Information is disclosed to it.
5. Returning Confidential Information. Following termination of .any discussions regarding or
involvement relating to the Projects, upon receipt of a written demand from a requesting Party, or upon
expiration or termination of this Agreement, a Party shall:
(a) within fifteen (15) days return or destroy all documents or other materials containing or
reflecting any Confidential Information, together with any copies, which are in the Party's
possession or control or in the possession or control of its Relevant Persons and which are in a
form capable of delivery or destruction; and
(b) expunge all Confidential Information from any computer, word processor or similar device other
than materials in electronic backup systems or otherwise not reasonably capable of being readily
located and segregated without undue burden or expense.
Notwithstanding sections 5(a) and 5(b), a Party will be entitled to retain a copy of such Confidential
Information if required by law or regulation, or if reasonably necessary due to any anticipated or current
proceedings or di ut . �s

The Parties hereby acknowledge and agree that neither the return of any Confidential Information nor the
expunging of any of the same from its records will release a Party from its obligations under this Agreement.
As and when applicable, each Party shall certify to the other Party, by an instrument in writing and signed by
an officer of such Party, that such Party has complied with the requirements of this section.
6. No Representations or Warranties. Each Party shall be responsible for making its own
decisions, conclusions, and opinions regarding the Confidential Information. It is hereby expressly
acknowledged that neither a Party making a disclosure in connection with this agreement, nor its Relevant
Persons, make any representations or warranties, express or implied, as to the accuracy, reliability,
completeness or reasonableness of the Confidential Information. Neither the disclosing Party nor its
Relevant Persons will be obligated to provide access to any additional information or to update or correct
any Confidential Information. Accordingly, neither the disclosing Party nor its Relevant Personas will be
liable for any direct, indirect or consequential loss or damage suffered by any person as a result of relying
on any statement contained in or omitted from the Confidential Information.
7. Duration. This Agreement shall continue for two (2) years from the effective date, provided,
however, each Party's rights and obligations under this Agreement shall survive the expiration or
termination of this Agreement for a period of two (2) years following the last disclosure of Confidential
Information.
8. Waiver. No failure or delay in exercising any right, power or privilege under this Agreement will
operate as a waiver, nor will any single or partial exercise of it preclude any further exercise.
9. Governing Law. This Agreement shall be construed and interpreted, and the rights and
obligations herein governed, in accordance with the laws of the State of Texas. Venue for any dispute
between the Parties to this Agreement shall be in the State courts in Brazos County, Texas.
10. Severable. The provisions of this Agreement shall. be severable in the event that any of the
provisions are held by a court of competent jurisdiction to be invalid, void or otherwise unenforceable and
the remaining provisions shall remain enforceable to the fullest extent permitted by law.
11. No Right or License. Nothing contained in this Agreement shall be deemed, by implication,
estoppel, or otherwise, to grant any right or license in respect to any inventions,
patents, copyrights, or similar or related rights owned by either Party hereto.
12. Non -Circumvention. Each Party shall not (a) make contact or contracts with, deal with, or
otherwise involve themselves in any manner with any person, firm, partnership, association, corporation
or business entity concerning the Confidential Information provided by the other Party without the
express prior written consent from the other Party, or (b) request, encourage, or cause any person, firm,
partnership, association, corporation or business entity to withdraw, curtail, or cancel a business
relationship with the other Party which relationship existed prior to or during the effective term of this
Agreement. The Parties agree that the foregoing restrictions are reasonable and necessary for the purpose
of preserving goodwill and other confidential and/or proprietary rights. In the event that a determination is
made by a court or other tribunal having jurisdiction over this Agreement that the above restrictions are
unreasonable, or otherwise unenforceable, then the provisions of such a clause shall not be rendered void,
but instead shall be deemed amended in order to apply to the extent such court or other tribunal may
determine to be sonnaable. vs

13. Injunctive Relief. The parties hereby acknowledge and agree that in the event of violation of
any provision of this Agreement, irreparable damage may be inflicted, and therefore the aggrieved Party
shall be entitled to seek immediate court ordered injunctive relief to halt any apparent violation of this
Agreement which such remedy shall be in addition to any other remedies available to the aggrieved Party,
at law or in equity.
14. Legal Fees. In the event it becomes reasonably necessary for either Party to commence an
action to seek a determination or enforcement of their rights under this Agreement in a court of competent
jurisdiction, the prevailing Party of such action shall be entitled to recover, to the extent authorized under
Texas law and in addition to any and all other remedies available to such Party, reasonable attorney's fees
and court costs, including such fees and costs on appeal.
15. Notice. Any notice or other writing required or permitted by this Agreement shall be deemed to
have been sufficiently given either when personally delivered, received by email, or mailed by certified or
registered United States mail with postage prepaid to the individual representatives and addresses of the
Parties specified herein. The individuals designated below shall be, unless and until otherwise specified in
writing by the appropriate Party, the only individuals eligible to receive any and all written notices under
this Agreement:
16. Integration. This Agreement contains the entire understanding between the Parties hereto
regarding the subject matter hereof and supersedes all prior or contemporaneous communications,
Agreements or understandings with respect to the subject matter hereof. All amendments or
modifications of this Agreement shall be invalid unless made in writing and signed by the Parties hereto.
17. Acceptance. The undersigned persons signing this Agreement represent that he or she has been
formally authorized by their respective companies to enter into this Agreement and, as a result, the Parties
accept and are bound by the terms of this Agreement.

PRICING SUPPLEMENT
This Pricing Supplement and attached Pricing Sheet (collectively, the "Supplement") is incorporated into and supplements
the then -current Law Enforcement Agency Subscriber Agreement ("Agreement") between TransUnion Risk and Alternative Data
Solutions, Inc. ("TRADS") and the Agency. The Agency agrees as follows:
1. Effective Date; Term. The Effective Date of this Supplement is specified in the Pricing Sheet. This Supplement shall
commence upon the Effective Date and continue for the period specified in the Pricing Sheet ("Supplement Term"). Upon
expiration of the Supplement Term, the Agreement will continue in effect in accordance with the terms therein, absent this
Supplement, subject to TRADS's then -current fees and charges for the TRADS Services accessed thereafter. TRADS
reserves the right to terminate this Supplement for convenience at any time.
2. Fees and Charges. Agency agrees to be bound by this Supplement and agrees to pay all fees and charges set forth in
the Pricing Sheet during the Supplement Term.
3. Miscellaneous. In the event of a conflict between the terms of this Pricing Supplement and any prior pricing supplement,
agreement or understanding with respect the TRADS Services identified herein, the terms of this Pricing Supplement shall
supersede, control and otherwise replace. In the event any one or more provisions of this Supplement, or the Pricing
Sheet, is held to be invalid or unenforceable, the enforceability of any remaining provision(s) shall be unimpaired. All
capitalized terms used but not defined in this Supplement will have the same meanings as defined in the Agreement.
Except as provided in this Supplement, all other terms the Agreement shall remain in full force and effect in accordance
with its terms. In the event of a conflict between the terms of the Agreement and this Supplement, the terms of this

Reservations from and Exceptions to Conveyance and Warranty:
There is hereby EXCEPTED and RESERVED from this conveyance, and retained in
favor of the Grantor, their heirs, executors, administrators, successors and assigns, in
perpetuity, all of the oil, gas, liquid hydrocarbons, residue gas, the products and by-
products of the foregoing, sulphur, coal, lignite, uranium, and all other minerals in,
on or under the hereinabove described property; provided, however, Grantor, their
heirs, personal representatives, executors, successors and assigns shall have no right
of ingress and egress at any times for the purpose of mining, drilling, exploring,
operating and developing said lands for oil, gas, and other minerals or for storing,

Reservations from and Exceptions to Conveyance and Warranty:
There is hereby EXCEPTED and RESERVED from this conveyance, and retained in
favor of the Grantor, their heirs, executors, administrators, successors and assigns, in
perpetuity, all of the oil, gas, liquid hydrocarbons, residue gas, the products and by-
products of the foregoing, sulphur, coal, lignite, uranium, and all other minerals in,
on or under the hereinabove described property; provided, however, Grantor, their
heirs, personal representatives, executors, successors and assigns shall have no right
of ingress and egress at any times for the purpose of mining, drilling, exploring,
operating and developing said lands for oil, gas, and other minerals or for storing,
removing, transporting, processing or marketing the same there from. This
reservation and exception shall, however, include the right of Grantor, its successors
and assigns, to grant leases on the property to develop same by directional drilling,
pooling, unitization, or subsurface gasification, or liquefaction processes.
Notwithstanding anything herein to the contrary, the Grantee shall have the right to
use, without additional compensation, any stone, earth, gravel, caliche, iron ore or
any other road building material upon, in or under the property for the construction
and maintenance of road or roads thereon, such materials, for the purposes of this
conveyance, being herein defined as not constituting "other minerals."
This conveyance is made and accepted subject to any and all conditions, restrictions,
if any, relating to the hereinabove described property, to the extent, and only to the
extent, that the same may still be in force and effect, shown of record in the office of
the County Clerk of Brazos County, Texas.
Grantor, for the consideration and subject to the reservations from and exceptions to
conveyance and warranty, grants, sells and conveys to Grantee the property, together with all
and singular the rights and appurtenances thereto in any wise belonging, to have and hold it to
Grantee, Grantee's successors or assigns forever. Grantor binds Grantor and Grantor's heirs,
executors, administrators, and successors to warrant and forever defend all and singular the
property to Grantee and Grantee's successors and assigns against every person whomsoever

Reservations from and Exceptions to Conveyance and Warranty:
There is hereby EXCEPTED and RESERVED from this conveyance, and retained in
favor of the Grantor, their heirs, executors, administrators, successors and assigns, in
perpetuity, all of the oil, gas, liquid hydrocarbons, residue gas, the products and by-
products of the foregoing, sulphur, coal, lignite, uranium, and all other minerals in,
on or under the hereinabove described property; provided, however, Grantor, their
heirs, personal representatives, executors, successors and assigns shall have no right
of ingress and egress at any times for the purpose of mining, drilling, exploring,
operating and developing said lands for oil, gas, and other minerals or for storing,
removing, transporting, processing or marketing the same there from. This
reservation and exception shall, however, include the right of Grantor, its successors
and assigns, to grant leases on the property to develop same by directional drilling,
pooling, unitization, or subsurface gasification, or liquefaction processes.
Notwithstanding anything herein to the contrary, the Grantee shall have the right to
use, without additional compensation, any stone, earth, gravel, caliche, iron ore or
any other road building material upon, in or under the property for the construction
and maintenance of road or roads thereon, such materials, for the purposes of this
conveyance, being herein defined as not constituting "other minerals."
This conveyance is made and accepted subject to any and all conditions, restrictions,
if any, relating to the hereinabove described property, to the extent, and only to the
extent, that the same may stilt be in force and effect, shown of record in the office of
the County Clerk of Brazos County, Texas.
Grantor, for the consideration and subject to the reservations from and exceptions to
conveyance and warranty, grants, sells and conveys to Grantee the property, together with all
and singular the rights and appurtenances thereto in any wise belonging, to have and hold it to
