PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. JAS MINUTES JANUARY 12, 2021 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, January 12, 2021 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Russ Ford, Commissioner of Precinct 2; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. 1. Invocation and Pledge of Allegiance -U.S. and Texas Flag - Judge Peters 2. Call for Citizen input and/or concerns There was no citizen's input. 3. Presentations and/or Discussions • Pre -Trial Diversion and Pre -Indictment Plea Programs by Jarvis Parsons, District Attorney. Brazos County District Attorney Jarvis Parsons gave an update on the Pre -Trial Diversion and Pre -Indictment Plea Programs. Mr. Parsons said the program was Vol.3pg.5i(2 designed to rehabilitate non-violent drug offenders. He stated that this program has a 75.75% success rate and that no defendants have been repeat offenders. Commissioner Cauley asked how this program affects case backlog. Mr. Parsons stated that even with the pandemic they have been able to move a lot of cases. He said that Brazos County has 118% clearance rate with only 8 counties higher than us and those are smaller counties. A copy of the presentation is attached. The Court approved a proclamation recognizing and celebrating the 101st Birthday of Mr. Walter Herbert Richards. A copy of the proclamation is attached. Request authorization to apply to U.S. Department of the Treasury for the Emergency Rental Assistance Program (Consolidated Appropriations Act of 2021) made available through the Coronavirus Response and Relief Supplemental Appropriations Act of 2021. Alsie Bond with the City of Bryan Community Development Services Department gave a presentation regarding the Emergency Rental Assistance Program. Brazos County is eligible to receive a portion of the 23.7 billion allocated nationwide under the Treasury Department CARES Funding. Ms. Bond said that the cities were not eligible on their own, but collaborating with the County we will qualify with a population over 200,00 residents. She added that if Brazos County is interested the certification will need to be submitted today. Commissioner Cauley asked if additional staff would be hired to monitor this. Ms. Bond said that they plan to subcontract it out. pg..,S7_ Commissioner Aldrich asked if this is referring to the Justice of the Peace pilot program. Ms. Bond answered yes. Next to speak was Debbie Eller with the City of College Station. Community Services, Community Development Division. Ms. Eller gave a brief description of the assistance programs provided by the City of College Station. She said that the need is still there and growing for landlords. Ms. Eller stated they also provide assistance to families in the College Station Independent School District. Judge Peters asked if the rent reimbursement goes to the property owner or the renter. Ms. Eller said the tenets have to qualify for assistance and the landlords have to agree to participate. The landlords will be paid directly. Commissioner Ford asked if this works with the JP eviction program. Ms. Eller explained that a referral program was created to refer tenets once an eviction is filed. Commissioner Ford asked if Ms. Eller is saying that it is important for evictions to be filed, but they are not enforced. Commissioner Cauley added that some Justice of the Peace offices are not accepting filings which is causing a bottleneck. A copy of both presentations are attached. Juvenile Director's report on detention population. Juvenile Director Linda Ricketson reported there are 16 juveniles in the detention center, 9 are male and 7 are female, and 26 have electronic monitors. There are 7 new youth in isolation as per medical protocol for new intakes. Commissioner Cauley asked if there are any staff members with COVID-19. Ms. Ricketson said she believes there is one. 26. Sheriff's report on inmate population. Kevin Stuart, Jail Administrator stated there were 508 inmates in jail, 456 inmates are male and 52 are female,15 have electronic monitors and 9 are pending for monitors. Mr. Stuart reported there are 0 inmates positive for COVI D-19. He said that 1 inmate is in quarantine. The inmate has tested negative, but is in quarantine because of the multiple layers of protection that are in place. There are 20 employees positive for COVID-19 and 13 of those are jail staff. 27. Announcement of interest items and possible future agenda topics. Bruce Erratt introduced Earl Gray as the newly elected CountyAttomey. 28. PROCLAMATION 101st Bir fi&y ofWafterxer6ert Wards Whef'eaS, Walter Herbert Richards, son of the late Will A. and�Mary Jane (Keefer) Richards, was born on January 14, 1920. He was the sixth child of seven and is the only one still alive. Depending on who you ask, he was either born in Wheelock, Texas or Steep Hollow, Texas. He married his wife Margaret Denton on January 20, 1940 at the home of Reverend Pipkin in Bryan, Texas. They were married 73 years before she passed away on January 28, 2013. They have two children, Walter Eugene Richards and his wife Ruth of Kingwood, Texas and Marilu Richards McDonald of Bryan, Texas. He has four grandchildren, Colby Richards and wife Jennifer of Groves, Texas, Megan Dean and husband Chance of Austin, Texas, Sarah Jones of Seguin, Texas, and Morgan Pierce and husband Dustin (who was deceased on December 3, 2019) of Bryan, Texas. He also has 8 great grandchildren: Taylar (Trent) Jones of Belton, Texas, Isabella and Victoria Richards of Groves, Texas, Korin, Alia, and Kara Dean of Austin, Texas and Cash and Bristol Pierce of Bryan, Texas. He also has two great -great-grandchildren, Tucker and TayLynn Jones of Belton, Texas. WflereaS� Walter Herbert Richards and his family left The Brazos Valley for a very short while for West Texas. They traveled in a wagon for months. When a "blue norther" blew through Broiite, Texas the family was allowed to camp at the schoolhouse. They returned to Edge in a car one of the older brothers had purchased. It was his first automobile ride! WfZffW Herbert attended the first grade at Edge but missed so much school due to illness, that he repeated first grade the next year at Steep Hollow. His teacher taught him first and second grade that year and he stayed at Steep Hollow through the fifth grade. That year his mother passed away and the family moved to College Station off Lincoln Street where his father farmed for Mr. Dansby. The school was on the Texas A&M campus. At the end of the seventh grade, he left school to help support the family. He later joined the Civilian Conservation Corps and went to East Texas. WfZef=B Walter Herbert Richards enlisted in the United States Navy here in Brazos County. He served twenty-two months and fifteen days in the Pacific. He made five invasions and rumor had it that the USS Alshain was on its way to Japan when the news was received that the war was over. He returned home to the Brazos Valley. , WftereaS, after the war, Herbert got his GED through Vanderbilt University while attending Free Will Baptist Bible College in Nashville, Tennessee. He had begun preaching and went there to get training. After graduation he attended Howard Payne University to finish his pastoral Vo I Pg. training. Later while pastoring the Evergreen Free Will Baptist Church at Keith, Texas he attended Sam Houston State and got his Master's Degree in Education while teaching in Iola. After teaching there several years, the family moved to Rockport, Texas for seventeen years before returning to Iola where he taught until 1985 when he retired. He continued pastoring until 2009 when he retired from Bright Light Free Will Baptist Church in College Station, Texas. NO% TfiBfef^ (Be. Approximately $400 million will be allocated to U.S. territories and $800 million to tribal communities. Approximately $23.7 billion will be available for allocation to states and local governments. The funding will be distributed to states based on the state's population according to the 2019 Census data. Each state will receive no less than $200 million. Forty-five percent of a state's allocation will be made available to local governments with populations over 200,000 (based on the 2019 Census data). To receive funding, eligible local governments must submit a certification signed by the chief executive of the locality to the Treasury Department by January 26, 2021. Treasury has not released the certification form yet. NCDA encourages those localities that are not eligible for a direct allocation to reach out to their state or county (if they are located within an urban county) to seek funding. Duplication of Benefits No duplication of benefits. Renters receiving rental assistance through this program cannot also receive rental assistance under another federal program. Unobllgated funds will be recaptured and reallocated to those grantees who have obligated at least 65 percent of their grant by September 30, 2021. If a landlord or utility provider is unwilling to participate, the grantee may provide funding directly to eligible households. This order shall be incorporated into the Brazos County Purchasing Policy. a. This refusal to award a contract to or enter into a transaction with a person, pertains to an apparent low bidder or successful proposer that is indebted to the County; b. "Person" includes an individual, sole proprietorship, corporation, nonprofit corporation, partnership, joint venture, limited liability company, and any other entity that proposes or otherwise seeks to enter into a contract or other transaction with the County requiring approval by the Commissioners' Court; c. "Debt" shall include delinquent taxes, fines, fees, or delinquencies arising from written agreements with the County. d. Prior to award of a contract by the Commissioners' Court, the Purchasing Department will request a statement of account from the Brazos County Tax office. e. Any "debt" as defined above, that is reflected on the statement of account, will be documented and placed in the bid'file. The bid or proposal from the person with the debt shall be considered "non-responsive" and "not responsible", eliminating it from any further consideration of award. f. These provisions shall apply to any "person" owned, partially owned, managed, operated or presented by a "person" indebted to the County. This Order is made pursuant to V.T.C.A. This AFFILIATION AGREEMENT (the "AGREEMENT") is made between TEXAS WOMAN'S UNIVERSITY, a public institution located in Texas, hereinafter referred to as "TWU," and BRAZOS COUNTY, an entity physically located in Texas, hereinafter referred to as "HOST AGENCY." TWU and HOST AGENCY shall be collectively referred to hereinafter as the "Parties." WHEREAS, this AGREEMENT is intended to cover HOST AGENCY's Facilities listed on Exhibit D of this Agreement, if HOST AGENCY operates at more than one facility, or at the Facility listed above, if HOST AGENCY has only one location, WHEREAS, this AGREEMENT is intended and shall be interpreted to meet TWU's accreditation standards related to affiliation agreements with clinical affiliates which require at a minimum: • The HOST AGENCY will provide clinical students and faculty, if applicable, access to appropriate resources for clinical student education. • TWU is ultimately responsible for its education programs, academic affairs, and the assessment of clinical students. • TWU is primarily responsible for the appointment and assignment of faculty members with responsibility for clinical student teaching. • Shared responsibility of TWU and HOST AGENCY for the specification of responsibility for treatment and follow-up when a clinical student is exposed to an infectious or environmental hazard or other occupational injury. • Shared responsibility of TWU and HOST AGENCY for creating and maintaining an appropriate learning environment. • Confirmation that appropriate TWU Deans and/or clinical coordinators have authority to ensure faculty and clinical student access to appropriate resources for clinical student education when department heads are not also the clinical service chiefs at affiliated institutions. WHEREAS, the parties agree upon the program -specific obligations listed in Exhibit E, if included in this AGREEMENT, Page 1 of 14 TWU Office of General Counsel Last Reviewed ]an. 2019 Vol. Pg. �� TWU No. AA 2020_272 WHEREAS, neither Party intends for this AGREEMENT to alter in any way its respective legal rights or its legal obligations to any third party. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties identified in this AGREEMENT agree as follows: A. Responsibilities of TWU 1. TWU will plan and determine the adequacy of the educational experience of the students in theoretical background, basic skill, professional ethics, attitude and behavior and shall assign to the HOST AGENCY only those students who have satisfactorily completed the prerequisite didactic portions ofTWU's curriculum. 2. TWU will retain ultimate responsibility for the education and assessment of its students. TWU's representative for this AGREEMENT shall be a faculty member appointed and assigned by TWU, who will be responsible for clinical student teaching and assessment provided pursuant to this AGREEMENT. 3. TWU will advise all students assigned to the HOST AGENCY facilities regarding the confidentiality of patient/client records and patient/client information imparted during the educational experience. TWU will also advise all students that the confidentiality requirements survive the termination or expiration of this AGREEMENT. 4. TWU will encourage all participating students to maintain health insurance and provide proof of health insurance to TWU. 5. TWU will require all participating students, faculty and staff to have completed an appropriate independent criminal background check and to have documented appropriate immunizations on file with TWU, if requested by the HOST AGENCY. If applicable, the HOST AGENCY shall notify the student of any requests for evidence of criminal background test or immunization by the HOST AGENCY. TWU will inform the student of his/her responsibility to provide evidence directly to the HOST AGENCY of any required criminal background checks or immunizations, when requested by the HOST AGENCY. The HOST AGENCY shall notify TWU of its requirements of an acceptable criminal background check and required immunizations. TWU will also inform students that they may be required to undergo a drug test or other similar screening tests pursuant to the HOST AGENCY'S policies and practices and that the cost of any such test will be paid by the student, if not the HOST AGENCY. Should the criminal background check disclose adverse information that the HOST AGENCY deems unacceptable for continued participation in the Clinical Placement Program, TWU shall immediately decline to place the student at HOST AGENCY or remove the Program Participant from participation in the Clinical Placement Program at HOST AGENCY if adverse information is discovered subsequent to initial placement. 6. TWU will advise students that they are required to comply with HOST AGENCY rules, regulations, and procedures. If requested by the HOST AGENCY, TWU will provide instruction to the HOST AGENCY's staff with respect to TWU's expectations regarding assessment of TWU's students at the HOST AGENCY. 8. TWU warrants and represents that it provides occurrence -based professional liability insurance or self-insurance for its students with limits of at least $1,000,000 per occurrence and $3,000,000 annual aggregate. TWU, as a public entity entitled to governmental immunity protections under applicable state law provides occurrence -based liability coverage in accordance with any limitations associated with the applicable law, however TWU shall provide such insurance with limits of at least $1,000,000 per occurrence and $3,000,000 annual aggregate in the event governmental immunity protections are determined by a court of competent jurisdiction to not apply. If requested by the HOST AGENCY, TWU shall provide a certificate of insurance demonstrating coverage for students completing clinical education at the HOST AGENCY at HOST AGENCY's request. B. Responsibilities of the HOST AGENCY 1. The HOST AGENCY has a responsibility to maintain a positive, respectfill, and adequately - resourced learning environment so that sound educational experiences can occur. Therefore, the HOST AGENCY will provide students and faculty with access to appropriate resources for clinical student education, including a) access to patients at HOST AGENCY facilities in an appropriately - supervised environment, in which the students can complete TWU's curriculum; b) student security badges or other means of secure access to patient care areas; c) access and required education for clinical students in the proper use of electronic medical records or paper charts, as applicable; d) computer access; e) secure storage space for clinical students' personal items when at the HOST AGENCY; and f) access to call rooms, if necessary. 2. The HOST AGENCY will retain full authority and responsibility for patient care and quality standards and will maintain a level of care that meets generally accepted standards conducive to satisfactory instruction. While in HOST AGENCY's facilities, students will have the status of trainees, are not to replace HOST AGENCY staff, and are not to render unsupervised patient care and/or services. All services rendered by students must have educational value and meet the goals of the Program. HOST AGENCY and its staff will provide such supervision of the educational and clinical activities as is reasonable and appropriate to the circumstances and to the student's level of education. 3. The HOST AGENCY staff will, upon request, assist TWU in the assessment of the learning and performance of participating students by completing assessment forms provided by TWU and returned to TWU in a timely fashion. 4. The HOST AGENCY will provide for the orientation of TWU's participating students as to the HOST AGENCY's rules, regulations, policies, and procedures. 5. The HOST AGENCY agrees to comply with applicable state and federal workplace safety laws and regulations. In the event a student is exposed to an infectious or environmental hazard or other occupational injury (i.e., needle stick) while at the HOST AGENCY, the HOST AGENCY, upon Page 3 of 14 TWU Office of General Counsel Last Reviewed Jan. 2019 Vol. 7Pg. I l l TWU No. AA 2020_272 notice of such incident from the student, will provide such emergency care as is provided to its employees, including, where applicable, examination and evaluation by HOST AGENCY's emergency department or other appropriate facility as soon as possible after the injury; emergency medical care immediately following the injury as necessary; initiation of the HBV, Hepatitis C (HCV), and/or HIV protocol, as necessary; and HIV counseling and appropriate testing, as necessary. In the event that HOST AGENCY does not have the resources to provide such emergency care, HOST AGENCY will refer such student to the nearest emergency facility. TWU will define, for its clinical students, who bears .financial responsibility for any charges generated. 6. To the extent the HOST AGENCY receives, generates, or maintains educational records related to the participating student, the HOST AGENCY agrees to comply with the Family Educational Rights and Privacy Act (FERPA), to the same extent as such laws and regulations apply to TWU, and shall limit access to only those employees or agents with a need to know. For the purposes of this AGREEMENT, pursuant to FERPA, TWU hereby designates HOST AGENCY as a TWU with a legitimate educational interest in the educational records of the participating student(s) to the extent that access to TWU's records is required by HOST AGENCY to carry out the Program. 7. Notwithstanding Paragraph E. below, if required by the laws of the state where the HOST AGENCY is located, HOST AGENCY, at its own expense, shall provide any required Workers' Compensation and Liability Insurance for students in this clinical placement program. This provision does not apply for HOST AGENCY Facilities that are not located in a state where the Iaws require Workers' Compensation be provided for students in clinical placement programs. 8. Upon request, the HOST AGENCY will provide proof that it maintains liability insurance in an amount that is commercially reasonable. 9. The HOST AGENCY will provide written notification to TWU promptly if a claim arises involving a student. The HOST AGENCY and TWU agree to share such information in a manner that protects such disclosures from discovery to the extent possible under applicable federal and state peer review and joint defense laws. 10. The HOST AGENCY will resolve any situation in favor of its patients' welfare and restrict a student to the role of observer when a problem may exist until the incident can be resolved by the staff in charge of the student or the student is removed. The HOST AGENCY will notify TWU's clinical placement coordinator if such an action is required. It is understood that only TWU can dismiss a student from its education degree Program. If the HOST AGENCY requests removal of a student from the HOST AGENCY, however, TWU will comply with that request: 11. The HOST AGENCY shall identify a site coordinator from among its staff who will communicate and cooperate with TWU's clinical placement coordinator to ensure faculty and clinical student access to appropriate resources for the clinical education experience. 12. Compliance with the Prison Rape Elimination Act: The Brazos County Commissary Fund, as an operation of the Brazos County Sheriffs Detention Center will comply with the Prison Rape Elimination Act (PREA). The Detention Center has a Zero Tolerance Policy regarding sexual abuse and sexual harassment. The Detention Center will conduct a background investigation on all proposed employees, volunteers, or other contractors that may have contact with inmates. Page 4 of 14 TWU Of ice of General Counsel Last Reviewed Jan. 2019 vol.a7Pg. I TWU No. AA_2020_272 Background checks will be conducted at least every five (5) years for all contractors. The HOST AGENCY shall ensure that all volunteers and contractors who have contact with inmates have been trained on their responsibilities under the agency's sexual abuse and sexual harassment prevention, detection, and response policies and procedures. Any contractor or volunteer who engages in sexual abuse is prohibited from contact with inmates and shall be reported to law enforcement agencies and to relevant licensing bodies, unless the activity was clearly not criminal. The facility will take appropriate remedial measures and prohibit further contact with inmates in the case of violation of sexual abuse or sexual harassment policies by the contractor. The contractor has an affirmative duty to disclose any misconduct in violation of the sexual abuse and sexual harassment policy. Material omissions regarding such misconduct, or the provision of materially false information, are grounds for termination of this agreement. C. Mutual Responsibilities 1. Representatives for each Party will be established on or before the execution of this AGREEMENT. 2. The Parties will work together to maintain an environment of high quality patient care. At the request of either Party, a meeting or conference will promptly be held between TWU and HOST AGENCY representatives to resolve any problems or develop any improvements in the operation of the Program. 3. TWU will provide qualified and competent individuals in adequate number for the instruction, assessment, and supervision of students using TWU facilities. The HOST AGENCY will provide qualified and competent staff members in adequate number for the instruction and supervision of students using the HOST AGENCY facilities. 4. TWU and the HOST AGENCY will not discriminate against any employee, applicant or student enrolled in their respective programs because of age, creed, religion, gender identity, national origin, race, sex, sexual orientation, disability, or any other basis protected by law. 5. TWU, including its faculty, staff, clinical students, and residents, and HOST AGENCY share responsibility for creating an appropriate learning environment that includes formal learning activities and the attitudes, values, and informal "lessons" conveyed by individuals who interact with the student. The Parties will cooperate to evaluate the learning environment (which may include on-site visits) to identify positive and negative influences on the maintenance of professional standards and to conduct and develop appropriate strategies to enhance the positive and mitigate the negative influences. HOST AGENCY shall require its faculty and staff who interact with students to adhere to the expectations set forth in Exhibit A and communicate student violations to TWU. TWU agrees to require its students to adhere to the expectations set forth in Exhibit A. 6. HOST AGENCY may immediately remove from the premises and retains the right to suspend or terminate any student's participation at the HOST AGENCY. The HOST AGENCY will immediately notify the appropriate department or program of TWU if such an action is required Page 5 of 14 TWU Wee of General Counsel Last Reviewed Jan. 2019 Vol.11 Pg. �® TWU No. AA 2020 272 and provide the reasons for such action. TWU may terminate a student's participation when, in its sole discretion, it determines that further participation by the student would no longer be appropriate. TWU will notify the HOST AGENCY if such action is required. D. Term and Termination This AGREEMENT is effective upon execution by both Parties to the covered clinical education experience(s) and will continue for five (5) years. This AGREEMENT may be renewed for additional five (5) -year terms upon written agreement by both Parties. Notwithstanding the foregoing, HOST AGENCY shall be under no obligation to accept students from any program at TWU during the term of this AGREEMENT and shall not be considered in violation of this AGREEMENT for not doing so. This AGREEMENT may be terminated at any time and for any reason by either Party upon not less than ninety (90) days prior written notice to the other Party. Should notice of termination be given under this Section, students already scheduled to train at HOST AGENCY will be permitted to complete any previously scheduled or active clinical assignment at HOST AGENCY. E. Employment Disclaimer The students participating in the Program will not be considered employees or agents of the HOST AGENCY or TWU for any purpose. Students will not be entitled to receive any compensation from HOST AGENCY or TWU or any benefits of employment from HOST AGENCY or TWU, including, but not limited to, health care or workers' compensation benefits, vacation, sick time, or any other benefit of employment, direct or indirect. HOST AGENCY will not be required to purchase any form of insurance for the benefit or protection of any student of TWU. F. Health Insurance Portability and Accountability Act Students participating in clinical education pursuant to this AGREEMENT are members of the HOST AGENCY's workforce for purposes of the Health Insurance Portability and Accountability Act (HIPAA) within the definition of "health care operations" and therefore may have access to patient medical information as provided for in the Privacy Rule of HIPAA. Therefore, additional agreements are not necessary for HIPAA compliance purposes. This paragraph applies solely to HIPAA privacy and security regulations applicable to the HOST AGENCY and, as stated in paragraph E above, does not establish an employment relationship. G. No Agency Relationship between the Parties Nothing in this AGREEMENT is intended to or shall be constrlred to constitute or establish an agency, employer/employee, partnership, franchise, or fiduciary relationship between the Parties and neither Party shall have the right or authority or shall hold itself out to have the right or authority to bind the other Party, nor shall either Party be responsible for the acts or omissions of the other, except as provided specifically to the contrary herein. Assignment This AGREEMENT will not be assigned by either Party without the prior written consent of the other. I. Governmental Immunity It is specifically understood and agreed that nothing contained in this paragraph or elsewhere in this AGREEMENT will be construed as an express or implied waiver by TWU of its governmental immunity or of its state governmental immunity; an express or implied acceptance by TWU of liabilities arising as a result of actions which lie in tort or could lie in tort in excess of the liabilities allowable under the applicable governmental immunity laws; or, a pledge of the full faith and credit of a debtor contract; or, as the assumption by TWU of a debt, contract, or liability of the HOST AGENCY. J. No Special Damages In no event shall either Party be liable hereunder (whether in an action in negligence, contract or tort or based on a warranty or otherwise) for any indirect, incidental, special or consequential damages incurred by the other Party or any third party, even if the Party has been advised of the possibility of such damages. K. Notices All notices provided by either Party to the other will be in writing, delivered personally, by certified or registered mail, return receipt requested, or by overnight courier, and will be deemed to have been duly given when delivered personally or when deposited in the United States mail, first-class, postage prepaid, and addressed to the other Party as indicated below. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Quick Draw ATM Services, Inc. and Brazos County hereby agree as follows: Authorization. Brazos County hereby authorizes Quick Draw ATM Services, Inc. to place one automated teller machine ("ATMs") at the below listed locations on the terms and conditions set forth in this Agreement: Brazos County Expo Complex, 5827 Leonard Road, Bryan, Texas 77807 Brazos County Courthouse, 300 E. 26'h Street, Bryan, Texas 77803 The specific location of the ATM at these two locations -will be agreed to by Quick Draw and_Brazos County. Brazos County may require Quick Draw to change the specific location within the location upon thirty (30) days written notice and as agreed to by Quick Draw. Quick Draw will not unreasonably withhold agreement. Brazos County agrees that Quick Draw ATM Services, Inc. shall have no obligation to pay rent or compensation of any kind to Brazos County in connection with the placement of the ATMs at these locations or in connection with the receipt of a surcharge from customers for use of the ATMs, and Quick Draw ATM Services, Inc. shall be entitled to retain the entire amount of such surcharge. Quick Draw Obligations. Quick Draw's obligations under this Agreement are as follows: (a) at its sole cost, provide the ATMs for each location; (b) at its sole cost, install the ATMs at each location; (c) at its sole cost, provide all necessary maintenance of and supplies for the ATMs at each location; and (d) except for the obligations set forth in Section 1.3(d), ensure compliance with the Americans with Disabilities Act ("ADA") as the ADA pertains to the ATMs. (e) Load and supply requisite Vault Cash into each ATM. Brazos County Obligations. Brazos County's obligations under this Agreement are as follows: (f) at its sole cost, provide the space at each location for the ATMs; (g) at its sole cost, provide electrical power to the ATMs; (h) maintain clearance around the ATM of at least 30" x 48" or 48" x 30" or such other clearance as may be specified from time to time by the ADA. (i) provide an Internet or telecommunications line for the ATM. ATM Installation. Brazos County understands and acknowledges that Quick Draw ATM Services, Inc. will bolt the ATMs in place at each location and that Quick Draw ATM Services, Inc. is not responsible to repair any holes, slab damage or other damage caused to the Location by the installation or removal of the ATMs. 1.2 ATM Surcharge. Quick Draw also agrees to indemnify and hold Brazos County harmless for damage to the ATMs, theft by any person of the ATMs, security breaches of ATM data, loss of ATM funds, personal or property damage or any loss sustained by Quick Draw for the use of Brazos County facilities. In no event will Brazos County be responsible for the cash maintained in the ATMs. Indemnification by Brazos County. Nothing contained within this agreement shall constitute a waiver of immunity by Brazos County, nor an agreement to assume any liabilities of quick draw for which Brazos County would be entitled to claim immunity. Brazos County will not be liable for any damage or injury to quick draw or its employees or its properties, except to the extent permitted under Texas laws.
