Pg.a2)3 PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that. the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81:024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses fforn the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice:to:1he public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge kk and/or ComMioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the ,Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. MINUTES NOVEMBER 17, 2020 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, November 17, 2020 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Russ Ford, Commissioner of Precinct 2; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. Invocation and Pledge of Allegiance - U.S. and Texas Flag — Commissioner Aldrich 2. Judge Peters administered the Oath of Office to Russ Ford as the newly elected Brazos County Commissioner, Precinct 2 unexpired term. Artis Whetstone reported there are 11 juveniles in the detention center, 8 are male and 3 are female, and 32 have electronic monitors. There are 7 new youth in isolation as per medical protocol for new intakes. 21. Sheriff's report on inmate population. Sheriff Chris Kirk introduced Kevin Stuart as the new Jail Administrator. Sheriff Kirk stated there were 502 inmates in jail, 434 inmates are male and 63 are female, 29 have electronic monitors and 6 are pending for monitors. Sheriff Kirk said there is 1 inmate positive for COVID-19 and 10 inmates in quarantine. There are 11 staff members positive for COVI D-19 and 5 in quarantine. 22. Announcement of interest items and possible future agenda topics. Commissioner Aldrich expressed his appreciation to Linda Ricketson for the tour of the Juvenile Academy. Commissioner Cauley introduced Ms. Kathy Toney from Baylor University Masters Program. She said that Ms. Toney is shadowing her today to learn about county government. Commissioner Berry said she wanted to officially welcome Russ Ford to the Court. She said she is looking forward to working with him. 23. WHEREAS, the AANBV shares this common goal with the County; and WHEREAS, the County desires to assist AANBV in their efforts to promote the public purpose of providing rapid notification to the public of incidents of abducted children in the Brazos Valley Region and provide resources, training and education to the residents and law Enforcement Agencies of the Brazos Valley. NOW THEREFORE, the parties agree to the following terms and conditions to provide such support services. AGREEMENT TERM This Agreement shall be for a term of twelve (12) months, commencing on the 1St day of October, 2020, and terminating 30th day of September, 2021. CANCELLATION This Agreement may be canceled by any parties hereto upon sixty (60) days written notice as provided herein. Brazos County Commissioners Court may, in its sole discretion, require that an independent financial audit be performed on the records of the AANBV. If the Brazos County Commissioners Court determines that the audit will be conducted by an independent third party, all costs and expenses associated with said audit will be solely paid for by the AANBV. 7. AANBV will provide the County with any and all certified audits conducted by AANBV and the management letter prepared in connection therewith; 8. AANBV will provide the Commissioners Court with statistics evidencing the number of Brazos County residents using the AANBV's Services. RESPONSIBILITY OF COUNTY The County shall be responsible for the following duties and requirements: 1. Provide County Funds. 2. Conduct a review of the AANBV's performance in providing the Services to be provided hereunder in order to assess County's continued participation in the funding of the AANBV. RECORD RETENTION The AANBV shall be responsible for record keeping on all Services provided to those individuals using its services and all financial records. The AANBV agrees to maintain and make available for inspection by the County upon request, consistent with personal privacy and. subject to the limitation of state law, any and all records the County determines, in its sole discretion, to be necessary for the County to justify its continued participation in supporting the AANBV with Funds. Such records shall be retained for at least three (3) years from the date the service was provided. These records shall be made available for inspection and audit by the County, if it so desires. DISCRIMINATION The AANBV shall not discriminate against any employee or applicant for employment because of race, color, sex, or national origin. The AANBV shall take affirmative action to ensure that applicants who are employed are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rate of pay or other forms of compensation; and selection for training, including apprenticeship. INSURANCE The parties hereto agree that the AANBV shall be an independent contractor and not an employee or agent of the County, and that each shall maintain - at its own expense, adequate liability insurance to insure against damages and liabilities which may arise due to the duties and obligations contracted for herein. COUNTY INVOLVEMENT The County and AANBV state that to the best of their knowledge, no officer, agent or employee of the County who exercises any function or responsibility in connection with the carrying out of this Agreement or the Services to which it relates has personal interest, direct or indirect, in this Agreement. GOVERNING LAW This Agreement shall be governed by the laws of the State of Texas and venue shall lie exclusively in Brazos County, Texas. The Parties agree that all obligations under this Agreement are performable in Brazos County, Texas and that this Agreement has been executed in Brazos County, Texas. Venue shall lie exclusively in Brazos County, Texas, notwithstanding anything to the contrary. TERMINATION AANBV or County may unilaterally terminate this Agreement, at any time and for any reason, or no reason, by giving the other sixty (60) calendar days prior written notice. Any audit will be conducted by County personnel or an independent third party, as determined by the Brazos County Commissioners Court. If the Brazos County Commissioners Court determines that the audit will be conducted by. on independent third party, all costs and expenses associated with said audit will be solely paid for by the BWM. Annual financial statements (audited if available) are due to County within six (6) months of completion. 5. RECORD RETENTION The BWM shall -be responsible for record keeping on all services provided and agrees to maintain and make available for inspection by the County upon request consistent with Federal and State law, any and all records the County determines, in its sole discretion, to be necessary for the Court to justify its continued participation 'in supporting the BWM with funding. Such records shall be retained for at least three (3) years from the date the service was provided. These records shall be made available for inspection and audit by the County, if it so desires. INDEMNITY The parties hereto agree to indemnify one another. for and hold one another harmless from and against all suits, claims, demands, liabilities or actions resulting or alleged to result from the breach, violation or non-performance of the services stated herein and for any damage to any person resulting from any action or omission or negligence on the part of each party hereto. 7. INSURANCE The parties hereto agree that the BWM shall be an independent contractor and not any employee or agent of the County and that each shall maintain at its own expense, adequate liability insurance to insure against damages and liabilities which may arise due to the duties and obligations funded herein. 8. COUNTY INVOLVEMENT The County and BWM state that to the best of their knowledge, no officer, agent or employee of the County who exercises any function or responsibility in connection with the carrying out of this Agreement or the services to which it relates has personal interest direct or indirect, in this Agreement. 9. GOVERNING LAW AND VENUE This Agreement shall be governed by the laws of the State of Texas and venue shall lie exclusively in Brazos County, Texas. The Parties agree that all obligations under this Agreement are performable in Brazos County, Texas and that this Agreement has been executed in Brazos County, Texas. WITNESSETH WHEREAS, the Client maintains the Brazos County OPEB Trust (the "Fund's in order to set funds aside to fund long term post -employment benefits; and WHEREAS, the Fund has funds'available for investment purposes; and WHEREAS, the Client desires to avail itself of the experience, sources• of information, advice,. assistance and facilities available to the Advisor, to have the Advisor undertake certain duties and responsibilities; and to perform certain services as investment advisor on behalf of the Fund, as provided herein; and WHEREAS, the Advisor is willing to provide such services on the terms and conditions hereinafter set forth. NOW, THEREFORE, in consideration of the premises and mutual covenants herein contained, the parties hereto, intending to be legally bound, agree as follows: 1. SERVICES OF ADVISOR. The Client hereby engages the Advisor to serve as investment advisor with respect to the Fund under the terms of this Agreement, and the Advisor accepts such engagement. The Advisor will determine the asset allocation of investments for the Fund (the "Investment Strategy" of the Fund) on the basis of information provided by the Client or other service providers, including the anticipated amounts of cash required by the Fund for distributions and other expenses, and the appropriate risk tolerance for the Fund based upon the cash I ica6. _mss p9• � needs of the Fund and the Client's resources. The Advisor will then execute the Investment Strategy of the Hold by buying and selling shares of the investment funds. Initially the Fund shall be invested in investment funds in specified proportions as set forth in a separate schedule delivered to the Client by the Advisor at or prior to the time the Fund is initially funded (as the same may be revised by the Advisor from time to time, the "Schedule"). The Advisor will reassess and may alter the Investment Strategy asset allocation at least annually and "rebalance" the investment funds as reflected in the Schedule at least annually to maintain the ratios of the Investment Strategy, and will consult with the Client at least annually to determine whether there are reasons to revise the Investment Strategy. The Advisor will conduct a review at least annually of the performance of the investment funds held by the Fund and, in its judgment, will add to or reduce allocations to each investment fund and will add or delete investment funds (within the parameters of the Investment Strategy). The Advisor will promptly advise the Client in writing of -any revision of the Fund's Investment Strategy and any additions to or deletions from the investment funds held by the Fund. In addition, the Advisor will provide to the Client a quarterly analysis of the performance of the investment funds in which the Fund is invested together with notice of any reallocation of assets among investment funds; the asset balances and market values for such analysis shall be as supplied to the Advisor by the Custodian (as hereinafter defined). In connection with all of the foregoing, the Advisor will promptly give the Client written notice of any changes to the Schedule. The Client agrees to legally appoint a custodian (the "Custodian") to take and have custody of cash, assets and securities of the Fund. The Custodian shall not be the Advisor and shall be independent of the Advisor. The Client agrees to enter, or that it has entered, into a custodian agreement with the Custodian. The Advisor is authorized to give instructions to the Custodian with respect to the Fund as to deliveries of securities and payments of cash for the payment of securities and as otherwise provided in Section 2(b) of this Agreement. The Advisor shall not take possession of or act as custodian for the cash, securities or other assets of the Fund and shall have no responsibility in connection therewith. (a) For all services provided by the Advisor to the Fund pursuant to this Agreement, the Fund shall incur an annual fee based on net assets under management in the Fund determined on a monthly basis as defined in the Investment Advisory Fee Schedule below. For purposes of this section, "net assets" means the net market value of all cash and investments assets as of the end of the most recent month. (d) Assets invested by the Advisor under the terms of this agreement may from time to time be invested in a money market mutual fund or local government investment pool managed by the Advisor (either, a "Pool', or in individual securities. Average daily net assets subject to the fees described in this section shall not take into account any funds invested in the Pool. Expenses of the Pool, including compensation for the Advisor and the Pool custodian, are described in the relevant prospectus or information statement and are paid from the Pool. 3. EXPENSES. (a) The Advisor shall furnish at its own expense all necessary administrative services, office space, equipment, clerical personnel, telephone and other communication facilities, investment advisory facilities, and executive and supervisory personnel for managing the investments, inclusive of reasonable costs required to attend meetings with the Client. (b) Except as expressly provided otherwise herein, the Client shall pay all of its expenses including, without limitation, taxes, expenses (including front- or rontor back -end charges) of an investment fund, fees and expenses of the Fund's independent auditors and legal counsel, if any, insurance premiums, fees and expenses of the Custodian appointed by the Client, as provided in Section 1, and the keeping of books and accounts. 4. REGISTERED ADVISOR; DUTY OF CARE. The Advisor hereby represents it is a registered investment advisor under the Investment Advisers Act of 1940. The Advisor shall immediately notify the Client if at any time during the term of this Agreement it is not so registered or if its registration is suspended. The Advisor agrees to perform its duties and responsibilities under this Agreement with reasonable care. The federal securities laws impose liabilities under certain circumstances on persons who act in good faith. Nothing herein shall in any way constitute a waiver or limitation of any rights which the Client or the Fund may have under any federal securities laws. The Client understands that the Advisor performs investment advisory services for various other clients which may include investment companies, commingled trust funds and/or individual portfolios. The Client agrees that the Advisor, in the exercise of its professional judgment, may give advice or take action with respect to any of its other clients which may differ from advice given or the timing or nature of action taken with respect to the Fund. The Advisor shall not have any obligation to purchase, sell or exchange any security for the Client solely by reason of the fact that the Advisor, its principals, affiliates, or employees may purchase, sell or exchange such security for the account of any other client or for itself or its own accounts. 6. TERM. This Agreement may be terminated by the Client in the event of any material breach of its terms immediately upon notice by certified mail, return receipt requested. This Agreement may be terminated by the Client at any time, on not less than thirty (30) days' written notice to the Advisor. The Advisor may terminate this Agreement immediately upon any material breach of its terms by the Client, or at any time after one year upon thirty (30) days' written notice. 7. FORCE MAJEURE. The Advisor shall have no liability for any losses arising out of the delays in performing or inability to perform the services which it renders under this Agreement which result from events beyond its control, including interruption of the business activities of the Advisor or other financial institutions due to acts of God, acts of governmental authority, acts of war, terrorism, civil insurrection, riots, labor difficulties, or any action or inaction of any carrier or utility, or mechanical or other malfunction, S. DISCIPLINARY ACTIONS. The Advisor shall promptly give notice to the Client if the Advisor shall have been found to have violated any state or federal securities law or regulation in any final and unappealable judgment in any criminal action or civil suit in any state or federal court or in any disciplinary proceeding before the Securities and Exchange Commission or any other agency or department of the United States, any registered securities exchange, the Financial Industry Regulatory Authority, 5 or any regulatory authority of any State based upon the performance of services as an investment advisor. 9. INDEPENDENT CONTRACTOR. The Advisor, its employees, officers and representatives, shall not be deemed to be employees, agents (except as to the purchase or sale of securities described in Section 1), partners, servants, and/or joint ventures of the Client or the Fund by virtue of this Agreement or any actions or services rendered under this Agreement. 10. BOOKS. The Advisor shall maintain records of all transactions in the Fund. The Advisor shall use its best efforts to cause the Custodian to provide the Client with a statement, no less frequently than quarterly, showing deposits, withdrawals, purchases and sales (or maturities) of investments, earnings received, and the value of assets held on the last business day of the month all as provided for in the Custodian agreement between the Client and the Custodian. 11. ADVISOR'S BROCHURE AND BROCHURE SUPPLEMENT. The Advisor warrants that it has delivered to the Client prior to the execution of this Agreement, the Advisor's current Securities and Exchange Commission Form ADV, Part 2A (brochure) and Part 2B (brochure supplement). The Client acknowledges receipt of such brochure and brochure supplement prior to the execution of this Agreement. 12. MODIFICATION. LICENSE AND ACTIVATION KEY LICENSE GRANTS AND OWNERSHIP. 2.I :License and Activation Key. StataCotp shall issue Customer a "License and.Activation Key" via•email, fax, postal. mail, or courier (e.g., FedEx, UPS, DHL) that sets forth the specific Licensed Software, the specific number of Concurrent :Authorized Users: for Entity Customers, and the Activation Key associated with the Licensed Software (the License -and .Activation Key). The License and Activation Key is hereby incorporated by reference into this Agreement. Certain .of the licenses. in Section 2.2(b) permit use by Authorized Users of Entity Customer and the Entity Customer is responsible for Compliance of all such Authorized Users with the Agreement and shall:be liable for the breach of the terms of this Agreement by such Authorized Users. 2.2 Licenses. (a) Single -User License Grant. This Section 2.2(a) applies only to an Individual 'Customer whose License and Activation Key issued by StataCorp specifies the "License Type" as ".Single User". A Single -User license -is for.a named individual who is identified as the only Authorized User. Subject to the terms and conditions of this Agreement, StataCorp ;grants to Customer anon -assignable, nontransferable license, without the rightto sublicense, to: use the Licensed Software, in object -code form only, 'solely for Customer's internal business, research, or educational purposes, and solely by the Individual Customer. (b) Concurrent Authorized -User License Grant. (i) Network License Grant— Licensetl Software. Customer is authorized by StataCorp to install.the Licensed Software on an unlimited number of machines as long as Customer has a site license agreement with StataCorp authorizing this, or long as the specific number of Concurrent Authorized Users for which Customer has paid the applicable License 'Fee is not exceeded. {i) _Compute -Server License, Grant — Licensed Software. This Section 2.2(b) .(ii) .applies only to a Customer whose License and Activation Key.issued by StataCorp specifies the "License Type° as OCompute Server".. Subject -to -the terms and conditions of this.Agreement. StataCorp grants to Customer a non -assignable, nontransferable license, without the right to sublicense, .to use and execute the Licensed Software, in object -code form only, installed on a single compute.server solely for Customer's.lhternal business, research, or educational purposes.. Customer is authorized by StataCorp to install the. Licensed Software on only one compute server or one node of a cluster solely for the use of the specific nurrlber-of Concurrent Authorized Users for which'Customer has paid. the -applicable License Fee. fit) Student Lab License Grant — Licensed Software. This Section 2.2(b) (1111) applies only to :a Customer whose. :License and Activation Key issued by $tataCorp specifies the "License Type".as "Student Lab". Subject to the terms and conditions of this Agreement, StataCorp. grants to..Customer a non -assignable, nontransferable license, without the right .to sublicense, to use the Licensed Software, in object -code form only, solely in an educational student lab environment (including virtual lab environments) for teaching purposes (but not for research purposes) within a degree -granting institution. Customer is authorized to install the Licensed Software on an unlimited number of machines as long as the specific number of Concurrent Authorized .Users for which Customer has paid the applicable License Fee is not exceeded. .(iv) Customer Obligations. 'This Section 2.2(b) (iv) applies to a Customer whose License and Activation Key issued by StataCorp specifies the "License Type" as "Network", "Compute Server", or "Student Lab". Customer is responsible .for managing the usage of the Licensed Software to ensure that such usage does not exceed the specific number of Con current Authorized Users for which Customer has paid the applicable License .Fee. Customer may add additional Concurrent Authorized Users to Customer's account for the Licensed Software by placing an order With StataCorp or an Authorized Reseller, 2.3 Documentation License. Subject to the terms and conditions of this Agreement, StataCorp grants.to Customer a. non - assignable, nontransferable license, without the fight to sublicense, to use the Documentation in connection with Customer's authorized use of the Licensed Software. Customer may not reproduce or distribute the Documentation in any manner, whether physically or electronically, without the express written permission of StataCorp. Entity Customer may make the Documentation available on any website or private network administered by the Entity Customer. 2.4 Activation Kev. StataCorp ,shall issue to Customer.a License and Activation :Key for each copy of the Licensed Software. Customer is entirely responsible for any and all activities that occur under Customer's account and all charges incurred from use of the copy of the Licensed Software assigned by Serial Number to Customer (e.g., maintenance, support, or license or subscription fee charges). The Licensed Software shall be deemed accepted upon the delivery of the Activation Key to lCustomer by StataCorp or an Authorized Reseller, 2.5 License to StataCorp Enhancements Subject to the terms and conditions of this Agreement, StataCorp grants to Customer a non -assignable, nontransferable, royalty -free license, without the right to sublicense, to use the StataCorp Enhancementssolely with -the Software for Customers internal business, research, or educational purposes. In addition, .subject to the terms and conditions of this Agreement, StataCorp grants 'to'Customer a non -assignable, nontransferable, royalty -free license•to modify, reproduce, and distribute the StataCorp Enhancements to create Customer Enhancements solely for use with the Software. Customer may distribute the Customer Enhancements to third parties either at no charge or for a fee. THE STATACORP ENHANCEMENTS ARE PROVIDED TO CUSTOMER .ON AN 'AS IS' AND'WHERE IS' BASIS AND WITHOUT WARRANTY OF ANY TYPE OR KIND. STATACORP AND ITS THIRD -PARTY LICENSORS HEREBY EXPRESSLY DISCLAIM AND EXCLUDE ALL WARRANTIES AND CONDITIONS, WHETHER STATUTORY, EXPRESS, IMPLIED, OR, OTHERWISE, WITH RESPECT TO THE STATACORP ENHANCEMENTS, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, .AND NON - INFRINGEMENT OF THIRD -PARTY RIGHTS. 2.6 License toCustomer Enhancements If Customer submits Customer Enhancements to StataCorp or makes Customer Enhancements generally available for modification, use, or distribution without charge by third parties, Customer grants to StataCorp a perpetual, irrevocable, transferable, royalty -free license to modify, reproduce, and distribute the Customer Enhancements, with the right to sublicense through multiple tiers of distribution. THE CUSTOMER ENHANCEMENTS ARE PROVIDED TO STATACORP ON AN 'AS IS' AND 'WHERE IS' BASIS AND WITHOUT WARRANTY OF ANY TYPE OR KIND, CUSTOMER HEREBY EXPRESSLY DISCLAIMS AND EXCLUDES ALL *WARRANTIES AND CONDITIONS, WHETHER .STATUTORY, EXPRESS, IMPLIED OR OTHERWISE, WITH RESPECT 'TO THE CUSTOMER ENHANCEMENTS, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON -INFRINGEMENT OF THIRD -PARTY RIGHTS: 2.7 Restrictions. Customer shall not, nor permit any person (including any Authorized User) to: () reverse engineer, reverse.compile, decrypt, disassemble, or otherwise attempt to derive the source code of the Licensed Software (except to the extent that this restriction is .expressly prohibited by law); (i) modify, translate,, or create derivative works of the Licensed Software; (ii)-subricense, .resell, rent, lease, distribute, market, commercialize, or otherwise transfer rights or usage to the Licensed Software (except as expressly permitted under this Agreement); (iv) remove, modify, or obscure any oopyright-notices or other proprietary notices or legends appearing on or in the Licensed Software, or any portion thereof; -(v transfer, use, or export the Licensed Software in violation of any applicable laws, rules, or.regulations .of any government or govemmental $tataEULA20i 90604 Copyright StataCorp LLC. Agreement -agency; (v) .use•the'Licensed Software or any'system services accessed through the Ucerised Software to disrupt; disable, or otherwise harm the operations., software, hardware, equipment, and/or systems of a business; institution, .or other, entity, including, without limitation, :exposing the business, institution., or other entity to any computer virus, trojan horse; or other harmful, disruptive, or -unauthorized component; or (vii) embed the Licensed Software in.any.third-party applications, Onless otherwise authorized. in writing. in advance by an officer of StataCorp. 2.8 Ownership. The Licensed Software, StataCorp Enhancements, and Documentation contain copyrighted material and .other proprietary material and information of StataCorp and/or its licensors. StataCorp and/or its licensors shall retain all right, title, :and interest, including all Intellectual property rights, in :and to the Licensed .Software, StataCorp Enhancements, and :Documentation, Customer will not remove, alter, or destroy any form of copyright notice, prpprietary markings, or confidential legends placed upon or contained within the Licensed Software, StataCorp Enhancements, or Documentation, or any component thereof. 3. TECHNICAL SUPPORT AND UPGRADES AND UPDATES. 3.1 Technical Support. 'StataCorp agrees to provide Customer with technical support'services which include periodic distribution of bug fixes and minor enhancements.as Updates scheduled by StataCorp. All registered. users of the then -current .release of Stata and the -previous release of Stata are eligible for free limited technical support. Installation support inquiries by telephone will be accepted by StataCorp during normal business hours. Technical .support email inquiries ate accepted at .any time and will be answered during normal StataCorp business hours. StataCorp will attempt to respond to .inquiries within the same business -day. 3:2 Updates and Upgrades. To receive and use an Upgrade, Customer must pay.the applicable fees for that Upgrade and agree to StataCorp's standard terms and conditions governing the use of that Upgrade. If no such standard terms and conditions 'are stated by StataCorp, the terms of this Agreement shall -apply and the Upgrade shall be deemed Licensed Software. StataCorp will issue a view Activation Key for the Upgrade. For a Single -User license, once. $tataCdrp issues the new .Activation Key for an Upgrade version, Customer shall be able to continue to use the prior version of the Licensed Software. For Network, Compute Server, and Student Lab licenses, once StataCorp issues the new Activation Kefor an Upgrade, Customer shall be able to continue.to use the prior version:of the. Llcensed Software on the condition that the total, y combined nurnber.of Concurrent Authorized Users who are using the Licensed Software (either the prior version, Upgrade, or both) does not exceed the specific number of Concurrent Authorized Users for which Customer'has'paid the applicable .fee. For aSingle-User license, technical support services are provided only for the Customer of the then -current version of the Licensed Software. For any other type of license selected by Customer (Le:, Network, Compute .server, or Student Lab), technical support services are provided only for the Authorized .Users of the then -current version of the Licensed. Software. 4. LIMITED WARRANTY• WARRANTY DISCLAIMER. 4.1 Limited Media 111/arranty. Forthirty (30) days from the -.date of purchase, StataCorp warrants that the media on which the Licensed Software, StataCorp Enhancements, and Documentation is furnished shall be•free from defects in material and faulty workmanship. Customer.may return for replacement, without charge, any media that fails to meet this limited media warranty to StataCorp or the dealer from whom•the•L•icensed Software (and' StataCorp Enhancements) was purchased, as applicable, within the 30 -day period. StataCorp. or the applicable dealer will not be responsible for replacing any media that. contains defects due. to Customer's misuse. THE FOREGOING IS CUSTOMER'S SOLE REMEDY, AND STATACORP'S :SOLE OBLIGATION, WITH RESPECT TO A BREACH OF THE LIMITED MEDIA WARRANTY. 4.2 Performance Warranty. StataCorp.represents and warrants for a period of 90 days from the date of the order that the Llcensed •Software substantially conforms to the: functional specifications in the Stata Reference Manual. -StataCorp will repair or replace the Licensed -Software if this warranty is breached unless it cannot do so within a reasonable period of time, then StataCorp will refund the fee paid for that license under the order (this Agreement will then terminate). Customer must notify StataCorp during the warranty period or 30 days Merit ends of any alleged breach of the warranty. THIS SECTION CONTAINS CUSTOMER'S 'EXCLUSIVE.REMEDY AND STATACORP'SSOLE LIABILITY FOR BREACH OF THIS WARRANTY. 4.3 No Disabling Code. With respect to the Licensed Software (including any Updates or Upgrades) and as of the date of delivery, StataCorp represents and warrants that () it has .used commercially reasonable efforts consistent with industry standards to,scan for and remove any software viruses, and (ii) it has not inserted any Disabling Code. "Disabling Code" means computer code inserted by StataCorp that is not addressed .in the Ddcumentation'and that is designed to .delete, Interfere with, or disable the normal operation of the Products. This Disabling Code warranty does not.apply ,to StataCorp ;passwords' necessary for the operation of'the Licensed Software, to the Licensed Software's ActiVation Key requirement, or for any use by Customer outside the scope of the license. 4.4.No Warranty, EXCEPT FOR THE WARRANTIES ABOVE,.THE.LICENSED SOFTWARE, DOCUMENTATION, AND SUPPORT SERVICES .ARE- PROVIDED TO CUSTOMER ON AN AS IS' AND 'WHERE IS' BASIS AND WITHOUT WARRANTY OF ANY TYPE OR KIND. STATACORP HEREBY EXPRESSLY DISCLAIMS AND'EXCLUDES ON BEHALF OF ITSELF AND ITS LICENSORS ALL WARRANTIES -AND CONDITIONS, WHETHER STATUTORY, EXPRESS, IMPLIED, OR OTHERWISE, WITH RESPECT TO THE LICENSED SOFTWARE AND SUPPORT.SERVICES, INCLUDING, BUT NOT LIMITED -TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON- JINFRINGEMENT OF THIRD PARTY RIGHTS: StataEULA2oisorw -- Vol. Pg. If License Period is not for a fixed term, this Agreement shall commence on the Effective Date and .shall continue in effect until terminated as set forth below. If the License'Period'is for a fixed term, :this Agreement will commence on the Effective Date and shall. continue; until the earlier to occur of the expiration of the License Period or'the termination of this Agreement asset forth below: In the case: of additional Concurrent Authorized' Users who are•authorized and added 'after :the initial License Fee payment, -the term of their usage of the Licensed Software shall be coterminous with the preexisting then -current term. If Customer purchases an Upgrade, the term of the -Agreement shall be the.specific term set forth in the new License.and Activation. Key issued for the Upgrade. 5.2 Termination. Custbmermay terminate this-Agreerinent at any time with written notice to StataCbrp. StataCorp may terminate this. Agreement. rrimadiately without notice if Customer breaches •any, term of this Agreement. Including, without limitation,. breaching the scope of the license granted or confidentiality obligations under this Agreement. 5.3 Effect of Expiration or Termination. Upon expiration or termination of this Agreement, g , (i) the .rights and licenses granted to Customer pursuant to this Agreement shall automatically and immediately terminate -and (ii) Customer shall immediately cease using the Licensed Software. In addition, for a fixed -term License Period, .upon expiration of.the License :Period, the Activation key will expire and the Licensed Software will cease to function. Sections 2:5,'2.6, 2.7, 2.8 4.4, 5:3,'7, 8, 9, 10, and 11 of this Agreement shall survive any expiration .or termination of this Agreement. 6. FEES AND PAYMENT. 6.1 Fees and Payment Terms. Customer licenses the Licensed .Software from StataCorp. This Agreement is between Customer and. StataCorp solely.. The applicable License Fee is, specified on the StataCorp Website or'in the specific price .proposal provided by StataCorp or an Authorized Reseller.. The payment terms and conditions for -the License. Fee payable to atataCorp are specified on the StataCorp invoice or in the specific price proposal provided by Statacorp. The payment terms .and conditions for the License Fee payable to an Authorized Reseller are as specified by the specific Authorized Reseller. All fees paid to StataCorp are.•non-refundable except as explicitly permitted from time to time on the StataCorp Website: StataCorp may terminate. this Agreement and invalidate Customers Activation Key if the billing or.coritact information is false, fraudulent,, or invalid. Customer will pay all taxes, including sales, use, personal property, value. -added, excise., customs fees, import duties, 'stamp duties, and any .other similar taxes and duties, including penalties and interest, Imposed by any United .States federal, state, provincia(or local government entity orany non-U.S..government:entity on the transactions contemplated Py this Agreement, excluding.taxes based upon StataCorp's net income. Customer sole responsibility for, any withholding 'taxes assessable by any local, !state, provincial, or'foreign jurisdiction. Should such taxes be deducted from the total amount :payable, Customer is still liable for the full License Fee payable to. StataCorp, 6;2.Additional Concurrent Authorized• Users Fee. During the License Period, Customer shall pay to StataCorp or the specific Authorized Reseller the then -current rate for any licenses for additional Concurrent -.Authorized Users.. This fee shall be, charged or •invoiced to. Customer on the data such additional Coricurrent .Authorized Users a account. re added to Customer's 6.3 Concurrent Authorized User Accounting. Customer shall maintain business practices and records necessary to manage the number, of Concurrent Authorized Users. and -compliance with -the terms of this Agreement, StataCorp has the right to request usage reports during the License Period and Customer will provide such a report within 30 days of request. If StataCorp determines that Customer has. more Concurrent Authorized Users than Customer has paid for, Customer shall immediately pay StataCorp the. applicable additional fees. 7. CONFIDENTIALITY. bustomer and StataCorp agree .to maintain the confidentiality of any corifideritial or proprietary information of one, party (the "disclosing party") received by the other -party Oe'receiving party"). during the term of, or prior to entering into, this Agreement that the receiving party should know is :considered confidential or proprietary by the disclosing .party based on the circumstances surrounding. the disclosure, including, without limitation, non-public technical and business information ("Confidential Information"). The Licensed Software is copyrighted and shall be deemed StataCorp's :Confidential Information. The Documentaiioh -is copyrighted material of StataCorp. This section shall not.apply.to any information that is or becomes publicly available through no breach of this Agreement by the receiving party or is independently developed by the receiving party without access to or use of the Confidential Information of the disclosing party. The foregoing confidentiality obligations will not restrict.either party from disclosing Confidential Information of the other party pursuant to the order or requirement of a: court, administrative agency, cr other governmental body, ,provided that the party required to make such a disclosure. gives reasonable notice to,the other party to enable the other party to seek a protective order or otherwise limit such disclosure. The receiving party of any Confidential Information of the disclosing party agrees not to use the disclosing party's Confidential Information for any purpose .except as necessaryto fulfill its .obligations and exercise !Rs rights under this Agreement. EVENT SHALL STATACORP OR ITS LICENSORS HAVE ANY' LIABILITY FOR MANY INCIDENTAL; CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT. 'OF OR IN CONNECTION WITH THIS, AGREEMENT, REGARDLESS OF THE FORM OF THE ACTION, WHETHER IN CONTRACT; TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY, OR OTHERWISE, EVEN IF ANY 'REPRESENTATIVE OF STATACORP HAS BEEN ADVISED.OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE :FAILURE OF THE ESSENTIAL PUR150SE OF'THIS AGREEMENT OR ANY:LIMITED REMEDY HEREUNDER. 8:2 Limitation of Damages. IN NO EVENT SHALL STATACORP'S LIABILITY ARISING O.UT OF OR RELATED TO THIS AGREEMENT.EXCEED: (1) IF THE LICENSED SOFTWARE IS LICENSED FROM STATACORP DIRECTLY, THE LICENSE 'FEES PAID BY CUSTOMER TO STATACORP FOR THE LICENSED SOFTWARE, OR (II) -IF THE LICENSED SOFTWARE IS LICENSED THROUGH AN AUTHORIZED RESELLER, THE LICENSE FEES PAID BY CUSTOMER TO THEAPPLICABLE AUTHORIZED RESELLER, AS APPLICABLE. -IN NO EVENT WILL STATACORP°S LICENSORS HAVE ANY LIABILITY FOR ANY.CLAIM ARISING IN CONNECTION WITH THIS AGREEMENT. 8:3 Limitation of Remedies. THE PARTIES AGREE THAT THESE LIMITATIONS SHALL.APP.LY NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSEOF THIS, AGREEMENT OR ANl'.LIMITED.REMEDY HEREUNDER. 9. U.S. GOVERNMENT CUSTOMERS. The Licensed Software under this Agreement is "commercial computer software" as that term is described in DFAR 252.227- 7014(a)(1). If acquired by -or on behalf of -a civilian agency, the U.S. Government acquires this commercial computer software: and/or commercial computer software documentation subject to the terms and this Agreement as specified in 48 C.F.R.12.212 (Computer Software) and 121.11(rechnical Data) of the Federal Acquisition Regulations ("FAR") and its successors. If acquired. by or on behalf of any'agency within the Department of Defense ('DAD"), the U.S-. Government acquires this, commercial computer software and/or commercial computer software documentation subject:to the terms of this Agreement as.specified In 48 C.F.R. 227-7202 of the DOD FAR Supplement and its. successors. 10. ICD -10 USERS. The World Health Organization (WHO) ICD -10 codes are provided as part of -the, Licensed Software with the expressed {permission and direction of the WHO. The use of ICD -10 with Licensed Software does not imply any endorsement of Licensed Software by WHO, The ICD -10 codes shall not be -amended, abridged, translated, deleted qr in any way changed without the. consent of WHO. The ICD -1.0 codes are for the use of Authorised User. They are not to be reproduced, transmitted or distributed outside of Authorized User's organization in any form or by any means except in summary results of. analyses. ICD - 10 is distributed without warranty of any kind, either express or implied. In no.event shall the World Health Organization -be liable for damages, including any general,!special, incidental, or consequential damages, arising out of the use of ICD -10. 11. GENERAL. Except as expressly provided herein, Customer may not assign or transfer any of its rights under this Agreement�(including its licenses,with respect to the Licensed Software and.Documentation) without the' prior written consent of StataCorp. Unless the Customer is required by statute or regulation to apply,the law of a. state other than Texas, this Agreement will be governed by :and construed in accordance with the laws of the State of T.exas and the federal U_S. lawsapplicable therein, excluding any conflicts of law-provis'ions, and'the Customer and StataCorp agree to submit to the personal and exclusive: jurisdiction of the courts located in Harris County, Texas. If the statute or regulation applying to the Customer requires the application of a law :of a state other than Texas, the parties agree that the -terms of this Agreement shall be governed and construed in accordance with the law specified in such statute or regulation, and the Customer shall give written notice of such requirement to StataCorp. The application of such different law shall be effective upon *the receipt of suce of Goods will not apply to this Agreement. The h written notice by StataCorp. If any provision of this Agreement is found void and ,unenforceable, it will be replaced to the extent possible by StataCorp with a provision that comes closest to the meaning of the original provision, This Agreement and the documents referenced in this Agreement constitute the entire agreement between Customer and StataCorp relating 'to its subject matter:and all terms herein and supersede all prior -or contemporaneous agreements or understandings. StataCorp sets prices and accepts payments for its Products in the following currency: USD. Prices -are subject to: change by StataCorp. 3.2. StataCorp:accepts major debit and credit cards ;(collectively, "payment cards"). StataCorp. is not responsible for.any payment failure resulting from inaccurate payment card details provided by Customer when placing an online order, any restrictions applicable to payment card by Customer's bank, -or payment gateway failure. 3.3. StataCorp. will; automatically renew annual licenses every 12 months when Customer selects'the auto renew option. StataCorp. will charge Customer's: credit card on -file two weeks prior -to each annual renewal date unless Customer contacts StataCorp to cancel the auto renew option. a VOL PgLd - I 3A. DEDUCTIONS 'Product prices do'not Includes any national, state, or local sales, use, value added, or ether taxes. .Customer -will pay' all taxes, including sales, .use, personal property, value-added, excite,,customs fees,. import duties, stamp duties, and any other similar.taxes and duties, including penalties and interest, imposed. by any United States federal, :state, provincial, or local government entity or any non -US Government.on the purchase order, excluding taxes based .upon StataCorp's net Income. -5.2. 'Customer bears :sole responsibility for any withholding taxes. assessable by any.tocal, state, provincial, .or foreign jurisdiction. Customers in Arizona, Colorado, Connecticut, pistrict of Columbia, Illinois, Indiana, Kentucky, Louisiana, Massachusetts,'.Michioan, Minnesota, North Carolina, New.Jersey, New York, Ohio, Pennsylvania., Texas, Utah, Virginia, Washington, and Wisconsin must pay sales_tax unless they are tax exempt. BRAZOS COUNTY ROADWAY SAFETY AND ROAR PRESERVATION STANDARDS FOR WORK CONDUCTED IN BRAZOS COUNTY RIGHTS OF WAY A. General Requirements 1. Adequate drainage shall be maintained in ditches at all times. 2. Permittee will use best management practices. ("BMP") (EPA and TCEQ both provide lists of examples of . BMPs) to minimize erosion and sedimentation resulting from the proposed installation. 3. The permittee shall take precautions to avoid damage to property. All County Right of Way and property shall be restored to its original condition, as far as practical, in the opinion of the County Engineer or appointed representative. 4. The construction and maintenance of such utility shall not interfere with the property or rights of a prior occupant. 5.- Permittee shall not interfere with other utilities located in the right of way. In the event damages occur, permittee will be liable to the County or other utilities running through the right of way. 6. County Engineer shall determine whether or not permittee's plans shall inconvenience the public. If it is determined that inconvenience to the public exists, then the County Engineer will decide whether such project will be allowed or if an alternative exists so as not to inconvenience the public. B. Safely Reauiremenls 1. Proper traffic control measures must be put in place prior to beginning work and remain in place during the duration of the job. All traffic control measures must follow the Texas Manual of Uniform Traffic Control Devices (TMUTCD). See Traffic Control Requirements below. 2. During construction, all safety regulations of the Texas Department of Transportation shall be observed. 3. Permittee must take'such precautions and measures, including placing and displaying safety devices, as may be necessary, in order to safely conduct the public through the project area. Company shall provide flagmen, signs, signals or devices necessary to provide complete safety to the public. 4. Adequate provisions must be made to cause minimum inconveniences to traffic and adjacent property owners. 5. No cable, conduit and/or pole line shall be laid, constructed, maintained and/or repaired so as to constitute a danger or hazard of any kind to persons or vehicles using such road. Any poles placed in the Right of Way for future installation shall be placed at the back of the Right of Way. Exceptions may be approved by the County Engineer. C. Trafrc Control plan 1. A traffic control plan, pursuant to the TMUTCD or Engineered Traffic Control Plan must be provided for the following. a. Any construction (i.e. pit, excavation, hole) left open overnight, requires specific nighttime traffic control measures pursuant to the TMUTCD; -a �� _ '' �. • b. If construction is within ten (10) feet of the roadway; or c. Any work performed in the road right-of-way; 2. Plan must be attached to the permit and kept at the job site anytime work is being performed. 3. Plan must set forth the time of completion for the job. D. DesB,.n Standards 1. All overhead installations shall conform to clearance standards of the Texas Department of Transportation and the pole be placed in the designated area for power specified as set forth in the Texas Utilities Code, Section 181.04S. 2. All pole installation (including lighting) shall be placed at the backside of the Right of Way to ensure safety to the public. Any pole placed in violation of this requirement will be required to be moved to the appropriate location at the company's expense. Exceptions may be approved by the County Engineer. 3. All underground installations shall (these are minimum depths— utility may place deeper): a. be placed at a minimum depth of forty-eight (48) inches below the top of the pavement; b. be at least thirty-six (36) inches below ditch flow line when installation is within the area measured from top of bank to top of bank; c. be at least forty-eight (48) inches below ditch flow line if low pressure gas or petroleum lines. For high pressure gas and petroleum lines, see high Pressure Pipelines requirements listed below; d. not be closer than ten (10) feet from the edge of pavement. Exceptions may apply in rights of way of less than 60 feet. 4. Water Lines: All water lines must be a minimum 36 -inches below the ditch flow line and cased. Waterlines shall be cased if crossing under the roadway. S. Utilities in all new developments that have 60 feet or greater of right of way shall be installed within designated locations based upon the type of utility. The Iocations shall be as follows: (measured from back of right-of-way). - Power — 0 to 2 feet, nominally 1' Phone — 2 to 4 feet, nominally 3' Gas — 4 to 6 feet, nominally 5' Cable — 6 to 8 feet, nominally 7' 6. Utilities with less than 60 feet right-of-way in all new developments shall install the utility in a similar manner as referenced in No. 3 above; however, the County Engineer or its designated representative will provide final approval of each utility location. 7. The length of any trench to be opened in advance of the pipe, conduit or ducts may not be Ionger than 400' if left open over night or unattended. 8. Crossings under a county road shall: a. be bored or jacked. ABSOLUTELY NO OPEN CUTS WITHIN COUNTY ROAD PAVEMENT; b. be pressure grouted for the full length of the crossing fthe annular space between pipe and casing and soil exceeds one (1) inch. Brazos County must be given 24 hours notice of pressure grouting operations and have the opportunity to have an inspector on site to observe pressure grouting operations; Vol. —2) a5- pg. -13 c. TxDOT Standard Specification Item 476 shall be followed for all boring, jacking, tunneling and joints. 9. Bore Pits: a. no pits shall remain open longer than 2 days; b. all pits shall have proper traffic control measures in place. See Traffic Control Plan listed above. c. pits shall NOT be Iocated within ten (10) feet from the edge of pavement without prior approval from the County Engineer or his representative; d. when pits are to remain open for more than 8 hours, due diligence will be used in protecting the spoil pile to prevent drainage problems; e. based upon soil conditions, the County Engineer or his representative may require shoring to protect pavement integrity; f. based upon soil conditions, the County Engineer or his representative may require pits be placed further from the edge of road. 10. Any installation within ten (10) feet of edge of pavement shall meet the following: a. location must be approved by the County Engineer or his representative b. backfilled with cement stabilized material. c. based upon soil conditions, the,County Engineer or his representative may require shoring to protect pavement integrity. d. all excess water and mud shall be removed from the trench prior to backfilling. Any backfill placed during a rainy period or at other times where excess water cannot be prevented from entering the trench will be considered TEMPORARY and shall be replaced with PERMANENT cement stabilized material as soon as weather permits; e. all disturbed base and pavement materials shall be removed and restored to the satisfaction of the County Engineer or his representatives. E no side or lateral tamping to fill voids under the base and pavement materials is allowed. 11. Company must be careful to not jeopardize the slope or integrity of the shoulder of the road. In the event Company damages the slope, shoulder or any other portion of the right-of-way, Company will be responsible for repairing the damage and replacing the right-of-way to the condition it was prior to commencing construction. 12. Operation of construction and/or maintenance equipment on the traveled surface of any improved County road will not be permitted, except in an instance whereby the laying, construction, maintenance and/or repair of cables, conduits and/or pole lines cannot be accomplished by any other method and in this event all such equipment shall be of the rubber tire variety. Appropriate traffic control shall be provided meeting TMUTCD requirements. 13. In the event said construction and/or maintenance and/or repair requires Company to remove, cut or jeopardize any section of the road (asphalt, cement, road base, etc.), Company will be required to provide a performance bond or letter of credit securing necessary repairs. Said bond amount will be determined by the County Engineer. 14. The applicant shall submit a letter of "No Objection" from the Army Corps of Engineers for all designated wetlands and environmentally sensitive lands. E. Emereencv work 1. In the event Company is required to perform emergency services, that requires excavation in a County Right of Way, and unable to notify the County Engineer prior to conducting emergency repairs, Company Vol. Pg. 16c shall notify County Engineer within 24 hours of beginning construction/repairs. This will allow the County Engineer's Office an opportunity to inspect the site to ensure the integrity of the County Right of Way and traffic safety controls used. F. Repairs to existing facPPRW 1. Maintenance and/or repair to existing cables, conduits, and/or pole lines which require disturbance of the soil, shall not be performed until plans describing such maintenance and/or repair have been approved by the County Engineer or its designated representative and a permit has been obtained. G. Relocation of utilities I. When and if the County Engineer determines that it is necessary for the construction, repair, improvement, alteration or relocation of all or any portion of said road, any or all poles, wires, pipes, cables or other facilities and appurtenances authorized hereunder, shall be removed from said road, or reset or relocated thereon, as required by the County Engineer within a reasonable time as determined by the County Engineer and Utility Company, and at the expense of the Utility Company. H. Hkh- Pressure Pipelines 1. All utility Permits for high pressure pipelines (generally 60 PSI or greater), whether pertaining to controlled access or non -controlled access installations, should contain the following additional information in the description of the permit. -diameter -wall thickness -material specification -minimum yield strength -maximum operation pressure of the pipeline 2. With the exception of the maximum operation pressure of the pipeline, this information is to be supplied for both the carrier pipe and the casing. 3. Assurance must also be given that the installation material and design meet the minimum Federal Safety Standards for Liquid and Gas Pipe Lines. Assurance must be provided on company letterhead and signed by an authorized representative of the company. 4. Petroleum Pipelines: Depth Type of Pipeline (below deepest ditch grade) Special Requirements Encased Pipe Less than 10' Must be covered with concrete pad at least 36" deep Encased Pipe Greater than 10' No concrete pad required Non -Cased Pipe Less than 10' Must be covered with concrete pad at least 48" deep Non -Cased Pipe Greater than 10' No concrete pad required Concrete pad shall be minimum of 3" thick and width shall be pipe diameter plus 18" minimum. 5: Under no circumstances will a pipeline be installed parallel to a County Road within the Right -of - Way. Transmission lines have been determined to be petroleum pipelines (which includes natural gas lines) and shall not be parallel to a County Road. 6. Natural Gas Distribution is a line that serves the final customer.
