Approval to issue a county diners club card to the Brazos County Health District employee Sara Mendez with a limit of $1,000.00 for travel, hotel, and conference reservations. 11. Approval of designated authority of the Purchasing Agent to contract for Malpractice Insurance for Brazos County, to be ratified by Commissioners Court at a later date. Not to exceed $10,000.00. 12. Request from Fleet Services for approval to utilize $20,491.74 from FY21 budget to fund equipment that was not received prior to September 30, 2020 for FY20 vehicles. Adjourn. 0 PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. it is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. I C _ - MINUTES OCTOBER 20, 2020 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, October 20, 2020 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Chuck Konderla, Commissioner of Precinct 2; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk, Absent. The attached sheets contain the names of the citizens and officials that were in attendance. 1. Invocation and Pledge of Allegiance - U.S. and Texas Flag — Commissioner Konderla 2. Call for Citizen input and/or concerns There was no citizen's input. Consider and take action on agenda items 3-32: 3. Proclamation 20-035 declaring November 8-14, 2020 as National Apprenticeship Week. The Court approved a proclamation designating November 8th through 14th, 2020 as Vol. 3a 3 Pg. 15to "National Apprenticeship Week". The Court joins with the Mayors of the Cities of Bryan and College Station to urge all citizens to acknowledge and recognize the apprenticeships in our community. At this point, the County Judge announced the Court would consider items 33 through 36 then return to convene into Executive Session. Having considered the previously noted agenda items, at 10:23 a.m. the County Judge stated that the Court would convene into Executive Session to deliberate pursuant to Texas Government Code 551.087 as stated above. The following individuals were asked to stay for the meeting: Candy Gallego, Executive Assistant Ed Bull, Civil Counsel/Chief of Staff Bruce Erratt, Civil Counsel Natalie Ruiz, City of College Station Aubrey Nettles, City of College Station 32. Consider and possible action on Executive Session. At 10:55 a.m. the County Judge announced the meeting open to the public and announced that no action would be taken on the Closed Executive Session. 33. Juvenile Director's report on detention population. Juvenile Director Linda Ricketson reported there are 18 juveniles in the detention center, 11 are male and 7 are female, and 32 have electronic monitors. There are 6 new youth in isolation as per medical protocol for new intakes. 34. Sheriffs report on inmate population. Sheriff Chris Kirk stated there were 551 inmates in jail, 490 inmates are male and 61 are female, 42 have electronic monitors and 5 are pending for monitors. Sheriff Kirk said there is 1 inmate positive for COVID-19 and 8 inmates are in quarantine. There are 3 staff members positive for COVI D-19 and 0 are in quarantine. Commissioner Cauley asked if there was still a staff member in rehabilitation. Sheriff Kirk answered yes. 35. Announcement of interest items and possible future agenda topics. There were no announcements. 36. Call for Citizen input and/or concerns Deputy Emergency Management Director Jason Ware stated that dates have been added for the mobile COVID-19 testing. The testing will be located at the Brazos Center parking near the pavilion. The dates and times are as follows: October 27, 2020 October 28, 2020 October 29, 2020 November 9, 2020 November 10, 2020 November 11, 2020 11:00 a.m. - 7:00 p.m. 11:00 a.m. - 7:00 p.m. 11:00 a.m. - 7:00 p.m. 11:00 a.m. - 7:00 p.m. 8:00 a.m. - 4:00 p.m. 11:00 a.m. - 7:00 p.m. Commissioner Cauley thanked Mr. Ware for adjusting the hours for those who are working. 37. Services. a. TAM Training will provide to Brazos County the services described in Exhibit A attached hereto and made a part hereof (the "Services") and the materials and work product to be delivered to Brazos County hereunder (the "Deliverables"). b. Brazos County shall: (i) provide TAM Training's staff working at Brazos County's premises with a suitable and adequate working environment as may be reasonably necessary to provide the Services, and (ii) fulfill Brazos County's obligations as described herein and in Exhibit A. 2. Payment. a. Services fees as per Attachment A are payable to TAM Training upon signature of this agreement and should be paid in full within thirty (30) days of receipt of invoice. TAM Training is providing the Services on a time and materials basis. C. Brazos County shall pay the amounts due under this Agreement to TAM Training free and clear of any taxes, including withholding taxes, deductions, fees or other levies or charges, with the understanding that TAM Training is responsible for its own income taxes. 3. Independent Contractor. TAM Training is performing the Services as an independent contractor of Brazos County. Nothing contained in this Agreement shall be construed to place Brazos County and TAM Training in a relationship as partners, joint venture, employer/employee or principal/agent, nor shall TAM Training be considered in any sense an affiliate or subsidiary of Brazos County. 4. Intellectual Property. To the extent that any intellectual property rights are created in any Deliverable, such rights shall belong to TAM Training, with Brazos County receiving a fully -paid and perpetual license to use the Deliverables for its and its direct and indirect subsidiaries' internal business purposes. Brazos County, however, reserves all right, title and interest in and to any information or works provided to by Brazos County to TAM Training which may be incorporated into a Deliverable. 5. Limited Warranty. TAM Training warrants that the Services will be performed in a professional manner in conformance with the requirements set forth in this Agreement, including Exhibit A. TAM TRAINING DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. For any breach of the foregoing warranty, Brazos County's sole remedy and TAM Training's sole obligation is, at TAM Training's sole option, to: (i) re -perform the Services that were not as warranted at no additional charge to Brazos County, or (ii) refund the amounts paid by Brazos County for the Services that were not as warranted, provided that TAM Training has received written notice from Brazos County within thirty (30) calendar days after completion of any Services that Brazos County alleges were not performed consistent with the foregoing warranty. TAM Training further warrants that: (i) the Deliverables will perform at all times during the Term, materially in accordance with the descriptions set forth herein and shall otherwise perform in accordance with Brazos County's reasonable expectations; (ii) it will take commercially reasonable steps to provide the electronic Deliverables and Services to Brazos County free from computer viruses or other malicious code; and (iii) it owns or has all rights necessary to provide the Deliverables and Services to Brazos County under the terms of this Agreement. TAM, Training shall correct such warranty non - conformances within a reasonable period of time at no additional cost to Brazos County. Limitation of Liability. a. This section 6.b. shall not apply to any claim by TAM Training related to any fees or expenses provided for under this Agreement. C. Nothing in this Agreement and in particular within this Limitation of Liability section shall exclude or otherwise limit a party's indemnification obligations or limit liability that is not permissible under applicable law nor for liability of a party (or of its affiliated companies) arising from infringement of intellectual property rights owned by the other party (or by its affiliated companies) or for liability arising out of a party's breach of Section 7. d. TAM Training shall indemnify, defend, and hold Brazos County, its employees, agents, officers and directors harmless from any claims, liabilities, obligations, judgments, causes of actions, costs and expenses, including reasonable attorneys' fees, incurred by Brazos County which result from any claim by a third party arising out of a material breach of contract by TAM Training or its agents or any claim by a third party that the Deliverables and/or Services infringe the third party's United States patent, trademark, copyright or other intellectual property right provided such alleged infringement does not result from either (i) Brazos County's unauthorized modifications which are themselves infringing or (ii) Brazos County's use of the Deliverables in combination with any software, hardware or data not provided by or approved by TAM Training 7.. Confidentiality. 7.1 Definitions. (a) "Confidential Information" means any and all information disclosed by one party to the other which is identified as confidential or proprietary, or which by its nature and character is to be treated as confidential or proprietary. (b) "Discloser" is the party that is disclosing Confidential Information. (c) "Recipient" is the party that is receiving Confidential Information. 7.2 Preservation of Confidentiality. During the course of the parties' relationship, they may have access to Confidential Information of the other. Recipient will not disclose Discloser's Confidential Information. orally or in writing, to any third party without the prior written consent of Discloser, except as provided below. The parties will protect each other's Confidential Information with at least the same degree of care and confidentiality, but not less than a reasonable standard of care, which the Recipient utilizes for its own information that it does not wish disclosed to others. 7.3 Exclusions. This Agreement imposes no obligation on Recipient with respect to Discloser's Confidential Information that Recipient can establish by legally sufficient evidence: (a) was, prior to receipt from Discloser, in the possession of, or rightfully known by Recipient, without an obligation to Discloser to maintain its confidentiality; (b) is or becomes generally known to the public or comes into the public domain without violation of this Agreement or without a violation of an obligation of confidentiality owed to the Discloser; or (c) is obtained by Recipient in good faith from a third party having the right to disclose it without an obligation of confidentiality to Discloser. For purposes of this Section, a disclosure of Confidential Information will not render the Confidential Information "generally known to the public" when the (i) disclosure violates a court order or is enjoined by Discloser. A. Both Parties Shall: 1. Effectively communicate with assigned personnel as it relates to the needs of the program. 2. Identify and mitigate barriers that may prevent inmates (with children) population from participating JTEP. 3. Maintain confidentiality of all relevant information and refrain from sharing any data and or any other confidential information with any third parties not listed in this MOU. 4. Discuss participant information between parties involved only when a waiver of confidentiality is signed by participant. 5. Refrain from disclosing participant's medical information and adhere to HIPPA guidelines. 6. Identified staff members and or assigned personnel shall meet at Ieast once each month for a case review triage meeting when and if available. 7. The triage meeting shall include but is not limited to the following staff when and if available: • Reentry Specialist • JTEP Program Director • Sergeant of Inmate Programs • Blinn College District • JTEP Case Manager Representative • JTEP Project Director • TEEX Representative B. Brazos County Shall: 1. Provide assigned personnel that will assist with the JTEP, provide updates, and guidance. 2. Provide assigned personnel with equipment, training and guidance needed to successfully assist with the program's requirements. 3. Assigned personnel shall identify appropriate inmate candidates for JTEP. 4. Provide detained inmates and soon-to-be released inmates with written referrals supplied by Project Unity JTEP case manager. 5. Identify and refer inmate candidates with the best chance of being released with a 12 month period. 6. Assist the JTEP case manager with the virtual visitation enrollment process, until at such time regular in person visits may be approved. 7. Conduct criminal background investigation on all JTEP case manager(s) and or any other assigned personnel that may come in contact with Brazos County detainees. C. Project Unity Shall: 1. Communicate to Brazos County the conditions of this MOU. 2. Define roles and responsibilities of parties in ensuring clarity on specific roles to carry out the scope of work for the JTEP. 3. Develop a referral form and provide it to Brazos County assigned personnel. 4. Conduct.an assessment to identify appropriate training for each detained and or recently released inmate at Brazos County Detention Center. 5. Provide case manager(s) salaries paid directly to employee(s) for hours devoted to the JTEP. 6. Ensure that case manager(s) that collaborate with Brazos County Detention Center's assigned personnel. 7. Rapidly process support services when necessary for removing obstacles to training and or employment. 8. Rapidly assist with referrals for other support services when Project Unity services are not enough and or available. 9. Assist participants with reentry needs including housing and employment placement. 10. Follow up on progress made by participants in the preparation of training, the actual training and the transition made from training to employment. 11. Document every action taken in order to track progress of performance toward employment goals. 12. Provide assigned personnel with appropriate office space, office supplies, equipment and continuing staff development. III. Financial Responsibilities Brazos County and Project Unity assume full responsibilities for their respective costs associated with the performance of the terms of this agreement. In no event, except as may be provided in a supplemental written agreement and or an amendment, shall any party be obligated to pay or reimburse any expenses incurred by another party under this agreement that was not previously agreed upon. ; IV. Compliance with the Prison Rape Elimination Act The Brazos County Detention Center, as an operation of the Brazos County Office of the Sheriff, will comply with the Prison Rape Elimination Act (PREA). The Detention Center has a Zero Tolerance Policy regarding sexual abuse and sexual harassment. The Detention Center will conduct a background investigation on all proposed employees, volunteers, or other contractors that may have contact with inmates. Background checks will be conducted at least every five (5) years for all contractors. Brazos County, Brazos County Detention Center and Brazos County Office of the Sheriff shall ensure that all volunteers and contractors who have contact with inmates have been trained on their responsibilities under the agency's sexual abuse and sexual harassment prevention, detection, and response policies and procedures. Any contractor or volunteer who engages in sexual abuse is prohibited from contact with inmates and shall be reported to law enforcement agencies and to relevant licensing bodies, unless the activity was clearly not criminal. The facility will take appropriate remedial measures and prohibit further contact with inmates in the case of violation of sexual abuse or sexual harassment policies by the contractor. The contractor has an affirmative duty to disclose any misconduct in violation of the sexual abuse and sexual harassment policy. Material omissions regarding such misconduct, or the provision of materially false information, are grounds for termination of this agreement. V. Duration of Agreement The Agreement will commence upon the signatures of all said parties and shall remain in effect for the next 12 calendar months, with the potential of an automatic renewal, if and when agreed by both parties. VI. General Provisions and Conflict Resolution It is understood by all agencies that each should be able to fulfill its responsibilities under this agreement in accordance with the provisions of law and regulations that govern their activities. Nothing in the agreement is intended to negate or otherwise render ineffective any such provisions or operating procedures. The parties in this MOU will attempt in good faith to resolve any disputes or claims arising out of or in relation to this MOU through negotiations between individuals in each party. If at any time either party is unable to perform its functions under this agreement consistent with such party's statutory and regulatory mandates, the affected party shall immediately provide written notice to involved parties to establish a date for mutual resolution of the conflict. Any dispute that may arise must be submitted in writing within (15) days to address the dispute. VII. Amendment or Cancellation of Agreement This MOU may be amended at any time in writing and by mutual consent of the parties involved. In the event that conflict resolution is not achieved, each party may cancel its participation in the MOU upon thirty (30) days written notice to the other party, except where the cancellation is for cause (i.e., a material and significant breach of any of the provisions of this MOU it may be cancelled upon delivery of written notice to the other parties. This Agreement shall apply only to those materials, goods, or services for which the County currently has, or will have in the future, under an executed contract with a Vendor. Nothing herein shall obligate Brazos County to purchase any materials, goods, or services from any particular Vendor. The County shall not, under any circumstances, be obligated to procure any materials, goods, or services for Brazos County nor to include Brazos County in any procurement effort. The County reserves the right, in its sole discretion, to terminate any or all contracts with any Vendor(s) without the prior written notice or approval of Brazos County. The management letter shall identify issues that might not otherwise require disclosure in the Club annual financial report, but which are of concern to or under the suggestion of the auditor. If the Brazos County Commissioners Court determines that the audit will be conducted by an independent third party, all costs and expenses associated with said audit will be solely paid for by the Club. 4. RECORD RETENTION The Club shall be responsible for record keeping on all services provided and agrees to maintain and make available for inspection by the County upon request consistent with federal and state law, any and all records the County determines, in its sole discretion, to be necessary for the Court to justify its continued participation in supporting the Club with funding. 5. INDEMNITY The parties agree to indemnify one another for and hold one another harmless from and against all suits, claims, demands, liabilities or actions resulting or alleged to result from the breach, violation or non-performance of the services stated herein and for any damage to any person resulting from any action or omission or negligence on the part of each party hereto. 6. INSURANCE The parties hereto agree that the Club shall be an independent contractor and not any employee or agent of the County and that each shall maintain at its own expense, adequate liability insurance to insure against damages and liabilities which may arise due to the duties and obligations funded herein. COUNTY INVOLVEMENT The County and the Club state that to the best of their knowledge, no officer, agent or employee of the County who exercises any function or responsibility in connection with the carrying out of this Agreement or the services to which it relates has personal interest direct or indirect, in this Agreement. 8. GOVERNING LAW AND VENUE This Agreement shall be governed by the laws of the State of Texas and venue shall lie exclusively in Brazos County, Texas. The Parties agree that all obligations under this Agreement are performable in Brazos County, Texas and that this Agreement has been executed in Brazos County, Texas. Venue shall lie exclusively in Brazos County, Texas, notwithstanding anything to the contrary. 9.
