REGULAR MEETING
A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South
Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday,
September 29, 2020 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1;
Chuck Konderla, Commissioner of Precinct 2;
Nancy Berry, Commissioner of Precinct 3;
Irma Cauley, Commissioner of Precinct 4;
Karen McQueen, County Clerk.
The attached sheets contain the names of the citizens and officials that were in
attendance.
1. Invocation and Pledge of Allegiance
- U.S. and Texas Flag — Commissioner Cauley
2. Call for Citizen input and/or concerns
Charles Mancuso voiced complaints to the Court concerning his animals being attacked
by other animals. Mr. Mancuso said he has lost two calves and one miniature donkey in
the last twelve months. Mr. Mancuso also spoke about concerns over illegal parking,
neighbors burning trash and littering on roads.

Commission (HHSC) funds available and allowed for 2020 Uncompensated Care (UC)
DY4 Withheld payment to HHSC in the amount of $84,935.33.

16. Juvenile Director's report on detention population.
Juvenile Director Linda Ricketson reported there are 18 juveniles in the detention
center, 13 are male and 5 are female, and 33 have electronic monitors. There are 8 new
youth in isolation as per medical protocol for new intakes.
Commissioner Cauley asked if there is any particular reason the number of youth in
detention is going up. Ms. Ricketson answered that they are seeing youth violate
conditions and not follow the rules.
17. Sheriff's report on inmate population.
Chief Deputy Jim Stewart stated there were 565 inmates in jail, 512 inmates are male
and 63 are female, 76 have electronic monitors and -42 -are pending for monitors. Chief
Stewart stated there is 1 inmate positive for COVID-19 and 84 inmates are in
quarantine. There are 4 staff members positive, 1 in quarantine and 1 in rehabilitation.
Commissioner Berry asked why the number for pending monitors is so high. Kevin

Stuart explained those include bond conditions. He said the number of pending
monitors is actually 18.
Chief Stewart added he would like to praise the efforts of Michelle Meade and Ponch
Gonzales for their hard work on organizing the COVI D testing in the county.
18. Announcement of interest items and possible future agenda topics.
Judge Peters reminded everyone that next week's meeting will be at 9:00 a.m. instead
of 10:00 a.m.
Commissioner Cauley announced free COVI D testing is continuing this week and
encouraged everyone to take advantage of the opportunity to be tested.

There was no citizen's input.

PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a
Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the
Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
it is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity
of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly,
profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions:
1. cancellation of a speaker's time;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge
and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to
attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business
of the Court.

General Summa!y:
• Performs professional office accounting, clerk and administrative duties and responsibilities for the Brazos County
Exposition Complex. Specifically, responsible for performing comprehensive bookkeeping duties and
responsibilities including maintaining customer accounts, entering all required financial information into Quick
Books and Oracle, generating monthly reports, reconciling funds and making daily bank deposits. Often
responsible for maintaining inventory, using a cash register and selling specific animal bedding products at equine
and livestock events. Communicates effectively orally and in writing. Must work effectively in a team environment
and maintain a positive attitude and working relationship with all staff. Occasionally works an irregular schedule
as needed. Exercises discretion and independent judgment, with minimal supervision, as necessary in performing

2020 Emergency Management Performance Grant (EMPG)
Purpose
The. FY 2020 priority for this program is to advance "Whole Community" security and, emergency
management. Grant funds will be used to support local comprehensive emergency management
programs'to encourage improvement.of mitigation, preparedness, response, and recovery capabilities
for all hazards. Funding may be used to support activities that contribute to the capability to manage
consequences from acts of terrorism. Funds provided may also be used to accomplish initiatives
described in the Federal Program Guidelines, including local implementation of the National Incident
Management System (NIMS), incorporation of, appropriate references to the National Response
Framework (NRF) into local. plans, homeland security assessment and strategy integration, and
assessment of local emergency management programs

Grant Acceptance
Notice of Subrecipient Grant Award remains an offer until the signed copy of the Acceptance of
Subrecipient Grant Award is received by the Texas Division of Emergency Management (TDEM) in
accordance with the instructions provided in the transmittal letter.
Task Requirements
The approved FY 2020 Statement of Work and Progress Report template outlines eight tasks that'the
grantee must perform during the grant period. The following additional tasks are also required of.
Subrecipients:
a. Implement (NIMS) at the local level.
b. Incorporate pertinent information concerning National Response Framework into the
local or inter -jurisdictional emergency management plan and its annexes.
c. Subrecipients must have a tracking system ,of record to organize and coordinate
resources in response to incidents.

d. During the performance period of this grant, Subrecipient must maintain an emergency
management, as prescribed by the TDEM. This may be accomplished by jurisdictions
maintaining their own emergency management plan or participating in an inter -
jurisdictional emergency management program that meets the required standards. If
TDEM identifies deficiencies in the Sub -recipient's plan, Sub -recipient's will correct
deficiencies within sixty 60 days of receiving notice of such deficiencies from TDEM.
e. Sub -recipient's must maintain .an updated inventory of equipment purchased through
this grant program in accordance 2 C.F.R. 200 Requirements, Reports, Records,
Retention, and Enforcement, Equipment and the Department of Homeland Security
(DHS).
f. The Subrecipient agrees. that any equipment purchased with funds through this grant
program shall be prominently marked as follows: "Purchased with funds provided by the
U.S. Department of Homeland Security." Exceptions to this requirement are limited to
items where placing of the marking is not possible due to the nature of the equipment.
Grant Funding
The amount of this grant may be less than the amount requested in your Application for Federal
Assistance due to limits on federal funding for the EMPG program. However, EMPG grant recipients
should report eligible expenses in quarterly financial reports. Any excess match reported, will be
used for TDEM match purposes and becomes 100% federalized, therefore cannot be used for any
other grant match purposes within your jurisdiction.
Financial and Administrative Requirements
In Accordance with 2 C.F.R. Part 200 Subpart F—Audit Requirements, Subreciplent agrees to comply
with the applicable financial and administrative requirements set forth in the Office of Justice
Programs (OJP) Financial Guide.
a. All emergency management program costs for which the Subrecipient seeks reimbursement must
be eligible in accordance with 2 CFR Part 200 as it applies to 'awards of Federal financial
assistance to all "non-federal entities"
b. Subrecipient will comply with the organizational audit requirements of super circular 2A
CFR 200 Audits of States, Local Governments, and Non -Profit Organizations.
c. When implementing Federal Emergency Management Agency (FEMA) National
Preparedness -Directorate funded activities; the Subrecipient must comply with all
federal civil rights laws, to include Title VI of the Civil Rights Act, -as e -
amended. Th-
Subrecipient is required to take reasonable steps to ensure persons of limited English .
proficiency have meaningful access to language assistance services regarding the
development of proposals and budgets and conducting FEMA funded activities.
d. Subrecipient will assist the awarding agency (if necessary) in assuring compliance with
the National Historic Preservation Act of 1966 Section 106 (16 U.S.C. § 470 Ex. Order
11593 (identification and protection of historic properties), the Arche_ ogical and

Historical Preservation Act of 1974 (16 U:S.C. § 469 a-1 et seq.), and the National
Environmental Policy Act of 1969 (42 U.S.C. § 4321). (Federal Assurance).
e. Subrecipient agrees to make no request for reimbursement for goods or services
procured by the Subrecipient either prior to the start of the period of performance stated
in this award document or after the end of the period of performance.
Notwithstanding any other provisions of this document, the parties understand and
agree that the obligations of TDEM under this Agreement are contingent upon the
availability of adequate funds to meet TDEM's liabilities. TDEM shall not be liable to the
Subrecipient for costs under this agreement that exceed the amount specified in the
Notice of Subrecipient Grant Award.
f. Single Audit Act Requirements: For sub -recipients expending $750,000 or more bin
federal annually, the Applicant will cause to be performed the required financials and
compliance audits in accordance with the Single Audit Act Amendments of 1996 and,.
Title 2 of the Code of Federal Regulations, Part 200, Subpart F Audit Requirements.
Reporting Requirements
Subrecipient agrees to comply with all reporting requirements and shall provide such information as
required by TDEM. Reporting requirements can be found in the 2020 Local Emergency Management
Performance Grant (EMPG) Guide. Sub -recipients may be required to submit additional information
and data requested by TDEM and after the end of the period of performance in order to close out the
grant. A copy of the 2020 Local Emergency Management Performance Grant (EMPG) Guide can

rg ant/. Sub recipient must prepare and submit Semi -Annual Progress Reports to TDEM for the
duration of the grant performance period or until all grant activities are completed and the grant is
formally closed. The first performance -reporting period is October 1 to March 31 (progress report due
April 15) and the second reporting period is April 1 to September 30 (progress report due October
15). Subrecipient may also be required to submit additional information and data 'as requested by
TDEM.
Review of Work and Expenditures
TDEM may review the work of the Subrecipient with respect to approved program tasks and
expenditures for which reimbursement.are requested to ensure the federal awards are used for
authorized purposes in compliance with laws, regulations, and the provisions of this contract or grant
agreement and that performance goals are achieved. These reviews may include, without limitation:
comparing actual Subrecipient activities to those approved in the sub -award application and
subsequent modifications if any; ensuring that grant funds have been expended in accordance with
applicable guidelines; confirming compliance with grant assurances, and verifying information
provided on performance reports and payment requests. All financial expenditures submitted for
match purposes will be. verified. Any financial excess match submitted to TDEM for the EMPG
grant program cannot be used to match any other grant funded program and is considered
100% federalized for TDEM excess match purposes

Lobbying
As required by Section 1352, Title 31 of the U.S. Code, for persons entering into a contract, grant,
loan or cooperative agreement from an agency or requests or receives from an agency a commitment
providing for the United States to insure or guarantee a loan, the Applicant certifies that:
a. No Federal appropriated funds have been paid or will be paid, by or on behalf of the
Subrecipient, to any person for influencing or attempting to influence an officer or
employee of any agency, a Member of Congress, an officer or employee of Congress,
or an employee of a Member of Congress in connection with the making of any Federal
grant, the entering into of any cooperative agreement, and the extension,. continuation,
renewal, amendment, or modification of any Federal grant or cooperative agreement;
b. if any funds other than Federal appropriated funds have been paid or will be paid to any
person for influencing or attempting to influence an officer or employee of any agency, a
Member of Congress, an officer or employee of Congress, or an employee of a Member
of Congress in connection with this Federal grant or cooperative agreement, the
undersigned shall complete and submit Standard Form - LLL, "Disclosure of Lobbying

c. The Subrecipient will establish safeguards to prohibit employees from using their
positions for a purpose that constitutes or presents the appearance of personal or
organizational conflict of interest or personal gain.
Debarment, Suspension, and other Responsibility Matters
As required by Executive Order 12549, and 12689 and 2 C.F.R 200.213 and codified in the 2 C.F. R.
Part 180, Debarment and. Suspension, the applicant will provide protection against waste, fraud, and
abuse by debarring or suspending those persons deemed irresponsible in their dealings with the
federal government. The applicant certifies that it and its principles; sub grantees, recipients or sub
recipients:

antitrust statutes or commission of embezzlement, theft, forgery, bribery, falsification or
destruction of records, making false statements, or receiving stolen property;
c) Are not presently indicted for or otherwise criminally or civilly charged by a governmental
entity (Federal, State, or local) with commission of any of the offenses enumerated in
paragraph (1)(b) of this certification; and
d) Have not, within a three-year period preceding this application, had one or more public
transactions (Federal, State, or local) terminated for cause or default.
e) Where the applicant is unable to certify to any of the statements in this certification, he or
she shall attach an explanation to this application (Federal Certification).
Monitoring
a. Subrecipient will provide TDEM, State Auditor, DHS personnel or their authorized
representative,: access to and the right to examine all paper or electronic records related
to financial assistance.
b. Subrecipient agrees to monitor their program to ensure that federal awards are used for
authorized purposes in compliance with laws, regulations, and the provisions of
contracts or grant agreements and that the performance goals are achieved.
TDEM may perform periodic reviews or sampling of Subrecipient performance of eligible
activities and approved projects. These reviews/sampling may include, without
limitation: performance of an on-site audit and compliance monitoring, including
inspection of all grant -related records and items, comparing actual.
Subrecipient activities to those approved in the sub -award application and subsequent
modifications if any, ensuring that advances have been. disbursed in accordance with
applicable guidelines, confirming compliance with grant assurances, verifying
information provided in performance reports and reviewing payment requests, needs
and threat assessments and strategies.
c. Subrecipient understands and agrees that it cannot use any federal funds, either directly
or indirectly, in support of the enactment, repeal, modification or adoption of any law,
regulation or policy, at any level of government, without the express prior written
approval of FEMA National Preparedness Directorate.

d. The Subrecipient official certifies federal funds will be used to supplement existing funds
and will not replace (supplant) funds that have been appropriated for the same purpose.
Subrecipient may be required to supply documentation certifying that a reduction in non-
federal resources occurred for reasons other than the receipt or expected receipt of
federal funds.
e. All financial expenditures and excess match will be verified and validated by TDEM and
will become federalized funds and utilized by the Texas Division of Emergency
.Management as match. Once these funds are utilized by the TDEM EMPG grant
program, your agency can no longer utilize them within for any other federal grant
match for the term of the grant performance year.
Reimbursement for Expenses
Reimbursement for expenses incurred during the second and fourth quarter of Fiscal Year 2020
will not be disbursed until TDEM receives the first and second semi-annual EMPG Progress
Reports, which are due on April 15, and October 15, respectively.
1. Choice of Law: This agreement shall be construed and governed by Texas law.
2. Changes to the Law: TDEM is a state agency whose authority and appropriations are subject to
the actions of the Texas 'Legislature and the United States Congress. If TDEM and/or -the subject
matter of this contract become subject to a legislative or regulatory change, revocation of statutory or
regulatory authority, or lack of funds that would render the services and/or goods and/or payment to
be provided under this .agreement impossible, unnecessary, void, or substantially amended, TDEM
may terminate this agreement without penalty to, or any liability whatsoever on the part of, TDEM, the
State of Texas, or the United States. This contract does not grant vendor a franchise or any other
vested property right.
3. Written Modification: No modification or amendment to this Agreement shall become valid unless
in writing and signed by both parties.
4. To the extent it applies, Subrecipient shall comply with Texas Government Code, Chapter 783, 1
Texas Administrative Code: --(TAC) §§. 5.141 et seg., and the Uniform Grant Management Standards,
State Uniform Administrative Requirements for Grants and Cooperative Agreements, Subpart B,
§_14.
5. To the extent it applies, Subrecipient shall comply with the General Appropriations Act, 80th
Legislature, Article IX, Part 17.
6. TDEM may suspend or.terminate sub -recipient funding, in whole or in.part, or other measures
may be imposed for any of.the following reasons:. failing to comply -with the requirements or statutory
objectives of federal law, failing to make satisfactory progress toward.the goals or objectives set forth
in the sub -award application, failing to follow grant agreement requirements or special conditions,
failing to submit required reports, or filing a false certification or other report or documentation.
Satisfactory progress is defined as accomplishing the following during the performance period of the
grant: requesting federal funds for purchases, training, etc. and deciding what purc es will be
made, ordering the equipment, ensuring the equipment is shipped and received, a in' is

accomplished with the equipment (or readied for deployment). All- of the aforementioned tasks must
be accomplished in a timely manner. Special Conditions may be imposed on Subrecipient's use of
grant funds until problems identified during grant monitoring visits conducted by TDEM audit and
compliance personnel are resolved.

Enterprise Service Agreement (ESA)
thisT is Vigilant olutions Enterprise Service Agreement (the "Agreement") is made and entered into as of
Day of - 2020 by and between Vigilant Solutions, LLC , a Delaware corporation, having its
principal place of business at 1152 Stealth Street, Livermore, CA 94551 ("Vigilant") and
Brazos County Sheriffs Department , a law enforcement agency (LEA) or other governmental agency, having
its principal place of business at Brazos County ("Affilliate"),
WHEREAS, Vigilant designs, develops, licenses and services advanced video analysis software technologies for
the law enforcement and security markets;
WHEREAS, Vigilant provides access to license plate data as a value-added component of the Vigilant law
enforcement package of license plate recognition equipment and software;
-WHEREAS, Affiliate will separately purchase License Plate. Recognition..(LPR) hardware components from
Vigilant and/or its authorized reseller for use with the Software Products (as defined below);
WHEREAS, Affiliate desires to license from and receive service for the Software Products provided by Vigilant;
THEREFORE, In consideration of the mutual covenants contained herein this Agreement, Affiliate and Vigilant
hereby agree as follows:
Definitions:
"Booking Images" refers to. both LEA Booking Images and Commercial Booking Images.
"CJIS Security Policy" means the FBI CJIS Security Policy document as published by the FBI GIS Information Security
Officer.
"CLK"or "Camera License Key" means an electronic key that will permit each license of Vigilant's CarDetector brand
LPR software or LineUp brand facial recognition software (one CLK per camera) to be used with other Vigilant approved
and licensed LPR hardware components (i:e., cameras and other hardware components provided by Vigilant or
provided by a Vigilant certified reselling partner that has authority from Vigilant to deliver such Vigilant -authorized
components) and Software Products. CLKs shall be not issuable and if issued in error shall be removed and immediately
rendered null and void for cameras and other hardware components'that are not Vigilant -authorized cameras and
other hardware components or are delivered to Affiliate by another vendor that is not a Vigilant certified reselling
partner. -
"Commercial Booking Images" refers to images collected by commercial. sources and available on LEARN with a paid
subscription.
"Commercial LPR Data" refers.to LPR data.collected by private sources and available on LEARN with a paid subscription.
"Criminal Justice Information =Services Division" or "GIS" means the FBI division responsible for the collection,
warehousing, and timely dissemination of relevant CJI to the FBI and to qualified law enforcement, criminal justice,

civilian, academic, employment, and licensing agencies.
"Effective Date" means sixty (60) days subsequent to the date set forth in the first paragraph of this Agreement.
"Enterprise License" means a non-exclusive, non -transferable license to install and operate the Software Products, on
applicable media provided by Vigilant ol-Vigilant's certified reselling partners. This Enterprise Service Agreement allows
Affiliate to install the Software Products on such devices, in accordance with the selected Service Package(s), and allow
benefits of all rights granted hereunder this Agreement.
"LEA Booking Images" refers to images collected by LEAs and available on the Software Service for use by other LEAs.
LEA Booking Images are freely available to LEAs at no cost and are governed by the contributing LEA's policies.
"LEA LPR Data" refers to LPR data collected by LEAs and available on LEARN for use by other LEAs. LEA LPR Data is
freely available to LEAs at no cost and is governed by the contributing LEA's retention policy.
"Service Fee" means the amount due from Affiliate prior to the renewal of this Agreement as consideration for the
continued use of the Software Products and Service Package benefits according to Section VIII of this Agreement.
"Service Package" means the Affiliate designated service option(s) which defines the extent of use of the Software
Products, in conjunction with any service and/or benefits therein granted as rights hereunder this Agreement.
"Service Period" has the meaning set forth in Section III (A) of this Agreement.
"Software Products" means Vigilant's Law Enforcement & Security suite of Software Products including CarDetector,
Law Enforcement Archival & Reporting Network (LEARN), PlateSearch, Mobile Companion for Smartphones, Target
Alert Service (TAS) server/client alerting package, FaceSearch, LineUp, and other software applications considered by
Vigilant to be applicable for the benefit of law enforcement and security practices. Software Products shall only be
permitted to function on approved Vigilant cameras and other hardware components provided by Vigilant or through
Vigilant certified reselling partners. Software Products shall not be permitted to operate on third -party provided or
not Vigilant -authorized hardware components, and if found to be operating on third -party provided hardware
components Software Products.shall be promptly removed by Affiliate.
"Technical Support Agents" means Affiliate's staff person specified in the Contact Information Worksheet of this
Agreement responsible for administering the Software Products and acting as Affiliate's Software Products support
contact.
"User License" means a non-exclusive, non -transferable license to install and operate the Software Products, on
applicable media, limited to a single licensee.
"Users" refers to individuals who are agents and/or sworn officers of the Affiliate and who are authorized by the
Affiliate to access LEARN on behalf of Affiliate through login credentials provided by Affiliate.
II. Enterprise License Grant; Duplication and Distribution Rights:
Subject to the terms and conditions of this Agreement, Vigilant hereby grants Affiliate an Enterprise License to the

Software Products for the Term provided in Section 111 below. Except as expressly permitted by this Agreement, Affiliate
or any third party acting on behalf of Affiliate shall not copy, modify, distribute, loan, lease, resell, sublicense or
otherwise transfer any right in the Software Products. Except as expressly permitted by this Agreement, no other rights
are granted by implication, estoppels or otherwise. Affiliate shall not eliminate, bypass, or in any way alterthe copyright
screen (also known as the "splash" screen) that may appear when Software Products are first started on any computer.
Any use or redistribution of Software Products in a manner not explicitly stated in this Agreement, or not agreed to in
writing by Vigilant, is strictly prohibited.
III. Term; Termination.
A. Term. The initial term of this Agreement is for one (1) year beginning on the Effective Date (the "Initial
Term"), unless earlier terminated as provided herein. Sixty (60) days prior to the expiration of the Initial Term and each
subsequent Service Period, Vigilant will provide Affiliate with an invoice for the Service Fee due for the subsequent
twelve (12) month period (each such period, a "Service Period"). This Agreement and the Enterprise License granted
under this Agreement will be extended for a Service Period, upon Affiliate's payment of that Service Period's Service
Fee, which is due 30 days prior to the expiration of the Initial Term or the existing Service Period, as the case may be.
Pursuant to Section X111 below, Affiliate may also pay in advance for more than one Service Period.
B. Affiliate Termination. Affiliate may terminate this Agreement at any time by notifying Vigilant of the
termination in writing thirty (30) days prior to the termination date and deleting all copies of the Software Products. If
Affiliate terminates this Agreement prior to the end of the Initial Term, Vigilant will not refund or prorate any license
fees, nor will it reduce or waive any license fees still owed to Vigilant by Affiliate. Upon termination of the Enterprise
License, Affiliate shall immediately cease any further use of Software Products. Affiliate may also terminate this
agreement by not paying an invoice for a subsequent year's Service Fee within sixty (60) days of invoice issue date.
C. Vigilant Termination. Vigilant has the right to terminate this Agreement by providing thirty (30) days
written notice to Affiliate. If Vigilant's termination notice is based on an alleged breach by Affiliate, then Affiliate shall
have thirty (30) days from the date of its receipt of Vigilant's notice of termination, which shall set forth in detail
Affiliate's purported breach of this Agreement, to cure the alleged breach. If within thirty (30) days of written notice of
violation from Vigilant Affiliate has not reasonably cured the described breach of this Agreement, Affiliate shall
immediatelydiscontinue all use of Software Products and certify to Vigilant that it has returned.or destroyed all copies
of Software Products in its possession or control. If Vigilant terminates this Agreement prior to the end of a Service
Period for breach, no refund for any unused Service Fees will be provided. If Vigilant terminates this Agreement prior
to the end of a Service Period for no reason, and not based on Affiliate's failure to cure the breach of a material term
or condition of this Agreement, Vigilant shall refund to Affiliate an amount calculated by multiplying the total amount
of Service Fees paid by Affiliate for the then -current Service Period by the percentage resulting from dividing the
number of days remaining in the then -current Service Period, by 365.
IV. Warranty and Disclaimer; Infringement Protection; Use of Software Products Interface.
A. Warranty and Disclaimer. Vigilant warrants that the Software Products will be free from all Significant
Defects (as defined below) during the term of this Agreement (the "Warranty Period"). "Significant Defect" means a
defect in a Software Product that impedes the primaryfunction of the Software Product. This warranty does not include
products not manufactured by Vigilant. Vigilant will repair or replace any Software Product with a Significant Defect
during the Warranty Period; provided, however, if Vigilant cannot substantially correct a Significant Defect in a

commercially reasonable manner, Affiliate may terminate this Agreement and Vigilant shall refund to Affiliate an
amount calculated by multiplying the total amount of Service Fees paid by Affiliate for the then -current Service Period
by the percentage resultingfrom dividing the number of days remaining in the then -current Service Period, by 365. The
foregoing remedies are Affiliate's exclusive remedy for defects in the Software Product. Vigilant shall not be
responsible for labor charges for removal or reinstallation of defective software, charges for transportation, shipping
or handling loss, unless such charges are due to Vigilant's gross negligence or -intentional misconduct. Vigilant disclaims
all warranties, expressed or implied, including but not limited to implied warranties of merchantability and fitness for
a particular purpose. In no event shall Vigilant be liable for any damages whatsoever arising out of the use of, or
inability to use, the Software Products.
B. Infringement Protection. If an infringement claim is made against Affiliate by a,third-party in a court
of competent jurisdiction regarding Affiliate's use of any of the Software Products, Vigilant shall indemnify Affiliate,
and assume all legal responsibility and costs to contest any such claim. If Affiliate's use of any portion of the Software
Products or documentation provided to Affiliate by Vigilant in connection with the Software Products is enjoined by a
court of competent jurisdiction, Vigilant shall do one of the following at its option and -expense within sixty (60) days
of such enjoinment: (1) Procure for Affiliate the right to use such infringing portion; (2) replace such infringing portion
with a non -infringing portion providing equivalent functionality; or (3) modify the infringing portion so as to eliminate
the infringement while providing equivalent functionality.
C. Use of Software Products Interface. Under certain circumstances, it may be dangerous to operate a
moving vehicle while attempting to operate a touch screen or laptop screen and any of their applications. It is agreed
by Affiliate that Affiliate's users will be instructed to only utilize the interface to the Software Products at times when
itis safe to do so. Vigilant is not liable for any accident caused by a result of distraction such as from viewing the screen
while operating a moving vehicle.
V. Software Support, Warranty and Maintenance.
Affiliate will receive technical support by submitting a support ticket to Vigilant's company support website or by
sending an email to Vigilant's support team. Updates, patches and bug fixes of the Software Products will be made
available to Affiliate at no additional charge, although charges may be assessed if the Software Product is requested to
be delivered on physical media. ,Vigilant.will provide Software Products support to Affiliate's Technical SupportAgents.:--t
through a -mail, fax and telephone.
Vl. Camera License Keys (CLKs).
Affiliate is entitled to use of the Software Products during the term of this Agreement to set up and install the Software
Products on an unlimited number of media centers within Affiliate's agency in accordance with selected Service
Options. As Affiliate installs additional units of the Software Products and connects them to LPR cameras, Affiliate is
required to obtain a Camera License Key (CLK) for each camera installed and considered in active service. A CLK can be
obtained by Affiliate by going to Vigilant's company support website and completing the online request form to Vigilant
technical support staff. Within two (2) business days of Affiliate's application for a CLK, Affiliate's Technical Support
Agent will receive the requested CLK that is set to expire on the last day of the initial Term or the then -current Service
Period, as the case may be.

VII. Ownership of Software.
A. Ownership of Software Products. The Software Products are copyrighted by Vigilant and remain the
property of Vigilant. The license granted under this Agreement is not a sale of the Software Products or any copy.
Affiliate owns the physical media on which the Software Products are installed, but Vigilant retains title and ownership
of the Software Products and all other materials Included as part of the Software Products.
B. Rights in Software Products. Vigilant represents and warrants that: (1) it has title to the Software and
the authority to grant license to use the Software Products; (2) it has the corporate power and authority and the legal
right to grant the licenses contemplated by this Agreement; and (3) it has not and will not enter into agreements and
will not take or fail to take action th;t causes its legal right or ability to grant such licenses to be restricted.
VIII. Data Sharing, Access and Security.
If Affiliate is a generator as wellias a consumer of LPR Data and or LEA Booking Images, Affiliate at its option may -share
its LEA LPR Data and or LEA Booking Images with. similarly situated LEAs who contract with Vigilant to access LEARN
(for example, LEAs who share LEA LPR Data with other LEAs). Vigilant will not share any LEA LPR Data or LEA Booking
Images generated by the Affiliate without the permission of the Affiliate.
Vigilant has implemented procedures to allow for adherence to the FBI CJIS Security Policy. The hosting facility utilizes
access control technologies that meet or exceed CJIS requirements. In addition, Vigilant has installed and configured
network intrusion prevention appliances, as well as ensured that the configuration of the Microsoft environment
adhere to the Windows Server Security Guide.
IX. Ownership and use of Data.
Vigilant retains all title and rights to Commercial LPR Data and all Commercial Booking Images. Users shall not utilize
Commercial LPR Data or Commercial Booking Images.on the behalf of other local, state or Federal LEAs. Affiliate retains
all rights to LEA LPR Data and LEA Booking Images generated by the Affiliate. Should Affiliate terminate agreement
with Vigilant, a copy of all LEA LPR Data and LEA. Booking Images generated by the Affiliate will be created and provided
to the Affiliate. After the copy is created, all LEA LPR Data and LEA Booking Images generated by the Affiliate will be
deleted from LEARN at the written request of an authorized, representative of the Affiliate or per the Affiliate's
designated retention policy, whichever occurs first. Commercial LPR Data, Commercial Booking Images, LEA LPR Data
and LEA Booking Images should be used by the Affiliate for law enforcement purposes only.
X. Loss of Data, Irregularities and Recovery.
Vigilant places imperative priority on supporting and maintaining data center integrity. Using redundant disk arrays,
there is a virtual guarantee that any hard disk failure will not result in the corruption or loss of the valuable LPR data
that is essential to the LEARN system and clients.
XI. Data Retention and Redundancy.
LEA LPR Data and LEA Booking Images are governed by the contributing LEA's retention policy. LEA LPR Data that
reaches its expiration date will be deleted from LEARN. Vigilant's use of redundant power sources, fiber connectivity
and disk arrays ensure no less than 99% uptime of the LEARN LPR database server system.

XII. Account Access.
A. Eligibility. Affiliate shall only authorize individuals who satisfy the eligibility requirements of "Users"
to access LEARN. Vigilant in its sole discretion may deny access to LEARN to any individual based on such person's
failure to satisfy such eligibility requirements. User logins are restricted to agents and sworn officers of the Affiliate.
No User logins may be provided to agents or officers of other local, state, or Federal LEAs without the express written
consent of Vigilant.
B. Security. Affiliate shall be responsible for assigning an Agency Manager who in turn will be responsible
for assigning to each of Affiliate's Users a username and password (one per user account). A limited number of User
accounts is provided. Affiliate will cause the Users to maintain username and password credentials confidential and
will prevent use of such username and password credentials by any unauthorized person(s). Affiliate shall notify
Vigilant immediately if Affiliate believes the password of any of its Users has, or may have, been obtained or used by
any unauthorized person(s). In addition, Affiliate must notify Vigilant immediately if Affiliate becomes aware of any
other breach or attempted breach of the security of any of its Users' accounts.
C. CJ1S Requirements. Affiliate certifies that its LEARN users shall comply with the CJIS requirements
outlined in Exhibit B.
XIII. Service Package, Fees and Payment Provisions.

B. Service Fee. Payment of each Service Fee entities Affiliate to all rights granted under this Agreement,
including without limitation, use of the Software Products for the relevant Service Period, replacement of CLKs, and

Affiliate and Vigilant agree that the number of CLKs issued as of the Effective Date of this Agreement is [Insert
Quantity]. All future additions of CLKs shall only be those as provided for in the definitions provided above.
C. Advanced Service Fee Payments. Vigilant will accept advanced Service Fee payments on a case by
case basis for Affiliates who wish to lock in the Service Fee rates for subsequent'periods at the rates currently in effect,
as listed in the table above. If Affiliate makes advanced Service Fee payments to Vigilant, advanced payments to
Vigilant will be applied in full to each subsequent Service Period's Service.Fees until the balance of the credits is reduced
to a zero balance. System based -advanced credits shall be applied to subsequent Service Fees in the amount that
entitles Affiliate continued operation of the designated camera unit systems for the following Service Period until the
credits are reduced to a zero balance.
D. Price Adiustment. Vigilant has the right to increase or decreasethe annual Service Fee from one Service
Period to another; provided, however, that in no event will a Service Fee be increased by more than 4% of the prior
Service Period's Service Fees. If Vigilant intends to adjust the Service Fee for a subsequent -Service Period, it must give
Affiliate notice of the proposed increase on or before the date that Vigilant invoices Affiliate for the upcoming Service
Period.
XIV. Miscellaneous.
A. Limitation of Liability. IN NO EVENT SHALL VIGILANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL DAMAGES INCLUDING DAMAGES FOR LOSS OF USE, DATA OR PROFIT, ARISING OUT OF OR
CONNECTED WITH THE USE OF THE SOFTWARE PRODUCTS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE,
STRICT LIABILITY OR OTHERWISE, EVEN IF VIGILANT HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IN NO EVENT
WILL VIGILANT'S LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE FEES PAID BY AFFILIATE TO
VIGILANT FOR THE SOFTWARE PRODUCTS LICENSED UNDER THIS AGREEMENT.
B. Confidentiality. Affiliate acknowledges that Software Products contain valuable and proprietary
information of Vigilant and Affiliate will not disassemble, decompile or reverse engineer any Software Products to gain
access to confidential information of Vigilant.
C. Assignment. Neither Vigilant nor Affiliate is permitted to assign this Agreement without the prior
written consent of the other party. Any attempted assignment without written consent is void.
D. Amendment; Choice of Law. No amendment or modification of this Agreement shall be effective
unless in writing and signed by authorized representatives of the parties. This Agreement shall be governed bythe laws
of the state of Texas without regard to its conflicts of law.
E. Complete Agreement. This Agreement constitutes the final and complete agreement between the
parties with respect to the subject matter hereof, and supersedes any prior or contemporaneous agreements, written
or oral, with respect to such subject matter.
F. ..Relationship.. The relationship created hereby. is that of contractor and customer and of licensor and
Affiliate. Nothing herein shall be construed to create a partnership,. jointventure, or agency relationship between the
parties hereto. Neither party shall have any authority to enter into agreements of any kind on behalfQ1i

shall have no power or authority to bind or obligate the other in any manner to any third party. The employees or
agents of one party shall not be deemed or construed to be the employees or agents of the other party for any purpose
whatsoever. Each party hereto represents that it is acting on its own behalf and is not acting as an agent for or on
behalf of any third party.
G. No Rights in Third Parties. This agreement is entered into for the sole benefit of Vigilant and
Affiliate and their permitted successors, executors, representatives, administrators and assigns. Nothing in this
Agreement shall be construed as giving any benefits, rights, remedies or claims to any other person, firm, corporation
or other entity, including, without limitation, the general public or any member thereof, or to authorize anyone not a
party to this Agreement to maintain a suit for personal injuries, property damage, or any other relief in law or equity
in connection with this Agreement.
H. Construction. The headings used in this Agreement are for convenience and ease of reference only,
and do not define, limit, augment, or describe the scope, content or intent of this Agreement. Any term referencing
time, days or period for performance shall be deemed calendar days and not business days, unless otherwise expressly Y
provided herein.
I. Severability. If any provision of this Agreement shall for any reason be held to be invalid, illegal,
unenforceable, or in conflict with any law of a federal, state, or local government having jurisdiction over this
Agreement, such provision shall be construed so as to make it enforceable to the greatest extent permitted, such
provision shall remain in effect to the greatest extent permitted and the remaining provisions of this Agreement shall
remain in full force and effect.
J. Federal Government. Any use, copy or disclosure of Software Products by the U.S. Government is
subject to restrictions as set forth in this Agreement and as provided by DFARS 227.7202-1(a) and 227.7202-3(a) (1995),
DFARS 252.227-7013(c)(1)(ii) (Oct 1988), FAR 12.212(a)(1995), FAR 52.227-19, or FAR 52.227 (ALT III), as applicable.
K. Right to Audit. Affiliate, upon thirty (30) days advanced written request to Vigilant, shall have the right
to investigate, examine, and audit any and all necessary non-financial books, papers, documents, records and personnel
that pertain to this Agreement and any other Sub Agreements.
L. Notices: Authorized -Representatives; Technical Support Agents. All notices, requests, demands, or
other communications required or permitted to be given hereunder must be in writing and must be addressed to the
parties at their respective addresses set forth below and shall be deemed to have been duly given when (a) delivered
in person; (b) sent byfacsimile transmission indicating receipt at the facsimile number where sent; (c) one (1) business
day after being deposited with a reputable overnight air courier service; or (d) three (3) business days after being
deposited with the United States Postal Service, for delivery by certified or registered mail, postage pre -paid and return
receipt requested. All notices and communications regarding default or termination of this Agreement shall be
delivered by hand or sent by certified mail, postage pre -paid and return -receipt requested. Either party may from time
to time change the notice address set forth below by delivering 30 days advance notice to the other party in accordance
with this section setting forth the new address and the date on which it will become effective.

M. Authorized Representatives; Technical Support Agents. Affiliate's Authorized Representatives and its
Technical Support Agents are set forth below in the Contact Information Worksheet. Affiliate's Authorized
Representative is responsible for administering this Agreement and Affiliate's Technical Support Agents are responsible
for administering the Software Products and acting as Affiliate's Software Products support contact. Either party may

N. Facial Recognition Image Integration. Affiliate may elect, at its sole discretion, to have Vigilant enable
the ability for the Affiliate's existing facial recognition images to be imported into its FaceSearch gallery. This process
requires some reformatting of the data for compatibility. The data remains property of the Affiliate, is maintained
according to the retention policy set by the Affiliate and is shared to other agencies under the rules defined by the
Affiliate. This service is at an additional cost. Vigilant uses a third -party service from The Center for Law Enforcement
Technology, Training, & Research, Inc. (LETTR) to deliver this service. If the Affiliate elects to use this service, it
acknowledges that The Center for Law Enforcement Technology, Training, & Research, Inc. a non-profit, 501(c)(3)
corporation, working under contract with Vigilant and acting on behalf of the Affiliate, will perform. the described
services for law enforcement information sharing purposes.

Exhibit B: UIS Requirements
Vigilant and the Affiliate agree on the importance of data security, integrity and system availability and that these
security objectives will only be achieved through shared responsibility. Vigilant and the Affiliate agree they will more
likely be successful with information security by use of the Vigilant supplied technical controls and client Affiliate use of
those controls; in conjunction with agency and personnel policies to protect the systems, data and privacy.
Vigilant and the Affiliate agree that Affiliate owned and FBI-CJIS supplied data in Vigilant systems does not meet the
definition of FBI -UIS provided Criminal Justice Information (CJI). Regardless, Vigilant agrees to treat the Affiliate -
supplied information in Vigilant systems as CJI. Vigilant will strive to meet those technical and administrative controls;
ensuring the tools are in place for the proper protection of systems, information and privacy of individuals to the
greatest degree possible.
Vigilant and the Affiliate agree that information obtained or incorporated into Vigilant systems may be associated with
records that are sensitive in nature having, tactical, investigative and Personally identifiable Information. As such, that
information will be treated in accordance with applicable laws, policies and regulations governing protection and privacy
of this type of data.
Vigilant and the Affiliate agree that products and services offered by Vigilant are merely an investigative tool to aid the
client in the course of their duties and that Vigilant make no claims that direct actions be initiated based solely upon the
information responses or analytical results. Further, Vigilant and the Affiliate agree that the Affiliate is ultimately
responsible for taking the appropriate actions from results, hits, etc. generated by Vigilant products and require ongoing
training, human evaluation, verifying the accuracy and currency of the information, and appropriate analysis prior to
taking any action.
As such, the parties agree to do the following:
Vigilant:
1. Vigilant has established the use of FBI -UIS Security Policy as guidance for implementing technical security
controls in an effort to meet or exceed those Policy requirements.
2. Vigilant agrees to appoint a CJIS Information Security Officer to act as a conduit to the client Contracting
Government Agency, Agency Coordinator, to receive any security policy information and disseminate to the
appropriate staff.
3. Vigilant agrees to adhere to FBI -UIS Security Policy Awareness Training and Personnel Screening standards as
required by the Affiliate.
4. Vigilant agrees, by default, to classify all client supplied data and information related to client owned
infrastructure, information systems or communications systems as "Criminal Justice Data". All client information
will be treated at the highest level of confidentiality by all Vigilant staff and authorized partners. Vigilant has
supporting guidance/policies for staff handling the full life cycle of information in physical or electronic form
and has accompanying disciplinary procedures for unauthorized access, misuse or mishandling of that
information.

5. Vigilant will not engage in data mining, commercial sale, unauthorized access and/or use of any of Affiliate
owned data.
6. Vigilant and partners agree to use their formal cyber Incident Response Plan if such event occurs.
7. Vigilant agrees to Immediately inform Affiliate of any cyber incident or data breach, to include DDoS, Malware,
Virus, etc. that may impact or harm client data, systems or operations so proper analysis can be performed and
client Incident Response Procedures can be initiated.
8. Vigilant will only allow authorized support staff to access the Affiliate's account or Affiliate data in support of
Affiliate as permitted by the terms of contracts.
9. Vigilant agrees to use training, policy and procedures to ensure support staff use proper handling, processing, .
storing, and communication protocols for Affiliate data.
10. Vigilant agrees to protect client systems and data by monitoring and auditing staff user activity to ensure that it
is only within the purview of system application development, system maintenance or the support roles
assigned.
11. Vigilant agrees to inform the Affiliate of any unauthorized, inappropriate use of data or systems.
12. Vigilant will design software applications to facilitate FBI -UIS compliant information handling, processing,
storing, and communication of Affiliate.
13. Vigilant will advise Affiliate when any software application or equipment technical controls are not consistent
with meeting FBI -UIS Policy criteria for analysis and due consideration.
14. Vigilant agrees to use the existing Change Management process to sufficiently plan for system or software
changes and updates with Rollback Plans.
15. Vigilant agrees to provide technical security controls that only permit authorized user access to Affiliate owned
data and Vigilant systems as intended by the Affiliate and data owners.
16. Vigilant agrees to meet or exceed the FBI -UIS Security Policy complex password construction and change rules.
17. Vigilant will only provide access to Vigilant systems and Affiliate owned information through Affiliate managed
role -based access and applied sharing rules configured by the Affiliate.
18. Vigilant agrees to provide technical controls with additional levels of user Advanced Authentication in Physically
Non -Secure Locations.
19. Vigilant agrees to provide compliant FIPS 140-2 Certified 128 -bit encryption to Affiliate owned data during
transport and storage ("data at rest") while in the custody and control of Vigilant.
20. Vigilant agrees to provide firewalls and virus protection to protect networks, storage devices and data.
21. Vigilant agrees to execute archival, purges and/or deletion of data as configured by the data owner.
22. Vigilant agrees to provide auditing and alerting tools within the software applications so Affiliate can monitor
access and activity of Vigilant support staff and Affiliate users for unauthorized access, disclosure, alteration or
misuse of Affiliate owned data. (Vigilant support staff will only have access when granted by the Affiliate.)
23. Vigilant will only perform direct support remote access to Affiliate systems/infrastructure when requested,
authorized and physically granted access to the applications/systems by the Affiliate. This activity will be
documented by both parties.
24. Vigilant creates and retains activity transaction logs to enable auditing by the Affiliate data owners and Vigilant
staff.
25. Vigilant agrees to provide physical protection for the equipment -storing Affiliate data along with additional
technical controls to protect physical and logical access to systems and data.
26. Vigilant agrees to participate in any Information or Technical Security Compliance Audit performed by the
Affiliate, state GIS System Agency or FBI-CJIS Division.
27. Vigilant agrees to perform independent employment background screening for its' staff and participate in
additional fingerprint background screening as required by Affiliate.

28. Vigilant agrees that the Affiliate owns all Affiliate contributed data to include "hot -lists", scans, user information
etc., is only shared as designated by the client and remains the responsibility and property of the Affiliate.
Affiliate:
1. Affiliate agrees to appoint an Agency Coordinator as a central Point of Contact for all FBI -GIS Security Policy
related matters and to assign staff that are familiar with the contents of the FBI -GIS Security Policy.
2. Affiliate agrees to have the Agency Coordinator provide timely updates with specific information regarding any
new FBI -GIS, state or local information security policy requirements that may impact Vigilant compliance or
system/application development and, to facilitate obtaining certifications, training, and fingerprint -based
background checks as required.
3. Affiliate agrees to inform Vigilant when any FBI -GIS Security Awareness Training, personnel background
screening or execution of FBI -GIS Security Addendum Certifications are required.
4. Affiliate agrees to immediately inform Vigilant of any relevant data breach or cyber incident, to include DDoS,
Malware, Virus, etc. that may impact or harm Vigilant systems, operations, business partners and/or other
Affiliates, so proper analysis can be performed, and Incident Response Procedures can be initiated.
5. Affiliate agrees that they are responsible for the legality and compliance of information recorded, submitted or
placed in Vigilant systems and use of that data.
6. Affiliate agrees that they are responsible for proper equipment operation and placement of equipment.
7. Affiliate agrees that they are responsible for vetting authorized user access to Vigilant systems with due
consideration of providing potential access to non -Affiliate information.
8. Affiliate agrees that responsibility and control of persons granted access to purchased Vigilant systems, along
with data stored and transmitted via Vigilant systems, is that of the Affiliate.
9. Affiliate agrees that they have responsibility for all data security, handling and data protection strategies from
point of acquisition, during transport and until submission ("Hotlist upload") into Vigilant systems.
10. Affiliate agrees to reinforce client staff policies and procedures for secure storage and protection of Vigilant
system passwords.
11. Affiliate agrees to reinforce client staff policies for creating user accounts with only government domain email
addresses. Exceptions will be granted in writing.
12. Affiliate agrees to reinforce client staff policies for not sharing user accounts.
13. Affiliate agrees to use Vigilant role -based access as designed to foster system security and integrity.
14. Affiliate agrees that they control, and are responsible for, appropriate use and data storage policies as well as
procedures for the data maintained outside the Vigilant systems. This includes when any information is
disseminated, extracted or exported out of Vigilant systems.
15. Affiliate agrees that they control and are responsible for developing policies, procedures and enforcement for
applying deletion/purging and dissemination rules to information within and outside the Vigilant systems.
16. Affiliate agrees that it is their responsibility to ensure data and system protection strategies are accomplished
through the tools provided by Vigilant for account and user management features along with audit and alert
threshold features.
17. Affiliate agrees to use the "virtual escorting" security tools provided for managing client system remote access
and monitor Vigilant support staff when authorized to assist the client.
18. Affiliate agrees that the Vigilant designed technical controls and tools will only be effective in conjunction with
Affiliate created policies and procedures that guide user access and appropriate use of the system.

19. Affiliate agrees that information and services provided through Vigilant products do not provide any actionable

FUNDING AGREEMENT
BETWEEN BRAZOS COUNTY, TEXAS AND
BRAZOS VALLEY FAIR & EXPOSITION
THIS AGREEMENT FOR THE FUNDING ("Agreement") is made and entered into by and between BRAZOS
VALLY FAIR & EXPOSITION, a Texas nonprofit corporation ("Fair") and COUNTY OF BRAZOS, TEXAS
("County"), each acting by and through duly authorized agents and offices, and is effective for all purposes
on this October 1, 2020 ("Effective Date").
RECITALS
WHEREAS, the County finds a public purpose in the encouragement, promotion, and maintenance of
agricultural education, science, and research; and
WHEREAS, the Fair was formed for educational, scientific, and charitable purposes to encourage, promote
and maintain agricultural science, research, and educational functions and to provide scholarships for
youth participants ("Purpose"); and
WHEREAS, the County has provided Funds (as defined herein) for the support of said Purpose; and
WHEREAS, the Fair will provide educational programs and opportunities for the youth and adults of the
community in the areas of agricultural science and research; and
NOW, THEREFORE, for the mutual consideration stated herein, the receipt and sufficiency of which is
hereby acknowledged, the Fair and County agree as follows:
SCOPE
AGREEMENT
1. TERM The Term of this Agreement shall be one (1) year from the Effective Date.
2. FUNDS The County shall be responsible to fund the Fair within the limits established bylaw.,
3. FAIR EMPLOYEES The County shall provide the following positions:
a. General Manager, Brazos Valley Fair and Exposition
b. Senior Manager, Brazos Valley Fair and Exposition
c. Assistant Manager, Brazos Valley Fair and Exposition
d. Sponsorship Coordinator
Health insurance and other benefits equivalent to that of County employees shall be
available in the same proportions set forth in this Paragraph 3. a -d. These Fair Employees
will be treated as County employees for purposes of personnel and payroll policies and
procedures. These Fair Employees are subject to the same statutory provisions as County

employees regarding all wages and benefits. Fair Employees shall be available to assist in all
aspects of the operation of the Brazos County Expo.
4. PAYROLL SERVICES The County shall provide payroll services for all Fair Employees for the
Term of this Agreement.
5. OFFICES Fair Employees shall be allowed use of office space at .the Brazos County Expo
Complex for the Term of this Agreement. The County may relocate Fair Employee's offices as
needed at the sole discretion of the County. Utilities for Fair Employee offices shall also be
provided by the County.
6. LEGAL SERVICES County may provide, at the County's sole discretion, general legal service for
the Fair on a case by case basis. The County may cease to provide legal services at any time
the County deems there to be a possible conflict of interest. Or if the County determines that
the legal services requested by the Fair are a nature that is incompatible with County duties.
7. GENERAL OFFICE SUPPLIES AND EQUIPMENT The County shall provide one (1) computer,
office furniture and telephones/facsimile.
8. INFORMATION TECHNOLOGY SERVICES The County shall provide the following Information
Technology services during the Term of the Agreement:
a. Internet access
b. Computer hardware configuration and installation
c. General troubleshooting and IT help desk services
9. EXTERNAL AUDIT REQUIREMENTS (IF REQUESTED BY the BRAZOS COUNTY AUDITOR) The Fair
agrees that County, or its designated representative, shall have the right to review and to
copy any records and supporting documentation pertaining to the performance of this
Agreement. The Fair agrees to maintain such records for possible audit for a minimum of
three (3) years after the termination date of this Agreement, unless a longer period of records
retention is stipulated. The Fair agrees to allow the auditor (s) access to such records during
normal business hours and to allow interviews of any employees who might reasonably have
information related to such records. The Fair agrees that County, or its designated
representative, shall further have the right to review and to copy any records and supporting
documentation for prior years in which County provided funds to the Fair under prior
Agreements. Any audit will be conducted by County personnel or an independent third party,
as determined or agree to by the Brazos County Commissioners Court. If the Brazos County
Commissioners Court determines that the audit will be conducted by an independent third
party, all costs and expenses associated with said audit will be solely paid for by the Fair.
During said audit, the Fair shall require that a management letter be prepared by auditor. The
management letter shall identify issues not required to be disclosed in the annual financial
report but shall state any concerns and suggestions noted during the audit. Annual financial
statements (audited if available) are due to County within six (6) months of completion.
10. RECORDS The Fair is responsible for all record keeping associated with Fair activities. The Fair
shall maintain and make available for inspection by the County upon request, consistent with
federal and state law, any and all records the County determines at its sole discretion, to be
necessary for -the Commissioners Court of Brazos County to justify its continued participation
in supporting the Fair with funding. Said records shall be retained and made available for
inspection and audit by the County upon reasonable notice. The Fair shall retain all records
for a period of five (5) years.
11. VENUE AND GOVERNING LAW This Agreement has been made under and shall be governed
by the laws of the State of Texas. Venue for any suite filed against County shall be in Brazos
County.
12. INDEMNITY The parties hereto agree to indemnify one another for and hold one another
harmless from and against all suits, claims, demands, liabilities, or actions resulting or alleged
to result from the breach, violation or non-performance of the services stated herein and for
any damage to any person resulting from any action or omission or negligence on the part of
each party thereto.
13. SOVEREIGN IMMUNITY The parties understand that the County does not waive or relinquish
any immunity or defense on behalf of itself, officers, employees, agents and volunteers as a
result of its execution of this Agreement and the performance of the covenants contained
herein. Further, the County is not responsible for any civil liability that arises from any act or
omission made within the course and scope of this Agreement. The parties understand and
agree that the County does not assume civil liability under any theory of law for the actions
of the Fair in providing services hereunder.
14. SEVERABILITY If any provision of this Agreement shall be held to be invalid or unenforceable
for any reason, the remaining provisions shall continue to be valid and enforceable. If a court
of competent jurisdiction finds that any provision of this Agreement is invalid or
unenforceable, but that by limiting such provision it may become valid and enforceable, then
such provision shall be deemed to be written, constructed and enforced as so limited.
15: ENTIRE AGREEMENT This Agreement contains the entire understanding between the parties
hereto concerning the subject matter contained herein. There are no representations,
agreements, arrangements, or understanding, oral or written, between or among the parties
hereto, relating to the subject matter of the Agreement, which are not fully expressed herein.
16. AMENDMENTS No Amendment to the Agreement shall be effective and binding unless and
- until it is reduced to writing and signed by the authorized representatives of all parties.
17. THIRD PARTIES This Agreement is for the benefit of the parties to the Agreement and does
not confer any rights on any third parties.
18. COUNTY INVOLVEMENT The County and Fair state that to the best of their knowledge, no
officer, agent, or employee of the County who exercises any function or responsibility in
connection with the carrying out of this Agreement or the services to which it relates has
personal interest, direct or indirect, in this Agreement.
19. TERMINATION This Agreement may be terminated by either party upon thirty (30) days
written notice. -Such notice shall be mailed return receipt requested to the non -terminating
part at the addresses listed below.

INTERLOCAL AGREEMENT
TACTICAL PARAMEDIC SUPPORT
THIS INTERLOCAL AGREEMENT is hereby made and entered into by and between
the CITY OF BRYAN, TEXAS, a home rule municipal corporation (`Bryan') and BRAZOS
COUNTY, TEXAS ("County"), each acting by and through its duly authorized agents;
WHEREAS, the respective participating governments (the "Parties") are authorized by
the Interlocal Cooperation Act, Texas Government Code ("TGC"), Chapter 791, to enter into a
joint agreement for the performance of the governmental function of providing Paramedic
Services; and 6
WHEREAS, the Parties recognize the dangerous conditions and opportunity for injury
presented during a tactical police deployment; and
WHEREAS, immediate medical support within the inner perimeter of a tactical
operation can be crucial to the survival of injured officers, civilians, or suspects;
WHEREAS, a City of Bryan paramedic has been working with the County in this
capacity, and both Parties wish to formalize the agreement;
NOW, THEREFORE, the parties, in consideration of the mutual covenants and
conditions contained herein, agree as follows:
I. SCOPE
1. Bryan Fire Department ("BFD") will assist in providing medical support for the Brazos
County Sheriff s Office (`BCSO") tactical team in the form of tactically trained
paramedics. BCSO will provide tactical training and safety equipment to assigned
paramedics such as ballistic vests and other necessary equipment. BCSO and BFD
together will provide co=department training,as deemed necessary. -
2. The paramedics involved in this program are all full-time employees of BFD and have
been selected by BFD Command Staff for service with the BCSO. Only paramedics
completing the federal Counter Narcotics Tactical Operations Medical Support program
or program equivalent sponsored by the Department of Defense or a "State Approved"
Tactical Medic Program course may participate. Participation in this program is
voluntary and the paramedic remains an employee of BFD and is compensated by the
City of Bryan during actual call -outs and training.
3. BCSO will incorporate the paramedics as full team members, having the Brazos County
Dispatch notify the BFD Tactical Medic on call during all Tactical Team call -outs.
BCSO requires that the paramedics continuously train with the Tactical Team and
maintain active practice and training in the -paramedic profession.

4. The paramedics' role on the team is one solely of medical support; therefore the
paramedics will be unarmed, unless Texas Commission on Law Enforcement
("TCOLE") certified and commissioned by a local law enforcement entity, and
positioned at the discretion of the Tactical commander as the situation dictates.
However, as a rule the unarmed paramedics will be positioned somewhere just outside
the inner perimeter of the objective, unless due to the objective size this rule is not
practical.
5. The City of Bryan tactical paramedic and the BCSO Sheriff's Special Weapons and
Tactics Team Commander shall each comply with certain duties and
training/certification requirements and agree to certain goals as part of this agreement.
Such duties and responsibilities are attached to this agreement as "Appendix A," and
may be amended by letter agreement, signed by the City of Bryan Fire Chief or his
designee and the Brazos County Sheriff or his designee. Any amendments to Appendix
A shall be provided to the City of Bryan City Secretary's office and the office of the
County Judge of Brazos County for viewing by the public.
6. In case of a civil emergency or disaster that requires the services of all City of Bryan
paramedics for City purposes, the City of Bryan Fire Chief or his designee has the
authority to temporarily suspend this agreement until such time as he deems proper.
H. TERM AND TERMINATION
7. ' This Agreement term shall begin October 1, 2020 and terminate at midnight on
September 30; 2021. Either party to this Agreement shall have the right to terminate this
Agreement, without cause, upon thirty (30) days' written notice of such termination.
Further, should the Agreement be terminated the rights and obligations of the Parties
hereunder shall terminate, except those rights and obligations that have accrued under
this Agreement prior to the date of termination shall survive.
8. This Agreement will be extended, without further action by either party, for four (4) one
year terms on October 1 SC of each subsequent year, unless either party to the agreement
elects to terminate. Such Renewal Terms shall be on the identical terms and conditions
as set forth herein.
M. NOTICES
9. All notices issued between parties to this agreement shall be in writing. All notices shall
be deemed given on the date personally delivered, faxed, or deposited in the U.S. mail

IV. CIVIL LAWSUITS
10. In accordance with TGC 791.006(a-1), Bryan and County agree to assign responsibility
for civil liability that arises from the furnishing of services under this agreement in a
different manner than provided for in TGC 791.006(a). In the event that any person
performing paramedic services pursuant to this Agreement shall be cited as a Party to
any civil lawsuit, state or federal, arising out of the performance of those services,
he/she shall be entitled to the same benefits that he/she would be entitled to receive if
such civil action has arisen out of his duties as a member of the Bryan Fire Department
and in the jurisdiction of Bryan.
11. Third -party claims against the Parties shall be governed by the Texas Tort Claims Act or
other appropriate statutes, ordinances, or laws of the State of Texas.
12. Each Party to this Agreement agrees that if legal action is brought under this
Agreement, exclusive venue shall be in Brazos County, Texas.
V. INDEMNITY / RELEASE / HOLD HARMLESS
13. As otherwise provide for under paragraph XI (Civil Lawsuits) and to the extent
permitted by the laws of the State of Texas, and without waiving governmental
immunity or the limitations as to damages under the Texas Tort Claims Act, the Parties
each individually agree to hold the other harmless from and against any and all claims,
losses, damages, causes of action, suits, and liabilities of every kind, including all
expenses of litigation, court costs, and attorney's fees, for injury or death to any person
or damage to any property, arising out of or in connection with the work performed
under this Agreement. The Parties hereby agree that each Party will remain solely
responsible for the legal defense and any civil liability due to the actions of a Law
Enforcement Officer or other personnel regularly employed by the Party. Nothing
herein shall be construed as a waiver of any legal defense of any nature to any claim
against a Party or an agent, officer or employee of a Party.
14. Bryan assumes full responsibility for the services to be performed hereunder, and
hereby releases, relinquishes, and discharges Brazos, its officers, agents, and employees
from all claims, demands, and causes of action of every kind and character, including
the cost of defense thereof, for any injury to or death of any person and any loss of or

damage to any property that is caused by, alleged to be caused by, arising out of, or in
connection with the services, personnel, or equipment provided by Bryan under this
Agreement. This release shall apply regardless of whether said claims, demands, and
causes of action are covered in whole or in part by insurance and regardless of whether
such injury, death, Ioss, or damage was caused in whole or in part by the negligence of
the Brazos, its officers, agents, and employees, or any third party.
VI. RESERVATION OF IMMUNITY
15. It is expressly understood and agreed that, in the execution of this Agreement, no Party
waives, nor shall be deemed hereby to waive, any immunity or defense that would
otherwise be available to it against claims arising from any activity conducted pursuant
to this Agreement.
VII. MISCELLANEOUS
16. If any provision of the Agreement shall be held to be invalid, illegal, or unenforceable
by a court or other tribunal of competent jurisdiction, the validity and enforceability of
the remaining provisions shall not in any way be affected or impaired thereby. The
parties shall use their best efforts to replace the respective provisions or provisions of
this Agreement with legal terms and conditions approximating the original intent.
17. All parties to this Agreement agree that payment for the performance recited herein will
be payable from current revenues available to such paying party.

18. This Agreement is the entire agreement between Bryan and Brazos County relating to
the provision of Tactical Paramedic Support and supersedes any and all prior
agreements, arrangements, or understandings, whether written or oral.
19. This Agreement is for the benefit of the parties to this Agreement, and does not confer
any rights on any third parties.
20. No amendment to this Agreement shall be effective or binding unless and until it is
reduced to writing and signed by the authorized representatives of all parties, with the
exception of amendments to Appendix A, as outlined in Article I, Section 5.
21. Failure of any party to enforce a provision of this Agreement shall not constitute a
waiver of that provision nor in any way affect the validity- of this Agreement or the right
of any party to enforce each and every provision hereof. No term of this Agreement
shall be deemed waived or breach excused unless the waiver shall be in writing and
signed by the parties claimed to have waived. Furthermore, any -consent to or waiver of
a breach will not constitute consent to or waiver of or excuse of any other different or
subsequent breach.
22. This Agreement may be executed in a number of identical counterparts, each of which
shall be deemed an original for all purposes.

APPENDIX A
Responsibility of the City of Bryan Paramedic. The Tactical Medic serves as a member of the
medical team, and whose functions include:
A. Assists with the acquisition of and maintaining important medical history and current
health status on each team member. He also ensures the transfer of information to
appropriate medical personnel to save valuable time during the treatment of injury or
illness.
B. Assists with the monitoring of medical effects of environmental conditions on individuals
and team performance. The tactical medic immediately brings any problems to the team
leader's attention,
C. Assists with the provision of field medical treatment to team members injured or taken ill
while engaged in mission activity. He ensures that team members are afforded the best
possible treatment and are transferred in a timely manner to an appropriate level of care.
He provides humanitarian medical assistance to non -law enforcement personnel injured
or taken ill during an operation until appropriate transfer to the EMS system can be safely
effected,
D. Assists with the advocacy for officers who are treated by other medical providers. He
establishes good working relationships with local Aeromedical systems and with
receiving medical institutions and assures appropriate integration of the team's medical
program with local health care delivery system. He also assists with keeping
commanding officers apprised of his findings and recommends actions which should be
taken to insure optimum outcomes for the deputy and the team following injury or illness,
E. Assists with the conducting of Medical Threat Assessments to determine the potential
impact of medical/health factors on a mission. He serves as a health information resource
for team members. The Medical Team is the commander's.advisor on matters relating to
the health of the team,
F. Assists with the provision of medical care under the direction of the Brazos County
Sheriff's Office Medical Director, using specialized medical and extraction protocols and
standing orders as established by the medical director,
G. Makes himself available several times per month on an on-call basis to respond to
Tactical Team call -outs, responding within 20 minutes to all calls. He will also carry a
BCSO provided hand-held radio during responses to assure communications with
dispatcher.
Responsibility of the Tactical Commander. Although the Medical Team serves as an advisor
to the unit commander, the health and safety of the team is ultimately a command
responsibility which cannot be abrogated. The commander's functions include:

A. Providing command level support to the team medical officer for matters relating to health and
safety. The commander should demonstrate through intent and action a true interest and concern
in the physical and psychological welfare of team members,
B. Ensuring appropriate safety measures for and by the paramedic are maintained during an
operation, Such as:
Positioning the unarmed paramedic at the scene of operation in a safe zone, but near the inner
perimeter of the operation.
2. Ensuring that the scene is safe and secure, as so far as is practical, prior to calling the
unarmed tactical medic into the inner perimeter of an operation.
Ensuring that a victim needing medical care get rapid access to advanced life support is
paramount. Ultimately this is a command decision but this can be done by two methods.
Safely extracting the victim to a warm zone out of immediate danger or taking advanced care
to the victim by way of covering or escorting the Tactical Paramedic to the victim
C. Ensuring appropriate medical coverage for all team activities.
D. Ensuring that the BFD Command Staff assures the tactical medic maintains his medical skills at a
level higher than the average paramedic through continuing education and clinical work.
E. Facilitating implementation of the medical officer's recommendations when determined to be in the
best interest of the team.
Goals of Tactical Medical Support Activity. Implementation of an effective tactical medical
support program is directed at achieving these important goals:
A. Provide for a safer environment in which the paramedic performs his duties at the scene
of a tactical operation,
B. Enhance mission accomplishment,
C. Reduce death, injury and illness, and related effects, among officers, paramedics,
innocents, and perpetrators,
D. Reduce line of duty injury and disability cost to both agencies,
E. Reduce lost work time for specially trained; hard -to -replace paramedics and officers,
F. Maintain good team morale when true concern for the members' good health is realized.
Training and Qualifications. Certain basic principles guide the development of a sound
medical support program. These include:

A. Team medical officers will be trained to at least the PARAMEDIC level and will be
required to maintained current certification through the, Texas Dept. of State Health
Services. Team medical officers will also maintain certification in Basic Trauma Life
Support (BTLS) or Pre -hospital Trauma Life Support (PHTLS).
B. Team medical officers must be familiar with, and able to effectively coordinate with the
entire Emergency Medical System, from the area of operation to the receiving medical
facility.
C. Tactical medics must work with the Tactical Team on a regular basis and must be trained
to understand mission objectives, tactics used, weapons, pyrotechnics and other devices
Rely to be employed, and communication policies and procedures. In order to function
effectively in support of a tactical team, the medic must have a working knowledge of the
team, its tools and tactics.
D. All BFD paramedics assigned as tactical medics must maintain their clinical skills by
actively participating in patient care activities on a full time basis with BFD.
E. Team medical officers shall complete specialized training which teaches the skills
necessary to operate in the austere environment and receive federal certification as
'Emergency Medical Technician - Tactical'.
F. All Tactical Paramedics for BFD must meet all BFD fitness and health standards. In
addition to these cardiopulmonary standards, a strength testing component has been
added to assure the medic can properly extricate a downed police deputy or victim who is
wearing heavy protective gear.
