PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a
Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the
Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity
of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly,
profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions:
1. cancellation of a speaker's time;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge
and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to
attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business
of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave., Suite 106, Bryan, TX 77803 is
wheelchair accessible. Handicap parking spaces are available. Any request for sign interpretive services must be made two

REGULAR MEETING
A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South
Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday,
June 9, 2020 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1, Present by Teleconference;
Sammy Catalena, Commissioner of Precinct 2, Deceased;
Nancy Berry, Commissioner of Precinct 3;
Irma Cauley, Commissioner of Precinct 4;
Karen McQueen, County Clerk.

20. Juvenile Director's report on detention population.
Juvenile Director Linda Ricketson reported there are 11 juveniles in the detention center,
8 are male and 3 are female, and 22 have electronic monitors. There are 3 new youth in
isolation as per medical protocol.
21. Sheriff's report on inmate population.
Sheriff Chris Kirk stated there were 534 inmates in jail, 461 inmates are male and 73 are
female, 14 have electronic monitors avid 0 are pending for monitors. Sheriff Kirk noted
that there are no officers in quarantine and 1 inmate in isolation due to non compliance.

22. Announcement of interest items and possible future agenda topics.
Judge Peters announced he has reviewed all the applications for Precinct 2
Commissioner. He said this was a difficult decision and there were a lot of good
candidates. He looked at business experience, involvement in the community and
involvement in the Republican party. Judge Peters said that Commissioner Catalena
was a Republican and the precinct has been a Republican precinct. He said the person
he appoints will have an interim period and may not necessarily be on the ballot in
November. The party chairs for Precinct 2 will decide who goes on the ballot for both
parties.. He hopes that the precinct chairs of the Republican party will take into
consideration his appointment since the person will have a few months of experience.
Judge Peters said he has decided to appoint Chuck Kondeda. He said that Mr.
Konderla has a bachelor degree in agricultural economics, is a business owner and the
Director of CHI St. Joseph Foundation. Judge Peters mentioned he worked with Mr.
Konderla on projects when he served on the Bryan City Council. He added that he is a
good, common sense, conservative guy that he has a lot of respect for. Judge Peters
said he plans to have Mr. Konderla sworn into office at the beginning of next week's
Commissioners Court meeting.
Commissioner Berry commented that Mr. Konderla is a good man.

There was no citizen's input.

GENERAL REOUIREMENT FOR CONTRACT
Abe-oadwa re✓ as a duly authorized representative of
"Contractor" willingly attest to perform (or deliver) as per Exhibit "A" and Exhibit
"B" for azos County. I further agree to all of the provisions and specifications contained in this
contract.
Brazos County is responsible for the preparation of the site prior to the application of slurry and mixture
of slurry after application to the site by the contractor. Contractor is responsible for all other items of
Specifications in Exhibit A. The Brazos County agrees to the pricing in Exhibit A for the first year and
will negotiate pricing beyond this.
ASSIGNMENT
The successful offeror may not assign, sell or otherwise transfer this contract without written permission
of Brazos County Commissioners Court. Should there be a change in ownership or management; the
contract shall be terminated unless a mutual agreement is reached with the new owner or manager to
continue the contract with its present provisions and prices.
AWARD
The Brazos County Commissioners Court finds that this is a contract for goods and services for which
competition is precluded due to limited availability by a sole source and is made by a county under
Local Government Code §262.024(a)(7)(A) and is exempt from competitive bidding until January 1,
2022. This award period shall be for one year beginning June 9, 2020 through .March 31, 2021.
CONTRACT OBLIGATION
Brazos County Commissioners Court must award the contract and Brazos County Judge or other person
authorized by Brazos County Commissioners Court must sign the contract before it becomes binding on
Brazos County or the offerors. Department heads are NOT authorized to sign contracts for Brazos
County. Binding contracts shall remain in effect until all products and/or services covered by this
purchase have been satisfactorily delivered and accepted.
QUANTITIES
The quantities specified in this contract are estimates only. Brazos County does not guarantee to
purchase any minimum quantities or services other than those listed on a purchase order.

CONTRACT RENEWALS
Renewals may be made ONLY by written agreement between Brazos County and the offeror. Prices
quoted shall be firm for each contract period. Subsequent price changes, if any, will be applied at the
beginning of the renewal period and remain firm for the duration of that period. Any increase in price
shall be by agreement of both parties.
HOLD HARMLESS AGREEMENT
Contractor, the successful offeror, shall indemnify and hold Brazos County harmless from all claims for
personal injury, death and/or property damage resulting directly or indirectly from Contractor's
performance. Contractor shall procure and maintain, with respect to the subject matter of this bid,
appropriate insurance coverage including, as a minimum, public liability and property damage with
adequate limits to cover Contractor's liability as may arise directly or indirectly from work performed
under terms of this contract. Certification of such coverage must be provided to Brazos County upon
request.
INSPECTIONS & TESTING
Acceptance of merchandise, work, and/or equipment provided shall be made by Brazos County at the
sole discretion of the Commissioners Court when all terms and conditions of the contract and
specifications have been met to its satisfaction, including the submission to Brazos County of any and
all documentation as may be required. Title and Risk of Loss of the goods shall not pass to Brazos
County until the County actually accepts and takes possession of the goods at the point or points of
delivery.
ADDITIONIMODIFICATION OF LOCATIONS OR SERVICES
Brazos County reserves the right to add locations as these additional locations may be required.
Locations to be added may include, but not limited to, expansions or additions to existing facilities and
acquisition or construction of new properties. In the event that Brazos County makes significant
structural changes to an existing facility that impacts the Contractor's cost in providing the services
anticipated by this contract such change may be treated as a new facility and the procedures provided for
in this section may be followed in determining an appropriate price.
In the event Brazos County wishes to add other locations to a group under the contract, a quotation will
be solicited from the incumbent Contractor in good standing for the group in which the new location is
appropriately situated.
In the event Brazos County shall sell, vacate, abandon, or otherwise dispose or terminate a location to
which the contract applies, all existing contracts for services applicable to such location, the portion of
this contract that applies to such locations is terminated. All remaining portions of the contract will
remain intact. Brazos County will endeavor to give the Contractor written notice of such termination of
locations a minimum of thirty (30) days in advance.
INVOICES & PAYMENTS
Payments to Contractors will not be made if the Contractor cannot produce a Brazos County Purchase
Order. Contractor shall submit an original invoice on each purchase order or purchase release after each
delivery, indicating the purchase order number. Invoices must be itemized. Any invoice, which cannot.
be verified by the contract price and/or is otherwise incorrect, shall be corrected by the Contractor.

When multiple deliveries and/or services are required, the Contractor may invoice following each
delivery or performance of service and Brazos County will pay on invoice within thirty (30) days upon
receipt of invoice. Contracts providing for a monthly charge will be billed and paid on a monthly basis
only. The Contractor will provide an invoice for each month in which Brazos County is responsible for
payment, during the duration of the contract. Prior to any and all payments made for goods and/or
services provided under this contract, the Contractor should provide their Taxpayer Identification
Number or Social Security number as applicable. This information must be on file with Brazos County
Auditor's office. Failure to provide this information may result in a delay in payment and/or back-up
withholding as required by the Internal Revenue Service.
PRICING
Prices for all goods and/or services shall be firm for the duration of this contract and shall be stated on
the Pricing/Delivery Information form. Prices shall be all inclusive: No price changes, additions, or
subsequent qualifications will be honored during the course of the contract. All prices must be
written in ink or typewritten. Pricing on all transportation, freight, drayage and other charges are to be
prepaid by the Contractor and included in the bid prices. If there are any additional charges of any kind,
other than those mentioned above, specified or unspecified, offeror MUST indicate the items required
and attendant costs or forfeit the right to payment for such items. Where unit pricing and extended
pricing differ, unit pricing prevails.
TAXES
Brazos County is exempt from all federal excise, state and local taxes unless otherwise stated in this
contract. Brazos County claims exemption from all sales and/or use taxes under Texas Tax Code
§151.309, as amended. Texas Limited Sales Tax Exemption Certificates will be furnished upon written
request to Brazos County Purchasing Agent.
GOVERNING FORMS
In the event of any conflict between the terms and provisions of these requirements and the
specifications, the specifications shall govern. In the event of any conflict of interpretation of any part
of this overall contract, Brazos County's interpretation shall govern. In the event of a conflict between
the terns, conditions, provisions, and specifications of this contract and any other teens, conditions,
provisions, and specifications provided by the Contractor; the terms of this contract shall supersede.
GOVERNING LAW
This bid solicitation is governed by the competitive bidding requirements of Brazos County Purchasing
Act, Texas Local Government Code, §262.021 et seq., as amended. Offerors shall comply with all
applicable federal, state and local laws and regulations. Offeror is further advised that these
requirements shall be fully governed by the laws of the State of Texas and that Brazos County may
request and rely on advice, decisions and opinions of the Attorney General of Texas and Brazos County
Attorney concerning and portion of these requirements. Potential vendors are advised they may have
disclosure requirement pursuant to Texas Local Government Code, -Chapter 176.
This law requires persons desiring to do business with the County to disclose any gifts that have an
aggregate value in excess of $250.00 given to any employee of the County, County Official_ to -.the
County Official's family members or employment of any employee of the County, County Official or
the County Official's family members during the preceding twelve (12) month period. The disclosure
questionnaire must be filed with the Brazos County Clerk. Refer to Texas Local Government Code,

Chapter 176 for the details of this law. Bidder understands that Brazos County is a government subject
to Texas State and Federal public information statutes.
DISQUALIFICATION OF OFFEROR
Upon signing this contract, an offeror offering to sell supplies, materials, services, or equipment to
Brazos County certifies that the offeror has not violated the antitrust laws of this state codified in Texas
Business and Commerce Code §15.01, et seq., as amended, or the federal antitrust laws, and has not
communicated directly or indirectly the bid made to any competitor or any other person engaged in such
line of business. Any or all bids may be rejected if Brazos County believes that collusion exists among
the offerors. Bids in which the prices are obviously unbalanced may be rejected. If multiple bids are
submitted by an offeror and after the bids are opened, if one of the bids is withdrawn, the result will be
that all of the bids submitted by that offeror will be withdrawn; however, nothing herein prohibits a
Contractor from submitting multiple bids for different products or services.
SEVERABILITY
If any section, subsection, paragraph, sentence, clause, phrase or word of these requirements or the
specifications shall be held invalid, such holding shall not affect the remaining portions of these
requirements and the specifications and it is hereby declared that such remaining portions would have
been included in these requirements and the specifications as though the invalid portion had been
omitted.
SILENCE OF SPECIFICATIONS
The apparent silence of specifications as to any detail, or the apparent omission from it of a detailed
description concerning any point, shall be regarded as meaning that only the best commercial practice is
to prevail and that only material and workmanship of the finest quality are to be used. All
interpretations of specifications shall be made on the basis of this statement. The items furnished under
this contract shall be new, unused of the latest product in production to commercial trade and shall be of
the highest quality as to materials used and workmanship. Manufacturer furnishing these items shall be
experienced in design and construction of such items and shall be an established supplier of the item bid.
TERMINATION
Brazos County reserves the right to terminate the contract for default if offeror breaches any of the terms
therein, including warranties of offeror or if the offeror becomes insolvent or commits acts of
bankruptcy. Such right of termination is in addition to and not in lieu of any other remedies which
Brazos County may have in law or equity. Default may be construed as, but not limited to, failure to
deliver the proper goods and/or services within the proper amount of time, and/or to properly perform
any and all services required to Brazos County's satisfaction and/or to meet all other obligations and
requirements. Brazos County may terminate the contract without cause upon thirty (30) days written
notice.
POLICY REQUIREMENTS FOR CERTIFICATE OF INSURANCE
CONTRACTOR'S INSURANCE
The Contractor(s) before starting work for Brazos County, must furnish Brazos County a Certificate of
Insurance or other acceptable evidence from a reputable insurance company or companies with an A.M.
Best Rating of AA@ (such companies to be acceptable to Brazos County) licensed to write insurance in

the state of Texas, showing that the Contractor is covered by the insurance as follows:
(1) Statutory Workers Compensation Insurance with Employers Liability Insurance in the amount of
$1,000,000. In the event any work is sublet, the Contractor shall require the subcontractor
similarly to provide the same coverage and shall himself acquire evidence of such coverage on
behalf of the subcontractor. (TLC Sec. 401.011)
(2) Commercial General Liability Insurance with a $ 2,000,000 Combined Single Limit. The policy
shall be on the Comprehensive General Liability 1986/90 occurrence form, and shall include
coverage for acts of independent contractors, and shall name Brazos County as an additional
insured. Waiver of subrogation is required. No claims made policies are acceptable without
prior approval by the Commissioners Court/Risk Management
(3) Automobile Public Liability Insurance with a $1,000,000 Combined Single Limit, in all self-
propelled vehicles used in connection with the contract, whether owned, non -owned or hired.
Waiver of subrogation is required.
The Certificate of Insurance furnished to Brazos County shall contain a provision that coverage under
such policies shall not be canceled or materially changed until at least 30 days prior written notice has
been given to Brazos County.
LIMITATIONS
The parties are aware that there are constitutional and statutory limitations on the authority of Brazos
County to enter into certain terms and conditions of the contract, including, but not limited to,
authorizations of the placement of liens on Brazos County property; disclaimers and limitations of
warranties; disclaimers and limitations of liability for damages; waivers, disclaimers and limitations of
legal rights, remedies, requirements and processes; limitations of periods to bring legal action; granting
control of litigation or settlement to another party; liability for acts or omissions of third parties;
payment of attorneys' fees; dispute resolution; indemnities; and confidentiality (collectively, the
"Limitations"). Any contract terms and conditions related to the Limitations will not be binding on
Brazos County except to the extent authorized by the laws and Constitution of the State of Texas.
COVERAGES/WAGES
Nothing in this contract shall be construed as making Brazos County responsible for the payment of
compensation and/or any benefits for Contractor including health, property, motor vehicle, workers'
compensation, disability, death, and dismemberment insurance for the Contractor's employees and/or
equipment. Nothing in the contract shall be construed as making Brazos County responsible for wages,
materials, logistical support, equipment, and related travel expenses incurred by the Contractor.
SOVEREIGN IMMUNITY
The parties understand that Brazos County does not waive or relinquish any immunity or defense on
behalf of itself, officers, employees, agents, and volunteers as a result of its execution of this contract
and the performance of the covenants contained herein. Further, Brazos County is not responsible for
any civil liability that arises from any act or omission made within the course and scope of this contract.
The parties understand and agree that Brazos County does not assume civil liability under any theory of
law for the actions of the Contractor in providing services hereunder.

ASSIGNABILITY
This contract may not be assigned without the prior written permission of Brazos County.
FISCAL FUNDING CLAUSE
Notwithstanding any provisions contained herein, the obligations of Brazos County are expressly
contingent upon the availability of funding for the obligations contained herein for the term of the
contract and any extensions thereto.
WAIVERS
No waiver by either party hereto of any term or condition of this contract shall be deemed or
construed to be a waiver of any other term or condition or subsequent waiver of the same term or
condition.
ENTIRE CONTRACT
This contract represents the entire and integrated agreement between Brazos County and the Contractor
and supersedes all prior negotiations, representations, or contracts, either written or oral. This contract
may only be amended by written instrument approved and executed by the parties.
AVAILABILITY AND RETENTION OF RECORDS
All records relating to the service provided under this contract and supporting documentation for invoices
submitted to Brazos County by the Contractor shall be retained and made available by the Contractor for
audit by Brazos County, duly authorized representatives, the State of Texas (including, but not limited to
the Auditor of the State of Texas, Inspector General or duly appointed law enforcement officials) and
agencies of the United States Government. Such records shall be returned by Contractor and made

available for any time period required by state or federal law. If changes occur in the governing state or
federal law, regarding retention records, Contractor shall comply with such changes. If an audit is
initiated before the expiration of such time periods required by state or federal law regarding retention of
records, the Contractor shall retain such records until the audit is concluded and all issues resolved.
Contractor shall provide Brazos County with copies of such audits that be conducted with respect to the
contract.
AUDIT RESPONSIBILTY
The Contractor shall be responsible for receiving, replying to and/or complying with any audit exception
by appropriate federal, state or local audit directly related to the provision of this contract.
The Contractor shall repay to Brazos County the full amount received for duplicate billings, erroneous
billings, false or deceptive claims. The Contractor recognizes and agrees that Brazos County may
withhold any money due and recover through any appropriate method any money erroneously paid under
this contract if evidence exists of less than full compliance with this contract.
INDEMNIFICATION
The Contractor shall defend, indemnify and save harmless Brazos County and all its officers, agents, and
employees from all suits, actions, or claims of any character, name and description including attorney's
fees expenses brought for or on account of any injuries or damages received or sustained by any person
or persons or property, by or from the said Contractor or his employees or by or in consequence of any
negligence in safeguarding the work, or through the use of unacceptable materials in construction of the
work, or by or on account of any act of omission, the Worker Compensation Law or any other law,
ordinance, order or decree, and so much of the money due the said Contractor under and by virtue of his
contract as shall be considered necessary by Brazos County may be retained for the use of Brazos
County, or in case no money is due, his sureties shall be held until suit or suits, action or actions, claim
or claims for injury or damages as aforesaid shall have been settled and satisfactory evidence to that
effect furnished Brazos County. Contractor shall defend, indemnify and save harmless Brazos County,
its officers, agents and employees in accordance with this indemnification clause regardless of whether
the injury or damage is caused in part by Brazos County, its officers, agents or employees.

Federal funds from the Texas Workforce Commission to provide adult edification and literacy
classes throughout the Brazos Valley counties during the period of June 1, 2020 until June 30, 2021.
The purpose of this agreement is to clarify the roles and responsibilities of the parties involved in
providing adult educational and literacy services to undereducated customers in Brazos County
Detention Center. This Memorandum of Understanding (MOU) between the Brazos County
Detention Center (BCDC) and Brazos Valley Council of Governments/Workforce Solutions
Brazos Valley outlines the non-financial agreement between each party.

■ Curriculum and other instructional materials that are research based to be effective for
instruction along with classroom teaching supplies for customer use,
■ Professional development. necessary to strengthen the ability to serve individuals who
have barriers to employment, including individuals with disabilities;
■ Required reporting to the Brazos Valley Council of Government/Workforce Solutions
Brazos Valley Board;
■ Flexible class times, as allowed, to meet the needs of adult learners at BCDC;
■ Orientation to AEL Program requirements and enroll qualified stridents at BCDC for high

■ Payment directly to the Brazos Valley Council of Governments/Workforce Solutions
Brazos Valley Board's AEL Subcontractor for the administration of high school
equivalency testing to BCDC inmates who have participated in the adult education and
literacy training and have been identified as proficient in instruction to be tested on the
subject matter;
■ Provide payment directly to testing agency when and if available, covering costs associated
with inmates at BCDC, who have participated in the adult education and literacy training
and have been identified as proficient in instruction to be tested on the subject matter;
■ Coordination with Workforce Solutions Brazos Valley Board and their Subcontractor to
provide services to all recipients of workforce development and Adult Education and
Literacy services at BCDC;
■ Office staff with the professional development necessary to assist Brazos Valley Council
of Governments/Workforce Solutions Brazos Valley vAth the ability to serve individuals
at BCDC, who have barriers to employment, including individuals with disabilities.
Both parties agree to provide:
■ Share the responsibility for student eligibility determination and assessment testing and
promote the utilization of Workforce services to its students;
■ Share information regarding the availability of services, education and training services,
employment opportunities, availability of supportive services and accept eligible
applicants into applicable programs for the provision of appropriate services;
■ Maintain the confidentiality of records and agree and acknowledge that all information is
confidential by law and will only be used for the purposes set forth in this agreement;
■ Participate in joint planning, as appropriate;
■ Exchange information and coordinate activities and programs for a more streamlined
and efficient adult education and literacy program;
■ Provide cross training between the staff of the parties regarding policies and
procedures, as requested or needed;
■ Identify opportunities for collaboration, coordination, and elimination of barriers for
effective service delivery;
■ Use consumer data only in the administration of the Parties' programs.
I. Allocation of Costs
The participants in this agreeinenit assume full responsibility for their respective costs
associated with the performance of the terms of this Agreement. In no event, except as may
be provided in a Supplemental Agreement, shall any party be obligated to pay or reimburse
any expense incurred by another party under this Agreement.

II. Subcontracts
All subcontracts or other agreements entered into by the parties to fulfill the purpose of this
Agreement must require subcontractors or .other parties to fulfill the respective party's
requirements described in the Allocation of Costs section. A copy of any such subcontract(s)
or agreement(s) entered into by a party shall be provided to the other party in this agreement.
III. General Provisions
The parties understand that each party should be able to fulfill its responsibilities under this
Agreement in accordance with the provisions of the law and regulations governing the party's
activities, Nothing in this agreement is intended to negate or otherwise render ineffective any
such provisions or operating procedures. The parties assume full responsibility for their cost and
performance under the terms of this Agreement.
If at any time either party is unable to perform its functions under this Agreement consistent with
such parry's statutory and regulatory mandates, the affected party shall immediately provide
written notice to the other parties to establish a date for resolution of the inatter.
Comply with the Federal requirements against Prolubition on Trafficking persons found in the
Trafficking Victims Protection Act of 2000 (TVPA), as amended (22 U.S.C. 57104(g)).
Comply with Title V1 of the Civil Rights Act of 1964 (PL 88.352) and in accordance with Title VI
of that act, no person in the United States shall, on the grounds of race, color, or national origin,
be excluded from participation in, denied the benefits of, or be otherwise subjected to
discrimination of the delivery of services.
Comply with Section 504 of the Rehabilitation Act of 1973, as amended (29 U.S.C. 794), which
prohibits discrimination on the basis of disability.
Comply with the requirements of the Americans with Disabilities Act of 1990, PL 101336, 101St
Congress, 2nd-Session,104 Stat,327 (July. 26,.1990).
Any dispute between the Brazos County Office of Sheriff and Blinn College Adult Education
regarding this MOU will be governed by Alternative Dispute Resolution for Use by
Governmental Bodies, Chapter 2009, Texas Government Code, and any applicable Model Rules
promulgated by the Office of the Attorney General and/or the State Office of Administrative
Hearing of the State of Texas. Any notice of dispute tendered by Performing Party should be
addressed to the President of the Receiving Party,
In case any provision hereof should be held to be illegal, invalid or unenforceable in any respect,
such illegality, invalidity or unenforceability shall not affect any other provision of this MOU,
and this MOU shall be construed as if such invalid, illegal or unenforceable provision had never
been included in this MOU.
This MOU constitutes the entire agreement hereto with respect to the subject platter hereof,

and supersedes any prior understanding or written or oral agreements between the parties
with respect to the subject matter of this MOU. No amendment or modification of the terms
of the MOU shall be binding on either party unless the same is in writing, dated subsequent
to the date hereof, and is duly executed by the party against whom enforcement is sought.
Each person signing this MOU on behalf of a party hereby confirms for the benefit of the
other party to this MOU that any requisite approvals from the governing body of such party
have been obtained, and all prerequisites to the execution, delivery and performance hereof
have been obtained by or on behalf of that party. Execution and delivery of the MOU by
exchange of email or fax copy bearing the signature of a party will constitute a valid and
binding execution and delivery of the MOU by such party.
IV. Compliance with the Prison Rape Elimination Act
The Brazos County Detention Center, as an operation of the Brazos County Sheriffs Office, will
comply with the Prison Rape Elimination Act (PREA). The Detention Center has a Zero
Tolerance Policy regarding sexual abuse and sexual harassment. The Detention Center will
conduct a background investigation on all proposed employees, volunteers, or other contractors
that may have contact with inmates. Background checks will be conducted at least every five
(5) years for all contractors.
The BCDC shall ensure that all volunteers and contractors who have contact with inmates have
been trained on their responsibilities under the agency's sexual abuse and sexual harassment
prevention, detection, and response policies and procedures. Any contractor or volunteer who
engages in sexual abuse is prohibited from contact with inmates and shall be reported to law
enforcement agencies and to relevant licensing bodies, unless the activity was clearly not
criminal. The facility will take appropriate remedial measures and prohibit further contact with
inmates in the case of violation of sexual abuse or sexual harassment policies by the contractor.
The contractor has an affirmative duty to disclose any misconduct in violation of the sexual
abuse and sexual harassment policy. Material omissions regarding such misconduct, or the
provision of materially false information, are grounds for termination of this agreement.
V. Amendment or Cancellation of the Agreement
The Agreement may be amended at any time in writing and by mutual consent of the parties.
The Agreement may be cancelled by either party upon 30 days written notice to the other party,
unless the cancellation is for cause -Le., a material and significant breach of any provisions of this
Agreement -in which case it may be cancelled upon, delivery of written notice to the other party.
This agreement is effective on the slate of execution and. will remain in effect until either party
cancels the.agreement or june 30, 2021. The parties to this agreement reserve the right to modify
the scope, direction, structure and content of this agreement based upon legislative changes,
Texas Workforce Commission directives and availability of funding or other circumstances as
warranted and agreed upon by both parties.

VI. SIGNATORY AUTHORITY:
The -undersigned parties bind themselves to faithful performance of this Agreement. The

mutually understood that this Agreement shall not become effective until approved by all
parties involved. It is the Parties' -intent that without -regard to the date -upon which final

This Agreement is entered into by and between the Nueces County Juvenile Board, at the request of and
on behalf of the Nueces County Juvenile Probation Department (collectively referred to as "Juvenile
Probation") and Brazos County Juvenile Probation Department.
ARTICLE I
PURPOSE
1.01 The purpose of this Agreement is to provide twenty-four (24) hour secure detention services in
the NUECES COUNTY JUVENILE DETENTION CENTER located at 2310 Gollihar Road,
Corpus Christi, Texas. The juveniles detained are ordered by a court which is referred for an act
of delinquent conduct or an act indicating a need for supervision, during pre-trial and pre-
dispositional status or during the post-dispositional stay prescribed by the Court.
ARTICLEJI
TERM
2.01 The term of this agreement is for 24 months, commencing September 1, 2020 and ending
August 31, 2022, unless one party notifies the other in writing, at least thirty (30) days prior to
the expiration of said term, of its intention to end this Agreement.
ARTICLE III
SERVICES
3.01 Nueces County operates the Nueces County Juvenile Detention Center; also referred to as "the
Detention Facility". The Nueces County Juvenile Board, in order to cagy out and conduct its
juvenile program in accordance with Title III of the Texas Juvenile Justice Code has need of the
use of detention facilities to house and maintain children of juvenile age, referred for an act of
delinquent conduct or an act indicating a need for supervision during pre-trial and pre -disposition
status.

3.02 The Nueces County Juvenile Detention Center is designed to be a certified juvenile detention
facility as defined by Article 51.12(a)(3) of the Texas Family Code; and has been duly inspected
and certified as being suitable for the detention of juveniles as provided by Section 51.12{c} of
the Texas Family Code and has certified compliance as required by Section 51.12{c}; and to
provide detention set -vices for accused children as may be necessary inorder to protect the
accused.. child or to protect.the public from harm by court ordered at the Nueces County Juvenile
Detention Center in accordance with Section 54.01 of the Texas Family Code; and the Nueces
County Juvenile Detention Center desires to maintain juveniles in detention only as allowed by
law.
3.03_ Nueces County Juvenile Detention Center will provide room and board, supervision on a twenty-
four hours per day, seven days per week basis, (but shall not pay for emergency examination,
treatment or hospitalization) and a program of education and recreation_ to each child placed
within the facility.
ARTICLE IV
COMPENSATION
4.01 For and in consideration of the above-mentioned services, Juvenile Probation agrees to pay the
Service Provider the sum of $100.00 per day for each juvenile, admitted under "Moderate" Level
of Care. The daily rate shall be paid to the Service Provider from the initial intake date through
the date prior to the exit date. There will be no charge on day of exit.
4.02 In the event_ a high-risk suicidal child is in the facility and additional staff is required to meet the
needs of the child, an additional charge of $10.00 per hour for each hour the child is on a 1 to 1
suicide supervision ratio will be added to the bill.
4.03 Nueces County will submit an invoice for payment of residential services to the contracting
Juvenile Probation Department on a monthly basis. The invoice will include the juvenile's name,
daily rate and the number of days placed at the facility for each contracted juvenile. In addition,
(when applicable) a separate invoice will be billed along with copies of medical expenses
incurred by each juvenile for drug prescriptions, dental care, and eye care, X -Rays,
hospitalization and any medical services performed outside of Nueces County facility. Payments
shall be paid by contracting Juvenile Probation in a timely manner.
4.04 If an emergency examination, EMS treatment, health care treatment, and/or hospitalization
outside the Facility ("Outside Treatment") are required for a child placed in the Facility, the
Administrator of the Facility is authorized to secure the Outside Treatment at the expense of the
contracting Juvenile Probation Department. The Administrator shall notify Juvenile Probation of
outside treatment within twenty-four (24) hours of its occurrence.

ARTICLE V
ADDITIONAL TERMS AND AGREEMENTS
5.01 If in the sole discretion of the Nueces County Juvenile Probation Department's Chief Juvenile
Probation Officer or designee, (hereafter called Administrator) there is a need Prior to
transporting the child to the facility for placement, the official authorizing placement shall call the
facility to ensure that space is available. The detention needs of Nueces County shall take
precedence over those of contract jurisdictions and placement of children from contract
jurisdictions may be denied if there is no available space in the sole discretion of the
Administrator.
5.02 The contracting Juvenile Probation Department shall ensure that children detained in the facility
will be under a proper order of the juvenile court, and the Administrator will be furnished a copy
within twenty-four hours or one working day of the child's admission to detention.
5.03 Each child placed in the facility shall be required to follow the rules and regulations of the facility
as fixed and determined by the Administrator and his staff.
5.04 Nueces County has resolved to operate the detention facility in compliance with the Juvenile
Justice and Delinquency Prevention Act, and therefore will not accept from contracting
jurisdictions children whose detention would prevent the facility from complying with the
Juvenile Justice and Delinquency Prevention Act. Section 223. (a) (12) (A) provides that
"juveniles who are charged with or have committed offenses that would not be criminal if
committed by an adult or offenses which do not constitute violations of valid court orders, or such
tion -offenders as dependent or neglected children, shall not be placed in secure detention facilities
or secure correctional facilities". In no event will the Nueces County be under any obligation to
accept a child who is deemed inappropriate.
5.05 If a child is accepted and such child thereafter is found to be, in the sole judgment of the
Administrator, mentally unfit, dangerous or unmanageable, or whose mental or physical
health/condition might endanger the other occupants of the facility,, then in the Administrator's
sole judgment, upon such determination and notification by the Administrator to the contracting
county Probation Office, a Juvenile Probation Officer or Deputy Sheriff of that jurisdiction shall
immediately and forthwith remove such child from the detention facility. Notice of such removal
will be given to the contracting county for the juvenile to be removed from the Nueces County
Juvenile Detention Center within eight (8) hours, when notified that the facility is overcrowded,
or the juvenile has become unmanageable. Children who are intoxicated or in need of immediate
medical attention will not be accepted under any circumstances without having been seen treated
and released by a medical professional.
5.06 Nueces County agrees that facility will accept any child qualified hereunder, without regard to
such child's religion, race, creed, color, sex, or national origin.
5.07 The contracting county Juvenile Probation Department agrees to provide the Nueces County
Juvenile Probation Department the names of all persons authorized to visit children placed in the
facility. Visitors must be jointly approved by the child's caseworker and Administrator. And
ensure that a representative of that department maintains close and frequent communication with
the child and detention staff regarding any pertinent activity. The contracting department shall
report all significant incidents regarding an unauthorized departure from the facility, child's
medical and psychological problems, suspected or alleged child abuse and needs, as well as a

profile of the child's behavior during the admission process immediately or within twenty-four
(24) hours. Also, in applicable cases a report will be made to the State Licensing Agency (TJJD,
TDPRS, TACADA, Law Enforcement, etc.) Further, the Administrator shall be informed of the
status of the child while in detention and shall be informed of all court dates and times so
appropriate arrangements can be made.
5.08 The contracting county agrees to order parents or guardian to assume financial responsibility for
damage or loss of property at the facility due to the action of a child placed in the facility.
5.09 It is understood and agreed by the parties hereto that children placed in the facilities under the
proper order of the Juvenile Court shall be maintained therein except that the staff of the
contracting jurisdiction may take the children under supervision from the facility to court
hearings, counseling sessions, medical/dental appointments or other places as determined by
contracting jurisdiction. The staff of the contracting jurisdiction will be required to give adequate
warning as to when the e child will be removed, expected return time and will sign a temporary
release form.
5.10 It is further understood and agreed by the parties hereto that children placed in the facility shall be
removed there from by Juvenile Department, its agents, servants, or employees at the expiration
of the detention order under which the child is being detained unless a new Order has been issued
authorizing the continued detention, and a copy of such Order has been delivered to the facility.
A copy of the Order issued pursuant to waiver shall be furnished promptly to the facility.
5.11 It is further understood and agreed by the parties hereto that children placed in the facility shall
not be removed prior to the expiration of the Court Order except by a Probation Officer of the
contracting jurisdiction or without delivery of an Order for Release signed by the Judge of the
Juvenile Court of Juvenile Probation Department.
5.12 It is further understood and agreed that nothing in this contract shall be construed to permit the
Juvenile Probation Department, its agents, servants, or employees in any way to manage, control,
direct or instruct its servants or employees in any manner respecting- any of their work, duties or
functions pertaining to the maintenance and cooperation of the facilities.
5.13 It is further understood and agreed that the contracting county agrees to transport juveniles to and
from court hearings in restraints (handcuffs and leg irons) with personal property to include
medications in a locked container which will be kept apart from the juveniles during
transportation.
5.14 Under Section 231.006, Family Code, the vendor or applicant certifies that the individual or
business entity named in this Agreement, bid or application is not ineligible to receive the
specified grant, loan or payment and acknowledges that this Agreement may be terminated, and
payment withheld. if this certification is inaccurate.

ARTICLE VI
TERMINATION
6.01 In the event of a default of either county may cancel or suspend the contract and Nueces County
shall be entitled to recovery for all services provided prior to the cancellation date or shall repay
any funds advanced for services not yet rendered or other services that are in question as a result
of any audit. Nueces County shall be responsible for reimbursing for services associated with
questioned costs as a result of deficiencies found during the course of any site visits conducted
prior to the termination of the contract.
This Agreement may be terminated:
A. By either party upon thirty (30) days written notice to the other party of the intention to
terminate; or
B. Upon expenditure of available funds.
ARTICLE VII
SOVEREIGN IMMUNITY
7.01 This Agreement is expressly made subject to Nueces County's Sovereign Immunity, Title 5 of the
Texas Civil Practices and Remedies Code, and all applicable federal and state law. The parties
expressly agree that no provision of this Agreement is in any way intended to constitute a waiver
or any immunities from suit or from liability that the Nueces County has by operation of law.
Nothing in this Agreement is intended to benefit any third -party beneficiary.
ARTICLE VIII
DUTY TO REPORT
8.01 As required by §§261.101 and 261.405 of the Texas Family Code, Service Provider shall report
any allegation or incident of abuse, exploitation or neglect of any child (including but not limited
to a juvenile that has been placed by Juvenile Probation) within -twenty-four (24) hours from the
time the allegation is made, to all of the following:
A. Local law enforcement agency (such as the Corpus Christi Police Department or Nueces
County Sheriff's Office);
B. Texas Juvenile Justice Department by submitting a TJJD Incident Report Form to facsimile
number 1-512-424-6717 (or if unable to complete the form within 24 hours, then by calling
toll-free 1-877-786-7263, followed by submitting the report within 24 hours of said call); and
C. Brazos County Juvenile Probation Department to facsimile number (979) 823-4211
(ATTN: Chief Probation Officer),

ARTICLE IX
MISCELLANEOUS PROVISIONS
9.01 The contracting county hereby certifies that funds are available for the current fiscal year for
payments anticipated under the terms and conditions of this agreement. This Contract and
Agreement is a Contract providing for the care of children who have allegedly committed an act
of delinquency or an act indicating a need for supervision for such children placed in the facility
from the county having juvenile jurisdiction.
9:02 Nueces County, as required for the TJJD State Financial Assistance Contracts, hereby agrees to
the following:
A. Provide secure detention for juveniles referred for delinquent conduct and have the juvenile
available for return to the Court as requested by the contracting agency. To provide
educational services for all juveniles placed in detention as available.
B. Juveniles will attend class on a daily basis and participate in all programs of the facility. The
detention facility staff will provide disciplinary reports prior to detention hearings and will
notify the contracting agency if the child is injured or ill and requires medical attention.
C. Detention will provide safety for the community as well as aid in reducing recidivism.
9.03 Nueces County shall comply with all applicable federal and state regulations and with
Department policies and procedures regarding services delivered under this contract. This
provision includes but is not limited to those regulations and policies directly or indirectly
addressed by this contract.
9.04 Nueces County shall also provide certification of eligibility to receive state funds as required by
the Texas Family Code Section 231.006.
9.05 Nueces County hereby represents and warrants that it has all necessary right, title, license and
authority to enter into this contract.
9.06 Nueces County further represents and warrants that it is qualified to do business in the State of
Texas. There are no taxes due and owing to the State of Texas, or any political subdivision.
thereof, it holds all necessary licenses and certifications to operate the type of services being
contracted for, it is in compliance with all statutory and regulatory requirements for its operation.
9.07 This contract will be governed and construed according to the laws of the State of Texas. This
contract is performable in Nueces County, Texas.
9.08 Nueces County shall conduct regular financial and programmatic monitoring of all service
provider subcontractors to ensure performances and compliance with contractual provisions.
9.09 This Contract shall not be construed as creating any debt by or on behalf of the Government of
the State of Texas or the United States.

9.1.0 The contracting county is responsible for closely monitoring Nueces County and the exercising of
reasonable care to enforce all terms and conditions of this contract. Nueces County agrees that it
will permit the county to examine and evaluate its program of services provided under the terms
of this contract and to review client's records on a periodic basis. The examination and evaluation
of the program will include site visitation, observation of programs in operations, interview and
the administration of questionnaires to the staff of the Contractor and the clients when deemed
necessary.
ARTICLE X
EXAMINATION OF PROGRAM AND RECORDS
10.01 Service Provider agrees that it will permit Juvenile Probation to examine and evaluate its program
of services provided under, the terms of this Agreement and/or to review its records periodically.
This examination and evaluation of the program may include site visitation, observation of
programs in operation, interview and the administration of questionnaires to the staff of Service
Provider and the children when deemed necessary.
10.02 Service Provider shall provide to Juvenile Probation such descriptive information on contracted
children as requested on forms provided by Juvenile Probation.
10.03 For purposes of evaluation, inspection, auditing or reproduction, Service Provider agrees to
maintain and make available to an authorized representative of the State of Texas or Juvenile
Probation any and all books, documents or other evidence pertaining to the costs and expenses of
this Agreement.
10.04 Service Provider shall retain and make available to Juvenile Probation all financial records,
supporting documents, statistical records, and all other records pertinent to the Agreement for a
minimum of seven (7) years, or until any pending litigation, claim, audit or review and all
questions arising there from have been resolved, and shall make available for Juvenile
Probation's inspection, all contractual. agreements with Service Provider's subcontractors for
services related to this Agreement.
10.05 Service Provider understands that acceptance of funds under this Agreement acts as acceptance of
the authority of the State Auditor's Office, or any successor agency, to conduct an audit or
investigation in connection with those funds. Service Provider further agrees to cooperate fully
with the State Auditor's Office or its successor in the conduct of the audit or investigation,
including providing all records requested. Service provider will ensure that the foregoing clauses
concerning the authority of the State of Texas to _audit. and the requirement to cooperate is
included in any subcontract or arrangement Service Provider enters into in which funds received
under this Agreement form all or part of the consideration.
ARTICLE XI
CONFIDENTIALITY OF RECORDS
11.01 Service Provider shall maintain strict confidentiality of all information and records relating to
children involved in Juvenile Probation and shall not re -disclose the information except as
required to perform the services to be provided pursuant to this Agreement, or as may be required
by law.

ARTICLE XII
VENUE
12.01 Exclusive venue for any litigation arising from this Agreement shall be in Nueces County, Texas.
ARTICLE XIII
EQUAL OPPORTUNITY
13.01 Nueces County agrees that in the performance of this contract, it will not discriminate against any
employee or applicant because of race, religion, color, sex, age, or national origin and it will
comply with Executive Order 11246, entitled "Equal Employment Opportunity", as amended by
Executive Order 11375, and as supplemented in Department of Labor Regulations (Title 41 CFR
Part 60N Nueces County assures that no person will, on the grounds of race, creed, color,
handicap, national origin, sex, political affiliation or beliefs, be excluded from, be denied the
benefit of, or be subject to discrimination under any program or activity funded in whole or part
under this contract. Prohibited discrimination shall constitute substantial failure by Nueces
County to fulfill its obligations and contracting county may terminate for default as provided by
this contract.
13.02 Nueces County shall comply with all applicable requirements of the Americans with Disabilities

ARTICLE XIV
PRISON RAPE ELIMINATION ACT
14.01 Service Provider shall adopt and comply with all federal, state, county, and city laws, ordinances,
regulations and standards applicable to the provision of services described herein and the
performance of all obligations undertaken pursuant to the Contract, including the Prison Rape
Elimination Act of 2003 (PREA) which establishes a zero -tolerance standard against sexual
assault of incarcerated persons, including juveniles, and addresses the detection, elimination,
prevention, and reporting of sexual assault in facilities housing adult and juvenile offenders
[PREA§ 115.312(a)].
Under PREA, Service Provider shall make available to the Chief Probation Officer all incident -
based aggregated data reports for every allegation of sexual abuse at its facility or facilities, and
all such data may be requested by the Department of Justice from the previous calendar year no
later than June 30' [PREA § 115.87E and (f)].
Under PREA, the Service Provider shall be subjected to annual contract monitoring by Juvenile
Probation to ensure that the Service Provider is complying with the PREA standards [PREA
§115.312 (b)]. To comply with this standard, the Service Provider will make available to the
Chief Probation Officer all incident -based aggregated sexual abuse data within 24 -hours of the
allegation.
Under PREA, Juvenile Probation will make the aggregated sexual abuse data for each Service
Provider available to the public via the Juvenile Probation website [PREA§ 1 I5.389(b)].

ARTICLE XV
AMENDMENT
15.01 Juvenile Probation may amend, modify or alter the terms of this Agreement and specify an
effective date thereof. Juvenile Probation will then notify Service Provider in writing, dated
subsequent to the date hereof, of such changes and their effective date. Continuation of services
after the effective date by Service Provider will signify its acceptance of these changes. If Service
Provider declines to accept changes made by Juvenile Probation, Service Provider may terminate
this Agreement subject to the conditions herein.
ARTICLE XVI
WAIVER OF SUBROGATION
16.01 Service Provider expressly waives any and all rights it may have of subrogation to any claims or
rights of its employees, agents, owners, officers, or subcontractors against Juvenile Probation.
Service Provider also waives any rights it may have to indemnification from Juvenile Probation.

This Agreement is entered into by and between Nueces County Juvenile Board, at the request of and on
behalf of the Nueces County Juvenile Probation Department (collectively referred to as "Service
Provider") and Brazos County Juvenile Probation Department (referred to as "Juvenile Probation")
concerning residential care services provided at the Robert N. Barnes Regional Juvenile Facility by the
Nueces County Juvenile Department pursuant to license granted by the Texas Juvenile Justice
Department, and/or any other appropriate State agency with licensure or regulatory authority over the
facility.
ARTICLE I
PURPOSE
1.01 The purpose of this. Residential Services Agreement is to provide Juvenile Probation with long
term residential care for children adjudicated to have committed delinquent conduct or conduct
indicating a need for supervision. The placement facility to be utilized operated by Service
Provider, and is located at 2310 Gollihar Road, Corpus Christi, Texas 78415.
ARTICLE II
TERM
2.01 The term of this agreement is for 24 months, commencing September 1, 1020 and ending
August 31, 2022, unless:one party notifies the other in writing, at least thirty (30) days prior to
the expiration of said term, of its intention to end this Agreement.

ARTICLE III
SERVICES
3.01 Service Provider will provide the following level of care services:
A. Basic Level of Care (General Offender):
1. Consists of a structured, supportive residential setting that is; designed to maintain or
improve the child's functioning.
2. Includes routine supervision and guidance to ensure the child's safety, involvement in
age;appropriate structured activities educational and rehabilitative services, and.guidance
from professionals or paraprofessionals "to help attain or improve functioning appropriate
to the child's age and development. The program is for juveniles ages 14-17.

B. Specialized Level of Care:
1: Consists of a structured, residential treatment setting designed to 'improve the child's
functioning.
2. Includes routine supervision, intervention and therapeutic services to. ensure the child's
safety, involvement in age-appropriate structured activities, educational and rehabilitative
services, and guidance fiom profession als and paraprofessionals to help attain or improve
functioning appropriate to the child's age and development.
3. Services reflect a full range of treatment and rehabilitative interventions including
educations, social, recreational and psychoeducational and include a .focus on a clearly
identified specialized population limited to substance abuse, mental health treatment,
trauma treatment and female offenders ages 14-17.
3.02 Service Provider will perform the following services:
1. Medical Services:
The program contracts the services of a general practitioner who provides routine medical care to the
residents twice a week. The general practitioner will refer residents for emergency and/or specialized
care to Driscoll Children's Hospital, X -Ray On Wheels, Minor Emergency Clinic, and Dental
Services on an as needed basis.
2. On Call Medical Services:
The doctor is on-call 24 hours per day, seven days a week, for the treatment of acute illness or injury.
Emergency cases will be transported to either an After -Hours Emergency Center or Driscoll
Children's Hospital via transport by the department or Corpus Christi Ambulatory Services.
3. Nueces County Health Department:
(HIV/AIDS Prevention Education): Residents may (on a volunteer basis) request to be tested for
sexually transmitted infections: The Health Department, complies with .HIPAA (Health Insurance
Portability and Accountability Act of 1996) when providing test results and consultation.
Additionally, the Health Department contracts services with the Men's and Women's Health Services
of the Coastal Bend to provide,sex education. classes with particular emphasis on STD/HIV/AIDS.

4. Psychiatric services:
Nueces Center for Mental Health and Intellectual Disabilities (MHID) is available for residents who
struggle with mental illness. Residents may request to meet with the juvenile department's Mental
Health Supervisor to discuss current issues and symptomology indicating fi►rther evaluation by a
psychiatrist.
5. On -Call Crisis Services:
The Mental Health Department for Nueces County Juvenile Probation Department is on-call 24 hours
per day to assess and make recommendations for the supervision of any resident who states they have
ruminating thoughts of committing suicide or self -harm.
6. Educational Services:
The resident will be enrolled in the Corpus Christi Independent School District (CCISD). CCISD
follows a state approved curriculum for middle school and high school to meet each student's
academic needs. The students can supplement their academic learning by means of computer-based
education programs which are available in the facility's computer lab.
1. Resident will be enrolled in CCISD upon intake and will be placed in the appropriate grade level
2. Special Education Services are available and provided on-site by certified teachers
3. 504 and additional services will be available for those residents who fall into special needs
category
4. No less than 5 1/2 hours of educational services will be provided (5) days a week. (Exceptions
and holidays are annotated on the CCISD School Calendar)
7. GED Preparation Program:
CCISD also provides the GED Preparation Program to residents 16 years old and older. The GED
program is facilitated onsite and when the student is ready, the program will pay for the resident to
take their GED test. Facility staff will transport the resident to the Del Mar Community College
Testing Center. Final GED test results can be obtained within 24 hours.
8. College entrance exam preparation:
If a resident obtains their GED, or High School diploma while in the facility, attempts will be made to
assist resident with college entrance preparation such as registering for ACT/SAT, and TSI.
9. Program Components:
There are eight program Component Workbooks you must complete as you progress through the
program. Each component is designed to help you learn and practice pro -social skills to help you be
successful here in the program and within the community once you graduate. The skills you will learn
as you progress through this program will help you bridge the gap and improve on who you are as a
person. The information in the components will also be on the Stage Exam you are required to take
prior to being promoted to each stage.

10. Facility Therapeutic Assignments:
As part of the program assignments you will be required to complete a Aly Story, Our Story, Typed
Story and read your completed story once you complete the Graduate Stage, at your Definitional
Ceremony. The Ady Story is a review of your life and what led you to being in this facility. It is an
opportunity for you to take responsibility for yourself and your action and it is completed by you. The
Our Story is to be completed with your parent/guardian either together (face to face) or through phone
conference. It is designed to have you learn from your parents about you and learn more about them.
It allows your parents to have a voice in what their experiences are, and their experiences with you.
This should be seen as a time to bond and begin the healing process with your family support system.
Next, you will take both the Afy Story and Our Story and combine them into a Typed Story. This typed
version should be the most accurate reflection of you, your family, your offense history and what led
up to your crime, your accomplishments; as well as your goals for the future. This assignment will be
reviewed throughout your time here and you will be expected to make corrections as needed. See
Stages below to learn more about when theses assignments are due.
11. Counseling Services:
All residents will participate is some aspect of therapy. We offer multiple groups for residents
needing behavior modification, substance abuse treatment and trauma treatment. Some of the group
services being offered include prosocial skills, anger management, substance abuse education,
substance abuse treatment for co-occurring disorders, cognitive skills group, and art. We also offer
individual counseling services to all residents regardless of what program they are court ordered to
participate in. We use cognitive behavioral approaches including trauma focused cognitive behavioral
therapy (TF -CBT), dialectical behavioral therapy (DBT), narrative therapy, sand tray and reality
therapy. As a part of the program all residents are offered family counseling. We will work with our
out -of -county residents to set up sessions on visitation day or via online tele counseling. Family
therapy is a critical component and having the families involved in necessary for the success of the
resident.
12. Online Counseling:
Videoconferencing/Teleconferencing is available upon request. Communication with residents,
program case management staff, counselors and/or service providers is available via
videoconferencing and traditional telephone conferences if necessary, for continuation of services and
continuity of care for all residents.

a. Seeking Safety: For this group we use the Seeking Safety curriculum in order to help residents
attain safety from trauma and/or substance abuse. The Seeking Safety curriculum directly
addresses both trauma and addiction, without requiring residents to delve into their trauma

narrative, thus making it relevant to a very broad range of clients and easy to implement. Our goal
is to help residents gain knowledge about Post Traumatic Stress Disorder (PTSD) and drug use.
This group educates residents about what PTSD is and how it may affect their life. This group
also educates residents on substance use and how this affects their life as well. This group allows
residents the opportunity to learn new ways of dealing with PTSD symptoms and exploring new
ways of increasing supports to assist in recovery from their PTSD and substance use.
b. Anger Replacement Training (ART): The counselors facilitate anger management groups using
Aggression Replacement Training (ART) curriculum and other anger management skills
curriculums which teach juveniles how to manage aggression and resolve their .anger in healthy
ways. The group introduces and teaches anger management skills with social skills and a moral
reasoning component. The group facilitator utilizes techniques and strategies to help residents
understand thoughts, feelings, choices, goals and the outcomes of their behaviors. Thinking
errors are brought into sharp focus and assistance in identifying healthy ways to avoid anger and
use appropriate skills in resolving anger.
C. Cognitive Skills Group: For this group we utilize various curriculums including but not limited
to: Preparing Adolescents for Young Adulthood (PAPA), The Center for Clinical Interventions,
Overcoming Obstacles, etc. The goal of this group is to develop basic life skills, personal
knowledge, and skills related toresisting social influence. This group is run by using -education,
real life examples, role plays, and group discussion of topics. This group is designed to teach
residents helpful skills like relaxation, communication skills, budgeting and money management,
changing negative thinking; etc.
d. Council on Alcohol & Drug Abuse of the Coastal Bend (COADA-CB): Provides individual &
group counseling in the areas of prevention, intervention and treatment for alcohol and drug
abuse. COADA-CB utilizes two separate curriculums, The Matrix Model for Teens and Young
Adults, often referred to as "The Matrix" and the Cannabis Youth Treatment Series (C.Y.T.)
14. Alternative Therapies: Art classes/therapy, Yoga, Animal Assisted Intervention
Canine Assisted Activity Program: The facility has two canines that live on site (one in the
male unit a one in the female unit). The purpose of a trained canine is to facilitate and assist a
counselor, group, facilitator, intern, and staff in providing support and canine assisted activities to
the residents at the Robert N. Barnes Regional Juvenile Facility. The presence of a trained canine
will be used to promote feelings of acceptance, a reduction in anxiety related to treatment,
facilitation in developing a strong therapeutic rapport, a decrease in feelings of detachment, a
non-verbal 'avenue for expression of emotions, and support through the processing of trauma. It
will also support the level of activities that the therapist is qualified to provide. The residents will
be responsible for all care and training of the canine while the canine is on the unit. The Canines
are also utilized to help teach the resident's how to properly care for an animal, enhance the
resident's social skills, and to teach the resident new vocational skills that can transition into
futurejob opportunities.
b. Canine Handler: A resident can be chosen by staff to be the handler for the canine in the unit
(Male/Female). If a resident has demonstrated positive overall behavior, consistently making their
daily points, has positive leadership qualities, follows all the rules of the canine program, and
demonstrates he or she can form a relationship, and show respect for the canine, he or she can
qualify to be the handler. If you are interested -in this aspect of the program please speak with the
Facility Administrator, your case manager or the Mental Health Services Supervisors to be
considered.

c. The Council for Boys and Young Men: This is a curriculum designed for working with boys.
"The Council" is a strengths -based group model for youth ages 9-18 that addresses risk factors
and empowers boys and young men to find belonging, build assets, and deconstruct harmful
masculinity beliefs on their journey toward becoming .respectful leaders and connected allies in
their community.
d. Girl's Circle: This is a curriculum used with girls. Girl's Circle integrates relational theory,
resiliency practices, and skills training in a specific format. It is designed to increase positive
connections, personal and collective strengths, and competence in girls. Girls Circle aims to
counteract social and interpersonal for that impede girls' growth and development by
promoting an emotionally safe setting and structure within which girls can develop caring
relationships and use authentic voices.
e. After Care Services: Liberty Resources provides a comprehensive home-based intervention to
families and children for Nueces County residents.
15. Religious Services: Non -denominational services are provided for each resident on a volunteer
basis. These services can include church services, bible study, moral and ethical instruction, and
other religious functions and activities. The Ring of Champions is a faith -based program offering
youth incarcerated by the juvenile courts the opportunity to begin a long-term mentoring relationship
with an adult they can trust.
16. Volunteer and Internship Services: Volunteer services, as well as college internship programs
within the community support the Robert N. Barnes Regional Juvenile Facility Program. These
volunteers can perform hours of service, support, counseling, and educational care for the residents in
order to supplement aspects. of the program. All volunteers go through an application process, a
P.R.E.A. background screening and orientation.
17. Mentoring: All mentors go through an application process, a P.R.E.A. background screening and
orientation via the Volunteer Services Program. Residents may submit a written request for a mentor.
The mentor serves various functions but is most effective when providing an empathetic ear- for the
resident.
ARTICLE IV
EVALUATION CRITERIA
4.01 The performance of Service Provider in achieving the goals of Juvenile Probation will be
evaluated on the basis of the output and outcome measures contained in this section. Juvenile
Probation, at its discretion, may use other means or additional measures to evaluate the
performance of Service Provider in fulfilling the terms and conditions of the Agreement.
A. Juvenile Probation shall evaluate Service Provider's performance under this Agreement
according to the following specific performance goals for Service Provider:
1. Ensure children complete residential placement.
2. Prevent re -referrals of children during the six (6) months following release from
residential placement.

B. Juvenile Probation shall additionally evaluate Service Provider by the following output
measures (in actual numbers of units of service and activities):
1. The total number of children placed in residential placement.
2. The total number of children who were discharged from residential placement
successfully.
3. The total number of re -referrals of children discharged from placements within six (6)
months after release.
4. The total number of children who move down in their Level of Care.
5. The average length of time before a child moves down in the Level of Care.
C. Juvenile Probation shall further evaluate Service Provider by the following outcome
measures:
1. Percentage of children in residential placement who will complete their placement as a
successful discharge.
2. Percentage of children who have completed their placement and not re -referrals within
six (6) months -after release.
Notwithstanding the foregoing criteria for evaluation, nothing herein shall be construed as a
guaranty of outcome or performance by any child.
4.02 Service Provider ahaIl report on a monthly basis to Juvenile Probation as to each of the
foregoing output and outcome measures. These reports will be reviewed by Juvenile Probation
in order to monitor Service Provider for programmatic compliance with this Agreement.
ARTICLE V
COMPENSATION
5.01 -For and in consideration of the above-mentioned services, Juvenile Probation agrees .to pay the
Service Provider the daily rate per day for each juvenile admitted for the following Level of
Care:
A. Basic Level of Care $103.03
B. Specialized Level of Care $162.30
a. Substance Abuse
b. Trauma
The. daily rate shall be paid to the Service Provider from the initial intake date to the Post
Adjudication through the ,date :prior to the exit date. There will be no charge on day of exit.
5.02 Psychiatric services will be provided to the child on an as needed basis and shall be billed to the
Probation Department. The initial psychiatric/psychological evaluation for admission is required
prior to acceptance into the program that has been conducted in within the last 12 months.
5.03 Service Provider will submit an invoice for payment of services to the Juvenile Probation
Department on a monthly basis. Said invoice shall be submitted with ten (10) working days
following the end of the invoiced month and shall include information deemed necessary for
Adequate fiscal control, including ,but not limited to: to be attributed to specific clients if
appropriate, date service was rendered, total daily cost, and total monthly cost. Each invoice
received for payment will be reviewed by Juvenile Probation in order to monitor Service

Provider for financial compliance with this Agreement. Invoices submitted by Service Provider
in proper form shall be paid by Juvenile Probation in a timely manner.
5.04 If an emergency examination, EMS treatment, health care treatment, and/or hospitalization
outside the Facility ("Outside Treatment") are required for a child placed in the Facility, the
Administrator of the Facility is authorized to secure the Outside Treatment at the expense of the
Juvenile Probation. Juvenile Probation agrees to indemnify and hold the Service Provider, its
officers, administrator, representatives, agents, shareholders and employees fi-om any and all
liability for charges for Outside Treatment. The Administrator shall notify Juvenile Probation of
outside treatment within twenty-four (24) hours of its occurrence.
The Juvenile Probation Department shall make arrangements directly with vendors for the
provision of, and payment for, routine medical expenses, including without limitation,
hospitalization, prenatal services, and dental, for Post -Adjudication Program juveniles and other
juveniles for whom the Administrator has not elected to secure such services as provided herein
above.
Notwithstanding the foregoing, the Service Provider will endeavor to seek and obtain all
benefits available from other sources for eligible juveniles. Any income received by Service
Provider from sources other than this contract, including but not limited to medical insurance
coverage, or contributions from parents or others must be documented as to each juvenile for
whom a billing is submitted and deducted from the invoice submitted to the Juvenile Probation
Department. Documentation must include the.name(s) and SID numbers of the parties receiving
the services, the dates and time services were provided, and such other information deemed
necessary for adequate fiscal control.
5.05 Service Provider shall account separately for the receipt and expenditure of any and all state
funds received from Juvenile Probation under this contract. Service Provider shall account
separately for state funds received and expended utilizing the following Generally Accepted
Accounting Practices (GAAP):
A. Service Provider has an outside audit completed on a yearly basis which specifies receipt
and expenditure of State funds. Service Provider shall forward a copy of the annual outside
audit to Juvenile Probation by March 1 following the end of the fiscal year.
B. If Service Provider does not obtain an annual outside audit, then Service Provider shall
provide a separate accounting of funds received from Juvenile Probation in whole or in part
paid from state funds. The accounting shall clearly list the state funds received from Juvenile
Probation and account for expenditures of said funds including documentation of appropriate
expenditures as well as the year's tax forms and documentation. The accounting shall be
provided to Juvenile Probation thirty (30) days prior to the renewal date of the contract.
5.06 It is understood and agreed by Service Provider that this Agreement is funded in whole or in part
with grant or state funds and shall be subject to termination without penalty, either in whole or in
part, if funds are not available or are not appropriated by the Texas Legislature:
5.07 In the event that State Reimbursement Rates are increased during the duration of the terms of
this contract, the new rates will become effective reflecting those of the increase.
5.08 Service Provider agrees to make claims for payment or direct any payment disputes to Juvenile
Probation's Fiscal Officer. Service Provider will not contact other department employees
regarding any claims of payment.

5.09 Service Provider will provide certification of eligibility to receive State funds as required by
Texas Family Code Section 231.006.
5.10 Except to the extent that a party to this Agreement seeks emergency judicial relief, the parties
agree to negotiate in good faith in an effort to resolve any disputes related to this contract that
may arise, no matter when the dispute may arise. If a dispute cannot be resolved by negotiation,
the dispute shall be submitted to mediation before the parties' resort to arbitration or litigation.
The parties shall choose a mutually acceptable mediator to mediate the dispute, and the parties
shall pay the costs of mediation services equally.
ARTICLE VI
ADDITIONAL TERMS & AGREEMENTS
6.0.1 Prior to transporting a child to the Facility for placement, the official authorizing the placement
shall call the Facility to ensure that space is available. 'Placement of children by authorized
officers of Juvenile Probation may be denied if space limitations require as determined by the
Facility.
6.02 A child will only be accepted in the Facility upon receipt by the Facility Administrator of a
proper order from the Juvenile Court of the County and other documentation required by Service
Provider.
6.03 Each child placed in the Facility shall be required to follow the rules and regulations of conduct
as fixed and determined by the Administrator and staff of the Facility.
6.04 If a child is accepted by the Facility from Juvenile Probation and the child thereafter is
determined to be, in the sole judgment of the Administrator, mentally or physically unfit,
dangerous, or unmanageable, unsuitable for the program or combination of such conditions or
characteristics or whose mental or physical conduct would or might endanger the other occupants
of the Facility, then the Administrator shall notify the Juvenile Probation Department of this
determination. It will be the responsibility of Juvenile Probation to provide for the transportation
for the removal of the child and shall be removed as soon as practicable, preferably within (1)
working days after notification.
6.05 Service Provider agrees that the Facility will accept any child who qualifies, without regard to
such child's religion, race, creed, sex or national origin.
6.06 It is understood and agreed by the parties that children placed in the Facility under proper orders
of the appropriate Juvenile Court shall not be discharged from the Facility until the Administrator
of the Facility receives a written authorization from the Juvenile Probation Department that
originally detained the child.
6.07 It is further understood and agreed by the parties that children placed in the Facility may be
released to the Probation Officer or other appropriate authority of Brazos County.
6.08 It is further understood and agreed by the parties that nothing in this contract shall be construed to
permit Brazos County, its agents, servants, or employees in any way to manage, control, direct or
instruct Service Provider, its director, officers, employees, agents, shareholders and designees in
any manner respecting its work, duties or functions pertaining to the maintenance and operation
of the Facility. However, it is also understood that the Juvenile Court of Nueces County shall
control the conditions and terms of detention supervision as to a particular child pursuant to
Texas Family Code, Section 51.12.

6.09 Juvenile Probation reserves the right to terminate the client's placement with Service Provider at
its discretion. Service Provider must not release a client to any person or agency other than
Juvenile Probation without the express consent of an authorized agent of Juvenile Probation.
6.10 Under Section 231.006, Family Code, the vendor or applicant certifies that the individual or
business entity named in this Agreement, bid or application is not ineligible to receive the
specified grant, loan or payment and acknowledges that this Agreement may be terminated, and
payment withheld if this certification is inaccurate.
ARTICLE VII
EXAMINATION OF PROGRAM & RECORDS
7.01 Service Provider agrees that it will permit Juvenile Probation to examine and evaluate its program
of services provided under the terms of this agreement and/or to review its record periodically.
This examination and evaluation of the program may include site visitation, observation of
programs in operation, interview and the administration. of questionnaires to the staff of Service
Provider and the children when deemed necessary.
7.02 Service Provider shall provide to Juvenile Probation such descriptive information contracted
children as requested on forms provided by Juvenile Probation.
7.03 For purpose of evaluation, inspection, auditing or reproduction, Service Provider agrees to
maintain and make available to authorized representatives of the State of Texas or Juvenile
Probation any and all books, documents or other evidence pertaining to the costs and ecpenses of
this Agreement.
7.04 Service Provider will keep a record of all services provided to Juvenile Probation under this
Agreement, and upon reasonable notice will provide information, records, papers, reports, and
other documents regarding servicesfurnished as may be requested by Juvenile Probation. Service
Provider will maintain the records (as referenced above) for seven (7) years retention period after
the termination of this Agreement.
7.05 "Contractor understands that acceptance of funds under this contract acts as acceptance of the
authority of the State Auditor's Office, or any successor agency, to conduct an audit or
investigation in connection with those funds. Contractor further agrees to cooperate fully with the
State Auditor's Office or its successor in the conduct of the audit or investigation, including
providing all records requested. Contractor will ensure that this. clause concerning the authority to
audit funds received indirectly by subcontractors through the Contractor and the requirement to
cooperate is included in any subcontract it awards."
ARTICLE VIII
CONFIDENTIALITY OF RECORDS
8.01 Service Provider shall maintain strict confidentiality of all information and records relating to
children involved in Juvenile Probation and shall not re -disclose the information except as
required to perform_ the services to be provided pursuant to this Agreement, or as may be required
by law.

ARTICLE IX
DUTY TO REPORT
9,01 As required by §§261.101 and 261.405 of the Texas Family Code, Service Provider shall report
any allegations or incident of abuse, exploitation or neglect of any child (including but not limited
to a juvenile that has been placed by Juvenile Probation) within twenty-four (24) hours from the
time the allegation is made;
9.02 Attempted Suicides: All attempted suicides shall be reported by Service Provider
immediately, if possible, or within (24) hours;
9.03 All incidents of death, sexual abuse and serious physical abuse within 1 -hour to law enforcement
and Texas Juvenile Justice Department within 4 -hours;
Reported to the following:
A. Local law enforcement agency (such as the Nueces County Sheriff's Office);
B. Texas Juvenile Justice Department by submitting a TJJD Incident Report Form to facsimile
number 1-512-424-6717 (or if unable to complete the form within 24 hours, then by calling
toll-free 1-877-78&7263, followed by submitting the report within 24 hours of said call);
and
C. Brazos County Juvenile Probation Department to facsimile number (979) 823-4211
(Attn: Chief Juvenile Probation Officer).
ARTICLE X
DISCLOSURE OF INFORMATION
10.01 Service Provider warrants that, prior to entering this contract, it has verified and disclosed the
following information to Juvenile Probation, and agrees that it shall have an ongoing affirmative
duty under this Agreement to promptly ascertain and disclose in sufficient detail this same
information to Juvenile Probation:
A. Any 'and all corrective action required by any of Service Provider's licensing authorities;
B. Any and all litigation filed against the Service Provider, or against its employees, interns,
volunteers, subcontractors, agents and/or consultants that -have direct contact with juveniles;
C. Any arrest of any employee, intern, volunteer, subcontractor, agent and/or consultant of the
Service Provider that has direct contact with juveniles;
D. Any finding of "Reason to Believe" by a state regulatory agency in a child abuse, neglect and
exploitation investigation where an employee, intern, volunteer, subcontractor, agent and/or
consultant of the Service Provider that has direct contact with juveniles was the alleged or
designated perpetrator;
E. The identity of any of the Service Provider's employees, interns, volunteers, subcontractors,
agents and/or consultants that have direct contact with juveniles that are registered sex
offenders; and

F. The identity of any of the Service Provider's employees, interns, volunteers, subcontractors,
agents and/or consultants that have direct contact with juveniles that have a criminal history.
For the purpose of this Agreement, the term "criminal history" shall include: (1) current
felony or misdemeanor probation or parole; (2) a felony conviction or deferred adjudication
within the past ten years; or (3) a jailable misdemeanor conviction or deferred adjudication
within the past five years.
ARTICLE XI
EQUAL OPPORTUNITY
11.01 Service Provider agrees to respect and protect the civil and legal rights of all children and their
parents. During the performance of this contract the Service Provider agrees it:
A. Will not discriminate against any child, childcare provider; parent, employee or applicant for
employment'because of race, color, religion, sex or national origin including but. not limited
to employment, promotion, demotion, or transfer, recruitment or advertising, lay-off or
termination, rates of pay or other forms of compensation and selection for training; including
apprenticeship. The Service Provider agrees to post in conspicuous places, available to
employees and applicants for employment; notices to be provided` setting forth theprovision
of this non-discrimination.
B. Will, in all -solicitations or advertisement for employees placed by or on behalf of the Service
Provider, state that all qualified applicants for positions in the Facility, will receive
consideration for employment without regard to race, color, religion, sex, or national origin.
C. Shall abide by all applicable federal, state and local laws and regulations.
ARTICLE XII
ASSIGNMENT & SUBCONTRACT
12.01 Service Provider may not assign or subcontract any of its rights, duties and/or obligations arising
out of this Agreement without the written consent of Juvenile Probation.
ARTICLE XIII
OFFICIALS NOT TO BENEFIT
13.01 No officer, employee or agent of Juvenile Probation and no member of its governing body and no
other public officials of the governing body of the. locality or localities in, which the'project. is
situated or being carried who exercise any functions or responsibilities in the project, shall
participate in any decision relating to this Agreement which affects or conflicts with his/her
personal interest or have any personal or pecuniary interest, direct or indirect, in this Agreement
or the proceeds thereof-.

ARTICLE XIV
DEFAULT
14.01 Juvenile Probation may, by written notice of default to Service Provider, terminate the whole or
any part of this Agreement, as it deems appropriate, in any one of following circumstances:
A. If Service Provider fails to perform the work called for by this Agreement within the time
specified herein or any extension thereof, or
B. If Service Provider fails to perform any of the other material provisions of this Agreement,
including failure to achieve the defined goals, outcomes, and outputs, or so fails to prosecute
the work as to endanger the performance of this Agreement in accordance with its terms, and
in either of these two circumstances after receiving notice of default, Service Provider_ does
not cure such failure within a period of ten (10.) days.
C. ;:Except to the extent that a party to this Agreement seeks emergency judicial relief, the
parties agree to negotiate in good faith in an effort to resolve any disputes related to this
contract that may arise, no matter when the dispute may arise. If a dispute cannot be resolved
by negotiation, the dispute shall be submitted to mediation before the parties' resort to
arbitration or litigation. The parties shall choose a mutually acceptable mediator to mediate
the dispute, and the parties shall pay the costs -of mediation services equally.
D. The prevailing party in any lawsuit arising out of this Agreement will be entitled to
Attorney's fees from the other party, including actions for declaratory relief.
E. All notices required under this Agreement shall be in writing. They shall be sent by fax or by
registered U.S. mail, return receipt requested, to the party address. A party must provide
notice of a change of address during the term of this Agreement. Unless specified. otherwise,
notices required in this Agreement shall be deemed to have been received when actually
receive.
F. Captions in this Agreement are for convenience only and shall be deemed irrelevant in
construing the provisions of the Agreement.
G. The parties intend that, in construing and enforcing the provisions of the Agreement,
mediators and judges shall give maximum effect to the principles of contractual freedom and
contractual enforceability.
H. If any court finds any provision of this Agreement to be invalid or unenforceable, this
finding shall not affect the validity or enforceability of any other provision of the Agreement.
I. No express or implied waiver by any party of any right of that party under this Agreement in
any specific circumstance shall be considered to waive that right of that party in any other
circumstance.
J. The covenants and agreements in this Agreement are binding on and issued to the benefit of
the parties and their respective heirs, executors, administrators, legal representatives,
successors and assigns.

ARTICLE XV
TERMINATION
15.01 The term of this Contract shall be for a period of twelve months from the effective date: however,
if either party feels in its judgment that the contract cannot be successfully continued, and desires
to terminate this contract, then the party so desiring to terminate may do so by notifying the other
party in writing, by certified mail or personal delivery of its intention to terminated:
A. By thirty (30) days from the date of the of the intention to terminate; or
B. Upon expenditure of available funds.
15.02 If at any time during the term of this agreement Juvenile Probation, in its sole discretion,
determines that the safety of children being served under this Agreement may be in jeopardy,
Juvenile Probation may immediately suspend the effect of this Agreement, including but not
limited to the obligation to pay, upon giving notice to the Service Provider.
ARTICLE XVI
WAIVER OF SUBROGATION
16.01 Service Provider expressly waives any and all rights it may have of subrogation to any claims or
rights of its employees, agents, owners, officers, or subcontractors against Juvenile Probation.
Service Provider also waives any rights it may have to indemnification from Juvenile Probation.
ARTICLE XVII
SOVEREIGN rMMUNITY
17.01 This Agreement is expressly made subject to Nueces County Sovereign Immunity, Title 5' of the
Texas Civil Practices and Remedies Code, and all applicable federal and state law. The parties
expressly agree that no provision of this Agreement is in any way intended to constitute a waiver
or any immunities fi•om suit or from liability that Nueces County has by operation of law.
Nothing in this Agreement is intended to benefit any third -party beneficiary.
ARTICLE XVIII
REPRESENTATIONS & WARRANTIES
18.01 Service Provider hereby represents and warrants the following:
A. That it has all necessary right, title, license and authority to enter into this Agreement;
B. That it holds all necessary licenses.and staff certifications to provide the type (s) of services
being contracted for; that it is in compliance with all statutory and regulatory requirements
for the operations of its business and that there are no taxes due and owing to the State of
Texas, the County of Nueces or any political subdivision thereof;
C. That it carries sufficient insurance to provide protection to Juvenile Probation urid the
indemnity provisions_, as well as for any potential liability that arise form or related to this
Agreement; and

D. That all of its employees, interns, volunteers, subcontractors, agents and/or consultants will
be properly trained to report allegations or incidents of abuse, exploitation or neglect of a
juvenile in accordance with the requirements of Texas Family Code Chapter 261 and any
applicable Texas Juvenile Justice Department administrative rules regarding abuse, neglect
and exploitation allegations.
ARTICLE XIX
TEXAS LAW TO APPLY
19.01 This Agreement shall be construed under and in accordance with the laws of the State of Texas,
and all obligations of the parties created hereunder are performable in Nueces County, Texas.
ARTICLE XX
VENUE
20.01 Exclusive_ venue for any litigation arising from this Agreement shall be in Nueces County, Texas.
ARTICLE XXI
LEGAL CONSTRUCTION
21.01 In case any one .or more of the provisions contained in this Agreement shall for any reason be
held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or
unenforceable provision shall not affect any other provision thereof and this Agreement shall be
construed as if such invalid, illegal or unenforceable provision had never been contained therein.
ARTICLE XXII
.PRIOR AGREEMENTS SUPERSEDED
22.01 This Agreement constitutes the sole and only Agreement of the parties hereto and supersedes any
prior understandings or written or oral Agreement between the parties respecting the within
subject matter.
This Contract and Agreement is executed with the declared intention of the parties that this
Contract and Agreement is a contract providing for the care of children who have committed an
act of delinquency or an act indicating a need for supervision, and payment for such care will be
made by the county for the children placed in the Facility by the Judge of the county having
juvenile jurisdiction.

ARTICLE XXIII
PRISON RAPE ELIMINATION ACT
23.01 Service Provider shall adopt.and comply with all federal, state, county, and city laws, ordinances,
regulations and standards applicable to the provision of services described herein and the
performance of all obligations undertaken pursuant to the Contract, including the Prison Rape
Elimination Act of 2003 (PREA) which establishes a zero -tolerance standard against sexual
assault of 'incarcerated persons, including. juveniles, and addresses the detection, elimination,
prevention, and reporting. of sexual assault in facilities housing adult, and juvenile offenders
[PREA§ 115.312(a)].
Under PREA, Service Provider shall make available to the Chief Probation Officer all incident -
based aggregated data reports for every allegation of sexual abuse at its facility or facilities, and
all such data may be requested by the Department of Justice from the previous calendar year no
later than June 30°"[PREA .§I 15.87E and (f)].
Under PREA, the Service Provider shall be subjected to annual contract monitoring by Juvenile
Probation to ensure that the Service Provider is complying with the PREA standards [PREA
§115.312 (b)]. To comply with this standard, the Service Provider will make available to the
Chief Probation Officer all incident -based aggregated sexual abuse data within 24 -hours of the
allegation.
Under PREA, Juvenile Probation will make the aggregated sexual abuse data for each Service
Provider available to the public via the Juvenile Probation website [PREA§ 115.389(b)].
