EVol..�_ pg. a5o PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. it is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on -a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge - and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. Vol. 305 nrs..a5_1- MINUTES NOVEMBER 19, 2019 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, November 19, 2019 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Sammy Catalena, Commissioner of Precinct 2; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. Having considered the previously noted agenda items, at 10:10 a.m. the County Judge stated that the Court would convene into Executive Session to deliberate pursuant to Texas Government Code 551.0785 as stated above. Juvenile Director's report on detention population. Juvenile Director Linda Ricketson reported there are 35 juveniles in the detention center, 27 are male and 8 are female, and 24 have electronic monitors. Ms. Ricketson noted that 2 of the 35 youth are from other counties. 20. Sheriff's report on inmate population. Sheriff Chris Kirk stated there were 653 inmates in jail, 553 inmates are male and 100 are female, 59 have electronic monitors and 15 are pending for monitors. 21. Announcement of interest items and possible future agenda topics. Commissioner Catalena reminded everyone that tomorrow is the Annual Employee Luncheon at the Brazos Center. WHEREAS, Heart of Texas Goodwill Industries, Inc. ("Goodwill"), desires to finance the construction and equipment of an approximately 25,000 square foot building located at 2710 Boonville Road, Bryan, Texas, to be used as a Goodwill store, job connection center, and a donation/processing center (the "Project"); and WHEREAS, Goodwill desires to finance the Project in partthrough the issuance of a tax exempt note (the "Note") to be issued by the Mart Cultural Facilities Corporation (the "Mart Corporation"), in an aggregate maximum principal amount not to exceed $5,000,000, with the proceeds of such Note to be loaned to Goodwill to construct and equip the Project; and WHEREAS, Goodwill has requested Brazos County, Texas (the "County") to give its approval with regard to the issuance of the Note solely for the purpose of satisfying the requirements of Section 221.030(a)(1)(B) of the Texas Health and Safety Code (which requires the permission of the County for the Mart Corporation to exercise its powers for a project located within the County); and WHEREAS, the County is willing to consider Goodwill's request that the Note may be issued; and NOW, THEREFORE, BE IT ORDERED BY THE COMMISSIONERS COURT OF BRAZOS COUNTY, TEXAS: 1. Solely forthe purpose of giving the consent required by Section 221.030(a) of the Texas Health and Safety Code, the County hereby approves the issuance of the Note by the Mart Corporation to finance the Project as defined above. The owner and user of the Project shall be Heart of Texas Goodwill Industries, Inc. and the maximum principal amount of the Note shall be $5,000,000. 2. This approval is given by the Brazos County Commissioners Court solely to satisfy the requirements of Section 221.030(a)(1)(B) of the Texas Health and Safety Code and for no other purpose. In particular, this approval does not grant a building permit, approve the zoning for the Project, or give any other approval which may be required by the County for the Project. 3. This Order is passed based on the express understanding and representation by Goodwill that the Note and related financing does not and will not constitute in any way a liability or obligation of Brazos County, Texas in any manner whatsoever, and that Brazos County, Texas shall have no liability whatsoever for the Note or the Project. 4. AT LAW MEMORANDUM from Dan Pleitz (254) 755-4100 Fax(254)754-6331 E-mail: pleitz@namanhowell.com TO: Brazos County Commissioners Court DATE: November 8, 2019 RE: Tax Exempt Loan for Heart of Texas Goodwill Industries, Inc. To the Commissioners Court: The purpose of this memo is to request consent from the Brazos County Commissioners Court to a tax exempt loan for the benefit of Heart of Texas Goodwill Industries, Inc. ("Goodwill') to construct a new Goodwill building located in Bryan. That building will house a Goodwill store, job connection center, and a donation/processing area. The building will be approximately 25,000 square feet in size, and will be located at 2710 Boonville Road in Bryan. The estimated maximum project cost is $5,000,000. Because Goodwill is a 501(c)(3) charitable organization, they are eligible to finance this new project through a tax exempt loan which will save Goodwill substantial interest costs. Extraco Banks, N.A. has agreed to make the loan. Goodwill cannot borrow the money directly but has to go through a nonprofit corporation created by a city called (in this case) a "cultural education facilities finance corporation" created pursuant to Chapter 337 of the Texas Local, Government Code. We have located such'a corporation that is willing to undertake the Goodwill transaction being the "Mart Cultural Facilities Corporation". The Mart Corporation has the authority to finance projects located outside the city limits of Mart in accordance with applicable state law, provided we obtain consent from (i) the City of Bryan; (ii) Brazos County; and (iii) any local hospital district.' We assume there is not a "Brazos County hospital district" or "City of Bryan hospital district". 6E32629 -GOODWILL 2019 - Memo to Brazos County Commissioners Court (002) ' The reasons for County approval State law consent. As mentioned above, the. new Goodwill facility can be financed by the Mart Cultural Facilities Corporation. (Goodwill qualifies because it is a 501(c)(3) corporation which "improves the conditions of individuals or groups within a community'.) (See Section 337.002(1)(E) of the Texas Local Government Code. Under Section 337.012 of the Texas Local Government Code a cultural facilities corporation has the powers of a "health facilities development corporation" created under Chapter 221 of the Texas Health and Safety Code. Section 221.030(a)(1)(B) of the Health and Safety Code says the Mart Corporation can only exercise its powers in Bryan with the consent of each of (i) the City of Bryant, (ii) Brazos County, and (iii) any local hospital district. We have attached a proposed Order for the Brazos County Commissioners Court to give this state law consent. Approval under federal tax law Unlike the consent mentioned above (which requires both the County and the City of Bryan to approve this project under state law), there is a separate consent required from either Bryan or the County under federal tax law. We are seeking this consent from the City of Bryan and this section of our memo is just to let the County know what we are doing at Bryan. Separate from state law requirements mentioned above, for this type of transaction to be tax exempt, Section 147(f) of the Internal Revenue Code provides that we must have the transaction approved by both the City of Mart (what we call "issuer approval") and also by the City of Bryan (what we call "host approval").3 Under 147(f), there is a process that we will have to undertake in each of Bryan and Mart. First, we have to publish a notice in the local paper describing the project and establishing that there will be a public hearing about this transaction. The primary purpose of the notice is to let the public know what the project will be and to inform the public that they may attend such public hearing with the date, time and place of such hearing to be set forth in the notice. The notice has to be published at least seven days before the public hearing. Additionally, the approval we are seeking is solely for the tax exempt loan and is not related to zoning, building permits, or any other form of approval that the City of Bryan or the County may require related to the construction of the Goodwill project. The Goodwill loan also will have no impact on the County's ability to issue tax exempt bonds. Because the bonds will be issued by a subsidiary corporation established by the City of Mart. the amount of the bond issue will count against a $10,000,000 limit found in Section 265 of the Internal Revenue Code which does have an impact on Mart's ability to sell tax exempt bonds -to a financial institution but that applies to Mart and not to the City of Bryan or Brazos County.
