To make arrangements, please call (979) 361-4102. aqR 9 f P nicinnin i wicioNs MINUTES SEPTEMBER 10, 2019 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, September 10, 2019 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Sammy Catalena, Commissioner of Precinct 2, Absent; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. Invocation and Pledge of Allegiance - U.S. and Texas Flag - Commissioner Berry 2. Call for Citizen input and/or concerns There was no citizen's input. 3. Presentations and/or Discussions Presentation and discussion on The 2020 Census - Issues and Potential Solutions for Brazos County by Dan Rudge. Dan Rudge, Executive Director of the Bryan/College Station Metropolitan Planning Organization (BCS MPO) gave a presentation on the 2020 Census. Mr. Rudge stated Vol. a 9 Q Pg. taq that April 1, 2020 is the census date and the Census Bureau is encouraging participation by providing intemet and telephone responses. Mr. Rudge gave information on how to get the most accurate count by implementing an Informal Task Force and Formal Complete Count Committee. He described the duties and time line for a Complete Count Committee. He also explained that if the Bryan/College Station population reaches over 200,000 MPO could receive approximately 4 million to 4.5 million for transportation projects. Commissioner Cauley asked how citizens could apply to participate on the committee. Mr. Rudge stated they can reach out to him and let him know they are interested. He is taking the lead on putting a Complete Count Committee together. Commissioner Berry thanked Mr. Rudge for taking the lead on this project. Commissioner Aldrich asked what areas outside the student populated areas need attention. Mr. Rudge said specifically the Hispanic communities because of the lack of trust of government agencies. He added that economically disadvantaged communities are also a challenge. Commissioner Cauley mentioned that federal funds are also affected by the census. She is concerned with funding for programs such as indigent care and meals on wheels. Mr. Rudge said that the census information drives the funding formula for these programs. Commissioner Cauley then asked how much funding for the census is available. Mr. Rudge answered that no funding is available. The Census Bureau only provides generic material. He said we really need something dedicated to the communities that we are trying to reach. Judge Peters thanked Mr. Rudge for his presentation. A copy of the presentation is attached. This will have a net increase of $7,399 to the County Auditor's budget and a decrease $7,399 to the Commissioners Court Contingency Budget. Commissioner Aldrich moved that the property tax rate be increased by the adoption of a tax rate of 0.4975 cents per $100 of value, which is effectively a 6.92 percent increase in the tax rate. The motion was seconded by Commissioner Berry and passed unanimously. Commissioner Aldrich stated that this is the first time to increase taxes in this significant amount in ten years and said this is probably the last year we will be able to give a 3% Cost of Living Adjustment and the 1 % Merit Award. He said that with the significant increase in health insurance and the 3.5% revenue cap he does not believe we can do that in the future. NOW, THEREFORE, in reliance on the mutual covenants and promises, representations and agreements set forth herein, the parties agree as follows: Definitions. 1.1 "Affiliate" means with respect to Client, any parent or subsidiary corporation, and any corporation or other business entity controlling, controlled by or under common control with Client. 1.2 "DMI Technology" means the computer hardware, software and other tangible equipment and intangible computer code contained therein used by DMI in the provision of the TCP Services. 1.3 "TCP Services" means the hosted TimeClock Plus software application hosted by DMI in accordance with DMI's then -current hosting environment and including the ancillary services described in this Agreement. 1.4 "Client Equipment" means the computer hardware, software and other tangible equipment and intangible computer code employed by Client in its use of the TCP Services. 1.5 "Client Data" means Client's information or other data processed, stored or transmitted by, in or through the TCP Services. 1.6 "Designated Users" means the identifiable unique persons who are authorized by Client at agv.fne..to,.use the.T.0 -Services.and.iiihose-personal..!rfcrmatl;en-maybe stood:...-......-,.....- r `-"---17__w0 a Fees" means the fees set forth on the applicable Invoice or Client Purchase Order, including, but not limited to, Monthly Employee Fees and Hardware Support and Maintenance Agreement Fees. 1.8 "Data Center(s)" means any of the facilities used by DMI to provide the TCP Services. 1.9 "Maintenance And Support Services" means the services and related terms and conditions as provided in the Maintenance And Support Terms attached as Exhibit A. 1.10 "Order Form" means a written document mutually agreed upon and executed by the parties for ordering products and/or services, and which expressly incorporates the terms of this Agreement. 1.11 "Term" means the meaning set forth in Section 14. vol. aCl q p9, �� DocuSign Envelope ID., F431FA67-80C2-40BA-80A2-OB89FBFF3230 1.12 "Employee" means Client's individual employee, worker, consultant, substitute or contractor. 1.13 "Active Employee" means a Client Employee that has not been marked as either terminated or suspended within the TCP Services for whom Client is required to pay a fee under this Agreement. 1.14 "Provisions" means the permission(s) granted to Client's Employees to access features within with TCP Services, as outlined on the DMI Invoice or Client Purchase Order. Provisions are applied within the TCP Services by Client's authorized Designated Users. 1.15 "Monthly Employee Fee" means DMI's then current fees applicable for each of Client's Employees based on the aggregated Provisions, to access and use the TCP Services measured over the course of each calendar month, as outlined on the DMI Invoice or Client Purchase Order. This fee may be prorated during the first month of the Initial Service Term, and may be prorated for the last month of the Initial Service Term. 1.16 "Personal Data" means any information that can be used to identify, locate or contact an Employee or Designated User. 1.17 "Subprocessor" mean any third party processor engaged by DMI for the purposes of processing Personal Data. 1.18 "Hardware Support and Maintenance Agreement" means any agreement that extends services to current TimeClock Plus terminals, clocks, and biometric devices, and maintenance releases for related products purchased or licensed by the Client from DMI or a registered reseller. 1.19 "Supported Hardware" means any hardware purchased from DMI that is coverable under a DMI Support and Maintenance Agreement. 2. Delivery of Services. Subject to the other terms and conditions of this Agreement and DMZ's Global Data Privacy Policy, DMI grants to Client and its Affiliates only for their Designated Users a nonexclusive right and subscription license to access and use the TCP Services during the Term only for internal business purposes of processing, storing and maintaining Client Data. DMI shall provide Client and its authorized Employees and Designated Users the TCP Services during the Term in accordance with the terms and conditions of this Agreement. 2.1 Client's Responsibilities. DMI has appointed third party data Subprocessors for the purposes of providing hosting and security services. These Subprocessors may process Personal Data in accordance with the terms of this agreement and the Global Data Privacy Policy. The Subprocessor agreements impose similar data protection -related processing terms on the third party Subprocessor that are not less protective than those imposed on DMI in this Agreement and the DMI Privacy Code for Client Data Processing Services, a section of the Global Data Privacy Policy. DMI has published an overview of the categories of Subprocessors involved in the performance of the relevant Services which can be found at www.timeclockplus.com/privacy. 3. Security. As part of the TCP Services, DMI shall implement reasonable security procedures consistent with industry best standards to protect Client Data from unauthorized access, including without limitation (i) 256 -bit encryption of data at rest within DMI's Data Centers, Rev 8.1.2019_D.Mcintyre Vd., aG 9 pg, DocuSign Envelope ID: F431FA67-80C240BA-80A2-OB89FBFF3230 (ii) web application firewalls, (iii) virus detection and anti-virus software, (iv) authentication techniques, such as user names and passwords, or authorization formats, which limit access to particular DMI personnel; and (v) additional security controls consistent with SOC 2 Type If reporting standards (the "Security Standard"). 4. Breaches of Security. The Parties shall implement reasonable and appropriate security procedures consistent with prevailing industry standards and applicable data protection laws to protect Client Data from unauthorized access by physical and electronic intrusion; including the adoption of access policies that prevent the internal sharing or inadvertent communication of login credentials. 4.1 DMI will promptly report to Client any unauthorized access to Client Data upon discovery and in accordance with applicable data breach notification laws. DMI will use diligent efforts to promptly remedy any breach of security that permitted such unauthorized access. In the event notification to persons included in such Client Data is required; DMI and DMZ's third party breach notification contractor will control all breach notifications. 5. Data Backup and Retention. DMI shall undertake commercially reasonable efforts to backup Client Data with a Restore Point Objective of twenty-four (24) hours. DMI retains Client database backups in accordance with DMI's Global Data Privacy Policy. 6. Confidential Information. 6.1 Each party (the "Receiving party") acknowledges that it will have access to certain confidential information of the other party (the "Disclosing Party") concerning the Disclosing Party's business, plans, customers, software, technology and products, other information held in confidence by the Disclosing Party, and Personal Data. In addition, a Disclosing Party's confidential information will include (i) all information in tangible or intangible form that is marked or designated as confidential or that, under the circumstances of its disclosure, should be considered confidential, and (ii) the DMI Technology and related algorithms, logic, design, specifications, and coding methodology, Client Data, and to the extent permitted by law the terms and conditions of this Agreement, but not its existence (all of the foregoing being referred to as "Confidential Information"). 6.2 . The.Receiving Party agrees that•it-will-not.use in any way, for its own account or the account of any third party, except as expressly permitted by, or required to achieve the purposes of, this Agreement, nor disclose to any third party (except as required by law or to that party's attorneys, accountants and other advisors as reasonably necessary), any of the Disclosing party's Confidential Information and will take reasonable precautions to protect the confidentiality of such ^_ ..._.........._.:...._information. in-st-leastt�ie-same-nrdrrner-as,ls*neceesary"io pinfect-1 gown Gonfideniial Information �_.__ andin-accordance-with-applicable.data-protection-laws. — - - -- 6.3 Each party represents and warrants that it has implemented a comprehensive written information security program that includes appropriate administrative, technical and physical safeguards to: (i) ensure the safety and confidentiality of Personal Data; (ii) protect against unauthorized access to and use of Personal Data; (iii) protect against anticipated threats or hazards to the security or integrity of Personal Data, and (iv) comply with all applicable data protection laws. To the extent that the Receiving Party is permitted to retransmit any Confidential Information it receives from the Disclosing Party, the made of retransmission must be at least as secure as the mode by which the Disclosing Party transmitted the Confidential Information to the Receiving Party. If determined that the provision of this Section 6.3 are in conflict with DMZ's Global Data Privacy Policy, which may be amended from time -to -time to comply with then applicable data protection law, DMI's Global Data Privacy Policy shall control. Rev 8.1.2019 D.Mclntyre vol. a9Q pg, oa DocuSign Envelope ID: F431FA67-80C240BA-8OA2-OB89FBFF3230 6.4 Information will not be deemed Confidential Information hereunder if such information: (1) is known to the Receiving Party prior to receipt from the Disclosing Party, whether directly or indirectly, from a source other than one having an obligation of confidentiality to the Disclosing Party; (ii) becomes known (independently of disclosure by the Disclosing Party) to the Receiving Party, whether directly or indirectly, from a source other than one having an obligation of confidentiality to the Disclosing Party; (iii) becomes publicly known or otherwise ceases to be secret or confidential, except through a breach of this Agreement by the Receiving Party; or (iv) is independently developed by the Receiving Party. 7. Cooperation With Authorities. If either Party is requested to disclose all or any part of any Confidential Information (defined in Section 6) under a subpoena or inquiry issued by a court of competent jurisdiction or by a judicial or administrative agency or legislative body or committee, the Receiving Party shall (i) immediately notify the Disclosing Party of the existence, terms and circumstances surrounding such request; (ii) consult with the Disclosing Party on the advisability of taking legally available steps to resist or narrow such request -and cooperate with the Disclosing Party on any such steps it considers advisable; and (iii) if disclosure of the Confidential Information is required or deemed advisable, exercise its best efforts to obtain an order, stipulation or other reasonably acceptable assurance that the Confidential Information or part thereof required to be disclosed shall retain its confidentiality and remain otherwise subject to this Agreement. Although DMI will not systematically monitor the Client Data, DMI reserves the right, upon prior written notice to Client, to remove access to Client Data to comply with applicable law, provided, however, that access to such Client Data will be restored upon a mutual determination of the Parties that such Client Data is in compliance with, or has been modified to be in compliance with, applicable law. 8. Section Reserved 9. Data Protection. DMI has adopted the provisions contained in the Global Data Privacy Policy for the processing of Client Employee Personal Data in accordance with EU General Data Protection regulations ("GDPR"), U.S. Privacy Shield, Illinois Biometric Information Privacy Act ("BIPA") and other applicable state and federal data protection laws. 9.1 Instructions. DMI will process certain categories and types of Personal Data only upon Client's instructions and in accordance with applicable data protection laws (e.g. GDPR, BIPA). Client is responsible for ensuring that all Designated Users who provide instructions are authorized to do so and agrees that DMI will only perform.processing activities that are necessary and relevant to provide the TCP Services. 9.2 Requests. Client will have sole responsibility for the accuracy, quality, and legality of Personal Data and the means by which is was obtained. Client agrees to adopt a balanced and -._.........._. .......... -._._.....__..... reasonable.policY.f.Qr..maneging..Subjpct Access..Regsests (SARs) and-3rd-party.diaclosures- -- _..._.__...,._..,..__...._._ which safeguard the rights of all data subjects and respects the original_purpose-of the._data — collection -Client; as'Data Controller, will be responsible for receiving, investigating, documenting, ~ and responding to all Designated User and Employee requests for inspection or erasure of Personal Data. 9.3 Assistance. Should Client receive a request from a data subject for the exercise of the data subject's rights under applicable data protection laws, and the correct and legitimate reply to such a request necessitates DMI's assistance, DMI shall assist the Client by providing the necessary information and documentation. DMI shall be given reasonable time to assist the Client with such requests in accordance with the applicable law. 9.4 Confidentiality. DMI shall treat all Personal Data as strictly confidential information that may not be copied, transferred, or otherwise processed without the instruction of the Client. Transfer of Personal Data to another data controller or data processor (e.g. HRIS or Payroll application) is at the sole discretion of the Client and shall comply with applicable data protection laws. To the extent permitted by law, Client acknowledges that DMI may not know the applicable data protection rights of any given employee and agrees to indemnify and hold harmless DMI from any and all direct claims, damages and demands, including reasonable attorney's fees, arising out of Client's violation of applicable data protection laws. Nothing in this Agreement relieves DMI of its own direct responsibilities and liabilities under the applicable data protection laws. Further information about DMI's use of data and data retention policies can be found in the Global Data Privacy Policy at: www.timeclockpius.com/privacy. 10. Supplemental Services; Master Agreement. 10.1 DMI may provide to Client supplemental services in accordance with a Statement of Work and a separate services agreement. 10.2 Client may elect to purchase additional products and services via Order Forms from time to time. The parties agree that this Agreement is a master agreement such that additional transactions will be governed by the terms and conditions hereof. Pricing for additional transactions shall be in accordance with DMI's then -current pricing schedule. Client agrees that, absent DMZ's express written acceptance thereof indicated by execution by an officer of DMI, the terms and conditions contained in any purchase order or other document issued by Client to DMI for the purchase of additional services, shall not be binding on DMI to the extent that such terms and conditions are additional to or inconsistent with those contained in this Agreement. 11. Use Fees. 11.1 In consideration for the performance of the TCP Services, Client shall pay DMI the Use Fees. During the Term, Client will be billed in advance an amount equal to the annual charges as indicated in the applicable Invoice or Client Purchase Order. All other charges for TCP Services received and expenses incurred during a month will be billed at the end of the month in which the TCP Services were provided. Payment by Client for all fees is due upon receipt of each DMI invoice, and in no event shall such payment be received by DMI later than thirty (30) days after the invoice, except in cases where a Net Terms Agreement has been authorized by DMI. All payments will be made to DMI at its offices in San Angelo, Texas, in U.S. dollars. 11.2 Subsequent to the initial term specified in an applicable Order Form or this Agreement, DMI may increase the Use Fees at any time effective thirty (30) days after providing notice to Client; provided, however, that any such increase will not occur more than once in a consecutive twelve�12��monthperiod.and such increase shall not exceed I-1.3TCP-Service's-charges-will-be equal'to-the number of -total Ac iveEmpployees multiplied by the Monthly Employee Fee which is based on the aggregated Provisions for each active Employee. Client is responsible for Monthly Employee Fees for the total number of Active Employees who are made active during any calendar month. Client may add additional Employees or Provisions as desired each month, by paying the Monthly Employee Fees on the next billing cycle. 11.4 Employees added at any time during a calendar month will be charged in full for that billing period. Because you are billed in advance for Services, if Client increases their Active Employee count or increases Provisions during a calendar month, Client will receive an invoice reflecting the increased Active Employee count with overage charges incurred from the previous month and prorated over the number of months remaining in the term. DocuSign Envelope ID: F431FA67-80C2-40BA-80A2-OB89FBFF3230 11.5 Hardware Support and Maintenance charges will be equal to the percentage set forth in the applicable Hardware Support and Maintenance Agreement multiplied by the total purchase price of the Supported Hardware. 12. Taxes. As applicable, Client shall, in addition to the other amounts payable under this Agreement, pay all sales, use, value added or other taxes, whether federal, state or local, however named, arising out of the transactions contemplated by this Agreement, except that Client shall not be liable for taxes based on DMI's aggregate income. 13. Term; Guaranteed Payment. This Agreement commences on the Effective Date and, unless terminated earlier in accordance with Section 14, will remain in effect for the initial term of one year(s) ("Initial Term"), and then shall automatically renew for subsequent one (1) year terms thereafter, unless either Party gives written notice of non -renewal at least ninety (90) days prior to the end of the then current term (the Initial Term and subsequent renewal terms being referred to as the "Term"). Any associated Software Support and Maintenance Agreement for Supported Hardware which is incorporated with the TCP Services shall also automatically renew for subsequent one (1) year terms thereafter. 14. Termination for Cause. A Party may terminate this Agreement for cause if (i) the other Party breaches any material term or condition of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of the same, or in the case of failure to pay Use Fees, thirty (30) days; (ii) the other Party becomes the subject of a voluntary petition in bankruptcy or any voluntary proceeding relating to insolvency, receivership, liquidation or composition for the benefit of creditors; or (iii) the other Party becomes the subject of an involuntary petition in bankruptcy or any involuntary proceeding relating to insolvency, receivership, liquidation or composition for the benefit of creditors, and such petition or proceeding is not dismissed within sixty (60) days of filing. Notwithstanding the foregoing, if a material breach by Client, by its nature, cannot be cured, DMI may terminate this Agreement immediately. 15. Effect of Termination. Without prejudice to any right or remedy of a Party with respect to the other Party's breach hereunder, upon the effective date of any termination of this Agreement: 15.1 DMI's obligation to provide the TCP Services shall immediately terminate; 15.2 after such termination and upon Client's reasonable request, no later than thirty (30) days from termination, DMI shall provide Client Data to Client in a SQL database file format; and 15.3 within thirty (30) days of such termination, each Party will destroy or return all w additional Confidential Information of the other party in its possession _and will not make or, retain any copses of such Confidential Information except as required to comply with any applicable legal - or-accountingrecord-keeping'requirement.— —--- L 16. Intellectual Property Ownership. This Agreement does not transfer from DMI to Client any ownership interest in the DMI Technology. The intellectual property rights embodied in the DMI Technology shall remain in and be the sole and exclusive property of DMI and its licensors. This Agreement does not transfer from Client to DMI any ownership interest in Client Data. 17. Client Representations and Warranties. 17.1 Client represents and warrants that the performance of its obligations and use of the TCP Services by Client and its Designated Users will not violate any applicable laws, including domestic and international data protection laws, or cause a breach of duty to any third party, including Employees. IDS DocuSign Envelope ID: F431FA67-80C240BA-80A2-OB89FBFF3230 17.2 Client represents and warrants that it's Affiliates' use of the TCP Services, if any, shall not relieve Client of any liability under this Agreement, and Client shall be responsible and liable for the acts and omissions of its Affiliates hereunder as if performed or omitted by Client. 17.3 Client - acknowledges that DMI, as Data Processor, exercises no control whatsoever over the content of the information passing through the TCP Services and that it is the sole responsibility of Client to ensure that the information it and its Designated Users transmit and receive thereby complies with all applicable laws and regulations, whether now in existence or hereafter enacted and in force. 17.4 In the event of any breach of any of the foregoing representations or warranties in this Section 17, in addition to any other remedies available at law or in equity, DMI will have the right to suspend immediately any TCP Services if deemed reasonably necessary by DMI to prevent any harm to DMI and its business. DMI will provide notice to Client and an opportunity to cure, if practicable, depending on the nature of the breach. Once cured, DMI will promptly restore the TCP Services. 18. DMI Representations and Warranties. DMI represents and warrants that (i) it has the legal right to enter into this Agreement and perform its obligations hereunder, and (ii) the performance of its obligations and delivery of the TCP Services to Client will not violate any applicable laws or regulations of the United States or cause a breach of any agreements between DMI and any third parties. 19. Limited Warranty. DMI represents and warrants that the TCP Services and related products as described with this Agreement will perform in accordance with all DMI published documentation, contract documents, contractor marketing literature, and any other communications attached to or referenced in this Agreement, and that the TCP Services will be free of errors and defects that materially affect the performance of the TCP Services ("Limited Warranty"). Client's sole and exclusive remedy for breach of the Limited Warranty shall be the prompt correction of non -conforming TCP Services at DMI's expense. 20. Warranty Disclaimer. EXCEPT FOR THE EXPRESS LIMITED WARRANTY SET FORTH IN SECTION 19 (LIMITED WARRANTY), THE TCP SERVICES ARE PROVIDED BY DMI ON AN "AS IS" BASIS, AND CLIENT'S USE OF THE TCP SERVICES IS AT CLIENT'S OWN RISK. DMI AND ITS SUPPLIERS DO NOT MAKE, AND HEREBY DISCLAIM, ANY AND ALL OTHER EXPRESS AND/OR IMPLIED WARRANTIES, INCLUDING - WARRANTIES OF MERCHANTABILITY, FITNESS FORA PARTICULAR PURPOSE, AGAINST HIDDEN DEFECTS, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. ANY ORAL STATEMENT OR IMPLICATION BY ANY PERSON CONTRADICTING THE FOREGOING IS UNAUTHORIZED AND SHALL NOT BE BINDING ON DMI. CLIENT ACKNOWLEDGES THAT IN ENTERING INTO THIS AGREEMENT, CLIENT HAS RELIED UPON CLIENT'S OWN EXPERIENCE, SKILL AND JUDGMENT TO EVALUATE THE TCP SERVICES AND THAT CLIENT HAS SATISFIED ITSELF AS TO THE SUITABILITY OF SUCH SERVICES TO MEET CLIENT'S BUSINESS AND LEGAL REQUIREMENTS. 21. DMZ's Intellectual Property Indemnity. DMI will indemnify, defend and hold harmless Client and its Affiliates from and against any lawsuit, liabilities, loss, cost or expense arising out of a third - party claim made against Client that the DMI Technology infringes on any U.S, intellectual property right of a third party; provided, however, that DMI is notified in writing of such claim promptly after such claim is made upon Client. DMI shall have the right to control any defense provided pursuant to this Section 21. In no event shall Client settle any such claim without DM I's prior written approval. Rev 8.1.2019_D.Mclntyre vd.�a DocuSign Envelope ID: F431FA67-SOC2-40BA-80A2-OB69FBFF3230 DMI shall have no liability or obligation under this Section 21 if the claim arises from (i) any alteration or modification to the DMI Technology other than by DMI, (ii) any combination of the DMI Technology with other programs or data not furnished by DMI, or (iii) any use of the DMI Technology prohibited by this Agreement or otherwise outside the scope of use for which the DMI Technology is intended. 22. Liability Limitation. Except for claims arising out of Section 21 (DMI's Intellectual Property Indemnity) and Section 6 (Confidential Information), in no event shall DMI's aggregate liability, if any, including liability arising out of contract, negligence, strict liability in tort or warranty, or otherwise, exceed the sum of amounts paid by Client to DMI during the six (6) months immediately prior to the date of the claim. 23. Notices. Any notice or communication required or permitted to be given hereunder may be delivered by hand, deposited with an overnight courier, sent by email (provided delivery is confirmed), or U.S. Mail (registered or certified only), return receipt requested, to the address set forth on the initial page hereof. 24. Assignment; Contractors. 24.1 This Agreement shall not be assigned by either Party without the prior written consent of the other Party, which shall not be unreasonably withheld; provided, however, that either Party may, without the prior consent of the other, assign all of its rights under this Agreement to (i) such Party's parent company or a subsidiary of such Party, (ii) a purchaser of all or substantially all assets related to this Agreement, or (iii) a third party participating in a merger, acquisition, sale of assets or other corporate reorganization in which either Party is participating. This Agreement shall bind and inure to the benefit of the Parties and their respective successors and permitted assigns. 24.2 DMI may appoint an independent contractor or other third party as Subprocessor to serve as its Data Center so long as such independent contractor or third party is contractually bound to protect Confidential Information, including Personal Data, in a manner not less protective than that imposed on DMI in this Agreement and the DMI Privacy Policy for Client Data Processing Services. The appointment of independent contractors or third parties to serve as DMI's Data Center to perform part or all of the TCP Services obligations hereunder shall not relieve DMI of any liability under this Agreement. 25. Continuing Obligations. Those clauses the survival of which is necessary for the interpretation or enforcement of this Agreement shall continue in full force and effect in accordance with their terms notwithstanding the expiration or termination hereof, such clauses to include the following: (i) any and all warranty disclaimers, limitations on or limitations of liability and indemnities granted by either- aity herein;~�ii)"any covenant`g�anted"fie�ein for the purpose of-determiriing "�` �` `� -'---ownership-of, orprotecbng-intellectual-property-rights,-including-withoutiimitation, the -Confidential �- Information of either Party, or any remedy for breach thereof, and (iii) the payment of taxes, duties, or any money to either Party hereunder. 26. Marketing. During the term hereof, Client agrees that DMI may publicly refer to Client, orally and in writing, as a customer of DMI. Any other reference to Client by DMI requires the written consent of Client. 27. Force Majeure. Except for the obligation to make payments, neither Party will be liable for any failure or delay in its performance under this Agreement due to any cause beyond its reasonable control, including acts of war, terrorism, acts of God, epidemic, earthquake, flood, embargo, riot, sabotage, labor shortage or dispute, governmental act or complete or partial failure of the Internet (not resulting from the actions or inactions of DMI), provided that the delayed Party: (i) gives the other Party prompt notice of such cause, and (ii) uses its reasonable commercial efforts to promptly correct such failure or delay in performance. For any dispute, controversy or claims arising out of or relating to this Agreement or the breach, termination, interpretation or invalidity thereof or any Invoice, or Order Form, the parties shall endeavor for a period of two (2) weeks to resolve the Dispute by negotiation. This period may be extended by mutual agreement of the Parties. In the event the Dispute is not successfully resolved, the parties agree to submit the Dispute to litigation in a court of competent jurisdiction. 28.1 Waiver of Jury Trial. Client will have sole responsibility for the accuracy, quality, and legality of Personal Data and the means by which is was obtained. Client, as Data Controller, will be responsible for receiving, investigating, documenting, and responding to all User and Employee requests for inspection or erasure of Personal Data. 4.3 Assistance. Should Client receive a request from a data subject for the exercise of the data subject's rights under applicable data protection laws, and the correct and legitimate reply to such a request necessitates DMZ's assistance, DMI shall assist the Client by providing the necessary information and documentation. DMI shall be given reasonable time to assist the Client with such requests in accordance with the applicable law. 4.4 Confidentiality. DMI shall treat all Personal Data as strictly confidential information that may not be copied, transferred, or otherwise processed without the instruction of the Client. Transfer of Personal Data to another data controller or data processor (e.g. HRIS or Payroll application) is at the sole discretion of the Client and shall comply with applicable data protection laws. DMI will use diligent efforts to promptly remedy any breach of security that permitted such unauthorized access. All other terms and conditions of the Licensing Agreement shall remain in full force and effect. WHEREAS, the County, BISD, and BCHD are "local governments"; and, WHEREAS, public health and welfare in the context contemplated herein is a "governmental function and service" as those terms are defined in the Interlocal Cooperation Act, hereinafter referred to as the "Act", codified as Chapter 791 of the Texas Government Code; and, WHEREAS, the Act authorizes any local government to contract or agree with other local governments in accordance with the Act to perform governmental functions and services that each party to the contract is authorized to perform individually; and, WHEREAS, the parties understand that during an emergency situation, the evacuation of hospitals and other medical facilities is an integral part of every good emergency preparedness and response plan; WHEREAS, the parties understand that during an emergency situation, a need exists for an effective and efficient solution for mass evacuation and transport of special needs patients, casualties, and others who require non-ambulatory transport; and, WHEREAS, and AmbuBus conversion and retrofitting enables the safe and efficient evacuation of hospital, medical facilities, and nursing homes; and, WHEREAS, upon the completion of the agreement contained in this MOU, the AmbuBus conversion and retrofitted buses can be converted back into their normal use capability; and, WHEREAS, the relationship between the participants necessitates this interlocal agreement to set forth the duties and responsibilities of all parties. NOW, THEREFORE, pursuant to the Interlocal Cooperation Act, it is mutually agreed by, between and among the parties as follows: PROGRAM GOALS The number of emergency medical transport ("EMT") vehicles that are currently available to transport patients during a major emergency involving mass casualties or the movement of medical 2019 — 2022 AmbuBus Memorandum of Understanding Page 1 of 6 Vol. aG 9L p9. �_ special needs patients is very limited. In the past, County emergency personnel have dealt with large numbers of medical special needs patients during evacuations. The AmbuBus project will allow County to triple its EMT capacity during an emergency. This increased capacity is necessary to ensure the delivery of special needs patients from a mass delivery point (such as during air delivery) to designated medical special needs shelters during an evacuation. It is agreed by the parties the BISD will donate two large passenger buses to the County AmbuBus Program for use under the direction of the BCHD Public Health and Emergency Preparedness (PREP) Division. These buses will be fitted with AmbuBus conversions by Brazos County Sherriffs Department inmate work crew under the direct supervision of sheriffs deputy and BCHD Emergency Preparedness staff. During the term of this MOU, the buses will be maintained by the County and stored at BISD facilities. The County will provide insurance in accordance with the terms of this agreement and BISD will auction the buses at the end of the term of this MOU. BCHD PHEP manager will coordinate -the use of the AmbuBuses during emergencies and provide scheduling and oversight. BCHD will ensure that AmbuBuses are operated by trained personnel that are licensed by the State of Texas to operate and AmbuBus during the emergency operations. TERM OF THE AGREEMENT This MOU shall become effective on Oct, 2019 and remain effective until 2022. This agreement may be terminated by any party, after thirty (30) days written notice to parties. This MOU shall be governed by the laws to the State of Texas and venue for any cause of action arising under this agreement shall be in Brazos County, Texas DUTIES AND RESPONSIBILITIES OF BRYAN INDEPENDENT SCHOOL DISTRICT BISD shall provide two large surplus school buses, no longer necessary to meet its transportation needs, for conversion to AmbuBuses at an in-kind cost of $2,500.00 per bus. BISD will ensure that the buses are in sound mechanical condition and currently safety inspected (in accordance with 49 CFR Part 396, Appendix G to Subpart B). BISD will transfer title and registration of the buses to Brazos County Health District. BISD shall provide routine monthly inspection services at an in-kind cost of $150.00 per year, per bus. Routine monthly inspection services is defined as a pre -trip Texas Department of Transportation inspection. Any repairs needed shall be noted on the monthly inspection report. A copy of the report shall be sent to the Brazos County Health District PHEP manager and a copy of the report shall be sent to County Fleet Maintenance for repairs. BISD agrees to replace any bus which becomes inoperable during the term of this MOU with similar surplus buses. BISD agrees to store the buses during the term of this MOU and make the buses available at all times to BCHD but BISD may use the buses by scheduling with BCHD PHEP manager. 2019 — 2022 AmbuBus Memorandum of Understanding Page 2 of 6 en Vol.. County shall maintain the buses in proper working condition during the term of this MOU. County shall provide liability insurance at a limit of $300,000.00 on the buses during the term of this MOU. County shall also insure against the loss of the AmbuBus equipment. County shall also name BISD as an additional insured with appropriate indemnification, hold harmless and waiver of subrogation. DUTIES AND RESPONSIBILITITES OF BRAZOS COUNTY HEALTH DISTRICT BCHD PHEP manager will coordinate the use of the AmbuBuses during emergencies and provide scheduling and oversight. BCHD will insure that AmbuBuses are operated by trained personnel that are licensed by the State of Texas to operate an AmbuBus during emergency operations. INDEMNITY To the extent permitted by the Texas Constitution and other applicable law, but without waiver or expansion of an immunity from liability or limits to exposure established by the Texas Tort Claims Act, each party to this MOU will indemnify and hold harmless the other party or parties and respective officers, employees and agents from and against any and all claims proximately caused by negligence , breach or other act or omission caused by the indemnifying party or its respective officers, employees or agents. Neither the County, BISD, nor the BCHD waive or relinquish any immunity or defense on behalf of themselves, their trustees, commissioners, offices, employees, nor agents as a result of its execution of the agreement contained in this MOU and performance of the functions and obligation described herein. ADDITIONAL TERMS If any provisions, sections, subsection, paragraph, sentence, clause of this MOU, orthe application of same to any person or set of circumstance, is for any reason held by court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provision hereof will remain in full force and effect. The individuals executing this MOU on behalf of his or her respective party represent to the other parties that all appropriate and necessary actions have been taken to authorize the individual who is executing this MOU that there are no other parties or entities required to execute this MOU in order for the same to be an authorized and binding agreement by such parry for whom the individual is signing the MOU, and that individual affixing his or her signature hereto is authorized, and that such signed agreement is valid and effective on the date stated herein. In the event damages occur, permittee will be liable to the County or other utilities running through the right of way. 6. County Engineer shall determine whether or not permittee's plans shall inconvenience the public. If it is determined that inconvenience to the public exists, then the County Engineer will decide whether such project will be allowed or if an alternative exists so as not to inconvenience the public. B. Safety Reauirenrenls 1. Proper traffic control measures must be put in place prior to beginning work and remain in place during the duration of the job. All traffic control measures must follow the Texas Manual of Uniform Traffic Control Devices (TMUTCD). See Traffic Control Requirements below. 2. During construction, all safety regulations of the Texas Department of Transportation shall be observed. 3. Permittee must take such precautions and measures, including placing and displaying safety devices, as may be necessary, in order to safely conduct the public through the project area. Company shall provide flagmen, signs, signals or devices necessary to provide complete safety to the public. 4. Adequate provisions must be made to cause minimum inconveniences to traffic and adjacent property owners. 5. No cable, conduit and/or pole line shall be laid, constructed, maintained and/or repaired so as to constitute a danger or hazard of any kind to persons or vehicles using such road. Any poles placed in the Right of Way for future installation shall be placed at the back of the Right of Way. Exceptions may be approved by the County Engineer. C. Traffic Control Plan 1. A traffic control plan, pursuant to the TMUTCD or Engineered Traffic Control Plan must be provided for the following: a. Any construction (i.e. pit, excavation, hole) left open overnight, requires specific nighttime traffic ... control measures pursuant to the TMUTCD; :.. _ b. If construction is within ten (10) feet of the roadway; or c. Any work performed in the road right-of-way; 2. Plan must be attached to the permit and kept at the job site anytime work is being performed. 3. Plan must set forth the time of completion for the job. D. Design Standards 1. All overhead installations shall conform to clearance standards of the Texas Department of Transportation and the pole be placed in the designated area for power specified as set forth in the Texas Utilities Code, Section 151.045. 2. All pole installation (including lighting) shall be placed at the backside of the Right of Way to ensure safety to the public. Any pole placed in violation of this requirement will be required to be moved to the appropriate location at the company's expense. Exceptions may be approved by the County Engineer. All underground installations shall (these are minimum depths — utility may place deeper): a. be placed at a minimum depth of forty-eight (48) inches below the top of the pavement; b. be at least thirty-six (36) inches below ditch flow line when installation is within the area measured from top of bank to top of bank; c. be at least forty-eight (48) inches below ditch flow line if low pressure gas or petroleum lines. For high pressure gas and petroleum lines, see High Pressure Pipelines requirements listed below; d. not be closer than ten (10) feet from the edge of pavement. Exceptions may apply in rights of way of less than 60 feet. 4. Water Lines: All water lines must be a minimum 36 -inches below the ditch flow line and cased. Waterlines shall be cased if crossing under the roadway. 5. Utilities in all new developments that have 60 feet or greater of right of way shall be installed within designated locations based upon the type of utility. The locations shall be as follows: (measured from back of right-of-way). Power --0 to 2 feet, nominally 1' Phone- 2 to 4 feet, nominally 3' Gas -- 4 to 6 feet, nominally 5' Cable — 6 to 8 feet, nominally 7' 6. Utilities with less than 60 feet right-of-way in all new developments shall install the utility in a similar manner as referenced in No. 3 above; however, the County Engineer or its designated representative will provide final approval of each utility location. 7. The length of any trench to be opened in advance of the pipe, conduit or ducts may not be longer than 400' if left open over night or unattended. 8. Crossings under a county road shall: a. be bored or jacked. ABSOLUTELY NO OPEN CUTS WITHIN COUNTY ROAD PAVEMENT, b. be pressure grouted for the full length of the crossing if the annular space between pipe and. casing and soil exceeds one (1) inch. Brazos County must be given 24 hours notice of pressure grouting operations and have the opportunity to have an inspector on site to observe pressure grouting - -operations;-____ _ _ ...... . c. TxDOT Standard Specification item 476 shall be followed for all boring, jacking, tunneling and joints. 9. Bore Pits: a. no pits shall remain open longer than 2 days; b. all pits shall have proper traffic control measures in place. See Traffic Control Plan listed above. c. pits shall NOT be located within ten (10) feet from the edge of pavement without prior approval from the County Engineer or his representative; d. when pits are to remain open for more than 8 hours, due diligence will be used in protecting the spoil pile to prevent drainage problems; e. based upon soil conditions, the County Engineer or his representative may require shoring to protect pavement integrity; f based upon soil conditions, the County Engineer or his representative may require pits be placed further from the edge of road. 10. Any installation within ten (10) feet of edge of pavement shall meet the following: a. location must be approved by the County Engineer or his representative b. backfilled with cement stabilized material. c, based upon soil conditions, the County Engineer or his representative may require shoring to protect pavement integrity. d. all excess water and mud shall be removed from the trench prior to backfilling. Any backfill placed during a rainy period or at other times where excess water cannot be prevented from entering the trench will be considered TEMPORARY and shall be replaced with PERMANENT cement stabilized material as soon as weather permits; e. all disturbed base and pavement materials shall be removed and restored to the satisfaction of the County Engineer or his representatives. f. no side or lateral tamping to fill voids under the base and pavement materials is allowed. 11. Company must be careful to not jeopardize the slope or integrity of the shoulder of the road. In the event Company damages the slope, shoulder or any other portion of the right-of-way, Company will be responsible for repairing the damage and replacing the tight -of -way to the condition it was prior to commencing construction. 12. Operation of construction and/or maintenance equipment on the traveled surface of any improved County road will not be permitted, except in an instance whereby the laying, construction, maintenance and/or repair of cables, conduits and/or pole lines cannot be accomplished by any other method and in this event all such equipment. shall be of the rubber tire variety. Appropriate traffic control shall be provided meeting TMUTCD requirements.. • - 13. In the event said construction and/or maintenance and/or repair requires Company to remove, cut or jeopardize any section of the road (asphalt, cement, road base, etc.), Company will be required to provide a performance bond or letter of credit securing necessary repairs. Said bond amount will be determined by the County Engineer. 14. The applicant shall submit a Ietter of "No Objection' from the Army Corps of Engineers for all designated wetlands and environmentally sensitive lands. E. Emereency work 1. In the event Company is required to perform emergency services, that requires excavation in a County Right of Way, and unable to notify the County Engineer prior to conducting emergency repairs, Company • shall notify County Engineer within 24 hours of beginning construction/repairs. This will allow the County Engineer's Office an opportunity to inspect the site to ensure the integrity of the County Right of Way and traffic safety controls used. F. Repairs to existine facilities 1. Maintenance and/or repair to existing cables, conduits, and/or pole lines which require disturbance of the soil, shall not be performed until plans describing such maintenance and/or repair have been approved by the County Engineer or its designated representative and a permit has been obtained. G. Relocation of utilities 1. When and if the County Engineer determines that it is necessary for the construction, repair, improvement, alteration or relocation of all or any portion of said road, any or all poles, wires, pipes, cables or other facilities and appurtenances authorized hereunder, shall beremoved from said road, or reset or relocated thereon, as required by the County Engineer within a reasonable time as determined by the County Engineer and Utility. Company, and at the expense of the Utility Company. H. Hieh Pressure Pipelines 1. All utility Permits for high pressure pipelines (generally 60 PSI or greater), whether pertaining to controlled access or non -controlled access installations, should contain the following additional information in the description of the permit. -diameter -wall thickness -material specification -minimum yield strength -maximum operation pressure of the pipeline 2. With the exception of the maximum operation pressure of the pipeline, this information is to be supplied for both the carrier pipe and the casing. 3. Assurance must also be given that the installation material and design meet the minimum Federal Safety Standards for Liquid and Gas Pipe Lines. Assurance must be provided on company letterhead and signed by an authorized representative of the company. 4. General Requirements 1. Adequate drainage shall be maintained in ditches at all times. 2. Permittee will use best management practices ("BMP") (EPA and TCEQ both provide lists of examples of BMPs) to minimize erosion and sedimentation resulting from the proposed installation. 3. The permittee shall take precautions to avoid damage to property. All County Right of Way and property shall be restored to its original condition, as far as practical, in the opinion of the County Engineer or appointed representative. 4. The construction and maintenance of such utility shall not interfere with the property or rights of a prior occupant. 5. Permittee shall not interfere with other utilities located in the right of way. In the event damages occur, permittee will be liable to the County or other utilities running through the right of way. 6. County Engineer shall determine whether or not permittee's plans shall inconvenience the public. If it is determined that inconvenience to the public exists, then the County Engineer will decide whether such project will be allowed or if an alternative exists so as not to inconvenience the public. B. Safetp Requirements 1. Proper traffic control measures must be put in place prior to beginning work and remain in place during the duration of the job. All traffic control measures must follow the Texas Manual of Uniform Traffic Control Devices (TMUTCD). See Traffic Control Requirements below. 2. During construction, all safety regulations of the Texas Department of Transportation shall be observed. 3. Permittee must take such precautions and measures, including placing and displaying safety devices, as may be necessary, in order to safely conduct the public through the project area. Company shall provide flagmen, signs, signals or devices necessary to provide complete safety to the public. 4. Adequate provisions must be made to cause minimum inconveniences to traffic and adjacent property owners. 5. No cable, conduit and/or pole Iine shall be laid, constructed, maintained and/or repaired so as to constitute a danger or hazard of any kind to persons or vehicles using such road. Any poles placed in the Right of Way for future installation shall be placed at the back of the Right of Way. Exceptions may be approved by the County Engineer. C. Traffic Control Plan I : A traffic control plan, pursuant to the TMUTCD or Engineered Traffic Control Plan must be provided for the following: a. Any construction (i.e. pit, excavation, hole) left open overnight, requires specific nighttime traffic control. measures pursuant to. the TMUTCD; 'I' b. If construction is within ten (10) feet of the roadway; or c. Any work performed in the road right-of-way; 2. Plan must be attached to the permit and kept at the job site any time work is being performed. 3. Plan must set forth the time of completion for the job. D. Design Standards 1. All overhead installations shall conform to clearance standards of the Texas Department of Transportation and the pole be placed in the designated area for power specified as set forth in the Teras Utilities Code, Section 181.045. 2. All pole installation (including lighting) shall be placed at the backside of the Right of Way to ensure safety to the public. Any pole placed in violation of this requirement will be required to be moved to the appropriate location at the company's expense. Exceptions may be approved by the County Engineer. All underground installations shall (these are minimum depths — utility may place deeper): a. be placed at a minimum depth of forty-eight (48) inches below the top of the pavement; b. be at least thirty-six (36) inches below ditch flow line when installation is within the area measured from top of bank to top of bank; c. be at least forty-eight (48) inches below ditch flow line if low pressure gas or petroleum lines. For high pressure gas and petroleum lines, see High Pressure Pipelines requirements listed below; d. not be closer than ten (10) feet from the edge of pavement. Exceptions may apply in rights of way of less than 60 feet. 4. Water Lines: All water lines must be a minimum 36 -inches below the ditch flow line and cased. Waterlines shall be cased if crossing under the roadway. 5. Utilities in all new developments that have 60 feet or greater of right of way shall be installed within designated locations based upon the type of utility. The locations shall be as follows: (measured from back of right-of-way). Power—.0 to 2 feet, nominally V Phone— 2 to 4 feet, nominally 3' Gas — 4 to 6 feet, nominally 5' Cable — 6 to 8 feet, nominally 7' 6. Utilities with less than 60 feet right-of-way in all new developments shall install the utility in.a similar manner as referenced in No. 3 above; however, the County Engineer or its designated representative will provide final approval of each utility location. 7. The length of any trench to be opened in advance of the pipe, conduit or ducts may not be longer than 400' if left open over night or unattended. 8. Crossings under a county road shall: a. be bored or jacked. ABSOLUTELY NO OPEN CUTS WITHIN COUNTY ROAD PAVEMENT; b. be. pressure grouted for the full length of the crossing if the annular space between pipe and casing and soil exceeds one (1) inch. Brazos County must be given 24 hours notice of pressure grouting operations and have the opportunity to have an inspector on site to observe pressure grouting operations; Vol. 299 Pc•13—L c. TxDOT Standard Specification Item 476 shall be followed for all boring, jacking, tunneling and joints. 9. Bore Pits: a. no pits shall remain open longer than 2 days; b. all pits shall have proper traffic control measures in place. See Traffic Control Plan listed above. c. pits shall NOT be located within ten (10) feet from the edge of pavement without prior approval from the County Engineer or his representative; d. when pits are to remain open for more than 8 hours, due diligence will be used in protecting the spoil pile to prevent drainage problems; e. based upon soil conditions, the County Engineer or his representative may require shoring to protect pavement integrity; f. based upon soil conditions, the County Engineer or his representative may require pits be placed further from the edge of road. 10. Any installation within ten (10) feet of edge of pavement shall meet the following: a. location must be approved by the County Engineer or his representative b. backfilled with cement stabilized material, c. based upon soil conditions, the County Engineer or his representative may require shoring to protect pavement integrity. d. all excess water and mud shall be removed from the trench prior to backfilling. Any backfill placed during a rainy period or at other times where excess water cannot be prevented from entering the trench will be considered TEMPORARY and shall be replaced with PERMANENT cement stabilized material as soon as weather permits; e. all disturbed base and pavement materials shall be removed and restored to the satisfaction of the County Engineer or his representatives. f, no side or lateral tamping to fill voids under the base and pavement materials is allowed. 11. Company must be careful to not jeopardize the slope or integrity of the shoulder of the road. In the event Company damages the slope, shoulder or any other portion of the right-of-way, Company will be responsible for repairing the damage and replacing the right-of-way to the condition it was prior to commencing construction. 12. Operation of construction and/or maintenance equipment on the traveled surface of any improved County road will not be permitted, except in an instance whereby the laying, construction, maintenance and/or repair of cables, conduits and/or pole lines cannot be accomplished by any other method and in this event all such equipment shall be of the rubber tire variety. Appropriate traffic control shall be provided meeting TMUTCD 'requirements. 13. In the event said construction and/or maintenance and/or repair requires Company to remove, cut or jeopardize any section of the road (asphalt, cement, road base, etc.), Company will be required to provide a performance bond or letter of credit securing necessary repairs. Said bond amount will be determined by the County Engineer. 14. The applicant shall submit a letter of "No Objection" from the Army Corps of Engineers for all designated wetlands and environmentally sensitive lands. E. Emergency work 1. In the event Company is required to perform emergency services, that requires excavation in a County Right of Way, and unable to notify the County Engineer prior to conducting emergency repairs, Company V0 ® Pg.1= shall notify County Engineer within 24 hours of beginning construction/repairs. This will allow the County Engineer's Office an opportunity to inspect the site to ensure the integrity of the County Right of Way and traffic safety controls used. F. Repairs to existing facilities 1. Maintenance and/or repair to existing cables, conduits, and/or pole lines which require disturbance of the soil, shall not be performed until plans describing such maintenance and/or repair have been approved by the County Engineer or its designated representative and a permit has been obtained. G. Relocation of utilities 1. When and if the County Engineer determines that it is necessary for the construction, repair, improvement, alteration or relocation of all or any portion of said road, any or all poles, wires, pipes, cables or other facilities and appurtenances authorized hereunder, shall be removed from said road, or reset or relocated thereon, as required by the County Engineer within a reasonable time as determined by the County Engineer and Utility Company, and at the expense of the Utility Company. H. Higlt Pressure Pipelines I . All utility Permits for high pressure pipelines (generally 60 PSI or greater), whether pertaining to controlled access or non -controlled access installations, should contain the following additional information in the description of the permit. -diameter -wall thickness -material specification -minimum yield strength -maximum operation pressure of the pipeline 2. With the exception of the maximum operation pressure of the pipeline, this information is to be supplied for both the carrier pipe and the casing. 3. Assurance must also be given that the installation material and design meet the minimum Federal Safety Standards for Liquid and Gas Pipe Lines. Assurance must be provided on company letterhead and signed by an authorized representative of the company. 4. BRAZOSCOUNTY RESOLUTION LEVYING A TAX RATE FOR THE COUNTY OF BRAZOS FOR THE TAX YEAR 2019 WHEREAS, the Commissioners' Court is responsible for the levy for adoption of a tax rate for Brazos County. NOW, THEREFORE, BE IT RESOLVED that the Commissioners' Court of Brazos County, Texas does hereby levy or adopt the tax rate on $100 of valuation for the County of Brazos for the tax year 2019 as follows: $0.4475 for the purpose of maintenance and operations $0.0500 for the payment of principal and interest on county debt SDA905 Total Tax Rate THIS TAX RATE WILL RAISE MORE TAXES FOR MAINTENANCE AND OPERATIONS THAN LAST YEAR'S RATE. THE TAX RATE WILL EFFECTIVELY BE RAISED BY 7.44 PERCENT AND WILL RAISE TAXES FOR MAINTENANCE AND OPERATIONS ON A $100,000 HOME BY APPROXIMATELY $15.80. GUIDELINES MERIT PAY Brazos County Judge is proposing to provide to all operating divisions, funds to be used by the elected official and/or department head for the sole purpose of employee merit pay. The merit pay pool for each department provides the elected official and/or department head the opportunity to reward those employees within their department for outstanding performance. The following guidelines are to be followed by all elected officials and/or department heads with implementing the use of merit pay increases for Fiscal Year 2020: 1. To be eligible to receive merit funds from the merit pool an employee must be employed with the County for six (6) months as of May 22, 2019. 2. Deadline for submission to the Budget Office is at.noon on Wednesday, May 22, 2019. 3. All merit pay requests must be made using the Proposed FY 2020 group and step chart (e.g. all request must be based on the step increases provided for the group in which the employee is currently classified); 4. Merit may not be used to increase an employee's salary over the salary cap for their position. Currently the salary cap within each group is a step 15; 5. Employees, who are on group and step, cannot be increased by more than 2 stens. Employees, who are not on group and step, salaries cannot be increased by more than 5%: 6. All merit pay will be based on an annualized basis regardless of what the effective date of the distribution of the merit pay; 7. At no time during the year may the elected official and/or department head, under the direction of Commissioner's Court, use funds available in the merit pool forthe department to increase the elected official or department head's salary; 8. Once the elected official and/or department head has chosen the position (s) to receive a merit, a memo should be submitted to the Budget Office requesting a Position Control Changes calculation worksheet for FY 18. Items to be included in the memo are as follows; Position Title, Class Code and Position Number, Budgeted Group/Step, Requested Step, AND Hire Date. For employees who are not on Group/Step list the percentage of increase or dollar amount (not to exceed 5%) 9.
