PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and_ do not necessarily represent the religious beliefs or views of the Court in part or as a whole. FEBRUARY 5, 2019 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, February 5, 2019 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Sammy Catalena, Commissioner of Precinct 2, Absent; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. 1. Invocation and Pledge of Allegiance - U.S. and Texas Flag - Judge Peters 2. Call for Citizen input and/or concerns There was no citizen's input. 3. Presentations and/or Discussions • a. Presentation by Mike Record with Arkitex Studio with results of the Brazos County Agrilife Extension building feasibility study. Mike Record with Arkitex Studio gave an update on the Brazos County Extension Office Vol. a?pg, oaq building project. He explained the need for a new building and the information gathered for the feasibility study. The total budget for this project is set at $2,500,000.00. Commissioner Aldrich asked if the garden would stay where it is. Charles Wendt, Purchasing Agent said yes, but stated there is space at the new location for a garden moving forward, as well. Commissioner Cauley commended the Extension Office staff for working so well together under cramped quarters. She then asked why the project was scaled back to 9,000 square feet from 11,000 square feet. J udge Peters stated it was because of budget constraints. Mr. Wendt pointed out that there is still room for expansion and growth. Commissioner Berry stated that the kitchen seems rather small. Mr. Record said yes, but explained that it opens to a large meeting room. Dusty Tittle, County Extension Agent thanked the Commissioners Court for their help in this project. A copy of the presentation is attached. • b. Presentation by Dr. Rebekka Dudensing with results of the FY 2018 Economic Impact Analysis for the Brazos County Exposition Complex. The Brazos County Exposition Complex Manager Carl Kolbe recognized his core staff and introduced them along with their job duties at the Expo. He stated that these are the people that keep things running smoothly. Mr. Kolbe went on to say that this is the 11th year of operation for the Expo and introduced Dr. Rebekka Dudensing to begin the presentation. Dr. Dudensing explained the FY 2018 Economic Impact Analysis to the Court. She stated that the Phase 3 Expansion of the Exposition Complex in 2017 allowed for a lot more events. The Expo hosted 30 more events this year, for a total of 192 and created 216 more jobs. Dr. Dudensing stated that the horse shows were up from 14 to 20 this year and those tend to have the biggest economic output. She also stated that there was 78% growth in current year spending. The Court commended the Expo staff for the job they do. A copy of the Economic I mpact report is attached. Consider and take action on agenda items 4-22: 4. Bruce Erratt, Legal Counsel clarified that there is no need for the License Agreement. Judge Peters announced that there will not be a Regular Commissioners Court meeting on Tuesday, February 12, 2019 due to the lack of a quorum. The Court will hold a Special Called Session to approve claims and other agenda items on Wednesday, February 13, 2019 at 10:00 am instead. 29. Economic contribution.arialysis.is based on the idea that a dollar spent in'a regionstimulate.s.additional economic activity, or multiplies as it circulates through the economy.. This: multiplier effect. recognizes that the total effect on output; employment; personal income and government revenue in the region is . greater than the initial Aollar spent. A. visitor's .expenditure at a local restaurant or store contributes not only. to thaf business; but to its suppliers and its suppliers'. suppliers (the indirect effect), .the incomes of each of their employees who then spend their earnings (the induced effect); and tax. revenues. Of course; some of the original expenditure leaks out of the regional economy, for example as inventory is imported from .other regions, employees commute from. other regions, and businesses and households pay state and federal taxes. Multipliers are calculated. based on the purchasing patterns of industries and institutions in the. regional economy using IMPLAN.3 The total effects.are. the sum of direct,, indirect and induced for.each of the outcomes: employment;. labor. income; total value added (contribution to gross .regional project) . and output. (gross sales).: Only expenditures by. visitors are included in the economic impact analysis. because their spending represents new money in the county.economy. Itis assumed that local county residents might have spent their money elsewhere.in.the county if they had not attended an Expo event;, thus, there is no economic impact. The Property shall include, without limitation, the grounds at such address and all buildings and rooms and other structures located thereon (including, but not limited to, balconies and patios), together with access to and egress from the Property. Producer may use the Properly until all scenes requiring the Property have been completed. Owner's sole remedy for breach ofthis agreement by Producer shall be an action for money damages. In no event will Owner be entitled to injunctive or other equitable relief, and in no event will Owner be entitled to terminate this agreement. Producer has no obligation to include the Property in the Program or in any other production. Owner represents and warrants that (a) Owner has the right to enter into this agreement and to grant Producer all rights provided by this contract; (b) in the event that Owner is not the legal owner of the Property, Owner represents and warrants that Owner has secured from the legal owner the right and authority to enter into this agreement and to grant Producer all rights provided hereunder; (c) the consent or permission of no other person or entity is necessary; and (d) Owner shall take no action, nor allow or authorize any third party to take any action which might interfere with Producer's authorized use of the Property. Owner shall indemnify, defend and hold Producer harmless for any breach of the representationsand warranties. Owner shall keep in strictest confidence and shall not disclose to any participant or other third party at any time (i.e., prior to, during, or after the taping or exhibition of the Program) any information or materials concerning or relating to Producer or to Oxygen Media LLC and/or NBCUniversal (collectively, "Network'), the business of Producer or the Network, any program produced by Producer and/or exhibited by the Network, including, without limitation, any information concerning or relating to the Program, the Program participants(including without limitation the host, judges, and contestants), the location(s) of the Program, the events, contests and challenges contained in the Program or the outcome of any event, contest and challenge in the Program, that Owner reads, hears or otherwise acquires or teams in connection with or as a result Of Owner's participation on the Program (collectively, "Confidential Information"). Owner acknowledges and agrees that the Confidential Information is confidential and the exclusive property of Producer and/or the Network. At no time will Owner ever, directly, or indirectly, divulge in any manner, or use or permit others to use, any ofthe Confidential Information. Owner's obligations with respect to confidentiality as set forth in this paragraph shall continue in perpetuity or until terminated by the Network in writing. In no event shall Owner have the right to terminate its confidentiality obligations under this agreemerrL This agreement and all matters or issues collateral thereto shall be governed by the internal, substantive laws of the State of Texas without regard to the conflicts of laws or choice of law provisions of any state. To the extent permitted under the applicable law governing the sovereign immunity of Brazos County, Texas, Owner will defend, indemnify and hold harmless Producer, its licensees, successors and assigns, their respective parent, subsidiary and affiliated companies, and each of their respective officers, directors, agents, representatives and employees, from and against any and all third -party claims, actions, damages, liabilities, losses, costs and expenses (including, without limitation, attorneys' fees and court costs whether or not in connection with litigation) that in any way arise out of or result from Owner's negligence or willful misconduct or Owner's breach of this agreement. The parties acknowledge that Producer shall control the defense of any claim(s) brought against Producer, provided that Owner shall assume the defense if so requested by Producer. The termination of this agreement shall not affect the continuing indemnity obligation of Owner as set forth herein. Owner agrees that Producer may license, assign and otherwise transfer this agreement and all rights granted by Owner to Producer under this agreement to any person or entity. Oxygen Media LLC and NBCUniversal are express intended third party beneficiaries of this Agreement, with full standing to enforce each, every, any and all of its provisions as if each was an express party thereto. Producer shall have the right to cancel this agreement at any time prior to Producer's use of the Property. Upon Producer's cancellation of this agreement, neither Producer nor Owner shall have any obligations whatsoever under this agreement, and Owner shall immediately refund to Producer any and all sums previously paid by Producer pursuant to this agreement (if any). Producer's liability of any kind or nature with respect to its use of the Property shall be limited to the following: Producer agrees to use reasonable care to prevent damage to the Property and will indemnify and hold Owner harmless from any claims and demands of any person or persons arising out of or based upon personal injuries or property damage resulting from the negligence or willful misconduct of Producer, its officers, employees, agents or representatives while Producer is engaged in the aforementioned use of the Property, except to the.extent that Owner contributes to such injury or damage. Without in any way limiting the foregoing, all rights of every kind in and to all photographs, film and recordings made on the Property (including, without limitation, all copyrights) shall be and remain vested in Producer, including, without limitation, the right to use and reuse all such photographs, fihn and recordings in and in connection with subsequent related and unrelated productions of any kind, as well as in and in connection with advertisements, promotions, publicity, clips, and other materials, etc. Neither Owner nor any tenant or any other party having an interest in the Property shall have any claim or action against Producer or any other party arising out of any use of the photographs, film and/or recordings. Owner's sole remedy for breach of this agreement by Producer shall be an action for money damages. In no event will Owner be entitled to injunctive or other equitable relief, and in no event will Owner be entitled to terminate this agreement. Producer has no obligation to include the Property in the Program or in any other production. Owner represents and warrants that (a) Owner has the right to enter into this agreement and to grant Producer all rights provided by this contract; (b) in the event that Owner is not the legal owner of the Property, Owner represents and warrants that Owner has secured from the legal owner the right and authority to enter into this agreement and to grant Producer all rights provided hereunder; (c) the consent or permission of no other person or entity is necessary; and (d) Owner shall take no action, nor allow or authorize any third party to take any action which might interfere with Producer's authorized use of the Property. Owner shall indemnify, defend and hold Producer harmless for any breach of the representations and warranties. Owner shall keep in strictest confidence and shall not disclose to any participant or other third party at any time (i.e., prior to, during, or after the taping or exhibition of the Program) any information or materials concerning or relating to Producer or to Oxygen Media LLC and/or NBCUniversal (collectively, "Network"), the business of Producer or the Network, any program produced by Producer and/or exhibited by the Network, including, without limitation, any information concerning or relating to the Program, the Program participants(including without limitation the host, judges, and contestants), the location(s) of the Program, the events, contests and challenges contained in the Program or the outcome of any event, contest and challenge in the Program, that Owner reads, hears or otherwise acquires or learns in connection with or as a result of Owner's participation on the Program (collectively, "Confidential Information"). Owner acknowledges and agrees that the Confidential Information is confidential and the exclusive property of Producer and/or the Network. At no time will Owner ever, directly or indirectly, divulge in any manner, or use or permit others to use, any of the Confidential Information. Owner's obligations with respect to confidentiality as set forth in this paragraph shall continue in perpetuity or until terminated by the Network in writing. In no event shall Owner have the right to terminate its confidentiality obligations under this agreement. This agreement and all matters or issues collateral thereto shall be governed by the internal, substantive laws of the State of Texas without regard to the conflicts of laws or choice of law provisions of any state. To the extent permitted under the applicable'law governing the sovereign immunity of Brazos County, Texas, Owner will defend, indemnify and hold harmless Producer, its licensees, successors and assigns, their respective parent, subsidiary and affiliated companies, and each of their respective officers, directors, agents, representatives and employees, from and against -any and all third -party claims, actions, damages, liabilities, losses, costs and expenses (including, without limitation, attorneys' fees and court costs whether or not in connection with litigation) that in any way arise out of or result from Owner's negligence or willful misconduct or Owner's breach of this agreement. The parties acknowledge that Producer shall control the defense of any claim(s) brought against Producer, provided that Owner shall assume the defense if so requested by Producer. The termination of this agreement shall not affect the continuing indemnity obligation of Owner as set forth herein. Owner agrees that Producer may license, assign and otherwise transfer this agreement and all rights granted by Owner to Producer under this agreement to any person or entity. Oxygen Media LLC and NBCUniversal are express.intended third- party beneficiaries of this Agreement, with full standing to enforce each, every, any and all of its provisions as if each was an express party thereto. Producer shall have the right to cancel this agreement at any time prior to Producer's use of the Property. Upon Producer's cancellation of this agreement, neither Producer nor Owner shall have any obligations whatsoever under this agreement, and Owner shall immediately refund to Producer any and all sums previously paid by Producer pursuant to this agreement (if any). If any provisions of this agreement are held to be void or unenforceable, all other provisions of this agreement shall continue in full force and effect. Investment interest deposited during the quarter was $223,521.81. Actual ending balance invested at 12/31/2018 was $29,395,899.64. The average rate of interest earned on the depository checking account balances for the quarter ending 12/31/2018 was 0.90% netting $188,557.37 for the quarter end on an average depository investable balance of $83,058,989.16. Total interest earned for quarter ending 12/31/2018 was $412,079.18. Investment Strategy The Brazos County Investment Strategy will remain focused on short -termed investments with the safety of principal as the foremost objective followed by liquidity and yield as per the Brazos County Investment Policy. While the majority of available funds are in the County's depository collateralized at 110%, we have begun the process of reinstating an investment committee and preparing a broker questionnaire to take advantage of rising interest rates. The County has concluded our depository relationship with BUT and all checking accounts are closed as of 9/30/18. The County is earning 0.90% on the funds now held in BBVA Compass checking accounts for the term of the contract. For diversification the County has an investment account with TexPool that provides the safety of an overnight market. In September the County moved funds to Texas Class investment pool for further diversification. r Summary of Portfolio Changes The deposit of interest is the only portfolio change to balances at this time and the Weighted Average Maturity of investments remains at 1 day due to the liquidity of funds invested with TexPool, Texas Class and on deposit at BBVA Compass.
