PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a
Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the
Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
it is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity
of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly,
profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions:
1. cancellation of a speaker's time;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge
and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to
attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business
of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave., Suite 106, Bryan, TX 77803 is
wheelchair accessible. Handicap parking spaces are available. Any request for sign interpretive services must be made two

BRAZOS COUNTY COMMISSIONERS COURT
REGULAR MEETING
A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South
Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday,
June 12, 2018 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1;
Sammy Catalena, Commissioner of Precinct 2;
Nancy Berry, Commissioner of Precinct 3;
Irma Cauley, Commissioner of Precinct 4;
Karen McQueen, County Clerk, Absent.
The attached sheets contain the names of the citizens and officials that were in
attendance.
Invocation and Pledge of Allegiance

There was no citizen's input.
Presentations and/or Discussions
a. Annual report of the Brazos County PACE Program.
A presentation was given by President of Texas PACE Authority Charlene Heydinger
regarding the Texas Property Assessed Clean Energy (PACE) Authority 2017 Annual
Report. Mrs. Heydinger first thanked the Court for their support of the PACE Program.

She said that Brazos County is one of thirteen counties to establish the program. Mrs.
Heydinger highlighted several building projects they are currently involved in. She said
as the PACE Program grows she expects their fees to be reduced.
Commissioner Berry thanked Mrs. Heydinger and said that she thinks this is a wonderful
program.
Commissioner Aldrich thanked Commissioner Cauley for initiating the County's
involvement in the program. He said he is looking forward to what is to come.
Commissioner Cauley also thanked Mrs. Heydinger and suggested she speak to the
Downtown Bryan Association.

b. Results of the 2018 Chamber Day.
A presentation was given by Bryan College Station Chamber of Commerce President
Glen Brewer and Community Liaison Royce Hickman regarding the Chamber Day
event. Mr. Brewer stated the Chamber Day event was held on March 30, 2017 and was
a record breaking event. Mr. Brewer said that there were 230 volunteers, 65 teams and
1206 businesses were visited on Chamber Day. Participants were given a survey to
answer and they received 912 responses. He handed out reports to each of the Court
members outlining the results from the survey. Mr. Brewer also thanked the Court for
their support and especially Commissioner Berry for joining them on the annual
Washington D.C. trip.
The Court thanked Mr. Brewer for his great work.

Judge Peters noted that a correction needs to be made to Job Description (a), the
department for the Workers Compensation Coordinator should be changed from Human
Resources to Risk Management.
Commissioner Berry offered a motion to approve the job descriptions with the noted
correction. Commissioner Aldrich seconded the motion and it passed unanimously.

Q4931 LA -01 to the TdTech I nform RMS project to replicate the production Inform -
Odyssey interfaces in the TestTraining environment.
Information Technology Director Eric Caldwell stated that this allows them to replicate
test data between the two systems for training purposes.

Texas Government Code 551.074 as stated above.

Coordinates the handling of all workers compensation claims with the counties third party claims administrator. Administers the drug and alcohol
testing program. Administers the Workers Compensation processes. Administers the Safety Award Program. Enters and/or checks pay. Assists

with the administration of FMLA. Establish and maintain employment files. Assist employees and retirees with questions regarding pay, retirement,

General Summary:
This position is responsible for assisting the Senior Manager, staff and volunteers in planning, organizing,
developing and successfully managing/operating the Brazos Valley Fair & Rodeo. It is responsible for
assisting the Senior Manager in providing the overall direction and leadership required to accomplish the
mission and goals established for the organization/event.
Essential Duties:
1. Manage specific aspects of the Brazos' Valley Fair & Rodeo pertaining to all competitive events within the
Fair including livestock shows, creative arts contests, and daily contests. To include but not limited to
encompassing rule books, entries, communication with exhibitors, awards, vouchers, scholarships, and
show day logistics.
2. Assist in supervising, training and evaluating volunteers of the Brazos Valley Fair & Rodeo. Handle
volunteer management and retentions. Provide the direction and leadership needed to develop and grow
the organization/event into a nationally recognized mid-major/regional fair with a high level of volunteer
involvement, interaction and retentioln.
3. Coordinate scholarship program including administration, committee selection, and awards, plus
planning scholarship presentations.
4. Maintain website presentation with regards to managing information and keeping website updated and
valid as a means of information presentation to fair attendees, participants, volunteers and sponsors.
6. Assist in developing and administering fair policies and procedures and setting goals and objectives
including the development of creative innovative methods or ways to make the Brazos Valley Fair &
Rodeo a recognized leader in the fair industry.

I. Provision of Online Services..
(a) Services. Subject to the terms and conditions set fortlrherein, Customer hzreby engages NEOGOV,
and NEOGOV hereby agrees, to Provide Customer with, and/or access to, the services (the "Services") de NEOGOV,
cribed in
this Agreement and in the order form attached hereto as Exhibit A (the "Order Forth"), Customer hereby
acknowledges and agrees that NEOGOV's provision and performance of, and Customer's access to, the Services is
dependent and conditioned upon Customer's full performance of its duties, obligations and responsibilities hereunder.
(b) Change Orders, Either party may initiate a change to any part of the Order Form by delivering a
written change order request to the other party. The receiving party shall notify the party making such request, in
writing accept ten (10) business days ofsuch receiving party's receipt of 511011 change order request, of such receiving
party's acceptance , rejection of the proposed changes. If the receiving party fails to respond within such ten (10)
business day period, such receiving party shall be deemed to have rejected such proposed chauges. If the receiving
party approves such change order, the parties shall agree on the estimate of time to complete the changes, associated
costs, an impact analysis indicating ramifications or impacts to the overall project, a modification of any affected Fees,
Services or deliverables, and any other relevant details related to such change order.
2. Customer Responsibilities. In connection with the performance ofthis Agreement and the provision of the
Services, Customer shall be responsible for the following:
(a) Compliance with Laws. Customer shall be responsible for ensuring that Custo
laws, code and ordinances. mer's use of the
Services and the performance of Customer's other obligations hereunder comply with all applicable roles, regulations,

completeness of all records, databases, data and information provided, submitted or uploaded by Customer or its users

algorithms of any portions of the Services or any underlying software or compoany underlying ideas r,

communications of one party with the officers and staff of the other party which are marked or identified as
confidential or secret or similarly marked or identified, (b) other communications which a reasonable person would

"Confidential Information"). Jn recognition of the other party's need to protect its legitimate business interests, each
party hereby covenants and agrees that it shall regard and treat each item of information or data constituting

or (z) except as required by law including the Public Records Act of the State of Texas, redistribute, market, publish,
disclose or dint ge to any other person, font or entity, or use or modify for use, directly or indirectly in any way for
any person or entity. (i) any of the other party's Confidential Information during the Tern and for a period of three
(3) years thereafter or, if later, from the last date Services (including any warranty work) are performed by the
disclosing party hereunder, and (ii) any of the other party's trade secrets at any time during which such information
shallconstitute a trade secret under applicable law. In association with NEOGOV's concern for the protection of rade
secrets, Confidential Information, and fair market competition, Customer acknowledges all photos, "screen cuptures",
videos, or related media of NEOGOV products, pages, and related documentation shall be approved by NEOGOV
prior to any publicly accessible disclosure of such media.
8. Liability Limitations.
(a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
SHALL NEOGOV HAVE ANY LIABILITY TO CUSTOMER OR TO ANY OTHER PERSON OR ENTITY
ARISING OUT OF OR RELATED TO THIS AGREEMENT, INCLUDING, WITHOUT LINITTATION,
CUSTOMER'S USE OR, OR INABILITY TO USE, THE SERVICES, UNDER ANY CIRCUMSTANCE,
CAUSE OF ACTION ORT'HEORY OF LIABHdTY, OR DUE TO ANY EVENT WHATSOEVER, FOR ANY
CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR EXEMPLARY DAMAGES OF ANY KIND,
INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS OPPORTUNITY OR PROFIT, LOSS OF
USE, LOSS OF GOODWILL OR BUSINESS STOPPAGE, EVEN IF NEOGOV KNEW OR SHOULD HAVE

BARGAIN BETWEEN THE PARTIES AND SHALL APPLY NOTWITHSTANDING THE FAILURE OF
THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. EACH PARTY ACKNOWLEDGES THAT
THIS LIMITATION OF LIABILITY REFLECTS AN INFORMED, VOLUNTARY ALLOCATION
BETWEEN THE PARTIES OF THE RISKS (KNOWN AND UMiWOWN) THAT MAY EXIST IN
CONNECTION WITH THIS AGREEMENT AND HAS BEEN TAKEN INTO ACCOUNT AND
REFLECTED IN DETERMINING THE CONSIDERATION TO BE GIVEN BY EACH PARTY UNDER
THIS AGREEMENT AND IN THE DECISION BY EACH PARTY TO ENTER INTO THIS AGREEMENT.
Term and Termination.
(a) Term. This Agreement shall commence on the Effective Date and remain in effect for the initial
term set forth on the Order Form, unless terminated earlier in accordance with this Agreement (the `Initial Tenn').
Thereafter, upon Customer notice to renew and the mutual agreement of the Parties, this Agreement shall renew for
successive twelve (12) month terms (each a "Renewal Term' and together with the Initial Term, collectively, the
"Term's unless terminated earlier in accordance with this Agreement.
(b) Termination. t --
(i) Temdnation by NEOGOV. NEOGOV may suspend the Services or temainate this
Agreement immediately in the event of any of the following: (A) Customer fails to pay any amount then due under
this Agreement and such failure is not cured within five (5) days following NEOGOV's written notice thereof, (B)
Customer is in material breach of this Agreement and such breach is not owed within thirty (30) days following
NEOGOV's written notice thereof,, or (C) the Services provided hereunder become illegal or contrary to any applicable
law, mle, regulation, public policy.
(ii) Termination by Customer. Customer may terminate this Agreement immediately if
NEOGOV is in material breach of this Agreement and such breach is not cured within thirty (30) days following
Customer's written notice thereof.
(c) Effect of Termination.
(i) Generally. Upon expiration or any termination of this Agreement, Customer shall cease
all use and refrain from all further use of the Services and other NEOGOV Intellectual Property, Additionally,
Customer shat be obligated to pay, as of the effective date of such expiration or termination, ail amounts owing to
NEOGOV under this Agreement
(ii) Customer Data Upon expiration or any termination of this Agreement, Customer may
elect to receive either associated data files from the NEOGOV system or read-only access to such files as set forth
below.
(A) Delivery of Insight Data Files. Upon expiration or termination of this Agreement,
in the event that Customer elects to receive Insight data files from the NEOGOV system, NEOGOV shall provide
Customer with a dedicated data file in :CSV format, or provide a proprietary and confidentialdelete of data. Such
data files will be comprised of Customer's standard data contained in NEOGOV's Insight Enterprise (DI) system.
The structure of the relational database will be specific to the Customer's data and will not be representative of the
proprietaryNEOGOV database. NEOGOV retains the right to purge such (lata files from NEOGOV's systems without
consent from, or notice to, the Customer after ninety (90) days atter the date of expiration or termination of this
Agreement.
(B) Read -Only Access. In the event that Customer elects to maintain read-only access
to such associated data files, Customer shall deliver to NEOGOV written.notice_¢f.mQb_election.widtin, .ittet _ A0

under this Agreement.
(d) Survival. Sections 2 4(a) through 4 d 44f , S 6 7 8 9(,), 99d , 72 and 13 shall survive the
termination or expiration of this Agreement.
10. Payments.
(a) Payment Terms. Customer shall pay NEOGOV the applicable fees set forth in the Order Form
(collectively, the "Fees' within the applicable time periods set forth in the Order Form. NEOGOV may invoice all
Fees due under this Agreement in one invoice for each invoice period. The parties agree that all invoices shall be
delivered to the stated "B fil To" party on the Order Form.
(b) Tares. Customer will pay all taxes, duties and levies imposed by all federal, state and local
authorities (including, without limitation, export, sales, use, excise, and value-added taxes) based on the transactions
or payments under this Agreement, except those taxes imposed or based on NEOGOV•s net income or those exempt
by applicable state law. Customer shall provide NEOGOV with a certificate or other evidence of such exemption
with ten (10) days ofNEOGOV's request therefor.
(c) Fee Increases. NEOGOV may, in its sole discretion, increase the Fees for any Renewal Term four
percent (4%) from the prior annual term. NF,OGOV shall provide Customer with written notice of any such Fee
increase at least one hundred twenty (120) days prior to the commencement of such Renewal Term.
11. Farce Maieure. NEOGOV shall not be liable for any damages, costs, expenses or other consequences
incurred by Customer or by any other person or entity as a result of delay in or inability to deliver any Services due to
circumstances or events beyond NEOGOV's reasonable control, including, without limitation; (a) acts of God; (b)
-changes in or in the interpretation of any law, rule, regulation or ordinance; (c) strikes, lockout% or other labor
problems; (d) transportation delays; (e) unavailability of supplies or materials; (f) fire or explosion; (g) riot, military
action or usurped power; or (h) actions or failures to act on the part of a governmental authority.
12. Piggyback Clause. It is understood and agreed by Customer and NEOGOV that any governmental entity
may purchase the services specified herein it accordance with the prices, terms, and conditions of this Agreement. It
is also understood mid agreed that each local entity will estabiish its own contract with NEOGOV, be invoiced
therefrom and make its own payment% to NEOGOV in accordance with the terms of the contract established between
the new governmental entity and NEOGOV. It is also hereby mutually understood and agreed that Customer is not a
legally bound party to any contractual Agreement made between NEOGOV and any entity other than Customer.
13. Miscellaneous.
(a) Assignment This Agreement may not be assigned by either party without the express written
approval of the other party and any attempt at assignment in violation of this Section 13(a) shall be null and void.
(b) Entire Agreement Amendment. This Agreement and the Order Form constitute the entire
agreement between the parties with respect to the subject matter hereof and supersede all prior or conte nporancous
oral and written statements of any kind whatsoever nwde by the parties with respect to such subject matter. This
Agreement may not be modified or amended (and no rights hereunder may be waived) except through a written
instnunent signed by the party to be bound.
(c) Governing U . This Agreement shall be governed by and construed in accordance with the laws

"Onboard (ON) includes Federal I9 standard forms that are updated annually and Federal w4 forms updated every 2-
4 years. Additional forms or form maintenance is available from NEOGOV at the following cost.

(e) NEOGOV Integrations. NEOGOV offers Standard integrations as well as platform APIs for third

(b) Training Fees. Customer shall pay all training Fees within thirty (30) days of the date of Customer's
execution and delivery of this this Order Form.
(c) Set-up and Implementation. Customer shall pay all setup and implementation Fees within thirty (30)
days of the date of Customer's execution and delivery of this this Order Form
(d) Other Fees. Any other Fees owed by Customer to NFOGOV pursuant to this Agreement shall be
paid by Customer within thirty (30) days of Customer's receipt ofNEOGOV's invoice therefor.
3. Miscellaneous.
(a) Online Services Agreement. . This Order Form is an attachment to and pari of that certain Online
Services Agreement (the "Agreement") by and between NEOGOV and Customer. Tents not defined in this Order
Form shall have the meanings set forth in the Agreement THERE ARE SIGNIFICANT ADDITIONAL TERMS
AND CONDITIONS, WARRANTY DISCLAIMERS AND LIABILITY LLVIITATIONS CONTAINED IN THE
AGREEMENT. CUSTOMER HEREBY ACKNOWLEDGES AND AGREES THAT IT HAS READ THE
AGREErvIENT IN ITS ENTIRETY AND AGREE TO BE BOUND BY ITS PROVISIONS.
(b) Effectiveness. Neither Customer nor NEOGOV will be bound by this Order Form until this Order
Form has been signed by authorized representatives of both parties,
(c) Modifications. This Order Form may not be modified or amended except through a written
instrument signed by the party to be bound.

("IPAWS App") is an add-on to CodeRED® that permits County to submit

dissemination. County -designated Initiators with access to the IPAWS App shall
