PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at
the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional
Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a
Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation
under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular,
Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to,
and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the
Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and
appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of
the meeting may result in a Contempt of Court Citation.
tt is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or
group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity
of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly,
profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial,
ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions:
1. cancellation of a speaker's time;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. Fbwever, responses
from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without
notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge
and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing
policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to
attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business
of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave., Suite 106, Bryan, TX 77803 is
wheelchair accessible. Flandicap parking spaces are available. Any request for sign interpretive services must be made two

REGULAR MEETING
A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South
Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday,
March 13, 2018 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Steve Aldrich, Commissioner of Precinct 1;

Wayne Dicky, Jail Administrator stated there were 604 inmates in jail, 523 inmates are
male and 81 are female, 47 have electronic monitors and 19 are pending for monitors.
16. Announcement of interest items and possible future agenda topics.
Commissioner Berry reminded everyone that there is Employee Pot Luck Breakfast
scheduled for March 28th.
Commissioner Berry offered congratulations to Commissioner Cauley on her decisive
win in the primary election.
17. Call for Citizen input and/or concerns
Judge Peters reminded everyone that the Workshop is scheduled to begin at 10:30 a.m.
today.
18. Adjourn.

Proclamation
'Whereas Estene Paulk was born May 13, 1933 in Benchley, Texas; and
-Whereas Estene married Willie Paulin 1953 and moved to Norwalk, Connecticut, spending most of her adult
life there; and
-Whereas Estene was a devoted wife, mother, friend and active member of Bethel African Methodist Episcopal
Church in Norwalk, Connecticut; and
-Whereas Estene joined Bethel African Methodist Episcopal Church in 1956 and served as a Sunday School
Teacher and Superintendent, Assistant Director of Christian Education and the Kitchen Staff; and
-Whereas Estene relocated to Bryan, Texas in 2009 and was a dedicated and loving caregiver for her sister until
she passed away; and
Whereas Estene joined Allen Chapel African Methodist Episcopal Church in 2010; and
Whereas Estene relocated to Bryan, Texas in 2009 and was a dedicated and loving caregiver for her sister until
she passed away; and
-Whereas Estene chairs or enthusiastically serves with the following Allen Chapel AME Church Ministries:
Christian Education, Church Library, Mission Teachers, Class Leader Members, Church Event
Decorator and the Youth Department; and
-Whereas In May, 2017 Estene was crowned Queen Esther for the State of Texas Women's Ministry Society,
10th District; and
-Whereas In December, 2017 Estene was appointed to the church Steward Board by Pastor Kennen Jackson; and
-Whereas Estene is well-respected by her community, family, friends and neighbors for her generosity,
compassion for others and enthusiasm for life.
Now, `therefore, Be It Proclaimed that the Commissioners Court of Brazos County, Texas does hereby_
recognize Estene Paulk as we honor and salute the commitment, dedication and love for her family, church and the
County of Brazos Community, and celebrate her 85 years of life.

Member Agreement
This Agreement ("Agreement") is made between
Brazos County. TX and the Multi -State Inforruation
Sharing and Analysis Center of the United States (MS-
ISAC), a division of the Center for Internet Security
The MS-ISAC will enable information sharing,
analysis, gathering and distribution in a secure manner
using facilities and methods designed to permit
individual Members to submit information about
security threats, vulnerabilities, incidents, and solutions
securely. Only MS-ISAC members have access to
review and retrieve this information. When submitting
information to the MS-ISAC, Primary Custodians will
Identifv information to the MS-ISAC in the following
categories
Category A. information that is provided only to the
MS -1 SAC and w ill not be shared w ith the MS -1 SAC
members or others except as authorized by the Primary
Custodian Category A information also consists of
any non -categorized information provided to the MS-
ISAC and/or pre -cleansed category B information
Category 13: Information which is shared with the MS -
[SAC and in consultation with the Primary Custodian is
cleansed by the MS-ISAC of all identifying information
and then, consistent with applicable laws, will be
shared only with MS-ISAC menmbers, or the
Department of Homeland Security consistent with
paragraph six (6).
Categoiy C information which is shared with the NIS-
ISAC and does not need to be cleansed and may be
shared within the MS-ISAC and outside the MS-ISAC
as appropriate
MS-ISAC members acknowledge that Primary
Custodian has certain cyber and/or critical
infrastructure information and material that is exempt
From disclosure to the public or other unatnhorized
persons under federal or state laws including the
Homeland Security Act of 3003 (6 U S C § 133) MS-
I SAC members may provide access to this information
and material In order to fac rhtate interstate
communication regarding cyberand/or critical
infrastructure readiness and response efforts These
efforts include, but arc not limited to, disseminating
early warnings of physical and cybersystem threats,
sharing security incident information between U S
states, territories, the District of Columbia, tribal
nations and local governments, providing trends and
other analysis for security planning, and distributing
current proven security practices and suggestions .As a
participating member of the MS -I SAC, Primary
Custodian agrees that when sharing this information
with MS -1 SAC members it will do so through the MS-
ISAC in accordance with the categories established in
this document. MS-ISAC members agree to the terns
and conditions contained in this Agreement.
NOW THEREFORE', in consideration of the above
promises recited herein, the parties agree to the
following•

owns the Data. Each collection of Data (database.
File, etc ) shall have a single Primary Custodian

protection of Category A Information is essential to
the security of Primary Custodian and the mission
of the N1S-I SAC The purpose of this Agreement is
to enable Primary Custodian to make disclosures of
Category A information to MS-ISAC while still
maintaining rights in, and control over, Category A
information The purpose is also to preserve
confidentiality of the Category A information and
to prevent Its unauthorized disclosure It is
understood that'thls Agreement does not grant MS-
I SAC or members an express or implied license or
an option on a license, or anv other rights to or
interests in the Category A information, or
otherwise I f Primary Custodian retracts any
information it sent to the MS-ISAC, then, upon
noufication by the Primary Custodian, the NIS-
ISAC will destroy such information and all copies
thereof, and notify MS-ISAC members todestrov

to destroy the information based on applicable law,
then the member will continue to maintain the

and services for which competition is precluded due to limited availability by a sole source
and is made by a county under Local Government Code §262.024(a)(7)(A). This Order

Requested Action/ Recommendation:
Approval of exemption from competitive bidding requirements, for the purchase of goods and
services related to detention security hardware, software and installation from Argyle pursuant to
Section 262.024 (a)(7) of the Local Government Code.
Background:
Ernest Stutts, Facility Services director, has requested the purchase of detention related goods
and services from Argyle for use by the Brazos County Jail and provided the attached
memorandum including justification for this purchase. Based on the information included in this
memo, the sole source letter from Argyle Security, Brazos County's experience with detention
providers, as well as the detention industry's propensity for using proprietary technology,
Purchasing believes that this purchase can only be obtained from one source.
The approval of a sole source purchase meets the exemption requirements of Section 262.024
(a)(7) of the Local Government Code. This section provides for exemption based on purchasing
items that can be obtained from only one source. The exemption complies with Local
Government Code for sole source purchases. Section 262.024 (c) requires that if an item
exempted under Subsection (a)(7) is purchased, the commissioners court, after accepting a
signed statement from the county official who makes purchases for the county as to the existence
of only one source, must enter in its minutes a statement to that effect. This Memo complies with
that requirement.

GENERAL REOULREMENT FOR CONTRACT

"Contractor" willingly attest to perform (or deliver) as per Exhibit "A" for Brazos
County. 1 turther agree to all of the provisions and specifications contained in this contract.
PREVAILING WAGES RATES
The Contractor shall be responsible for following all provisions of Chapter 2258 of the Government
Code relating to the payment of prevailing wages. The wage rates to be used are included in Exhibit B
attached. A Contractor or subcontractor who violates this section shall pay Brazos County $60 for each
worker employed for each calendar day or part of the day the worker is paid less than the wage rates
stipulated in Exhibit B.
BONDING REQUIREMENTS
The Contractor will be required to bond each project individually. The successful bidder must provide to
the Purchasing Department, a performance bond and a payment bond, each in the amount of 100% of
each project sum ten (10) calendar days prior to start of work for each project. Such bonds shall be
executed by a corporate surety duly authorized and admitted to do business in the State of Texas and
licensed in the State of Texas to issue surety bonds with a Best Rating "A" or better. BRAZOS
COUNTY RESERVES THE RIGHT TO ACCEPT OR REJECT ANY SURETY COMPANY
PROPOSED BY THE BIDDER. IN THE EVENT BRAZOS COUNTY REJECTS THE PROPOSED
SURETY COMPANY THE BIDDER WILL BE AFFORDED FIVE (5) ADDITIONAL DAYS TO
SUBMIT THE REQUIRED BONDS ISSUED BY A SURETY COMPANY ACCEPTABLE TO
BRAZOS COtTN 1 Y.

AWARD
Brazos County reserves the right to award this contract on the basis of LOWEST AND BEST OFFER in
accordance with the laws of the State of Texas, to waive any formality or irregularity, to make awards to
more than one offeror, to reject any or all bids. The County reserves the right to accept or reject in part
or in whole, any IQs submitted, and to waive any technicalities for the best interest of the County.
CONTRACT OBLIGATION
Brazos County Commissioners Court must award the contract and Brazos County Judge or other person
authorized by Brazos County Commissioners Court must sign the contract before it becomes binding on
Brazos County or the offerors. Department heads are NOT authorized to sign contracts for Brazos
County. Binding contracts shall remain in effect until all products and/or services covered by this
purchase have been satisfactorily delivered and accepted.
QUANTITIES
The quantities specified in this contract are esti nates only. Brazos County does not guarantee to
purchase any minimum quantities or services other than those listed on a purchase order.
CONTRACT RENEWALS
Renewals may be made ONLY by written agreement between Brazos County and the offeror. Any and
all price escalations shall not be accepted and shall he considered a non -response.
HOLD HARMLESS AGREEMENT
Contractor, the successful offeror, shall indemnify and hold Brazos County harmless from all claims for
personal injury, death and/or property damage resulting directly or indirectly from Contractor's
performance. Contractor shall procure and maintain, with respect to the subject matter of this bid,
appropriate insurance coverage including, as a minimum, public liability and property damage with
adequate limits to cover Contractor's liability as may arise directly or indirectly from work performed
under terms of this contract. Certification of such coverage must be provided to Brazos County upon
request.
INSPECTIONS & TESTING
Acceptance of merchandise, work, and/or equipment provided shall be made by Brazos County at the
sole discretion of the Commissioners Court when all terms and conditions of the contract and
specifications have been met to its satisfaction, including the submission to Brazos County of any and
all documentation as may be required. Title and Risk of Loss of the goods shall not pass to Brazos
County until the County actually accepts and takes possession of the goods at the point or points of
delivery.
ADDITION/MODIFICATION OF LOCATIONS OR SERVICES
Brazos County reserves the right to add locations as these additional locations may be required.
Locations. to be added may include, but not limited to, expansions or additions to existing facilities and
acquisition or construction of new properties. In the event that Brazos County makes significant
structural changes to an existing facility that impacts the Contractor's cost it) providing the services
anticipated by this contract such change may be treated as a new facility and the procedures provided for
in this section may be followed in determining an appropriate price.

In the event Brazos County shall sell, vacate; abandon, or otherwise dispose or terminate a location to
which the contract applies, all existing contracts for services applicable to such location, the portion of
this. contract that applies to such locations: is terminated. All remaining portions of the contract will
remain intact. Brazos County will endeavor to give the Contractor written notice of such termination of
locations a minimum of thirty(30) days inadvance.
INVOICES & PAYMENTS
Payments to Contractors will not be made if the Contractor cannot produce a Brazos County Purchase
Order. Contractor shall submit an original, invoice on each purchase order or purchase release after each
delivery, indicating the purchase order number. Invoices must be itemized. Any invoice, which cannot
be verified by the contract price and/oris otherwise incorrect, shall be corrected by;the Contractor.
When multiple deliveries 'and/or services are required„ the Contractor may invoice following each
deliveryor performance of service and Brazos County will pay;on invoice with in thirty (30) days upon
receipt of invoice. Contracts providing fora monthly charge will be billed and paid on a monthly basis
only: The Contractor will, provide an, invoice for each. month in which'Brazos,County is responsible for
payment, during the duration of the contract. Prior to any and all payments made for goods and/or
services. provided under this contract, the .Contractor should, provide their- Taxpayer Identification
Number or Socia] Security number, as applicable. Thisinformation must be on file with Brazos County
Auditor's office. Failure to provide this information may result in a delay in payment.and/or back-up
PRICING
Prices for all goods and/or services shall be frm for the duration of this contract and shalt be stated on
the Pricing/Delivery Information -form. Prices shall be all inclusive: No price changes, add't,tions,^or
subsequent qualifications will be honored during the course of the contract. All prices must .be
written in ink -or typewritten. Pricing,on. all transportation, freight, drayage and other charges are to be
prepaid by the Contractor and included in the bid prices. If there are any additional charges,of any kind,
other than those mentioned above, specified or unspecified, offeror MUST indicate the: items required
and attendant costs or forfeit the ;right: to payment for such items. Where unit pricing and extended
pricing differ; unit pricing prevails.
TAXES
Brazos County is exempt from all federal excise, state and local taxes unless otherwise stated in this
contract. Brazos County claims exemption from all sales and/or use taxes under Texas: Tax Code
§9.51.309, as amended. Texas Limited Sales Tax Exemption Certificates will be furnished upon written
request to Brazos County Purchasing Agent.

GOVERNING FORMS
In the event of any conflict between the terms and provisions of these requirements and the
specifications, the specifications shall govern. In the event of any conflict of interpretation of any part of
this overall contract, Brazos County's interpretation shall govern. In the event of a conflict between the
terms, conditions, provisions, and specifications of this contract and any other terms, conditions,
provisions, and specifications provided by the Contractor; the terms of this contract shall supersede.
GOVERNING LAW
This bid solicitation is governed by the competitive bidding requirements of Brazos County Purchasing
Act, Texas Local Government Code, §262.021 et seq., as amended. Offerors shall comply with all
applicable federal, state and local laws and regulations. Offeror is further advised that these
requirements shall be fully governed by the laws of the State of Texas and that Brazos County may
request and rely on advice, decisions and opinions of the Attorney General of Texas and Brazos County
Attorney concerning and portion of these requirements. Potential vendors are advised they may have
disclosure requirement pursuant to Texas Local Government Code, Chapter 176. This law requires
persons desiring to do business with the County to disclose any gifts that have an aggregate value in
excess of $250.00 given to any employee of the County, County Official to the County Official's family
members or employment of any employee of the County, County Official or the County Official's
family members during the preceding twelve (12) month period. The disclosure questionnaire must be
filed with the Brazos County Clerk. Refer to Texas Local Government Code, Chapter 176 for the details
of this Iaw. Bidder understands that Brazos County is a government subject to Texas State and Federal
public information statutes.
DISQUALIFICATION OF OFFEROR
Upon signing this contract, an offeror offering to sell supplies, materials, services, or equipment to
Brazos County certifies that tIte offeror has not violated theantitrust laws of this state codified in Texas
Business and Commerce Code §15.01, et seq., as amended, or the federal antitrust laws, and has not
communicated directly or indirectly the bid made to any competitor or any other person engaged in such
line of business. Any or all bids may be rejected if Brazos County believes that collusion exists among
the offerors. Bids in which the prices are obviously unbalanced may be rejected. If multiple bids are
submitted by an offeror and after the bids are opened, if one of the bids is withdrawn, the result will be
that all of the bids submitted by that offeror will be withdrawn; however, nothing herein prohibits a
Contractor from submitting multiple bids for different products or services.
SE VERAB>3.I T Y
If any section, subsection, paragraph, sentence, clause, phrase or word of these requirements or the
specifications shall be held invalid, such holding shall not affect the remaining portions of these
requirements and the specifications and it is hereby declared that such remaining portions would have
been included in these requirements and the specifications as though the invalid portion had been
omitted.
SILENCE OF SPECIFICATIONS
The apparent silence of specifications as to any detail, or the apparent omission from it of a detailed
description concerning any point, shall be regarded as meaning that only the best commercial practice is
to prevail and that only material and workmanship of the finest quality are to be used. All
interpretations of specifications shall be made on the basis of this statement. The items furnished under

this contract shall be new, unused of the latest product in production to commercial trade and shall be of
the highest quality as to materials used and workmanship. Manufacturer furnishing these items shall be
experienced in design and construction of such items and shall be an established supplier of the item bid.
TERMINATION
Brazos County reserves the right to terminate the contract for default if offeror breaches any of the terms
therein, including warranties of offeror or if the offeror becomes insolvent or commits acts of
bankruptcy. Such right of termination is in addition to and not in lieu of any other remedies which
Brazos County may have in law or equity. Default may be construed as, but not limited to, failure to
deliver the proper goods and/or services within the proper amount of time, and/or to properly perform
any and all services required to Brazos County's satisfaction and/or to meet all other obligations and
requirements. Brazos County may terminate the contract without cause upon thirty (30) days written
notice.
POLICY REQUIREMENTS FOR CERTIFICATE OF INSURANCE
CONTRACTOR'S INSURANCE
The Contractor(s) before starting work for Brazos County, must furnish Brazos County a Certificate of
Insurance or other acceptable evidence from a reputable insurance company or companies with an A.M.
Best Rating of AA@ (such companies to be acceptable to Brazos County) licensed to write insurance in
the state of Texas, showing that the Contractor is covered by the insurance as follows:
(1) Statutory Workers Compensation Insurance with Employers Liability Insurance in the amount of
$1.000.000. In the event any work is sublet, the Contractor shall require the subcontractor
similarly to provide the same coverage and shall himself acquire evidence of such coverage on
behalf of the subcontractor. (TLC See. 40 1.01 l)
(2) Commercial General Liability Insurance with a $ 2,000,000 Combined Single Limit. The policy
shall be on the Comprehensive General Liability 1986/90 occurrence form, and shall include
coverage for acts of independent contractors, and shall name Brazos County as an additional
insured. Waiver of subrogation is required. No claims made policies are acceptable without
prior approval by the Commissioners Court/Risk Management.
(3) Automobile Public Liability Insurance with a $1,000,000 Combined Single Limit, in all self-
propelled
elfpropelled vehicles used in connection with the contact, whether owned, non -owned or hired.
Waiver of subrogation is required.
The Certificate of Insurance furnished to Brazos County shall contain a provision that coverage under
such policies shall not be canceled or materially changed until at least 30 days prior written notice has
been given to Brazos County.
LIMITATIONS
The parties are aware that there are constitutional and statutory limitations on the authority of Brazos
County to enter into certain terms and conditions of the contract, including, but not limited to,
authorizations of the placement of liens on Brazos County property; disclaimers and limitations of
warranties; disclaimers and limitations of liability for damages; waivers, disclaimers and limitations of

legal rights, remedies, requirements and processes; limitations of periods to bring legal action; granting
control of litigation or settlement to another party; liability for acts or omissions of third parties;
payment of attorneys' fees; dispute resolution; indemnities; and confidentiality (collectively, the
"Limitations"). Any contract terms and conditions related to the Limitations will not be binding on
Brazos County except to the extent authorized b the laws and Constitution of the State of Texas.
COVERAGESMAGES
Nothing in this contract shall be construed as making Brazos County responsible for the payment of
compensation and/or any benefits for Contractor including health, property, motor vehicle, workers'
compensation, disability, death, and dismemberment insurance for the Contractor's employees and/or
equipment. Nothing in the contract shall be construed as making Brazos County responsible for wages,
materials, logistical support, equipment, and related travel expenses incurred by the Contractor.
SOVEREIGN IMMUNITY
The parties understand that Brazos County does not waive or relinquish any immunity or defense on
behalf of itself, officers, employees, agents, and volunteers as a result of its execution of this contract
and the performance of the covenants contained herein. Further, Brazos County is not responsible for
any civil liability that arises from any act or omission made within the course and scope of this contract.
The parties understand and agree that Brazos County does not assume civil liability under any theory of
law for the actions of the Contractor in providing services hereunder,

Notices shall be mailed to the addresses designated herein or as may be designated in writing by the

FISCAL FUNDING CLAUSE
Notwithstanding any provisions contained herein, the obligations of Brazos County are expressly
contingent upon the availability of funding for the obligations contained herein for the term of the
contract and any extensions thereto.
WAIVERS
No waiver by either party hereto of any tetra or condition of this contract shall be deemed or
construed to be a waiver of any other term or condition or subsequent waiver of the same term or
condition.
ENTIRE CONTRACT
This contract represents the entire and integrated agreement between Brazos County and the Contractor
and supersedes all prior negotiations, representations, or contracts, either written or oral. This contract
may only be amended by written instrument approved and executed by the parties.
AVAILABILITY AND RETENTION OF RECORDS
All records relating to the service provided under this contract and supporting documentation for invoices
submitted to Brazos County by the Contractor shall be retained and made available by the Contractor for
audit by Brazos County, it duly authorized representatives, the State of Texas (including, but not limited
to the Auditor of the State of Texas: Inspector General or duly appointed law enforcement officials) and
agencies of the United States Govemment. Such records shall be returned by Contractor and made
available for any time period required by state or federal law. If changes occur in the governing state or
federal law, regarding retention records, Contractor shall comply with such changes. If an audit is
initiated before the expiration of such time periods required by state or federal law regarding retention of
records, the Contractor shall retain such records until the audit is concluded and all issues resolved.
Contractor shall provide Brazos County with copies of such audits that be conducted with respect to the
contract.
AUDIT RESPONSIBILTY
The Contractor shall be responsible for receiving, replying to and/or complying with any audit exception
by appropriate federal, state or local audit directly related to the provision of this contract.
The Contractor shall repay to Brazos County the full amount received for duplicate billings, erroneous
billings, false or deceptive claims, The Contractor recognizes and agrees that Brazos County may
withhold any money due and recover through anv appropriate method any money erroneously paid under
this contract if evidence exists of less than full compliance with this contract.
INDEMNIFICATION
The Contractor shall defend, indemnify and save harmless Brazos County and all its officers, agents, and
employees from all suits, actions, or claims of any character, name and description including attorney's
fees expenses brought for or on account.of any injuries or damages received or sustained by any person
or persons or property, by or from the said Contractor or his employees or by or in consequence of any
negligence in safeguarding the work, or through the use of unacceptable materials in construction of the
work, or by or on account of any not of omission, the Worker Compensation Law or any other law,
ordinance, order or decree, and so much of the money due the said Contractor under and by virtue of his
contract as shall be considered necessary by Brazos County may be retained for the use of Brazos

County, or in case no money is due, his sureties shall be held until suit or suits.. action or actions, claim
or claims for injury or damages as aforesaid shall have been settled and satisfactory evidence to that
effect furnished Brazos County. Contractor shall defend, indemnify and save harmless Brazos County,
its officers, agents and employees in accordance with this indemnification clause regardless of whether
the injury or damage is caused in part by Brazos County, its officers, agents or employees.

Brazos County is federally mandated to adhere to the directions provided in the President's Executive

Scope of Work
Argyle Security. did a walk of the Facility mentioned above on November 21, 2017. What we have found is
the current Control Workstation computers are in need of being replaced as well as needing the latest
Wondalware license. The current 4 Workstations in Central have. been replaced,not too long ago and are
performingffine.
These older machines are running a Windows XP platform which is no longer available to purchase or
receive updates. We would recommend replacing the 12 older XP:machines with the Windows 10.
platform. This will require an updated Wonderware HMI software, License as well. What. you will also
notice is the This,
will run. much more efficient and faster thanbefore.
Once we receive the computers, and all the software inhouse, we'will configure and network the Windows
10 for your PLC system. Nett; we' will load the current Wonderware graphics and new licenses Last, we
Will set up all machines in shop, verify task grouping and network communications, and begin to fully test
them. When the machines are done,. we recommend an onsite tech to deliver, install, and support the
changeover to each machine: With an onsite tech and your online support connection into yoursystem
from our office and programming department, the transition will go-verysmooth,

Exclusions and Clarifications
Payment:
Argyle, Security Group shall be entitled to receive. either a payment in full within thirty (30) days after completion of the Scope of
Work or, in. the case of progress payments, wthin thirty (36) days after completion of the work property performed during the.
payment period specifically established in writing with the Customer prior to the commencement of work. Failure to make timely
payments shall be subject to an additional 5%fee Failure to make payments within ninety (90) days after the completion of the
Scope.of Work or after the completion of a progress period,shall provide ARGYLE an option to terminate this agreement per the
terms set forth below without prior notice,
Installation Requirements:
Argyle Security will provide necessary installation, programming and start—up of the proposed system that meet and/or. exceeds
federal, state, local and all applicable; code requirements. Any damage to the -Work prior to completion of the Scope of Work,
which is not the fault ofArgyle Security may be corrected and rectified by Argyle Security for an additional charge. Any existing
defective eciuipment can be repaired orreplaced'st an additional charge.
Termination:.
Argyle Secgrity by written notice, shall have the fight to terminate and cancel the work being performed in connection wth this
Agreement, in whole or in part, for any reason by providing Customer with prior written notice.
Trainin :
This Proposal includes informat training for Administrative, Operational and Maintenance personnel so a full understanding of
day—today operation can be best utilized.
Warranty:
ARGYLE.offers a standard one (1) year warranty on all labor and.material included in this project. All system components
provided in this proposal are warranted against all defects immaterial and workmanship.

AMENDMENT TO 18-105 UNIFORM RENTALS
THIS AMENDMENT TO 18-105 UNIFORM RENTALS("Amendment") is entered into and effective
this 13th day of March, 2018 ("Effective Date") by and between Brazos County ("Customer"), and
Unifirst Corp. ("Contractor") each of which may alternatively be referred to herein as a "Party" and
collectively as the "Parties". All capitalized terms in this Amendment shall have the same meaning
as in the Agreement (as defined below) unless otherwise stated herein.
RECITALS
WHEREAS, the Parties entered into that certain original contract # 18-105 ("Agreement")
for purposes of Unifirst Corp to provide of the service of Uniform Rentals; and
WHEREAS, the Parties desire to amend the pricing as set forth in original contract # 18-105.
AGREEMENT
NOW THEREFORE, in consideration of the above premises, and other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, the Parties hereto agree to amend
the Agreement as follows:
1. Section D: Specifications; Item 2.3 Smocks, add the word female to this section. Should read Smocks:

2, Section F: Quotation; Item C; Smocks: Price will be reduced from $3.21 per week to $2.09 per week.

Bids will be received at the Brazos County Administration Building, Purchasing Department,
200 South Texas Ave Suite 352, Bryan, Texas until 2:00 p.m., Wednesday, February 7, 2018 at
which time bids will be publicly opened and read aloud.
A. SCOPE OF BID
Bids are solicited for furnishing the merchandise, supplies, service, and/or equipment set forth in
this bid request for a two (2) year period beginning March 1, 2018 — February 28, 2020 in
accordance with the following Conditions of Bidding.
B. CONDITIONS OF BIDDING
The following instructions apply to all bids and become a part of terms and conditions of any bid
submitted to the Brazos County Purchasing Office, unless otherwise specified elsewhere in this
bid request. All bidders are required to be informed of these Terns and Conditions and will be
held responsible for having done so:
Definitions: In order to simplify the language throughout this bid, the following
definitions shall apply:
a. BRAZOS COUNTY - Same as County.
b. COMMISSIONERS' COURT - The elected officials of Brazos County,
Texas given the authority to exercise such powers and jurisdiction of all
county business as conferred by the State Constitution and Laws.
C. CONTRACT - An agreement between the County and a Supplier to
furnish supplies and/or services over a designated period of time during
which repeated purchases are made of the commodity specified.
d. CONTRACTOR - The successful Bidder(s) of this bid request.
e. COUNTY - The government of Brazos County, Texas and its authorized
representative.
f. SUB -CONTRACTOR - Any contractor hired by the Contractor or
Supplier to fumish materials and services specified in this bid request.
g. SUPPLIER - Same as Contractor.
2. Upon acceptance and approval by the Commissioners' Court, this bid effects a
working contract between Brazos County and the successful bidder for the period
designated.

3. Bids must be received by the Purchasing Office prior to the time and date
specified. The mere fact that the bid was dispatched will not be considered; the
bidder must have the bid actually delivered.
4. The County reserves the right to accept or reject in part or in whole, any bids
submitted, and to waive any technicalities for the best interest of the County.
5. Brazos County shall not be responsible for any verbal communication between
any employee of the County and any potential bidder. Only written specifications
and written price quotations will be considered.
6. Brazos County reserves the right to reject any bid that does not fully respond to
each specified item.
7, Bidder must include Tax Identification Number for the bid to be valid.
8. Should there be a change in ownership or management; the contract shall be
canceled unless a mutual agreement is reached with the new owner or manager to
continue the contract with its present provisions and prices. This contract is
nontransferable and may not be reassigned by either party.
9. The County may cancel this contract at any time for any reason, provided a thirty -
day written notice is given.
10. The bid award shall be based on, but not necessarily limited to, the following
factors:
a. Unit price
b. Extended price
C. Special needs and requirements of Brazos County
d. Results of testing samples (if required by Brazos County)
C. Delivery
f. References
g. Brazos County's experience with products bid
h. Vendor's past performance record with Brazos County.
11. Although the cost of products to be provided is an essential part of the Bid, Brazos
County is not obligated to award a contract on the sole basis of cost but will award
to vendor considered to be the best value to Brazos County.
12. Acceptance of merchandise, work, and/or equipment provided shall be made by
the County at the sole discretion of the Commissioners Court when all terms and
conditions of the contract and specifications have been met to its satisfaction,
including the submission to the County of any and all documentation as may be
required.
13. Title and Risk of Loss of the goods shall not pass to Brazos County until the
County actually accepts and takes possession of the goods at the point or points of
delivery.

14. This agreement shall be governed by the Uniform Commercial Code as adopted in
the State of Texas as effective and in force on the date of this agreement.
15. Bids must be submitted on quantities and units of measure specified by the bid
documents. In the event of errors in extended prices the unit price shall govern.
Any suggested change in quantity on the part of the bidder to secure better price or
delivery is welcomed and may be given consideration provided that the bidder
also bids on the quantity specified.
16. Bids must specify the number of consecutive calendar days required to deliver the
commodities under normal conditions. Failure to specify delivery time will be
considered reason enough to cause the bid to be disregarded. Delivery time
quoted will be given consideration in awarding orders. If delivery is not made
within a reasonable time of the specified delivery in the bid, the entire order or
contract may be canceled and the bidder barred from quoting in future bids.
17. Bids cannot be altered after receiving time. No bid may be withdrawn after
opening time without acceptable reason and with the approval of the Purchasing
Agent.
18. Bids must be submitted on this form and returned in a sealed envelope clearly
marked with Vendor Name and Bid Number to ensure proper recognition upon its
arrival. Bids will not be considered if submitted by telephone, fax or any other
means of rapid dispatch, nor will a bid be considered if submitted to any other
person or department other than specifically instructed. Bids received after the
expressed date and time listed in this bid will be returned unopened to the vendor.
Bids submitted by any other person or department other than the Brazos County
Purchasing Department will not be accepted.
19. It is the Bidder's sole responsibility to print and review all pages of the bid
document, attachments, questions and responses, addenda, and special notices.
The Certification of Bid Form must be. completed to include full firm name,
mailing address, and telephone number, email address, Vendor Tax Identification
number and signed by an authorized representative of the firm. Failure to provide
signature on the Certification of Bid Form renders bid non-responsive. Failure to
complete the submission of all required forms, including but not limited to the
Reference Page, House Bill 89 & Debarment Verification form, Questionnaires
(when applicable), Addenda (including revised forms), and any other specified
forms or documents may be grounds for rejection of entire bid. By submitting a
response to this solicitation, the bidder agrees to comply with HB 1295,
Government Code 2252.908. Bidder agrees to provide Brazos County the
"Certificate of Interested Parties, "Form 1295 as required, pending award,
renewal, amended or extended contract.

20. In the event of a needed change in the specifications sent to the bidder, it is

21. It is our policy not to furnish bid results over the phone. Bid results and
tabulation sheets will be posted on the Brazos Valley Online Bidding System
(www.brazosbid.estx.gov) after bid award by Commissioner's Court.
22. Brazos County reserves the right to extend this contract for a maximum of two (2)
additional two (2) year periods with no changes in the rates, terms or conditions of
this contract, if agreed upon by both parties.
23. The successful offeror agrees to extend prices and terms to all entities that has
entered or will enter into joint purchasing inter -local cooperation agreement(s)
with Brazos County.
24. Three (3) references are to be provided by bidder. Failure to submit references
may result in disqualification of bid. Brazos County department references will
not be accepted.
25. Contractor shall observe and comply with all federal, state and local laws, safety,
and health regulations, ordinances, and all regulations which in any manner effect
conduct of the work or services being performed.
26. Any Subcontracting must be approved prior to commencement of the contract by
Brazos County.
27. Any variation from the specifications in this bid document must be indicated on
the bid or on a separate attachment to the bid and labeled as such.
28. Any brand name, or manufacturer's reference used is considered to be descriptive
— not restrictive — and is indicative of the type and quality the County desires to
purchase. Bids on similar items of like quality will be considered only if it is
noted in the bid documents, and accompanied by fully descriptive product
literature. All substitutions will contain the same active ingredients in the same
percentages of the items listed in the bid. If notation of substitution in not made,
it is assumed the vendor is bidding the item specified.
29. The County does not guarantee to purchase any minimum or maximum quantities.
If any quantities are listed in the bid, they are estimated quantities used for
calculating purposes only.
30. In the event the Supplier is unable to furnish any item within a reasonable time
after order is placed due to strikes, war or any reason beyond the Supplier's
control, the County reserves the right to purchase these items from any source,
without causing this contract to be canceled.
31. The successful vendor should submit itemized invoices with clearly marked

Statements of accounts will not be sufficient to warrant payment. Unless other
arrangements have been made; all invoices to be paid in full within 30 days after
satisfactory delivery of commodities and or services and receipt of invoice at the
listed address. Checks will be made payable to the successful vendor only, and
shall not include sub -contractors, assignees, or any other party.
32. As a governmental subdivision, Brazos County is exempt from most types of
taxes, including but not limited to sales tax, excise tax, and import duties. Such
costs must not be included in bid prices. Tax Exemption Certificates can be
obtained upon request from the Brazos County Purchasing Department.
33. Upon acceptance of a purchase order for any commodity or materials purchased
by Brazos County, the vendor agrees to protect the county from any claim
involving patent right infringement, copyright infringement, sales franchise
disputes.
34. Unless otherwise specified, all items ordered from the successful vendor must be
new, unused, and in first class condition. Products usually packaged for
commercial sale shall be furnished in proper container so as to facilitate storage
and handling.
35. Potential Vendors are advised they may have disclosure requirement pursuant to
Texas Local Government Code, Chapter 176. This law requires persons desiring
to do business with the County to disclose any gifts that have an aggregate value
in excess of $250.00 given to any employee of the County, County Official to the
County Official's family members or employment of any employee of the County,
County Official or the County Official's family members during the preceding
twelve (12) month period. The disclosure questionnaire must be filed with the
Brazos County Clerk. Refer to Texas Local Government Code, Chapter 176 for
the details of this law.
36. Bidder understands that Brazos County is a government subject to Texas State and
Federal public information statutes.

1. UNIFORMS. The Supplier agrees to furnish each authorized County employee
with eleven (11) suits of new GRADE A work uniforms and to furnish and sew
on all employee name and County/Department name patches (two patches per
uniform). The Supplier shall pick up the soiled uniforms weekly and return them
cleaned and laundered. Tears will be repaired, holes will be patched securely,
stains shall be thoroughly removed and the uniforms shall be generally clean and
presentable, portraying a positive image of the wearer and the County in the best
possible way.
a. In the event the current bid should be renewed, the company will be
required to furnish suits of new GRADE A (not worn) work uniforms for
each emplovee at the beginning of each renewal period.
If new uniforms are provided any time during the term of this contract,
the Contractor is required to sew on any and all employee name and
department patches required for the uniform. Cost for these needs to be
provided in the bid.
b. Uniforms to be cleaned per industry standards with spots and stains removed.
Buttons, zippers, names and department company patches, etc., are to be
repaired or replaced. Repair to garments will be. completed within seven (7)
days and the garment returned to employee for its normal rotational use.
Repair tags shall be provided by vendor for employees to report any repairs or
replacements needed. If repairs are not satisfactory, County will not pay
for the rental of that item and request immediate replacement. If spots
and stains cannot be removed garment will be replaced with new,
GRADE A, not worn uniform.
c. The Contractor shall maintain the uniforms in a presentable manner and shall
repair and replace uniforms as necessary to maintain consistency among
employees.
d. The Contractor shall furnish a representative to measure each employee,
initially; to insure proper fitting uniforms are delivered. Measurements for
new employees are to be handled by route manager.
e. The Contractor shall provide new, GRADE A uniforms to newly hired
employees at the original bid price at any time during the contract and during
any extension/renewal period. The Contractor shall also accept uniforms from
terminated employees and issue the proper credits.
2. DUST MOP HEADS. The Supplier agrees to furnish, pick up, clean/treat, deliver
and maintain a specific number of sizes of dust mop heads in the same manner as
the uniforms under item I.

3. FLAT ENTRANCE MATS. The Supplier agrees to furnish, pick up, clean,
deliver and maintain a specific number and sizes of flat entrance mats in the same
manner as the uniforms specified under item 1. Mats need to have a professional
appearance and are to be free from stains, tears, holes, mold, mildew, bubbles and
gum stains. Side by side mats MUST match. All sides of mats must lav flat
against the floor with no curled or corrugated sides. That would be
hazardous for employees and visiting public.
4. The successful vendor will be required to contact each department for scheduling
of sizing and measurements, names, quantities, and all other specifications unique
to that particular department.
5. The County shall consider continuing non-performance by vendor with regards to
both the terms and the specifications of this bid as a basis for termination of the
contract. The County shall not pay for work equipment supplies or services
which are unsatisfactory or not repaired or taken out of normal rotation. The
Supplier will be given a reasonable opportunity to correct deficiencies prior to
termination of the contract.
6. Vendor will coordinate with facility to assess their current and projected needs
prior to first meeting.
7. Quantities indicated in the Bid are estimated based upon the available
information. Brazos County reserves the right to increase or decrease the
quantities by any amount deemed necessary to meet its needs without any
adjustments in the bid price.
8. The Vendor and Brazos County, along with its several departments, shall
deterrrne a mutually agreeable delivery schedule. The proposed schedule may
be changed.
D. SPECIFICATIONS
1.0 There are multiple locations in the County where the Supplier must deliver and
pick up uniforms/mats. A designated day of the week and approximate time of
delivery and pick up will be required to allow employees enough time to have
uniforms there for pick up. The Contractor will notify Brazos County of any
delays in service. Brazos County employees require a clean uniform 5 days a
week. If the Contractor cannot deliver on the regularly scheduled day, the
corresponding department must be notified 24 -hours in advance of the delay in
service.

6.0 Any variation from these specifications must be indicated on the bid or on a

E. INSURANCE REQUIREMENTS
The Bidder shall instruct his insurance agent or carrier to furnish to the County a
Certificate of Insurance attesting to the issuance of the following parts of this

Certificate of Insurance must be approved by the County before any deliveries can
be made.
2. The Bidder shall furnish and keep in full force the following insurance during the
tern of this Contract:
a. Statutory Workmen's Compensation and Employer's Liability Insurance.
b. General Liability with limits for bodily injury and for property damages of
not less than $1,000,000 CSL with Brazos County named as an additional
insured.
C. Comprehensive Automotive Liability with single limits of $500,000 for
Bodily Injury and Property Damage Liability.
d. Cargo Insurance to sufficiently cover materials transported.
3. All of the aforementioned policies and Certificates of Insurance should be issued
immediately after the Bidder receives notification of award.
4. The Vendor agrees to hold harmless Brazos County from any and all claims and
liability due to the acts of the Vendor's employees and the operation of his
equipment. The Vendor also agrees to hold harmless Brazos County from any and
all expenses, including attorney fees, incurred by Brazos County in litigation or
otherwise resisting such claims or liabilities as a result of the Vendor's
employees' activities. Further, the Vendor agrees to protect, indemnify and hold
harmless Brazos County from and against all claims, demands and causes of
action of every kind and character brought by any employees of the Vendor.
