PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speakers time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite emsting policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate In the invocation and such decision will have no impact on their right to actively participate in the business of the Court. MINUTES JANUARY 31, 2017 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, January 31, 2017 with the following members of the Court present: Duane Peters, County Judge, Presiding; Steve Aldrich, Commissioner of Precinct 1; Sammy Catalena, Commissioner of Precinct 2; Nancy Berry, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. Invocation and Pledge of Allegiance - U.S. and Texas Flag - Chaplain G.H. Jones and Commissioner Berry 2. Call for Citizen input and/or concerns There was no citizen's input. Consider and take action on agenda items 3-29: 3. Proclamation 17-014 declaring February 18 -April 15, 2017 Brazos County Walk Across Texas. The Court approved as submitted Proclamation 17-014 proclaiming February 18 to April 15, 2017 as 8 weeks of physical activity program known as Walk Across Texas. The Court encourages all Brazos County citizens to participate in this friendly competition and increase their physical activity level. The County Judge presented the Proclamation to Flora Williams and Stephanie Sechrist with Agril- fe Extension Service along with Sara Mendez and Nicole Vargas with the Brazos County Health Department. Ms. Williams invited everyone to participate in Walk Across Texas and to help celebrate it's 20th Anniversary. Cancellation of the Regular Meeting of Commissioners Court for February 7, 2017. Judge Peters asked the Court members if the regular meeting could be rescheduled to Monday. After discussions, Commissioner Berry offered a motion to reschedule the meeting to Monday, February 6, 2017 at 8:30 a.m. The motion was seconded by Commissioner Cauley and passed unanimously. Sheriff Kirk said that this is a national organization and it is a great honor to have Mr. Dicky selected as president and representing Brazos County. Consideration of the county to self insure Sheriff & Constable Reserve Deputies in lieu of purchasing surety bonds. Judge Peters stated that this is effective as of January 1, 2017 Civil Counsel Bill Ballard mentioned that two Constables have already purchased blanket bonds that cover both deputies and their reserve deputies. Mr. Ballard said that when the current bond expires it will not be renewed. The bond only covers $2,000. The County liability insurance also covers the reserve deputies. The Sheriff's reserve deputies pay out of pocket for individual bonds with Anco. County Auditor Katie Conner recommends setting aside funds for self-insurance for clarity on financial statements. A motion was offered by Commissioner Aldrich to approve this self insure policy, but the Court will address funding during budget hearings. The motion was seconded by Commissioner Cauley and passed unanimously. Motion: Approve, Moved by Commissioner Steve Aldrich, Seconded by Commissioner Irma Cauley. Passed. 5-0. Purchasing Agent Charles Wendt explained the reason for No Award is that the Road and Bridge Department does not have any large projects planned and since the prices were not good, the small projects will be sent out for individual bids. At this point, the County Judge announced the Court would consider items 30 through 36 then return to convene into Executive Session. Having considered the previously noted agenda items, at 10:29 a.m. the County Judge stated that the Court would convene into Executive Session to deliberate pursuant to Texas Government Code 551.087 as stated above. Sheriff Chris Kirk stated there were 648 inmates in jail, 563 inmates are male and 85 are female, 47 have electronic monitors and 16 are pending for monitors. 35. Announcement of interest items and possible future agenda topics. Commissioner Berry proposed that we begin looking at a five year strategic plan. Commissioner Aldrich echoed the proposal. Project Summary: Our region works to prevent, protect against, mitigate, respond to and/or recover from terrorist incidents by taking an all -hazard approach to our planning efforts. Although managed by Brazos County Emergency Management, the continued support of this project, the WebEOC allows all regional emergency management offices, the Disaster District Chair (DDC), as well as mobile command platforms, to interconnect in times of need, regardless of the type of event or incident. Additionally, interagency use of WebEOC facilitates rapid, real-time information to he shared between regional leadership, law enforcement, fire & EMS response, and any other emergency responders. Special "boards" are frequently updated which permits real-time monitoring of shelter facilities and personnel status by discipline, weather trends, and equipment in staging. This,information can be readily shared with the Disaster District Committee and Chair, and the Texas State Operations Center. This project will sustain the licensing of the WebEOC as we explore methods to better facilitate the exchange of information and plan for further training opportunities and program development. 2. During incidents and planned events, there is a need regionally to have a coordinated approach to response between the 7 county partners and to identify how the partners will be notified along with its state partners across the many disciplines. Describe the threats and hazards that create the need for the project. Include reference to page(s) of regional or state THIRA: The Brazos Valley region is subject to terrorism and terrorist incidents, however, the region is more often subject to frequent threats of drought, wildfires, flooding, tornados, and windstorms (see pages 1-4 of the 2016 THIRA). The region is also situated along major coastal evacuation routes. Consequently, regional facilities as well as response personnel may be involved in sheltering evacuees. During significant events, especially those that are multi-regional or even have statewide significance, it is imperative to have updated live data being shared between & among regional jurisdictions, the Disaster District Committee and Chair and the Texas State Operations Center. 4. Describe the capability gap(s) which will be addressed by the project. As technology continues to improve, the Region will continue to evaluate the effectiveness and usefulness of this tool to determine if WebEOC, in its current configuration is still the best solution. Investment prior to the use of these grant funds if awarded: We have achieved some success with operational coordination and situational assessment, but it can be enhanced through a more proactive participation of all jurisdictions in the region. The initial Web EOC project was funded with prior HSGP funds, and supplemented with other funding from throughout the region. Currently WebEOC is linked with functional boards to other regional emergency operations centers, as well as with the Texas State Operations Center. The project includes upgrading current user boards, as manufacturer software updates/enhancements when needed, which is made available at no cost to the jurisdictions. Work on local training and exercise opportunities is ongoing, as requested or as deemed necessary due to the acquisition of new boards and or technological capabilities. B. Each Emergency Management Director may designate an Emergency Management Coordinator who shall serve as an assistant to the presiding officer of the political subdivision for emergency management Purposes. 5. ACTIVATION OF A GREEMENT. This Agreement shall be activated in the event of either: (a) a declaration of a local state of disaster by a Party pursuant to Chapter 418 of the Texas Government Code; or (b) the finding of a state of civil emergency by the presiding officer of the governing body of a Party; or (c) the occurrence or imminent threat of disaster such that local capabilities are, or are predicted to be, exceeded. All requests for aid and assistance must be transmitted by 1) an Authorized Representative of the memberpolitical subdivision or 2) the Director of Emergency Management. A. REQUESTS DIRECTLY TO ASSISTING PARTY: The Requesting Parry may directly contact the Authorized Representative of the Assisting Party and provide the necessary information as prescribed in Section 6.C. hereto. B. REQUESTS ROUTED THROUGII, OR ORIGINATING FROM, THE DISASTER DISTRICT: The Requesting Party may directly contact the Disaster District, and the Disaster District will then contact other Participating Governments on behalf of the Requesting Party.'Once identified, each Assisting Party must communicate directly with (unless otherwise directed by the DDC) the Requesting Parry in order to ensure specific needs are communicated. C. REQUIRED INFORMATION BY REQUESTING PARTY: Each request for aid and assistance shall be accompanied by the following information, to the extent known: I). A general description of the damage sustained or threatened; 2). Identification of the emergency service function or functions for which aid and assistance is needed (e.g. fire, law enforcement, emergency medical, search and rescue, transportation, communications, public works and engineering, building, inspection, planning and information assistance, mass care, resource support, health and other medical services, etc.), and the particular type of assistance needed; 3). The amount and type of aid and assistance needed and a reasonable estimate of the length of time it will be needed; and. 4) An estimated time and a specific place for a representative of the Requesting Party to meet the personnel and equipment of any Assisting Party. This information may be provided on a form designed for this purpose or by any other available means. D. ASSESSMENT OF AVAILABILITY OF RESOURCES AND ABILITY TO RENDER ASSISTANCE: When contacted by a Requesting Parry, or by the Disaster District on behalf of a Requesting Party, the Authorized Representative of any Participating Government agrees to assess local resources to determine availability of personnel, equipment and other assistance based on current or anticipated needs. All Participating Governments shall render assistance to the extent personnel, equipment and resources are deemed available. No member political subdivision shall be required to provide mutual aid unless it determines that it has sufficient resources to do so based on current or anticipated events within its:own jurisdiction. E. INFORMATION REQUIRED OF THE ASSISTING PARTY. An Authorized Representative of an Assisting Party who determines that the Assisting Parry has available personnel, equipment, or other resources, shall so notify the Requesting Party or the Disaster District, whichever communicated the request, and Provide the information, to the extent ]mown: 1). A complete description of the personnel and their expertise and capabilities, equipment, facilities, services, supplies, and other resources to be fumished to the Requesting Party; 2). The estimated length of lime that the personnel, equipment, facilities, services, supplies, and other resources will be available; 3). The name of the person or persons to be designated as supervisory personnel; and 4). The estimated time of arrival for the aid and assistance to the designated location. This information may be provided on a form designed for this purpose or by any other available means. F. SUPERVISION AND CONTROL: When providing aid and assistance under the terms of this Agreement, the personnel, equipment, facilities, services, supplies, and other resources of any Assisting Patty will be under the operational control of the Requesting Party, the response effort to which SHALL be S: INomel.nd Sec.rirylRegion.l Mum.! Direct supervision and control of personnel, equipment and resources and personnel accountability shall remain with the designated supervisory personnel of the Assisting Party. The designated supervisory personnel of the Assisting Party shall: maintain daily personnel time records; material records, and a log of equipment hours; be responsible for the operation and maintenance of the equipment and other resources furnished by the Assisrrig Party; and shall report work progress to the Requesting Party. The Assisting Party's personnel and other resources shall remain subject to recall by"the Assisting Party at any time, subject to reasonable notice to the Requesting Party. G. FOOD, HOUSING, AND SELF-SUFFICIENCY: Unless specifically instructed otherwise, the Requesting Party shall have the responsibility ofproyiding food and housing for the personnel of the Assisting'Party from the time of their arrival at the designated location to the time of their departure. However, Assisting Party personnel and equipment should be, to the greatest extent possible, self- sufficient while working in the emergency or disaster area. The Requesting Party may specify only self- sufficient personnel and resources in its request for assistance. H. COMMUNICATIONS: Unless specifically instructed otherwise, the Rcquesting Party shall have the responsibility for coordinating communications between the personnel of the Assisting Parry and the Requesting Party. Assisting Party personnel should be prepared to furnish their own communications equipment sufficient only to maintain communications among their respective operating units, if such is practicable. 1. RIGHTS AND PRIVILEGES: Whenever the officials, employees and volunteers of the Assisting Party are rendering aid pursuant to this Agreement, such persons shall have the powers, duties, tights, privileges, and immunities, and shall receive compensation, incidental to their employment or position with and by the Assisting Party. J. TERM OF DEPLOYMENT: The initial duration of a request for aid and assistance will be specified by the Requesting Party, to the extent possible by the situation. ' K. SUMMARY REPORT: Within ten (10) working days of the return of all personnel deployed under this Agreement, the Requesting Party will prepare a Summary Report of the event, and provide copies to each Assisting Party. The report shall, at a minimum, include a chronology of events and description of personnel, equipment, facilities, services, supplies, or other resources provided by one Party to the other. 7. REIMBURSABLE EXPENSES. The terms and conditions governing reimbursement for any assistance provided pursuant to this agreement shall be in accordance with the following provisions, unless otherwise agreed upon prior to the deployment by both the Requesting and Assisting Parties. A. PERSONNEL: During the period of aid and assistance, the Assisting Party shall continue 10 pay its employees according to its then prevailing ordinances, rules, and regulations. The Requesting Parry shall reimburse, in accordance with standard and accepted methods, the Assisting Party for all direct and indirect payroll costs and expenses (including travel expenses, benefits, workers' compensation claims and expenses) incurred during the period of aid and assistance, if requested. B. EQUIPMENT: The Assisting Party shall be reimbursed by the Requesting Party for the use of its - -- "-""--"--eq``uipmentduring the period -of -Did-and - assistance; ifrequested,- according -to-either-a-pre-established-local------- - or state hourly rate or according to the actual replacement, operation, and maintenance expenses incurred. Each Participating Government shall maintain its own equipment in safe and operational condition. Al the request of the Assisting Party, fuels, miscellaneous supplies, and minor repairs maybe provided by the Requesting Party, if practical. If the equipment charges are based on a pre -established local or slate hourly rate, thormltese charges to the Requesting Party shall be reduced by the total value of the fuels, supplies, and repairs furnished by the Requesting Party and by the amount of any insurance or other such proceeds received by the Assisting Party, C. MATERIALS AND SUPPLIES: The Assisting Party shall be reimbursed, if requested, for all materials and supplies furnished by it and used or damaged during the period of assistance, except for the costs of equipment, fuel, maintenance materials, labor and supplies, which shall be included in the equipment rate established above, unless such damage is caused by gross negligence, or willful and wanton misconduct of the Assisting Party's personnel. The measure of reimbursement shall be determined in accordance with 44 CFR 206.228 or other regulations in effect at the time of the disaster. In the alternative, the Parties may agree that the Requesting Party will replace, with like kind and quality as determined by the Assisting Party, the materials and supplies used or damaged. D. RECORD KEEPING: The Assisting Party shall maintain records and submit invoices for reimbursement by the Requesting Party in accordance with existing policies and practices. Requesting Party and Department finance personnel shall provide information, directions, and assistance for record keeping to Assisting Party personnel. If the disaster is slate or federally reimbursable, State Division of Emergency Management assistance will be sought to assist the Requesting Party in seeking federal and/or state reimbursement. E. PAYMENT: Unless otherwise mutually agreed, the Assisting Party shall bill the Requesting Party for all reimbursable expenses with arritemized statement as soon as practicable after the expenses are incurred, but not later than sixty (60) days following the period of assistance, unless the deadline for identifying damage is extended in accordance with applicable federal or state regulations. The Requesting Party shall pay the bill, or advise of any disputed items, not later than sixty (60) days following receipt of the statement, unless otherwise agreed upon. 8. INSURANCE A. WORKERS' COMPENSATION COVERAGE: Each Participating Government shall be responsible for its own, actions and those of its employees and is responsible for complying with the Texas Workers' Compensation Act. B. AUTOMOBILE LIABILITY COVERAGE: Each Participating Government shall be responsible for its own actions and will comply with the Texas motor vehicle financial responsibility laws. It is understood that the local government may include in the emergency response volunteer companies that have motor vehicles titled in the name of the volunteer company. It is the responsibility of each member political subdivision or entity to determine if the volunteer company has automobile liability coverage as outlined in this section. C. GENERAL LIABILITY, PUBLIC OFFICIALS LIABILITY, AND LAW ENFORCEMENT LIABILITY: To the extent permitted by law and without waiving sovereign immunity, each member political subdivision or entity shall be responsible for any and all claims, demands, suits, actions, damages, and - o ----- —s -T-- -- -- -- :.. and causes for action related to or arising out of or m any way connected with its own actions, and the actions of its personnel in providing mutual aid assistance rendered or performed pursu ant to the terms and conditions of this agreement. OTHER COVERAGE: The Assisting Party shall provide and`maintain their standard packages of medical and death benefit insurance coverage while their personnel are assisting the Requesting Party. 9.' . WAIVER OF CLAIMS AGAINST PARTIES; IMMUNITY RETAINED. Each Psrtyhereto waives all claims against the other Parties hereto for compensation fofany loss, damage, personal injury, or death occurring as a consequence of the perforniance of this Agreement, except 16se caused in whole or in part by the negligence of an officer, employee, or agent of another Party. No Party waives or relinquishes any immunity or defense on behalf of itself, its officers; employees and agents as a result of the foregoing sentence or its execution of this Agreement and the performance of the covenants contained herein. - 10. - EXPENDING FUNDS. Each Party that performs services or furnishes aid pursuant to this Agreement shall do so with funds available from current revenues of the Party. No Party shall have any liability for the failure to expend funds to provide aid hereunder. 11. TERM. This Agreement shall become effective as to each Party when approved and executed by that Party. This Agreement shall continue in force and remain binding on each and every Parry until such time as the governing body of a Party terminates its participation in this Agreement pursuant to Section 18 of this Agreement. Termination of participation in this Agreement by a Party or Parties shall not affect the continued operation of this Agreement between and among the remaining Parties and this Agreement shall continue in force and remain binding on the remaining Parties. 12. ENTIRETY. This Agreement contains all commitments.and agreements of the Patties with respect to the mutual aid to be rendered hereunder during or in connection with a disaster. and/or civil emergency. No other oral or written commitments of the Parties with respect to mutual aid under this Agreement shall have any force or effect if not contained herein, except as provided in Sections 13 and 17 below. 13. RATIFICATION. Each Party hereby ratifies the actions of its personnel and the rendering and/or receiving of mutual aid taken prior to the date of this Agreement. 14. OTHER MUTUAL AID AGREEMENTS. Notwithstanding Section 11, it is understood and agreed that certain signatory Parties may have heretofore contracted or may hereafter contract with each other for mutual aid in civil emergency and/or disaster situations, and it is agreed that this Agreement shall be subordinate to any such individual contract, To assist each other in the process of mutual aid response planning, each Party agrees to inform the other Parties of all mutual aid agreements that each Party has with other municipalities, entities, counties, and state or federal agencies. A. Specifically, the existence of this Agreement shall not prevent a municipality, county, rural fire prevention district, emergency services district, fire protection agency, organized volunteer group, or other emergency services entity from providing mutual aid assistance on request to another municipality, county, rural fire prevention district, emergency services district, fire protection agency, organized volunteer group, or other emergency services entity, upon request, in accordance with the provisions in Section 418.109 (d) of the Texas Government Code and Chapter 362, Local Government Code, as applicable. SEVERABILITY. If a provision contained in this Agreement is held invalid for any reason, the invalidity does not affect other provisions of the Agreement that can be given effect without the invalid . provision, and to this end the provisions of this Agreement are severable. 17. VAL]DITY AND ENFORCEABILITY. ]f any current Or'future legal limitations affect the validity or enforceability of a provision of this Agreement, then the legal limitations are made a part of this Agreement and shall operate to amend this Agreement to the minimum extent necessary to bring this Agreement into conformity with the requirements of the limitations, and so modified, this Agreement shall continue in frill force and effect. - 18. AMENDMENT. This Agreement may be, amended only by the mutual written consent of the Parties. 19. TERMINATION. Any Party may at any time by resolution or notice given to all The other Parties decline to participate in the provision of mutual aid. Counties, cities, and other political subdivisions and public agencies having a legislative or governing body which are signatories hereto shall by resolution give notice of termination of participation in this agreement and submit a certified copy of such resolution to all other participating Parties. Such termination shall become effective not earlier than 30 days after the fling of such notice. The termination by one or more of the Parties of its participation in this agreement shall not affect the operation of this agreement as between the other Parties thereto. 20. TDIRD PARTIES. This Agreement is intended to inure only to the benefit of the Parties hereto. This Agreement is not intended to create, nor shall be deemed or construed to create any rights in third Parties. 21. WHEREAS, the respective participating governments (the "Parties") are authorized by the Interlocal Cooperation Act, Texas Government Code ("TGC"), Chapter 791, to enter into a joint agreement for the performance of the governmental function of providing Paramedic Services; and WHEREAS, the Parties recognize the dangerous conditions and opportunity for injury presented during a tactical police deployment; and WHEREAS, immediate medical support within the inner perimeter of a tactical operation can be crucial to the survival of injured officers, civilians, or suspects; and WHEREAS, a City of Bryan paramedic has been working with the County in this capacity, and both Parties wish to formalize the agreement; NOW, THEREFORE, the parties, in consideration of the mutual covenants and conditions contained herein, agree as follows: I. SCOPE L Bryan Fire Department ("BID") will assist in providing medical support for the Brazos County Sheriff's Office ("BCSO") tactical team in the form of tactically trained paramedics. BCSO will provide tactical training and safety equipment to assigned paramedics such as ballistic vests and other necessary equipment. BCSO and BFD together will provide co -department training as deemed necessary. 2. The paramedics involved in this program are all full-time employees of BFD and have been selected by BFD Command Staff for service with the BCSO. Only paramedics completing the federal Counter Narcotics Tactical Operations Medical Support program or program equivalent sponsored by the Department of Defense or a "State Approved" Tactical Medic Program course may participate. Participation in this program is voluntary and the paramedic remains an employee of BFD and is compensated by the City of Bryan during actual call -outs and training. 3. BCSO will incorporate the paramedics as full team members, having the Brazos County Dispatch notify the BFD Tactical Medic on call during all Tactical Team call -outs. BCSO requires that the paramedics continuously train with the Tactical Team and maintain active practice and training in the paramedic profession. 4. The paramedics' role on the team is one solely of medical support; therefore the paramedics will be unarmed, unless Texas Commission on Law Enforcement ("TCOLE") certified and commissioned by a local law enforcement entity, and positioned at the discretion of the Tactical commander as the situation dictates. However, as a rule the unarmed paramedics will be positioned somewhere just outside the inner perimeter of the objective, unless due to the objective size this rule is not practical. --- ------ - 5. The City of Bryan tactical paramedic and the BCSO Sheriffs Emergency Response Group (SERG) Commander shall each comply with certain duties and training/certification requirements and agree to certain goals as part of this agreement. Such duties and responsibilities are attached to this agreement as "Appendix A," and may be amended by letter agreement, signed by the City of Bryan Fire Chief or his designee and the Brazos County Sheriff or his designee. Any amendments to Appendix A shall be provided to the City of Bryan City Secretary's office and the office of the County Judge of Brazos County for viewing by the public. 6. In case of a civil emergency or disaster that requires the services of all City of Bryan paramedics for City purposes, the City of Bryan Fire Chief or his designee has the authority to temporarily suspend this agreement until such time as he deems proper. R. TERM AND TERMINATION This Agreement term shall begin November 1, 2015, and terminate at midnight on October 31, 2016. Either party to this Agreement shall have the right to terminate this Agreement, without cause, upon thirty (30) days' written notice of such termination. Further, should the Agreement be terminated the rights and obligations of the Parties hereunder shall terminate, except those rights and obligations that have accrued under this Agreement prior to the date of termination shall survive. This Agreement may be renewed for two (2) one year terms on the anniversary date hereof. Such Renewal Terms shall be on the identical terms and conditions set forth herein. III. NOTICES All notices issued between parties to this agreement shall be in writing. In the eves t_that any person performing paramedic services pursuant to this Agreement shall be cited as a Party to any civil lawsuit, state or federal, arising out of the performance of those services, he/she shall be entitled to the same benefits that he/she would be entitled to receive if such civil action has arisen out of his duties as a member of Bryan and in the jurisdiction of Bryan. 1 11. Third -party claims against the Parties shall be governed by the Texas Tort Claims Act or other appropriate statutes, ordinances, or laws of the State of Texas. 12. Each Party to this Agreement agrees that if legal action is brought under this Agreement, exclusive venue shall be in Brazos County, Texas. V. INDEMNITY / RELEASE / HOLD HARMLESS 13. As otherwise provide for under paragraph XI (Civil Lawsuits) and to the extent permitted by the laws of the State of Texas, and without waiving governmental immunity or the limitations as to damages under the Texas Tort Claims Act, the Parties each individually agree to hold the other harmless from and against any and all claims, losses, damages, causes of action, suits, and liabilities of every kind, including all expenses of litigation, court costs, and attorney's fees, for injury or death to any person or damage to any property, arising out of or in connection with the work performed under this Agreement. The Parties hereby agree that each Party will remain solely responsible for the legal defense and any civil liability due to the actions of a Law Enforcement Officer or other personnel regularly employed by the Party. Nothing herein shall be construed as a waiver of any legal defense of any nature to any claim against a Party or an agent, officer or employee of a Party. 14. Bryan assumes full responsibility for the services to be performed hereunder, and hereby releases, relinquishes, and discharges Brazos, its officers, agents, and employees from all claims, demands, and causes of action of every kind and character, including the cost of defense thereof, for any injury to or death of any person and any loss of or damage to any property that is caused by, alleged to be caused by, arising out of, or in connection with the services, personnel, or equipment provided by Bryan under this Agreement. This release shall apply regardless of whether said claims, demands, and causes of action are covered in whole or in part by insurance and regardless of whether such injury, death, loss, or damage was caused in whole or in part by the negligence of the Brazos, its officers, agents, and employees, or any third party. VI. RESERVATION OF IMMUNITY 15. It is expressly understood and agreed that, in the execution of this Agreement, no Party waives, nor shall be deemed hereby to waive, any immunity or defense that would otherwise be available to it against claims arising from any activity conducted pursuant to this Agreement. VII. MISCELLANEOUS 16. If any provision of the Agreement shall be held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, the validity and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. The parties shall use their best efforts to replace the respective provisions or provisions of this Agreement with legal terms and conditions approximating the original intent of the parties. 17. All parties to this Agreement agree that payment for the performance recited herein will be payable from current revenues available to such paying party. 18. This Agreement is the entire agreement between Bryan and the County relating to the provision of Tactical Paramedic Support and supersedes any and all prior agreements, arrangements, or understandings, whether written or oral. Failure of any party to enforce a provision of this Agreement shall not constitute a waiver of that provision nor in any way affect the validity of this Agreement or the right of any party to enforce each and every provision hereof. No term of this Agreement shall be deemed waived or breach excused unless the waiver shall be in writing and signed by the part(ies) claimed to have waived. Furthermore, any consent to or waiver of a breach will not constitute consent to or waiver of or excuse of any other different or subsequent breach. 22. The Tactical Medic serves as a member of the medical team, and whose functions include: A. Assists with the acquisition of and maintaining important medical history and current health status on each team member. He also ensures the transfer of information to appropriate medical personnel to save valuable time during the treatment of injury or illness. B. Assists with the monitoring of medical effects of environmental conditions on individuals and team performance. The tactical medic immediately brings any problems to the team leader's attention, C. Assists with the provision of field medical treatment to team members injured or taken ill while engaged in mission activity. He ensures that team members are afforded the best possible treatment and are transferred in a timely manner to an appropriate level of care. He provides humanitarian medical assistance to non -law enforcement personnel injured or taken ill during an operation until appropriate transfer to the EMS system can be safely effected, D. Assists with the advocacy for officers who are treated by other medical providers. He establishes good working relationships with local Aeromedical systems and with receiving medical institutions and assures appropriate integration of the team's medical program with local health care delivery system. He also assists with keeping commanding officers apprised of his findings and recommends actions which should be taken to insure optimum outcomes for the deputy and the team following injury or illness, E. Assists with the conducting of Medical Threat Assessments to determine the potential impact of medical/health factors on a mission. He serves as a health information resource for team members. The Medical Team is the commander's advisor on matters relating to the health of the team, F. Assists with the provision of medical care under the direction of the Brazos County Sheriffs Office Medical Director, using specialized medical and extraction protocols and standing orders as established by the medical director, G. Makes himself available several times per month on an on-call basis to respond to Tactical Team call -outs, responding within 20 minutes to all calls. He will also carry a BCSO provided hand- held radio during responses to assure communications with dispatcher. Responsibility of the Tactical Commander. Although the Medical Team serves as an advisor to the unit commander, the health and safety of the team is ultimately a command responsibility which cannot be abrogated. The commander's functions include: A. Providing command level support to the team medical officer for matters relating to health and safety. The commander should demonstrate through intent and action a true interest and concern in the physical and psychological welfare of team members, B. C. Ensuring appropriate safety measures for and by the paramedic are maintained during an operation, such as: Positioning the unarmed paramedic at the scene of operation in a safe zone, but near the inner perimeter of the operation. 2. Ensuring that the scene is safe and secure, as so far as is practical, prior to calling the unarmed tactical medic into the inner perimeter of an operation. Ensuring that a victim needing medical care get rapid access to advanced life support is paramount. Ultimately this is a command decision but this can be done by two methods. Safely extracting the victim to a warm zone out of immediate danger or taking advanced care to the victim by way of covering or escorting the Tactical Paramedic to the victim D. Ensuring appropriate medical coverage for all team activities. E. Ensuring that the BFD Command Staff assures the tactical medic maintains his medical skills at a level higher than the average paramedic through continuing education and clinical work. F. Facilitating implementation of the medical officer's recommendations when determined to be in the best interest of the team. Goals of Tactical Medical Support Activity. Implementation of an effective tactical medical support program is directed at achieving these important goals: A. Provide for a safer environment in which the paramedic performs his duties at the scene of a tactical operation, B. Enhance mission accomplishment, C. Reduce death, injury and illness, and related effects, among officers, paramedics, innocents, and perpetrators, D. Reduce line of duty injury and disability cost to both agencies, E. Reduce lost work time for specially trained, hard -to -replace paramedics and officers, F. Maintain good team morale when true concern for the members' good health is realized. Training and Qualifications. Certain basic principles guide the development of a sound medical support program. These include: A. Team medical officers will be trained to at least the PARAMEDIC level and will be required to maintained current certification through the Texas Dept. of State Health Services. Team medical officers will also maintain certification in Basic Trauma Life Support (BTLS) or Pre -hospital Trauma Life Support (PHTLS). B. Team medical officers must be familiar with, and able to effectively coordinate with the entire _Emergency_Medical-System,.from the_area of operation to the_receiving.medical facility._ C. "Tactical medics must work with the Tactical Team on a regular basis and must be trained to understand mission objectives, tactics used, weapons, pyrotechnics and other devices likely to be employed, and communication policies and procedures. In order to function effectively in 7 a, support of a tactical team, the medic must have a working knowledge of the team, its tools and tactics. D. All BFD paramedics assigned as tactical medics must maintain their clinical skills by actively participating in patient care activities on a full time basis with BFD. E. Team medical officers shall complete specialized training which teaches the skills necessary to operate in the austere environment and receive federal certification as "Emergency Medical Technician - Tactical". F. All Tactical Paramedics for BFD must meet all BFD fitness and health standards. ARTICLE R SCOPE OF ENGINEER'S BASIC SERVICES 2.1 DEFINITION 2.1.1 The ENGINEER'S Basic Services consist of those described in attached Exhibit "A" and incorporated by reference hereto — SCOPE OF BASIC SERVICES TO BE PROVIDED BY Mitchell & MOCean , TO BRAZOS COUNTY. ARTICLE III ADDITIONAL SERVICES 3.1 GENERAL 3.1.1 The services described in attached Exhibit "A" m Additional Services are not included in the Basic Services. It is expressly understood and agreed that ENGMER shall not furnish any of the additional services without the prior written authorization of the COUNTY or the COUNTY'S designee. The COUNTY shall have no obligation to pay for such additional services, which have been performed without the prior written authorization of the COUNTY as herein above provided. 3.1.2 Services which could possibly be required, but at the time of this Agreement were yet to be determined and which are not included in the Basic Services or Additional Services as identified and described in EXHIBIT "A", shall be considered Contingent Additional Services. A list of possible Contingent Additional Services that could be needed as the Project proceeds is included at the end of Exhibit "A." 3.1.3 It is expressly understood and agreed that the ENGINEER shall not furnish any of the Contingent Additional Services without the prior written authorization of the COUNTY or the COUNTY'S designee. The COUNTY shall have no obligation to pay for such Contingent Additional Services, which have been performed without the prior written authorization of the COUNTY as herein above provided. ARTICLE IV COUNTY'S RESPONSIBILITY 4.1 The COUNTY shall provide full information regarding requirements for the Project, including a program, which shall set forth the COUNTY's objective, schedules, constraints and critc 4.2 The COUNTY shall establish and update an overall budget for the Project, including the Construction Cost, the COUNTY'S other costs and reasonable contingencies related to all of these costs. Agreement Between Caunty and Engineer Pnge Z of 10 va. �� P9. ��3 4.3 The COUNTY shall designate a representative authorized to act on the COUNTY'S behalf with respect to the Project, The COUNTY, or such authorized representative, shall render decisions in a timely manner pertaining to documents submitted by the ENGINEER in order to avoid unreasonable delay in the orderly and sequential progress of the ENGINEER'S service. 4.4 The COUNTY shall give prompt written notice to the ENGINEER if the COUNTY becomes aware of any fault or defect in the Project or non-conformance with the contract documents. Any delay by the COUNTY in providing said notice shall not constitute a waiver, a bar or act to estop the COUNTY from exercising any of its rights under this contract, 4.5 Examine all studies, reports, sketches, drawings, specifications, proposals and other documents presented by the ENGINEER, obtain advice of an attorney, insurance counselor and other consultants as the COUNTY deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of the ENGINEER. 4.6 The proposed language of certificates or certifications requested of the ENGINEER or the ENGINEER'S consultants shall be submitted to the ENGINEER for review and approval at least 14 days prior to execution. The COUNTY shall not request certifications that would require knowledge or services beyond the scope of this Agreement. 4.7 The COUNTY shall also provide those specific items identified in tire attached Exhibit A incorporated by reference hereto - ITEMS TO BE PROVIDED BY THE COUNTY TO THE ENGINEER. ARTICLE V CONSTRUCTION COST 5.1 DErMTION 5. 1.1 The Construction Cost shall be the total cost or estimated cost to the COUNTY of all elements of the Project designed or specified by the ENGINEER. 5.1.2 The Construction Cost shall include the cost at current market rates of labor and materials furnished by the COUNTY and equipment designed, specified, selected or specially provided by the ENGINEER, plus a reasonable allowance for the Contractor's overhead and profit. In addition, a reasonable allowance for contingencies shall be included for market conditions at the time of bidding and for changes in the work during construction. 5.1.3 Construction Cost does not include the compensation of the ENGINEER and the ENGINEER'S consultants, the costs of the land, right-of-way, financing or other costs which are the responsibility of the COUNTY. 5.2- RESPONSIBILITY-FOR-CONSTRUCI'ION COSTS-- - - - - -- - - - -- 5.2.1 Evaluations of the COUNTY'S Project budget, preliminary estimates of Construction Cost and detailed estimates of Construction Cost, if any, prepared by the ENGINEER, represent the ENGINEER'S best judgment as a design professional familiar with the construction industry. It is recognized, however, that neither the ENGINEER nor the COUNTY has control over the cost of labor, materials or equipment, over the Contractor's methods of determining bid prices, Agreement Between Comry end F.nglnur Pege J or to Vol. �?�% F'9- ./ri� or over competitive bidding, market or negotiating conditions. Accordingly, the ENGINEER cannot and does not warrant or represent that bids or negotiated prices will not vary from the COUNTY'S Project budget or from any estimate of Construction Cost or evaluation prepared or agreed to by the ENGINEER. ARTICLE VI USE OF ENGINEER'S DRAWINGS, SPECIFICATIONS AND OTRER DOCUMENTS 6.1 The COUNTY shall be the absolute and unqualified owner of all drawings, preliminary layouts, record drawings, sketches and other documents prepared pursuant to this Agreement by the ENGINEER with the same force and effect as if the COUNTY prepared same. Copies of complete or partially completed mylar reproducible, preliminary layouts, record drawings, sketches and other documents prepared pursuant to this Agreement shall be delivered to the COUNTY when and if this Agreement is terminated or upon completion of this Agreement, whichever occurs first. The ENGINEER may retain one set of reproducible copies of the documents and these copies shall be for the ENGINEER'S sole use in preparation of studies or reports for the COUNTY. The ENGINEER is expressly prohibited from selling, licensing, or otherwise marketing or donating these documents, or using the documents in preparation of other work for any other client, without the prior express written permission of the COUNTY. 6.2 All documents including reports, drawings and specifications prepared by the ENGINEER pursuant to this Agreement are instruments of service in respect of the Project. They are not intended or represented to be suitable for reuse by the COUNTY or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by the ENGINEER for the specific purposes intended will be at the COUNTY'S sole risk and without liability or legal exposure to the ENGINEER. Any such verification or adaptation will entitle the ENGINEER to further compensation at rates to be agreed upon by the COUNTY and the ENGINEER. 6.3 Submission or distribution of documents to meet official regulatory requirements or for similar purposes in connection with the Project is not to be construed as publication in derogation of the ENGINEER'S reserved tights, ARTICLE V[I TERMINATION, SUSPENSION OR ABANDONMENT 7.1 This Agreement may be terminated by either party upon not less than fourteen (14) days written notice should the other party fail to substantially perform in accordance with the terms of this Agreement through no fault of the party initiating the termination. 7.2 If the COUNTY suspends the Project for more than thirty (30) consecutive days, the ENGINEER shall be compensated for services performed prior to notice of such suspension. 7:3 This--Agreement-may-be-terminated-by-the-COUNT-Y-upon-not-less-than-fourteen (14) - -- days written notice to the ENGINEER in the event that the Project is permanently abandoned. If the COUNTY abandons the Project for more than ninety (90) consecutive days, the ENGINEER may terminate this Agreement by giving written notice. Agmcnlwt Between Courcy and rnglnaer Pago 4 or 10 7.4 If the COUNTY fails to give prompt written authorization to proceed with any phase of services after completion of the immediately preceding phase, the ENGINEER may, after giving seven (7) days written notice to the COUNTY, suspend services under this Agreement. 7.5 Failure of the COUNTY to make payments to the ENGINEER in accordance with this Agreement shall be considered substantial nonperformance and cause for termination. 7.6 If the COUNTY fails to make payment when due to the ENGINEER for services and expenses, the ENGINEER may, upon seven (7) days written notice to the COUNTY, suspend performance of services under this Agreement. Unless the ENGINEER receives payment in full within seven (7) days of the date of the notice, the suspension shall take effect without further notice. In the event of a suspension of services, the ENGINEER shall have no liability to the COUNTY for delay or damage caused by the COUNTY because of suspension of services. 7.7 In the event of termination that is not the fault of the ENGINEER, the ENGINEER shall be compensated for services performed prior to termination, together with Reimbursable Expenses, if any, then due, ARTICLE VIII MISCELLANEOUS PROVISIONS 8.1 Unless otherwise provided, this Agreement shall be governed by the law of the principal place of business of the COUNTY. Venue for any dispute or disagreement regarding the terms of this Agreement shall be in Brazos County, Texas. 8.2 Causes of action between the parties to this Agreement pertaining to acts or failures to act shall be deemed to have accrued and the applicable statutes of limitation shall commence to inn not later than either the date of Substantial Completion, or the date of issuance of the final Certificate for Payment for acts or failures to act occurring after Substantial Completion. 8.3 The COUNTY and the ENGINEER, respectively, bind themselves, their partners, successors, assigns and legal representatives to the other party to this Agreement and to the partners, successors, assigns and legal representative of such other party with respect to all covenants of this Agreement. Neither the COUNTY nor the ENGINEER shall assign this Agreement without the express written consent of the other party. 8.4 This Agreement represents the entire integrated agreement between the COUNTY and the ENGINEER and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both the COUNTY and the ENGINEER. 8.5 Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either the COUNTY or the ENGINEER. 8.6 Unless otherwise provided for in this Agreement, the ENGINEER and the ENGINEER'S consultants have no responsibility for the discovery, presence, handling, removal or disposal of, or exposure of persons to, hazardous materials in any form at the Project site, including but not limited to asbestos, asbestos products, polychlorinated biphenyl (PCB) or other toxic substances. Pulte 5 or W 8.7 The ENGINEER shall have the right to include representations of the design of the Project, including photographs, among the ENGINEER'S promotional professional materials. The ENGINEER'S materials shall not include the COUNTY'S confidential or proprietary information, if the COUNTY has previously advised the ENGINEER in writing of the specific information considered by the COUNTY to be confidential or proprietary. 8.8 COMPLIANCE AND STANDARDS. The ENGINEER agrees to perform the work hereunder in accordance with generally accepted standards applicable thereto, and shall use that degree of care and skill commensurate with the engineering profession to comply with all applicable state, federal and local laws, ordinances, rules and regulations relating to the work to be performed hereunder and the ENGINEER'S performance, 8.9 SURVEYING SERVICES: In accordance with the Professional Land Surveying Practices Act of 1989, the COUNTY is informed that any complaints about surveying services may be forwarded to the Texas Board of Professional Land Surveying, 7701 North Lamar, Suite 400, Austin, 'Texas 78752, (512) 452-9427. 8.10 INDEMNIFICATION: ENGINEER shall save and hold harmless the COUNTY from and against any and all claims and liability due to activities of the ENGINEER, its agents or employees, performed under this Agreement and which result from any negligent act, error, or omission of the ENGINEER, or of any person employed by the ENGINEER. The ENGINEER shall also save harmless the COUNTY from and against any and all expenses, including attorney's fees which might be incurred by the COUNTY in litigation, or otherwise, resisting said claims or liabilities which might be imposed on the COUNTY as the result of such activities by the ENGINEER, its agents or employees. 8.11 LIQUIDATED DAMAGES: It is acknowledged that the ENGINEER's failure to achieve substantial completion of the Work within the Contract Time provided by the Contract Documents will cause the COUNTY to incur substantial economic damages and losses of types and in amounts which are impossible to compute and ascertain with certainty as a basis for recovery by the COUNTY of actual damages, and that liquidated damages represent a fair, reasonable and appropriate estimate thereof. Accordingly, in lieu of actual damages for such delay, the ENGINEER agrees that liquidated damages may be assessed and recovered by the COUNTY as against ENGINEER and its Surety, in the event of delayed completion and without the COUNTY being required to present any evidence of the amount or character of actual damages sustained by reason thereof; therefore ENGINEER shall be liable to the COUNTY for payment of liquidated damages in the amount of $0 for each day that Substantial Completion is delayed beyond the Contract Time as adjusted for time extensions provided by the Contract Documents. Such liquidated damages are intended to represent estimated actual damages and are not intended as a penalty, and ENGINEER shall pay them to COUNTY without limiting COUNTY's right to terminate this agreement for default as provided elsewhere herein. ARTICLE XI OTHER CONDITIONS OR SERVICES 11.1 INSURANCE 11.1.1 The ENGINEER shall file with the COUNTY a Certificate of Errors and Omissions Insurance having minimum limits of One Million and NoA00 Dollars ($1,000,000.00) for each occurrence and annual One Million and No/100 Dollars ($1,000,000.00) aggregate. Such Errors and Omissions Insurance shall have a deductible not in excess of Two Hundred Thousand and No/100 Dollars ($200,000,00) self-insured. Such Certificate shall bear the endorsement "Not to be canceled without thirty (30) days prior notice to BRAZOS COUNTY, TEXAS." The ENGINEER shall maintain the Errors and Omissions Insurance at all times this Agreement is in effect and for a period of five (5) years after completion of the Project.
