Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. K is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and/or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responoes from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite emsting policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act Section 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. F �— Pq• .5� MINUTES OCTOBER 18, 2016 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, October 18, 2016 with the following members of the Court present: Duane Peters, County Judge, Presiding, Lloyd Wassermann, Commissioner of Precinct 1; Sammy Catalena, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. The attached sheets contain the names of the citizens and officials that were in attendance. Invocation and Pledge of Allegiance - U.S. and Texas Flag - Chaplain G.H. Jones and Commissioner Mallard 2. Call for Citizen input and/or concerns There was no citizen's input. 3. Presentations and/or Discussions Presentation by Brazos County Metropolitan Planning Organization on plans for the 2050 Brazos County Thoroughfare Concept and upcoming public meetings. A presentation was given by Dan Rudge with the Metropolitan Planning Organization on the 2050 Brazos County Thoroughfare. Mr. Rudge provided the Court with a map of the Q existing roads and the proposed roads. Mr. Rudge said that they will be conducting nine public meetings and a "wrap up" meeting is scheduled for March 2017. The first meeting will be on Wednesday, October 19, 2016 and the Court is invited to attend. Commissioner Mallard asked if there will be a right of way for the high speed rail. Mr. Rudge said no, that will be in Grimes County. A copy of the public meeting schedule, thoroughfare concept map and presentation is attached. Proclamation 16-036 proclaiming the month of November as 2016 Arbor Day Season Celebration. The Court approved Proclamation 16-036 designating the month of November as 2016 Arbor Day Season Celebration. The Court joins with the Mayors of the Cities of Bryan and College Station to urge all citizens to celebrate Arbor Day and to support efforts to plant, care for and protect our trees during this time and throughout the year. Resolution 16-024 authorizing the use of an electronic signature for Judge Peters to Brazos County's Chief Elected Office in conjunction with the County's contract with Justice Benefits, Inc., and the delegation of authority to use the electronic signature to the Brazos County Auditor. The Court voted unanimously to adopt Resolution 16-024 that states in conjunction with the contract which the Commissioners Court of Brazos County, Texas has entered into with Justice Benefits, Inc., the Commissioners Court does require that subsequent to such use of the electronic signature of the CEO the CountyAuditor's Office will submit to the County Judge for review and examination a recap summarizing the purpose of the information transmitted and the funding anticipated. The Court voted unanimously to adopt Resolutionl6-025 designating the County Judge as the authorized official to apply for, accept, decline, modify, or cancel the grant application for the Indigent Defense Formula Grant Program and all other necessary documents to accept such grant funds should they be tendered. Having considered the previously noted agenda items, at 10:22 a.m. the County Judge stated that the Court would convene into Executive Session to deliberate pursuant to Section 551.071 and Section 551.087 as stated above. C ccs W((,kpr �rn1��l �f1�Q,fso^ IV od. ge-S BRAZOS COUNTY COMMISSIONERS COURT RESOLUTION ESTABLISHING THE BRAZOS COUNTY PACE PROGRAM STATE OF TEXAS § § COUNTY OF BRAZOS § WHEREAS, the 831r Regular Session of the Texas Legislature enacted the Property Assessed Clean Energy Act, Texas Local Government Code Chapter 399 (the "PACE Act"), which allows the governing body of a local government, including a county, to designate an area of the territory of the local government as a region within which an authorized local government official and the record owners of commercial, industrial, and large multifamily residential (5 or more dwelling units) real property may enter into written contracts to impose assessments on the property to repay the financing by the owners of permanent improvements fixed to the property intended to decrease energy or water consumption or demand; WHEREAS, the installation or modification by property owners of qualified energy or water saving improvements to commercial, industrial, agricultural, and large multifamily residential real property in Brazos County will further the goals of energy and water conservation without cost to the Public; WHEREAS, the Commissioners Court finds that third-party financing of energy and water conserving projects through contractual assessments maintained by Brazos County ("PACE financing") furthers essential government purposes, including but not limited to, economic development, reducing energy consumption and costs, conserving water resources, and reducing greenhouse gas emissions; WHEREAS, the Commissioners Court adopted a Resolution of Intent to establish a PACE program for Brazos County on October 4, 2016, including a reference to the report on the proposed program prepared as required by Section 399.009 of the PACE Act and made the report available to the public on the Brazos County website and for inspection in the County office; WHEREAS, The Commissioners Court finds that the administration of the PACE program by a qualified non-profit organization as an independent third-party Authorized Representative contracted by Brazos County and compensated by application and administration fees paid by the participating property owners, will enable the program to be administered without use of County resources, will assure the objectives of impartiality and confidentiality of owner information, and will be convenient and advantageous to Brazos County; and • WHEREAS, the Commissioners Court also finds that because no county funds will be expended for PACE financing of the Authorized Representative's services, the selection of such an independent third-party Authorized Representative is not subject to the Professional Services Procurement Act or other county purchasing requirements; and WHEREAS, the Commissioners Court held a public hearing on October I I, 2016 at 10:15 am in the Brazos County Commissioners Courtroom, Suite 106 at 200 S. Recitals. The recitals to this Resolution are true and correct and are incorporated into this resolution for all purposes. 2. Establishment of Program. Brazos County hereby adopts this Resolution Establishing the Brazos County Property Assessed Clean Energy Program ("Brazos County PACE"), herein called "the Program," and finds that financing qualified projects through contractual assessments pursuant to the PACE Act is a valid public purpose and is convenient and advantageous to Brazos County and its citizens. 3. Contractual Assessments. Brazos County will, at the properly owner's request, impose contractual assessments on the property to repay PACE financing for qualified energy and water conserving projects available to owners of privately owned commercial, industrial, and large multi fainily property. 4. Qualified Projects. The following types of projects are qualified projects for PACE financing that may be subject to such contractual assessments: Projects that (a) involve the installation or modification of a permanent improvement fixed to privately owned commercial, industrial, or agricultural real property or residential real property with five (5) or more dwelling units, and (b) are intended to decrease energy or water consumption or demand, including a product, device, or interacting group of products or devices on the customer's side of the meter that uses energy technology to generate electricity, provide thermal energy, or regulate temperature. An assessment may not be imposed to repay the financing of facilities for undeveloped lots or lots undergoing development at the time of the assessment or the purchase or installation of products or devices not permanently fixed to real property. 5. Region. The boundaries of the entire geographic area within Brazos County's jurisdiction are included in the boundaries of the region where PACE financing and assessments can occur. 6. Third- Party Financing. Financing for qualified projects under the Program will be provided by qualified third-party lenders chosen by the owners. Such lenders will execute written contracts with the Authorized Representative to service the debt through assessments, as required by the PACE Act. The contracts will provide for the lenders to determine the financial ability of owners to fulfill the financial obligations to be repaid through assessments, advance the funds to owners on such terms as are agreed between the lenders and the owners for the installation or modification of qualified projects, and service the debt secured by the assessments, directly or through a servicer, by collecting payments from the owners pursuant to financing documents executed between the lenders and the owners. Brazos County will maintain and continue the assessments for the benefit of such lenders and will enforce the assessment lien for the benefit of a lender in the event of a default by an owner. Brazos County will not, at this time, provide financing of any sort for the Brazos PACE program. 7. Authorized Representative. The Commissioners Court will designate a non-profit organization to act as the Authorized Representative with authority to enter into written contracts with the record owners of real property in Brazos County to impose assessments pursuant to the PACE Act to repay the financing of qualified projects on the I VOL 2 ._._Pg. /'^8 owners' property and enter into written contracts with the parties that provide third-party financing for such projects to service the debts through assessments. The County Judge or his designee will be the liaison with the Authorized Representative. 8. Enforcement. ENGAGEMENT Brazos County hereby agrees to retain Services Provider to serve as administrator of Brazos County's PACE program and Services Provider agrees to perform such services in accordance with the terms and conditions of this Agreement. II. SCOPE OF SERVICES The parties agree that Services Provider shall perform such services as are further described in Exhibit "A" hereto (collectively "Scope of Services"). The parties understand and agree that deviations or modifications in the Scope of Services may be authorized from time to time by Brazos County, but said authorization must be made in writing. III. TERM OF AGREEMENT The initial term of this Agreement shall commence upon the complete execution of the Agreement by Brazos County and Services Provider and it shall be reviewed bi-annually unless sooner terminated as provided herein. This Agreement contemplates administration by Services Provider of agreements between third parties for periods of time exceeding the Initial Term and any Renewal Term. Notwithstanding the expiration or earlier termination of this Agreement, Services Provider shall be permitted to continue administration of any third party agreements under the PACE program commenced prior to expiration or termination of this Agreement, and to recover any compensation due Services Provider for services performed in accordance with Section IV of this Agreement. INDEPENDENT CONTRACTOR Services Provider covenants and agrees that it is an independent contractor and not an officer, agent, servant or employee of Brazos County; that it shall have exclusive control of and exclusive right to control the details of the work performed hereunder and all persons performing same, and shall be responsible for the acts and omissions of its officers, agents, employees, contractors, subcontractors and consultants; that the doctrine of respondeat superior shall not apply as between Brazos County and Services Provider, its officers, agents, employees, contractors, subcontractors and consultants, and nothing herein shall be construed as creating a partnership or joint enterprise between Brazos County and Services Provider . ASSIGNMENT AND SUBLETTING Services Provider agrees that this Agreement shall not be assigned without the prior written consent of Brazos County, except to an Affiliate of Services Provider. Affiliate shall mean (1) any corporation or other entity controlling, controlled by, or under common control with (directly or indirectly) Services Provider, including, without limitation, any parent corporation controlling Services Provider or any subsidiary that Services Provider controls; (2) the surviving corporation resulting from the merger or consolidation of Services Provider ; or (3) any person or entity which acquires all of the assets of Services Provider as a going concern. Services Provider shall be permitted to enter into subcontracts for performance of portions of the Scope of Services; however, Services Provider shall not subcontract the entirety of the Scope of Services to a single subcontractor without Brazos County consent. Services Provider further agrees that the assignment or subletting of any portion or feature of the work or materials required in the performance of this Agreement shall not relieve the Services Provider from its full obligations to Brazos County as provided by this Agreement. IX. AUDITS AND RECORDS Services Provider agrees that Brazos County or its duly authorized representatives shall, until the expiration of three (3) years after final payment under this Agreement, have access to and the right to examine and photocopy any and all books, documents, papers and records of Services Provider which are directly pertinent to the services to be performed under this Agreement for the purposes of making audits, examinations, excerpts, and transcriptions. Services Provider agrees that Brazos County shall have access during normal working hours to all necessary Services Provider's facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. Brazos County shall give Services Provider reasonable advance notice of intended audits. XI. CONTRACT TERMINATION The parties agree that Brazos County shall have the right to terminate this Agreement with cause upon thirty (30) days written notice to Services Provider. In the event of such termination, Services Provider shall deliver to Brazos County all finished or unfinished documents, data, studies, surveys, drawings, maps, models, reports, photographs or other items prepared by Services Provider in connection with this Agreement. In the event of termination by Brazos County, Services Provider shall be compensated in accordance with Section III of this Agreement with respect to any third party agreements under administration by Services Provider at the time of termination. XII. COMPLETE AGREEMENT This Agreement, including the Exhibits lettered "A" through "C", constitute the entire agreement by and between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous written or oral understandings. Application and Approval Process Publish a Project Application Form based on PACE-in-a-Box model application form on the Program website; Review submitted Application forms for administrative completeness and notify the applicants of any missing information; Maintain the confidentiality of confidential owner information; Maintain the PACE application process, including: VOL _ Pg. /71‹ 1 PROFESSIONAL SERVICES AGREEMENT j PAGE 7 • Draft and distribute the PACE application, as well as accept and review the property owner's completed application; • If the project meets eligibility requirements, provide written indication that the project meets PACE standards at this stage (subject to verification of all requirements at closing). • Inform the property owner of his or her responsibilities in the process, including hiring a third-party reviewer, obtaining a lender, determining final project scope and completing and submitting a closing verification package. • Conduct a Pre-Closing Verification, which will confirm the statutorily required eligibility requirements of the owner including that the property owner: o Is the legal property owner of the benefited property; o Is current on mortgage and tax payments; o Is not insolvent or the subject of bankruptcy proceedings; o Holds a title to the property to be subject to a PACE assessment that is not in dispute; and o Has consent of any pre-existing mortgagee to the proposed PACE assessment through a written contract. Require independent third-party verification of expected energy or water savings resulting from a project (provided by engineer or consultant retained by applicant), according to the PACE-in-a-Box Technical Standards Manual; This review will include a: • Site visit, • Report stating the savings (energy, demand, and/or water) and expected project life are reasonable and in compliance with PACE in a Box program guidelines; and • Letter from the ITPR certifying that he/she has no financial interest in the project and is an independent reviewer. Require independent third-party verification, according to the PACE-in-a-Box Technical Services Manual, that the period of an assessment does not exceed the expected life of the improvements or thoroughly review waiver application and justification (provided by engineer or consultant retained by applicant); Require lender to confirm in writing its determination, based on underwriting factors established by the lender, that the owner has demonstrated the financial ability to repay the financial obligations to be repaid through assessment. Collect and retain owner application fees as compensation for administrative services; Perform closing verification reviews and schedule assessment transaction closings when all requirements are met; Such closing verification must include: • The report conducted by a qualified independent third-party reviewer of water or energy baseline conditions and the projected water or energy savings attributable to the project; • Such financial information about the owner and the property as the lender chosen by the owner deems necessary to determine that the owner has demonstrated the financial ability to fulfill the financial obligations to be paid through assessments; and All other information required by the Program Administrator. Coordinate and take part in assessment transaction closings; Execute contracts under the Program as authorized on behalf of Brazos County. With a modern, top of the line event facility, a great location, world class attractions, nationally recognized Texas A&M University, and an endless variety of hotels & restaurants, we have a lot to offer! Book a qualified meeting or event at the Expo and receive a FACILITY FEE DISCOUNT based on the number of hotel room nights generated by your conference, convention or event! Program participation is open to meetings and/or events originating from outside of Brazos County with a minimum of 150 room nights. The conference or meeting must be booked between October 1, 2016 and September 30, 2017 and shall take place within three (3) years of the booking date. Eligible reoccurring events are eligible for the Expo Rewards Program. In addition, Program participation is also available, with the additional guidelines documented herein, to offer financial incentives for existing reoccurring Brazos County events that are willing to move their booked date(s) to an alternate date(s) in order to free their existing date(s) to book a qualified out of County event. Official Rules and Regulations The Brazos County Exposition Complex has initiated this program (1) to offer an incentive to associations/organizations and event planners from outside of Brazos County to encourage them to host their meetings and events (for the first time) at the Brazos County Expo in Bryan - College Station (2) to offer an incentive to reoccurring Brazos County events to book an alternate date to free up an existing date needed to book an out of County event (3) to offer existing eligible reoccurring events, from outside Brazos County, the opportunity to participate in the Expo Rewards Program as long as they maintain eligibility (4) to offer an additional incentive to eligible events that are booked Thursday through Saturday (three proven hotel nights) to receive an additional ten percent (10%) of the annual reward amount (after Brazos County processing) for moving their eligible event to Sunday through Tuesday or Monday through Wednesday (three proven room nights), and (5) to offer an incentive to reoccurring outside events (horse shows, other equine events, livestock shows, rodeos, etc.) to set-up hotel room blocks via the Expo/B•CS CVB for contestants/exhibitors/attendees. All qualified out of County participants must initiate contact with the appropriate Expo Marketing & Sales Manager and provide: a. Contact information for the event planner (the person responsible for planning the event); b. The name of the event, including alternate event dates, estimated hotel room nights to be generated, and the estimated number of people that would attend. 2. Reoccurring Brazos County events will be contacted by the appropriate Expo staff, if a qualified out of County event is committed to booking an event on their reoccurring scheduled event date, to offer a financial incentive, via the new Expo Incentive Rewards Program, to move their event to an alternate available date to free up the date for the out of county event. The amount offered shall be at the discretion of the Expo General Manager and shall not exceed the full cost of the facility rental fee. 3. Once an out of County event has been booked, the Expo representative/event planner shall contact the Bryan -College Station Convention and Visitor's Bureau (CVB), and provide details including the name of the event, the event planner/primary contact person, the event date and the estimated hotel room nights to be generated. Failure to follow the protocol documented herein or these complete guidelines may result in the forfeiture of the qualified reward or possibly a delay in crediting the reward, whichever deemed appropriate by Expo management. The Expo/CVB will submit the event information to designated BCS hotels to receive bids which will be forwarded to the Expo and the event planner/primary contact person after bids have been received by the designated deadline. 4. Minimum qualifications for out of County events to participate include, but are not limited to, the following: a. The event shall be booked at the Expo and registered through the Bryan -College Station CVB; b. The event must generate a minimum of 150 room nights in hotels with designated room blocks; Page 12 c. The event must be booked between October 1, 2016 and September 30, 2017 and must take place within 3 years of the booking date; d. The room nights shall be used via room blocks prearranged through the Expo/Bryan- College Station CVB at one or more hotels located within the city limits of Bryan -College Station; e. The entire event must be held at the Brazos County Fxpo facilities unless the Expo is not large enough or have the space available to handle the entire event; f. The primary event planner and/or contact person must administer a short survey to all participants/exhibitors/competitors at some point during the event, via a survey instrument provided by the Expo staff, which will adequately provide the comprehensive information needed to measure the economic impact of the event; g. If the eligible customer, with 251 proven room nights or more, signs a multiple year contract of three (3) consecutive years or more, they will also be eligible to receive up to an additional ten percent (10%) of the annual reward amount (after Brazos County processing) for each specific year as long as the original proven room nights generated, via the hotel room blocks described herein, are equal to or more for each successive year; h. If the customer signs a multiple year contract of three (3) consecutive years or more, their event facility fee (for the same amount of space) will be frozen and will not increase (regardless of future facility fee increases) in cost. For outside events, this offer does not include possible future increases in equipment rental fees such as cattle ties, panels, horse stalls or RV spaces. S. The financial incentive for reoccurring out of county, outside events (horse shows, other equine events, livestock shows, rodeos, etc.) to establish and utilize hotel room blocks via the Expo/B-CS CVB for contestants/exhibitors/attendees will be $500 per event. The minimum number of room nights required to qualify for this incentive would be 150 nights or more. Proof must be provided by the event planner and/or the primary Expo event contact person. If earned, this incentive will be applied post -event on the final invoice. 6. Upon completion of the out of County event at the Expo, the group will be entitled to receive a facility fee discount in an amount as determined by the number of room nights utilized in the designated hotel room blocks during the inclusive dates of the event. Documented proof of room nights "picked up" must be obtained by the primary Expo event contact person, from the designated block hotels, and submitted to the Expo.no more than one (1) week after the event move -out date. a. Room night increments are as follows: 1. 150-250 room nights = $4,000.00; ii. 251-450 room nights = $6,000.00; iii. 451-650 room nights = $8,000.00; iv. 651+ room nights = $10,000 b. Under no circumstances shall the amount of the reward earned be greater than the final actual cost of the Expo event facility fees except as documented in (4.g) above. Cost of stalls, RV spaces and animal bedding are not eligible for inclusion in the calculation of the final actual cost and subsequently shall not be a part of the Expo Rewards Program. c. No substitutions of incentives or any other facility discounts are allowed. d. Facility fee discount credit is based on actual room nights picked up within the official group hotel block(s); e. The facility fee discount earned will be applied post -event on the final invoice. 7. General Terms and Conditions: a. The Brazos County Expo Rewards Program offer and/or the hotel rooms/rates are subject to availability and can be discontinued at any time for events without a signed contract with no prior notice; there shall be a specific amount budgeted for each fiscal year that funds remain available. When the total amount budgeted for a fiscal year is committed, additional funds will not be available until the following fiscal year, if additional funding is approved. in other words, rewards funds are available on a first come, first serve basis until budgeted funds FVol. L Page 13 are exhausted each fiscal year; b. The reward cannot be used in combination with any other specific Expo offers, promotions, or discounts; c. Acceptance into the program is pending final Expo approval; the determination of the Brazos County Expo will be final and conclusive for all purposes; d. The Brazos County Expo reserves the right to modify the program as it relates to the offering and reward of facility fee discounts in any way that it deems fair to both the Expo/destination and the event planners involved, in its sole discretion; e. The ultimate contract is between the event planner/primary event contact person and the Expo. The CVB only provides information and acts as a facilitator in helping secure hotel room blocks for each specific event; f. Liability: Brazos County, its employees, the Bryan -College Station Convention & Visitors Bureau, and its employees, shall not be held liable for any action of the participants or the event planner. Further, Brazos County, its employees, the Bryan -College Station Convention & Visitors Bureau, and its employees, shall not be liable for an injury suffered as a result of the participation of any individual involved in this Rewards Program or the event itself. 8. Brazos County Internal Administrative Procedures a. When events are booked, using the Expo Rewards Program, the Budget Office will be notified so that a permanent record can be established for each approved event. This will allow a cumulative total to be kept so that the amount, that has been committed, does not exceed the approved budgeted amount available, in the current fiscal year, for Expo HOT incentive awards; b. At the conclusion of each event that is eligible and approved to receive HOT incentive rewards funds, the appropriate Expo staff member will send a Payment Authorization to expense funds from the Expo HOT Fund and to credit those funds to the Exposition Complex. In addition, the final invoice and a copy of the signed contract will be sent as supporting documentation. All three documents will be sent to the Brazos County Auditor's Office to document closure (these documents will also be copied to the Budget Office for record keeping purposes) of the approved event and to communicate that the total funds rewarded should be transferred, via journal entry, from the Expo HOT Fund Incentive Awards Account. The Exposition Complex will receive a receipt and the appropriate staff person will enter the funds as Expo revenue; c. The total amount of Expo Rewards funds that are transferred during each fiscal year (October 1 - September 30), for eligible events that satisfied the post event proof requirements, will be provided to the current President/Chairman (at that specific time) of the Brazos Valley Lodging Association.
