Persons are invited to submit comments in writing on the agenda items and/or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, With both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Tetras Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Tetras Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves wdth proper respect and decorum in speaking to, and/or addressing the Court:. in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner wll be ordered to leave the meeting. Vol. v2� Pg.-�y% MINUTES JULY 19, 2016 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, July 19, 2016 with the following members of the Court present: Duane Peters, County Judge, Presiding; Lloyd Wassermann, Commissioner of Precinct 1; Sammy Catalena, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk, Absent. Commissioner Catalena commented that there doesn't seem to be any rain in the forecast and he is concerned that since surrounding counties have approved a burn ban, citizens will begin burning a lot before Brazos County implements a ban. Commissioner Cauley stated that a bush across the street from the Administration Building caught fire and she feels there may have been many small fires unreported. Judge Peters stated that he will be unavailable on August 2nd and that is the reason for proposing a change to the meeting date. Texas as determined by Texas Local Government Code Chapter 352; and. WHEREAS, the Commissioners Court stakes a finding that circumstances present in all or part of the unincorporated area of Brazos County create a public safety hazard that would be exacerbated by outdoor burning. BE IT THEREFORE ORDERED that the following regulations are hereby established for all unincorporated areas of Brazos County, Texas for the duration of the above mentioned declaration; Action Prohibited: A person violates this order if he or she burns any combustible material outside of an enclosure serying to contain all flames and/or sparks, or orders such burning by others. 2. Enforcement: As soon as possible, a duly commissioned peace officer shall be sent to the scene to investigate the nature of the fire. Upon notification ofsuspected outdoor burning, the fire department assigned to the location of the fire shall respond to the scene and take immediate measures to contain and/or extinguish the fire. C. If in the opinion of the officer at the scene and/or the fire chief, the goal of the order can be attained by informing the responsible patty about the prohibitions established by this order, the officer ntay, at his discretion, notify the party about the provisions of this order and request compliance with it. In such instances, an entry of the notification shall be made into the dispatchers log containing the time, date, and place of the warning, and the name of the person receiving the warning. 3. At the discretion of the peace officer or the fire chief, second or flagrant violations of the order may be prosecuted in accordance with the statutes and procedures governing misdemeanors. 4. This Order prohibiting Outdoor Burning takes effect on July 19, 2016 and will expire on October 16, 2016. unless terminated earlier by the Commissioners Court or the County Judge. 'Che Commissioners Court hereby designates to the County Judge the authority to terminate this Order in accordance with Local Government Code Section 352.081(c)(2). This prohibition does not apply to prescribed outdoor burning activities related to public health and safet}' and/or trench -burning related to public health and safety that are authorized by the Texas Commission on Environmental Quality for: (1) firefighting training: (2) public utility, (3) natural gas pipeline or mining operations; (4) planting or harvesting of agriculture crops; or (5) burns that are conducted by a prescribed burn manager certified under Section 153.048 of the Texas Natural Resources Code, and meet the standards of Section 153.047 of the Texas Natural Resources Code. Welding Welding may be allowed under the following guidelines only: Provide a spotter for each welder, each cutter. each grinder, and for any activity that causes or may cause a spark. Maintain a minimum perimeter around the welding area of a radius of 25 feet or three times the height of the actual welding, whichever is greater. (Example: if the welding is occurring ten feet oft' the ground, a perimeter of thirty (30) feet radium must be protected). The perimeter must be clear of vegetation and kept wet. If the perimeter cannot be cleared of vegetation, proper precautionary measures must be taken (Example: protecting brush, etc. by utilizing fire resistant tarps). • Maintain a minimum of 100 gallons of water at the site. • Maintain a minimum of one( I) water pressure tire extinguisher per spotter. • No welding shall occur if winds are greater than 20 mph or relative humidity is less than 30% • Prior to conducting any welding activity, the welder shall give notice to the Brazos County Risk Manager and Brazos County Emergency Services (979-361-3888). B. Outdoor Cooking All outdoor cooking or open flame devices are prohibited. • Unless the cooking device is propane or natural gas and has it complete and full enclosure that it utilizes at all times. Unless the cooking device is wood or charcoal and has a complete and full enclosure that is utilized. and all areas around cooking device shall be clear of vegetation and/or combustible materials or debris for a S radius. Purpose and Need Including Operating Efficiencies and Savings We currently process to be housed approximately 7,500 to 8,000 intakes per year and all housed inmate's cloths are washed. This requires each shift to wash the clothing of inmates (or one shift to run the washer and dryer for 12 hours). History and Current Status The dryer was installed with the construction of the building in 2010. The washer was replaced two years after the building was opened due to the original washer failing and breaking down. The current washer is an energy saver that only allows the use of 2 gallons of water per cycle. INTRODUCTORY PROVISIONS: The following provisions are a part of and form the basis for this Agreement: A. PriDe is a company in Houston, Harris County, Texas, that orovides consulting and other services to school districts and other entities on a contract basis. S. PriDe desires to provide consulting and other services I o Contractor, and Contractor desires to have PriDe perform its services for the benefic of Contractor. C. PriDe and Contractor desire to enter into this Agreement to evidence their covenants whereby PriDe shall perform such consulting and services, using its staff and equipment, upon the terms and conditions set forth.herein. D. NOW, THEREFORE, for and in consideration of the mutual covenants and promises herein contained and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows: CONSULTING EFFORTS A.-PriDe's Efforts. PriDe agrees to conduct and perform the programs and services, during the time periods listed, all as more fully described on Exhibit "A" attached hereto and made a part hereof. In addition, PriDe shall absorb all travel expenses incurred by PriDe in the performance of its services, which travel expenses shall include mileage cost, hotel cost for overnight stays, and reimbursement for meals. PriDe shall itemize its fees on the invoices it submits for payment. B. Expenses. All internal costs and expenses not described in the paragraph above, incurred by PriDe, shall be borne by PriDe, including, but not limited to, cost of supplies, materials, computers, and other material or data necessary for PriDe to provide their services. In no event shall Contractor be liable for the expenses described in this paragraph incurred by PriDe for services rendered, nor shall PriDe be responsible to Contractor for any expenses incurred by Contractor in connection with its activities, including, but not limited to, costs of suopiies, office expenses and other expenditures. C. Invoice. All invoices for services rendered and reimbursable expenses shall be submitted by PriDe to Contractor and shall be paid by Contractor in full with in thirty days from receipt of said invoice. D. Independent Covenants. The fee arrangement between PriDe and Contractor is an independent covenant, and this Agreement between the parties in not contingent on performance of any other party or any other contract. GENERAL COVENANTS AND WARRANTIES A. Contractor Representations. Contractor represents and warrants to PriDe that it is lawfully engaged in the conduct of its business, is in good standing, and has all necessary permits cr licenses required for it to conduct and operate its business. B. PriDe Representations. PriDe represents and warrants to Contractor that PriDe is a company in good standing in the State of Texas, and has all necessary licenses and permits required for it to conduct its business operation in the State of Texas. C. Further Covenants. Except to the extent expressly set forth herein, neither party shall have the authority to bind, Obligate or contract for or commit the other party to any act, promise or representation, unless specifically authorized in writing prior to anv such action. This Agreement shall not be deemed or construed to create a partnership, joint venture or common interest in profits or income between the parties. Each party shall have the right to conduct, participate, seek, or perform such other business opportunities as may be available to it without the consent, permission, or participation of the other party. Neither of the parties are restricted from engaging in or possessing any interest in any other business or venture, independently or with other parties, including, but not limited to, agreements that are formed for a purpose similar to the covenants contained herein. D. Proprietary Matters. PriDe has the ownership and all rights to all information, processes, training techniques, methods and trade secrets it has developed in its business. All such information, processes, training tools and devices, materials, data processing, analysis and other trade secrets are the sole property of PriDe. Contractor agrees that neither it, nor any of its agents, employees, or other representatives shall use or appropriate any such information for its own commercial use. Upon request, Contractor agrees to sign any other or further agreements with PriDe to confirm that, except to the extent required by law, information obtained by Contractor from PriDe shall be held confidentially. Any information obtained by PriDe during the course of the performance of its services of such a nature shall be held confidentially by PriDe and shall not be divulged to any third party, except to the extent required by law. TERMINATION A. Termination. This Agreement may be terminated upon the occurrence by any of the following everts: (i) at any time after ninety (90) days written notice of termination given by either party to the other, with or without cause; (ii) immediately, upon the breach of this Agreement by either party, or if either party shall go out of business, terminate its business activity, cease to be authorized to conduct business, or otherwise suspend its business operations; (iii) immediately upon the filing of a voluntary bankruptcy action under the United States Bankruptcy Code by either party. immediately upon such termination, Contractor shall pay PriDe all sums doing owing pursuant to this Agreement based on the payment terms set forth above. The parties acknowledge that the violation of this Agreement by disclosure of any confidential or proprietary information would result in a irreparable injury to PriDe, and Contractor acknowledges that in the event Contractor violates any such covenants and agreements contained herein, PriDe will be entitled to obtain preliminary or permanent injunctive relief as well as damages and other remedies allowed by law as a result of such violation by Contractor, which remedies will be cumulative and in addition cc any other rights and remedies to which PriDe may be entitled to. In the event of any such action, Contractor shall be responsible for costs, fees, attorney's fees and expenses incurred by PriDe and enforcing its rights hereunder. C. Integration and Modification. This Agreement constitutes the complete and final expressions of the Agreement of the parties relating to the engagement of PriDe by Contractor and supersedes all previous contracts, agreements and understanding of the parties, oral or written, relating thereto. This Agreement cannot be modified, nor any of the terms hereof waived, except by an instrument in writing, referring specifically to this Agreement, executed by both parties. D. Counternart. This Agreement may be executed in several counterparts, each of which shall be fully effective as an original and all of which together shall constitute one in the same instrument. E. Construction. Any heading which may have been used in this Agreement have been inserted for convenience only and does Vol. _ 2 -37 pg. �%d not constitute matter to be construed in interpreting this contract. Words of any gender shall be held and construed to include any other gender and words in the singular shall be held to include the plural, and vice versa, unless the context requires otherwise. Invalid Provisions. If any one or more of the provisions of this Agreement or the application of any such provision to a specific situation shall be held invalid or unenforceable, such provision shall be modified to the minimum extent to make its application valid, and the validity and enforceability of all provisions of this Agreement and all other applications of any such provisions shall not be effected hereby. G. Binding Effect. This Agreement is not assignable by either party.
