PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make
comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is
a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the
Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a
Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public
In attendance at any Regular, Special andior Emergency meeting of the Court shall conduct themselves with proper respect
and decorum in speaking to, and/or addressing the Court, in participating in public discussions before the Court, and in all
actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct
themselves in an orderly and appropriate manner will be ordered to leave the meeting, Refusal to abide by the Court's Order
andlor continued disruption of the meeting may result in a Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any
individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty
andlor integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or
collectively, Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the
Court's presence andlor racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in
the following sanctions.
1, cancellation of a speaker's time',
2, removal from the Commissioners Court.
3. a Contempt Citation', andior
4. such other andior criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda property
posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published
agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court.
However, responses firm the County Judge or Commissioners to unlisted public comment topics could become deliberation
on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider,
the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual
inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas
Open Meetings Act 9551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court.
The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and
do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is
required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in
the business of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave.. Suite 106, Bryan, TX 77803 is
wheelchair accessible. Handicap parking spaces are available. Any request for sign interpretive services must be made two

A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas
Avenue, In Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, August 4,
2015 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Lloyd Wassermann, Commissioner of Precinct 1;
Sammy Catalena, Commissioner of Precinct 2;
Kenny Mallard, Commissioner of Precinct 3;
Irma Cauley, Commissioner of Precinct 4;
Karen McQueen, County Clerk.
The attached sheets contain the names of the citizens and officials that were in attendance.
Invocation and Pledge of Allegiance -
U.S. and Texas Flag - Chaplain G.H. Jones and Commissioner Wassermann
2. Call for Citizen input and/or concerns.
Jim Barnes spoke representing the citizens of North Country Estates. He explained that the
developer did not bring the road in this subdivision up to county standards. He said many have
purchased homes in the area believing that the roads were maintained by Brazos County. The
developer just says he will fix the roads one day when asked. Mr. Barnes said a petition was

signed by 115 residents asking the Homeowners Association (HOA) not to give the developer
permission to sell any more homes until the road is repaired. The developer then said that he
would repair the road if they allowed him to sell a house he had with an interested buyer. He
brought a contractor out and began work on the road so the HOA agreed. As soon as the
developer was allowed to sell the house, the contractor left and has not been back to work on
the road since. Mr. Barnes asked the Court for any help they can give to get this road repaired
because it Is deteriorating.
Judge Peters explained that the Court could not dialogue with him about this because it was
not listed as an agenda item, but they would speak to the County Engineer and discuss
options.
Consider and take action on agenda items 3 - 28:
3. Resolution 15-014 indicating a support of an application to the Texas Secretary of State to
establish election day county -wide polling places, or vote centers, in lieu of individual precinct
polling places for all future elections, and providing an effective date.

Commissioner Cauley stated that she believes her remarks made at the Public Hearing on this
topic may have been misconstrued. She did not mean either/or between the Memorial Student
Center and G.W. Williams Tabernacle. She feels a vital voting place in Precinct 4 is being
proposed to be closed. She is in support of vote centers if the are equitable and convenient for
all citizens.

LLoyd Wassermann. Passed. 5-0. Members voting Aye: Catalena , Cauley , Mallard , Peters ,

4. Consider and possible action regarding a burn ban.

Michele Meade, Brazos County Emergency Management Coordinator gave a report of
surrounding counties with a burn ban in place. She polled the volunteer fire chiefs and none of
them were ready to recommend a burn ban at this time. They would like to wait one more
week. She reported the KBDI Drought Index average at 578, maximum at 614 and minimum at
521.
Judge Peters stated that with no rain in the forecast he has concern about holding off on the
ban.
The Court voted to table the Burn Ban for one week

Judge Peters then explained that this was not an error on Brazos County's part. The
individual mailed the payment to the Appraisal District instead of the Tax Office. Judge
Peters does not want to set a precedent.
Bill Ballard, Civil Counsel stated that it is not in the Court's power to approve this.
Commissioner Wassermann and Commissioner Cauley then rescinded their motion and
second.
This request was denied

Commissioner Wassermann asked for an explanation from the Sheriffs office. He wanted to
know if this would be requested for all vehicles. Chief Stewart stated no and explained that this
request was for a patrol vehicle. He would not ask that the Court equip all vehicles as patrol.
Chief Stewart went on to explain that a large sum of the request is for a radio and would be
funded from Brazos Valley Wide Area Communications.

COUNTY -WIDE POLLING PLACES, OR VOTE CENTERS, IN LIEU OF INDIVIDUAL PRECINCT POLLING PLACES FOR ALL
FUTURE ELECTIONS; AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the 79`h Texas Legislature approved a pilot program to evaluate the use of election day county-
wide polling places as an alternative to restricting voters to voting only at the precinct polling place where they are
registered to vote; and
WHEREAS, subsequent Texas Legislatures have approved the expansion of the program to counties
applying for vote center voting status based upon the succession of the program in the pilot program; and
WHEREAS, surveys of voters utilizing county -wide polling places, or vote centers, on election day have
expressed support for the continued use of said vote centers due to the convenience to the voters; and
WHEREAS, an exit survey of voters in Lubbock County indicated that 95 percent like the vote center
concept, 91 percent found the vote centers more convenient than voting at their home precinct, 94 percent found
the vote centers easy to locate, and over 95 percent wanted vote centers used In future elections; and
WHEREAS, similar results were indicated by voter surveys in other counties utilizing vote centers, such as
Galveston County, Collin County, Lampasas County, Lubbock County, Swisher County, Erath County, Gaines County
and Midland County; and
WHEREAS, the Secretary of State filed a report with the Texas Legislature reporting that the pilot program
was well received and liked by voters and election workers; and
WHEREAS, the Brazos County Commissioners Court held a public hearing on August 3, 2015 at the Brazos
County Administration Building; and
WHEREAS, the individuals attending the public hearing spoke in Y of implementing
county -wide vote centers in Brazos County; and
NOW, THEREFORE, BE IT RESOLVED BY THE BRAZOS COUNTY COMMISSIONERS COURT, BRAZOS COUNTY, BRYAN,
TEXAS, THAT:
The Brazos County Commissioners Court hereby voices its support of an application to the Secretary of
State for permission to implement election day county -wide, or vote centers for voting, effective with the
November 2015 election.
This resolution shall become effective immediately upon adoption.

ORDER APPROVING AND AUTHORIZING PUBLICATION OF NOTICE OF
INTENTION TO ISSUE CERTIFICATES OF OBLIGATION AND OTHER
MATTERS RELATED THERETO
WHEREAS, the Commissioners Court (the "Court") of Brazos County, Texas (the "County"),
finds that the design, planning, acquisition, construction, equipping, expansion, and/or renovation of the
public property and payment of fees for professional services described in Exhibit "A" hereto would be
beneficial to the inhabitants of the County, and such property is needed to perform essential governmental
functions, and the Court has determined that certificates of obligation (the "Certificates") should be issued
pursuant to the provisions of the Certificate of Obligation Act of 1971, Section 271.041 et seq., Texas
Local Government Code (the "Act'), for such purposes;
WHEREAS, prior to the issuance of the Certificates, the Court is required under the Act to
publish notice of its intention to issue the Certificates in a newspaper of general circulation in the County,
the notice stating (i) the time and place the Court tentatively proposes to pass the order authorizing the
issuance of the Certificates (the "Order"), (ii) the maximum amount of Certificates proposed to be issued,
(iii) the purposes for which the Certificates are to be issued, and (iv) the manner in which the Court
proposes to pay the Certificates;
NOW, THEREFORE, BE IT ORDERED BY THE COMMISSIONERS COURT OF BRAZOS
COUNTY, TEXAS, THAT:
Section 1. The form and substance of the form of NOTICE OF INTENTION TO ISSUE
CERTIFICATES OF OBLIGATION, which is attached hereto as Exhibit "A", is hereby adopted and
approved.
Section 2. The County Judge or the County Clerk shall cause the notice to be published, in
substantially the form attached hereto, in a newspaper, as defined in Section 2051.044, Texas Government
Code, as amended, of general circulation in the County for two consecutive weeks, the date of fust
publication to be at least 30 days prior to the date tentatively set for approval of the Order.
Section 3. Both the County Judge and the County Clerk are hereby authorized and directed to
execute the certificate to which this Order is attached on behalf of the Court and to do all things proper
and necessary to carry out the intent thereof.

NOTICE is hereby given that it is the intention of the Commissioners Court of Brazos County,
Texas (the "County"), to issue interest-bearing Certificates of Obligation of the County to be designated
and known as the `BRAZOS COUNTY, TEXAS CERTIFICATES OF OBLIGATION, SERIES 2015
(the "Certificates") for the purpose of providing for the payment of contractual obligations to be incurred
in connection with the design, planning, acquisition, construction, equipping, expansion, improvement,
and/or renovation of the Brazos County Courthouse and the Brazos County Exposition Complex; and the
payment of contractual obligations for professional services in connection with such projects (including,

Records Management and Archive Plan
I. Background (Statutory History)
The 77th Texas Legislature passed HB 370 in 2001 to allow border county's to assess a
$5.00 Records Management and Preservation Fee for the preservation of older records
filed with the County Clerk.
The 78th Legislature passed SB 1731 amending the original legislation allowing all
county's to collect this fee with Commissioner's Court approval. The County Clerk is
proposing to collect this fee at this time.
This legislation amends Local Government Code, Section 118.011 (b & f), to enable the
Commissioner's Court to adopt a Records Management and Records Archive Fee for the
preservation and automation of previously filed and recorded real property and vital
statistics records as part of their regularly adopted annual budget.
The 82nd Legislature passed HB 1513 amending Government Code, 118.011 (b &f)
allowing the Commissioner Court to set and collect a Records Management and Records
Archival Fee not to exceed $10.00 on non -court related filings.
H. Bill Summary
• Begins on approval of the County of Brazos 2015-16 Annual Budget. The fee
must be set and itemized in the county's budget as part of the budget preparation
process.
• Termination: The 79th Legislature extended this bill indefinitely. The $10.00 fee
is assessed on any instrument, document, paper, or other record that the County
Clerk is authorized to accept for filing or recording (deed or official public
records, assumed names, and marriage licenses).
• The $5.00 fee is assessed on any original civil case filings.
• The fee may be used only to provide funds for specific records management and
preservation, including for automation purposes — in accordance with this
written plan.
• Changes to the plan must be approved by Commissioner's Court. The plan may
be modified as required.
III. Purpose
Some of Brazos County official records have been computerized and automated in
electronic format since the late 1960s. The County Clerk's office is progressive in the
preservation of current records, utilizing the original Records Management and Archival

Fees from 1991 forward. However, this funding has not been sufficient to electronically
preserve and restore the older documents that have a priceless historical value. In order to
preserve and enhance the integrity of the existing system for recording and preserving
public documents; the County Clerk seeks to preserve existing original records by
restoring or re-creating old volumes, digitizing older microfilm and paper records, re -
indexing old handwritten and typed indexed books and converting all older media into an
electronic format and importing this newly created data into the existing computer
system.
IV. The overall goal and vision of the County Clerk's office is to:
• Modernize and upgrade old record systems in the office.
• Continue to add records and information to your existing computer system.
• Eliminate or reduce manual lookups and searches.
• Expedite record searching by having more records available for electronic
retrieval.
• Create a complete electronic records back-up for disaster recovery.
• Provide more public information to the citizens of the County via the
Intra/Intemet.
• Continue to eliminate the need for paper records.
• Preserving original records by reducing daily usage.
• Reclaiming much needed space in the public records area.

VI. Restoration, Preservation and Automation Projects
Real Property Records: Projects include computerized re -indexing and converting all
real property records to electronic images and importing new records to the existing real
property computer system.
Phase 1:
Electronic conversion of 1999 to 1967 existing microfilm to images, matching to the
existing grantor/grantee index and importing to the computer and internet:

VIII. Length of Projects
It is estimated that these projects will take approximately 5 to 6 years to complete and
implement. Some projects may be considered as on-going and paid monthly as revenue is
collected.

Summary
The Legislature has provided a means to raise revenue for the records management
and preservation of older county property and vital records. This "user" fee is an
alternative to raising taxes or spending general fund monies to accomplish these
important projects. This plan will be implemented in "phases" as money is accrued
and deposited into a special revenue account. The completion of the initial phases
will preserve the original records, provide more space in the public records area,
and continue to modernize the Clerk's office through available technology.

Executive Summary
HB 1513 provides for a fee not to exceed $10.00 to be imposed for filing of a suit,
including an appeal from an inferior court, or a cross -action, counterclaim, intervention,
contempt action, motion for new trial, or third -party petition, in a district court in the county.
The District Clerk's Office wants to take advantage of new legislation that is designed to
preserve archived records by adding an archive fee to each filing of a suit. This fee is to be
dedicated to that task. The majority of the permanent records in the District Clerk's Office are
paper based. These records are used by our office for the public and are vulnerable to loss by
wear and tear.
The purpose of this document is to define the restoration and preservation, digital
capture, stage, retention and management of archive records belonging to the District Clerk.
This Preservation and Restoration Records Plan in intended to be a "Living Document". It will be
updated as a new products and procedure evolve. It is the intent of the District Clerk to follow
guidelines set by the Texas State Library and Archives Commission.
Goal
The Goal is to capture and archive all cases prior to January 1, 1990, regardless of media
type they currently are in, as efficiently as possible. The District Clerk's Office is also looking at
restoring records, suspending or reducing deterioration of public records, improving the public
access to the documents in a manner that reduces the risk of deterioration.
Scope
The Scope of this document includes the following:
• All District Clerk records filed with the District Clerk before January 1, 1990
• Plans to capture records electronically to improve public access.
• Plans to restore and preserve records with significant historical value.
• Future plans are to improve public and governmental access.
This document addresses the restoration and preservation needs of the District Clerk
Records Archive. No other departments addressed.
The effective date of this action is September 1, 2014, and expires September 1, 2019

Inventory
Currently the District Clerk's Office holds over 100 record books which includes indexes
for Civil Cases, Divorces, Adoptions, Grand Jury Records, Felonies and Misdemeanors. The
District Clerk's Office also has approximately 80 boxes of historical cases many with historical
significance. The cases include Civil, Divorce, Adoptions, and Felonies.
Current Accessing Methods
Records prior to January 1, 1990 are accessed by the public through a request to our
office due to the cases not being imaged. Our office currently has to find the Index for the
records we are seeing to obtain the cause numbers before we can physically pull the file to
obtain copies for the public. These records are kept in our storage facility at 200 S. Texas Ave,
Bryan, Texas 77803
Restoration and Preservation Plan
Fiscal Year 2015-2016
It is the plan of the District Clerk's Office to scan an portion of the paper documents in
house, lease an additional scanner, and fund temporary full or part time employees to capture
all records filed in the District Clerk's Office prior to January 1, 1990. These images will be
integrated into the existing District Clerk records and retrieval systems and enhance the public's
access to public records.
The District Clerk plans to award bid to an outside vendor to restore and preserve all
records with significant historical value. The restoration process will ensure the legibility of
these public documents for future generations.

on other archive projects.

County commissioners' courts are statutorily required to notify the Texas Department of Motor Vehicles
(TxDMV) each year regarding the imposition or removal of optional fees. Notice must be made to the
TxDMV each year by September 1 with new fees taking effect each year January 1. This letter and
attachments will provide information on how to submit the calendar year 2016 notification to the
TxDMV. The following is a brief description of the local optional fees from Chapter 502 of the
Transportation Code:
County Road and Bridge Fee (Section 502.401):
• may not exceed $10;
• fees collected must be credited to the county road and bridge fund.
Child Safety Fee (Section 502.403):
• may not exceed $1.50;
• revenue must be used for school crossing guard services; remaining funds must be used for

This letter is to advise you that your application to participate in the Emergency Management
Performance Grant (EMPG) program during Fiscal Year 2015 (FY 15) has been approved.
The enclosed "Notice of Sub -recipient Grant Award" specifies the federal EMPG program funding that will
be provided to your jurisdiction during FY 15. This document must be signed by the "Authorized Official'
indicated on the "Designation of EMPG Grant Officials" form (TDEM-17B) submitted in your original
application. The signed "Notice of Sub -recipient Grant Award" must be returned to the Texas Division of
Emergency Management (TDEM) within 45 days of the date of this letter. Failure to return
documentation to TDEM within 45 days may result in redistribution of award funds to another jurisdiction.
Participation in the EMPG program requires adherence to all tasks outlined in the 2015 Local
Emergency Management Performance Grant (EMPG) Guide located online at:

and Conditions are also enclosed for your review.

2015 Emergency Management Performance Grant (EMPG)
Terms and Conditions
1. Purpose: The FY 2015 priority for this program is to advance 'Whole Community' security
and emergency management. Grant funds will be used to support local comprehensive
emergency management programs to encourage improvement of mitigation, preparedness,
response, and recovery capabilities for all hazards. Funding may be used to support activities
that contribute to the capability to manage consequences from acts of terrorism. Funds
provided may also be used to accomplish initiatives described in the Federal Program
Guidelines, including local implementation of the National Incident Management System
(NIMS), incorporation of appropriate references to the National Response Framework (NRF)
into local plans, homeland security assessment and strategy integration, and assessment of
local emergency management program using Emergency Management Assessment Program
(EMAP) standards.
2. Grant Conditions: Identify the source of funding under which this award is funded and
reference the government code. The federal grant terms and conditions are located at:

3. Grant Acceptance: Notice of Subrecipient Grant Award remains an offer until the signed
copy of the Acceptance of Subrecipient Grant Award is received by the Department of Public
Safety in accordance with the instructions provided in the transmittal letter.
4. Work to Be Performed: The approved FY 2015 Statement of Work and Progress Report
template outlines eight tasks that the grantee must perform during the grant period. The
following additional tasks are also required of Subrecipients:
A. Implement (NIMS) at the local level.
B. Incorporate pertinent information concerning NRF into the local or inter -
jurisdictional emergency management plan and its annexes.
C. Subrecipients must have a tracking system of record to organize and coordinate
resources in response to incidents.
D. During the performance period of this grant, Subrecipient must maintain an
emergency management plan at the Advanced Level of planning preparedness
or higher, as prescribed by the Texas Division of Emergency Management
(TDEM). This may be accomplished by jurisdictions maintaining their own
emergency management plan or participating in an inter -jurisdictional emergency
management program that meets the required standards. If TDEM identifies
deficiencies in the Subrecipient's plan, Subrecipients will correct deficiencies
within sixty (60) days of receiving notice of such deficiencies from TDEM.
E. Subrecipients must maintain an updated inventory of equipment purchased
through this grant program in accordance with Uniform Grant Management
Standards — III, State Uniform Administrative Requirements for Grants and
Cooperative Agreements, Subpart C -Post -Award Requirements, Reports,
Records, Retention, and Enforcement, Equipment and the Department of
Homeland Security (DHS), Office of Grant Operations Financial Management
Guide.
The Subrecipient agrees that any equipment purchased with funds through this
grant program shall be prominently marked as follows: `Purchased with funds
provided by the U.S. Department of Homeland Security." Exceptions to this
requirement are limited to items where placing of the marking is not possible due
to the nature of the equipment.
5. Grant Funding: Lists the amount of funding for this award. The amount of this grant may be
less than the amount requested in your Application for Federal Assistance due to limits on
federal funding for the EMPG program. However, EMPG grant recipients should continue to
report all eligible expenses in quarterly financial reports. In the event additional program funding
becomes available from the federal government or unspent EMPG funds remain at the end of
the fiscal year, TDEM may be able to allocate additional funding to EMPG program participants.
6. Financial and Administrative Requirements: In Accordance with 44 Code of Federal
Regulations (CFR) Part 13, Subrecipient agrees to comply with the applicable financial and
administrative requirements set forth in the current edition of the Office of Justice Programs
(OJP) Financial Guide located at httr)://www.oip.usdoi.gov/financialquide/.
A. All emergency management program costs for which the Subrecipient seeks
reimbursement must be eligible in accordance with Office of Management and Budget
(OMB) Circular A-87, Cost Principles or State, Local, and Indian Tribal Governments. A
copy of that document is available at: http://www.whitehouse.gov/omb/circulars.
B. Subrecipient will comply with the organizational audit requirements of OMB Circular A-
133, Audits of States, Local Governments, and Non -Profit Organizations.

C. When implementing Federal Emergency Management Agency (FEMA) National
Preparedness Directorate funded activities; the Subrecipient must comply with all federal
civil rights laws, to include Title VI of the Civil Rights Act, as amended. The Subrecipient
is required to take reasonable steps to ensure persons of limited English proficiency
have meaningful access to language assistance services regarding the development of
proposals and budgets and conducting FEMA funded activities.
D. Subrecipient will assist the awarding agency (if necessary) in assuring compliance with
the National Historic Preservation Act of 1966 Section 106 (16 U.S.C. § 470), Ex.
Order 11593 (identification and protection of historic properties), the Archeological and
Historical Preservation Act of 1974 (16 U.S.C. § 469 a-1 et seq.), and the National
Environmental Policy Act of 1969 (42 U.S.C. § 4321). (Federal Assurance).
E. Subrecipient agrees to make no request for reimbursement for goods or services
procured by the Subrecipient either prior to the start of the period of performance stated
in this award document or after the end of the period of performance.
F. Notwithstanding any other provisions of this document, the parties understand and agree
that the obligations of TDEM under this Agreement are contingent upon the
availability of adequate funds to meet TDEM's liabilities. TDEM shall not be liable to the
Subrecipient for costs under this Agreement that exceed the amount specified in the
Notice of Subrecipient Grant Award.
7. Single Audit Act Requirements: If Subrecipient has expenditures in excess of $500,000 in
federal funds of all types within a single fiscal year, it must have an audit performed in
accordance with the Single Audit Act as amended. Subrecipient agrees to comply with the audit
requirements of OMB Circular A-133, Audits of States, Local Governments, and Non-profit
Organizations.
8. Reporting Requirements: Subrecipient agrees to comply with all reporting requirements and
shall provide such information as required by TDEM. Reporting requirements are found in the
2015 Local Emergency Management Performance Grant (EMPG) Guide. Subrecipients may be
required to submit additional information and data requested by TDEM and after the end of the
period of performance in order to close out the grant. A copy of the 2015 Local Emergency
Management Performance Grant (EMPG) Guide can be found on the TDEM website at:

Subrecipient must prepare and submit Semi -Annual Progress Reports to TDEM for the duration
of the grant performance period or until all grant activities are completed and the grant is
formally closed. The first performance reporting period is October 1 to March 31 (progress
report due April 15) and the second reporting period is April 1 to September 30 (progress report
due October 15). Subrecipient may also be required to submit additional information and data
as requested by TDEM.
9. Review of Work and Expenditures: TDEM may review the work of the Subrecipient with
respect to approved program tasks and expenditures for which reimbursement is requested to
ensure the federal awards are used for authorized purposes in compliance with laws,
regulations, and the provisions of this contract or grant agreement and that performance goals
are achieved. These reviews may include, without limitation: comparing actual Subrecipient
activities to those approved in the sub -award application and subsequent modifications if any;
ensuring that grant funds have been expended in accordance with applicable guidelines;
confirming compliance with grant assurances, and verifying information provided on
performance reports and payment requests. EMPG grant funds cannot be matched with any
other federal funds.
10. Lobbying
A. As required by Section 1352, Title 31 of the U.S. Code, and implemented at 28 CFR Part
69, for persons entering into a grant or cooperative agreement over $100,000, as
defined at 28 CFR Part 69, the Subrecipient certifies that:
1) No Federal appropriated funds have been paid or will be paid, by or on behalf of the
Subrecipient, to any person for influencing or attempting to influence an officer or
employee of any agency, a Member of Congress, an officer or employee of
Congress, or an employee of a Member of Congress in connection with the making

of any Federal grant, the entering into of any cooperative agreement, and the
extension, continuation, renewal, amendment, or modification of any Federal grant or
cooperative agreement;
2) If any funds other than Federal appropriated funds have been paid or will be paid to
any person for influencing or attempting to influence an officer or employee of any
agency, a Member of Congress, an officer or employee of Congress, or an employee
of a Member of Congress in connection with this Federal grant or cooperative
agreement, the undersigned shall complete and submit Standard Form - LLL,
"Disclosure of Lobbying Activities," in accordance with its instructions.
3) The Subrecipient will establish safeguards to prohibit employees from using their
positions for a purpose that constitutes or presents the appearance of personal or
organizational conflict of interest or personal gain.
11. Debarment, Suspension, and other Responsibility Matters:
A. As required by Executive Order 12549, Debarment and Suspension, and implemented at
28 CFR Part 67, for prospective participants in primary covered transactions, as
defined at 28 CFR Part 67, Section 67.510 (Federal Certification).
B. The Subrecipient certifies that it and its principals and vendors:
1) Are not presently debarred, suspended, proposed for debarment, declared ineligible,
sentenced to a denial of Federal benefits by a State or Federal court, or voluntarily
excluded from covered transactions by any Federal department or agency;

2) Have not, within a three-year period preceding this application, been convicted of or
had a civil judgment rendered against them for commission of fraud or a criminal
offense in connection with obtaining, attempting to obtain, or performing a public
(Federal, State, or local) transaction or contract under a public transaction; violation
of Federal or State antitrust statutes or commission of embezzlement, theft, forgery,
bribery, falsification or destruction of records, making false statements, or receiving
stolen property;
3) Are not presently indicted for or otherwise criminally or civilly charged by a
governmental entity (Federal, State, or local) with commission of any of the offenses
enumerated in paragraph (1)(b) of this certification; and
4) Have not, within a three-year period preceding this application, had one or more
public transactions (Federal, State, or local) terminated for cause or default.
C. Where the applicant is unable to certify to any of the statements in this certification, he or
she shall attach an explanation to this application (Federal Certification).
12. Monitoring:
A. Subrecipient will provide TDEM, State Auditor, DHS personnel or their authorized
representative, access to and the right to examine all paper or electronic records related
to financial assistance.

B. Subrecipient agrees to monitor their program to ensure that federal awards are used for
authorized purposes in compliance with laws, regulations, and the provisions of
contracts or grant agreements and that the performance goals are achieved.
C. TDEM may perform periodic reviews of Subrecipient performance of eligible
activities and approved projects. These reviews may include, without limitation:
performance of an cn-site audit and compliance monitoring, including inspection of all
grant -related records and items, comparing actual Subrecipient activities to those
approved in the sub -award application and subsequent modifications if any, ensuring
that advances have been disbursed in accordance with applicable guidelines, confirming
compliance with grant assurances, verifying information provided in performance reports
and reviewing payment requests, needs and threat assessments and strategies.
D. Subrecipient understands and agrees that it cannot use any federal funds, either directly
or indirectly, in support of the enactment, repeal, modification or adoption of any law,
regulation or policy, at any level of government, without the express prior written
approval of FEMA National Preparedness Directorate.
E. The Subrecipient official certifies federal funds will be used to supplement existing funds,
and will not replace (supplant) funds that have been appropriated for the same purpose.
Subrecipient may be required to supply documentation certifying that a reduction in non-
federal resources occurred for reasons other than the receipt or expected receipt of
federal funds.
13. Reimbursement for Expenses:
Reimbursement for expenses incurred during the second and fourth quarter of Fiscal Year
2015 will not be disbursed until TDEM receives the first and second semi-annual EMPG
Progress Reports, which are due on April 15, and October 15, respectively.
14. Choice of Law: This agreement shall be construed and governed by Texas law
15. Changes to the Law: DPS is a state agency whose authority and appropriations are subject
to the actions of the Texas Legislature and the United States Congress. If DPS and/or the
subject matter of this contract become subject to a legislative or regulatory change, revocation
of statutory or regulatory authority, or lack of funds that would render the services and/or goods
and/or payment to be provided under this agreement impossible, unnecessary, void, or
substantially amended, DPS may terminate this agreement without penalty to, or any liability
whatsoever on the part of, DPS, the State of Texas, or the United States. This contract does
not grant vendor a franchise or any other vested property right.
16. Written Modification: No modification or amendment to this Agreement shall become valid
unless in writing and signed by both parties.
17. To the extent it applies, Subrecipient shall comply with Texas Government Code, Chapter
783, 1 Texas Administrative Code (TAC) §§ 5.141 et seq., and the Uniform Grant Management
Standards, State Uniform Administrative Requirements for Grants and Cooperative
Agreements, Subpart B, §14.

18. To the extent it applies, Subrecipient shall comply with the General Appropriations Act, 80th
Legislature, Article IX, Part 17.
19. TDEM may suspend or terminate sub -award funding, in whole or in part, or other measures
may be imposed for any of the following reasons: failing to comply with the requirements or
statutory objectives of federal law, failing to make satisfactory progress toward the goals or
objectives set forth in the sub -award application, failing to follow grant agreement requirements
or special conditions, failing to submit required reports, or filing a false certification or other
report or document. Satisfactory progress is defined as accomplishing the following during the
performance period of the grant: requesting federal funds for purchases, training, etc. and
deciding what purchases will be made, ordering the equipment, ensuring the equipment is
shipped and received, and training is accomplished with the equipment (or readied for
deployment). All of the aforementioned tasks must be accomplished in a timely manner. Special
Conditions may be imposed on Subrecipient's use of grant funds until problems
identified during grant monitoring visits conducted by TDEM audit and compliance
personnel are resolved.

The COUNTY and APPRAISER agree as set forth below.
ARTICLE I
APPRAISER'S RESPONSIBILITY
1.1 APPRAISER'S SERVICE
1.1.1 The .APPRAISER'S services consist of those services performed by the APPRAISER,
APPRAISER'S employees and the APPRAISER'S consultantsas enumerated. in Articles 2 and 3
of this Agreement.
1.1.2 The APPRAISER'S services shall be performed as 'expeditiously as is consistent. with
professional skill and care and the orderly progress of the Work. The APPRAISER shall submit
for the COUNTY'S approval a schedule for the .performance of the APPRAISER'S services
which may be adjusted as the Project proceeds and shall include allowances for periods of trine
required for the COUNTY'S review and for approval of submissions by authorities having
jurisdiction over the Project. Time limits established by this schedule approved by the
COUNTY shall not, except for reasonable cause, be exceeded by the APPRAISER or. the
COUNTY.

SCOPE OF APPRAISER'S BASIC SERVICES
2.1 DEFINITION
2.1.1 The -APPRAISER'S Basic Services consist of conducting a market value appraisal of 6
parcels of land on Merka Rd.

COUNTY'S RESPONSIBILITY
4.1 The COUNTY shall provide full information regarding requirements for the Project
4.2 The COUNTY shall designate a representative authorized to act on the COUNTY'S
behalf with respect to the Project. The COUNTY, or such authorized,representative, shall render
decisions in a timely manner pertaining to documents submitted by the APPRAISER in order to
avoid unreasonable delay in the orderly and sequential progress of the APPRAISER'S service.
4.3 The COUNTY shall give prompt written notice to the APPRAISER if the COUNTY
becomes aware of any fault or defect in the Project or non-conformance with the contract
documents. Any delay by the COUNTY in providing said notice shall not constitute a waiver, a
bar or act to estop the COUNTY from exercising any of its rights under this contract.
4.4 Examine all studies, reports, sketches, drawings, specifications, proposals and other
documents. presented by the APPRAISER, obtain advice of an attorney, insurance counselor and
other consultants as the COUNTY deems appropriate for such examination and render in writing
decisions pertaining thereto within a reasonable time so as not to delay the services of the
APPRAISER.
4.5 The proposed language of certificates or certifications requested of the APPRAISER or
the APPRAISER'S consultants shall be submitted to the APPRAISER for review and approval at
least 14 days prior to execution. The COUNTY shall not request certifications that would
require knowledge or services beyond the scope of this Agreement.
ARTICLE V
INTENTIONALLY DELETED.
ARTICLE VI
USJG OF APPRAISER'S DRAWINGS, SPECIFICATIONS AND OTHER DOCUMENTS
6.1 The COUNTY shall be the absolute and unqualified owner of documents prepared
pursuant to this Agreement by the APPRAISER with the same force and effect as if the
COUNTY prepared same.

ARTICLE VII
TERMINATION, SUSPENSION OR ABANDONMENT
7.1 This Agreement:may be terminated by either panty upon not less than fourteen (14) days
written notice should the other party fail to. substantially perform in accordance with the terms of
this Agreement through no fault of theparty initiating the termination.
7.2 If the COUNTY suspends the Project for more than thirty (30) consecutive days, the
APPRAISER shall be compensated for services performed prior to notice of such suspension.
7.3 This Agreement may be terminated by the COUNTY upon not less than fourteen (14)
days written notice to the APPRAISER in the event that the Project is permanently abandoned.
If the COUNTY abandons the Project for more than ninety (90) consecutive days, the
APPRAISER may terminate this Agreeinent by giving written notice.
7.4 If the COUNTY fails to give prompt written authorization to proceed with any phase of
services after completion of the immediately preceding phase, the APPRAISER may, after
giving seven (7) days written notice to the COUNTY, suspend services under this Agreement.
7.5 In the event of termination that is not the fault of the APPRAISER, the APPRAISER
shall be compensated for services performed prior to terminatiou, together with Reimbursable
Expenses, if any, then due.
7.6 APPRAISER shall bill and collect all fees :and costs for 6 parcels of land on Merka Rd.;
however, APPRAISER acknowledges that COUNTY is the client and all privity of contract
exists between APPRAISER.and COUNTY, and no third parties.
ARTICLE VIII
MISCELLANEOUS PROVISIONS
8.1 Unless otherwise provided, this Agreement shall be governed by the law of the principal
place of business of the COUNTY. Venue for any dispute or disagreement regarding the terms
of this Agreement shall be in Brazos: County, Texas.
8.2 Causes of action between the parties to this Agreement pertaining to acts or failures to act
shall be deemed to have accrued and the applicable statutes of limitation shall commence to nun
not later than either the dale of.Substantial Compietiog, .or the date of issuance of -tire final
Certificate for Payment for acts or failures to act occurring'after Substantial Completion.
8.3 The COUNTY and. the APPRAISER, respectively, bind themselves, their partners,
successors, assigns and legal representatives to the other party to this Agreement and to the
partners, successors, assigns and legal representative of such other party with respect to all
covenants of this Agreement. Neither the COUNTY nor the APPRAISER shall assign this
Agreement without the express written consent of the other party.
8.4 This Agreement represents the entire integrated agreement between the COUNTY and
the APPRAISER and supersedes all prior negotiations, representations or agreements, either
written or oral. This Agreement may be amended only by written instnuiient signed,byboth tlue
COUNTY and the APPRAISER.

8.5 Nothing contained in this Agreement shall create a contractual relationship with or
cause of action in favor of a third party against either the COUNTY or the APPRAISER
8.6 COMPLIANCE AND STANDARDS. The APPRAISER agrees to. perform the work
hereunder in accordance with generally accepted standards applicable thereto, and shall use that
degree of care and skill commensurate with the profession to comply with all applicable state;
federal and local laws, ordinances, rules.and regulations relating to the work to be performed
hereunder and the. APPRAISE R'S performance.
8.7 rNDEMNIFICATION: APPRAISER shall save and hold harmless the COUNTY from
and against any and all claims and liability due to activities of the APPRAISER, its agents or
employees, performed under this Agreement and which result from .any negligent act; error, or
omission of the APPRAISER, or of any person, employed by the APPRAISER. The
APPRAISER shall also save :harmless the COUNTY from and against any and all expenses,
including attorney's fees which might be incurred by the COUNTY in litigation, or otherwise,
resisting said claims or liabilities which might be imposed on the COUNTY as the result of such
activities by the APPRAISER, its agents or employees.

PAYMENTS TO THE APPRAISER
9.1 APPRAISER SHALL INVOICE FOR ALL SERVICES; COSTS AND FEES
ASSOCIATED WITH THE PROJECT.

OTHER CONDITIONS OR SERVICES
10.1 INSURANCE
10.1.1 The APPRAISER shall file with the COUNTY a Certificate of Errors and Omissions
Insurance having minimum limits of One Million and No/100 Dollars ($1,000,000.00) for each
Ml
occurrence and annual One.Million andNol100 Dollars ($1,000,000:00) aggregate. Such Errors
and Omissions Insurance shall have a deductible not in excess of Two Hundred Thousand and.
No/100 Dollars ($200,000.00) self-insured. Such Certificate shall bear the endorsement "Not to
be canceled Without thirty (30) days, prior notice to BRAZOS COUNTY, TEXAS." The
APPRAISERAall maintain the Errors and Omissions Insurance -at all times this Agreement.is in
effect and for a period of five (5) years after. completion of the Project. Failure to maintain the
required insurance shall be deemed to be a material.breach of this Agreement..
10.1.2 The APPRAISER shall also provide Worker's Compensation, automobile and
comprehensive general liability policies. The APPRAISER shall deliver the insurance
certificates to the COUNTY. The coverage provided herein shall contain an endorsement
providing thirty (30) days .notice to the COUNTY prior to any cancellation of coverage. Said
coverage shall be'tiwitteii by an insurer'' acceptable to the COUNTY and shall be in a_ form
acceptable to the COUNTY. If the APPRAISER has canceled or allowed to lapse any of these
insurance policies then the COUNTY may pay for such. insurance and may ;hold the amount of
such payment out of the APPRAISER'S fees or be otherwise reimbursed. Faihre to maintain the
required insurance shall be deemed to be a material breach of this Agreement.

This report is made in accordance with provisions of Gov.Cade 2256, The Public Funds Investment Act, which -
requires quarterly reporting of investment transactions to the Commissioners' Court.
The Brazos County Investment portfolio earned an average yield of 0.05677. on the quarterly average
balance of $2;352,407.66 invested with TexPool for the period ending 06/30/2015. Investment interest
deposited during the quarter was $322.90 Total year to date interest deposited was $783.32. Actual ending
balance invested at 06/30/2015 was $2,352,518.58.
The average rate of interest earned on the depository checking account balances for the quarter ending
06/30/2015 was 0.251% netting $59,445.45 for the quarter end on an average depository investable
balance of $95,368,379.63. Total year to date interest earned was $167,820.94
Total interest earned for quarter ending 06/30/2015 was $59,768.35 for total year
to - date of balance of $168,604.26.
Investment strategy
The Brazos County Investment Strategy will remain unchanged, keeping investments very short -termed &
liquid. With the safety of.principal as the foremost objective of the County's investment policy followed by
liquidity and. yield - it seems prudent to continue keeping the majority of available funds in the County's
depository where all funds are 110% collateralized. With the Brazos County depository contract Brazos
County earns a fixed rate of 0.25% on the funds held in the checking accounts for the term of the contract.

overnight market.

During these careers, the proudest accomplishment is that we have never initiated or been involved in a
transaction of the investment of public funds which resulted in a loss to a public entity - not a penny! While
some have said that our record of no investment losses is indicative of our "overly conservative" investment
philosophy for public funds, we will gladly cant' that description in exchange for our record of no
investment losses.
Our two primary programs for the investment of public funds are demonstrative of our guiding
philosophy; Cash Account Trust (CAT) is the SEC registered and regulated money market mutual fund we
helped create in 1990, explicitly for public funds; and Federally Insured Cash Account (FICA), the program
of 100% FDIC insured bank deposits. Both products offer unsurpassed safety and security for the investment
of tax -payer related funds. Essentially, any investment loss in either of these programs could result only by
the default of the obligations of the United States. CAT is currently paying a not yield of 0.04%, competitive
with unregulated Local Government Investment Pools (POOL's) such as TExPoot., and FICA is posting a
most attractive net yield to our clients of 0.13% (now applicable for deposits of up to $50,000,000).
