PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda. and be limited to four
minutes per person. Persons am invited to submit comments in writing on the agenda items and /or attend and make
comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is
a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the
Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a
Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public
in attendance at any Regular, Special andior Emergency meeting of the Court shall conduct themselves with proper respect
and decorum in speaking to and/or addressing the Court; in participating in public discussions before the Court, and in all
actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct
themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order
and/or continued disruption of the meeting may result in a Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any
individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty
andlor integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or
collectively. Accordingly, profane, insulting or threatening language directed toward ine Court andior any person in the
Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in
the following sanctions.
1, cancellation of a speakers time;
2. removal from the Commissioners Court;
3. a Contempt Citation, and /or
4. such other andior criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda property
posted prior to the meeting. During the public comment pence, speakers may address matters not fisted on the published
agenda, The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court.
However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation
on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider,
the County Judge and /or Commissioners may choose not to respond to public comments, except to correct factual
inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas
Open Meetings Act ?551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court.
The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and
do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is
required to attend or participate in me invocation and such decision will have no impact on their night to actively participate in
the business of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave., Suite 106, Bryan, TX 77803 is
wheelchair accessible. Handicap parking spaces are available. Any request for sign interpretive services must be made two

A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the
Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas
Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on Tuesday, July 28,
2015 with the following members of the Court present:
Duane Peters, County Judge, Absent,
Lloyd Wassermann, Commissioner of Precinct 1;
Sammy Catalena, Commissioner of Precinct 2,
Kenny Mallard, Commissioner of Precinct 3, Presiding;
Irma Cauley, Commissioner of Precinct 4,
Karen McQueen, County Clerk.
The attached sheets contain the names of the citizens and officials that were in
attendance.

The pledge was led by Commissioner Mallard in Judge Peters' absence.

3. Consider and take action on approving an Order authorizing Brazos County's participation in
a County Health Care Provider Participation Program and establisment of a Local Provider
Participation Fund.

Tim Ottinger with St. Joseph Health System spoke to the Court about the program, which
has been championed by Representative Raney and will allow hospitals to take advantage of
the 1115 Medicaid Waiver.
Representative John Raney stated that House Bill 3185 will draw federal money in the
amount of twenty five million dollars to assist with indigent care.
Jason Jennings with Baylor Scott & White stated that he was excited to see the hospitals join
together and he supports this bill.
Jim Schuessler, CEO of St. Joseph Health System thanked the Court for their support and
for adopting the program. Mr. Schuessler also thanked Representative Raney for
championing this bill and all those who worked on it.
Larry Rogers, CEO of College Station Medical Center expressed his support of this bill that
will help the citizens of Brazos County.
Mr. Ballard stated that the Court is voting to authorize the program along with the rules and
regulations. A public hearing will be held at a later date.

Wayne Dicky, Jail Administrator stated there were 597 inmates in jail, 63 have electronic
monitors and 8 are pending for monitors.

Risk Manager, Bill Jeanes announced that the Human Resources Department has an
Employment Landmines program scheduled at 2:00 p.m. today. He said it would be
beneficial to have a representative from each department attend the meeting.

Order Authorizing Brazos County's Participation in a County Health Care Provider Participation_
Program, Collection of a Mandatory Payment, and Use of Funds from Mandatory Payments
WHEREAS, the Texas Legislature enacted by unanimous consent House Bill 3185, which added
Chapter 298 to the Health and Safety Code and which went Into effect immediately upon being signed by
the Governor;
WHEREAS, pursuant to new Section 296.003 of the Health.and Safety Code, the commissioners
court.af a county may by order authorize the county to participate in a county health care provider
participation program and establish a Local Provider Participation Fund;
WHEREAS, the purpose of participation In a county health care provider participation program is
to help local providers gain access to the Texas Transformation $ Quality Improvement 1115 Medicaid
Waiver;
WHEREAS, the funding for the Local Provider Participation Fund Is generated from revenue from
a mandatory payment that may be required by the county from an Institutional health care provider to fund
certain Intergovernmental transfers and Indigent care programs;
WHEREAS, pursuant to new Section 296.062 of the Health and Safety Code, the commissioners
court of a county that participates in a county health care provider participation program may, by an
affirmative vote of the majority of the members of the commissioners court, authorize the county to collect
a mandatory payment from each Institutonal health care provider located In the county; and
WHEREAS, pursuant to new Section 296.103, a county that participates In a county health care
provider participation program may use the funds collected through mandatory payments only for
specified purposes;
NOW THEREFORE, BE IT ORDERED that the Commissioners Court of Brazos County
authorizes Brazos County to:
1. Participate In a county health care provider participation program;
2. Establish a Local Provider Participation Fund;
3. Collect a mandatory payment from each institutional health care provider located In Brazos
County; and
4. Use the funds collected through mandatory payments for the purposes specified in Section
296.103.

COUNTY HEALTH CARE PROVIDER PARTICIPATION PROGRAM
MODEL RULES AND PROCEDURES
General Provisions
Rule 1. Definitions. In these rules and procedures:
(a) "Mandatory payment" means a mandatory payment authorized under
Subtitle D of Title 4 of the Texas Health & Safety Code.
(b) 'Institutional health care provider" means a nonpublic hospital that provides
inpatient hospital services.
(c) 'Paying hospital' means an institutional health care provider required to
make a mandatory payment.
(d) 'Program" means a county health care provider participation program
authorized under Subtitle D of Title 4 of the Texas Health & Safety Code.
Rule 2. County Health Care Provider Participation Program; Participation in
Program.
(a) A county health care provider participation program authorizes a county to
collect a mandatory payment from each institutional health.care provider located in the
county to be deposited in a local provider participation fund established by the county.
Money in the fund may be used by the county to fund certain intergovernmental
transfers and indigent care programs as provided by these rules and procedures.
(b) The.00mmissioners court may adopt an order authorizing a county to
participate in the program, subject to the limitations provided by these rules and
procedures.
(c) To the extent any provision or procedure under Subtitle D of Title 4 of the
Texas Health & Safety Code causes a mandatory payment to be ineligible for federal
matching funds, the county may provide by rule for an alternative provision or procedure
that conforms to the requirements of the federal Centers for Medicare and Medicaid
Services.
Powers and Duties of Commissioners Court
Rule 3.. Limitation on Authority to Require Mandatory Payment. The county may
require a mandatory payment from an institutional health care provider only in the
manner provided in these rules and procedures. .
Rule 4. Majority Vote Required Prior to Mandatory Payment. The. county maynot
collect a mandatory payment without an affirmative vote of a majority of the members of
the commissioners court.
Rule 6. Institutional Health Care Provider Reporting; Inspection of Records.
(a) The county shall require each institutional health care provider to submit.to
the county a copy of any financial and utilization data required by and reported to the
Department of State Health Services under Texas Health & Safety. Code Sections

311.032 and 311.033 and any rules adopted by the executive commissioner of the
Health and Human Services Commission o implement those sections.
(b) The county may inspect the records of an institutional health care provider
to the extent necessary to ensure that the provider has. submitted all required data
under this Rule:
General Financina Provisions
Rule:6. Hearing.
(a) Each year, the county commissioners court shall hold a public hearing on
the amounts of any mandatory payments that the commissioners court intends to
require during the year and how the revenue derived from those payments is to be
spent.
(b) Not later than the 10th day before the date of the hearing required under
Rule 6(a); the county commissioners court shall publish notice of the hearing in a
newspaper of general circulation in the county.
(c) A representative of a paying hospital is entitled to appear at the time and
place designated in the public notice and to be heard regarding any matter related to
the mandatory payments.
Rule 7. Depository.
(a) The county shall designate one or more banks located in the county as the
depository for mandatory payments received by the county. A bank designated as a
depository serves for two years or until at successor is designated.
(b) All income received by a county under these rules and procedures,
including the revenue from mandatory payments remaining after fees for assessing and
collecting the payments are deducted, shall be deposited with the county depository In
the county's local provider participation fund and may be withdrawn only as provided by
these rules and procedures.
(c) All funds under these rules and procedures shall be secured in the manner
provided for securing county funds.
Rule 8. Local Provider Participation Fund; Authorized Uses of Money.
(a) Each county that collects a mandatory payment shall create a local
provider participation fund.
(b) The local provider participation fund of a county consists of:
(1) all revenue received by the county attributable to. mandatory
payments, Including any penalties and interest attributable to delinquent payments;
(2) money received from the Health and Human Services Commission
as a refund of an intergovernmental transfer from the county to the state for the purpose
of providing the nonfederal share of Medicaid supplemental payment program
payments, provided that the intergovernmental transfer does not receive a federal
matching payment; and
(3) the earnings of the fund.
(c) .Money deposited to.the local provider participation fund may be used only
to:

provide the nonfederal share of a, Medicaid supplemental payment program authorized
under the state Medicaid plan, the Texas Healthcare Transformation and Quality
Improvement Program waiver issued under Section 1115 of the federal Social Security
Act (42 U.S.C. Section 1315), or a successor waiver program authorizing similar
Medicaid supplemental payment programs;
(2) subsidize indigent programs; .
(3) pay the administrative expenses of the county solely for activities
under these rules and procedures;
(4) . refund a portion of a mandatory payment collected 'in error from a
paying hospital; and
(5j refund to paying hospitals the proportionate share of money
received by the county from the Health and Human Services Commission that is not
used to fund the nonfederal share of Medicaid supplemental payment program
payments.
.(d) Money in the local provider participation fund may not be commingled with
other county funds.
(e) An intergovernmental transfer of funds described by Rule 8(c)(1) and any
funds received by the county as a result of.an Intergovernmental transfer described by
that rule may not be used by the county or any other entity to expand Medicaid eligibility
under the Patient Protection and Affordable Care Act (Pub. L. No. 111 -148) as
amended by the Health Care and Education Reconciliation Act of 2010 (Pub. L. No.
111-152).
Mandatory Payments
Rule 9. Mandatory Payments Based on Paying Hospital Net Ment Revenue.
(a) Except as provided by Rule 11, the commissioners court of a county that
collects a mandatory payment may require an annual mandatory payment to be
assessed on the net patient revenue of each institutional health care provider located in
the county.
(b) The commissioners court may provide for the mandatory payment to be
assessed quarterly. Mandatory payments are typically due no later. than 90 days after
such payment is assessed.
(c) In the first year in which the mandatory payment is required; the mandatory .
payment is assessed based on the data for 2013 collected pursuant to Section 5(a). If
no such data are available for an institutional health care provider, the mandatory
payment may calculated based on the institutional health care provider's Medicare
cost report submitted . for the 2013 fiscal year or for the closest subsequent fiscal year
for which the provider submitted the Medicare cost report.
(d) The county shall update the amount of the mandatory payment on an
annual basis.
Rule 10. Mandatory Payment Requirements
(a) The amount of a mandatory payment must be uniformly proportionate with
the amount of net patient revenue generated by each paying hospital in the county.

.(b) The commissioners -court of a county.that collects a mandatory payment
shall set the amount of the mandatory payment.
(c) Subject to the maximum amount prescribed by Rule 11(a), the
commissioners court of a county that collects amendatory payment shall set the
mandatory payments in amounts that in the aggregate will generate sufficient revenue
to cover the administrative expenses of the county for activities under these rules and
procedures and to fund purposes described in Rule 8(c). The annual amount of
revenue from mandatory payments used for administrative expenses of the county for
activilles.under these rules and procedures may not exceed the lesser of four percent of
the total revenue generated from the mandatory payment or $20,000.
Rule 11. Mandatory. Payment Prohibitions.
(a) The. amount of the mandatory payment required of each paying hospital
may not exceed an amount that, when added to the amount of the mandatory payments
required from all other paying hospitals in the county, equals. an amount of revenue that
exceeds. six percent of the aggregate net patient revenue of all paying hospitals In the
county.
(b) A mandatory payment may not hold harmless any institutional health care
provider, as required under 42 U.S.C.. Section 1396b(w).
(c) A paying hospital may not add a mandatory payment required under this
section as a surcharge to a patient.
(d) If a county determines that administration of mandatory payments is
increasing.the casts of health care to the residents of the county, the commissioners
court may rescind participation in the program and refund to each paying hospital the
proportionate share of any money remaining in the local provider participation fund at
the time the county's participation is rescinded.
Rule 12. Assessment and Collection of Mandatory Payments.
(a) Except as provided by Rule 12(b); the county tax assessor- collector shall
collect the mandatory payment. The. county tax assessor - collector shall charge and
deduct from mandatory payments collected for the county a fee for collecting the.
mandatory payment in an amount determined by the commissioners court of the county,
not to exceed the county tax assessor - collector's usual and customary charges.
(b) The commissioners court may contract for the assessment. and collection of
mandatory payments in the manner provided by Title 1, Tax Code, for the assessment
and collection of ad valorem taxes.
(c) Revenue from a fee charged by a county tax assessor - collector for
collecting the mandatory payment shall be deposited in the county general fund and, if
appropriate, shall be reported as fees of the county tax assessor - collector.
Rule 13. Interest and Penalties. Any interest and penalties on mandatory payments
are governed by the law applicable to county ad valorem taxes. Discounts applicable to
county ad valorem taxes do not apply.

1) Please accept this letter as Official Notification by the Brazos County Clerk's Office of our intent
to discontinue all services with ACS/Xerox. We ask that all ACS related hardware, software and any
other ACS property be de- installed and removed from our offices by January 1, 2016. We appreciate the
long standing relationship with ACS but have determined it is in our best interest to migrate our systems,
all related services and support to Kofile Solutions, Inc. We expect our final invoice from ACS to be for
services through December 31, 2015.
2) This letter also serves as Brazos County Clerk request for a complete extract of all digital content
currently hosted on the ACS 20/20 Real Property System. The purpose of the extract is to provide a
complete copy of all data and images within the ACS 20/20 system to Brazos County. Brazos County
does not expect any additional charges for this extract and data transfer. The initial historical download
should be delivered to Brazos County Clerk as soon as possible and absolutely no later than 30 days after
receipt of this letter. ACS/Xerox should also be aware that we will also require a final extract or
download of "gap" data that contains the filings and data from the initial data extract and the final day of
service on December 31, 2015.
The data extract will be provided in anon-proprietary delimited text file or documented relational .
database. Images will be provided with linking information to the index data and in a non - proprietary
industry standard format, TIFF or Multipage TIFF.
The digital content will include and is not limited to:

This Contract for Full Service Computerized Indexing, Optical Imaging Systems and Services
for Vital and Real Property Records (herein the "Contract'), is made and entered into by and
between BRAZOS COUNTY, a political subdivision of the State of Texas, on behalf of its
County Clerk, hereinafter referred to as "Client' or "Brazos County", and KOFILE
SOLUTIONS, INC., 6300 Cedar Springs Road, Dallas, Texas 75235, hereinafter referred to as
"Provider ", individually referred to as "party" and collectively as "parties ".
RECPFALS
WHEREAS, Provider provides microfilming, digital imaging, indexing and storage and
maintaining on -line Real Property Records and Vital Statistics Records for various counties
throughout the State of Texas; and
WHEREAS, Brazos County wishes for Provider to microfilm, digitize, index, store and
maintain Brazos County Records on -line.
NOW THEREFORE, KNOW ALL MEN BY THESE PRESENTS that for and in consideration
of the services and product stated herein the parties agree to the terms and conditions set forth
herein.
CONSIDERATION
Client agrees to pay for Real Property Recording, Full- Service Computerized Indexing, and
Digital Imaging Systems and Internet Services, as those services are specifically described in this
Contract and the Exhibits attached hereto, as follows:

The costs of the systems and services described herein have been negotiated by the Texas
Comptroller of Public Accounts Texas Smart Buy System. These negotiated prices are offered to
Brazos County through the Kofile TXMAS Contract Number TXMAS-13- 36010, Kofile
Preservation, Inc,
DURATION
This Contract shall commence on , 2015 (signing date) and shall expire 5
years from signing date or on 2020 subject to the annual appropriation of
currently available funds by the Brazos County Commissioners Court. Client shall have three
consecutive twelve month renewal options to commence upon expiration of the previous term
upon the same terms and conditions then in effect. The Client shall notify the Provider in writing
of its decision to exercise this option 30 days prior to the expiration of the original term or a
renewal term. Such renewal terms shall be upon the then existing terms and conditions.
CONFLICT OF INTEREST
No public official shall have interest in this Contract, in accordance with Vernon's Texas Codes
Annotated Local Government Code Title 5, Subtitle C, Chapter 171.

done in performance of the Contract, or information that comes to the attention of the Provider
during the course of performing such work is to be kept strictly confidential. Provider shall not
publish, distribute, or reproduce in any way the Client's records without the express written
authorization of the Brazos County Clerk.
SYSTEM AND PROCESS
Provider represents that the mechanical process to be used to create the records to be imaged and
stored hereunder is as set forth on Exhibit "C ". Provider further warrants and represents that the
indexing system to be leased hereunder shall conform to the specifications and descriptions set
forth in Exhibit "D ".

CHANGE ORDERS
No oral statement of any person shall modify or otherwise change, or affect the terms, conditions
or specifications stated in the Contract. All change orders to the Contract shall be made in
writing and signed by both parties. Either party may request a change order. Within 5 days of
receiving or initiating a written change order, Provider will prepare a written cost estimate and
schedule for the requested change to Client. All technology or service related change orders shall
be agreed to by Provider and the County Clerk. If a change order effects the cost of the Contract,
or any term not described above, such change order must be submitted to the County
Commissioners Court for approval. Such change order shall be considered at the next regularly
scheduled Commissioners Court hearing after such change order is submitted and for which
adequate notice is possible under the Texas Open Meetings Act.
ASSIGNMENT
The Provider shall not sell, assign, transfer or convey to any third -party this Contract in whole or
in part, without the prior written consent of the Brazos County Commissioners Court.
INDEMNIFICATION
Provider shall defend, indemnify and hold harmless Brazos County and all of its officers, agents
and employees from all suits, actions, or other claims of any character, name and description
brought for or on account of any injuries or damages received or sustained by any person,
persons, or property on account of any negligent act or fault of the Provider, or of any agent,
employee, subcontractor or supplier in the execution of, or performance of, this Contract.
Provider shall pay any judgment with costs which may be obtained against Brazos County
growing out of such injury or damages.
SALES TAX
Brazos County is by statute exempt from the State Sales Tax and Federal Excise Tax; therefore,
the price shall not include taxes.
DESIGN, STANDARDS, AND PRACTICES
Services to be furnished by Provider must conform to the highest standards of practices in the
industry. The digitized microfilm to be processed pursuant to this Contract shall meet the �ihighest
standards of the industry and shall conform to the standards adopted subsequent to the (date of
this Contract, if any, by the American National Standard's Institute and /or the Texas State
Library and Archive Commission.

COMPLIANCE WITH GOVERNING LAWS
All services provided for herein must comply with all federal, state, county and local laws
governing or covering the type of services included in this Contract.
PATENTS /COPYRIGHTS
If any claim is asserted or action or proceeding brought against the Client which alleges that all
or any part of the software provided hereunder in the form supplied by Provider, or the Client's
authorized use thereof, infringes or misappropriates any United States copyright or patent, or any
trade secret, license, grant, or other proprietary right, the Client shall give Provider prompt
written notice thereof. Provider shall defend any such claim or action with counsel of Provider's
choice and at Provider's expense and shall indemnify the Client for any costs, including
reasonable attorney's fees, incurred by the Client in connection therewith. The Client shall
cooperate fully with and may monitor Provider in the defense of any claim, action or proceeding
and will make employees available as Provider may reasonably request with regard to such
defense, subject to the reimbursement by Provider of all reasonable costs and expenses
occasioned by Client's cooperation in such defense.
If the software provided by Provider is, in either Client's or Provider's opinion likely to become
or does become the subject of a claim of infringement or misappropriation of a copyright, 'patent,
trade secret or other contractual or proprietary right, or if a temporary restraining order or other
injunctive relief is entered against the use of part of or all of the software, Provider shall at its
sole cost and expense select one of the following remedies, which selection shall be in Provider's
sole discretion:
Promptly replace the software with a compatible functionally equivalent, non-
infringing and /or non - restrained software; or
2. Promptly modify the software to make it non - infringing; or
Promptly procure the right of the Client to use the software as intended.
Notwithstanding any provision in this Contract to the contrary, Provider will not be responsible
for indemnifying Client in the event that the Provider's software has been modified by Client or
a third party without the prior written consent of Provider.
INSURANCE
Provider shall, at all times, maintain sufficient insurance coverage to protect Client from all
reasonable loss by liability claims arising out of Provider's performance or lack of performance
of this Contract. If Provider materially changes or cancels any insurance policy requiredlby this
Contract, Provider shall give Client prompt written notice of same.

I. The Bidder shall instruct his insurance agent or carrier to furnish to the County a
Certificate of Insurance attesting to the issuance of the following parts of this section. Please
note that such Certificates of Insurance and any required bonds must be issued and then
approved by Brazos County Risk Management. The Certificate of Insurance must be approved
by Risk Management before any deliveries can be made.
2. The Bidder shall furnish and keep in full force the following insurance during the term of
this Contract:
a. Statutory Workmen's Compensation and $1,000,000 Employer's Liability
Insurance with waiver of subrogation.
b. General Liability with limits for bodily injury and for property damages of not
less than $2,000,000 aggregate, $1,000,000 each occurrence with Brazos County
named as an additional insured.
C. Comprehensive Automotive Liability with $1,000,000 CSL for Bodily Injury and
Property Damage Liability.
d. Cargo Insurance to sufficiently cover materials transported.
3. All of the aforementioned policies and Certificates of Insurance should bel issued
immediately after the Bidder receives notification of award.
4. The Vendor agrees to hold harmless Brazos County from any and all claims and liability
due to the acts of the Vendor's employees and the operation of his equipment. The Vendor also
agrees to hold harmless Brazos County from any and all expenses, including attomeY fees,
incurred by Brazos County in litigation or otherwise resisting such claims or liabilities as a result
of the Vendor's employees' activities. Further, the Vendor agrees to protect, indemnify and hold
harmless Brazos County from and against all claims, demands and causes of action of every kind
and character brought by any employees of the Vendor against Brazos County due to personal
injuries and/or death to such employee resulting from any negligent act, by either commission or
omission on the part of the vendor or Brazos County.
Upon request, Provider will provide evidence of coverage on a standard ACORD form certificate
of insurance.

2. Detailed breakdown of all charges for the services or products delivered stating
any applicable period of time.
Invoices shall be based upon actual services rendered and actual hours of performance and /or
products delivered.
PAYMENT
Agreed payments will be made by Client to Provider upon receipt and acceptance by Client of all
completed services and /or products ordered and receipt of a valid invoice in accordance with
V.T.C.A., Government Code Section 2251.021. Client agrees to pay late charges of one and one
half percent (1.5 %) of any balance due to Provider that is outstanding for more than thirty (30)
calendar days.
DELIVERY OF HARDWARE EQUIPMENT
Provider shall replace the computer hardware and other equipment currently in use by Client
with the hardware and equipment set forth on Exhibit `B" and thereafter as may be needed due
to hardware or equipment failure, on Client's premises for use of Client during the term of this
Contract. Subject to the terms hereof, the title and possession of the hardware and other
equipment furnished by Provider shall at all times, after delivery to Client, be and remain the
sole and exclusive property of Provider.
Provider shall permit the use and operation of the equipment currently being leased by Client
from Provider simultaneously with the new equipment for as long as 3 weeks as a back -up
system until the Client is assured the new equipment is working properly. Such old equipment
will continue in use during that time at no additional cost to the Client.
The hardware and equipment furnished Client according to this Contract shalt not be used by
Client during the time period of this Contract except in the furtherance and performance of the
specific terms of this Contract.
Any operating software that Provider has received from the manufacturer of the hardware or
vendor of the hardware shall be delivered to Client for its use, subject to the rights retained in
such operating software and restrictions set forth by such manufacturer or vendor and shall at all
times remain the property of Provider. Provider, or its vendor(s), retains all proprietary' right to
such operating software.
Upon the availability of the new equipment to Provider, Provider shall schedule Client for
System Installation. Provider will give Client an estimate time and schedule for installation.
Provider shall use its best effort to perform in a timely manner.

Client will provide at its own expense a site adequate in space and design for the installation and
operation of the hardware. Client shall be responsible to provide (i) a site that is temperature -
controlled (ii) has the necessary electrical outlet, circuits, and wiring for the hardware, and
electric current of sufficient quality and quantity to operate the hardware, and (iii) cooperate with
Provider in making arrangements with the local phone carrier for installation of a DSL, ISDN or
phone line to the County Courthouse. Any charges due to the phone carrier for installation and
monthly service charges shall be at Provider's expense. Client shall be responsible, at its cost, for
the proper cabling and wiring of the County Clerk's Office with cabling sufficient to operate the
system described herein. Provider shall notify the Client of the type and quality of cabling
required to service the equipment. Provider has no duty to prepare the site for installation of the
hardware, except as provided above, but does have a duty to give notice to Client of any
inadequate conditions which it finds regarding the site.
INSTALLATION AND TRAINING
Provider shall have the duty to install or reinstall, if necessary, the hardware at the site
designated by Client. Provider shall also have the duty to provide the adequate and necessary
training, as determined in Client's sole judgment, of Client's employees for the operation of the
above described hardware and for the understanding of the use of the software. If requested by
Client, Provider will furnish additional training at Client's site to compensate for any employee
turnover or software upgrade, and to ensure Client's ability to fully utilize all hardware provided.
All installation and training is included in the prices set forth in Exhibit "A ". i
LICENSE
Provider grants to Client the non - exclusive, nontransferable, revocable right to use the software
provided under this Contract during the term of this Contract; such right specifically excludes the
right of Client to sublicense, assign, or sublease any of its right hereunder without express
written consent of Provider. Client agrees that the software products licensed herein are
proprietary, and that Provider or the owner of the licensed software products retains ownership
of all rights, title and interest of its licensed software products. Provider agrees to provide all
updates of the Software described herein at no additional charge. All enhancements made on
behalf of Client by Provider will be proprietary to Provider.
TERMINATION FOR BREACH OR DEF'AUL'T' BY PROVIDER
If Provider materially breaches any of the terms and conditions set forth in this Agreement or
fails to perform the obligations set forth in this Agreement and fails to cure the breach orjfailure
within forty -five (45) calendar days (or other reasonable period stated in the notice) after !receipt
of written notice specifying the basis for the breach or failure to perform, Client may terminate
this Agreement. Termination by Client shall be effective upon delivery of final payment to
Provider of all sums due under this Agreement to the effective date of the termination. I Client

owned materials to Provider within thirty (30) calendar days after termination.
TERMINATION FOR BREACH OR DEFAULT BY CLIENT
If Client materially breaches any of the terms or conditions set forth in this Contract or fails to
perform the obligations set forth in this Contract and fails to cure the breach or failure within
forty -five (45) calendar days (or other reasonable period stated in a notice sent by Provider) after
receipt of written notice specifying the basis for the breach or failure to perform, Provider may
terminate this Contract for breach. Termination by Provider shall be effective upon receipt by
Client of a written notice to terminate. Client agrees to discontinue use of all hardware,
software, and other Provider -owned materials no later than the effective date of termination and
return the hardware, software, and other Provider -owned materials to Provider within thirty (30)
calendar days after termination.
TERMINATION WITH NOTICE
Either party may terminate this Contract at the end of the initial term or any renewal term by
providing ninety (90) calendar days written prior notice to the other party of the non - renewal of
the Contract.
TERMINATION FOR LOSS OF FUNDING

This Contract is subject to termination for convenience upon not less than thirty (30) days
written notice to Provider if Client has failed to receive funds for the continued procurement of
the products or services set forth in this Contract after every reasonable effort has been made by
Client to secure the necessary funding and if no substitute arrangement is made by Client to
obtain the same or similar products or services from another source.
INTERNET SERVICES
Provider will, as part of the pricing set forth on Exhibit A, place all Brazos County Clerk's Real
Property Records (indices and records) on -line commencing with the date of this Contract and
going back to January 1, 1955. Such records will be accessed at Kofile's website. Fifty percent
of the revenue derived from the searching of the records on the internet will be reimbufesed to
the Client by Kofile deducting the amount of money Provider received from the internet searches
from the County Clerk's monthly invoice. Provider will rebate 50% of all revenues generated
from Brazos County records. Provider agrees to provide a monthly accounting to Client to verify
intemet revenue and administration fees. Client reserves the right to have such records audited
annually at Client's expense. The per image retrieval and per copy price and subscription fee will
be set by Client.

It is agreed and understood that Provider, and its employees, agents, representatives, and anyone
acting on behalf of Provider are independent contractors for the purpose of this Contract.
PROPRIETARY RIGHTS
Provider shall have the sole and exclusive right to patent or copyright any work resulting from its
services. In order to protect Provider's interest in these materials, Provider will retain all
proprietary rights including but not limited to source programs, object programs, control
language procedures, systems design, modular program structure, system logic flow, technical
documentation, report and video fornats, subroutines, processing techniques and procedures, and
report generation which were prepared on behalf of Client, subject, however, to the section of
this Contract entitled "Title to Recorded Media ". As part of this Contract, Client is granted a
non - exclusive license to use these materials.
WARRANTY AND DISCLAIMER
Services to be performed by Provider will be done by qualified personnel, properly supervised,
and will meet such other specifications as are mutually agreed upon by the parties. Provider
further warrants and represents that the hardware and software together will perform in
accordance with the terns of this Contract. Provider warrants that each delivered and installed
product will be in good operating condition on the day it is accepted. If any delivered material or
product is not in good operating condition on the date of installation, Provider will make
adjustments, repairs, and replacements necessary to place the product or material in good
operating condition as promptly as possible after installation. if Provider can not make the
system operable after adjustment or repairs within 5 days of installation, Provider will install
new hardware and /or software.
THE LIMITED WARRANTIES SET FORTH IN THIS SECTION, AND THIS CONTRACT,
ARE MADE TO CLIENT EXCLUSIVELY AND ARE IN LIEU OF ALL OTHER
WARRANTIES. PROVIDER MAKES NO OTHER WARRANTIES WHATSOEVER,
EXPRESS OR IMPLIED, WITH REGARD TO ANY HARDWARE, SOFTWARE OR THE
SERVICES PROVIDED UNDER THIS CONTRACT, IN WHOLE OR IN PART. PROVIDER
EXPLICITLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR A PARTICULAR PURPOSE. PROVIDER EXPRESSLY DOES NOT WARRANT
THAT ANY SOFTWARE OR ANY HARDWARE WILL BE ERROR -FREE, ORI WILL
OPERATE WITHOUT INTERRUPTION. CLIENT WAIVES ANY CLAIM THAT ANY OF
THESE WARRANTIES OR THE REMEDIES PROVIDED UNDER THIS CONTRACT FAIL
OF THE ESSENTIAL PURPOSE FOR WI -ITCH THE WARRANTIES OR REMEDIES ARE
PROVIDED.
CARE AND USE
Client shall protect the hardware and software furnished by Provider from deterioration other
than normal wear and tear. During the period of this Contract, Client shall not use the systems
furnished by Provider according to the Contract for any other purpose other than that to which
they were designed and only for the purposes intended for the performance of this Contract.

Parties agreed that the cost of hardware maintenance service is included in the charges as stated
in Exhibit "A ". Provider assumes the obligation to repair and maintain such systems in good
operating condition and repair at all times during the term of this Contract, subject to the�risk of
loss provision below.
The Client shall not, without prior written consent of Provider, affix or install any accessory
equipment or device on the hardware that will either impair the originally intended function or
use of such hardware.
Client will not move the hardware or permit the removal of any hardware from the original
installation site without Provider's prior knowledge.
Notwithstanding any provision in this Contract to the contrary, the parties agree that Provider
will bear the risk of loss or damage to any hardware while in transit to Client installation site(s).
Client will bear all risk of loss or damage to hardware after delivery to the installation site(s),
unless the loss or damage is due to the negligence or willful acts of Provider, its employees,
agents, representatives, or subcontractors.
SUPPORT
Provider has its only customer support and development center in Dallas, Texas. This center only
supports Provider's products and services. It handles hardware and software calls. Provider
serves as the single point of contact for all support and maintenance issues for its customers.
Provider's philosophy is to insure that if a customer has a problem they can access the customer
support center by 800 -phone number and receive attention via an operator. All problems
identified by phone shall be resolved within a reasonable amount of time. Provider will dial -in to
the records management and imaging system and perform proactive support as well as normal
maintenance and software problem resolution. Provider will guarantee a response or resolution
within a reasonable amount of time.
Provider will maintain in conjunction with the system design specification a problem log that
details all customer requests; regardless as to whether they arc scope issues, software problem
reports or enhancement requests. This log shall be available to all customer and project personnel
at all times. Each issue identified in the log will contain a date of submission and the name of the
person submitting the request. As a function of Provider status reports, Provider will provide a
summary of the number of issues opened, the number of issues closed, issues requiring
management attention (such as contractual issues), and copies of all resolved issues (resolution
forms) from the previous month. It is the intention of Provider to have all issues resolved as soon
as possible.

It is expressly agreed by Client and Provider that title to all media recorded pursuant to this
Contract, in any form, (including, but not limited to: silver halide microfilm, hard disks, internet
images, and any other magnetic recording) shall belong to the County Clerk of Brazos County.
DEFAULT
The occurrence of any one or more of the following events shall constitute a default under this
Contract:
• Failure by Provider to perform any term, covenant or condition of this Contract,
which default shall continue for a period of fifteen (15) days after Client fumishes
Provider written notice of such failure to perform;
• Failure of Provider to repair or replace faulty or. malfunctioning equipment,
products, or materials within 48 hours of receipt of notice from the County' Clerk,
or failure of Provider to furnish adequate and proper training or retraining of
Client's employees as deemed reasonably necessary by the County Clerk for
Client to properly use the hardware and software of Provider;
• Failure of Provider to furnish the necessary hardware or software to site of Client
as agreed upon herein;
• Except as provided herein, failure of Provider to protect from dissemination,
without Client's prior written consent, the data which is indexed and stored by
Provider;
• Failure by Client to pay payments or other amounts payable by Client under this
Contract pursuant to the Texas Government Code §2251.021;
• Failure by Client to perform any term, covenant or condition of this Contract,
which default shall continue without the commencement of a cure, for a period of
fifteen (15) days after Provider furnishes Client written notice of such failure to
perform.
REMEDIES UPON DEFAULT
Client reserves the right to enforce the performance of this Contract, in the event of a breach, in
any manner prescribed by law.
Provider shall reimburse Client for all reasonable costs and reasonable expenses incurred in
connection with the enforcement of any right or remedy under this Contract, inl luding
reasonable attorney's fees.
Client shall reimburse Provider for all reasonable costs and reasonable expenses inedrred in

Breach of Contract or default by Provider authorizes Client to terminate this Contract, purchase
the services provided herein elsewhere and charge the full increase in costs, if any, to the
Provider.
LIMITATION OF LIABILITY
I
NEITHER PARTY SHALL BE LIABLE, UNDER ANY CIRCUMSTANCES FOR ANY
SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, INCIDENTAL, OR INDIRECT
DAMAGES OF ANY KIND RESULTING FROM THE PERFORMANCE OR !NON-
PERFORMANCE OF OBLIGATIONS UNDER THIS AGREEMENT EVEN IF THOSE
DAMAGES ARE ATTRIBUTED TO BREACH OF THIS AGREEMENT, TORT,
NEGLIGENCE, OR OTHER CAUSE OF ACTION. THE PARTIES AGREE THAT,
LIMITATION SHALL APPLY EVEN IF A PARTY HAS BEEN ADVISED OF THE
POSSIBILITY OF NON - DIRECT DAMAGES OR IF, UNDER APPLICABLE LAW,! NON-
DIRECT DAMAGES ARE CONSIDERED TO BE DIRECT DAMAGES. PROVIDER
SHALL NOT BE LIABLE FOR ANY FAILURE TO REALIZE SAVINGS OR OTHER
BENEFITS FROM THE HARDWARE, SOFTWARE OR SERVICES PROVIDED UNDER
THIS AGREEMENT.
CLIENT ACKNOWLEDGES THAT PROVIDER HAS SET ITS PRICING AND ENTERED
INTO THIS CONTRACT N RELIANCE UPON THE LIMITATIONS OF LIABILITY AND
TIIE DISCLAIMERS OF WARRANTY AND DAMAGES SET FORTH N I THIS
CONTRACT, AND THAT THE THESE LIMITATIONS AND DISCLAIMERS FORM AN
ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. EXCEPT FOR
SERVICE FEES AND AMOUNTS EXPRESSLY DUE AND PAYABLE TO PROVIDER
UNDER THIS CONTRACT, IN NO EVENT SHALL EITHER PARTY TOI THIS
AGREEMENT BE LIABLE TO THE OTHER PARTY FOR ANY CLAIMS, PENALTIES OR
DAMAGES, WHETHER IN CONTRACT, TORT, OR BY WAY OF INDEMNIFICATION, N
AN AMOUNT EXCEEDING FIFTY PERCENT (50 %) OF THE FULL PRICE OF THIS
CONTRACT.

If any provision of this Contract is held to be illegal, invalid, or unenforceable, that provision
shall be severed or reformed to be enforceable and the remaining provisions hereof shall Iremain
in full force and effect.
This Contract embodies the entire contract of the parties with respect to the subject) matter
hereof. This Contract cannot be modified except by written amendment or change orderl signed
by both parties hereto.
This Contract shall be construed and enforced in accordance with the laws of the State ofTexas,
and performable in Brazos County, Texas. i
The undersigned officer and /or agents of the parties hereto are the properly authorized officials
and have the necessary authority to execute this Contract on behalf of the parties hereto and each
party hereby certifies to the other that any necessary resolutions extending said authority have
been duly passed and are now in full force and effect.
For the purpose of this original Contract, time is of the essence.

In the year 2014, Brazos County Clerk averaged paying $7,400.00 per month for Full
Service Computerized Indexing for Real Property Records. Monthly prices fluctuate depending
on the number of instruments filed in the County Clerk's office each month.
Average Monthly Cost 57,400.00
II. Optical Imaging System: Real Property Records and Vital Statistic Records
Flat Monthly Cost $5,288.00 per month.

the ACS 20/20 system. These images will be processed and loaded to the Vanguard
Records Management allowing key word searching of all historical records. All existing
data conversion and this OCR processing is included in the quoted Vanguard pri i ing at
no additional cost

SPECIAL NOTE:
Subject to the "Care and Use" provision in the Contract, Provider is responsible for all hardware
maintenance, including but not limited to the backing up of the hard -drive on all equipment
leased hereunder. In the event that a hardware component is damaged or not working properly, it
is Provider's full responsibility to replace the damaged component/equipment for the County in
the most efficient and timely manner.
In the unlikely event that the hard drive of the server is damaged, Provider has the capability to
load down all index information and images onto another server and replace the damaged one in
the most efficient and timely manner.

BRAZOS COUNTY PROCESSING
The following is a step -by -step process for the operation of the Brazos County Clerk's office for
Real Property Records with the new equipment.
1. After a document has been filed through cashiering, it is ready to be scanned. The
document number and the number of pages are passed through the systegt to the
scanning station. The Client has the option to scan the image immediately or wait
until it receives a range of instruments to scan. The programs can run reports on
which documents were scanned for the date and let you know if any numbers
were skipped. The Client also has the ability to rescan if an image didn�t scan
properly onto the system. Once the Client saves that image to the system, it is
ready to be viewed by the instrument number.
2. When the Client is done scanning for the day, they will transmit the daily images
(documents) to Kofile. The images will be transferred to Kofile by DSL, ISDN, or
modem line, whichever is available and most feasible, to be indexed Once
Provider receives these images, it will return the index back to Client the next
day. Provider will blind verify the indexing, and create a roll of security
microfilm to be stored in our temperature/humidity - controlled vault.
3. The index information will attach to the proper images that coincide with that
instrument. At that moment the instrument is ready to be searched by the public.
4. Provider will transmit the electronic Grantor /Grantee indices to Client, the next
day, after Provider receives the scanned images. i
Electronic Recording System
Kofile will implement the Electronic Recording Program into the recording and indexing
process.
Kofile shall fulfill the following duties and obligations in support of the electronic re
system.
a. Kofile will be responsible for providing, supporting, and maintaining the
electronic recording system software and the interface to the County Land!Record
Management System.
b. Kofile will ensure that electronic recording system is secure and thl at once
documents are received, they remain immutable until such time as they are
recorded.

c. Kofile will work with the Submitting Company and County to resolve } ssues
encountered in the Electronic Recording Process that are within the scopei f the
system and software used to support the Electronic Recording Program.
d. Kofile will also enable a direct filing procedure and link for local submitfers to
file directly into the Brazos County system eliminating e- recording processors
such as ACS eRX, Simplifile, Ingeo and so on.
e. Kofile will maintain an audit trail of documents received, the source received
from, dates and times received, receipts received, receipts transmitted, and any
errors encountered.
The aforementioned duties and obligations will be fulfilled in a timely fashion at
expense.
County shall fulfill the following duties and obligations.
a. County shall protect the integrity of the recordation process through
monitoring of documents received and recorded through the Electronic P
Program.
b. County (and, if applicable, any third -party providers retained by County) will
work with Kofile to install, configure, and administer the necessary infrast cture
components to facilitate the Electronic Recording Program.
c. County (and, if applicable, any third -party providers retained by County) shall test
and maintain the software and hardware required to operate the Electronic
Recording program.
d. County shall apply the salve level of diligence in handling documents
electronically as those submitted through the normal paper process.
The aforementioned duties and obligations will be fulfilled in a timely fashion at
expense.

FULL SERVICE COMPUTERIZED INDEXING OF LAND RECORDS
Provider utilizes a virtually error -free procedure for the entering of land records in
involving a combination of 100 percent key verification, machine editing procedures
catch alphabetic data in numeric field and vice versa as well as machine checks for
instrument numbers, missing parties to the document, et cetera, intensive operator tra
documented reference materials for key entry personnel.
The computerized indexing services includes an alphabetic listing of the Grantors, an a1F
listing of the Grantees, a "Missing Numbers Report" to account for all the Clerk's ins
numbers showing all the documents indexed in each group of documents submitted by
County Clerk.
The Grantor /Grantee index output reports have the following specifications:

The names fields are 40 characters to minimize the need for operator judgments on
abbreviations and to assure a truer alphabetic sort procedure.
2. The type of document field has 20 characters to prove adequate room to spell out
most document types and certain combination document types.
3. Case numbers and money amounts are shown on all index entries for abstracts of
judgements and tax liens.
4. Money amounts are shown on deeds of trust index entries.
5. Prior document references on assignments and releases are shown on the index report.
If both volume and page prior document reference and a money amount are shown on
the same document, the volume and page prior document reference will take priority
over the money amount with respect to the information printed on the index report.
6. The page format of the data prominently displays the inclusive certification dates for
the index series at the top of each page. I
7. If requested by the Brazos County Clerk, all properties described on a document are
shown on the index, regardless of number. I
8. Provider will furnish a quarterly index print out and the necessary sectional) post
binders of a plastic or poly material comparable in quality and style to those currently
in use by the Client. Alphabetic and "current" divider tabs and customized printing or
labeling of the binders are also included.
9. Each quarterly index will be merged with the prior quarter (s) index. All quarterly
indices will be merged to create a year's index. At the end of each year, that year's
index is merged with the previous years' indices. The indices are merged in five (5)
year periods, then the two (2) 5 -year merges are merged into a 10 -year merge. Index
output will be printed two sided.

STORM SEWER REPAIR AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:
COUNTY OF BRAZOS
THIS STORM SEWER REPAIR AGREEMENT ( "Agreement "), is made and entered into this �dayof
2015, by and between BRAZOS COUNTY, (hereinafter referred to as "COUNTY"
and oilier Construction, LLC. hereinafter referred to as "CONTRACTOR "). In consideration of t
mutual covenants hereinafter set forth, the County and Contractor agree as follows:
WITNESSETH, that for and in consideration of the payments and agreements hereina
mentioned, to be made and performed by the COUNTY, and under the conditions expressed in the b
bearing even date herewith, the said CONTRACTOR, hereby agrees with the COUNTY to commence
complete the construction of certain improvements described as follows:
STORM SEWER REPAIR AGREEMENT
IN BRAZOS COUNTY, TEXAS
( "Project ")
and all extra work in connection therewith, under the terms as stated in the General Conditions ofjthe
Agreement and at his (or their) own proper cost and expense to furnish all the materials, supplies,
machinery, equipment, tools, superintendence, labor, insurance, and other accessories and services
necessary to complete the said construction, in accordance with the conditions and prices stated the
Request for Proposal 2015 -61, attached hereto, and in accordance with the Notice to Bidders and
General Conditions of Agreement, Plans and other Drawings (including or written explanatory matter
thereof), and the Specifications and addenda thereof, as prepared by Brazos County Road and Bridge
Department and Brazos County Expo, together with the CONTRACTOR'S written proposal, the Ger eral
Conditions of the Agreement, and the Performance and payment bands hereto attached; all of which
are made a part hereof and collectively evidence and constitute the entire Agreement.
The CONTRACTOR hereby represents and covenants that neither it nor any of its employees or
representatives, has or shall have, directly or indirectly, any agreement or arrangement with any party
that would constitute a conflict of interest in regard to the work being performed by the COUNTY during
the terms of this Agreement. CONTRACTOR will inform the COUNTY of other assignments undertaken on
behalf of neighboring communities or governmental agencies that may constitute a conflict of interest.
The CONTRACTOR agrees COUNTY will not be held liable for any personal or real property damages
occurring from acts of agents during the tenure of this Agreement.
The COUNTY agrees, to the extent provided by the laws and constitution of the State of Texas
without establishment of a sinking fund, to indemnify and save CONTRACTOR harmless from anyland
against all losses; claims, demands, damages, and causes of action directly resulting from the negligent
acts or omissions of the COUNTY, its officers, agents, employees, or subcontractors.
CONTRACTOR agrees to indemnify and save COUNTY harmless from and against all losses,
claims, demands, damages, and causes of action resulting from the negligent acts or omissions of the
oblige, or otherwise reduce any other rights or obligations of indemnity which would otherwise reduce

any other rights or obligations of indemnity which would otherwise exist as to any part or
described in this paragraph.
Notwithstanding any of the above, the COUNTY shall not be liable for any indirect, remote or
consequential damages.
COUNTY may terminate this Agreement at any time by giving written notice to the other of such
termination and specifying the effective date thereof, at least seven (7) days before the effective date of
such termination. In that event, all finished or unfinished documents, and other materials, should be at
the option of the COUNTY to become its property. If the Agreement is terminated as provided herein,
the CONTRACTOR fee would be paid in an amount which bears the same ratio to the total compensation
as the services actually performed bears to the total services of the CONTRACTOR covered by this
Agreement.
The CONTRACTOR represents that it has or will secure at its own expense all personnel req
to perform the services covered by this Agreement.
It is agreed that County will provide all necessary project information, to include
Construction Details.
All materials prepared by the Contractor shall become the property of the COUNTY. The
COUNTY shall have unrestricted authority to publish, disclose, distribute, and otherwise use, in whole or
in part, any reports, data, or other materials prepared under this Agreement,
The CONTRACTOR hereby agrees to commence within ten (10) days after receipt of wi
authorization to begin the work ( "Work Order"), and to reach substantial completion prior to Augu
2015, after the effective starting date for the Project as specified in the "Work Order ", subject to
extensions of time as are provided by the General and Special Conditions.
Contractor certifies that the firm is an independent contractor, and none of its contracl
employees, agents, or independent workmen shall be deemed an employee of Brazos County for
purpose whatsoever.
The COUNTY agrees to pay the CONTRACTOR in current funds the price or prices shown in
proposal, which forms a part of this Agreement, such payments to be subject to the General and Spr
Conditions of the Agreement.
This Agreement consists of this document, upon which the parties have affixed their signatuires,
and those documents specifically incorporated herein by reference. This Agreement as so constituted is
the entire agreement between the parties with respect to the subject matter hereof, and supersedes all
other previous statement, communications, or agreements, whether oral or written. No modification,
alteration, or waiver of any provision hereof shall be binding upon the parties unless evidenced in
writing and signed by both parties.

By submitting a proposal or response, each Proposer /offeror indicated below agrees to
waive any claim it has or may have against Brazos County (the Owner), Architect,
Engineers, Consultants and their respective Commissioners, directors, employees, or
agents arising out of or in connection with (1) the administration, evaluation, or
recommendation of any proposal or response (2) any requirement under the Request for
Qualification or related documents; (3) the rejection of any proposal or response or any
part of any proposal or response; and/or (4) the award of a Contract, if any.
The Proposer further agrees the Owner reserves the right to waive any requirements under
the proposal documents or the Contract Documents, with regards to acceptance or
rejection of any proposals, and recommendation or award of the contract.

GENERAL REQUIREMENT FOR CONTRACT
as a duly authorized representative of IrPzos T M1di ro v c.
—� "Contractor" willingly attest to perform (or deliver) as per Exhibit "A" for razos
County. I further agree to all of the provisions and specifications contained in this contract.
ASSIGNMENT
The successful offeror may not assign, sell or otherwise transfer this contract without written permission
of Brazos County Commissioners Court. Should there be a change in ownership or management; the
contract shall be terminated unless a mutual agreement is reached with the new owner or manager to
continue the contract with its present provisions and prices.
AWARD
Brazos County reserves the right to award this contract on the basis of BEST OFFER in accordance with
the laws of the State of Texas, to waive any formality or irregularity, to make awards to more than one
offeror, to reject any or all bids.
CONTRACT OBLIGATION
Brazos County Commissioners Court must award the contract and Brazos County Judge or other person
authorized by Brazos County Commissioners Court must sign the contract before it becomes binding on
Brazos County or the offerors. Department heads are NOT authorized to sign agreements for Brazos
County. Binding agreements shall remain in effect until all products and /or services covered by this
purchase have been satisfactorily delivered and accepted.
QUANTITIES
Brazos County does not guarantee to deliver any minimum quantities or services.
CONTRACT RENEWALS
Renewals may be made ONLY by written agreement between Brazos County and the offeror. Any and
all price escalations shall not be accepted and shall be considered a non - response.
HOLD HARMLESS AGREEMENT
Contractor, the successful offeror, shall indemnify and hold Brazos County harmless from all claims for
personal injury, death and/or property damage resulting directly or indirectly from contractor's

performance. Contractor shall procure and maintain, with respect to the subject matter of this bid,
appropriate insurance coverage including, as a minimum, public liability and property damage with
adequate limits to cover contractor's liability as may arise directly or indirectly from work performed
under terms of this bid. Certification of such coverage must be provided to Brazos County upon request.
PAYMENT TERMS
Refer to Exhibit "A" for payment terms.
PRICING
Prices for deliveries shall be firm for the duration of this contract and shall be stated in Exhibit "A ".
Prices shall be all inclusive: No price changes, additions, or subsequent qualifications will be
honored during the course of the contract. All prices must be written in ink or typewritten. Pricing on
all transportation, freight, drayage and other charges are to be prepaid by the contractor and included in
the bid prices.
TAXES
Brazos County is exempt from all federal excise, state and local taxes unless otherwise stated in this
document. Brazos County claims exemption from all sales and /or use taxes under Texas Tax Code
§ 151.309, as amended. Texas Limited Sales Tax Exemption Certificates will be furnished upon written
request to Brazos County Purchasing Agent.
GOVERNING FORMS
In the event of any conflict between the terms and provisions of these requirements and the
specifications, the specifications shall govern. In the event of any conflict of interpretation of any part
of this overall document, Brazos County's interpretation shall govern. In the event of a conflict between
the terms, conditions, provisions, and specifications of this document and any other terms, conditions,
provisions, and specifications provided by the Contractor; the terms of this document shall supersede.
GOVERNING LAW
This bid solicitation is governed by the competitive bidding requirements of Brazos County Purchasing
Act, Texas Local Government Code, §262.021 et seq., as amended. Offerors shall comply with all
applicable federal, state and local laws and regulations. Offeror is further advised that these
requirements shall be fully governed by the laws of the State of Texas and that Brazos County may
request and rely on advice, decisions and opinions of the Attorney General of Texas and Brazos County
Attorney concerning and portion of these requirements.
DISQUALIFICATION OF OFFEROR
Upon signing this bid document, an offeror offering to sell supplies, materials, services, or equipment to
Brazos County certifies that the offeror has not violated the antitrust laws of this state codified in Texas
Business and Commerce Code §15.01, et seq., as amended, or the federal antitrust laws, and has not
communicated directly or indirectly the bid made to any competitor or any other person engaged in such
line of business. Any or all bids may be rejected if Brazos County believes that collusion exists among
the offerors. Bids in which the prices are obviously unbalanced may be rejected. If multiple bids are
submitted by an offeror and after the bids are opened, one of the bids is withdrawn, the result will be that
all of the bids submitted by that offeror will be withdrawn; however, nothing herein prohibits a
Contractor from submitting multiple bids for different products or services.

SEVERABILITY
If any section, subsection, paragraph, sentence, clause, phrase or word of these requirements or the
specifications shall be held invalid, such holding shall not affect the remaining portions of these
requirements and the specifications and it is hereby declared that such remaining portions would have
been included in these requirements and the specifications as though the invalid portion had been
omitted.
SILENCE OF SPECIFICATIONS
The apparent silence of specifications as to any detail, or the apparent omission from it of a detailed
description concerning any point, shall be regarded as meaning that only the best commercial practice is
to prevail and that only material and workmanship of the finest quality are to be used. All
interpretations of specifications shall be made on the basis of this statement. The items furnished under
this contract shall be new, unused of the latest product in production to commercial trade and shall be of
the highest quality as to materials used and workmanship. Manufacturer furnishing these items shall be
experienced in design and construction of such items and shall be an established supplier of the item bid.
TERMINATION
Brazos County reserves the right to terminate the contract for default if offeror breaches any of the terms
therein, including warranties of offeror or if the offeror becomes insolvent or commits acts of
bankruptcy. Such right of termination is in addition to and not in lieu of any other remedies which
Brazos County may have in law or equity. Default may be construed as, but not limited to, failure to
deliver the proper goods and /or services within the proper amount of time, and /or to properly perform
any and all services required to Brazos County's satisfaction and /or to meet all other obligations and
requirements. Brazos County may terminate the contract without cause upon thirty (30) days written
notice.
POLICY REQUIREMENTS FOR CERTIFICATE OF INSURANCE
CONTRACTOR'S INSURANCE
The Contractor /Contractor, before starting work for Brazos County, must furnish Brazos County a
Certificate of Insurance or other acceptable evidence from a reputable insurance company or companies
with an A.M. Best Rating of AA@ (such companies to be acceptable to Brazos County) licensed to
write insurance in the state of Texas, showing that the Contract is covered by the insurance as follows:
(1) Statutory Workers Compensation Insurance with Employers Liability Insurance in the amount of
$1,000,000. In the event any work is sublet, the Contractor shall require the subcontractor
similarly to provide the same coverage and shall himself acquire evidence of such coverage on
behalf of the subcontractor. (TLC Sec. 401.011)
(2) Commercial General Liability Insurance with a $1,000,000 each occurrence, $2,000,000 General
Aggregate. General Liability shall include damage to Rented Premises, Medical Expense (any
one person, The policy shall be on the Comprehensive General Liability 1986/90 occurrence
form, and shall include coverage for acts of independent contractors, and shall name Brazos
County as an additional insured. Waiver of subrogation is required. No claims made policies are

acceptable without prior approval by the Commissioners Court/Risk Management
(3) Automobile Public Liability Insurance with a $1,000,000 Combined Single Limit each
occurrence, in all self - propelled vehicles used in connection with the contract, whether owned,
non -owned or hired. Waiver of subrogation is required.
The Certificate of Insurance furnished to Brazos County shall contain a provision that coverage under
such policies shall not be canceled or materially changed until at least 30 days prior written notice has
been given to Brazos County
LINUTATIONS
The parties are aware that there are constitutional and statutory limitations on the authority of Brazos
County to enter into certain terms and conditions of the Agreement, including, but not limited to,
authorizations of the placement of liens on Brazos County property; disclaimers and limitations of
warranties; disclaimers and limitations of liability for damages; waivers, disclaimers and limitations of
legal rights, remedies, requirements and processes; limitations of periods to bring legal action; granting
control of litigation or settlement to another party; liability for acts or omissions of third parties;
payment of attorneys' fees; dispute resolution; indemnities; and confidentiality (collectively, the
"Limitations "). Any Agreement terms and conditions related to the Limitations will not be binding on
Brazos County except to the extent authorized by the laws and Constitution of the State of Texas.
COVERAGES/WAGES
Nothing in this Agreement shall be construed as making Brazos County responsible for the payment of
compensation and /or any benefits for Contractor including health, property, motor vehicle, workers'
compensation, disability, death, and dismemberment insurance for the Contractor's employees and/or
equipment. Nothing in the Agreement shall be construed as making Brazos County responsible for
wages, materials, logistical support, equipment, and related travel expenses incurred by the Contractor.
SOVEREIGN IMMUNITY
The parties understand that Brazos County does not waive or relinquish any immunity or defense on
behalf of itself, officers, employees, agents, and volunteers as a result of its execution of this Agreement
and the performance of the covenants contained herein. Further, Brazos County is not responsible for
any civil liability that arises from any act or omission made within the course and scope of this
Agreement. The Parties understand and agree that Brazos County does not assume civil liability under
any theory of law for the actions of the Contractor in providing services hereunder.

Notices shall be mailed to the addresses designated herein or as may be designated in writing by the
parties from time to time and shall be deemed received when sent postage prepaid U.S. Mail to the

ASSIGNABILITY
This agreement may not be assigned without the prior written permission of Brazos County.
FISCAL FUNDING CLAUSE
Notwithstanding any provisions contained herein, the obligations of Brazos County are expressly
contingent upon the availability of funding for the obligations contained herein for the term of the
Agreement and any extensions thereto.
WAIVERS
No waiver by either party hereto of any term or condition of this Agreement shall be deemed or
construed to be a waiver of any other term or condition or subsequent waiver of the same term or
condition.
ENTIRE AGREEMENT
This Agreement represents the entire and integrated agreement between Brazos County and the
Contractor and supersedes all prior negotiations, representations, or agreements, either written or oral.
This Agreement may only be amended by written instrument approved and executed by the parties.
AVAILABILITY AND RETENTION OF RECORDS
All records relating to the service provided under this contract and supporting documentation for invoices
submitted to Brazos County by the Contractor shall be retained and made available by the Contractor for
audit by Brazos County, it duly authorized representatives, the State of Texas (including, but not limited
to the Auditor of the State of Texas, Inspector General or duly appointed law enforcement officials) and
agencies of the United States Government. Such records shall be returned by Contractor and made
available for any time period required by state or federal law. If changes occur in the governing state or
federal law, regarding retention records, Contractor shall comply with such changes. If an audit is
initiated before the expiration of such time periods required by state or federal law regarding retention of
records, the Contractor shall retain such records until the audit is concluded and all issues resolved.
Contractor shall provide Brazos County with copies of such audits that be conducted with respect to the
contract.
AUDIT RESPONSIBILTY
The Contractor shall be responsible for receiving, replying to and /or complying with any audit exception
by appropriate federal, state or local audit directly related to the provision of this contract.
The Contractor shall repay to Brazos County the full amount received for duplicate billings, erroneous
billings, false or deceptive claims. The Contractor recognizes and agrees that Brazos County may

withhold any money due and recover through any appropriate method any money erroneously paid under
this contract if evidence exists of less than full compliance with this contract.
INDEtyINIFICATION
The Contractor shall defend, indemnify and save harmless Brazos County and all its officers, agents, and
employees from all suits, actions, or claims of any character, name and description including attorney's
fees expenses brought for or on account of any injuries or damages received or sustained by any person
or persons or property, by or from the said Contractor or his employees or by or in consequence of any
negligence in safeguarding the work, or through the use of unacceptable materials in construction of the
work, or by or on account of any act of omission, the Worker Compensation Law or any other law,
ordinance, order or decree, and so much of the money due the said Contractor under and by virtue of his
contract as shall be considered necessary by Brazos County may be retained for the use of Brazos
County, or in case no money is due, his sureties shall be held until suit or suits, action or actions, claim
or claims for injury or damages as aforesaid shall have been settled and satisfactory evidence to that
effect furnished Brazos County. Contractor shall defend, indemnify and save harmless Brazos County,
its officers, agents and employees in accordance with this indemnification clause regardless of whether
the injury or damage is caused in part by Brazos County, its officers, agents or employees.
The undersigned affirms that they are duly authorized to execute this contract, that this proposal has not
been prepared in collusion with any other Proposer, and that the contents of this proposal have not been

Contract Term: July 28, 2015 — September 30, 2016
Fill out "Informal Quotes" form and hand deliver or mail to the Brazos County Purchasing
Department, 200 South Texas Ave.. Suite 352: Bryan, TX 77803 in a sealed envelope
clearly marked "IQ 2015 -67, Concrete for Vendors ". Include the signed Contract and a
copy of the required insurance with the submission of quotes. The required Insurance is
listed in the attached Contract. Quotes must be received by the Brazos County Purchasing
Department by 2:00p.m., Wednesdav, July 20, 2015 or thev will not be considered Brazos
County will not accept any IQ's if delivered via email or fax. Pricing proposals or IQ's
delivered to any other person or department other than previously specified, will not be
considered responsive.
Brazos County is soliciting proposals for a Contract for the sale of broken up concrete. Brazos
County has obtained several piles of broken up concrete from driveways removed by Brazos
County personnel. The broken up concrete is shall be sold and or removed from Brazos
County's property.
A. SPECIFICATIONS
1. Brazos County Road and Bridge Department will deliver broken up concrete to the
vendor's location.
2. Concrete will be delivered and dumped at the site where vendor has a crusher.
Vendor must have a crusher in order to process concrete.
3. Brazos County will notify vendor when load of concrete is on its way to the vendor's
drop off site. Vendor must accept the loads as they come or may be disqualified for
next drop off available to vendor.
4. Drop offs to vendor site could be anytime Monday through Saturday. Vendor must
include hours of operation in the submitted proposal.
5. The amount of broken up concrete delivered to vendor will vary depending on how
much the County acquired that day. Vendor must specify how much concrete can
be delivered to vendor location each day.
6. Brazos County will not do any weighing or scale receipts. Road and Bridge will only
dump the load. Each delivery truck must be detained for no more than ten (10)
minutes.
All dump sites must be pre- approved by Brazos County, and are subject to prior and
periodic inspections for contract compliance and the safety of county delivery
personnel and equipment.

8. Vendor must currently have and maintain throughout the term of contract, current
permits in order to store and crush broken up concrete, from the necessary federal,
state and local agencies.
9. Contents of concrete are unknown and may or may not have rebar, river gravel,
limestone, wire mesh, etc. There is no guarantee of the inclusion or exclusion of any
materials, expressed or implied.
10. Vendor must propose a dollar amount that vendor is willing to pay Brazos County for
concrete and delivery.
11. All payments will be made by check to Brazos County at 200 South Texas Ave Suite
218 Bryan, TX 77803. Payment shall include a report that states # of loads and the
delivery dates of each load.
B. INSURANCE REQUIREMENTS
1. Successful bidder must provide evidence of insurance prior to award. Full
descriptions of insurance requirements are listed in the attached Contract.
2. Successful contractor must provide evidence of Workman's Comp, General Liability
and Automobile Insurance prior to award.
C. AWARD
1. The contract award shall be based on, but not necessarily limited to, the following
factors:
a) Cost
b) Special needs and requirements of Brazos County
c) Delivery Availability
d) Location of Contractor (distance that vehicles will travel for services)
e) Contractor's past performance record with Brazos County
D Safety of Vendor Site
2. Although the cost of products to be provided is an essential part of the award, Brazos
County is not obligated to award a contract on the sole basis of cost but will award to
Contractor considered to be the best value to Brazos County.
3. Brazos County reserves the right to award a contract for this service to multiple
vendors if desired to be in the County's best interest.
D. MISCELLANEOUS
1. Contractor must sign and agree to all terms and conditions of Brazos County Service
Contract attached or proposal will not be valid.

with the right and privilege at all times of the Grantee herein, its agents, employees and representatives

As a part of the grant hereby made it is agreed between the parties hereto that any stone, earth, gravel or
