Statement of Work ( "SOW ") STATEMENT OF WORK ("SOW'r) Cisco Infrastructure CUCM, TMS, VCS -C and E and TPS And Renovo Scheduling Software and Endpoints General Terms_& t onl 11:11 This SOW is covered by Texas DIR -TSO -2542 SVSOM Covered,, Infrastructure Equipment included in this installation ➢ Cisco CUCM with VCS (Video Communication Server) Control ➢ Cisco VCE (Video Communication Server) Expressway for firewall traversal ➢ Cisco TMS (Telepresence Management Suite) with 35 System Licenses ➢ Cisco TPS (Telepresence Server (MCU)) ➢ Cisco V90 and EX60 endpoints 9 Renovo Infrastructure with Renovo endpoints General Overview ° customer has purchased a Cisco infrastructure and will utilize Cisco's CUCM with VCS -C for Call Control, registration services, Cisco's VCS Expressway (with Dual Interface) for firewall traversal and external registration services, the Cisco Telepresence Management Suite for endpoint management, monitoring and alerting, as well as Telepresence Server for Video Bridging. There will be a number of desktop endpoints (EX90 and EX60) as well as an implementation of Renovo infrastructure (Connected Justice) along with endpoints to support the Jail facilities. With the implementation of all the above the customer will have capabilities including: Complete point to point calling from any endpoint to any other endpoint including the MCU. Multipoint capability both within the Connected Justice Enterprise as well as outside. External connection to Public domain locations (Judges, Lawyers, B -B) both outbound and inbound. Scheduling capabilities for internal as well as visitation appearances. �x .id Description of Respo nsibi lities ,tgt;, 1. Project Management 1.1. SPS Responsibilities 1.1.1.. ASPS Project. Manager will be assigned and responsible for working the project to completion. 1.11.. SPS Project Manager Is single point of SPS contact for duration of project. 1.1.3.. SPS Project manager coordinates and manages all internal SPS resources necessary for the project. 1.1.4.. SPS Project Manager will coordinate an initial Project meeting with Customer and the SPS Project team assigned to this project to review the CISCO- INFRASTRUCTURE implementation process. Customer Responsibilities 1.2.1.Customer to provide a Primary Contact that will interface with SPS Project Manager through the project until completion. 1.2.2.Customer Primary Contact will communicate and provide all Customer network information and details in a timely manner as deemed necessary by SPS Project Manager required for the planning, implementation, and completion of the project. 1.2.3.Customer Primary Contact will attend all scheduled meetings and is able to provide signatory authority verifying accuracy of surveys, questionnaires, network diagrams and all required information supplied to SPS for project planning and implementation. 1.2.4.. Site Readiness 2.1. SPS Responsibilities 2.1.1.SPS Project Manager to confirm with Customer that site readiness parameters set forth in the Project Implementation Plan have been met prior to Implementation. 2.2. Customer Responsibilities 2.2.1.Provide appropriate rack space for physical installation of the CISCO- INFRASTRUCTURE. 2.2.2.Provide appropriate power and cooling for the equipment. 2.2.3.Provide access to implementation site(s) at agreed upon times. SPS Responsibilities 3.1.1.SPS will supply as part of Project Implementation Plan a sample network diagram of how the Cisco Infrastructure and Renovo Infrastructure will be deployed in the network. 3.1.2.SPS will document within the Project Implementation Plan the requirements for network information and readiness for the specific project. 3.1.3.SPS will supply Customer with Survey consisting of questions to be answered by Customer concerning the network and implementation parameters of the CISCO- INFRASTRUCTURE. j 3.2. Customer Responsibilities 32.1.Customer will supply network diagram and information about the Customer's network deemed necessary by SPS. 3.2.2.Customer will ensure that the network adheres to SPS's requirements for successful implementation of the equipment. 3.2.3,Customer will complete SPS Survey and provide answers to questions in timely manner to facilitate Project timelines and schedules. 3.2.4.Provide appropriate IP network connectivity and services suitable for the Customer's planned usage of the CISCO-INFRASTRUCTURE \. " *For Customer's that may need assistance with qualifying their IP network for video applications, SPS can provide network assessments not covered in the scope of this project for an additional fee. "" 3.2.5.Provide Network services to the internal network. (VPN access) 4. Installation Services 4.1. SPS Responsibilities 4,1.1.At time install of CISCO- INFRASTRUCTURE hardware (physically rack the CISCO- INFRASTRUCTURE and run appropriate network cables) and product initialization. 4.1.2.Confrgure the network IP address and services. 4.1.3.Verify software version and install any applicable and entitled updates. 4.1.4.Facilitate on -line product registration and product license registration. 4.1.5.Configure CISCO- INFRASTRUCTURE user login accounts structure. 4.2 Customer Responsibilities 4.2.1.Provide named resources that are knowledgeable about Customer's network and video infrastructure and provide contact information and access to these individuals at agreed upon time of installation. STATEMENT OF WORK ( "SOW ") Cisco Infrastructure CUCM, TMS, VCS -C and E and TPS And Renovo Scheduling Software and Endpoints 4.2.2.Provide access to video endpoints, data network, and other information /resources deemed necessary by SPS for completion of this Project during the installation. S. TMS "TelePresence Management Suite" 5.1. CUSTOMER will provide a Windows 2008 instance that will be installed on the provided server. Customer will provide administrative access to the SPS Installation technician so that s/he may install and configure the TMS application in accordance with Cisco and SPS best practices. When installed and configured, this appliance will provide management and monitoring of endpoints (Polycom and Tandberg only), scheduling of systems through TMS scheduler, distribution of phonebooks. 5.2. SPS will: 5.2.1 Install and configure the TMS server application in accordance with Cisco and SPS best practices 5.2.1.1. SPS will install the Cisco TMS Application as well as SOL Express 2008 on the server. Post installation, the customer should plan on configuring a backup agent for all SOL components to ensure maximum reliability. 5.2.1.2. Register all endpoints to TMS (endpoints must be powered and connected to the network in order to complete this task), 5.2.1.3. Configure a single Company wide phonebook to be managed centrally from the Cisco TMS server 5.2.1.4. Enable appropriate licensing entitlements as per the Cisco licensing database 5.2.1.5. Create 1 Provisioning Template that may be used for endpoint standardization 5.3. Cisco TelePresence VCS Control 5.3.1.SP5 Conferencing will install the VCS control. VCS Control will be installed and configured to function as the primary H323 Gatekeeper as well as the SIP registrar for all systems located behind the firewall. VCS Control will be configured with a traversal session link (H323 and SIP) to the VCS- Expressway; which will sit in the CUSTOMER DMZ or in the public internet 5.3.2.SPS's installer will configure the appropriate dial -plan which includes: search rules, transforms, and zones. SPS will also develop an intuitive and scalable dial plan (SIP and H323) for use by the CUSTOMER 5.3.3.1n order for ensure a reliable implementation of VCS control, all endpoints must have a clear path with no ACLS or firewalls blocking standard SIP and H323 TCP and UDP ports. It is the customer's responsibility to ensure network readiness. This includes, but is not limited to, both the network path to the VCS Control as well as the media. SPS Conferencing, as an additional service, can provide a Media - Readiness assessment. This assessment will measure the performance of the internal network to identify problems within the organization that may cause performance issues with the Video Conferencing environment. 5.3.4.Customer will also need to provide DNS host records for internal communication between VCS and TMS. SPS will install and configure the VCS Control Appliance in accordance with Cisco and SPS best practices 5.3.4.2. SPS will register all endpoints to the Cisco TelePresence VCS Control (endpoints must be powered and connected to the network in order to complete this task). Endpoints not powered or connected at the time of installation will not be included). 5.3.4.3. SPS will configure a single universal wide dial -plan that must be approved prior to installation. This dial plan will include All Zone Definitions ➢ All Search Rules (how to find all endpoints in the dial plan) All Transforms as required SIP URI Analysis i H323 Analysis ➢ E164Analysis 5.3.4.4 SPS will Register VCS Control with TelePresence Management Suite for Provisioning synchronization 5.3.4.5 SPS will Register VCS Control with TelePresence Management Suite for system management 5.3.4.6 SPS will Configure and test the traversal link: to VCS Expressway 5.3.4.7 SPS will perform basic call pattern testing 5.3.5 Customer will be responsible for 5.3.5.1.Providing appropriate power, rack and cooling (redundant power and cooling is highly recommended) 5.3.5.2.Actively participating In the dial -plan development 5.3.5.3.Ensuring a clear network path with no firewall /ACLs blocking traffic to Internal endpoints and TMS. _ 5.3.5.4. Ensuring appropriate firewall rules that will allow traffic to flow appropriately through the traversal link to VCS Expressway. 5.4. Cisco TelePresence VCS Expressway 5.4.1.SPS Conferencing will install the VCS Expressway and tie it into the VCS - Control 5.4.2.SPS's installer will configure VCS Control for network as well as configure the appropriate dial -plan which includes: search rules, transforms, and zones. SPS's Installer will configure a traversal link between the VCS Control and the VCS Expressway and verify functionality. To support this functioning, CUSTOMER must enable the appropriate TCP and UDP ports outbound to the VCS Expressway: D TCP: 6001, 7001, 2776 -2777 ➢ UDP: 6001, 7001, 2776 -2777 5.4.3.Please note that all communication between VCS Control and Expressway is initiated on the control, not the expressway. 5.4.4.In order to support calls off -net as well as remote MOVI registration, the VCS Expressway must have the correct bi- directional ports opened to the public internet.The VCS Expressway is a hardened network device that is designed to reside outside a firewall OR in an DMZ. For complete interoperability with disparate systems SPS recommends opening to and from the public internet ports 1024 and above. This dial plan will include All Zone Definitions ➢ All Search Rules (how to find all endpoints in the dial plan) ➢ All Transforms as required 5.4.8. SPS will Perform basic call pattern testing 5.4.9. Customer is responsible for ensuring a clear network path with no firewall /ACLs blocking traffic to external endpoihts. 5.4.14. Customer is responsible for actively participating in the dial -plan development 5.4.15. Customer is responsible for ensuring appropriate firewall rules that will allow traffic to Row appropriately through the traversal link to VCS Expressway S.S. Cisco TIPS 5.5.1.SP5 Conferencing will install the Cisco TIPS MCU. The Cisco TIPS Bridge will be installed and configured to function multi -point calls for both traditional room systems as well as Renovo users. SPS recommend registration to the VCS Control via both SIP and H323. 55.2.Customer will provide the appropriate DNS records in the Public DNS space prior to SPS's arrival so that this system can support inbound H.323 and'SIP connectivity 5.5.3.SPS will: , 5.5:11. Knowledge Transfer 6.1. SPS Responsibilities 6.1.1.SPS will provide basic knowledge transfer for the local system manager. 6.1.2.The knowledge transfer is provided by the on -site installation technician on the last day of the installation. 6.1.3.The knowledge transfer is designed for the Customer contact who is the administrator of the equipment. 6.2. Customer Responsibilities 6.2.1.Customer Contact designated to receive the knowledge transfer will be made available on the last day of the installation to take part in the knowledge transfer. 7. Training 7.1. SPS Responsibilities 7.11 An in depth instructor led training for the Cisco - Infrastructure is available from SPS a additional cost. If this level of training is purchased, the scope of the training will be detailed within the Project Implementation Plan. Please see knowledge transfer section for included training. 8. Acceptance Testing 8.1. SPS Responsibilities 8.1.1.SPS will provide testing to ensure proper operation of the CISCO- INFRASTRUCTURE as part of the implementation. sow Page 7 of 14 Vol. 2 03 Pg. The SPS Field Engineer will verify the successful operation of the system based on the test criteria detailed within 8.1.2 Upon successful completion of the test criteria, SPS's Lead Installer will submit SPS's Installation Acceptance Form ( "Installation Acceptance Form ") to the Customer for sign -off. The Implementation will be deemed "completed" by Customer upon the earlier of: D Signature by Customer of the Installation Acceptance Form or 8.1.6.2. Seven (7) days from the submission of the Installation Acceptance Form to Customer if SPS has received no written objections to the submission of the Installation Acceptance Form. Once SPS has remedied the Objections, SPS will resubmit the Installation Acceptance Form for sign- off by the Customer through the process stated above. In the event that SPS is required to address any issues covered by the Implementation Completion Form after sign -off by Customer, additional fees may apply at SPS's then current Time and Materials rates. The Installation Acceptance Form is the sole method for certifying the proper function and operation of the equipment at the conclusion of the Implementation. 8.2. Renovo Software Installation Renovo Software will provide the software modules and hardware per the quotes provided. This includes providing the Renovo VisManager visitation management software designed to incorporate all aspects of the visitation process including registration and scheduling of visits as well as enforcing visitation policies, quotas, etc. The software will automate the video visitation station connections and disconnections based on the scheduled visits. The software allows for the live monitoring and recording of personal visits and encryption for professional visits to block those visits from monitoring or recording. The system also allows for "internet" video visitation and provides a payment module (see Renovo VisPay Agreement) for charging for the internet visits as well as additional onsite video visits. In addition to the software that Renovo has proposed, we have also proposed hardware components for the County to retrofit the 79 existing video visitation station enclosures. These components include the Renovo VisStation HD CODECs as well as new handsets and handset cables which are compatible with the CODECs. Renovo is NOT providing the necessary webcams (Renovo currently utilizes and recommends the use of the Logitech HD Webcam C525) or video visitation monitors, these items are to be provided by Brazos County. All labor to retrofit the existing enclosures and install the new components into the County's existing video visitation enclosures will be provided by Brazos County. The webcams, monitors, and labor have been left to the County to provide as a cost savings measure since initial conversations of this project. In addition, 4 new video visitation enclosures complete with all components have been proposed. Again, the County will be responsible for mounting the new stations as well as providing network and power to the stations. Renovo will provide software implementation and configuration for the Renovo VisManager software solution. We will also provide onsite training for the VisManager solution. One year of 24x7x365 VisManager software support has also been proposed with additional years available for renewal on an annual basis. See Renovo Service Level Agreement for further details on software support. Project Preparation: An internal meeting within Renovo takes place. This meeting consists of Sales, Project Management and Operations. Once this is completed Renovo schedules a partner kick of call to review the SOW, Project requirements, PO and timelines. After the Partner call all hardware required for the project are ordered. Renovo and partner will then schedule a Customer Kick off Call with the facility. During this call point of contacts at the facility are gathered and requirements and timelines are discussed. Once all kick off calls are complete Renovo schedules an IT /Network call with the facility. Renovo then works with facility on the application side of the software. Renovo sends out the Visitation Questionnaire which outlines all visitation schedules, quotas and policies. This document is then reviewed and completed during a demo of the system presented by Renovo. This demo covers best practices, visitor sign up and also a high overview of the officer application. Renovo Pre - onsite Tasks: Renovo coordinates with partner to get servers purchased and set up. Renovo needs remote connection to server to install and test software. Once servers and stations are onsite, Renovo tests all software functionality, depending on what was purchased. During server set up and testing, Renovo work's with both the JMS provider and facility to set up the Jail management interface. File options include Flat File, XML and Database view. Renovo also customizes and configures the application interface to match the visitation Questionnaire according to the facilities visitation schedule. Lastly, once hardware install and all testing are completed, Renovo schedules training and the technical go live support with the facility. As best practice, Renovo schedules training and go live in the same week so that Renovo can be onsite for hands on go live support. Marketing information, inmate posters and visitor handouts are provided by Renovo software in a .PDF file to be printed and distributed by the facility. Renovo onsite:_ During the onsite Renovo's technical engineers conduct a full system test and a full system stress test to evaluate the performance of the system. Also, Renovo Customer Account Managers conduct Scheduling and Administration training prior to go live. Scheduling training consists of training on everyday tasks completed by the scheduling staff and managers. While Administration training covers the entire application interface and functions. Renovo remains onsite for go -live support and hands on training while system is live and continues to support the system remotely once onsite is completed. Page 4 Attachrrc�t F Vol. 203 Pg. , JA/ (. 2 Renovo Software Service Offerings 2.1 Overview of Products Offered Three levels of Service Offerings are offered by Renovo. Detailed descriptions of each product are provided in following sections 2.2, 2.3, and 2.4. Products offered are: Software Warranty Software Warranty is intended to ensure that Renovo's Software performs as designed for the customer for the life of the product. Software patches or fixes are provided if needed, to ensure functionality of the software until the software reaches End of Life and is no longer supported. Software Support Levels 1 & 2 Software Support agreements are intended to provide fast and efficient assistance to users and administrators of Renovo software products on a real -time basis as problems, issues, or questions arise. Renovo support personnel work directly with users and their Renovo systems, to ensure day -to -day and long -term performance of the products and systems. Renovo requires Software Support for new software customers for the first year of system usage. Renovo believes that it is especially important for customers to receive software support during initial system usage, to ensure smooth operation and to help the customer to understand and implement best practices. Available support hours for Level 1 Software Support customers are from 8:00 AM to 5:00 PM, Monday through Friday, excluding holidays, US Central time. Available support hours for Level 2 Software Support customers are 24 x 7 (24 hours a day, 7 days a week). Software Upgrades Software Upgrade agreements ensure that the customer is provided with latest releases of Renovo software products, including enhancements and updates related to usability, new non - billable features, and compatibility with new devices, operating systems, and networks as they change overtime. 2.2 Renovo Software Warranty Description Software Warranty is provided for all Renovo software -based products, for the supported Life Cycle of the product. Software Warranty provides patches or fixes for Defects identified as Severity 1 or Severity 2(see Defect Severity chart in section 6 below). Software Warranty is in place even If the customer does not purchase Software Support or Software Upgrade agreements. Software Warranty customers may contact Renovo Support (see section 4, Support Contact Information and Response Times, below) for identification /determination of software defects. Renovo support will work with customer to ensure that any Level 1 or Level 2 defect issue is resolved. Coverage hours for Software Warranty support are from 8:00 AM to 5:00 PM, Monday through Friday, excluding holidays, US Central time. Software Warranty customers do not have access to Renovo Support for non - Warranty support issues, or to Renovo Software Upgrades, except on a billable, per- Incident basis (see 2.5, Billable Support Services, below). Installation of Renovo software patches when recommended by Renovo, or to fix customer reported issues (including Level 3 defects not covered by Software Warranty). 3. Coders, MCUs, IP cameras, or any other video and audio data transmission hardware or software devices. c. Computer hardware including servers, workstations, monitors, PCs, notebooks, etc. d. Network hardware Including routers, switches, firewalls, etc. 3. Support or repair of non - Renovo Software products including: a. Software products not manufactured by Renovo Software. b. Software codecs not manufactured by Renovo Software. c. Operating Systems of client PCs, notebooks, workstations, servers, or any other devices that customers use to connect to Renovo software applications. d. Operating Systems of servers, except to assist in troubleshooting whether a reported problem is a Renavo Software issue, or an Operating System or other program issue. In these cases, Renovo will make a reasonable effort to help determine the source of the reported Issue if that issue may be caused by Renovo Software. e. Applications provided by other vendors or companies used for data transfer to or from Renovo Software. In case of reported failure of such non- Renovo application functlon, Renovo will make a reasonable effort to help determine the source of the reported Issue if that issue may be caused by Renovo Software. Page 7 Attachment F Vol. 203 Pg. 22% 2.5 Renovo Software Billable Support Services SUPPORT REQUESTS Support requests outside the scope or hours of coverage of the customer's agreement, may be handled on a billable basis at the following rates: During Renovo support center normal business hours of 8:00 AM to 5:00 PM, Monday through Friday, excluding holidays: $125.00 per hour, with a 2 -hour minimum charge per support event Outside of Renovo support center normal business hours of 8:00 AM to 5:00 PM, Monday through Friday, excluding holidays: $225.00 per hour, with a 2 -hour minimum charge per support event customer must authorize payment of 2-hour minimum support charge before support is conducted, using either a VISA/Mastercard transaction or by supplying a Purchase Order for the Incident. SOFTWARE UPGRADES, ONSITE TRAVEL REQUESTS Requests from non- Software Upgrade Agreement customers for software upgrades, will be directed to the Renovo Sales Team. The Sales Team will provide a price quote for the requested software upgrade. Software upgrades are sequential and cumulative, from major release to majorrelease. For example, upgrade from release 5.0 to release 7.0 may require purchase of both 6.0 and 7.0 software releases. Requests from customers for onsite travel by Renovo personnel, or for other services out of scope of their software support agreement, will be directed to the Renovo Sales Team for quotation. The Renovo Sales Team may furnish quotes for products and /or services within the scope of work of Renovo support or project personnel. Page 8 Attachment F Vol. 203 Pg.' 3 Renovo Hardware Service Offerings 3.1 Renovo Hardware Service -- Included Elements For hardware items that Renovo Software sells which include a Renovo Software warranty as specified in the customer purchase agreement, Renovo Hardware Support Agreements INCLUDE support for hardware issues. 3.1.1 If a hardware device carries a manufacturer's warranty provided by the manufacturer Itself and not by Renovo software, then hardware warranty troubleshooting and warranty labor, parts, etc will be covered by the manufacturer of the device (for example, a Dell server with a 3 -year on -site next business day parts and labor warranty will use applicable Dell warranty services based on the item's Service Tag# and Dell warranty policies). 3.1.2 If a hardware device is warranted by Renovo Software, then during the hardware warranty period offered by Renovo to the customer Renovo Software will provide the following services: • Assist in identifying hardware problems or defects for such hardware devices. • Upgrade of device software or firmware as required, and as applicable. • Provide RMA (Return Material Authorization) infornnation for customer to send the unitto an authorized Renovo RMA repair center for repair or replacement. Customer pays for shipping of defective Item to Renovo RMA repair center. • Provide repair or replacement of RMA devices sent to the RMA repair center within a reasonable period of time. Typical turnaround of RMA repair /replacement devices will be less than 2 weeks from time of receipt at the RMA repair center. Some portions of the software may be unusable (Example - a specific major feature that can be accomplished with additional steps or actions). • Severity 3 Defects are Minor in nature, and do not cause system failure of any kind. The work around is to access via the second option of access while Renovo determines the cause of the defect. RENOVO has developed and owns the VisPay module for the corrections industry ( 'VisPay'). VisPay provides a method for payment of visitation fees and inmate messaging fees. Customer desires that RENOVO install, and maintain VisPay for Customer. RENOVO and Customer desire that VisPay be the sole and exclusive method for payment of revenue generation associated with inmate visits (including face - to-face visits, on- premises video visits, and Internet video visits) and/or inmate messaging ('VisMail') at Customer's facilities (the "Facilities'). The services for which VisPay shall be provided are as designated on Exhibit A hereto. In consideration for agreeing to allow VisPay to be the exclusive payment method for all revenue generating visits and /or inmate messaging for use by inmates at the Facilities, RENOVO agrees to pay Customer the fees set forth in Section III below. VisPav INSTALLATION AND OPERATION. A. Within a reasonable period of time after execution of this Agreement. RENOVO shall install VisPay so that it is operable at Customer's Facilities. B. CUSTOMER shall be solely responsible for all charges related to providing internet access and the necessary bandwidth from the Facilities to the World Wide Web and RENOVO shall not be liable for any damages incurred by Customer as a result of Customer's failure to provide adequate internet access and the necessary bandwidth from the Facilities to the World Wide Web. III. COMPENSATION A. In consideration for granting RENOVO the exclusive right to derive revenue from all revenue generating visits and/or revenue generating inmate messaging (VisMail) at the Facilities, RENOVO will pay Customer Fifty (50 %) percent of the "gross payments collected" through VisPay for revenue generating visits and revenue generating inmate messaging at the Facilities. 'Gross Payments Collected," as used herein, means RENOVO's total revenue from all billed visits Rev. Final 010512 less a 5% transaction fee. Notwithstanding anything to the contrary herein, taxes, fees and other charges collected on behalf of Local, State, Federal or other governmental agencies are not considered to be revenue for the purpose of this definition. All payments to Customer shall be final and binding upon Customer unless written objection thereto is received by RENOVO within sixty (60) days of RENOVO's mailing of the payment to Customer. B. Exhibit A to this Agreement sets forth the VisPay services to be provided by RENOVO. C. In the event of a change, repeal, enactment or amendment of any statute or regulation by any governmental authority that increases RENOVO's costs to perform under this Agreement or reduces RENOVO's allowable rates that may be charged to VisPay users, RENOVO shall be entitled to adjust the rates and terms of payment as set forth in Article III (A) above, to recover the increase in operating costs or to compensate for losses in revenues due to decreases in the rates chargeable to VisPay users, said adjustment to take effect no earlier than fifteen (15) days after receipt by Customer of written notice of said adjustment. Any rate increase for reasons other than those stated herein shall be subject to Customer's written approval. IV. TERM. This Agreement is effective as of the date set forth above, and shall remain in force and effect for Three (3) years from the date of installation of RENOVO's VisPay (the "Initial Term ") unless the Agreement is earlier terminated in accordance with the termination provisions herein. Unless one party delivers to the other a written notice of non - renewal at least ninety (90) days prior to the expiration of the current term, this Agreement shall renew automatically upon the same terms and conditions as set forth herein (the "Renewal Term'). V. TERMINATION A. In the event a party believes the other is in material breach of this Agreement, that party shall give the breaching party written notice Attachment G Vol. 203 Pg.' Paget 01`4 specifying the nature of the breach and an intention to terminate the Agreement if the breach is not cured in accordance with this provision. This written notice shall include, but is not limited to, a statement of the fads relating to the breach and the action required to cure the breach. The breaching party shall have thirty (30) business days from the receipt of such notice to cure the breach unless the breach is incapable of being cured within the thirty (30) business day period, in which case the Agreement may not be terminated if efforts to cure the breach are initiated within the thirty (30) business day period and diligently pursued to completion. Notwithstanding anything to the contrary herein, if the breach is not cured within ninety (90) days after the receipt of written notice of the breach, the non - breaching party may terminate the Agreement effective immediately upon notice of termination to the breaching party, and may pursue any available legal or equitable remedies for the breach. B. For the purposes of this Article IV, the tern "cause" shall not include nonperformance due to Force Majeure Conditions, or any other causes beyond the non - performing parry's control. Force Majeure Conditions include but are not limited to the following: Acts of God, acts of civil or military authority, government regulations, embargoes, epidemics, war, terrorist acts, riots, insurrections, fires, explosions, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, other major environmental disturbances, unusually severe weather conditions, acts or omissions of third parties, including suppliers and common carriers (collectively referred to as "Force Majeure Conditions /. VI. LIABILITY A. RENOVO SHALL NOT BE RESPONSIBLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR REVENUE, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. B. Customer agrees to indemnify and hold RENOVO, its officers, directors, employees, agents, and subcontractors harmless from any and all claims, losses or liability of any nature whatsoever, including claims interposed by way of defense or counterclaim (and including attorney's fees) arising out of or related to (1) any negligent or intentional acts or omissions by Customer, its officials, agents or employees; (2) any claims arising out of any mis -use Rev. Each party to this Agreement warrants and represents that it has the unrestricted right and requisite authority to execute, deliver and perform under this Agreement and to authorize the installation and operation of the VisPay and related equipment in the Facilities. Each party further warrants and represents that the execution of this Agreement has been duly authorized and that the signatory below has the legal authority to enter a binding contract on behalf of the party, and that all actions, resolutions and/or express authorizations required to be obtained prior to entering this Agreement have been taken, passed and /or obtained. B. Governing Law. The terms of this Agreement shall be interpreted, construed and enforced pursuant to the laws of the State of Texas, and the Parties irrevocably consent to the jurisdiction of the federal and state courts presiding in Texas. C. Successors. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective heirs, executors, administrators, legal representatives, successors, and assigns when permitted by this Agreement. D. Severability. In case any one or more of the provisions contained in this Agreement shall for any reason be held tp be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provisions thereof and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein. E. Entire Agreement. This Agreement, including EXHIBIT A contains the entire agreement by and between the Parties and replaces any prior or existing agreements, oral or written, between the Parties concerning the subject matter herein. F. Modifications. This Agreement cannot be varied, modified or amended orally and can only be varied, modified or amended by a written instrument signed by a representative of each party who has legal authority to enter such Agreement. G. Assignments. RENOVO reserves the right to assign its rights and obligations under this Agreement without the prior consent of Customer. Any sale or transfer of the business, property or operations of the Facilities shall include an assumption by the buyer of all the terms and conditions of this Agreement. Customer may assign this Agreement Attachment G Vol. 203 Pg. 02SY Page 2 of 4 only with the written consent of RENOVO, which consent shall not be unreasonably withheld. H. No Waiver. No waiver by either party of any event of default under this Agreement shall operate as a waiver of any subsequent default. I. Dispute Resolution. Any claim or controversy arising out of or relating to the Agreement shall, upon a party's written request, initially be submitted to a senior manager from each party, who will meet in person and confer in good faith to resolve the dispute within fifteen (15) business days following such notice. In the event the Parties cannot resolve the dispute, the Parties may pursue any available legal or equitable remedy consistent with this Agreement. J. Notices. All notices required to be in writing herein shall be delivered by each party to the other party by certified mail at the addresses for each party set forth below.
