PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both On and off the agenda. and be limited to four
minutes per person. Persons are invited to submit comments in wring on the agenda dams and/or attend and make comment
at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a
Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Twos
Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a
Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in
aeendanoa at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and
decorum in speaking to, andlor addressing the Court; in participating in public discussions before the Court; and in all actions
in the presence of the Court. Those members of the public who are Inappropriately still andlor who do not conduct
themselves in an orderly and appropriate manner will be Ordered to leave the meeting. Refusal to abide by the Court's Order
andlor continued disruption of the meeting may reeuh in a Contempt of Court Citation.
B is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any Individual
w group. Neither is it the intention of the Court to allow a member (w members) of the pubho to Insult the honesty and/or
integrity of the Court as a body, w any member w members of the Court, or County employees, individually w collectively.
Accordingly, protons, instilling w threatening language directed toward the Court andlor any person In the Courts presence
andfor rectal, ethnic w gender siurs or epithets will not be tolerated. Violation of these rules may result in the following
sanctions:
1. cancellation of a speaker's tine;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and/or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda property posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However,
responses from the County Judge or Commissioners to unlisted public comment topics could became deliberation on a matter
watout notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County
Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, ratite
existing policy in response to an inquiry or to ask that a matter be listed an a future agenda. See Texas Open Meetings Act 7
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court . The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whale. No member of the community is required
to attend a participate in the invocation and such decision will have no impact on their nght to actively participate in the
business of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave., Suite 106, Bryan, TX 77803 is
wheelchair accessible. Handicap parking spaces are available. Any request for sign interpretive services must be made two

A regular meeting of the Commissioners' Court of Brazos County, Texas was held in
the Brazos County Commissioners Courtroom in the Administration Building, 200
South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on
Tuesday, May 6, 2014 with the following members of the Court present:
Duane Peters, County Judge, Presiding;
Lloyd Wassermann, Commissioner of Precinct 1;
Sammy Catalena, Commissioner of Precinct 2;
Kenny Mallard, Commissioner of Precinct 3, Absent;
Irma Cauley, Commissioner of Precinct 4, Absent;
Karen McQueen, County Clerk, Absent.
The attached sheets contain the names of the citizens and officials that were in
attendance.
Invocation and Pledge of Allegiance -
U.S. and Texas Flag - Chaplain G.H. Jones and Commissioner Catalena.
2. Call for Citizen input and/or concerns.
Andy Klonenberg, Brazos County Resident said he has noticed a lot of dead brush
along Dogwood Trail. He has since come to realize that the Court sprayed herbicide.
He produced photographs showing the dead vegetation on his road and also on

Lightsey Lane. He spoke of the dry brush also being a fire hazard. He knows that the
contract for spraying has been discontinued but also that the Court reserved the right to
spray again. He urged the Court to never do this again. He called this a failed
experiment.

3. Resolution 14-006 honoring Lisa Gail Lyon for Distinguished Service.

The Court voted unanimously to adopt Resolution #14 -006 recognizing, commending
and thanking Lisa Gail Lyon on behalf of the citizens of Brazos County for over thirty
(30) years of distinguished service. The County Judge then presented Ms. Lyon with two
(2) plaques. Ms. Lyon thanked everyone.

4. Proclamation 14 -021 recognizing the men and women who work so valiantly inside our
jails and prisons, the incredible dangers they face, the sacrifices they endure, and the
contributions they make for the safety of our community.

The Court voted unanimously to adopt Proclamation #04 -021 proclaiming the week of
May 4, 2014 through May 10, 2014 as "National Correctional Officers and Employees
Week" and encouraged all citizens to pay tribute to the many correctional employees
working in Brazos County for the vital public service they provide. Sheriff Kirk presented
the proclamationto local wardens and recognized correction officers present from
various correctional institutes.

5. Proclamation 14 -023 declaring April 2014 as Foster Care Month.

The Court voted unanimously to adopt Proclamation #04 -023 proclaiming April 2014 as
Foster Care Month in Brazos County and urged all citizens to volunteer their talents and
energies on behalf of child in foster care, foster parents, and the child welfare
professional staff working with them during this month and throughout the year. Judge
Peters presented the proclamation to Benjamin Glade.

6. Acceptance of the resignation of Donald Lampo, Fire Commissioner for the Brazos
County Emergency Services District #2 and appointment of Layton Weimer to fill the
unexpired term. Term of this appointment will be effective immediately through
December 31, 2014.

to upgrade the system currently used by 911.

10. Consider and take action on a Depository Pledge Agreement between Brazos County
and Branch Banking and Trust Company and the acknowledgement of the Treasurer's
execution of documents incidental to the Agreement. The County's depository, Citibank,
will be acquired by BB &T on June 13, 2014.

The Court voted unanimously to allow the County Engineer to issue a license allowing
the seismic testing along public rights -of -way within the unincorporated areas of Brazos
County. The agreement was approved with 17,000 pound maximum weight limit for
equipment. Alan Munger, County Engineer stated that this has the potential to be a
controversial issue but it will benefit the county. A copy of the Agreement is attached.

BE IT REMEMBERED, at a regularly called meeting of the Brazos County
Commissioners Court on the 6`h day of May, 2014, held in the City of Bryan Texas; Brazos
County,
WHEREAS, distinguished long -term employee Lisa Gail Lyon has announced her
retirement from Brazos County after more than 3o years of continuous services, and,
WHEREAS, her retirement is to become effective the 6`h day of June, 2014, and,
WHEREAS, Brazos County Commissioners Court desires to officially recognize Lisa
Gail Lyon for her many years of distinguished service to the citizens of Brazos County, and,
WHEREAS, Lisa Gail Lyon honorably served for all of those years in the Brazos County
Juvenile Services Department holding a variety of positions, including for the past 24 years,
the prestigious position of Business Manager, and,
WHEREAS, Lisa Gail Lyon proved to be an invaluable asset to both the Juvenile
Services Department as well as to Brazos County, and
WHEREAS, Lisa Gail Lyon was directly responsible for many positive and innovative
changes to occur in the Juvenile Services Department over the past 30 years, and,
WHEREAS, Lisa Gail Lyon will be deeply missed by her supervisors, peers, and staff, as
well as employees from across the county,
THEREFORE BE IT RESOLVED that the Brazos County Commissioners Court takes this
occasion to officially recognize, commend, and thank Lisa Gail Lyon on behalf of the citizens
of Brazos County for over thirty years of distinguished service.

National Correctional Officers and Employees Week
WHEREAS National Correctional Officers and Employees Week was first proclaimed on May 5, 1984, by President
Ronald Reagan when he signed Proclamation 5187 creating "National Correctional Officers' Week," to
recognize the men and women who work in jails, prisons, and community corrections across the county;
and
WHEREAS National Correctional Officers and Employees Week became the official name the first week in May
when, in 1986, the U.S. Senate officially changed the name from "National Correctional Officers' Week";
and
WHEREAS National Correctional Officers and Employees Week has been designated as the week of May 4, 2014,
through May 10, 2014, by the U.S. Department of Justice and the Federal Bureau of Prisons; and
WHEREAS National Correctional Officers and Employee Week honors the work of correctional officers and
correctional personnel for their service with honor, respect, and integrity; and
WHEREAS National Correctional Officers and Employees Week raises the awareness of the duties, hazards, and
sacrifices made by the Correctional employees; and
WHEREAS National Correctional Officers and Employees week in Brazos County recognizes Correctional officers
and employees for the their role in safeguarding the citizens of Brazos County by providing safe, secure,
and humane incarceration of offenders within their custody.
NOW THEREFORE, BE IT PROCLAIMED that the Commissioners Court of Brazos County does hereby proclaim
the week of May 4 -10, 2014 as "National Correctional Officers and Employees Week." All citizens are encouraged to
pay tribute to the many Correctional Employees working in Brazos County for the vital public service they provide.

Foster Care Month April 2014
WHEREAS The children and youth of the State of Texas are our most precious resource and hope
for the future. All children deserve a safe, loving, and nurturing place to call home; and
WHEREAS The family, serving as the primary source of love, identity, self - esteem and support, is
very the foundation of our community and our state; and
WHEREAS During the 2013 Fiscal Year, the State of Texas had 66,398 confirmed victims of
abuse/neglect and Brazos County accounted for 402 of those cases; and
WHEREAS During National Foster Care Month, we recognize the promise of America's children
and youth in foster care. Foster Families open their homes and hearts to children whose
families are in crisis, and they play a vital role by helping children and families heal and
reconnect and by launching children into successful adulthood. In the 2013 Fiscal Year
Statewide 17,022 children, fifty of which in Brazos County, were removed from their
home due to abuse or neglect. One hundred and ninety-six children were in foster care
at some point in Brazos County in 2013 FY; and
WHEREAS It is important to recognize the valuable and continuing contributions of foster parents
who show their love and support continuously- many of who become adoptive parents
when the children in their care cannot return to their birth families. During the 2013
Fiscal Year, 35 Brazos County children were waiting to be adopted and statewide 6,581
children; and
WHEREAS There are numerous individuals and public and private organizations who work to
increase public awareness of the needs of children in and leaving foster care as well as
the enduring and valuable contribution of foster parents. Whereas, the foster care
"system" is only as good as those who choose to be part of it:

NOW, THEREFORE, BE IT PROCLAIMED that the Brazos County Commissioners Court does
hereby do hereby declare May 2014 FOSTER CARE MONTH in Brazos County and urge all citizens to

Terms and Conditions of Service.
1. Paymen t Customer shall pay for all monthly service charges,
plus one -time setup, Installation, and /or construction charges.
Unless stated otherwise herein, monthly charges shall begin upon
installation of service, and Installation charges, If any, shall be due
upon completion of Installation.
B Ilin Monthly recurring fees are due no later than the first day of
each month for which services are provided. in the case of a late
payment, Customer will be charged a $100 administrative fee and
the late payment will accrue interest at the rate of one and one -half
percent (1.5 %1 per month, or the highest rate allowed by applicable
law, whichever is lower. All non - recurring fees shall be payable net
30 as Invoiced by Managed Network Solutions. All payments shall be
made In U.S. dollars.
Taxes Managed Network Solutions may invoice and Customer shall
pay all taxes, fees or assessments and other charges required to be
collected by Managed Network Solutions by any governmental
agency that may result from the Customer's use of the Co- locatlon
Space. Customer shall be responsible for paying all taxes, fees or
assessments and other charges Imposed on Customer by any
governmental agency that may result from this Agreement, or any of
Customer's activities contemplated hereunder.
2. Servlce and Installation Managed Network Solutions shall
provide Customer with the Services and Equipment identified on the
first page of this Agreement; provided, however, if Managed
Network Solutions determines that Customer's location is not
serviceable under Managed Network Solutions' normal installation
guidelines, Managed Network Solutions may terminate this
Agreement. Customer is responsible for damage to any Managed
Network Solutions equipment Installed on customer premise for the
purpose of the service described herein. Customer may use the
Services for any lawful purpose, provided that such purpose (a) does
not interfere or Impair the Managed Network Solutions network,
equipment or facilities and /or (b) complies with the applicable
Acceptable Use Policies ( "AUP ") which are Incorporated herein by
reference. Customer shall use the equipment only for the purpose of
receiving the Services. Customer shall not make any connections to
the equipment which are not expressly authorized in writing by
Managed Network Solutions or permit tampering, altering or repair
of the equipment by any person other than Managed Network
Solutions' authorized personnel. Unless provided otherwise herein,
Managed Network Solutions shall use reasonable efforts to maintain
the Services in accordance with applicable performance standards,
however, Managed Network Solutions shall have no responsibility
for the maintenance or repair of facilities and equipment it does not
furnish:.
3. Service Date and Term This Agreement shall be effective
upon execution by the parties. Services shall be provided for the
applicable term set forth on the first page of this Agreement.
Managed Network Solutions shall use reasonable efforts to make
the Services available by the requested service date. Managed
Network Solutions shall not be liable for any damages whatsoever
resulting from delays in meeting any service dates due to delays
resulting from construction or for reasons beyond Its control.
4. Customer Responsibilities Customer Is responsible for
arranging all necessary rights of access for Managed Network
Solutions within the Customer's premises, including space for cables,
conduits, and equipment as necessary for Managed Network
Solutions - authorized personnel to Install, repair, Inspect maintain,
replace or remove any and all facilities and equipment provided by
Managed Network Solutions. Customer shall provide a secured
space with electrical power, climate control and protection against
fire, vandalism, and other casualty for Managed Network Solutions'
equipment. Customer shall use the Services in compliance with all
applicable laws and ordinances, as well as applicable leases and
other contractual agreements between Customer and third parties.
Customer is responsible for ensuring that Customer's equipment is
compatible for the Services selected and with the Managed Network
Solutions network.
S. Eauloment Unless otherwise provided herein, Customer
agrees that Managed Network Solutions shall retain all rights, title
and Interest to facilities and equipment installed by Managed
Network Solutions there under and that Customer shall not create
or permit to be created any liens or encumbrances on such
equipment. Internal Wiring shall not be considered equipment and
shall become the property of Customer upon initiation of Service.
Customer shall not modify or relocate equipment installed by
Managed Network Solutions or Install any other equipment,
including servers In connection with data /Internet without the prior
written consent of Managed Network Solutions. For Managed
Network. Solutions -owned equipment, Customer shall, at the
expiration or termination of this Agreement, return the equipment
in good condition, ordinary wear and tear resulting from proper use
excepted. in the event the equipment is not returned to Managed
Network Solutions in good condition, Customer shall be responsible
for the value of such equipment. Managed Network Solutions shall
repair any equipment owned by.Managed Network Solutions at no
charge to Customer provided that damage is not due to misuse,
abuse or other disaster including acts of God. If additional
equipment, Including but not limited to, monitors, computers,
circuits, software or other devices, are required by Customer to use
the Services, Customer shall be responsible for such equipment.
6. Resale of Service Customer may not resell any portion of the
Service to any other party.
7. Default If Customer fails to comply with any material
provision of this Agreement, Including, but not limited to failure to
make payment as specified, then Managed Network Solutions, at its
sole option, may elect to pursue one or more of the following
courses of action upon proper notice to Customer as required by
tariff or applicable law: (1) terminate service whereupon all sums
then due and payable shall become Immediately due and payable,
(ii) suspend all or any part of Services, and /or (Iii) pursue any other
remedies, including reasonable attorneys' fees, as maybe provided
at law or In equity, including the applicable termination liabilities.
S. IP Address and Domain Name Reefstration Managed
Network Solutions will allocate IP addresses to Customer according
to ARIN guidelines. All IP addresses assigned by Managed Network
Solutions must be relinquished by Customer upon the expiration,
termination or cancellation of this Agreement. IP address shall be
subject to the IP policy in the AUP. If Customer requests, Managed
Network Solutions will register an available domain name on behalf
of Customer, and such registration shall be subject to rules

promulgated by the domain name registrar, which may be amended
from time to time. Customer is responsible for payment and
maintenance of domain name registration.
9. Termination Customer may terminate data and or Internet
before the end of the term selected by Customer an the first page of
this Agreement; provided, however, if Customer terminates Service
before the term selected by Customer (except for breach by Managed
Network Solutions), or Managed Network Solutions terminates
Services for Customer's breach of this Agreement or the AUPs,
Customer may be subject to a termination liability. The termination
liability shall equal 100% of the monthly recurring charges for the
terminated Services multiplied by the number of full months
remaining In the initial term commitment and is due upon
termination. After the initial term, this Agreement shall automatically
renew on a one -year basis unless customer notifies Managed
Network Solutions in writing no later than 45 days prior to the
expiration date.
10. LIMITATION OF LIABILITY. MANAGED NETWORK SOLUTIONS
SHALL NOT BE LIABLE FOR DAMAGES FOR FAILURE TO FURNISH OR
INTERRUPTION OF ANY SERVICES, NOR SHALL MANAGED
NETWORK SOLUTIONS BE RESPONSIBLE FOR FAILURE OR ERRORS
IN SIGNAL TRANSMISSION, LOST DATA, FILES OR SOFTWARE
DAMAGE REGARDLESS OF THE CAUSE. MANAGED NETWORK
SOLUTIONS SHALL NOT BE LIABLE FOR DAMAGE TO PROPERTY OR
FOR INJURY TO ANY PERSON ARISING FROM THE INSTALLATION
OR REMOVAL OF EQUIPMENT UNLESS CAUSED BY THE
NELGLIGENCE OF MANAGED NETWORK SOLUTIONS. "UNDER NO
CIRCUMSTANCES WILL MANAGED NETWORK SOLUTIONS BE LIABLE
FOR ANY SPECIAL OR CONSEQUENTIAL DAMAGES INCLUDING LOST
PROFITS ARISING FROM THIS AGREEMENT. MANAGED NETWORK
SOLUTIONS' MAXIMUM LIABILITY TO CUSTOMER ARISING UNDER
THIS AGREEMENT SHALL BE THE LESSER OF $5,000.00 OR THE
AMOUNT ACTUALLY PAID BY CUSTOMER FOR SERVICES
HEREUNDER.
11. Assianment Customer may not assign, in whole or in part, this
Agreement without the prior written consent of Managed Network
Solutions, which consent may be withheld In Managed Network
Solutions' discretion. Managed Network Solutions . may assign this
Agreement and Service may be provided by one or more legally
authorized Managed Network Solutions affiliates.
12, WARRANTIES EXCEPT AS PROVIDED HEREIN, THERE ARE NO
AGREEMENTS, WARRANTIES OR REPRESENTATIONS, EXPRESS OR
IMPLIED, EITHER IN FACT OR BY OPERATION OF LAW, STATUTORY
OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY
AND FITNESS FOR A PARTICULAR PURPOSE, RELATING TO THE
SERVICES. SERVICES PROVIDED ARE A BEST EFFORTS SERVICE AND
MANAGED NETWORK SOLUTIONS DOES NOT WARRANT THAT THE
SERVICES, EQUIPMENT OR SOFTWARE SHALL BE ERROR -FREE OR
WITHOUT INTERRUPTION. MANAGED NETWORK SOLUTIONS
MAKES NO WARRANTY AS TO TRANSMISSION OR UPSTREAM OR
DOWNSTREAM SPEEDS OF THE NETWORK.
13. INDEMNITY Customer shall indemnify and hold Managed
Network Solutions and Its respective affiliates, subcontractors,
employees or agents harmless (Including payment of reasonable
attorneys fees) from and against any claim, actions or demands
relating to or arising out of Custamers use of the Service including
without limitation (i) any content or software displayed, distributed
or otherwise disseminated by the Customer, Its employees, or users
of the Services, (ii) any claim that Customer's use of the Service
Including the registration and maintenance of Customer's selected
domain name(s), infringes on the patent, copyright, trademark or
other intellectual property right of any third party; (iii) any malicious
act or act in violation of any laws committed by Customer, its
employees or users using the Services; and /or (iv) violation by
Customer, its employees or authorized users of the Managed
Network Solutions AUPs.
14. Viruses. Content, Customer Information Software or content
obtained from the use of Service may contain viruses or other
harmful features and Customer is solely responsible for protecting its
equipment and software from such matters. Through the use of the
Service, Customer may obtain or discover content that is offensive or
illegal and Customer assumes the risk and is solely responsible for its
access to such content. Managed Network Solutions may disclose
Customer information to law enforcement or to any Managed
Network Solutions affiliate.
15. Miscellaneous This Agreement, the tariffs, the documents
referenced herein, and the AUPs constitute the entire agreement
between Managed Network Solutions and Customer for the Services
and equipment provided herein. The invalidity or unenforceability
of any term or condition of this Agreement shall not affect the
validity or enforceability of any other provision. This Agreement may
be modified, waived or amended only by a written instrument
signed by the parties; provided Managed Network Solutions may
modify the AUP and If Customer continues to use the Service,
Customer shall be bound by such AUP as modified. The rights and
obligations of the parties under this Agreement shall be governed by
the laws of the State of Texas. The failure by either party to exercise
one or more rights provided In this Agreement shall not be deemed
a waiver of the right to exercise such right in the future. Notices
required by this Agreement shall be in writing and shall be delivered
either by personal delivery or by mail. If delivered by mail, notices
shall be sent by any express mail service; or by certified or registered
mail, return receipt requested; with all postage and charges prepaid.
All notices and other written communications under this Agreement
shall be addressed to the parties at the addresses on the first page
of this Agreement, or as specified by subsequent written notice
delivered by the party whose address has changed.
16. Reaulatory Authority-Force Maleure This Agreement and
the obligations of the parties shall be subject to modification to
comply with all applicable laws, regulations, court rulings, and
administrative orders, as amended. In no event shall either party
have any claim against the other for failure of performance If such
failure is caused by acts of God, natural disasters Including fire,
flood, or winds, civil or military action, Including riots, civil
insurrections or acts of terrorists or the taking of property by
condemnation.

DEPOSITORY PLEDGE AGREEMENT
This Depository Pledge Agreement ( "Agreement ") is entered into as of Mq j . , 2014, by
and between Brazos county (the "County"), a County created and operating
pursuant to the laws of the State of Texas, and Branch Banking and Trust Company ( "Bank's, a
North Carolina banking corporation.
The County has selected the Bank as a depository for certain of its funds in demand deposits,
savings deposits and/or interest- bearing time deposits, and the Bank desires to be the depository
of such funds. Pursuant to applicable laws and the County's Investment Policy, the Bank is
required to secure the public funds deposited by the County in the Bank to the extent that such
funds are not insured by the Federal Insurance Deposit Corporation or its successors or assigns
( "FDIC ") (such excess funds referred to hereafter as the "Collateralized Funds ") by pledging
securities authorized by the State of Texas and the County (the "Approved Securities ") in an
aggregate market value that at all tunes equals or exceeds [ iio]% of the Collateralized Funds of
the County on deposit with the Bank plus any interest accrued thereon (the "Required Collateral
Value ").
The Barite has agreed to pledge the Approved Securities solely for the benefit of the County's
Collateralized Funds, and has agreed to place the Approved Securities for safekeeping in a
custodial account at the Federal Reserve Batik, an independent third -party institution not owned
or controlled by the Bank or its holding company (the "Safekeeping Institution ").
NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this
Agreement, the County and the Bank agree as follows:
Section 1. AMOUNT OF COLLATERAL• PLEDGE OF SECURITY- GRANT OF
SECURITY INTEREST. The Bank agrees that the Collateralized Funds
of the County on deposit with the Bank in the following forms (i) demand
and savings deposits, and (ii) interest bearing time deposits (such as
certificates of deposit) (each, a "Deposit ") shall be secured by the pledge
of Approved Securities of the type described in Exhibit "A" attached to
this Agreement and incorporated for all purposes (the "Deposit
Collateral') in an amount equal to the Required Collateral Value.
The Bank agrees that the Deposit Collateral (collectively referred to at
times as the "Pledged Collateral ") shall be pledged solely to, and held
solely on account of, the County, The Bank further understands and
agrees that it will not cause or permit the sharing, splitting or co- tenancy
of the Pledged Collateral without the express written authorization of the
County.
The Batik hereby grants the County a security interest in the Pledged
Collateral.

Section 2. SAFEKEEPING PROVISIONS. The Safekeeping Institution and the
Bank have agreed to abide by Operating Circular 7 ( "OC -7 ") pursuant to
which the Safekeeping Institution has agreed to hold the Pledged
Collateral in safekeeping. Pursuant to OC -7, the Safekeeping Institution
also has agreed to deliver the Pledged Collateral pursuant to the terms of
the Agreement and serve as collateral agent for the County to the extent
necessary to allow the County to perfect its security interest in the Pledged
Collateral granted in this Agreement. The Safekeeping Institution has
further agreed to provide safekeeping receipts to the County, dated as of
the date of the deposit of the Pledged Collateral, to the County within (3)
business days of such deposit.
Section 3. INSTRUCTIONS REGARDING COLLATERAL. Until the County has
the right to sell the Pledged Collateral pursuant to Section 10 of this
Agreement, the Safekeeping Institution may act only in accordance with
the joint instructions of the Batik and the County. The frames and
specimen signatures of individuals authorized to act on behalf of the
County are listed in Exhibit `B" to this Agreement and the names and
specimen signatures of individuals authorized to act on behalf of the Bank
are listed in Exhibit "C" to this Agreement. Either the County or the Bank
may add or remove names from their respective list of authorized
individuals without the consent of the other party at any time by providing
the Safekeeping Institution with a replacement Exhibit "B" or "C ".
Secti on 4, SUBSTITUTIONS AND WITHDRAWALS OF COLLATERAL. The
Bank and the Safekeeping Institution understand and agree that the County
has the right to change the type of Approved Securities authorized to
secure the County's Collateralized Funds by providing the Bank and the
Safekeeping Institution with a replacement Exhibit "A ". The Bank and
the Safekeeping Institution agree to comply with the replacement Exhibit
relating to the Approved Securities within the later of (a) thirty (30) days
of receipt of such notice of substitution, or (b) the latest maturity date of
the relevant Deposit(s).
In addition, if the aggregate market value of the Pledged Collateral held by
the Safekeeping Institution at any time exceeds the Required Collateral
Value, Bank may withdraw any excess Pledged Collateral by providing
the Safekeeping Institution with a withdrawal notice signed by an
authorized individual of both the Bank and the County. The County
agrees to sign the withdrawal notice if the value of the remaining Pledged
Collateral equals or exceeds the Required Collateral Value. Additionally,
the Bank may substitute Approved Securities for all or any portion of the
Pledged Collateral held by the Safekeeping Institution at any time by
providing the Safekeeping Institution with a substitution notice signed by
an authorized individual of both the Bank and the County. The County

agrees to promptly sign the substitution notice if the securities to be
substituted are Approved Securities and the value of the Pledged
Collateral following the substitution equals or exceeds the Required
Collateral Value. If the County fails to sign any notices as required
hereunder within two business days of a written request from the Bank,
the Bank shall be entitled to terminate this Agreement any time thereafter
until such notice is signed.
Section 5, BANK STATEMENTS AND REPORTS RELATING TO PLEDGED
COLLATERAL. Contemporaneously with the execution of the
Agreement, and at the time of the substitution or release of any of the
Pledged Collateral, the Bank shall execute and deliver to the County a
statement describing the Approved Securities deposited to or withdrawn
from the Pledged Collateral held pursuant to this Agreement. This
statement must include the par value, security description, CUSIP number,
market value as of the date of the statement and maturity date of the
Pledged Collateral.
The Bank also agrees to furnish to the County a statement describing the
Pledged Collateral held in safekeeping by the Safekeeping Institution on a
monthly basis (the "Investment Report"). The Investment Report must
include a description of the securities pledged, the CUSIP number of each,
the par value, the market value, and the maturity date of the Pledged
Collateral as of the date of the current Investment Report.
Section 6. BANK'S FINANCIAL POSITION. The Bank will provide to the County
upon request a statement of the Bank's financial position on a quarterly
basis. The Bank also will provide to the County upon request a copy of
the Bank's annual financial statement in the event the same is not
otherwise available electronically.
Section 7. REPRESENTATIONS OF THE BANK. The Bank represents to the
County that:
(a) the Bank is the sole legal and actual owner of the securities
utilized to collateralize County deposits;
(b) no other security interest has been, nor will be, granted in the
securities utilized to collateralize County deposits;
(c) the relevant Deposit is covered for all uncollateralized County
deposits up to $250,000 under the FDIC, or such other amount as
may be applicable from time to time;
(d) this Agreement has been executed by a Senior Vice President of

the Batik acting under due corporate authority; and
(e) this Agreement is an official record of the Batik.
Section 8. REPRESENTATIONS OF THE COUNTY. The County represents to the
Bank that it will provide the Bank with an amended Exhibit "A" reflecting
changes in the Approved Collateral within seven (7) business days of
adoption of the same by the County Board. The County agrees that the
Bank is not obligated to comply with any new requirements as to
Approved Collateral until the amended exhibit(s) is /are received by the
Bank and as provided in this Agreement. The County also represents and
warrants that it has full legal authority to enter into this Agreement and
that the Agreement is a legal, valid and binding obligation of the County,
subject to applicable insolvency laws or general equitable principles.
Section 9. BANK'S DUTIES AND OBLIGATIONS. The Bank agrees to perform
all of the duties and obligations required of a depository for the County
under the laws of the State of Texas for depositories of the County in
respect of this Agreement. At the expiration of die term of this
Agreement, the Bank agrees to turn over to its successor all funds,
property and things of value held by it as a depository.
Section 10. BANK DEFAULT AND REMEDIES. If the Batik fails to perform all of
its obligations set out in this Agreement or in any other agreement
between the Bank and the County in each case after the expiration of any
applicable grace or notice period, or if it is ruled "bankrupt", "insolvent ",
or "failed" by Federal Banking Regulators, then Bank will be considered
in default under this Agreement. In the event of such default, failure or
insolvency of the Bank, the County shall be deemed to have vested full
title to all of the Pledged Collateral pursuant to this Agreement. The
County may sell all or any part of the Pledged Collateral at public or
private sale after providing the Bank at least three (3) business day's prior
written notice and an opportunity to cure the default. The proceeds of any
such sale must be applied to satisfy any indebtedness owed by the Bank to
the County, and any excess proceeds over the value of the defaulted
amount including accrued interest, plus expenses, including legal fees,
related to the liquidation transaction, shall be returned to the Bank. This
power of sale is in addition to other remedies the County may have
pursuant to this Agreement and applicable law and is without prejudice to
the County's rights to maintain any suit in any court for redress of injuries
sustained by the County under this Agreement for which the County is not
otherwise made whole.

Section It. NON - ASSIGN ABILITY. This Agreement is not assignable in whole or
in part.
Section 12, TERMINATION. After maturity of the relevant Deposit(s) and
distribution to the County all relevant proceeds, this Agreement may be
terminated by either the Bank, the County or the Safekeeping Institution
by giving thirty (30) day's prior written notice to the other parties.
Section 13, APPLICABLE LAWS: OTHER AGREEMENTS. This Agreement will
be governed by the laws of the State of Texas. All Bank accounts of the
County also will be subject to the following additional agreements with
the Bank, copies of which are attached to this Agreement and incorporated
for all purposes:
No additional agreements applicable or attached.
Section 14. SAFEKEEPING FEES. Any and all fees associated with the safekeeping
of securities for the benefit of the County which the Safekeeping
hrstitution shall charge shall be paid by the Bank.
Section 15, MISCELLANEOUS. The headings in this Agreement are for convenience
of reference only and should not be used in interpreting this Agreement. If
any provision of this Agreement is determined to be illegal or
unenforceable under applicable law, that provision should be deemed
reformed so as to be enforceable to the extent permitted by applicable law,
or, if such reformation is not possible, then this Agreement should be read
as if such provision was never a part of it, and the remainder of the
Agreement will be enforceable.
This Agreement represents the final agreement of the parties and may not
be contradicted by evidence of prior, contemporaneous or subsequent oral
agreements of the parties.
Notices required to be given under this Agreement must be addressed as
set forth below each party's signature to this Agreement, and will be
considered effective upon actual receipt by the addressee or upon refusal
of delivery during the normal business hours of the addressee.
Section 16. COUNTERPARTS. This Agreement may be executed in multiple
counterparts, each of which will be considered an original.

rlghl -of -way of a County Road In Brazos, County, Texas as follows:
Road bore will be made under Brown Lane. Bore will be made from existing 2 water line located on the
southeast side to northwest aide for a distance of W at a minimum depth of 38" below ditch now line.
The location and description of this line is more fully shown In drawings attached to this notice. The line will be
constructed and maintained In the County Road right- of-way In accordance with the Brazos County Roadway Safely

BRAZOS COUNTY ROADWAY SAFETY AND ROAD
PRESERVATION STANDARDS FOR WORK CONDUCTED IN
BRAZOS COUNTY RIGHTS OF WAY
A. GeneralRequlrements
1. Adequate drainage 8111111 be maintained in ditches stall times,

BMPs) to minimize erosion and sedimentation resulting fiom the proposed installation.
3, The permittee shall take precautions to avoid damage to property, All County Right of Way and property shall
be restored to its original condition, as far as practical, in the opinion of the County Engineer or appointed
representative,
4. The construction and maintenance of such utility shall not interfere with the property or rights of a prior
occupant.
5. Permittee, shall not interfere with other utilities located in the right of way. In the event damages occur,
pennittee will be liable to the County or other utilities ronning th ough the right of way.
6. County Engineer shall determine whether or not permittce's plans Shell inconvenience the public. If it is
determined that inconvenience to the public exists, then tits County Engineer wilt decide whether such project
Will be allowed or if an alternative exists 80 as not to inconvenience the public.
B. Safety Requirements
1. Proper traffic control measures must be put in place prior to beginning work and remain in place during the
duration of the job. All traffic control measures must follow the Texas Manual of Uniform Traffic Control
Devices (IWTCD). See Tragic Control Requirements below.
2. During construction, all safety regulations of the Texas Department of Transportation shall be observed.
3. Permitteo must take such precautions and measures, including placing slid displaying safety devices, as may
be necessity, in order to safely conduct the public through the project area. Company shall provide flagmen,
signs, signals or devices necessary to provide complete safety to the public,
4. Adequate provisions must be made to cause minimum inconveniences to traffic and adjacent property owners.
5. No cable, conduit and /or pole line shall be laid, constructed, maintained and/or repaired so as to constitute a
danger or hazard of nay kind to person's or vehicles using such road. Any poles placed in the Right of Way for
future installation shall be placed at the back of the Right of Way, Bxceptions may be approved by the County
Engineer.
G nafJlc Control Platt
1. A traffic control plan, pursuant to the TMUTCD or Engineered Traffic Control Plan must be provided for the
following:
a. Any construction (i.e. pit, excavation, hole) left open overnight, requires smecific nlgl tome traffic
control measures pursuant to the TMUTCD;
b. If construction is within ton (10) feet of the roadway; or
c. Any work performed in the road right -of -way;
2. Plan must be attached to the permit and kept at ilre job site anytime work is being performed,

D. DeslguStandardr
1 • All overhead installations shall conform to clearance standards of the Texas Department of Transportation and
the pole be placed in the designated area for power specified as set forth in the Texas Utilities Code, Section
181.04S.
2. All pole installation (including lighting) shall be placed at the backside of the Right of Way to ensure safety to
the public. Any pole placed in violation of this requirement will be required to be moved to the appropriate
location at the company's expanse. Exceptions may be approved by the County Engineer.
3. All underground installations shall (these are minimum depths — utility may place deeper):
R. be placed at a minimum depth of forty -eight (48) filches below the top of the pavement;
b. beat least thirty-six (36) inches below ditch flow line when installation is within the area measured from
top of bank to top of bank;
c. be at least forty-Bight (48) inches below ditch flow line if low pressure gas or petroleum lines. For high
Pressure gas and petroleum lines, see High Pressure Pipelines requirements listed below;
d. not be closer than ten (10) feet from the edge of pavement. Exceptions may apply in rights of way of less
than 60'.
4. Water Lines: All water lines must be s minimum 36- inches below the ditch flow line and cased. Waterlines
shall be cased if crossing under the roadway.
S. Utilities in all new developments that heve 60 feet or greater of right of way shall be installed within
designated locations based upon the type of utility. The locations shall be as follows: (measured from back of
right -of- -way).
Power— 0 -2 feet, nominally I'
Phone — 2 -4 feet, nominally 3'
Gas -4.6 feet, nominally 5'
Cable 6 -8 feet, nominally 7'
6. Utilities with less than 60 feet right -of -way 3n all new developments shall install the utility in it similar manner
as refuenced in No. 3 above, however, the Comily Engineer or its designated representative will provide final
approval of each utility location.
7. The length of any trench to be opened in advance of the pipe, conduit or ducts may not be longer than 400' if
left open over night or unattended.
8. Crossings under a county road shall:
a, be bored or jacked. A13SOLUTBLY NO OPEN CUTS WITHIN COUNTY ROAD PAVEMENT;
b. be pressure grouted for the full length of the crossing if the annular space between pipe and casing and
soil exceeds one (1) inch, Praws County must be given 24 hours notice of pressure grouting operations
and have the opportunity to have an inspector on site to observe pressure grouting operations;
c. TxDOT Standard Specification Item 476 shall be followed for all boring, jacking, tunneling and joints.
9. Bore Pits
a. no pits shall remain open longer the 2 days;
b. all pits shall have proper traffic control measures in place. See Traffic Control Plan listed above.
c. pits shall NOT be located within ten (10) feet from tine edge of pavement without prior approval from tine
County linglueer or his representative;
d. when pits are to remain open for more than 8 hours, due diligence will be used in protecting the spoil pile
to prevent drainage problems;

e, based upon soil conditions, the County Engineer or his representative may require shoring to protect
pavement integrity;
f. based upon soil conditions, the County Engineer or his representative may require pits be placed further
from the edge of road,
10. Any installation within tan (10) feet of edge of pavement shall meet the following:
a, location mast be approved by the County Engineer or his representative
b, backfilled with cement stabilized material.
c. based upon soil conditions, the County Engineer or his representative may require shoring to protect
pavement integrity.
d. All excess water and rmmd shall be removed from the trench prior to backfilling, Any backlill placed
during a rainy period or at other times where excess water cannot be prevented from entering the trench
will be considered TEMPORARY and shall be replaced with PERMANENT cement stabilized material
as soon as weather permits;
e. All disturbed base and pavement materials shalt be removed and restored to the satisfaction of the County
Engineer or his representatives.
f. No side or lateral tamping to fill voids nuclei- the base and pavement materials is allowed.
11, Company must he careful to not jeopardize the slope or integrity of the shoulder of the road. In the event
Company damages the slope, shoulder or any other portion of the right -of -way, Company will be responsible
for repairing the damage arid replacing the right -of -way to the condition it was prior to commencurg
construction.
12. Operation of construction and /or maintenance equipment oil the traveled surface of any improved County road
will not be permitted, except in an Instance whereby fhe laying, construction, maintenance and /or repair of
cables, conduits and/or pole lines cannot be accomplished by any other method and in this event all such
equipment shall be of the rubber the variety. Appropriate traffic control shall be provided meeting TMUTCD
requirements,
19. In the event said construction and/or maintenance and /or repair requires Company to remove, out or
jeopardize any section of the road (asphalt, cement, road base, etc), Company will be required to provide a
performance bond or letter of credit securing necessary repairs. Said bond amount will be determined by the
County Engineer.
14. The applicant shall submit a letter of "No Objection" from the Army Corps of Engineers for all designated
wetlands slid environmentally sensitive lands.
E. Rrnergerrcy work
1. In the event Company is required to perform emergency services, that requires excavation in a County Right
of Way, end unable to notify the County Engineerprior to conducting emergency repairs, Company shall
notify County Engineer within 24 hours of beginning oonshuction /repairs. This will allow the County
Engineer end Road & Bridge Office an opportunity to inspect the site to ensure the integrity of the County
Right of Way and traffic safety controls used.
F. Repahs to arlstiegfacilities
1. Maintenance and/or repair to existing cables, conduits, and/or pole lines which require disturbance of the soil,
shall not be performed until plans describing such maintenance and /or repair have been approved by the
County Engineer or designated reptesentativo and a pennit has been obtained.
G. Relocation 0fW111fles:
1. When and if the County Engineer determines that it is necessary for the construction, repair, improvement,
alterntion or relocation of all or any portion of said road, any or all poles, wires, pipes, cables or other facilities
and appurtenances authorized hereunder, shall be removed from said road, or reset or relocated thereon, as
required by the County Engineer within a reasonable time as determined by the County Engineer and Utility
Company, and atthe expense of the Utility Company.

K )fig& Pressure Pipelines
1. All utility Permits for high pressure pipelines (generally 60 PSI or greater), whether pertaining to controlled
access or non- controlled access installations, should contain the following additional information in the
description of the potmit.
- diameter
-wall thickness
- material specification
- minimum yield strength
- maximum operation pressure of the pipeline
2. With the exception of the maximum operation pressure of the pipeline, this information is to be supplied for
both the cattier pipe and the casing.
3. Assurance must also be given that the installation material and design meet the minimum Federal Safety
Standards for Liquid and Gas Pipe Lines. Assurance must be provided on company letterhead and signed by an
authorized representative of the company.

5, Under no circumstances will a pipeline be installed parallel to a County Road within the Right -of-
Way. Transmission lines have been determined to be petroleum pipelines (which includes natural gas lines)
and shall not be parallel to a County Road,
6. Natural Gas Distribution is a line that serves the final customer.

This report is made in accordance with provisions of Gov.Code 2256, The Public Funds Investment Act, which
requires quarterly reporting of investment transactions to the Commissioners' Court.
The Brazos County Investment portfolio earned an average yield of US% on the quarterly average 6014nee
of $2,351,312.39 invested with TexPool for the period ending 03/31/2014, Investment interest deposited
during the quarter was $165.44. Actual ending balance for March 31, 2014 was $2,351,369.25
The average rate of interest earned on the depository checking account balances for the quarter ending
03/31/2014 was 0.25% netting $59,664.47 on an average depository Investable balance of $96,915,513.18.
Total FY2014 interest earned; $103,505.17
Investment Strategy
The Brazos County Investment Strategy will remain unchanged, keeping investments very short - termed Q
liquid. With the safety of principal as the foremost objective of the County's investment policy followed by
liquidity and yield - it seems prudent to continue keeping the majority of available funds in the Countys
depository where all funds are 110% collateralized.
For diversification the County has an Investment account with TexPool that provides the safety of an
overnight market.
As a reference, the chart below provides a review of the Money Market rates available in this difficult
economy:
