Vol. P9- ' 2- PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and /or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and /or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and/or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Courts presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and /or 4. such other and/or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda property posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and/or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act ? 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the Invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community Is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. The Court acknowledged receipt of the Purchasing Department Weekly Update. 18. Sheriff's report on inmate population. Sheriff Chris Kirk stated there were 566 inmates in jail, 55 have electronic monitors and 28 are pending for monitors. 19. Announcement of interest items and possible future agenda topics. Commissioner Cauley asked that a workshop be scheduled to discuss a Medical Director for the jail. 20. Call for Citizen input and /or concerns. Vol. /6 T Pg. /67 Jeff Reeves, Acting Agency Head, in the office of Constable, Precinct 1, congratulated Johnny Campbell on his promotion. Mr. Reeves and the late Constable Bachmann had discussed appointing Mr. Campbell if a position in the department ever came open. Mr. Reeves then introduced Robert Huet as a new hire and thanked Mary for her help as she is the backbone of the office. He also thanked the Court for all of their help during this difficult time. 21. Adjourn. WHEREAS, Texas Government Code, Chapter also known as the Interlocal Cooperation Act, authorizes local governments to contract with each other and with agencies of the state, to perform functions or services each party to the contract is authorized to perform individually; and, WHEREAS, COUNTY and TAMUS each desire to enter into this Agreement in order to delineate the intended use of the Brazos County Exposition Complex by the TAMU Department of Athletics Equestrian Team; and, WHEREAS, COUNTY and TAMUS each represent it is authorized to enter into this Agreement; NOW, THEREFORE, in consideration of the recitals and mutual covenants made by TAMUS and COUNTY to be respectively kept and performed, the parties agree as follows: SECTION I. PURPOSE OF AGREEMENT 1.1. SECTION II. TERM 2.1. This Agreement shall begin on November 1, 2012 and shall terminate on June 1, 2015. The parties may mutually agree to extend the term of this Agreement by execution of a separate interlocal agreement. 2.2. This Agreement may be terminated by either TAMUS or COUNTY, without cause, provided one hundred eighty (180) calendar days written notice is provided to the other party; however, this Agreement may not terminate prior to the end of an academic year. In the event of such termination, any payments due under this Agreement will be made up to and including the date of termination. Upon termination, the parties will have no further rights or obligations under this Agreement. SECTION III. INTENDED USE 3.1. COUNTY agrees TAMUS will have use of the Complex North Arena, South Arena, Covered Warm -Up Arena and Outdoor Warm -Up Arena, shown on Exhibit "A ", attached hereto and incorporated herein for all purposes, based upon a schedule of hours as agreed upon by COUNTY and TAMUS. TAMUS agrees its use of the arena(s) is subject to COUNTY's precedent use of the facilities for its own purposes with COUNTY giving TAMUS at least thirty (30) days notice of COUNTY's intent to supersede use of the Complex or arena(s). At the time of execution of this Agreement, Exhibit `B ", attached hereto and incorporated herein for all purposes, reflects the practice schedule for use by TAMUS. Prepared by Office of General Counsel 2 Brazos County Exposition Complex Legal Files 2012 - 0030776 08/08/12 - NC Pg. 3.2 Scheduling of TAMUS practice times and dates for TAMUS held/sponsored competitions will be given to COUNTY one (1) academic semester, in advance. COUNTY agrees to give TAMUS written notice of any scheduling conflicts within fifteen (15) days following the date of COUNTY's receipt of TAMUS' schedule. 33 Approximately 38.04 acres, as shown on Exhibit "C ", attached hereto and incorporated herein for all purposes, of property ( "Property ") will be allocated exclusively for TAMUS' use. TAMUS agrees to use the entrance off Jones Road as its primary entrance to the Property and will keep the gate locked at all times when no TAMUS personnel are present. On an annual basis, additional property may be made available to TAMUS for grazing its equestrian team horses subject to approval of COUNTY and with the understanding TAMUS would be responsible for maintenance of the additional property to include fencing, planting of grass, fertilizing of same, and control of weeds and brush. 3.4 TAMUS use of the arena(s) during TAMUS' scheduled time(s) would be exclusive to TAMUS subject to COUNTY personnel having necessary access for custodial, maintenance, marketing, sales, public relations, or other COUNTY operational purpose(s) in a manner that does not materially interfere with TAMUS' use. Should COUNTY's exercise of prior use conflict with TAMUS held/sponsored competitions, the parties will negotiate in good faith to reschedule their respective dates. SECTION IV. ADDITIONAL FACILITIES 4.1 Any construction of facilities by or on behalf of TAMUS on the Property shall be subject to the prior written approval of COUNTY. COUNTY agrees to provide TAMUS a one (1) year notice of any COUNTY intent to construct facilities on the Property. Iii. q Vol. g• construct facilities on all or any portion of the Property, COUNTY agrees to provide comparable land to TAMUS adjacent to the Property of the same size as that used by COUNTY. 4.2 In the event TAMUS constructs facilities, TAMUS agrees, at its sole cost and expense, 1) to be responsible for all maintenance and repairs of said facilities, 2) to employ an onsite manager with operational oversight of materials, equipment, and horses kept at the facilities and 3) to separately meter utilities to the facilities and be responsible for payment of those metered costs. COUNTY agrees any facility built by TAMUS will be for TAMUS exclusive use during the term of this Agreement. 4.3 COUNTY agrees that facilities on the Property may be constructed by TAMUS or by The 12th Man Foundation, a nonprofit corporation, for the benefit of TAMUS. SECTION V. FACILITY COSTS 5.1. COUNTY will invoice on a monthly basis and TAMUS will remit payment to COUNTY within thirty (30) days at the address provided by COUNTY for the following facility costs related to TAMUS' use of the Complex: Use of the North Arena and South Arena (individually, "Indoor Arena ") for practices when no utilities are used at the rate of $150.00 per day, per Indoor Arena; use of Indoor Arena for up to eight (8) hours with lights and /or fans at the rate of $300.00 per day, per Indoor Arena; use of the Covered Warm -Up Arena at the rate of $150.00 per day if lights and/or fans are used, but the Covered Warm-Up of the Outdoor -Up Arenano lights or fans are used; and no cost to T Use of one (1) Indoor Arena for TAMUS held/sponsored competitions at the rate of $1,500.00 per day, a second Indoor Arena at the rate of $600.00 per day; and use of the Covered Warm -Up Arena at the rate of $600.00 per day if used for actual competition, but at no cost if used for warm up but not actual competition. A total rate of $600.00 for all arenas combined per move in and/or set up day prior to competition days. Prepared by Office of General Counsel 4 Brazos County Exposition Complex Legal Files 2012 - 0030776 08/08112 - NC Pg . 5.2 The costs stated in Section 5.1 are subject to evaluation twice per calendar year by COUNTY and TAMUS, as costs of utilities or the rate at which COUNTY assesses other customers for use of the Complex or arena(s) may change. 5.3 COUNTY, upon, the provision of sixty (60) days written notice, shall apprise TAMUS of any and all utility increases which may occur upon the Property. 5.4 The parties agree that the COUNTY is limited to two (2) increases per year•, with one (1) notice of increase to be provided on each yearly anniversary date of this Agreement and the second notice of increase, if any, provided during the middle of each year. SECTION VI. EQUIPMENT/FACILITY MAINTENANCE 6.1 TAMUS will be responsible, at its sole cost and expense, for providing its own equipment for care of the Indoor Arenas and the Outdoor Arena. 6.2 Care of the Indoor Arenas and the Outdoor Arena will be coordinated with COUNTY personnel having oversight over Complex maintenance. 6.3 All COUNTY facilities used by TAMUS will be cleaned, maintained, and repaired on a daily basis to the original condition as found by TAMUS. At the time of termination or expiration of this Agreement, TAMUS and COUNTY will agree upon the extent to which TAMUS will, at its sole cost and expense, return the premises to their original condition, normal wear and tear excepted. PARKING 7.1 There is an area in the Complex, as shown on Exhibit "C ", which is directly adjacent to the Property and designated for parking ( "Parking Area "). All terms of the Parking Agreement — Shared Parking, by and between Brazos County and the Board of Regents of Texas A &M University System, executed November 3, 2009, and attached hereto and incorporated herein for all purposes as Exhibit "D" ( "Parking Agreement ") are hereby adopted and incorporated into this Agreement by reference. Nothing in this Section VII, shall grant or vest any title, property rights or easement in the Parking Area in TAMUS, and all ownership of the Parking Area shall remain fully vested in the COUNTY. 7.2 No portion of the Parking Area, driveways or other designated parking areas on the Property and Complex shall be used for any purpose other than authorized parking, and no fence, barricade or improvement shall be constructed by either party that would prohibit the use of the Parking Area, driveway or other designated parking areas. TAMUS shall provide, as reasonably necessary, maintenance and repair work to the Parking Area, which shall include any striping, lot sweeping and landscaping. TAMUS shall pay all utilities associated with the Parking Area, including facility lighting as directed by standard safety practices. TAMUS and the COUNTY both agree to maintain liability insurance for the Parking Area as is standard for their own business usage. SECTION VIII. Neither party shall take any actions to bind the other party to an agreement. 8.2 COUNTY is not responsible for wages, social security taxes, hospitalization insurance or workers' compensation insurance for TAMU personnel, contractors or students. 8.3 Nothing in this Agreement is to be construed as transferring financial responsibility from one party to another. 8.4 The parties also acknowledge and agree that that the parties' affiliation under this Agreement carries with it valuable publicity and standing in the State and local community. For these reasons, the parties agree that each has the right to advertise and promote the parties affiliation under this Agreement; provided that any such advertisement or promotion is approved in advance by both parties, and nothing in this Agreement shall be construed as granting any license to use the marks (logos /trademarks) of TAMUS or TAMU. SECTION IX. MODIFICATION OF AGREEMENT 9.1 The terns and conditions of the Agreement may be modified at any time by the mutual consent of both parties. However, no amendment or modification to this Agreement is effective unless and until it is reduced to writing and signed by duly authorized representatives of both parties. SECTION X. If any portion of this Agreement is held invalid, illegal or unenforceable by a court or other tribunal of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions will not in any way be affected or impaired. The parties will use their best efforts to replace the respective provisions of this Agreement with legal terms and conditions approximating the original intent of the parties. SECTION XIV. ENTIRE AGREEMENT 14.1. It is understood this Agreement contains the entire agreement between the parties and supersedes any and all prior agreements, arrangements, or understandings between the parties relating to the subject matter. No oral understandings, statements, promises, or inducements contrary to the terms of this Agreement exist. This Agreement cannot be changed or terminated orally. No verbal agreement or conversation with any officer, agent or employee of COUNTY or TAMUS, either before or after the execution of this Agreement, affects or modifies any terms or obligations of this Agreement. FORCE MA.IEURE 16.1 Neither party shall be liable in damages or have the right to terminate this Agreement for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, Acts of God, Government restrictions including wars, insurrections, natural disasters or other emergencies as declared by Federal, State or County agencies or departments for use of the Exposition Complex for emergency animal or civilian housing, and/or any other cause beyond the reasonable control of the party whose performance is affected. 16.2 if performance of any obligation of either party hereunder is prevented or rendered impracticable or infeasible as discussed in the preceding paragraph, it is understood and agreed that there shall be no claim for damages against the obligated party for failure to perform its obligations under this Agreement. SECTION XVII. AUTHORITY 17.1. Each party has full power and authority to enter into and perform under this Agreement, and the person signing this Agreement on behalf of each party has been properly authorized and empowered to enter into this Agreement. The persons executing this Agreement represent that they have authorization to sign on behalf of their respective entities. If COUNTY is adjudged to be liable for the acts or omissions of TAMUS, then COUNTY shall be indemnified by TAMUS to the extent of such vicarious liability. If TAMUS is adjudged to be liable for the acts or omissions of COUNTY, then TAMUS shall be indemnified by COUNTY to the extent of such vicarious liability. P 18.4 The parties understand and acknowledge that TAMUS intends to contract with others for the purpose of constructing buildings upon the Property subject to the lease herein. Therefore, TAMUS agrees that, to the extent that it requires any contractor to name TAMUS as an additional or named insured under a contractor's policy of insurance, it shall also cause the inclusion of the COUNTY as an additional insured in all agreements entered into with contractors and subcontractors who shall be engaged by TAMUS for the purpose of furnishing services or equipment at the premises that are subject to this Agreement. SECTION XIX. AGREEMENT READ 19.1 Each party acknowledges that it has read, understands, and intends to be bound by the terms and conditions of this Agreement. SECTION XX. MISCELLANEOUS 20.1 It is understood and agreed that this Agreement may be executed in a number of identical counterparts with each deemed an original for all purposes. 20.2 Notwithstanding any other provision of this Agreement to the contrary, the parties acknowledge that any real property improvements constructed for or on behalf of TAMUS, and the tenant's leasehold interest in the Property, are held in the name of the Board of Regents of The Texas A &M University System for the benefit of TAMUS. However, per Section 6.3 documented herein, upon termination or expiration of this Agreement, any permanent improvements to the Property will revert to COUNTY ownership. CONTRACT FOR THE COLLECTION OF DELINQUENT PROPERTY TAXES THE STATE OF TEXAS § COUNTY OF BRAZOS § THIS CONTRACT is made and entered into by and between The County of Brazos, Texas (The County), acting herein by and through its governing body, and McCreary, Veselka, Bragg and Allen, P.C. (The Firm), 700 Jeffrey Way, Suite 100, P.O. Box 1269, Round Rock, Texas 78680. L The County agrees to employ and does hereby employ MVBA to enforce by lawsuit or otherwise the collection of all delinquent taxes, penalty and interest owing to all of the taxing units for which The County collects property taxes except the Bryan ISD. Current year taxes which become delinquent within the period of this Contract shall become subject to the terms of this Contract upon the following conditions: A. Taxes on real property that become delinquent during the term of this Contract, that are not delinquent for any prior years, become subject to the terms of this !Contract on July I' of the year in which they become delinquent. B. Taxes on tangible personal property that becomes delinquent during the term of this Contract become subject to the terms of this Contract if not paid within sixty days of the date on which the taxes become delinquent. C. Not withstanding A and B above, taxes on tangible personal property and real property that become delinquent during the term of this Contract that are also delinquent for prior tax years and is the subject of a lawsuit to collect the prior years delinquent taxes, shall become subject to its terms on the first day of delinquency as defined by the Texas Property Tax Code. II. The County agrees to furnish all necessary delinquent tax information to The 'Firm on all property within the boundaries of The County. The County shall provide The Firm a computer file of all delinquent taxes each quarter of the year. The County hereby authorizes The Firm to determine the name, identity and location of necessary parties and to procure necessary legal descriptions of property and hereby assigns to The Firm the right to recover the costs of obtaining such information. www.mvbalaw.com Pagel d 4 Vol. — pg. III. The Firm agrees to mail the tax notices required by Sections 33.07, 33.08, and 33.11 of the Texas Property Tax Code at no charge provided that The County timely! 'furnishes electronically the delinquent tax information to The Firm. IV. The County shall provide Office Space in the County Tax Office to accommodate two (2) employees of The Firm and system access for The Firm's two (2) computer terminals and a printer. V. The Firm is to advise The County of errors, double assessments or other discrepancies coming under observation during the progress of the work. VI. The Firm is to intervene on behalf of The County in all suits for ad valorem taxes hereafter filed by any other taxing unit on property located within its boundaries. VII. The Firm agrees to make written delinquent tax collection progress reports to The County quarterly or upon request. VIII. The annual goal for total delinquent collection of the outstanding balance as of September 1 for each of the four taxing jurisdictions is established: for Brazos County a collection goal of thirty -nine percent (39 %), City of Bryan a collection goal of thirty -seven percent (37 %), City of College Station a collection goal of forty -seven percent (47 %) and College Station Independent School District a collection goal of forty -eight (48 %). The percentage collection goal shall be calculated using September 1 Delinquent Balance as compared to the following August 31 Delinquent Balance. The data used will be that shown on the monthly reports of the Brazos County Tax Office. If a goal is not met or exceeded, The Firm shall pay a penalty to The County in the amount of six thousand ($6,000); the City of Bryan in the amount of four thousand ($4,000), the City of College Station in the amount of two thousand five hundred ($2,500) or to the College Station Independent School Dl, strict in the amount of nine thousand ($9,000). The County agrees to pay The Firm, for services rendered, fifteen percent (15 %) of all delinquent taxes, penalty and interest collected by The County for itself and all the taxing units for which it collects except for the Bryan Independent School District, for years covered by this contract. The penalty imposed pursuant to Sections 33.07, 33.08, and 33.11 of the Property Tax Code is not subject to this contractual fee. The County shall pay fees due The Firm monthly by check. X. The Firm agrees to include with its tax lien foreclosures, upon request, for the Cities of Bryan and College Station, any other city liens which are assessed against the same!, properties. An additional title research fee of twenty -five dollars ($25.00) shall be charged against these properties to be collected as court costs and paid to The Firm. Q The Firm agrees to pay in the month of July all the taxes, penalties and interest on those accounts on which the total due is one dollar ($1.00) or less. XII. The Firm shall represent the College Station ISD in any necessary appeal of the annual Property Value Study conducted by the Texas Comptroller of Public Accounts at no cost to the school district. XIII. The Firm shall and does hereby agree to indemnify and hold harmless The County, its officers and employees, from any and all damages, loss, or liability of any kind whatsoever, by reason of injury to property or third persons occasioned by any error, omission or negligent act of The Firm, its officers, agents, employees, invitees, and other persons for whom'it is legally liable, with regard to the performance of this Contract, and The Firm will, at its cost and expense, defend and protect The County against any and all such claims and demands. www.mvbalaw.com / Page 3 of 4 Vol. 1 (0 �° Pg. °�Q XIV. This contract is drawn to cover a period beginning October 1, 2012, and ending September 30, 2014, with an option for The County to renew for two additional years. During and following the contract period each party shall have the right to terminate this contract by giving at least thirty (30) days written notice of such intention. If no contract is in effect at the end of a two year term this contract will continue until terminated by either party giving at (least thirty (30) days written notice; provided however, that The Firm shall have an additional six (6) months to reduce to judgment and sale all tax collection lawsuits filed and collect all bankruptcy claims filed prior to the date of termination and shall have the exclusive right to compensation of fees earned due to these suits during this six (6) month period. In consideration of the terms and compensation herein stated, The Firm hereby accepts said employment and undertakes the performance of this contract as above written. XV. The Firm fully incorporates into this contract all terms and conditions presented to The County in its "Proposal for the Collection of Delinquent Property Taxes" on May 25, 2006. XVI.
