PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four
minutes per person. Persons are invited to submit comments in writing on the agenda items and /or attend and make comment
at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a
Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas
Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a
Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in
attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and
decorum in speaking to, and /or addressing the Court; in participating in public discussions before the Court; and in all actions in
the presence of the Court. Those members of the public who are inappropriately attired and/or who do not conduct themselves
in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and /or
continued disruption of the meeting may result in a Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual
or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and /or
integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively.
Accordingly, profane, insulting or threatening language directed toward the Court and /or any person in the Court's presence
and /or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following
sanctions:
1. cancellation of a speaker's time;
2. removal from the Commissioners Court;
3. a Contempt Citation; and /or
4. such other and /or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted
prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The
Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However,
responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter
without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County
Judge and /or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite
existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act ?
551.042.
INVOCATION
Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The
views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not
necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required
to -attend or participate in the invocation and such decision will have no impact on their right to actively participate in the
business of the Court.
The Commissioners Courtroom of the County Administration Building, 200 South Texas Ave., Suite 106, Bryan, TX 77803 is
wheelchair accessible. Handicap parking spaces are available. Any request for sign interpretive services must be made two

A regular meeting of the Commissioners' Court of Brazos County, Texas was held in
the Brazos County Commissioners Courtroom in the Administration Building, 200
South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 10:00 a.m. on
Tuesday, April 10, 2012 with the following members of the Court present:

Management Department. This expense was necessary due to a need to repair her
eyeglasses while out of town on county business.

This is for an independent evaluation of the Brazos County Jail health program for
inmates and an estimate where there could be savings. Judge Peters noted that Dr.
Yoffe was able to save Harris County $7 million dollars.

The Court acknowledged receipt of the Purchasing Department Weekly Update.
13. Sheriff's report on inmate population.
Sheriff Chris Kirk stated there were 539 inmates in jail, 77 have electronic monitors and 5
are pending for monitors. The Sheriff stated that the number of inmates generally
increases after Easter and goes through October, before declining. Also the Jail
Inspector arrived for a surprise inspection.
14. Announcement of interest items and possible future agenda topics.
15. Call for Citizen input and /or concerns.
Eric Caldwell, Chief Information Officer stated that he had looked in to OCA recording
issues at the request of the Justices of the Peace. The changes to OCA required a
patch to be written. Some of our old files, he explained, are bad. TSG's attempt to
create a patch has failed and they are requiring us to clean up the old data. This would
require calls to other counties because of the transfers. Lt. White is concerned he will be
unable to produce required reports. Mr. Caldwell does not have a solution yet but is
working on it. The Justices of the Peace asked if we would be cleaning up old data
before transferring over to AMCAD. Mr. Caldwell said that they would work to clean it
up. He will report back on how to correct the issue..

PERSONAL SERVICE
CONSULTANT AGREEMENT
THIS PERSONAL SERVICE CONSULTANT AGREEMENT (the "Agreement ") is entered into this
day of April, 2012, by and between Stuart J. Yoffe, M.D. (the "Consultant "), a business located in
Brenham, Washington County, Texas, and Brazos County (the "County ").
RECITALS
WHEREAS, the County is in need of assistance in the area of independent evaluation of the Brazos
County Jail health program for inmates; and
WHEREAS, Consultant has agreed to perform consulting work and other related activities for the
County; and
WHEREAS, Chapter 2254 of the Texas Government Code authorizes agreements with consultants
and exempts said agreements from the competitive bidding process; and
NOW, THEREFORE, the parties hereby agree as follows:
1. Services. Consultant will be available and will provide to the County independent professional services
related to the evaluation of inmate health programs for the Brazos County Jail ( "Services ") as needed and
requested.
2. Consideration. In consideration of the Services to be performed by Consultant under this Agreement, the
County will pay Consultant the rate of $2,500.00 per month for a period of four (4) months for time spent on
Services_ Consultant will submit written, signed reports of the Services provided, itemizing Services in
reasonable detail. The County will pay Consultant the amounts due in current funds pursuant to submitted
reports within thirty (30) days after such reports are received by the County,
3. Indepgndent Contractor Nothing contained herein or any document executed in connection herewith, will
be construed to create an employer - employee relationship, partnership or joint venture between the County
and Consultant. Consultant is an independent contractor and not an employee of the County. The
consideration set forth in Section 2 will be the sole consideration due Consultant for the services rendered
hereunder. It is understood that the County will not withhold any amounts for payment of taxes from the
compensation of Consultant hereunder. Consultant will not represent or hold himself out as an employee of
the County and Consultant acknowledges that it will not have the right or entitlement in or to any of the
pension, retirement or other benefit programs now or hereafter available to the County's regular employees.
Any and all sums subject to deductions, if any, required to be withheld and /or paid under any applicable
state, federal or municipal laws or union or professional guild regulations will be Consultant's sole
responsibility and Consultant will indemnify and hold County harmless from any and all damages, claims and
expenses arising out of or resulting from any claims asserted by any taxing authority as a result of or in
connection with said payments.
4. Ownership of Work Product. All work product, notes, and materials drafted or discovered during
Consultant's investigation under this Agreement shall be owned by the County. All work product notes, and
materials drafted or discovered during Consultant's investigation will be turned over to the County upon
request by County, or at the end of this Agreement.

5. Media. Consultant will not speak to the media (electronic, radio or television broadcast) or publicize
Consultant's investigative findings with said media during the term of this Agreement, SAVE AND EXCEPT,
Consultant may correct inaccuracies in media stories with prior approval from the County.
6. Confidentiality. In the course of performing Services, the parties recognize that Consultant may come in
contact or become familiar with information which the County or its subsidiaries or affiliates may consider
confidential. Consultant agrees to keep all such information confidential and not to discuss or divulge it to
anyone other than appropriate County personnel or their designees.
7. Term. This Agreement will commence on April 15, 2012 for an initial term of four (4) months ("Term ").
At the end of said Term, the County and the Consultant shall discuss whether a need exists to continue with
Consultant's Services thereafter on a month to month basis. Unless expressly renewed beyond the Term,
the Agreement is terminated on August 15, 2012. Either party may terminate this Agreement at any time
without cause upon written notice to the other party in accordance with Paragraph 15 herein. The County
may, at its option, renew this Agreement for an additional term of thirty (30) days on the same terms and
conditions as set forth herein by giving written notice to Consultant of such intent to renew on or before an
agreed upon date.
8. Consultant's Taxpayer I.D. Number. The Consultant has provided County a signed IRS Form W -9 with
necessary tax information. The Consultant has the training and experience to perform the agreed upon
services.
9. Insurance. The Consultant will provide proof of and maintain automobile liability insurance during the
Term of this Agreement, and any subsequent extensions.
10. Competent Work. All work will be done in a competent fashion in accordance with applicable standards
of the profession and all services are subject to final approval by a representative of the County prior to
payment.
11. Representations and Warranties. The Consultant acknowledges that if has no authority to and will make
no representations, warranties or commitments binding the County without the County's prior consent
12. Legal Right. Consultant covenants and warrants that he has the unlimited legal right to enter into this
Agreement and to perform in accordance with its terms without violating the rights of others or any applicable
law and that he has not and will not become a party to any other agreement of any kind which conflicts with
this Agreement. Consultant will indemnify and hold harmless the County from any and all damages, claims
and expenses arising out of or resulting from any claim that this Agreement violates any such agreements.
Breach of this warranty will operate to terminate this Agreement automatically without notice as specified in
Paragraph 5 and to terminate all obligations of the County to pay any amounts which remain unpaid under
this Agreement.
13. Waiver. Failure to invoke any right, condition, or covenant in this Agreement by either party will not be
deemed to imply or constitute a waiver of any rights, condition, or covenant and neither party may rely on
such failure.

14. N otice . Any notice or communication permitted or required by this Agreement will be deemed effective
when personally delivered or deposited, postage prepaid, in the first class mail of the United States properly
addressed to the appropriate party at the address set forth below:

15. Enforceability If any provision of this Agreement is held by a court of competent jurisdiction to be
unenforceable, the reminder of the Agreement will remain in full force and effect and will in no way be
impaired.
16. Hold Harmless: Indemnification
a. To the extent permitted by the constitution and laws of the State of Texas and without the waiver of
sovereign immunity or any other defense to which the parties may be entitled to assert, respectively,
Consultant shall indemnify and hold County harmless from liability resulting from the negligent acts
or omissions of Consultant, its agents, or employees pertaining to its activities conducted on the
premises and the activities to be carried out pursuant to the obligations of this Agreement, provided,
however, that Consultant shall not hold County harmless from claims arising out of the negligence of
County, its officers, agents, or any person or entity not subject to Consultant supervision or control.
b. To the extent permitted by the constitution and laws of the State of Texas and without the waiver of
sovereign immunity or any other defense to which the parties may be entitled to assert, respectively,
County shall indemnify and hold Consultant harmless from liability resulting from the negligent acts
or omissions of County, its agents, or employees pertaining to its activities conducted on the
premises and the activities to be carried out pursuant to the obligations of this Agreement, provided,
however, that County shall not hold Consultant harmless from claims arising out of the negligence of
Consultant, its, officers, agents, or any person or entity not subject to County's supervision or
control.
c. In the event the parties are legally adjudged to have been jointly negligent in causing injury or
damage, each party shall be obligated to satisfy its proportionate share of such judgment based
upon the percentage of liability attributed to it in such judgment. If County is adjudged to be liable
for the acts or omissions of Consultant, then County shall be indemnified by Consultant to the extent
of such vicarious liability. If Consultant is adjudged to be liable for the acts or omissions of County,
then Consultant shall be indemnified by County to the extent of such vicarious liability. Neither
party hereto shall be obligated to indemnify the other for such other party's own negligence.

d. The Consultant shall indemnify the County to the fullest extent permitted by applicable law against
any and all expenses (including, without limitation, investigation expenses and expert witnesses'
and attorneys' fees and expenses), judgments, fines and amounts paid in settlement actually and
reasonably incurred by County (net of any related insurance proceeds received by County or paid on
County's behalf) in connection with any present or future threatened, pending or completed claim,
action, suit or proceeding, whether civil, criminal, administrative or investigative, whether or not such
claim, action, suit or proceeding is by or in the right of the Consultant, based upon, arising from,
relating to, or by reason of the fact that Consultant is providing services to the County.
17. Miscellaneous.
a. Entire Agreement and Amendments. This Agreement constitutes the entire agreement of the
parties with regard to the subject matter hereof, and replaces and supersedes all other agreements
or understandings, whether written or oral. No amendment or extension of this Agreement will be
binding unless in writing and signed by both parties.
b. Binding Effect Assignment. This Agreement will be binding upon and will inure to the benefit of
Consultant and the County and to the County's successors and assigns. Nothing in this Agreement
will be construed to permit the assignment by Consultant of any of its rights or obligations hereunder,
and such assignment is expressly prohibited without the prior written consent of the County.
c. Governing Law, Severability. This Agreement will be governed by the laws of the State of Texas.
The invalidity or unenforceability of any provision of this Agreement will not affect the validity or
enforceability of any other provision.
WHEREFORE, the parties have executed this Agreement as of the date written in the first
paragraph.
