Vol 15' Le p aa4- PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and /or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and /or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and /or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and/or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and /or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or any person in the Court's presence and /or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and /or 4. such other and /or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and /or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act ? 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. This document contains all of the terms and conditions under which Gulf Coast Transportation, dba Coach America (the "Company ", "Us ", "We ") agrees to furnish service to you ( "Customer" or "You "), When you sign this document It is a legally binding contract, and it can only be changed by a later written agreement between us. Carefully read this entire document before signing. 2. ITINERARY. A written itinerary must be received no later than seven (7) days before departure. Our driver will be given a copy of your entire itinerary, and he will be instructed to follow it strictly. He has no authority to agree to make any changes in the trip schedule without the prior approval of an authorized Company supervisor. Therefore, if, after your trip begins, you want to make any change in the agreed itinerary, you must notify your driver at once and he will contact the Company. If we are able to accept the change to your itinerary, you must then pay the full amount of any increase in the contract price immedlateiy upon completion of the trip. Any additional charges will be based on the Company's current published rates. exercising extreme caution. The Company will not be responsible for injuries to passengers who stand or walk while the bus is in motion. Charter groups must provide adequate supervision and discipline, 6. SERVICE SUBJECT TO TARIFF. Customer agrees that the performance of the service described in this order maybe subject to tariff regulations. 7. RIGHT TO SUBSTITUTE EQUIPMENT. The Company has the right, at its sole discretion, to substitute equipment from our fleet or equipment and drivers from other companies in order to fulfill this charter agreement. S. CHARGES. The "TOTAL CHARTER PRICE" shown is the Company's estimate based upon our current rate sheet and our best estimate of the specific services you have requested. Charters exceeding the miles or hours booked will be billed for additional charges. Additional hours are billed in 1 hour increments. Charges do not include driver gratuity. 3. COMPLIANCE WITH LAWS. All itineraries must allow the driver and the Company to comply with all Federal, State and local regulations or ordinances. Drivers are limited to: a) 15 consecutive hours on duty in any one day (including Va hour driver preparation; and b) of this 15 hours, a maximum of 10 hours may be actual driving hours. If your itinerary requires the use of more than one driver, either the price of the charter will be adjusted or the itinerary must be changed to allow for only one driver. Upon reaching your destination, if the drivers' total on -duty and /or driving hours have been used, the driver must have a minimum of 8 hours off-duty. The Customer is responsible for the driver(s) overnight room accommodations, unless you and the Company have agreed In advance that the Company will provide the driver's room and bill you for the charges. 4. RESPONSIBILITY FOR BAGGAGE. The Company assumes no risk for handling baggage and other passenger's property and is not liable for any loss of such items stored anywhere in the bus. Passengers may only bring baggage and other property in an amount that can conveniently be carried in the chartered bus, Each passenger is responsible for removing all of their personal property and baggage from the interior and /or baggage bays of the bus at the end of each travel day and when the trip ends. 5. 'STANDING WHILE BUS IN MOTION. Buses may start or stop suddenly. Passengers are requested not to change seats or utilize the restroom when the bus is in motion unless 9. FUEL SURCHARGE. All trips are subject to a fuel surcharge as set forth on the front of this charter order fuel surcharge is subject to change up to 45 days prior departure. 10. DEPOSIT. There is a 25% deposit per bus due 10 days after you receive your confirmation. If the deposit is not received when it is due, we will cancel the charter. 11. PAYMENT. Payment is due 30 days before departure unless satisfactory credit arrangements have been made and approved. Payment must be made in cash or by check payable to Coach America. We accept VISA, MasterCard and American Express. 12. FINANCE CHARGES. If you have made credit arrangements with us to pay after departure and you fail to pay on time, we will charge you a finance charge on all past -due amounts of 5% for each 30 day period that the bill is past -due. 13. CLEANING AND REPAIRS. The Customer is liable for extraordinary cleaning and for all repairs to our vehicle (beyond normal wear) caused by members of your party. You agree to pay for. all repairs and excess cleaning charged within the company's terms of payment. 14. EXTRA FEES. Parking, tolls, airport fees and entry fees for parks and /or attractions are the responsibility of the Customer. Vol. P9. al CJ GENERAL TERMS AND CONDITIONS 15. ALCOHOLIC BEVERAGES. If alcoholic beverages are brought on board our vehicle, a $500.00 per bus deposit is required. Alcohol deposits will be refunded after completion of the trip if the coach is left in good condition. Please allow 10 working days for refund to be processed. The Company reserves the right to refuse or terminate transportation to any person that displays aggressive behavior or appears to be under the influence of alcohol, or other intoxicating substances. Glass containers and kegs are not allowed on our buses. 16. SMOKING ON THE BUS. No smoking is permitted on any Coach America Vehicle. 17. CANCELLATIONS. Charters booked, but not prepaid or confirmed by either party, may be cancelled by either You or the Company without notice. Trips cancelled more than 14 days before the scheduled departure are not charged a cancellation fee. Trips cancelled less than 14 days but more than 72 hours before departure are charged 15% or $250.00 per bus. Whichever is greater. Trips cancelled less than 72 hours but more than 24 hours before departure are charged 50% of the charter price, There is no refund if the trip is cancelled less than 24 hours prior to the scheduled pickup time. 18. FORCE MA7EURE. The Company is not responsible for any delays, changes of schedule or cancellations resulting, directly or indirectly, from any act of God, public enemies, authority of law, quarantine, perils of navigations, riots, strikes, the hazard or dangers incident to a state of war, accidents, breakdowns, road conditions, weather conditions, and other conditions beyond the Company's control. Upon acceptance and approval by the Commissioners' Court, this bid effects a working contract between Brazos County and the successful vendor for the period designated. 3. Bids must be received by the Purchasing Office prior to the time and date specified. The mere fact that the bid was dispatched will not be considered; the vendor must have the bid actually delivered. 4. The County reserves the right to accept or reject in part or in whole, any bids submitted, and to waive any technicalities for the best interest of the County. 5. Brazos County shall not be responsible for any verbal communication between any employee of the County and any potential vendor. Vendor's past performance record with Brazos County Although the cost of products and services to be provided is an essential part of the Bid, Brazos County is not obligated to award a contract on the sole basis of cost, but will award to vendor considered to be the best value to the County. If sample testing is requested, they are to be submitted to the County at the vendor's expense. Failure to submit requested samples may disqualify bid. Failure to submit references, if requested, may result in disqualification of bid. 10. Brazos County reserves the right to reject any bid that does not fully respond to each specified item. 11. Acceptance of merchandise, work, and/or equipment provided shall be made by the County at the sole discretion of the Commissioners Court when all terms and conditions of the contract and specifications have been met to its satisfaction, including the submission to the County of any and all documentation as may be required. 12. Title and Risk of Loss of the goods shall not pass to Brazos County until the County actually accepts and takes possession of the goods at the point or points of delivery. 13. This agreement shall be governed by the Uniform Commercial Code as adopted in the State of Texas as effective and in force on the date of this agreement. 14. Bids must be submitted on units of quantity specified. In the event of errors in extended prices the unit price shall govern. Any suggested change in quantity on the part of the vendor to secure better price or delivery is welcomed and may be given consideration provided that the vendor also bids on the quantity specified. 15. The successful vendor agrees to extend prices and terms to all entities who have entered or will enter into joint purchasing inter -local cooperation agreement(s) with Brazos County. 22. It is the County's policy not to furnish bid results over the phone. Upon award of Bid by Commissioners Court, bid results and tabulation sheet will be posted on the Brazos County web site at www.co.brazos. C. SPECIAL PROVISIONS 1. All deliveries are to be made F.O.B. Brazos County Road and Bridge Department, during regular working days, and between the hours of 7:30 a.m. and 3:30 p.m., unless otherwise requested by the County and loaded into County trucks by the Vendor; or loaded and hauled and delivered anywhere in the County by the Vendor during the mentioned working days and hours. 2. The County does not guarantee to purchase any minimum quantities. 3. In the event the Vendor is unable to furnish any item within a reasonable time after order is placed due to strikes, war, force majeure or any reason beyond the Vendor's control, the County reserves the right to purchase these items from the source of its choice without causing this contract to be canceled. 4. Vendor will be required to notify the County Engineer's Office in the event of unforeseen delay arising in the delivery of a specified shipment. The Vendor will remove immediately from the job site or right of way any materials that are deemed unsatisfactory. 7. Material Safety Data Sheets and Placards must be furnished at the time of delivery as specified by State and Federal Regulations. D. SPECIFICATIONS Due to rapidly fluctuating costs associated with rail delivery of Aggregate Products, this bid can be reviewed quarterly. After the first 60 days of each quarter, the Primary and Secondary Vendor(s), if applicable, along with Brazos County, will evaluate the awarded bid price. Vendor will be responsible for initiating any change in price and providing proof of the increase in cost. If the pricing is still agreeable to the vendor(s) and/or Brazos County, the bid will continue to be in place for the following quarter. If the pricing is not acceptable by either the vendor(s) or Brazos County, the contract will be cancelled and the items will be listed for bid again. At any given time, a price may be set for the duration of this bid upon agreement between the Primary and Secondary Vendors and Brazos Countv. 2. Unless otherwise specified, when order is placed all items in this bid shall meet or exceed Texas State Department of Highways and Public Transportation Standard Specifications for Construction of Highways, Streets, and Bridges, Latest Edition, Item 302, Type B, Grades 3, 4,5 and Lightweight Aggregate Type L, Grade 4. Each type and grade may be subject to "Quality" testing and acceptance by Brazos County. Vendor will be required and responsible for maintaining proper permits to operate on Brazos County roads and/or property. 4. Bids were received and read on September 30, 2011. The 3 lowest bids (Loaded and Hauled) were received from RTI Materials; Statewide Materials Transport, I.td.; and Knife River. Per Item B.9 of the invitation to bid, the 3 lowest bids received were further evaluated to determine the best value to the County. RTI Materials provided the lowest bid prices initially, however they contacted the County on October 10, 2011 stating they could not hold the pricing submitted. Of the remaining vendors, Statewide Materials Transport, Ltd. submitted the lowest bid prices. Prices of $22.67 /ton for Grade 3 Aggregate and $22.17 for Grade 4 Aggregate were read. The physical properties of the material to be provided by Statewide were sampled and tested. The tested Grade 3 material did not meet the required specifications (see attached report); additionally the tested Grade 4 material did not meet the required specifications (attached). Knife River provided the next lowest prices at the reading of bids of $29.52 /ton for Grade 3 Aggregate and $28.40 for Grade 4 Aggregate. Their Grade 3 Aggregate did meet the required specification physical properties. The Grade 4 Aggregate also did meet the required specifications for the aggregate (reports attached).
